The following General Terms and Conditions will beapplicable for all commercial transactions when thecontract is part of the operation of the business.These General Terms and Conditions are an intrinsic partof the contract. They will also remain valid for allsubsequent contracts, even if not expressly agreed. Theamendment of these conditions will only be permissiblewith express written consent. The acceptance of a tendersubmitted by the company HAWEKA AG (hereinafterreferred to as “HAWEKA”) will be deemed asacknowledgement of these General Terms andConditions. This will also apply if HAWEKA has notexpressly rejected any alternative or contradictoryconditions. The confirmation of an order by HAWEKA willbe deemed as a simultaneous rebuttal of all generalterms and conditions of third parties that contradict theseGeneral Terms and Conditions.The Terms of Delivery of the Central Association of theElectrical Engineering Industry will also be applicable forelectronic accessories for brand-new machinery,machine parts and goods. The Regulations of theAssociation of German Electrical EngineeringCompanies will apply for the design and quality ofmachinery and goods.

All tenders submitted by the company HAWEKA will benon-binding and subject to change. Any detailsconcerning dimensions, weight, size, performance andcapacity will be approximate and non-binding. This willalso apply for any details concerning type, year ofmanufacture, descriptions and illustrations. Any safetydevices that are planned components of machinery,machine parts and goods will be included in all deliveriesif specifically ordered by the customer. Safety devices willonly be delivered with used machinery, machine partsand goods if they are available.

Unless expressly agreed otherwise, the prices for alldeliveries made from our warehouse in Burgwedel willnot include the cost of packaging. Prices will becalculated on the basis of the actual price on the day ofdelivery. In the event that these prices are higher that theprices at the time of completion of the contract, thecustomer will be entitled to withdraw from the contractwithin 14 days of discovery of the price increase. Thiswithdrawal from the contract will only apply for orders notyet delivered. The customer will be obliged to informHAWEKAof his intention to withdraw from the contract forstill to be delivered orders before the actual declaration ofwithdrawal is made. HAWEKA will then have two weeksto decide whether to carry out the originally planneddelivery at the originally agreed price. The cost ofcarriage, packaging and transport insurance are notincluded in the price. These costs will be borne by thecustomer.

All prices are listed excl. VAT.

Payment will be made in full either in cash or directly intothe account of HAWEKA. Payments must be made withinthe agreed payment period, independent of the receipt ofgoods and regardless of any rights granted byguarantees. Set-off against and retention of paymentswill not be permitted. In the event that no paymentdeadline has been agreed, payment must be made within20 days of the date of the invoice. If payment is not madewithin this 20 day period the customer will automaticallyfall into default in payment without a payment reminderbeing necessary.Payment orders, bills of exchange and cheques will onlybe accepted if expressly agreed and in place of payment.In the event of default in payment, HAWEKA will beentitled to charge interest on payments in arrears at a rateof 3% above the base rate at the time.In the event that payment by instalments has beenagreed, the customer will be default of payment if he failsto pay an instalment within one week of the paymentdeadline.In the event of default in payment and justified doubt onthe behalf of HAWEKA as to the customer's ability to payor creditworthiness, HAWEKA will be entitled to demandsecurity or advance payment for outstanding deliveriesand to demand the immediate payment of any otheroutstanding claims. This will not affect any of the otherrights of HAWEKA. In the event that the customer fails toprovide payment or security, HAWEKA will be entitled toeither partially or fully withdraw from the contract anddemand compensation for non-fulfilment.The customer will not be entitled to enforce a claim for theretention of payments. The customer will not be permittedto set-off against payment any possible claims againstHAWEKA unless these claims are indisputable or resjudicata.

The delivery period will begin on the day of finalconfirmation of the order, however not before the finalclarification of all relevant details. An agreed deliveryperiod will be deemed as having been observed oncenotification of readiness to dispatch has been givenbefore the expiry of this delivery period.The agreed delivery period will be extended by the periodin which the customer is in default of this contract oranother contract with the company HAWEKA. This willnot affect the rights of HAWEKA arising from default inpayment on the side of the customer. Partial deliverieswill be permitted.In the event that HAWEKA falls into default, the customerwill be obliged to set an appropriate period of grace fordelivery of the order. The customer will only be entitled towithdraw from the contract after the expiry of this period ofgrace.The right of the customer to enforce a claim forcompensation for damages arising as a result of the non-observance of delivery periods and deadlines will beexpressly excluded.In the event that the company HAWEKA is forced towithdraw from the contract as a result of impossibledelivery periods for a reason for which HAWEKA is notanswerable or as a result of the destruction of or damageto the goods to be delivered, the right of the customer toenforce a claim for compensation for damages will beexpressly excluded.

Force majeure is defined as circumstances and eventsthat can not be avoided using the care and diligence of aprudent businessman. The occurrence of any suchcircumstances and events will suspend the obligations ofboth parties to this contract for the entire duration of theoccurrence and its effects. In the event that the delay thatarises as a result of these circumstances exceeds aperiod of six weeks, both parties to this contract will beentitled to withdraw from the affected part of the contract.No further claims will exist.

The company HAWEKA will reserve ownership of alldelivered goods until payment has been made in full,including all ancillary costs (e.g. for transport, installation,delivery of spare parts etc.). HAWEKA will be entitled toset-off all payments if so wished. The rights of thecustomer as granted in section 366 of German Civil Code(BGB) will be expressly excluded. Until payment hasbeen made in full, ownership of the delivered goods willbe reserved as security for the balance of the claim.Until payment is made in full, it will be deemed that thecustomer is safeguarding the delivered goods forHAWEKA. Until payment has been made in full thisreservation of ownership will remain in existence. Thecustomer will not be permitted to pledge the goods underreservation of ownership without the express prior writtenpermission of HAWEKA, nor will he be allowed to assignthem as security, hire them out, lease them to a thirdparty, give them away as a gift, move them to anotherlocation or allow them to be used by a third party. In theevent that the delivered goods are sold on by thecustomer permissibly in a normal business transaction,the ownership of the goods will be replaced by the claimof the customer against the purchaser of the goods,which is herewith assigned to HAWEKAand which will bein the same amount as the claim of HAWEKA against thecustomer. In the event of the sale of the goods by thecustomer to a third party during the period of reservationof ownership by HAWEKA, the customer will be obliged tolegally reserve ownership of the goods on behalf ofHAWEKA and to deposit incoming payments for thegoods separately and forward these to HAWEKAimmediately.At the request of HAWEKA, the customer will be obligedto disclose the name of the third party purchaser of thegoods and inform this third party of the structure ofownership of the goods.The customer will only be entitled to collect outstandingdebts from the sale of the goods to a third party for as longas he himself is not in default in payment. In the event thatthe customer falls into default in payment, the right tocollect outstanding debts will automatically pass toHAWEKA.

In the event that the delivered goods become an intrinsicpart of another object through combination with thatobject, the customer herewith transfers proportional co-ownership of this object to HAWEKA. In the event of thesale of this object by the customer to a third party, thecustomer will be obliged to impose appropriatereservations on the third party in order to guarantee therights of HAWEKA.

During the period of reservation of ownership, thecustomer will be obliged to keep the delivered goods ingood condition at all times and carry out any repairs andmaintenance work that is necessary at his own cost. ble

Furthermore, the customer will also be obliged to insurethe delivered goods against breakdown, fire damage,water damage, theft and burglary on the condition that allclaims from this insurance coverage are payable toHAWEKA. In the event that HAWEKA demands proof ofappropriate insurance coverage and if the customer isunable to furnish HAWEKAwith such proof, HAWEKAwillbe entitled to take out an appropriate insurance policy forthe delivered goods at the cost of the customer.In the event that the delivered goods are assigned orpledged by a third party, the customer will be obliged toinform HAWEKA of this and forward all relevantdocumentation concerning this transaction. Thecustomer will be obliged to take any steps necessary inorder to protect the rights of HAWEKA.

If delivery is agreed carriage prepaid, risk will betransferred to the customer at the time of transfer of thegoods to the freight carrier or haulage contractor at theplace of consignment. In the event that consignment isdelayed by the customer, risk will be transferred to thecustomer at the time of declaration of readiness todispatch.

The return of HAWEKA products will only be permitted ifdefects are present and these defects are caused byHAWEKA. Goods may only be returned after priorconsultancy with our sales department only inaccordance with our instructions. The original invoice anda returned goods slip must be sent with the returnedgoods. In the event of defects to new machinery, machineparts and goods, HAWEKA will only be liable for the freeimprovement or replacement of goods that are proven tobe unusable within six months of the date of delivery. Anyfurther claims will be expressly excluded. HAWEKA willnot be liable for damages caused through natural wearand tear or improper use. Furthermore, HAWEKA willalso not be liable if HAWEKA's obligation to improve orreplace defective goods is complicated by failed attemptsby the customer to remedy defects. The lack ofguaranteed qualities will also be deemed a defect in thesense of the conditions for delivery. HAWEKA will not beobliged to remedy any existing defects if the customerfalls into default in payment. HAWEKAwill not be liable fordelivered goods that are subject to premature wear andtear as a result of quality of materials or use. Replacedparts will become the property of HAWEKA.HAWEKA sells all used machinery, machine parts andgoods as seen and exclusively with those accessoriesavailable at the time of sale. The liability of HAWEKA andthe payment of compensation for obvious or latentdefects to used goods is expressly excluded. Onceinspected, collected and shipped, used machinery,machine parts and goods are deemed as approved andaccepted.The customer will be obliged to freely grant HAWEKA thenecessary time and opportunity to carry out anyalterations and deliveries of spare or replacement partsand equipment required for the elimination of defects. Atthe request of HAWEKA, the customer will also beobliged to make any necessary helpers available toHAWEKA. If the complaint of the customer is justified anda manufacturing defect truly exists, HAWEKA will beliable for any costs incurred. If this is not the case, thecustomer will be liable for costs. The customer will beobliged to inform HAWEKA immediately in writing uponthe discovery of any defect. At the request of HAWEKA,the customer will also be obliged to return defective partscarriage prepaid to HAWEKAfor inspection.

The customer will be entitled to withdraw from thecontract if HAWEKA fails to eliminate or remedy a defectfor which HAWEKA is responsible within an appropriateperiod of time to be determined by the customer. Thecustomer will also be entitled to withdraw from thecontract if attempts at improvement or replacement ofparts are not sufficient for the elimination or remedy of areported defect. Furthermore, the customer will also beentitled to withdraw from the contract if HAWEKA refusesto eliminate or remedy a defect for which it is responsible.All further claims, in particular claims to compensation fordamages, are expressly excluded.

The place of performance and place of jurisdiction will beBurgwedel. HAWEKAwill also be entitled to enforce legalaction against the customer at the court with jurisdictionover his place of business.

In the event of that an individual condition of the contractis or becomes invalid or ineffective, this will not affect theother conditions of the contract. The contract isexclusively subject to the law of the Federal Republic ofGermany.
