CONDITIONS OF SALE - APRIL 2003

GENERAL1.1 In these conditions “the Company” shall meanPolypipe Civils Limited and “the Products” shall mean allgoods and services and associated documentation to besupplied under this Contract. “Writing” includes telex,cable, facsimile transmission, electronic data transferand comparable means of communication. All quotationsare made and all orders are accepted subject to theseconditions. All other terms conditions or warrantieswhatsoever are excluded from the contract or anyvariation thereof unless expressly accepted by theCompany in Writing (order acknowledgments do notconstitute such acceptance). In particular, in nocircumstances will any conditions of purchase submittedat any time by the Customer be applied to this or anyother Contract and any failure by the Company tochallenge any such conditions of purchase does notimply acceptance of those conditions of purchase. In theevent of a conflict between these conditions and thespecific terms and conditions of quotation then thelatter shall prevail. Acceptance by the Customer ofdelivery of the Products shall be deemed to constituteunqualified acceptance of these conditions.1.2 Unless otherwise stated therein quotations shall beavailable for acceptance for a maximum period of 30days from issue and may be withdrawn at any time bywritten or oral notice.1.3 Any statement or representation (other than in theCompany’s quotation or order acknowledgement) by theCompany its servants or agents upon which theCustomer wishes to rely must be set out in Writing andattached to or endorsed on the Customer’s order and inany such case the Company may confirm, reject orclarify the point and submit a new quotation. Anystatement or representation which is not so confirmedin Writing is followed or acted upon entirely at theCustomer’s own risk.1.4 The contract is between the Company and theCustomer as principals; neither the benefit nor theburden is assignable by the Customer without theCompany’s written consent; the contract may beassigned or subcontracted by the Company.1.5 Unless specifically agreed to the contrary all tradeterms shall be interpreted in accordance with currentINCOTERMS.1.6 If, subsequent to any contract of sale which issubject to these conditions, a contract of sale is madewith the same Customer without reference to anyconditions of sale or purchase, such contract howsoevermade shall be deemed to be subject to these conditionsor (if different) the standard Conditions of Sale of theCompany current at the time when such contract of saleis made.

ELECTRONIC TRADING2.1 If the Company and Customer agree that electronictrading between them shall be a basis for orderprocessing and invoicing then the Standard InterchangeAgreement (3rd Edition December 1993 as amended orrevised from time to time) of the Electronic CommerceAssociation (or any successor body or association) shallbe incorporated into the contract by reference. If and tothe extent of any conflict or inconsistency betweenthese conditions and the Standard InterchangeAgreement, the former shall prevail.2.2 Electronic orders shall be valid if all the informationagreed between the Customer and the Company asbeing required is properly set out in the agreed formatand the order is transmitted by the Customer to theCompany by reference to the correct identification codeand is received by the Company when collecting itselectronic mail from the relevant system.2.3 Each valid electronic order will be deemed acceptedby the Company unless the Company communicatesrejection of the order to the Customer by electronic orother means (including telephone) within two workingdays of receipt. Acceptance of an order shall constitutea contract for sale and purchase to which theseconditions and the Standard Interchange Agreementshall apply.

DELIVERY3.1 Unless otherwise agreed in Writing by the Companydelivery shall be deemed to take place in the case of exworks sales when the Products are made available by theCompany for collection by the Customer or its carrierand in all other cases upon delivery by the Company tothe agreed mainland UK delivery point airport or port butbefore the Products are unloaded, which shall be theresponsibility of the Customer.3.2 The Company shall not be obliged to make deliveryunless and until the Company has received all necessaryinformation drawings final instructions and approvalsfrom the Customer and any delays or alterations by theCustomer may result in delayed delivery for which theCompany shall not be responsible.3.3 All dates and periods for delivery are estimated anddo not constitute fixed times for delivery by theCompany. Unless otherwise expressly agreed in Writingby the Company the Customer shall have no right todamages or to cancel the contract for failure arisingfrom any cause to meet any delivery times given in thecontract or subsequently set.3.4 Notwithstanding Clause 3.3 the Customer shall beobliged to accept delivery on the date or within theperiod stated in the quotation or order oracknowledgement or (if none is so stated) in the orderor (if none is so stated) one month after the issue ornotice in Writing by the Company requiring theCustomer to accept delivery. Failure by the Customereither to take delivery or to make payment in respect ofany one or more instalments of Products shall entitle theCompany to terminate the Contract (such right iswithout prejudice to any other rights and remediesavailable to the Company) whether expressly providedfor in these Conditions or implied by any rule of law.3.5 Where the Customer requests and the Companyagrees to postpone delivery or where delivery isotherwise postponed without default by the Companythe Customer shall pay upon receipt of written demandfrom the Company all costs and expenses including areasonable charge for storage and transportationoccasioned thereby and the Customer shall pay for theProducts in accordance with these conditions as if thesame had been delivered in the ordinary course withoutreference to the postponement. In addition, theCompany shall be entitled to claim interest pursuant toClause 7.3.2 of these Conditions from the date on whichpayment would have fallen due, had the Products beendelivered in the ordinary course but for thepostponement.3.6 Unless otherwise expressly agreed in Writing theCompany may effect delivery in one or moreinstalments. Where delivery is effected by instalments

each instalment shall be treated as a separate contractgoverned by these conditions. No delay in the deliveryof any instalment of Products or any defect therein shallentitle the Customer to terminate the remainder of thecontract.

RISK AND TITLE4.1 Risk of damage to or loss of the Products shall passto the Customer upon delivery and the Customer is thensolely responsible for all loss damage or deterioration tothe Products.4.2 Title to the Products shall not pass to the Customeruntil either:4.2.1 The Company has received in cash or cleared fundsall monies payable (whether or not due) to the Companyunder this and any other contracts whenever madebetween the Company and the Customer includingcontracts made after this contract; or4.2.2 When the Company serves on the Customer noticein Writing specifying that title in the Products or anypart thereof has passed.4.3 Until title has passed to the Customer the Companymay require the Customer to deliver up to the Companyall products in respect of which the Company has titleand if the Customer fails to do so forthwith theCompany’s officers, employees, representatives oragents shall be entitled to enter upon any premiseswhere such Products are kept for the purposes ofrecovering the same.4.4 Until title to the Products has passed to theCustomer pursuant to these conditions it shall possessthe Products as fiduciary agent and bailee of theCompany and shall store the Products separately fromother goods not owned by the Company and shall ensurethat they are fully insured on an all risks basis and clearlyidentifiable as belonging to the Company and theCompany shall be entitled to enter upon any premiseswhere such Products are kept for the purpose ofsatisfying itself that this condition is being compliedwith by the Customer.

4.5 In the event that the Customer has any contract withany other company under the ultimate control of theparent company that has ultimate control of theCompany under which any monies are outstanding(whether or not due) then the Customer shall not(notwithstanding that title would otherwise passpursuant to Clause 4.2 above) obtain title to theProducts or other goods supplied by the Company underthis or any other contracts between them until suchother company has received in cash or cleared funds allsuch monies.

CANCELLATION AND AMENDMENT5 No contract can be amended or cancelled except withthe Company’s approval in Writing and should suchapproval be given the Customer shall indemnify theCompany against any costs, losses or expenses resultingfrom any cancellation or amendment.

PRICES6.1 Unless otherwise agreed in Writing all prices are netfor delivery ex works and VAT and any other applicabletaxes are payable in addition. Unless otherwisestipulated by the Company in Writing prices are payablein Sterling or if the Sterling currency shall cease to existwhen the contract is made, shall be payable in suchcurrency as replaces the Sterling currency.6.2 The Company shall be entitled at any time by givingnotice in Writing, before at or after final invoicing tomake a reasonable adjustment to the price in the eventof any alteration in quantity, design or specificationrequested by the Customer.6.3 The Company reserves the right at any time prior todelivery by giving notice in Writing to increase the priceif there is any increase in the cost of materials labourtransport or utilities or if the costs of the Company areincreased by any other factor beyond the reasonablecontrol of the Company.6.4 Charges made on the Company’s invoice for cases willbe credited on their return to the Company’s premisescarriage paid and in good reusable condition. Casesshown as returnable but not charged on the Company’sinvoice must be returned to the Company’s premisescarriage paid and in good re-usable condition otherwisean additional charge will be made in respect of theircost.6.5 The Customer shall be liable to the Company for anydemurrage costs incurred in the event of vehicles beingunduly delayed at the point of delivery.

TERMS OF PAYMENT7.1 Unless otherwise agreed by the Company in Writing,payment shall be made by the last day of the monthfollowing the month of invoice and the Company shall beentitled to issue invoices in the month in which theProducts are delivered or would have been delivered,save for postponement otherwise than due to default onthe part of the Company. Time for payment of the priceis of the essence of the contract.7.2 No disputes arising under this contract shall serve topermit payment by the Customer of sums due to theCompany to be delayed nor shall disputes interfere withprompt payment in full. The Buyer shall not be entitledto make any deduction from sums owing to theCompany by reason of any such dispute.7.3 In the event of default in payment by the Customerthe Company shall be entitled without prejudice to anyother right or remedy:7.3.1 To suspend without notice all further deliveries onthis or any other contracts between the Company andthe Customer;7.3.2 To charge interest on a daily basis (after as well asbefore judgement) on any amount outstanding at therate of 4% above the Base Rate of Lloyds Bank plc fromtime to time; and/or7.3.3 To serve notice on the Customer requiringimmediate payment for all goods supplied by thecompany under this and all other contracts betweenthem whether or not payment is otherwise due orinvoiced.

SPECIFICATIONS8.1 Subject to Clause 8.2 the Products shall in all materialrespects be of such specification agreed between theCompany and the Customer under the contract, or (ifnot so agreed) shall be generally in all material respectsin accordance with any published specification issued bythe Company.8.2 The Company reserves the right to make changes indimensions or other specifications of the Products asare required to conform to applicable standards or lawsor are otherwise within reasonable limits having regardto the nature of the Products. Dimensions specified bythe Company are to be treated as approximate only

unless it is specifically agreed in Writing that exactmeasurements are required.

LOSS SHORTAGES AND DAMAGE APPARENT ON DELIVERYINSPECTIONS9.1 The Customer shall have no claim for loss, shortagesor damage on delivery which are or would be apparenton inspection unless the Customer:9.1.1 Unpacks and inspects the Products as soon asreasonably practicable following receipt;9.1.2 Notifies the Company of any loss, shortages ordamage (otherwise than by a qualified signature on thedelivery note) within ten working days of receipt; and9.1.3 Demonstrates to the satisfaction of the Companythat such loss, shortages or damage occurred prior todelivery.9.2 The Customer shall have no rights in respect of lossshortages or damage unless the Company is given areasonable opportunity to inspect the Products andinvestigate any complaint before any use of or alterationto or interference with the Products.9.3 On a valid complaint made in accordance with thisClause the Customer shall be entitled (in the case ofnotified shortages) to receive within a reasonable time adelivery of Products equivalent to the shortfall and (inthe case of defects) to repairs to or replacements forthe affected Products or at the Company’s option acredit for the price thereof but the Company shall haveno further liability whatsoever. If a complaint of lossshortages or damage on delivery is not made to theCompany in accordance with this Clause 9 then theProducts shall be deemed to be delivered complete andundamaged in accordance with the contract and theCustomer shall be bound to pay for the sameaccordingly.9.4 Loss shortages or damage in a delivery or anyinstalment delivery shall not be a ground for terminationof the contract or the remainder of the contract (as thecase may be).

WARRANTY10.1 The Company warrants that Products which do notcomply with either Clause 8.1 or Sections 13 to 15 ofthe Sale of Goods Act 1979 (as amended by the Saleand Supply of Goods Act 1994) or are shown to havebeen defective at delivery as a result of faulty designworkmanship or materials (other than free-issuematerials), shall either be repaired or replaced or that, atthe Company’s option, a credit or refund for the pricethereof shall be given provided always that:10.1.1 The Company receives written notice of the defectwithin 12 months of delivery;10.1.2 No alteration to or interference with the Productstakes place before the Company is given access to theProducts to inspect and test the same;10.1.3 The defect does not consist of a loss shortage ordamage to which Clause 9 is expressed to apply;10.1.4 The defect does not arise by reason of a designspecification or instruction given by the Customer;10.1.5 The Customer has not defaulted in its obligation tomake payment of the contract price for the Products;10.1.6 The defect shall not be attributable to incorrectstorage or use of the Products by the Customer.10.2 The benefit of Clause 10.1 shall only extend toProducts or parts not manufactured by the Company tothe extent that the Company has equivalent recourseagainst the manufacturer or supplier thereof.10.3 The Customer shall indemnify the Company inrespect of loss or damage arising from any use made ofProducts after the Customer became or oughtreasonably to have been aware of a defect.10.4 In the event of a valid claim being made inaccordance with Clause 10.1:10.4.1 The Customer shall be bound to accept repaired orreplacement Products or at the Company’s option creditor repayment and shall not be entitled to terminate thecontract;

10.4.2 If the Company does not repair or replace Productswithin 60 days or such longer time as may be reasonablethen the Customer’s sole remedy shall be an entitlementto full credit or repayment in respect of the defectiveProducts; and the Company shall be under no furtherliability in respect of any loss or damage arising from thedefect or from any delay before repair replacementcredit or refund is effected.

LIABILITY11.1 The Company does not exclude liability arising underSection 12 of the Sale of Goods Act 1979 (good title)(as amended by the Sale and Supply of Goods Act1994) or for death or personal injury caused by itsnegligence as defined in the Unfair Contract Terms Act1977.11.2 Save as provided under Clauses 9, 10 and 11.1 theCompany shall have no liability to the Customer inconnection with or arising from any defect or failure inthe Products or otherwise due to the quality conditionsuitability durability safety or any other aspect orfeature of the Products. Save for death or personalinjury attributable to the proven negligence of theCompany, the Company’s liability, whether in respect ofone claim or in the aggregate, shall not exceed thecontract price payable under this contract for the supplyof Products to be provided under it. The Customeracknowledges that the limitation of the Company’sliability is reasonable in all the circumstances and theCustomer agrees that it is its own responsibility toinsure adequately to cover any loss or damage in excessof the aforesaid limit of the Company’s liability. Subjectto reaching agreement on terms, the Company and theCustomer may determine an increased level of liabilitywhich is to be accepted in Writing by the Company tocover, in particular specific types of loss or damagewhich both parties reasonably foresee and anticipate.11.3 In Clause 11.2 the term “liability” means any form ofliability whatsoever including but not limited to liability inmisrepresentation and under contract common lawequity and any statutory provision whether or not basedon negligence or breach of any express or implied dutyto act with care or skill.11.4 Notwithstanding any other provisions of theseconditions the Customer shall have no claim against theCompany in respect of any loss other than strictly directlosses (meaning for these purposes the increased costsof purchasing products from a third party or the cost ofremedial repair work) and specifically consequential,financial economic loss whether direct or indirectincluding but not limited to any incidental costs ofdismantling fitting or other ancillary work required inconnection with the provision of a repair or replacement,any loss of production profits contracts loss of use oranticipated savings and any claims made against theCustomer by any third party are excluded even ifreasonably foreseeable.11.5 To the extent that any liability of the Company is

expressed to be limited or excluded by these conditionsthe Customer shall indemnify the Company in respectthereof.

CONFIDENTIAL INFORMATION ETC12 All drawings documents records computer softwareand other information supplied by the Company aresupplied on the express understanding that copyright isreserved to the Company and that the Customer will notwithout written consent of the Company either giveaway loan exhibit or sell the same or extracts therefromor copies thereof or use the same in any way except inconnection with the Products in respect of which theyare issued.

PATENT INDEMNITIES13.1 If the Customer is subject to a claim or threatenedwith any action alleging that the Products in the formsupplied infringe any patent copyright design right orother intellectual property rights then provided that theCustomer promptly informs and fully co-operates withthe Company and if requested allows the Company theconduct and defence thereof on the Customer’s behalf,the Company will indemnify the Customer against anyaward or damages for infringement made in any suchaction by a court or other competent body against theCustomer. Further, if the Products are infringing theCustomer agrees that the company shall have the optionat its own expense either to modify the Products so thatthey do not infringe or to replace the Products with anon-infringing substitute or to procure for the Customerthe right for the Customer to continue its use of theProducts or to repurchase the Products from theCustomer at the price paid by the Customer less anallowance for the use made thereof.13.2 The Company shall have no liability in respect ofclaims for infringement or alleged infringement of thirdparties patent or other intellectual property rightsarising from the manufacture or supply of the Productsto the Customer’s instructions or in accordance withdesigns plans or specifications given by the Customerand the Customer shall indemnify the Company againstall losses damages expenses costs or other liabilityarising from such claims.

CUSTOMER’S DRAWINGS14 The Customer shall be solely responsible for ensuringthat all drawings information advice andrecommendations specified or given to the Company bythe Customer or its agents, servants consultants oradvisers are accurate correct and suitable. Examinationor consideration by the Company of such drawingsinformation advice or recommendations shall not resultin any liability on the part of the Company.

COMPANY LITERATURE15 The information contained in the advertising salestechnical and other literature issued by the Companymay be relied upon to be accurate in the exactcircumstances in which it is expressed otherwise anyillustrations performance details examples ofinstallations and methods of assembly and all otherinformation and data in such literature are based onexperience and upon trials under test conditions and areprovided for general guidance only. No such informationor data shall form part of the contract unless it isspecifically referred to in the quotation or orderacknowledgement or the Customer shall have compliedin respect thereof with Clause 1.3.

TERMINATION16.1 Without prejudice to any other rights or remedies ofthe Company it shall be entitled in any of the followingcircumstances to terminate (in whole or in part) this andany other contract whenever made between theCompany and the Customer and/or to suspenddeliveries and/or to receive upon demand payment of allmonies payable under any such contracts whether ornot otherwise due:16.1.1 The Customer made or proposes any voluntaryarrangement with its creditors or becomes subject to anadministration order or becomes bankrupt or goes intoliquidation;16.1.2 An encumbrancer takes possession or a receiver isappointed of any of the property or assets of theCustomer;16.1.3 The Customer becomes unable to satisfy its debtsas they fall due or cease, or threatens to cease to carryon business;16.1.4 The Company reasonably believes that any of theevents mentioned above or any equivalent or similarevent under any relevant laws to which the Customer orany connected person is subject has or may occur;16.1.5 The Customer or any connected person commitsany breach of this or any either contract whenever madebetween the Customer and the Company.

FORCE MAJEURE17.1 The Company shall be excused performance of itsobligations whilst and if affected by act of Godgovernmental restriction condition or control, any actdone or not done pursuant to a trade dispute whethersuch dispute involves its employees or not, default bysuppliers of the Company, shortage of materials or byany other act matter or thing beyond its reasonablecontrol including failure by the other party to carry outanything required for performance of the contract.17.2 In the event that the Company does not perform itsobligations by reason of any of the causes referred to inClause 17.1 within six months after the time forperformance then the Company may by written noticeterminate the contract without liability save that theCustomer shall pay for any Products delivered orcompleted at the time of termination.

TOOLS18 Any tools (such as jigs, dies, etc) which the Companymay construct or acquire specifically in connection withthe Products shall, notwithstanding any charges theCompany may make for them, be and remain theCompany’s sole and unencumbranced property and inthe Company’s possession and control withoutrestriction.

FREE-ISSUE MATERIALS19.1 Free-issue material shall be insured by and remain atthe risk of the Customer at all times and the Companyshall be indemnified by the Customer against any lossdamage injury or expense whatsoever arising directly orindirectly therefrom and the company shall not be liablefor loss of or damage to any such materials duringfabrication by the Company or sub-contractor employedby the Company or whilst on the premises of the
