QUALIFYING REQUIREMENT (QR) OF THE BIDDER
To be qualified for the contract, the bidder must meet the following minimum pass/fail criteria for the following scopes of works:
1.0 Construction of 132 kV Single Circuit Transmission Line.
Scope of Work: (i) Detailed survey, route alignment, profiling, tower spotting, optimization of tower
locations, soil resistivity measurement, geotechnical investigation i/c soil investigation, ROW clearance and check survey.
(ii) Excavation, benching, casting of foundation i/c foundation for tower footings as per the approved designed and drawing by the owner.
(iii) Erection of towers, tack welding of bolts & nuts i/c supply and application of zinc rich primer and enamel paint, Painting of towers for aviation requirements (wherever applicable), tower earthlings, fixing of required insulators, supplying & stringing of conductors, earthwire along with all necessary line accessories.
(iv) Testing & Commissioning of the erected transmission line. (v) Providing of type and destruction test at the manufacturer premises. (vi) Reliability tests, Performance tests on completion of commissioning. (vii) Project management and site organization, providing detailed work plan, PERT,
Bar chart etc. (viii) Obtaining clearances from Statutory Agencies, Govt. Departments.,Village
Panchayats etc. (ix) Submission of Specifications/Test Certificates of all materials supplied. (x) Submission of any other information/documents in respect of the project as and
when asked for.
Scope of work given above is only indicative. The detailed scope has been described in the Schedule-3 & 4 of Part-III at Vol-1/2 bidding documents.
1.1 (i) The bidder should have experienced / completed successfully as a prime contractor or as a sub-contractor or as a member in a Joint Venture etc. have surveyed , optimized , tower locations, erected & stringing not less than 25 Km & above of 132 KV Single Circuit Transmission line or of higher voltage class to state electricity board or power utility like PGCIL, State Power Transmission utility, which must be in satisfactory operation at least 2 (two) years as on date of bid opening. Such certificate should not be signed below the rank of Chief Engineer or analogical post. The bidder should submit user certificate indicating name of the line constructed, its voltage class and period of completion.
(ii) The bidder should submit “JOINT UNDERTAKING (S)”, executed by the bidder and the
manufacturer(s) as per proforma in Annexure-A of Part-II for each of the following items of the projects:
a) Conductor. b) GI Structure and associated items. c) Disc insulators and its hardware fittings.
[N.B:- Only applicable items of the projects tendered shall be submitted]. Exceptions: A manufacture who is already a Joint Venture partner to this tender, need not submit
this under-taking again for the items they manufactures.

1.2 Bids must be submitted by an individual firm or firms under Joint Ventures Agreement/Consortium either as:
(a) A single firm which meets all the Qualification requirements set-forth in at clause 1.1 through to 1.10 of Part-II.
OR
(b) A Joint venture/Consortium of two or more firms as partners meeting the following requirements:
(i) All partners individually or jointly meet all the qualifying requirements set forth in clause 1.1 through to 1.10 of Part-II.
(ii) One of the partners should be nominated as lead partner, and the lead partner shall be authorized to incur liabilities and receive instructions for and on behalf of any and all partners of Joint Venture/Consortium and the entire execution of the contract including receipt of payment shall be done exclusively through the lead partner. This authorization shall be evidenced by submitting a Power of Attorney signed by legally authorized signatories of all partners as per proforma in Annexure–B of Part-II.
(iii)All partners of Joint Venture/Consortium shall be liable jointly and severally for the execution of the contract in accordance with the contract terms and each partners shall sign a joint venture agreement as per proforma annexed as Annexure-C and a copy of the agreement entered into by the Joint venture partners/Consortium having such a provision shall be submitted with the bid. A statement to this effect shall be included in the authorization mentioned above as well as in contract form.
1.3 The average annual turn over of the bidders for the best three financial years out of last five (5) financial years of the bidder as annualized should be at least Rs. 3537.18 lacs . In case the bid is submitted as Joint Venture/Consortium, the figure for each of the partner of the Joint Venture/Consortium shall be added together to determine the bidders compliance with the minimum average annual turn over requirements. However, in order for a Joint Venture/Consortium to qualify, the partners of Joint Ventures/Consortium must meet the following minimum criterion.
(i) The lead partner must meet at least 40% of the minimum criteria given in clause 1.3 above.
(ii) Each of the other partner must meet at least 25% of the minimum average annual turn over criteria given at Para 1.3 above.
1.4 The bidder shall have Liquid Assets (LA) and/or evidence of access to or availability of credit facilities of not less than Rs. 2000.00 lacs .
1.5 The Bidder shall furnish documentary evidences in support of the qualifying requirement stipulated above as per Schedule-1 of Part-II.
1.6 The Bidder shall clearly list out all Commercial or Technical deviations from the Bid stipulation as per Schedules-2 & Schedules-3 of this document.
1.7 The Bidder shall list out all additional information furnished along with the Bid as per Schedule-4 of this document.
1.8 The Bidder shall list out all information regarding Ex-employees of the Department of Power, Arunachal Pradesh, as per Schedule-5 of this document.
1.9 The bidder shall declare that their prices are firm basis as per Schedule – 6 of this document.

1.10 The manufacturers of joint under taking company/firm ( G.I. structures/ ACSR conductor/ Disc insulators) should have adequate manufacturing capacity and financial capacity as per the following criteria (should be supported with the audited balance sheet of the each manufacture certified by the Charted Accountant )with positive net worth.
Financial:-
The average annual turnover of the manufacturers of the G.I. structures for the best three financial years out of last five(5) financial years as annualized should be at least Rs. 100.00 Crore
The average annual turnover of the manufacturers of the ACSR conductor for the best three financial years out of last five(5) financial years as annualized should be at least Rs. 150.00 Crore
The average annual turnover of the manufacturers of the Disc insulator for the best three financial years out of last five(5) financial years as annualized should be at least Rs. 10.00 Crore
Technical:-
Should have supplied atleast 10,000 MT. G.I structure in 3 years.
Should have supplied atleast 13,000 KM ACSR conductor in 3 years.
Should have supplied atleast 1,70,000 Nos. Disc insulator in 3 years.
The completion certificate should be submitted in support of their claim.

PROFORMA OF JOINT UNDERTAKING BY MANUFACTURER ALONGWITH THE BIDDER/CONTRACTOR
(IN NON-JUDICIAL STAMP PAPER OF APPROPRIATE VALUE)

WHEREAS the “Owner” invited Bid as per its Specification No. DOP/TED/PACKAGE-A/KHUPPI-TAWANG/132 KV/SC-TL for the design, manufacture, supply and erection, testing and commissioning of the project.
AND WHEREAS Clause No. 1.1 (ii) & 1.2, Section QR of Part-II forming part–III of the Bid Documents inter-alia stipulates that the Bidder along with Manufacturer must fulfill the Qualifying Requirements and be jointly and severally bound and responsible for the quality and timely supply of Conductor, GI Structures and other associated items in the event the Bid submitted by the Bidder is accepted by the Owner resulting in a Contract.
AND WHEREAS the Bidder has submitted its Bid to the Owner vide Proposal No.………., dated ………….., based on tie up with the Manufacturer for supply of steel tubular poles/Transformers/Conductors.
NOW THEREFORE THIS UNDERTAKING WITNESSETH as under:
1.0 In consideration of the award of Contract by the Owner to the Bidder (hereinafter referred to as the “Contract”) we, the Manufacturer and the Bidder/Contractor do hereby declare that we shall be jointly and severally bound unto the Department of Power, for the design, manufacture, testing, supply of Conductors, GI Structures and other associated items etc. on FOR destination delivery at site basis in accordance with the Contract Specifications.
2.0 Without in any way affecting the generality and total responsibility in terms of this Deed of Undertaking, the Manufacturer hereby agrees to depute their representatives from time to time to the Owner’s Project site as mutually considered necessary by the Owner, Bidder/Contractor and the Manufacturer to ensure proper quality, manufacture, testing and supply on FOR destination delivery at site basis and successful performance of the material in accordance with Contract Specifications.
3.0 Further, if the Owner suffers any loss or damage on account of non-performance of the material (steel tubular poles, conductors, distribution transformers, other electrical line & sub-station materials including meters, cables and other accessories etc.) fully meeting the performance guaranteed as per Bid Specification in terms of the contract. We the Manufacturer and the Contractor jointly and severally undertake to pay such loss or damages to the Owner on its demand without any demur.

4.0 This Deed of Undertaking shall be construed and interpreted in accordance with the laws of India and the Courts in Itanagar shall have exclusive jurisdiction in all matters arising under the Undertaking.
5.0 As a security, the ‘Manufacturer shall apart from the Contractor’s performance guarantee of 15% of the contract price, furnish a Contract Performance Guarantee from its Bank in favour of the Owner in a form acceptable to the Owner. The value of such guarantee shall be equivalent to 2% of the cost of Conductors, GI structures and other associated items to be supplied by the Manufacturer as identified in the Contract awarded by the Owner to the Bidder/Contractor and it shall be part of guarantee towards the faithful performance/compliance of this Deed of Undertaking in terms of the Contract. The guarantee shall be unconditional, irrevocable and valid for the entire period of the Contract, namely till the end of the warranty period under the Contract. The Bank Guarantee amount shall be payable to the Owner on demand without any reservation or demur.
6.0 We, the Manufacturer/Bidder/Contractor agree that this Undertaking shall be irrevocable and shall form an integral part of the Contract and further agree that this Undertaking shall continue to be enforceable till the Owner discharges it. It shall become operative from the effective date of Contract.

iii) To do any other act or submit any document related to the above.
iv) To receive, accept and execute the Contract for and on behalf of the "Joint Venture".
It is clearly understood that the Partner-in-charge (Lead Partner) shall ensure performance of
the Contract(s) and if one or more Partner(s) fail to perform their respective portion of the
Contract(s), the same shall be deemed to be a default by all the Partners. It is expressly
understood that this Power of Attorney shall remain valid, binding and irrevocable till
completion of the Defect Liability Period in terms of the Contract.
The Joint Venture hereby agrees and undertakes to ratify and confirm all the whatsoever, the
said Attorney/Authorized Representative/Partner-in-charge quotes in the bid, negotiates and

The above clause further states that the Joint Venture agreement shall be attached to the bid
and the contract performance guarantee will be as per the format enclosed with the bidding
document without any restriction or liability for either party.
AND WHEREAS the bid has been submitted to the Owner vide Proposal No. .....................,
dated, ..................., by Lead Partner based on the Joint Venture Agreement between all the
Partners under these presents and the bid, in accordance with the Qualification
Requirements of the Bidders Section- Part-II, has been signed by all the partners.
NOW THIS INDENTURE WITNESSETH AS UNDER:
In consideration of the above promises and agreements all the Partners to this Joint Venture do hereby now agree as follows: 1. In consideration of the award of the Contract by the Owner to the Joint Venture partners,
we, the Partners to the Joint Venture agreement do hereby agree that M/s. ……………………………….., shall act as “Lead Partner” and further declare and confirm that we shall jointly and severally be bound unto the Owner for the successful performance of the Contract and shall be fully responsible for the design, manufacture, supply, erection, commissioning and successful performance of the equipment in accordance with the Contract.
2. In case of any breach of the said Contract by the “Lead Partner” or other Partner(s) of the Joint Venture agreement, the Partner(s) do hereby agree to be fully responsible for the successful performance of the Contract and to carry out all the obligations and responsibilities under the Contract in accordance with the requirements of the Contract.
3. Further, if the Owner suffers any loss or damage on account of any breach in the Contract or any shortfall in the performance of the equipment in meeting the performance guaranteed as per the specification in terms of the Contract, the Partner(s) of these presents undertake to promptly make good such loss or damages caused to the Owner, on its demand without any demur. It shall not be necessary or obligatory for the Owner to proceed against Lead Partner to these presents before proceeding against or dealing with the other Partner(s).
4. The financial liability of the Partners of this Joint Venture agreement to the Owner, with respect to any of the claims arising out of the performance or non-performance of the obligations set forth in the said Joint Venture agreement, read in conjunction with the relevant conditions of the Contract shall, however, not be limited in any way so as to restrict or limit the liabilities of any of the Partners of the Joint Venture agreement.
5. It is expressly understood and agreed between the Partners to this Joint Venture agreement that the responsibilities and obligations of each of the Partners shall be incorporated suitably by the Partners to this agreement. It is further agreed by the Partners that the above sharing of responsibilities and obligations shall not in any way be a limitation of joint and several responsibilities of the Partners under this Contract.
6. This Joint Venture agreement shall be construed and interpreted in accordance with the laws of India and the courts of Arunachal Pradesh shall have the exclusive jurisdiction in all matters arising there under.
7. In case of an award of a Contract, We, the Partners to the Joint Venture agreement do hereby agree that we shall be jointly and severally responsible for furnishing a contract performance security/Guarantee from a bank in favour of the Owner in the form

acceptable to Owner for value of 15% of the Contract Price in the currency/currencies of the Contract.
8. It is further agreed that the Joint Venture agreement shall be irrevocable and shall form an integral part of the Contract, and shall continue to be enforceable till the Owner discharges the same. It shall be effective from the date first mentioned above for all purposes and intents.
