Entrants will be required to submit to Sponsor a software package or archive including executable and supporting files /data to run with the SDK as well as a file describing how to install and run the prototype. 6. Submit an image that helps demonstrate the functionality of the proposed App. 7. Create a video that complements your written proposal that describes yourself, your proposed App, and prototype. The video must explain what the prototype is able to do and the ultimate functionality of the proposed App. Provide the YouTube URL link to the video.

All of the above-described elements will be herein referred to as your submission ("Submission"). By submitting and uploading your Submission, you agree and understand that your Submission conforms to the Guidelines and Content Restrictions as defined below (collectively, the “Guidelines and Restrictions”) and that Sponsor, in its sole discretion, may remove your Submission and disqualify you from the Contest if it believes that your Submission fails to conform to the Guidelines and Restrictions.

Guidelines: • All aspects of the Submission (except for the prototype) must be in English;• The video may not exceed five (5) minutes in length and this time limit will be

strictly administered; • The image must be in .jpeg, .tiff or .png format and must not exceed twenty-five

MB in size, and;• The Submission cannot have been previously published or submitted previously in

any promotion of any kind.

Content Restrictions: • The Submission must not contain material that violates or infringes another’s

rights, including without limitation, privacy, publicity or intellectual property rights infringement;

• The Submission must comply with all the requirements of the SDK, its end user license agreement, and without limitation, the privacy requirements and recommendations in Exhibit A of the SDK license agreement to be found at the following URL: http://software.intel.com/sites/default/files/article/328486/intel-pcsdk-beta-eula-121003.doc;

• The Submission must not disparage Sponsor, Administrator or any other person or party affiliated with the Contest;

• The Submission must not contain any Sponsor or third party brand names or trademarks;

• Entrant must have permission from all individuals that appear in the video aspect of the Submission (if any) to use their name and likeness and to grant the rights set forth herein;

• The Submission must not contain material not created by entrant;• The Submission must not contain material that is inappropriate, indecent,

obscene hateful, tortious, defamatory, slanderous or libelous;• The Submission must not contain material that promotes bigotry, racism, hatred

or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and

• The Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any state where Submission is created.

In the event of a dispute as to any Submission, the authorized account holder of the email address, Google+ account, or Facebook account used to register will be deemed to be the entrant and must comply with these Official Rules. The "authorized account holder" is the natural person assigned an email address, Google+ or Facebook account by an Internet access provider or online service provider or other organization responsible. Each entrant may be required to show proof of being an authorized account holder.

The personal data you submit upon registration will be stored on a server in the United States of America. Entry into the Contest constitutes your consent to the export of your personal data to the United States of America and its use there for the purposes of administering this Contest and associated processing (e.g., but not limited to back-up, archiving). All personal data submitted as part of this Contest will be collected by Administrator on behalf of Sponsor in accordance with Sponsor’s privacy policy, available at http://www.intel.com/content/www/us/en/privacy/intel-online-privacy-notice-summary.html. Sponsor has notified the U.S. Department of Commerce that it adheres by the rules of the Safe Harbor Framework available under http://www.export.gov/safeharbor/eg_main_018236.asp.

SPONSOR'S USE OF SUBMISSION MATERIALS : Uploading a Submission constitutes entrant’s consent to grant Sponsor a royalty-free, irrevocable, perpetual (or for the entire term of duration of intellectual property rights), non-exclusive, sub-licensable license to use, reproduce, modify, publish, and display such Submission in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed for promotional or marketing purposes of Sponsor's and/or Creative's products. If requested, entrant will sign any documentation that may be required for Sponsor or its designees to fully exploit the above-referenced license grant to the Submission. In granting Sponsor such license, entrant will represent and warrant that the Submission remains unpublished and does not in any way infringe upon any third party’s intellectual properties. Intellectual property ownership to the Submission remains with the entrant. Entrant shall not exercise his/her moral rights (including, in particular, the right to maintain the integrity of the Submission) vis-à-vis Sponsor and its successors and assigns. Released Parties (as defined below) are not responsible for lost, late, incomplete, invalid, un-intelligible, garbled, delayed or misdirected Submissions; all of which will be void and not considered. Submission shall be subject to the privacy requirements and recommendations in Exhibit A of the SDK license agreement to be found at the following URL: http://software.intel.com/sites/default/files/article/328486/intel-pcsdk-beta-eula-121003.doc.

WINNER DETERMINATION PROCESS: A panel of up to 4 (four) qualified judges determined by Sponsor in its sole discretion will select potential winners from among all eligible Submissions based on the following criteria (“Judging Criteria”):

• Does the prototype maximize use perceptual computing features (e.g., gestures,

voice & touch) for the type of experience and use case it was designed for? (up to 20 points per judge);

• Is the prototype of high quality, performs as expected with robust stability and functionality? (up to 20 points per judge)

• Is the prototype of high quality? Does it have an intuitive design for the targeted usage? (up to 20 points per judge);

• Does the prototype deliver a compelling experience? If the prototype were developed into an application, would consumers be interested in using it for its intended purpose? (up to 20 points per judge) and;

• Other factors you feel must be weighed, i.e. innovation, creativity, dedication, uniqueness or other (up to 20 points per judge)

• Total Points: 100 points per judge. Scores will be added for a total combined maximum score of up to 400 points.

Each Submission will be reviewed by a panel of judges.

In order to be considered for a Grand Prize, the average score for an entrant's Submission must be seventy-five (75) or greater. There will be up to four (4) Grand Prizes awarded to the entrants with the four (4) highest scoring Submissions that meet this required threshold score.

In order to be considered for a First Prize, the average score for an entrant's Submission fifty (50) or greater. There will be up to sixteen (16) First Prizes awarded to the entrants with the sixteen (16) highest scoring Submissions that meet this required threshold score.

In order to be considered for a Second Prize, the average score for an entrant's Submission be twenty-five (25) or greater. There will be up to twenty-five (25) Second Prizes awarded to the entrants with the twenty-five (25) highest scoring Submissions that meet this required score.

In the event of a tie, the winner will be determined by the qualified judges, in their sole discretion.

Sponsor reserves the right to select fewer than the potential forty-five (45) winners if, in its sole discretion, the Submissions do not meet the scoring criteria described above and or it does not receive a sufficient number of eligible Submissions.

WINNER NOTIFICATION & REQUIREMENTS: An authorized representative of Sponsor will initiate email notifications to the potential winners on or around March 11, 2013. Each potential winner will be required to (1) submit a copy of official government issued identification for proof of identity, residency, and age; (2) agree, sign and submit documents confirming acceptance of the prize and agreement to release the Sponsor, Administrator, and other parties listed in the Release section below; (3) complete and submit an IRS form W-9 (applicable to US residents only) or as applicable, any other tax-related forms required for residents of other countries, and (4) where not prohibited by law, winner will be required to sign a publicity release. Collectively these documents will be referred to as “Prize Acceptance Documentation." All winners may be required to sign Prize Acceptance Documentation that may be drafted in the English language. This Prize Acceptance Documentation must be received by authorized representative of Sponsor within seven (7) days of the date notice or attempted notice is sent, in order to claim his/her prize. If a potential winner cannot be contacted, fails to execute and return the Prize Acceptance Documentation within the required time period, does not comply with these Official Rules, or the prize is returned as undeliverable, the potential winner forfeits the prize. If a potential winner is disqualified for any reason, the prize may be awarded to a runner-up, if any, in Sponsor’s sole discretion. Only three (3) alternate winners may be determined for each prize, after which the applicable prize will not be awarded. Acceptance of any prize shall constitute and signify each winner’s agreement and consent that Sponsor and its designees may use the winner’s name, city, state, province, country, likeness, Submission and/or prize information in connection with the Contest for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including without limitation, the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law. Each winner accepts and acknowledges that Sponsor shall not be obligated to use the Submission and that Sponsor in its sole discretion shall have the right to refrain from using the Submission. Sponsor shall not incur any liability whatsoever to the extent Sponsor chooses to refrain from any exploitation of its rights hereunder. Each winner will fully indemnify Sponsor, Released Parties (as defined below) and any licensee of Sponsor against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses)

arising out of any breach of these Official Rules. Prizes will be fulfilled 8 – 10 weeks after the end of the Contest.

PRIZES: UP TO FOUR (4) GRAND PRIZES: $20,000 USD. UP TO SIXTEEN (16) FIRST PRIZES: $5,000 USD. UP TO TWENTY-FIVE (25) SECOND PRIZES: $1,000 USD.

Prizes will be awarded as cash or a cash equivalent. Winners may be required to set up a PayPal account, as directed by the Sponsor, in order to receive his/her prize. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. The Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Neither the Sponsor nor the Administrator shall be liable or responsible for any lost, stolen or misplaced prizes. For all non-U.S. winners, 30% of the prize value will be withheld and remitted to the IRS to comply with U.S. tax laws and where appropriate additional amounts will be withheld as required by winner's country of residence. Winners are responsible for all tax reporting, taxes and fees associated with prize receipt and/or use.

Release: By receipt of any prize, winners agree to release and hold harmless the Sponsor, Creative, Administrator, participating Administrator vendors and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize. This Release does not apply to claims against Sponsor, its representatives and its vicarious agents for damages because of personal injury or death, and to claims for damages in case of intent or gross negligence by Sponsor, its representatives or vicarious agents.

General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. If the Contest is terminated, Sponsor may, in its sole discretion, determine the winners from among all non-suspect, eligible Submissions received up to time of such action using the judging procedure outlined above. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the Submission process or the operation of the Contest or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated Submissions. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Limitations of Liability: Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including without limitation, malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Submission process or the Contest; (4) printing, typographical, technical, computer, network or human error which may occur in the administration of the Contest, the uploading, the processing or judging of Submissions or votes or the tabulating of votes, the announcement of the prizes or in any Contest-related materials; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from

entrant’s participation in the Contest or receipt or use or misuse of any prize (including any travel/activity related thereto). Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third party use of any Submission.

DISPUTES: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan. For Residents of Germany only: This limitation to the amount of damages does not apply if not permitted by law.

ENTRANT'S PERSONAL INFORMATION: Participation in the Contest will be deemed to be your explicit authorization to transfer personal data to the United States for purposes of administration of the Contest. All information submitted as part of this Contest will be collected by Administrator solely on behalf of Sponsor in accordance with Sponsor’s privacy policy, available at http://www.intel.com/content/www/us/en/privacy/intel-online-privacy-notice-summary.html. Sponsor has notified the U.S. Department of Commerce that it adheres by the rules of the Safe Harbor Framework available under http://www.export.gov/safeharbor/eg_main_018236.asp. Personal information includes name, email address, country, state or province and will be used to: (a) contact potential winners; and (b) if an entrant selects to receive additional information from the Sponsor on the entry form, to send additional information to that entrant. YOUR INFORMATION WILL NOT BE STORED OR PROCESSED ON SERVERS LOCATED IN THE EUROPEAN UNION OR JAPAN AND WILL NOT BE RETAINED BY SPONSOR OR ADMINISTRATOR AND WILL BE DELETED EXCEPT SOLELY FOR THE PURPOSES SET FORTH IN (A) AND (B) ABOVE.

Please specify “Winner List.” Requests must be received by August 1, 2013.
