1.0 Introduction

This Request for Proposal (hereafter referred to as the “Proposal” or the “RFP”) outlines the requirements of the Municipality of the District of Lunenburg (hereafter referred to as the “Municipality” or “MODL”) with regard to design services by qualified professional firms and individuals (hereafter referred to as the “Proponent”) for the Pedestrian Bridge and associated sidewalk or active transportation trail Design Services (hereafter referred to as the Project) in Cookville.

This RFP provides interested Proponents with information to enable them to prepare and submit Proposals for consideration by MODL. The RFP describes the assignment and its background and the nature of the required services. It also describes the requirements that must be met for a Proposal to be eligible for consideration and the manner in which Proposals must be prepared and presented. Finally, it describes the process whereby the Proposals will be evaluated, and a Proponent selected. Appendices at the end of this document contain relevant background documents and information.

2.0 Background

2.1 Background Information

A large rural municipality located on the South Shore of Nova Scotia, the Municipality of the District of Lunenburg consists of 130 communities and surrounds the towns of Lunenburg, Mahone Bay and Bridgewater. The municipality covers an area of 1,759 square kilometers and has a population of approximately 26,000. Based on total property assessment, the district is the third largest rural municipality in Nova Scotia. Despite a steady population decline of about 3% since 1996, the municipality is considered one of the “hot spots” for development and growth in Nova Scotia.  

Like most municipalities across the country, the District of Lunenburg’s mode share for transportation to work is dominated by the automobile. In 2006, about 95% of the total employed labour force 15 years and over, travelled to and from work in a car as either driver or passenger. Only 3% of the workforce walked or bicycled to work.

The main artery in the District, Highway 103, runs along the south shore of Nova Scotia, connecting communities to the urban centers of Halifax and Yarmouth on either end. Bridgewater, the largest

settlement in the area is the origin for a number of north‐south roadways extending into the rural northern parts of the District and further connecting the District with the Annapolis Valley and the District of Queens. Further south, the Scenic Lighthouse Route runs along the Atlantic shore, connecting Mahone Bay, Lunenburg, Bridgewater, Petite Riviere and East Port Village along the way.

The location of the Highway 103 has posed a challenge in connecting pedestrian or active transportation routes between the Town of Bridgewater and Osprey Village along Trunk 10. Currently, there are many residents walking and cycling along Trunk 10 and using the current bridge overpass that crosses over Highway 103 to access Osprey Village. This particular section of Trunk 10 has no sidewalks

and the bridge was not designed for pedestrian travel. According to NSTIR the vehicle count on the Trunk 10 Highway is 9,000- 11,000 vehicles per day.

This project will provide a safer and efficient connection between the Town of Bridgewater boundary and Pine Grove Road. The work must be done to Municipal, Provincial, and Federal standards and guidelines where necessary and must provide, while considering lifecycle costs, a cost-effective solution.

2.2 Proponents to Investigate

Proponents shall satisfy themselves, by personal examination or otherwise, as to the conditions of the Project site and its surroundings, access to the site, and the general and local conditions relating to labour, law, regulations, transportation, communications, utilities, weather, and all other matters that may affect their work and the construction cost estimates to be produced in this assignment. They shall also make all the investigations necessary to thoroughly inform themselves regarding construction industry conditions and capabilities.

2.3 Project Schedule

This project is a priority for MODL. Assuming a Proponent is selected, and an agreement is signed by November 25, 2020 it is MODL’s anticipation that the design will be complete and tender documents finalized before March 31, 2021.

NSTIR is expecting to undertake a paving and intersection realignment project in summer / fall 2021 along this route. This work will need to be completed prior to NSTIR’s work or as coordinated with NSTIR. It is expected that NSTIR will realign Trunk 10 intersections with Lahave Street, MacCulloch Road, and potentially the right-in-right-out at Canadian Tire. The Consultant will be required to coordinate with NSTIR on schedules throughout the duration of the project.

3.0 Scope of Work

3.1 General The Municipality is seeking the services of a qualified engineering firm (Consultant) to complete a detailed design of Pedestrian/Active

transportation Corridor that will begin near the intersection of Trunk 10 and Lahave Street, cross Hwy 103, and terminate at Pine Grove Road. The work includes but is not limited to the following:

A. A stand-alone bridge and all associated infrastructure to allow for pedestrian / active transportation crossing of Highway 103. The bridge will be constructed along the west side of the existing highway overpass at Exit 12. The bridge will have a minimum of a three (3) meter wide travel-way for pedestrian and active transportation users and must be designed to allow maintenance vehicle access.

B. A sidewalk or active transportation trail along Trunk 10 will begin at Lahave Street and make a connection to Pine Grove Road. The Consultant will be required to develop a preliminary design and a Class “C” cost estimate for each option of the following two (2) options:

a. 1.5 m sidewalk, or

b. 3 m active transportation trail.

C. At Lahave Street, the sidewalk or active transportation trail must connect to the proposed intersection upgrades being designed by NSTIR.

D. At the HWY 103 off ramp located on the North side of the highway, there will be a crossing of Trunk 10 at the existing signalized intersection. A 1.5m wide sidewalk will extend along the east side to Pine Grove Road.

E. On the West side of Trunk 10, from the HWY 103 off ramp, there will be sidewalk or active transportation trail that will continue to Pine Grove Road connecting into the existing crosswalk.

F. The project will use NSTIR’s urban cross section for sidewalk or active transportation trail design requiring the design and installation of curb and gutter along the route.

G. This project also includes the design of stormwater management infrastructure, including catch basins and drainage pipe to accommodate drainage along the full length of the sidewalk / trail.

H. The Consultant will also be required to design locations for new, or relocation of existing utility poles and signs, retaining walls, handrails, and other right-of-way features as needed for the project.

I. Lighting design to be provided along the bridge and coordinate with Nova Scotia Power

J. Environmental protection plan and permitting applications as required.

The successful proponent will be provided with the NSTIR survey for Trunk 10 and will be required to conduct additional topographic survey as needed for this work. See Appendix A for the extent of the survey.

The successful proponent will be required to conduct a geotechnical survey suitable for the design and construction of the bridge as well as sidewalks, retaining walls and as required for other infrastructure to be constructed as part of this work.

The sidewalk / active transportation trail will be designed to NSTIR Standard Specifications. The bridge will be designed to NSTIR, Canadian Highway Bridge Design Code, Transportation Association of Canada standards, guidelines, codes and specifications, as well as the Standard Specification for Municipal Services. Where conflicts exist, the more stringent standards will apply.

The Consultant will submit a design reviews at the following times:1. Preliminary Issue 30% - Including the two options and cost

estimates2. Issued for Review 60% - Design of the option selected by MODL3. Issued for Review 95% - Pre-tender issue4. Issued for Tender - After final approval from MODL5. Issued for Construction - Upon award of construction contract

The Construction tender is scheduled to be issued by March 31, 2021.

Each review must allow MODL and NSTIR time to review and comment. It is estimated that this may take up to two (2) weeks for typical reviews. The Preliminary Issue must allow time for Council to review and select the preferred option.

Coordination with NSTIR throughout the project is required.

The Proponent’s scope of work will include but not be limited to the following tasks:

3.1. Project Start-Up Meeting A start up meeting with MODL to confirm alignment of Project Scope, Schedule, Deliverables, Project Risks and Mitigation Measures, and Budget.

3.2. NSTIR Meeting Meet with the appropriate NSTIR personnel to determine project constraints, standards, challenges, risks, and any other issues (ex. vertical and horizontal clearance, location relative to existing overpass structure, coordinating design and construction phases, etc.) required by NSTIR in the design and layout of the proposed trail and bridge crossing.

During this meeting the Consultant will also determine agreed communication protocols with NSTIR, timing for design review and feedback, as well as project risks and mitigation measures.

3.3. Council Meeting The proponent will attend a council meeting in order to present the sidewalk and trail options complete with cost and constructability issues to council in order for council to select an option.

3.4. Survey Conduct a detailed topographic survey as required to complement the existing Trunk 10 survey provided by NSTIR. Survey to be of suitable extent and accuracy for to be used in the design.

The survey required may include supplementing the existing survey in the area of the proposed pedestrian crossing as well as the sidewalk / active trail corridor from the Bridgewater Town Line on Trunk 10 up to and including the intersection of Trunk 10 and Pine Grove Road. The survey may also include other areas deemed necessary by the consultant.

Access to the Right of Way to complete this work must be done in accordance with NSTIR requirements for access and safety. The successful proponent must receive approval from NSTIR & MODL prior to commencing the survey work.

3.5. Geotechnical Investigation Conduct geotechnical investigations as required to design the pedestrian crossing. This work to be completed by a qualified Geotechnical Engineer. This may include boreholes, test pits, or other investigation methods deemed by the proponent necessary for

the design of the associated works including the bridge and sidewalk / active transportation trail.

Access to the Right of Way to complete this work must be done in accordance with NSTIR requirements for access and safety. The successful proponent must receive approval from NSTIR & MODL prior to commencing the geotechnical investigation work.

3.6. Preliminary Design Prepare and submit a preliminary design report for the two (2) options identified above, one for the sidewalk, and one for the active transportation trail.

1. Option 1 will be a 1.5 m sidewalk approximately 1200 m longon the west side of Trunk 10 from Lahave Street to Pine GroveRoad. In this option there will also be a 1.5 m wideapproximately 400 m long sidewalk on the east side of Trunk10, from the HWY 103 off-ramp to Pine Grove Road.

2. Option 2 will be a 3.0 m wide approximately 1200 m longactive transportation trail along the west side of Trunk 10 fromLahave Street, to Pine Grove Road. This option will also includea 1.5 m wide approximately 400 m long sidewalk along theeast side of Trunk 10 from the HWY 103 off-ramp to Pine GroveRoad.

The preliminary design must also include one (1) option for the pedestrian crossing of Hwy 103. The bridge must be fit for purpose and designed to meeting design standards, codes and also be cost effective over the bridge’s service life.

The design report shall include an assessment of the advantages and disadvantages of each option, Class “C” construction cost estimates of each option with an accuracy of +/- 30%, any issues or areas of concern associated with each option, and a recommendation of the preferred option. The design report shall also include preliminary drawings of each option showing the general profile and cross section of the sidewalks / trail, the bridge structure, and other features necessary for MODL to decide which option to proceed into detailed design.

The preliminary design will be reviewed by MODL and NSTIR. This preliminary Design Report will also be used to inform MODL Council so the decision can be made which design to proceed with.

The Consultant will provide three (3) hard copies and one (1) digital copy of the preliminary design report.

3.7. Preliminary Design Review Meeting Meet with MODL and NSTIR staff after submission of the preliminary design report to discuss the report, to ensure that project requirements are addressed, and to make the selection of the preferred option for final design. This is also an opportunity for the Consultant to provide an update on the project.

3.8. Detailed Design Prepared a detailed design of the selected option including the preparation of specifications, detailed drawings, design calculations, and tender documents. The specifications and design shall conform, at a minimum, to NSTIR Standard Specifications for Highway Construction and Maintenance, Standard Specifications for Municipal Services, Canadian Highway Bridge Design Code and TAC standards. Submit detailed design drawings and specifications and meet with MODL and NSTIR to discuss. Detailed final drawings and specifications shall be prepared only after the detailed design 60% has been accepted by the Municipality.

Generally, the design report(s) at each submission level will include, but not be limited to:

60% Design Submission

Preliminary drawings and site plans of preferredoption for the sidewalk / trail, bridge, relocationof ROW features,and drainage;

Construction Specifications; Preliminary quantity determinations; Design brief, preliminary design calculations,

assumptions, models, proposed drawings andtechnical specifications, and notes;

A preliminary proposed construction schedulethat provides key milestones and identifies anykey items that are critical to the schedule;

Updated Class “C” construction cost estimate (±25% to 40%);

A draft outline of the requirements for theproposed construction oversight;

Such other work as may be required to meetassignment objectives.

95% Design Submission

Final drawings and site plans including layoutsdrawings, standard detailed, plan, profiles andsection drawings

Construction Specifications; Final quantity determinations; Design brief, final design calculations,

assumptions, models, drawings and technicalspecification sections;

A final proposed construction schedule thatprovides milestones and identifies any key itemsthat are critical to the schedule;

Class A construction cost estimate (± 10% to15%);

A final outline of the requirements for theconstruction oversight;

Final environmental management andprotection plans; and

Such other work as may be required to meetassignment objectives.

Each issue will be reviewed by MODL and NSTIR and comments returned to the Consultant.

The Consultant will provide three (3) hard copies and one (1) digital copy of each submission.

3.9. Issued for Tender The Consultant will incorporate final comment from the 95% review into an Issued for Tender set of drawings and specifications. The Tender set of drawings and specifications must be sealed and certified by a Professional Engineer registered in Nova Scotia.

Drawings are to be completed in AutoCAD. All data must be in AutoCAD format (.dwg). Bind all raster images to the document. A copy of the Issued for Tender AutoCAD drawing is to be provided to the MODL in .dwg format.

The Consultant will provide ten (10) hard copies and one (1) digital copy of the Tender set of drawings and specifications.

3.10. Meetings During the design phase, the proponent will provide the following meetings at minimum: a project kick-off meeting, pre-design meeting with NSTIR, preliminary design review meeting (30%), and 60% design review meeting, and 95% design review meeting. The proponent is also required to attend the Council meeting as identified in 3.3 above.

3.11. Tender Phase Services The Consultant shall provide services during the tender process. This will include but not be limited to, responding to questions on the tender, addressing any technical questions which may arise, developing addenda including any sketches which may be required, or other associated services. MODL will be the point of contact for bidders on the Tender and will correspond with the Consultant in regards to design related questions should they arise during the tender phase. Please provide a line-item for this task.

3.12. Construction Phase Services The consultant shall provide a separate task for construction phase support services for the project including but not limited to: project management, Issued for construction drawings, contractor start-up/pre-construction meeting, shop drawing reviews, onsite construction inspection, engineering site visits, site meetings, progress payment reviews, substantial completion, deficiency lists, and final completion. This will also include expected costs for the services of independent specialists for testing, inspections, and reviews. This may include after hours work for bridge erection. The Consultant to provide the services required for the construction phase.

Consultant to host site meetings with MODL, NSTIR, and the Contractor every two (2) weeks on site.

Proponents are to use an estimate of 20 weeks of full-time construction inspection services at 5 days/week for comparison purposes in the bid. This will include on-site inspection, site meetings, and specialist inspection visits. Actual construction phase duration may vary, and may include part-time or intermittent inspection.

3.13. As-Constructed Package The Consultant will be responsible for the development of an As-Constructed Package at project completion. This will include as-constructed drawings, geotechnical and materials testing reports, survey files, approved shop drawings, change orders, and other project information related to construction that MODL may require.

The Consultant will be responsible for collecting all information required for the preparation of As-Constructed Drawings. This will include field surveys, notes, and sketches done during and after construction to confirm actual as-constructed locations, materials, inverts, types, diameters, thicknesses, dimensions, etc. This recorded as-constructed information will be utilized to develop a set of drawings which will accurately depict the actual construction works in their final position.

The Consultant will collate project reports, shop drawings, change orders, materials testing, and other relevant material into a structured As-Constructed Package.

The Consultant will provide four (4) hard copies of the As-Constructed Package and one (1) digital PDF version. The Consultant will also provide one (1) AutoCAD file of the As-Constructed drawings, one (1) complete survey points file.

4.0 Submission of Proposals

Proposals shall be received by MODL at the address below up until November 12, 2020 at 2:00 pm. Late submissions will not be accepted and will be returned unopened. Faxed or e-mailed submissions will not be accepted.

Packaging:

Proposals must be submitted in two envelopes. The technical and descriptive sections of the Proposal (hereafter referred to as the Technical Proposal) must be submitted in Envelope A and the cost of services (hereafter referred to as the Financial Proposal) must be submitted in Envelope B. Under no circumstances are the costs of services to be presented in any part of the technical and descriptive section of the Proposal.

Envelopes A and B must be clearly marked as to their contents. Proponents shall submit three (3) copies of the Technical Proposal and three (3) copies of the Financial Proposal .

Envelope A:“Technical Proposal, Request for Proposals 2020-05-404, Lunenburg County, Nova Scotia.”

The form of the Technical Proposal is to follow the outline presented in Section 5.1.1. Technical Proposal.

Envelope B:“Financial Proposal, Request for Proposals 2020-05-404, Lunenburg County, Nova Scotia.”

Also, email one electronic PDF copy of the Financial Proposal and the Technical Proposal, clearly identified and identical to the hard copy Proposals, to [email protected] with “Proposal for RFP 2020-05-404” in the Subject Heading.

No facsimile transmissions will be accepted. However, amendments to the original document will be accepted by facsimile, if received before the Submission Closing Date. Originals must be forwarded to MODL so that they may be attached to the original hard copy for validity.

The Proposals must be bound, and one copy clearly marked as being the “Original”.

5.0 Technical Proposal

The Proposal shall include the following as a minimum; failure to do so may be cause for rejection of the Proposal.

5.1 Contact Name and General Information

Proponent shall provide the name of the firm, office address, telephone number, facsimile number and the name and email address of the contact person for the Proponent who shall have the responsibility of discussing any Project matters with MODL.

5.2 Project Understanding and Implementation Plan

The Proposal shall include a section that clearly demonstrates the Proponent’s understanding of the assignment and the deliverables requested. Submissions should not simply rewrite the content of this RFP. Proposals should include as a minimum:

a) The Proponent’s understanding of the activities and deliverablesquoted in the RFP and for the nature of the work required tomeet the project objectives;

b) The detailed work plan, describing the work or tasks to beundertaken by the Proponent, including proposed approach /methodology to be used to meet the project objectives anddeliverables;

c) The proposed work program and schedule that identifies startand end times and key milestones;

d) A detailed breakdown of the total time each team member willbe devoting to the tasks within the project – a Time Task Matrixshowing the breakdown of activities and associated resourcehours (Note: NO cost information shall be shown in the Time-Taskmatrix submitted in the TECHNICAL proposal. Costs may only beshown in the FINANCIAL proposal). Failure to adhere to thisrequirement will be grounds for disqualification of the Proposal;

e) A list of preliminary information the Proponent expects MODL toprovide if necessary; and

f) Additional services that do not directly meet the core servicesrequested in the Scope of Work, but which are recommended tobe considered by MODL. Any additional services must be pricedseparately from the price determined to complete the Scope ofWork.

5.3 History of Proponent and Previous Experience

The Proposal shall include information on the key Project resources including:

a) A brief history of the Proponent, including each professional orfirm if the Proponent is a consortium or joint venture;

b) Identification of a Project Manager and provide resume for thesame;

c) A list of all other Project resources (and resumes);d) Names of sub-consultant firms to be retained to complete this

assignment including a description of the merits of theirparticipation and a description of their qualifications;

e) A list of the sub-consultant personnel and associates, ifany, that will be performing various tasks for thisassignment, including their responsibilities, reportingstructure, professional qualifications, experience, expertise,and the proposed role and time allocation to this project;

f) A Project team organizational chart that identifies allteam members to be assigned to the Project for eachcomponent of the project, and the lines of responsibilityand reporting structure of all team members;

g) A statement indicating the percentage (%) of time availablefor this assignment versus percentage (%) of time alreadycommitted to other assignments for each of the proposedProject resources; and

h) A minimum of three (3) reference Projects including the datesthe projects were completed, a description of the projectscope, a contact person and phone number from the owner ofthe Project, estimated and actual budgets, and a commentaryon schedule adherence.

Specific to this assignment, the Project team shall consist of personnel skilled and experienced in the design and construction of bridges and/or pedestrian crossings.

The Proposal must outline the resources to be used for this assignment, provide an explanation of the Project resources’ direct experience with the skills noted above, and identify specific projects and dates in which these skills were demonstrated. Curriculum

vitae / resumes for the identified Project resources may be submitted as part of the attachments / appendices.In the event there is a change in the personnel named and assigned to perform the services under the professional services agreement, the Proponent shall be required to submit, for approval to MODL, the reason for the change, the credentials and resumes of the alternate personnel the Proponent proposes to use in the performance of the Scope of Work. Substitutions of personnel from those identified in the response to the RFP must have like qualifications of the listed personnel. Changes must be submitted in writing by the Proponent and approved in writing by MODL.

5.4 Project Management and Quality Control

The Proposal shall include information to help MODL determine the Proponent’s approach to managing projects and quality including:

a) Description of the quality assurance / control practices used bythe Proponent’s firm (including the resource leading this aspectof the Project) including how scope changes, impacts to theschedule, and cost impacts will be managed on this Project;

b) How the Proponent will interact and communicate with MODL,stakeholders and regulatory agencies to ensure that MODLreceives the product as requested to the level of qualitynecessary; and

c) Description of communications protocols and progressreporting to be followed by the Proponent.

5.5 Insurance

Proponents are advised that insurance coverage obligations will be as follows:

The Proponent shall, at all times during the Term of this Agreement and at its sole cost and expense procure, maintain, pay for and keep in full force and effect the following insurance at minimum:

a) Commercial General Liability coverage with MODL as AdditionalInsured, including Cross Liability and Severability of InterestClause, Non-Owned Auto Liability coverage, and 30 daysadvance written notice of policy cancellation or change;

b) Automobile Liability with 15 days advance written notice ofpolicy cancellation or change; and,

c) Professional Liability/Errors & Omissions coverage with 90 daysadvance written notice of policy cancellation or change.

All insurance required to be maintained by Proponent shall be provided by insurers maintaining a Minimum AM Best “A-“ financial rating, shall be primary with respect to, and not contributing to or in excess of, any other similar or complementary insurance maintained by the Municipality, and shall be placed with such insurers and in such form and with such deductibles as are acceptable to the Municipality, acting reasonably. Any deductible or self-insured retention in such insurance shall be at the sole cost of Proponent.

Before the Commencement Date of the Work, the Proponent shall provide to the Municipality current certificates of insurance or, at the request of the Municipality, a certified copy of the policies, as well as renewal certificates or policies thereafter for the duration of the Agreement, evidencing the required insurance and recording that the Municipality shall receive 15, 30 or 90 days written notice as outline above prior to cancellation, and prior to a material change of coverage detrimental to the Municipality.

Commercial General Liability

Commercial General Liability insurance on an occurrence basis with a minimum limit of $5,000,000 for bodily injury including death, personal injury and property damage including loss of use, and also covering for (a) blanket contractual liability; (b) owners' and contractors' protective liability; (c) broad form property damage; (d) tenant's legal liability; (e) non-owned automobile liability; (f) contingent employer's liability and (g) products and completed operations liability. Excess or umbrella insurance may be used to achieve the required insured limits.

All Commercial General Liability policies SHALL NOT contain an absolute pollution exclusion.

Automobile Insurance

The Proponent shall take out and keep in force Automobile Insurance (Nova Scotia SPF #1) covering all owned, leased and operated vehicles with a limit of liability not less than $2,000,000 per occurrence for Third Party Liability, in respect of the use or operation of vehicles owned, operated or leased by the Proponent.

Professional Services

The Proponent shall take out and keep in force Professional Liability (Errors and Omissions) insurance in the amount of $5,000,000 providing coverage for acts, errors and omissions arising from their professional services performed under this Agreement. The policy SIR/ deductible shall not exceed $25,000 per claim and if the policy has an aggregate limit, the amount of the aggregate shall be double the required per claim limit.

The Professional Liability policy SHALL NOT contain a pollution exclusion.

The policy shall be underwritten by an insurer licensed to conduct business in the Province of Nova Scotia and acceptable to the Municipality. The policy shall be renewed for 6 years after contract termination. If the policy is to be cancelled or non-renewed for any reason, 90 days notice of said cancellation or non-renewal must be provided to the Municipality. The Municipality has the right to request that a six (6) year Extended Reporting Endorsement be purchased by the Proponent at the Proponent’s sole expense should the Professional Liability/Error & Omissions policy be cancelled or non-renewed for any reason. A certificate of insurance evidencing renewal is to be provided before or on the anniversary date of each renewal.

5.6 Worker’s Compensation

The Proponent shall provide evidence of coverage by way of a current Clearance Letter (letter of good standing) from the Workers Compensation Board of Nova Scotia.

The Proponent shall also be responsible for obtaining and providing evidence that any Subcontractor connected with the performance of the professional services agreement are also covered.

Updated letters are required to be provided to MODL before the performance of the Scope of Work.

5.7 Health and Safety

The Proponent shall be responsible for workplace health and safety for the Scope of Work identified in this RFP, as per the Nova Scotia Occupational Health and Safety Act and Regulations and Workplace

Health and Safety Regulations, and MODL’s Safety Program. A copy of the MODL’s Safety Program Manual is available upon request.

Prior to commencing the Scope of Work, and within 15 working days of an executed professional services agreement, the Proponent shall prepare a Health and Safety Plan (HASP) for the Scope of Work identified in this RFP. The HASP will include, but not be limited to details with regard to assignment hazards, required safe work practices and procedures, personal protective equipment, training, safety meetings, and emergency response plans.

The Proponent has the primary responsibility for the health and safety of its employees and employees of sub-consultants and sub-contractors on the site and off the site to the extent that they may be affected by the performance of the Scope of Work. The Proponent shall comply with and enforce compliance of the HASP, applicable federal, provincial, and local statutes, regulations, bylaws, and ordinances during the Scope of Work.

The HASP may require amendment from time to time depending on the requirements of the work. The development, implementation and modification of the HASP are the responsibility of the Proponent.

The Proponent shall be responsible to monitor and record the safety of the worksite in regard to workers and the public, per the Nova Scotia Occupational Health and Safety Act and its Regulations, and the Municipality’s Site Safety Policy and Manual of Procedures. Any safety violations by the Contractor or sub-contractor(s) shall be reported immediately to the Owner.

5.8 Acknowledgement

A complete acknowledgement, in the form set forth in Appendix C, confirming that the Proponent acknowledges and agrees to all the conditions of participation in the RFP.

5.9 Assumptions

The Proponent shall clearly identify all assumptions made in the preparation of the Proposal. Additionally, the Proponent is encouraged to outline other work considered essential to the

successful completion of this Project that was not identified by MODL in this RFP.

5.10 Addendum

Any published addendums shall be signed and attached to the Proposal.

6.0 Financial Proposal

The Proponent shall complete the Financial Proposal Form found in Appendix B.

The Financial Proposal must clearly provide the following:

a) A single page duly signed stating the Proponent’s total all-inclusive price for the professional services as outlined in theRFP including all billable expenses and identify this proposedMaximum Fee;

b) The total all-inclusive price, shall include all factors whichshall affect the costs of this review, including but not limitedto: travel, reproduction costs, disbursements andmiscellaneous expenses. This all-inclusive price shall beproject costs for the purposes of evaluation, exclusive oftaxes.

c) On a separate page or pages, for each component andassociated sub-tasks, provide a breakdown of the Projectprice in relation to the detailed work plan and schedule, andrelated expenses, including but not limited to identifying theindividuals proposed to accomplish the work, their associatedhours and their hourly rates;

d) Prices are to be quoted in Canadian dollars; inclusive of duty,where applicable; exclusive of Harmonized Sales Tax (HST);and

e) Price may not be the determining factor for award. MODLmay negotiate a final offer with the selected Proponent.

It is noted that if this RFP process results in a professional services agreement, that the professional services agreement fee will be considered a maximum fee. The Proponent will invoice based upon

the actual hours required to complete the work and quote hourly rates. The total invoiced is not to exceed the maximum fee. This is not a lump sum contract.

7.0 Instructions to Proponents

7 .1 Requests for Clarification

Any Proponent who has questions as to the meaning or intent of any part of this RFP or of the Project, or who believes this RFP contains an error, inconsistency or omission, should submit a request for clarification. All requests for clarification or inquiries concerning this RFP should be forwarded in writing to the email address below no later than November 5, 2020. Questions received after that time may not be answered prior to the submission time. MODL will determine if questions require a response and such response will be only in the form of an addendum issued to all recipients of the RFP.

Responses to all requests for clarification will be provided by MODL in writing to all Proponents. MODL will assume no responsibility for oral instructions or suggestions. MODL’s business hours of operation are Monday to Friday, 8:00 a.m. to 5:00 p.m.

Only addenda will modify the RFP. No oral interpretation will be made to a Proponent as to the meaning of the RFP documents or be effective to modify any RFP provisions.

7.2 Sub-consultants and Joint Ventures

The Proponent shall identify all sub-consultants, special consultants, and other firms who form part of the Proponent’s consulting team and the portion of the assignment in which they will participate. The successful Proponent will not be permitted to substitute one sub-consultant or special consultant for another without written approval from MODL.

The selected Proponent will be required to assume responsibility for all services offered in its proposal whether or not it produces them. Further, MODL will consider the selected Proponent to be the sole point of contact with regard to contractual matters.

8.0 Proposal Evaluation

Proposals will be evaluated on the basis of all information provided by the Proponent. Each Proposal will be reviewed to determine if the Proposal is responsive to the submission requirements outlined in the RFP. Failure to comply with these requirements may deem the Proposal non-responsive.

Key dates, in the Proposal evaluation process, are listed below:

In recognition of the importance of the procedure by which a Proponent may be selected, the following criteria outline the primary considerations to be used in the evaluation.

Selection of a Proposal will be based on the following criteria and any other relevant information provided by the Proponent in the submission. MODL reserves the right to prioritize and weigh the importance of each sub-criterion within the identified technical criteria confidentially.

8.2 Proposal Review

In accordance with the Municipality’s Purchasing Policy, “the Municipality shall award the procurement contract to the supplier whose Proposal is determined to provide best value to MODL based upon the evaluation criteria set out in the RFP and equitably applied to all Proposals.” Evaluation of Proposals shall be completed using the best value determination in accordance with the following criteria:

8.3 Mandatory Criteria

Submissions will first be evaluated to establish compliance with the mandatory clauses of this RFP. Submissions not meeting the mandatory requirements will receive no further consideration during the evaluation process. The following are the mandatory requirements:

.1 Proposals shall be submitted by the deadline.

.2 Proposals shall be submitted as per the requirements of this RFP.

.3 Proposals shall be in accordance with all terms and conditions as per this RFP.

.4 A copy of the Proponent’s valid Clearance Letter/Letter of Good Standing from the Worker’s Compensation Board of Nova Scotia is included with the Proposal.

8.4 Other Criteria

The Municipality reserves the right to choose the Proposal that provides the best overall value to the Municipality in terms of merit and price ratio. The Municipality may, in its sole discretion, choose to reject any or all Proposals.

8.5 Evaluation Process

For the evaluation of this Proposal, the content of the Proposal shall be assigned a weight of eighty (80) and the cost shall be assigned a weight of twenty (20).

Each Proposal will be evaluated using the following process:● Stage 1: verify each bid’s compliance to the Mandatory Criteria

and disqualify any bids that fail to meet these.

● Stage 2: All Proposals which pass Stage 1 will be evaluated and ranked against the weighted Proposal Evaluation Criteria, risk evaluation, and Financial Proposal evaluation.

8.6 Risk Evaluation

The Municipality reserves the right to deduct points from the Proposal Evaluation Criteria, based on an assessment of risk. Risk evaluation categories are as follows:● Low risk: exceptions or omissions to RFP terms and conditions

and/or format indicate no risk or low risk to successful completion of project; (-0) to (-5) points.

● Medium risk: exceptions or omissions to RFP terms and conditions and/or format indicate a risk to successful completion of project that can be mitigated using MODL resources; (-5) to (-25) points.

● High risk: exceptions or omissions to RFP terms and conditions and/or format indicate a risk to successful completion of project that can be mitigated but will require significant MODL resources; (-26) to (-50) points.

● Unacceptable risk: exceptions or omissions to RFP terms and conditions and/or format indicate a high probability of project failure; (-50) to (-100) points.

8.7 Financial Proposal Evaluation

MODL reserves the right to deduct points from the Proposal Evaluation Criteria based on an assessment of the Financial Proposal. Unless otherwise stated in this document or its addenda, the Proposal with the lowest cost shall receive the maximum points allowed. All other proposals shall receive a cost score based on their cost relationship to the lowest. The points for the financial evaluation will be allocated as follows:

Bid 1 being the lowest, would achieve a score of 20 points.Bid 2 would achieve a score of 15.4 points, calculated as follows:

$100,000 / $130,000 x 20 = 15.4

8.8 Agreement

Notice in writing to the Proponent of the acceptance of its Proposal by MODL and the subsequent full execution of a Purchase Order shall constitute a contract for services. No Proponent shall acquire any legal or equitable rights or privileges to the goods or services until the both events take place.

9.0 General Information and Requirements

9.1 Confidentiality

All documents, information, and material developed by the Proponent shall be treated in accordance with the FOIPOP provisions of the Municipal Government Act. Proponents are advised that any information provided by MODL is to be treated as confidential and shall not be provided to a third party without prior written approval of the Clerk of the Municipality.

9.2 One Response

Proponents may not submit more than one Proposal.

9.3 Late Submissions

The date and time of receipt of a Proposal shall be the date and time indicated by MODL’s date and time stamped on the Proposal.

9.4 Disqualification of Proposals

Under no circumstances will Proposals be considered that:1) Are received later than the date and time stipulated;

2) Are not submitted in separate, sealed, and properly marked envelopes; and

3) Contain, in Envelope A, a reference to the cost information tables for all staff.

9.5 Withdrawal or Qualifying of Proposals

Proponents submitting a Proposal waive any right to withdraw or modify it, except as follows. Proposals may be withdrawn by written or faxed notice received at MODL’s address for Proposal delivery prior to the exact hour and date specified for the Proposal receipt. If the Proponent chooses to provide such written notice by fax, MODL will not be responsible or liable for errors or delay in the fax transmission. A Proposal may also be withdrawn in person by a Proponent or its authorized representative, provided the person’s identity is established and he or she signs a receipt for the Proposal, but only if the withdrawal is made prior to the exact hour and date set for Proposal receipt.

A Proposal may only be modified by the submission of a new sealed Proposal or submission of a sealed modification which complies with the requirements of the RFP.

Prior to the Submission Closing Date, MODL may modify any provision or part of the RFP at any time upon notice in writing to the Proponents, if a reasonable time is allowed by MODL for the Proponents to respond to such modifications including, without limitation, the opportunity to make any necessary revisions to their respective Proposals.

9.6 Period of Submission Validity

Proposals must be signed by an official authorized to bind the Proponent to its provisions. Proposals will be binding for ninety (90) days. Unless otherwise specified, all formal Proposals submitted shall be irrevocable for ninety (90) calendar days following Proposal opening date, unless the Proponent(s), upon request of MODL, agrees to an extension.

9.7 Proponent Responsible for Proposal/No Reliance on MODL

The Proponent accepts sole responsibility for the preparation and submission of its Proposal including satisfying itself as to the

requirements of all documents and the submission of materials and the Proposal within the required time frames.

9.8 Rights of MODL

The issuance of this RFP constitutes only an invitation to submit Proposals. It does not commit MODL to enter into a professional services agreement with any of the Proponents. MODL is not bound to accept any Proposals and may proceed as it, in its sole discretion, determines on receipt of Proposals. The rights reserved by MODL include the right at any time and for whenever reason and without liability to any Proponent to:

a. reserve the right to reject any or all Proposals and to re-advertise or recommence the RFP process if it desires;

b. reserve the right to develop all, some or none of the Project subject of the Request for Proposal (RFP);

c. reserve the right to hold negotiations with multiple Proponents and to request additional information or further clarification from multiple parties;

d. reserve the right to waive any irregularities in the Proposal;

e. reserve the right to accept the Proposal, which in the sole opinion of the MODL, is deemed “the most advantageous to MODL”;

f. take no responsibility for the proponent lacking information or for the accuracy of the information provided in the RFP documents; and

g. take no responsibility for any expense incurred by a Proponent in preparing or submitting its Proposal;

h. conduct investigations with respect to the qualifications and experience of the Proponent and its members;

i. require one or more Proponents to supplement, clarify, provide additional information in order for MODL to evaluate the Proposal submitted;

j. reject the Proponent as organized and suggest changes to the Proponent's members prior to the execution of any professional services agreement;

k. terminate, in its sole and absolute discretion, any and all subsequent consideration of, or professional services agreement with, any Proponent, if it believes a change in the membership

of the Proponent, from that described in its Proposal, adversely affects the scoring of the Proponent's Proposal or the Proponent's ability to carry out the Scope of Work in accordance with the terms and conditions stated herein;

l. supplement, amend, substitute or otherwise modify any part or all of this RFP including by extending any schedule or period of time;

m. issue one or more addenda to this RFP;

n. disclose to the public information contained in the Proposals;

o. suspend, postpone or cancel this RFP in whole or in part with or without substitution of another RFP or Proposal process;

p. take any action affecting this RFP, the RFP process or the Engagement that would be in the best interests of MODL; and

q. use any concept or approach suggested in any Proposal including its use in negotiating an agreement with the successful Proponent or any other Proponent.

9.9 No Liability

MODL, its Council, management, employees, consultants and agents accept no liability for any costs, expenses, damages or otherwise of any Proponent for the Proposal response to this RFP.

MODL, its Council, management, employees, consultants and agents accept no liability for any costs, expenses, damages or otherwise of any Proponent in the event the successful Proponent selected fails to comply with any terms, conditions or requirements of the RFP, any addenda to the RFP or the professional services agreement.

The Proponent shall indemnify, hold harmless and defend MODL, their agents, representatives and employees from and against all claims, demands, losses, costs, damages, actions, suits or proceedings of every nature and kind whatsoever, including but not limited to bodily injury, sickness, disease or death; damage to or destruction of tangible property including loss of revenue or incurred expense resulting from disruption of service; financial or economic loss; and loss related to the Proponent’s status with Worker’s Compensation or other insurers, arising out of, or resulting from the performance of this work, provided that any such claim is caused in whole or in part by the negligent act or omission of the Proponent, any subcontractor,

supplier, licensee, anyone directly or indirectly employed by any one of them or anyone for whose acts any of them is liable, regardless of whether or not it is caused in part by a party indemnified hereunder.

9.10 Disclosure of Information and Communication Procedures

a) Disclosure by MODL

MODL will consider all Proposals as confidential, subject to the disclosure requirements imposed by applicable law in accordance with Section 9.1 MODL will, however, have the right to make copies of all Proposals received for its internal review process and to provide copies to its staff, consultants, technical and financial advisors and representatives.

Notwithstanding the foregoing, the Proponent acknowledges and agrees that MODL will not be responsible or liable in any way for any losses that the Proponent may suffer from disclosure of information or materials to third parties.

b) Disclosure by the Proponent

The Proponent shall not disclose any details pertaining to its Proposal or any part of the selection process to anyone not specifically involved in its Proposal, without the prior approval of MODL. The Proponent shall not issue a news release or other public announcement pertaining to details of its Proposal or the selection process without the prior approval of MODL.

9.11 Ownership of Proposals and Freedom of Information

All documents, including Proposals, submitted to MODL become the property of MODL and are subject to disclosure under the FOIPOP provisions of the Municipal Government Act. By submitting a Proposal, the Proponent thereby agrees to public disclosure of its contents subject to FOIPOP criteria. Any information the Proponent considers “personal information” because of its proprietary nature should be marked as “Confidential” and may be subject to appropriate consideration as defined within the FOIPOP provisions of the Municipal Government Act.

9.12 Costs and Expenses of the Proponent

MODL accepts no liability for any costs or expenses incurred by the Proponent in responding to this RFP, responses to clarification requests and re-submittals, potential meetings, tours and interviews, subsequent negotiations, or any other cost incurred prior to the execution of the Agreement by MODL and the successful Proponent. By submitting a Proposal, the Proponent agrees that it shall prepare the required materials and undertake the required investigations at its own expense and with the express understanding that it cannot make any claims whatsoever for reimbursement from MODL for any costs and expenses associated with the RFP process in any manner whatsoever or under any circumstances including, without limitation, the rejection of all or any of the Proposals or cancellation of the RFP or the professional services agreement.

9.13 Clarification of Proposals

MODL is not obliged to seek clarification from the Proponent regarding any aspect of its Proposal.

MODL shall have the right to request the Proponent to submit information to clarify or interpret any matters contained in its Proposal and to seek the Proponent's written acknowledgement of that clarification or interpretation. In addition, MODL may request supplementary documentation from the Proponent when there is an irregularity or omission in its Proposal or the documents submitted therewith. The Proponent should not assume MODL will request clarifications.

Supplementary documentation accepted by MODL and written interpretations that have been supplied or acknowledged by the Proponent shall be considered to form part of the Proposal.

9.14 No Conflict of Interest

The Proponent and members of the Proponent are requested to disclose any conflict of interest, real or perceived, which exists now or which may in the opinion of the Proponent exist in the future. MODL reserves the right to disqualify the Proponent if, in the opinion of MODL acting reasonably, it has a conflict of interest, whether such conflict exists now or arises in the future.

9.15 No Interest in Another Proponent

The Proponent shall not have any interest whatsoever in any other Proponent or in the Proposal of any other Proponent nor enter into any arrangement, agreement or understanding either before or after the Submission Date that would have that result. Provided however, after the Closing Date, the unsuccessful Proponents or members of the unsuccessful Proponents may, with the consent of MODL, become involved in the Project, provided such involvement is limited solely to acting as a sub-contractor to the successful Proponent.

9.16 Proponents to Ensure they Understand the Scope of Work

It is the Proponent's responsibility to ensure that it has all the necessary information concerning the intent and requirements of this RFP and the professional services agreement. The Proponent is solely responsible for examining and reviewing all documents and information provided or required pursuant to this RFP and for satisfying itself as to all other matters which may in any way affect the Scope of Work or the cost or time required to complete the Scope of Work.

Nothing contained in this RFP or in any communications from MODL shall constitute any express or implied warranty or representation by MODL, except as explicitly stated herein and therein.

9.17 Waiver / No Reliance

MODL does not accept responsibility for any information, advice, errors or omissions which may be contained in this RFP or its appendices or any addendum or in any documents provided by MODL. MODL makes no representation or warranty, either express or implied, in fact or in law, with respect to the accuracy or completeness of this RFP or its appendices or any addendum or in any documents provided by MODL and the MODL shall not be responsible for any action, cost, loss or liability whatsoever arising from the Proponent's reliance on or use of such information or any other technical or historical schedules, data, materials or documents provided by MODL. The Proponent is responsible for obtaining its own

independent financial, legal, accounting, engineering and technical advice with respect to any information included in this RFP, its appendices or any addenda or in any documents provided by MODL.

9.18 Compliance with Applicable Law

The Proponent shall be responsible, at its expense, for complying with all applicable laws relating to the Scope of Work and, except as explicitly stated in this RFP, for obtaining, maintaining and complying with all any approvals required for the Scope of Work.

9.19 Time to be of the Essence

Time shall be of the essence for this RFP and all Proposals.

9.20 Governing Law

This RFP and all activities connected therewith shall be governed in all respects by the laws of the Province of Nova Scotia and the laws of Canada applicable therein.

9.21 Confidentiality

a) "Confidential Information" means all information, whether transmitted orally, electronically or in written form, which the Proponent or the Proponent's representatives have received and may receive from MODL for the purposes of the Project and which may include, but is not limited to, all data, reports, interpretations, statements (financial or otherwise), specifications, performance information and records containing or otherwise reflecting information concerning MODL's systems, proprietary designs, equipment, products and/or technical information which the Proponent or the Proponent's representatives have received and may receive in the course of completing the Project.

b) MODL may, at its sole discretion, disclose Confidential Information to the Proponent or the Proponent's representatives for the purposes of (1) the RFP process and/or (2) the Project. Notwithstanding any such disclosure, the Confidential Information shall remain the sole and exclusive property of MODL and MODL shall retain all right, title and interest in and to the Confidential Information. The Proponent and the Proponent's

representatives shall use the Confidential Information solely and exclusively for purposes of (1) the RFP process and / or (2) the Project.

c) Without limiting the generality of the permitted use of the Confidential Information, neither the Proponent nor the Proponent's representatives shall use the Confidential Information for the purpose of achieving any commercial or financial benefit. In addition, neither the Proponent nor the Proponent's representatives shall publish, reproduce, copy, disseminate or disclose the Confidential Information to others without the prior written consent of the Clerk of the Municipality pursuant to the FOIPOP provisions of the Municipal Government Act, which consent may be withheld for any reason.

d) All documents, information, and material developed by the Proponent shall be treated as confidential unless determined otherwise, in writing, by MODL. Proponents are advised that any information provided by MODL is to be treated as confidential and shall not be provided to a third party without prior written consent of the Clerk of the Municipality.

e) The Proponent shall keep a record of all Confidential Information furnished to it and to its representatives and of the location of such Confidential Information. The Proponent shall make every reasonable effort to secure the Confidential Information and the Proponent shall return all Confidential Information provided to the Proponent and its representatives immediately to MODL upon its request and in any event immediately upon completion or cessation of the Project. The Proponent shall submit a statement in this RFP explicitly detailing the measures proposed to achieve this confidentiality and confirming a commitment to the MODL's information security. The Proponent's statement shall include a commitment to ensuring that all representatives comply with and are bound by the terms and conditions of this confidentiality commitment.
