    \parThe services to be performed will be subject to the ultimate responsibility andauthority of the Peace Corps Country Director who is responsible for all PeaceCorps activities in the host country. The Country Director may designate anothermember of the Peace Corps staff to monitor and provide technical or administrativeguidance regarding the services required by this contract.\par\parA. \ul Services to be provided\ulnone \par\par\tab\tab See Attachment, \ldblquote Statement of Work\rdblquote \par\parIn the event a security clearance is required by the Peace Corps and thecontractor fails to receive the appropriate clearance, this contract will

Release of Information\par\b0\parAll rights in data and reports produced under this contract shall become theproperty of the U.S. Government.     expressly provided in this contract.\par\pard\qj\b\page SECTION G - CONTRACT ADMINISTRATION DATA\par\parG.1. Billing\par\pard\nowidctlpar\sb240\qj\b0 The Contractor\rquote s proof of services providedwill be documented on a bi-weekly basis using a Post-controlled timesheetsubmitted to the Peace Corps Country Director or designated Certifying Officer,duly signed by the Contractor and Country Director or designated Certifying

    Officer. Using the Human Resources Management System (HRMS) module, the PeaceCorps Country Director, or his/her designee, will process all payments with theexception of the final payment (see Clause G.2., below) which will be manuallyprocessed by the Office of Acquisition and Contract Management in Washington.\bIn order for PC to issue appropriate 1099 forms to the Contractor, pre-contractual(non-taxable) costs must be submitted for reimbursement on a separate voucher(s)from compensation processed through HRMS or manual vouchers submitted forcompensation payment(s), which are considered taxable income.\par\ul Documentation\ulnone : \b0 Excluding payments processed using the HRMS Module,all billings (vouchers) will set forth the following information:\par\pard\keep\nowidctlpar\fi-720\li1440\sb240\qj 1. Electronic Funds Transfer (EFT)information, if not already submitted.\par2. Period covered by the billing, and amount.\par

The Contractor and the Peace Corps CountryDirector or his/her designee shall manually sign the certification on the originalPC 2059 (see attachment) or its equivalent.\par\ul\b NOTE\ulnone\b0 : For all contract payments, no payments shall be made usingthe Imprest Fund unless approved by the Chief Financial Officer (CFO) at PeaceCorps Washington or his designee. All payments shall be made in the currency of

    the award.\par\b G.2. Final Payment and Contract Closeout\par\b0 Prior to final payment under the contract, the Contractor shall execute anddeliver a release (See Attachment \ldblquote Contractor\rquote s Release\rdblquote) discharging the Government, its officers, agents and employees from allliabilities, obligations and claims arising out of or under the contract. Thefinal billing (voucher), along with the Contractor's Release, shall be submittedto the Peace Corps Contracting Officer for payment and contract closeout. Inaddition to the information listed above in Section G.1, the final billing shallinclude the amount paid to the Contractor prior to final billing and the periodcovered by these payments. The final payment will not be released until theContractor liquidates all outstanding travel advances by submitting the necessaryvouchers and payments.\par

    {\*\pn\pnlvlbody\pnf0\pnindent360\pnstart2\pnlcltr{\pntxtb(}{\pntxta)}}\fi-360\li360\qj\tx360 If the Contractor's financial institution is not directlyon-line to the Federal Reserve Wire Transfer System (i.e., stock brokerage,foreign bank, etc. and therefore, not the receiver of the wire transfer payment),the Contractor shall also provide the name, address and 9-digit Routing TransitNumber of the \ul\b correspondent financial institution\ulnone\b0 (i.e., U.S.bank) receiving the wire transfer payment.\par\pard\qj\par\pard{\pntext\f0 (c)\tab}{\*\pn\pnlvlbody\pnf0\pnindent360\pnstart3\pnlcltr{\pntxtb(}{\pntxta)}}\fi-360\li360\qj\tx360 Notwithstanding the provisions of any other clause of thiscontract, Peace Corps is not required to make any payment under this contractuntil after receipt, by the designated payment office, of the correct EFT payment

    information for the Contractor. Until receipt of the correct EFT information, anyinvoice shall be deemed not to be a valid invoice as defined in the Prompt Paymentclause of this contract.\par\pard\qj\par\pard{\pntext\f0 (d)\tab}{\*\pn\pnlvlbody\pnf0\pnindent360\pnstart4\pnlcltr{\pntxtb(}{\pntxta)}}\fi-360\li360\qj\tx360 If the EFT information changes after submission of correctEFT information, Peace Corps shall begin using the changed EFT information nolater than the 30th day after its receipt to the extent payment is made by EFT.However, the Contractor may request that no further payment be made until thepayment office implements corrected EFT information. If such suspension wouldresult in a late payment under the Prompt Payment clause of this contract, theContractor's request for suspension shall extend the due date for payment by the

    number of days of the suspension.\par\pard\qj\par\pard{\pntext\f0 (e)\tab}{\*\pn\pnlvlbody\pnf0\pnindent360\pnstart5\pnlcltr{\pntxtb(}{\pntxta)}}\fi-360\li360\qj\tx360 The Contractor shall designate a single financial agentcapable of receiving and processing the electronic funds transfer using the EFTmethods described in paragraph (a) of this clause.     \pard{\pntext\f0 (i)\tab}{\*\pn\pnlvlbody\pnf0\pnindent360\pnstart1\pnlcrm{\pntxtb(}{\pntxta)}}\fi-720\li720\qj\tx720 When payment cannot be made by EFT because of incorrect EFTinformation provided by the Contractor, no interest penalty is due after the dateof the uncompleted or erroneous payment transaction, provided that the notice isissued to the Contractor within 7 days after Peace Corps is notified of thedefective EFT information.\par\pard\qj\par\pard{\pntext\f0 (j)\tab}{\*\pn\pnlvlbody\pnf0\pnindent360\pnstart10\pnlcltr{\pntxtb(}{\pntxta)}}\fi-360\li360\qj\tx360 If the Contractor assigns the proceeds of this contract asprovided in the Assignment of Claims clause of this contract, the assignee shallprovide Peace Corps with the assignee EFT information in accordance with

    paragraphs (a) and (b) of this clause.\par\pard\qj\par\pard{\pntext\f0 (k)\tab}{\*\pn\pnlvlbody\pnf0\pnindent360\pnstart11\pnlcltr{\pntxtb(}{\pntxta)}}\fi-360\li360\qj\tx360 If the Contractor does not wish to receive payment by EFTmethods for one or more payment, the Contractor may submit a request to thedesignated payment office to refrain from requiring EFT information or using theEFT payment method. The decision to grant the request is solely that of PeaceCorps.\par\pard\qj\par\pard{\pntext\f0 (l)\tab}{\*\pn\pnlvlbody\pnf0\pnindent360\pnstart12\pnlcltr{\pntxtb(}{\pntxta)}}\fi-360\li360\qj\tx360 The Contractor agrees that the Contractor's financial agent

    may notify Peace Corps of a change to the routing transit number, Contractoraccount number or account type, as if the Contractor provided it. Peace Corpsshall use the changed data in accordance with this clause.\par\pard\qj\par\b G.4. Contract Management\par\par\b0 Notwithstanding the Contractor's responsibility for total management duringperformance of this contract, the administration of the contract will requiremaximum coordination between the Government and the Contractor. The followingindividuals will be the Government's points of contact during the performance ofthe contract.\par

    \par(a) Contracting Officer--All contract administration will be effected by theContracting Officer. Communications pertaining to contractual administrativematters will be addressed to the Contracting Officer. No changes in or deviationfrom the statement of work shall be effected without the written modification tothe contract executed by the Contracting Officer authorizing such changes.\par\par(b) Contracting Officer's Representative--The Peace Corps Country Director will

    serve as Contracting Officer's Representative (COR) and has the authority tomonitor all technical aspects and assist in administering the contract. The typeof actions within the purview of the COR's authority are: 1) to assure that theContractor performs all the technical requirements of the contract; 2) to performor cause to be performed inspections necessary in connection with performance ofthe contract; 3) to maintain both written and oral communication with theContractor concerning the aspects of requirements of Government drawings, designsand specifications; 4) to monitor the Contractor's performance under the contractand notify the Contractor and Contracting Officer of any deficiencies observed;and 5) to coordinate Government furnished property availability and provide forsite entry of the Contractor.\par\par\pard\li720\qj (i) The COR is not authorized to change any of the terms and

    conditions of this contract. Changes in the statement of work will only be madeby the Contracting Officer by a properly signed written modification to thecontract. \par\pard\qj\par\pard\fi720\qj (ii) The COR is not authorized to re-delegate his or herauthority.\par\pard\qj\par\pard\li720\qj (iii) The COR is not authorized to initiate acquisition actions byuse of imprest funds, blanket purchase agreement or purchase orders, to placecalls or delivery orders under basic agreement, basic ordering agreements orindefinite delivery type contracts.\par\pard\qj\par\b G.5. Contract Number Identification\par

    \b0\parThe Contractor agrees to utilize the number of this contract on allcorrespondence, communications and data concerning this contract or deliveryhereunder.\par\par\b G.6. Withholding of Contract Payments\par\par\b0 Notwithstanding any other payment provision of this contract, failure of theContractor to submit required reports when due, or failure to perform or deliverrequired equipment, supplies and services will result in the withholding ofpayments under this contract, unless such failure arises out of causes beyond thecontrol, and without the fault or negligence of the Contractor, as provided for inthe clause entitled "Government Delay of Work," "Breach of Contract Termination,"
