TMA Serbia is delighted to welcome you to the Operational Restructuring: Key Challenges to Business Sustainability conference 2017.

For this occasion, we have chosen Operational Restructuring as the main topic of the conference, due to the importance of operational improvements in the turnaround process of corporates. In many cases, to make a sustainable change in a distressed business, turnaround efforts must go beyond financial restructuring and include thorough operational restructuring, which involves willingness to initiate and accept the change, the right mix of skills and talent to implement improvements, as well as the creation of adequate control mechanisms to ensure long-lasting results. Turnarounds that incorporate true operational restructuring can cut costs, increase revenues, boost productivity, help to win and retain customers, and create a better place to work. In other words – they have the potential to be sustainable solutions.

Our event has a form of several panel discussions, aiming to present key elements of the process address various aspects of operational restructuring from different angles, such as lenders’ and investors’ perspectives. We believe that the event is the unique opportunity for the wider business community to understand and stress the importance of the operational restructuring in the chain of a business turnaround, hear success stories and lessons learned from the past.

Dragan acquired strong financial skills during last 16 years in various financial institutions in Serbia and abroad. He joined EBRD in 2008 where he initially worked in the Resident Office Belgrade, covering different sectors, from agribusiness, manufacturing & services to natural resources. During the last five years he has been working in Corporate Recovery Unit, based in London. He is participating and leading recovery projects of the Banks’s impaired assets. These projects were funded with various financing instruments from equity participation to debt funding and some hybrid instruments. He is active across various sectors and countries where the Bank is present with a goal to maximize recovery through restructuring and / or disposal by direct sale or liquidation. Dragan’s previous work experience was with local commercial banks in Serbia, both in corporate recovery and in commercial banking.

Loren Richards is an English solicitor and partner at law firm Clifford Chance. He is based in Frankfurt. His practice has focused for nearly 20 years on German speaking countries, C&SEE and Turkey. Loren acts for the full range of stakeholders on domestic and cross-border financings (particularly acquisitions, corporate lending, real estate and infrastructure financing). He also acts for stakeholders on portfolio deals and has led multiple landmark restructurings including, for example, Rodenstock (creditor-side), the first fully reasoned judgment of an English court on a Scheme of Arrangement for a non-English company and Mercator (company side).

During 20 years of working in the presence in Serbian market, by working in both financial and economic sector (factoring, bank), mainly in the position of financial director, she gained valuable experience in different economic activities and their institutional frameworks and lifecycles of a company.She graduated from the Faculty of Economics in Belgrade. During the work in the field of financial operations she improved her skills in organizing various institutions and continuously worked on personal development and communication skills. She has participated in many projects and working groups. From the beginning of the reorganization process of the company Amiga is in the position of Advisor to the Manager for Financial Affairs.

Bor has a master’s degree in Business Studies from Faculty of Economics in Ljubljana. In 2008 he started his business career at Abanka (Slovenian bank) first in market risk department and later in credit risk department as risk manager. After few years in risk department he started to work at DUTB in 2014 as case and equity manager mainly for companies which are in majority ownership of DUTB. He also served as a president of supervisory board of one Slovenian company.

Byron Nurse is a partner in the London office of Dentons. Byron leads the financial institutions sector in UKMEA and is also a global practice leader of the Restructuring and Insolvency group and the join head of the group for UKMEA. Working across many sectors, Byron has particular experience in the automotive, funds, financial institutions, hotels, leisure, retail, mining, construction and infrastructure sectors. Byron has worked across Western Europe and also in emerging markets. Byron regularly advises lenders and financial institutions; funds and distressed investors in relation to non-contentious corporate restructurings; refinancing and work-outs; the board and shareholders of distressed companies as well as buyers and sellers of secured and unsecured loans.

Marko is a Senior Manager in Advisory Services department in PwC SEE and has more than 15 years of professional experience in assignments across the region. He has wide-ranging experience in advisory work, focusing on business recovery and transaction services. He has led numerous restructuring, NPL and turnaround assignments within both, in-court and out-of-court frameworks.

Marko is a member of European Association of Certified Turnaround Professionals (EACTP), Association of Chartered Certified Accountants (ACCA) and Chamber of Certified Auditors of Serbia (KOR). He was the first president of TMA Serbia.

Martin Stotter was born in1976 in Linz (Austria). After completion of a bachelor's degree in Law, he acquired his PhD degree in Law at the University of Graz. He started his career in 2000 at the University of Graz as an Assistant at the Institute of International Law and International Relations. In 2002 he started his career in banking when he joined Raiffeisen Group - Corporate Clients Department within Raiffeisen-Landesbank Steiermark AG. In the period from 2002 to 2012 Dr. Stotter held positions of Assistant to the CEO, Head of Management Secretariat/Human Resources and Secretary General and Procurator. In the same organisation, in the period from 2012 to 2014, he also held the position of Deputy CRO and COO where he was responsible for preparation and implementation of the Strategic Credit Risk Management Policy, Special Exposure Management, Raiffeisenbanks Restrucruring Unit, Legal Affairs and OPS/IT. In May 2014 Dr. Stotter assumed the position of the Member of the Management Board/CRO in Raiffeisen Banka d.d. Slovenia which he held until March 2016 when he took up the same position in Raiffeisen Banka a.d. Beograd.

Milena is Head of Corporate Special Credit in UniCredit Bank Serbia. She is in charge of all Corporate Restructuring and Workout related activities. Milena has 14 years of experience in risk management areas. Prior to the current position, Milena worked within underwriting credit risk area and, more recently, held a position of Chief Risk Officer and Board Member within UniCredit Leasing Serbia.

Marko has over 10 years of professional experience, with main consulting expertise in improving operational efficiency of organizations in Balkan region. Key segments include organizational improvement, IT system and infrastructure, asset and workforce productivity, and other.Marko was managing numerous projects related to operational improvement and restructuring, primarily in power industry sector, local municipalities and local public utility companies. Experience includes working for Bain & Company on three-year project in Montenegro and Italy for Electric Power Industry of Montenegro.

He has worked in central & eastern Europe over 20 years, serving more than 100 clients, and achieving over EUR 70 mln in savings. Petr leads the Business Recovery Services team in the Czech Republic and PwC’s Business Recovery Services activities in the CEE region. He has over 20 years of consulting experience, specializing in restructuring in both in-court and out-of-court frameworks. Petr led some of the largest restructuring projects in the Czech Republic, Slovakia, Poland, Croatia and Slovenia, advising companies in a variety of industries including steel & machinery, automotive, mining and consumer goods. Petr is President of the Turnaround Management Association in the Czech Republic.

Mr. Nebojsa Ciric has been appointed as the CEO of East Point Holding, regional group of companies with diversified business lines: copper mill (Valjaonica Bakra Sevojno), silos and milling (Zitomlin), industrial bakery (Klas/BPI) and number of sales offices in Europe and USA. The Group operates mainly in Serbia, is one of the largest exporters in the country that employs around 2,000 people and achieves annual turnover of around 200 million EUR. Mr. Ciric has been working for the Government of the Republic of Serbia in the period from 2007 to 2012, as the Minister of Economy and Regional Development and previously as the State Secretary for Economy in the same Ministry.Prior to the Government posts, Mr. Ciric has been working for Deloitte Central Europe for 10 years as Director for Financial Services covering areas of Corporate Finance and Transaction Support Advisory for the eastern part of Adria cluster (Serbia, Republic of Srpska, Macedonia and Montenegro).

Vladimir has more than 15 years of experience in Serbian financial markets. He has proven track record in the creation of legal and institutional framework (National Bank of Serbia, Serbian Central Securities Depository), but also as an active participant in financial markets (CEO of FIMA International-brokerage, Portfolio Manager of the FIMA Proactive fund). Vladimir is a managing partner of the WM Equity Partners since its incorporation. He participated in numerous restructuring procedures, M&A mandates and corporate finance activities. He obtained his bachelor and master’s degree from the Belgrade Faculty of Economics and PhD in Public Finance on the Faculty of Political Sciences. Since 2006 he is a CFA charter-holder.

Tijana is the founding and managing partner of BDK Advokati. Her legal background is diverse and she has experience in both transactional and contentious matters. She is actively involved in BDK's banking & finance and insolvency & restructuring work, as well as in the firm's dispute resolution practice. She also advises on a range of corporate and commercial law matters. Tijana holds LL.M. and SJD degrees from the Central European University in Budapest.
