If Recipient institutes patent litigation against aContributor with respect to a patent applicable tosoftware (including a cross-claim or counterclaim in alawsuit), then any patent licenses granted by thatContributor to such Recipient under this Agreement shallterminate as of the date such litigation is filed. Inaddition, if Recipient institutes patent litigation againstany entity (including a cross-claim or counterclaim in alawsuit) alleging that the Program itself (excludingcombinations of the Program with other software orhardware) infringes such Recipient's patent(s), thensuch Recipient's rights granted under Section 2(b) shallterminate as of the date such litigation is filed.

All Recipient's rights under this Agreement shallterminate if it fails to comply with any of the materialterms or conditions of this Agreement and does not curesuch failure in a reasonable period of time afterbecoming aware of such noncompliance. If allRecipient's rights under this Agreement terminate,Recipient agrees to cease use and distribution of theProgram as soon as reasonably practicable. Visual Studio Team Foundation Server 2015.

For each license of Visual Studio Enterprise with MSDN,Visual Studio Professional with MSDN, or Visual StudioTest Professional with MSDN that you acquire, you areentitled to one server license for Visual Studio TeamFoundation Server 2015 and one Team FoundationServer User CAL. The CAL is reserved solely for useby the subscriber (the licensed user).


The Visual Studio Team Foundation Server 2015software includes SQL Server 2014 Standard Edition.Your use of such SQL Server Standard Edition is subjectto the license terms for that edition along with thesemodified use terms below:

You may run, at any one time, only one instance of SQLServer 2014 Standard Edition in one physical or virtualoperating system environment on one server solely tosupport the software. You do not need SQL Server CALsfor this use.

Utilities. The software contains some items on theUtilities List athttp://go.microsoft.com/fwlink/?LinkId=523763&clcid=0x409.You may copy and install those items on your or otherthird party machines. Please note that Utilities aredesigned for temporary use, that Microsoft may not beable to patch or update Utilities separately from the restof the software, and that some Utilities by their naturemay make it possible for others to access machines onwhich they are installed. You may not reverse engineer,decompile or disassemble the software, or otherwiseattempt to derive the source code for the softwareexcept, and solely to the extent: (i) permitted byapplicable law, despite this limitation; or (ii) required todebug changes to any libraries licensed under the GNU


Lesser General Public License which are included withand linked to by the software.

Developer Resources. The software includes compilers,languages, runtimes, environments, and other resources.These components may be governed by separateagreements and have their own product support policies.A list of these other components is located atwww.support.microsoft.com/common/international.aspx.

Microsoft Platforms. The software may includecomponents from Microsoft Windows; MicrosoftWindows Server; Microsoft SQL Server; MicrosoftExchange; Microsoft Office; and Microsoft SharePoint.These components are governed by separateagreements and their own product support policies, asdescribed in the license terms found in the installationdirectory for that component or in the “Licenses” folderaccompanying the software.

Package Managers. The software includes packagemanagers, like NuGet, that give you the option todownload other Microsoft and third party softwarepackages to use with the software or you’re application.Those packages are under their own licenses, and notthis agreement. Microsoft does not distribute, license orprovide any warranties for any of the third partypackages.

ADDITIONAL LICENSE TERMS FOR WINDOWSERVER REMOTE DESKTOP SERVICES

Remote Desktop Services. Up to 200 anonymous usersat a time may use the Remote Desktop Services featureof the Windows Server software to access onlinedemonstrations of your applications.

Windows Home Server Remote Access Features. Youare responsible for making sure that your use ofWindows Home Server’s remote access featurescomplies with your broadband providers’ terms ofservice. You may need to add services from yourbroadband provider to use Windows Home Server’sremote access features. For example, you will needcertain “ports” to be open to use these features, and


some broadband providers block those ports forcustomers on some service plans. Also, somebroadband providers’ terms of service may limit orprohibit setting up and running of “servers” on theirnetworks by some customers on some service plans.Please contact your broadband provider if you havequestions about their terms of service.

ADDITIONAL LICENSE TERMS FOR OFFICEPROFESSIONAL PLUS 2013

Office Professional Plus 2013. For each license of VisualStudio Enterprise with MSDN that you acquire, thelicensed user may also install and use one copy of OfficePro Plus 2013 on one device for production use. Theserights are in addition to the rights that come with thedesktop program that is governed by the OfficeProfessional Plus 2013 agreement you accept wheninstalling the Office Profession Plus software.

MULTIPLEXING. Hardware or software you use to

pool connections,

reroute information,

reduce the number of devices or users that directlyaccess or use the software,

reduce the number of devices or users the softwaredirectly manages,

(sometimes referred to as “multiplexing” or “pooling”),does not reduce the number of licenses of any type thatyou need.

MANDATORY ACTIVATION. Activation associates theuse of the software with a specific device. Duringactivation, the software will send information about thesoftware and the device to Microsoft. This informationincludes the version, language and product key of thesoftware, the Internet protocol address of the device,and information derived from the hardware configurationof the device. For more information, seemicrosoft.com/piracy/activation.mspx. By using thesoftware, you consent to the transmission of this


information. Before you activate, you have the right touse the version of the software installed during theinstallation process. Your right to use the software afterthe time specified in the installation process is limitedunless it is activated. This is to prevent its unlicenseduse. You will not be able to continue using the softwareafter that time if you do not activate it. If the device isconnected to the Internet, the software mayautomatically connect to Microsoft for activation. Youcan also activate the software manually by Internet ortelephone. If you do so, Internet and telephone servicecharges may apply. Some changes to your computercomponents or the software may require you toreactivate the software. The software will remind you toactivate it until you do.

VALIDATION.

Validation verifies that the software has been activatedand is properly licensed. It also verifies that nounauthorized changes have beenmade to the validation,licensing, or activation functions of the software.Validation may also check for certain malicious orunauthorized software related to such unauthorizedchanges. A validation check confirming that you areproperly licensed permits you to continue to use thesoftware, certain features of the software or to obtainadditional benefits. The software will from time to time perform a validationcheck of the software. The check may be initiated bythe software or Microsoft. To enable the activationfunction and validation checks, the software may fromtime to time require updates or additional downloads ofthe validation, licensing or activation functions of thesoftware. The updates or downloads are required forthe proper functioning of the software and may bedownloaded and installed without further notice to you.During or after a validation check, the software maysend information about the software, the computer and


the results of the validation check to Microsoft. Thisinformation includes, for example, the version andproduct key of the software, any unauthorized changesmade to the validation, licensing or activation functionsof the software, any related malicious or unauthorizedsoftware found and the Internet protocol address of thecomputer. Windows Apps. SomeWindows apps provide an accesspoint to, or rely on, online services, and the use of thoseservices is sometimes governed by separate terms andprivacy policies, such as the Microsoft ServicesAgreement at (aka.ms/msa). You can view these termsand policies by looking at the service terms of use orthe app’s settings, as applicable. The services may notbe available in all regions.

Malware protection. Microsoft cares about protectingyour device from malware. The software will turn onmalware protection if other protection is not installed orhas expired. To do so, other antimalware software willbe disabled or may have to be removed.

Adobe Flash Player. The software includes Adobe FlashPlayer that is licensed under terms from Adobe SystemsIncorporated, at (aka.ms/adobeflash). Adobe and Flashare either registered trademarks or trademarks of AdobeSystems Incorporated in the United States and/or othercountries.

ADDITIONAL LICENSE TERMS FOR WINDOWSSERVER 2012 R2

Data Storage Technology. The server software includesdata storage technology called Windows InternalDatabase. Components of the server software use thistechnology to store data. You may not otherwise use oraccess this technology under this agreement.

DISTRIBUTABLE CODE. The software contains codethat you are permitted to distribute in applications you


develop as described in this Section. (For this Sectionthe term “distribution” also means deployment of yourapplications for third parties to access over the Internet.)

Right to Use and Distribute. The code and text files listedbelow are “Distributable Code.”

REDIST.TXT Files. You may copy and distribute theobject code form of code listed in the redist.txt file in thesoftware and on the REDIST list located athttp://go.microsoft.com/fwlink/?LinkId=523763&clcid=0x409.

Sample Code, Templates and Styles. You may copy,modify and distribute the source and object code formof code marked as “sample”, “template”, “simple styles”and “sketch styles”.

Image Library. You may copy and distribute images andanimations in the Image Library(ies) as described in thesoftware documentation.

Third Party Distribution. You may permit distributors ofyour applications to copy and distribute the DistributableCode as part of those applications.

Distribution Requirements. For any Distributable Codeyou distribute, you must:

add significant primary functionality to it in yourapplications;

require distributors and external end users to agree toterms that protect it at least as much as this agreement;

indemnify, defend, and hold harmless Microsoft fromany claims, including attorneys’ fees, related to thedistribution or use of your applications, except to theextent that any claim is based solely on the DistributableCode.

Distribution Restrictions. You may not:

use Microsoft’s trademarks in your applications’ namesor in a way that suggests your applications come fromor are endorsed by Microsoft;


modify or distribute the source code of any DistributableCode so that any part of it becomes subject to anExcluded License. An Excluded License is one thatrequires, as a condition of use, modification ordistribution, that (i) the code be disclosed or distributedin source code form; or (ii) others have the right tomodify it.

BENCHMARK TESTING.

Server Software. You must obtain Microsoft’s priorwritten approval to disclose to a third party the resultsof any benchmark test of server software or additionalsoftware that comes with it. This does not apply to the.NET Framework (see below).

Microsoft .NET Benchmark Testing. The softwareincludes one or more components of the .NETFramework (“.NET Components”). You may conductinternal benchmark testing of those components. SCOPE OF LICENSE. The software is licensed, notsold. This agreement only gives you some rights to usethe software. Microsoft reserves all other rights. Unlessapplicable law gives you more rights despite thislimitation, you may use the software only as expresslypermitted in this agreement. GEOGRAPHIC ANDEXPORTRESTRICTIONS. If yoursoftware is restricted for use in a geographic region,then you may activate the software only in that region.Youmust also comply with all domestic and internationalexport laws and regulations that apply to the software,which include restrictions on destinations, end users,and end use. DOCUMENTATION. Any person that has valid accessto your computer or internal network may copy and usethe documentation for your internal, reference purposes.

RENEWAL. If this subscription is marked as a renewalversion, you may use it only if you have a license to usethe subscription eligible for renewal. If you renew, thissoftware takes the place of the earlier version, and thisagreement takes the place of the agreement for thatearlier version.

TRANSFER TO A THIRD PARTY. If you are a validlicensee of the software you may transfer it and this


agreement directly to another party. Before the transfer,that party must agree that this agreement applies to thetransfer and use of the software. The transfer mustinclude the software, genuine Microsoft product key,and (if applicable) the Proof of License label. Thetransferor must uninstall all copies of the software aftertransferring it from the device. The transferor may notretain any copies of the genuine Microsoft product keyto be transferred, and may only retain copies of thesoftware if otherwise licensed to do so. If you haveacquired a non-perpetual license to use the software orif the software is marked Not for Resale you may nottransfer the software or the software license agreementto another party.

EXPORT RESTRICTIONS. Microsoft software, onlineservices, professional services and related technologyare subject to U.S. export jurisdiction.
