EXPLANATORY NOTES

1. DEFINITIONS

2. AREAS

Subscribers are (unless otherwise agreed with a particular Association) required to pay fees to the Association in whose area they are resident as follows:

NEW YORK If resident in North, Central or South America or the

Caribbean Islands (including the Bahamas), Bermuda, Greenland, or Hawaii.

LONDON If resident elsewhere.

Each Association maintains a comprehensive computer record of all rates calculated and enquiries should normally be made to the Association to which fees have been paid. If a rate is urgently required when the office of that Association is closed, an enquiry may be put to the other Association, giving the registered subscriber number.

3. GENERAL

(1) Like its predecessors, the New Worldwide Tanker Nominal Freight Scale

(Worldscale) is intended merely as a standard of reference to assist subscribers to conduct business.

It includes a number of "Terms and Conditions", which are set out in Part B of the Preamble.

Any additional "Terms and Conditions" applying to a particular port or trans-shipment area, which is not mentioned in Part D of the Preamble, will be stated when quoting the requested rate for the voyage in question.

Contracting parties are free to vary the "Terms and Conditions" as they see fit.

(2) The responsibility of each of the Associations is limited to providing subscribers with rates for voyages calculated in accordance with the basis of calculation described in Section 4 of Part A of the Preamble and to revising Worldscale in accordance with the procedure described in Section 9 of Part A of the Preamble.

The application of the rates, rate differentials and demurrage rates and the application or interpretation of the "Terms and Conditions" are matters which are solely the concern of the contracting parties and neither of the Associations will undertake to resolve disputes that may arise between subscribers.

(3) The nominal rate for a voyage does not in itself have any significance as

representing a fair or reasonable rate for the standard vessel or any other size and/or type of vessel at any particular time.

(4) Market levels of freight are to be expressed in terms of a percentage of the nominal freight rate. Thus Worldscale 100 would mean the rate for the voyage in question as calculated and issued by the Associations, while Worldscale 175 would mean 175 per cent of that rate and Worldscale 75 would mean 75 per cent of that rate.

(5) Rates are calculated and quoted only in USD per tonne. However, freight may of course be payable in any currency and the contracting parties should specify clearly the currency of payment and the method to be used to determine the rate of exchange to apply if the currency of payment is to be

other than USD.

(6) Rates are shown in the Schedule under the port or ports of discharge.

For an explanation of how to obtain rates for voyages involving loading at ports in the Arabian Gulf, Black Sea, or Lake Maracaibo, please refer to the ADDITIONS link.

(7) Rates for voyages not shown in the Schedule are available upon application

to either of the Associations; as are rates for voyages involving ports and/or trans-shipment areas not mentioned in Part D of the Preamble.

(8) The fixed and variable rate differentials mentioned on pages D-1/D-8 must

be taken into consideration when using Worldscale rates.

Any fixed or variable rate differential applying to a particular port or trans-shipment area, which is not mentioned in Part D of the Preamble, will be stated when quoting the requested rate for the voyage in question.

4. BASIS OF CALCULATION

All rate calculations, which are made in USD, are per tonne for a full cargo for the standard vessel based upon a round voyage from loading port or ports to discharging port or ports and return to first loading port using the under-mentioned factors.

All of the factors shown are purely nominal and for rate calculation purposes only. In particular, the fixed hire element of USD 12,000 per day is not intended to represent an actual level of operating costs, nor to produce rates providing a certain level of income or margin of profit, either for the standard vessel or for any other vessel under any flag.

Port costs used are those assessed by the Associations in the light of information available to them up to the end of September 2014, the rate of exchange used for converting costs in a local currency to USD being the average applicable during the period 1st October 2013 to 30th September 2014.

(f) Canal Transit Time

24 hours is allowed for each transit of the Panama Canal.

30 hours is allowed for each transit of the Suez Canal.

Mileage is not taken into account in either case.

5. NOTES ON CALCULATIONS

(1) It is assumed that the standard vessel is able to navigate the selected route

to reach and load or discharge at the ports concerned. See Section 6 of Part A of the Preamble for a description of the Route Policy.

(2) Bunkers are deemed to be available at every port at the bunker price stated in Section 4 of Part A of the Preamble and, for the purposes of calculating cargo quantity, it is assumed that 50 per cent of the total bunkers acquired for the round voyage are acquired at the first loading port.

(3) The port time mentioned under item (b) in Section 4 of Part A of the

Preamble is deemed to include the laytime of 72 hours mentioned in Section 2 of Part B of the Preamble.

(4) Rates are calculated for voyages with loading and discharging ports in

whatever order is requested, irrespective of whether that order is consistent with the principle of geographical rotation.

(5) No allowance is made for any Tax on Freight or Income Tax, nor is there

any provision as to whether such Taxes are for Owners' or for Charterers' Account.

(6) No allowance is made for any additional Marine Insurance on hull or

machinery, including War Risk Insurance, which may be incurred when trading to or from certain areas.

(7) No allowance is made for deviation for any purpose whatsoever.

(8) No allowance is made for any deballasting expenses, nor is there any

provision as to whether such costs are for Owners' or Charterers' Account.

(9) An Allowance has been made for ISPS costs in ports whenever such costs

have been advised to the Associations.

(10) For ports and trans-shipment areas within the European Union (EU), Norway, Iceland, Turkey and within the areas of the Baltic and North Sea ECA, North American ECA and the Caribbean ECA, an allowance has been made for the increase in costs of fuel with a content not exceeding 0.1% sulphur used within these ports and locations.

6. ROUTE POLICY/DISTANCES

(1) Normal Shipping Route and Alternatives.

The following route indicators are used both in the Schedule and when

quoting rates in response to requests from subscribers.

C which means via Cape of Good Hope, laden and in ballast. CS which means via Cape of Good Hope, laden, Suez Canal in ballast. S which means via Suez Canal, laden and in ballast. P which means via Panama Canal, laden and in ballast. CP which means via Cape of Good Hope, laden, Panama Canal in ballast. H which means via Cape Horn, laden and in ballast.

CHwhich means via Cape of Good Hope, laden and in ballast, and Cape Horn,

laden and in ballast.

Except as otherwise explained, the route used for a rate shown in the Schedule (for the round voyage from loading port or ports to discharging port or ports and return to first loading port) is that which produces the lowest rate for the voyage in question at Worldscale 100.

In most cases, such a route is that via the most direct normal shipping route, which usually means via whatever route provides the shortest distance (see Paragraph 6). However, in those cases where, for rate calculation purposes, extra time is allowed for transit of a canal and/or an allowance made for expenses incurred for transit of a canal, waterway or strait, the rate shown may not be via the route with the shortest distance but via a route which, although longer, nevertheless produces the lowest rate. In deciding which route produces the lowest rate, the fixed rate differentials for Panama Canal and/or Suez Canal transits as applicable to the standard vessel are taken into account.

Rates are shown in the Schedule for both of the following routes whenever they are viable alternatives:

(a) Suez Canal, laden and in ballast, (S); and

(b) Cape of Good Hope, laden and in ballast, (C);

also, in some cases, a rate is shown via a third route, namely

(c) Cape of Good Hope, laden, Suez Canal in ballast, (CS),

whenever such a route produces the lowest rate.

The parties to a contract should agree which one of the two or three rates should apply.

(2) There are several assumptions used within normal and alternative routes, for

example:

When calculating rates for voyages which involve passage through Danish waters (Great Belt and Sound) from Skaw to the Baltic Sea or vice versa it is assumed that the vessel will proceed via the Great Belt when laden (fully or partly) and via the Sound when in ballast, notwithstanding that a route via the Sound or the Little Belt, both laden and in ballast, may produce a lower rate.

It is assumed that the standard vessel is able to navigate unhindered in the Japanese Inland Sea.

(3) Unconventional Routes.

There are several examples of routes that are not included in the calculation of the lowest rate as they are not classed as using normal shipping routes. Any unconventional rate where calculated may produce a lower rate. Such voyages will be provided by the Associations and available on the web-site. Subscribers may request calculation using these routes where they are not currently provided. The use of such a rate will be dependant upon specific agreement between the contracting parties.

Examples of such Unconventional Routes that are not used in the calculation of the cheapest rate, notwithstanding that they may produce lower rates are:

Cape Cod Canal (except for voyages involving Sandwich (Mass.)) Chesapeake and Delaware Canal Kiel Canal Passages through the Minches Passages inside the Great Barrier Reef except for access to Queensland ports

Passages through the Magellan Straits (except for voyages involving Gregory Bay)

(4) Subscriber Nominated Route.

Rates for voyages via any route nominated by a subscriber are available upon

application. Route waypoints may be required. However, if the rate calculated on the basis of the nominated route does not conform to the principles referred to in (1) and (2) above, the subscriber will be so informed and the use of such a rate will be dependent upon specific agreement between the contracting parties. Rates calculated using specific nominated routes will only be available to requesting subscribers.

(5) The actual route used (laden and ballast) for any rate, whether in the schedule

or not, will be provided upon request. Route details are provided alongside relevant rates on the web-site.

(6) Distances used for rate calculation purposes on the basis of the round voyage appear in the Schedule after the rate and are established by reference to the new BP Shipping Marine Distance Tables (2004) produced by AtoBviaC plc as at 30th September 2014 or, if these tables do not include necessary distances, they are obtained from AtoBviaC plc direct, using the basis upon which the new Distance Tables were developed. The distances shown in the Schedule are for rate calculation and no other purpose. We are advised by AtoBviaC plc that the new distance tables, in both electronic and printed formats, show distances, in nautical miles, that are, in most cases, the shortest sea route or the sea route customarily followed by merchant ships, with the following major distinction; the shortest sea route distances in the new Distance Tables now take into account IMO Conventions, littoral state legislation and published official recommendations for environmentally sensitive routeing.

(7) For voyages entering an ECA but not calling at a port within that area, subscribers will not be advised of differentials applicable. It is the responsibility of the contracting parties to agree any distance steamed within an ECA. The Associations do not provide a breakdown of the published mileage between the ECA and non-ECA mileages.

7. ASSESSMENT OF PORT COSTS

See Section 4 and 5 of Part B of the Preamble.

Although some assumptions have to be made, the objective is to include in the rate calculations realistic allowances for all of those port cost items which are levied against the vessel (i.e. are for Owners' Account) even when they are assessed on the quantity of cargo loaded or discharged or by reference to the time spent in port/alongside a berth.

In general terms, this means that allowances are made for vessel's items such as these:

The above is not a comprehensive list and subscribers may seek clarification from the Associations as to whether or not an allowance has been made for any items that do not fall under one of these broad headings. (Also see Section 4 of part B of the Preamble.)

Occasionally, it will be necessary to make particular items that are levied upon or against the vessel "For Charterers' Account", which means, there being no allowance for such an item in the rate, that Owners are entitled to obtain reimbursement from Charterers for the cost involved. Such items, together with certain others that are directly "For Charterers' Account", are listed in Section 5 of Part B of the Preamble.

When assessing port costs:

(a) It is assumed that the standard vessel proceeds direct to the cargo handling place

upon arrival at a port.

(b) The allowance made for an item that is related to time is based upon 48 hours.

(c) The allowance made for an item that is based upon the quantity of cargo loaded

or discharged is always based upon a full cargo for the standard vessel, irrespective of the number of loading or discharging ports on the voyage.

(d) In cases where a port operates a dual charging system for non segregated and

segregated ballast tanks and/or double hulls the port costs have been assessed using the lowest rate.

(e) For an item that is payable either on a "single-trip" basis or on a reduced "multi-

trip" basis the allowance made is on the basis of a "single-trip".

(f) No allowance is made for any costs that would not be incurred by a vessel of

the size of the standard vessel.

(g) No allowance is made for items or surcharges on items that are incurred only at

certain times of the year.

However, in some cases, such items or surcharges are made "For Charterers' Account". See Section 5 of Part B of the Preamble under:

(h) Also see Section 5 (5) of Part A of the Preamble regarding Tax on Freight and

Income Tax.

8. VARIOUS TRANSIT/VOYAGE EXPENSES

Apart from the port costs described above it is also necessary to include costs incurred during sea passage, canals, straits etc. Listed below are those areas where expenses are incurred and appropriate cost allowance have been made in either the flat rate calculation or shown as a differential:

ARGENTINA Pilotage costs & Dredging (when applicable) for passage through the

Martin Garcia & Mitre Channels.

AUSTRALIA Pilotage costs for passages through the Torres Straits pilotage area

and the Hydrographers Passage pilotage area.

CHILE Pilotage and Light Dues (when applicable) for transiting the Magellan

Straits.

DENMARK Danish Pilotage costs for passages through Skaw, Kattegat, Great and

Little Belts and the Sound to and from the Baltic Sea. Tolls and expenses for transiting the Kiel Canal.

EGYPT Suez Canal Transit Tolls and expenses are subject to the Fixed

Differential shown on page D-2.

ITALY Pilotage costs for transiting the Messina Straits.

JAPAN Costs of Pilot/escort boats for transiting the Inland Sea and Osaka

Bay.

PANAMA Panama Canal Transit Tolls are subject to the Fixed Differential on

page D-3. Miscellaneous transit expenses are included in the flat rate.

TURKEY Pilotage, Sanitary Dues, Light Dues, Life Saving/Salvage Dues,

Agency fees and petties incurred whilst transiting the Dardanelles and Bosporous Straits.

In recognition of night navigation restrictions an extra 12 hours has been added to the flat rate calculations for each transit of the Turkish Straits (i.e. a transit of the Dardanelles and the Bosporous Straits equals one transit of the Turkish Straits for Worldscale purposes).

UKRAINE Pilotage and Channel Dues for transiting the Kertch Straits.

USA Pilotage cost and expenses for transiting the Cape Cod Canal and

Chesapeake and Delaware Canal.

9. REVISION POLICY

Worldscale will be completely recalculated once every twelve months providing revised rates effective as from 1st January of each year that reflect changes in bunker prices and port costs (as per page Preamble 3) and also changes in distances provided by AtoBviaC plc on 30th September each year.

For each revision an average worldwide bunker price from October to September prior to the effective date will be used for 380 cst fuel.

For low sulphur fuels the average price, in areas requiring their use, from October to September prior to the effective date will be used.

The bunker prices, which will be assessed by LQM Petroleum Services, Inc., will be stated in Section 4 (d) of Part A of the Preamble.

Port costs used will be those assessed by the Associations in the light of information available to them up to the end of September prior to the effective date. Port costs will be converted from the local currency to USD using the yearly average rate of exchange applicable from the 1st October to the 30th September prior to the effective date. For the guidance of subscribers sample exchange rates

for selected currencies will be stated in Section 4 (e) of Part A of the Preamble.

Interim revisions will be confined to those thought necessary in the judgement of the Associations because of significant changes in port costs arising from tariff revisions at particular ports.

10.TRANS-SHIPMENT AREAS

List 3 of Part D of the Preamble shows most of those places and their approximate locations that are presently designated by the Associations as being "trans-shipment areas" This list is arranged by geographical area. Elsewhere in the Schedule, trans-shipment areas are identified by means of the letters TSA in brackets after the name.

The Associations define a trans-shipment area as a place at which cargo is transferred that is outside the limits of a port and where there are no mooring facilities.

All rates for voyages which involve a trans-shipment area shown in List 3 of Part D of the Preamble, whether as a sole loading/discharging place or combined with loading/discharging at a port or ports, are incorporated with other rates throughout the Schedule.

Such rates are calculated in accordance with the basis of calculation set out in Section 4 of Part A of the Preamble, a trans-shipment area being deemed to be a "port" for rate calculation purposes.

Places other than those shown in List 3 of Part D of the Preamble may be designated as "trans-shipment areas" by the Associations. Rates for voyages involving such trans-shipment areas as the sole loading/discharging place are obtainable upon application to the Associations and will be regarded as "official" rates. However, rates for voyages involving partial loading/discharging at any trans-shipment area not shown in List 3 of Section 3 of Part D of the Preamble, combined with a port or ports, will be regarded as "special" rates and their use will be dependent upon agreement between the contracting parties.

List 3 of Part D of the Preamble is subject to revision from time to time.

PREAMBLE PART B

TERMS AND CONDITIONS

1. EFFECTIVE DATE

This edition of Worldscale shall apply for all voyages on which loading is commenced on or after the 1st January 2015, except in the case of amendments that are notified by circulars as being effective from subsequent dates.

2. LAYTIME

The time allowed for loading and discharging shall be 72 hours and shall be subject to whatever qualifications, if any, that are stated in the applicable charter party or contract.

3. PORT AND TERMINAL COMBINATIONS

(1) Any two or more of the places in any one of the combinations shown below are

to be regarded, for freight and demurrage purposes, as "berths within a single port".

The first named place (shown in bold print) in the list of such combinations is the port name under which rates are shown in the Schedule and, subject to any fixed or variable rate differential that may apply, the rate shown also applies to any other place in the same group.

(2) There are no terms and conditions under Worldscale relating to the settlement

of shifting costs. The settlement of such costs shall be governed by the terms and conditions of the applicable charter party or contract.

(3) This list of port and terminal combinations includes most of those that apply for

the purposes of Worldscale; however it should not be regarded as a complete list.

Also, in the case of any particular combination shown, there may be places, in addition to those mentioned, that are designated by the Associations as coming within that combination.

(4) List 1 of Part D of the Preamble includes cross references to places mentioned

in this Section of Part B of the Preamble.

However, Owners shall be reimbursed by Charterers for costs they have incurred in respect of items specified as being "For Charterers' Account" in Section 5 of Part B of the Preamble.
