Introduction

The Fordham University Retirement Plan (the Plan) is managed by the Fordham University Retirement Plan Committee (the Committee), a group of Administrators and Faculty who regularly meet to review the operations and investment choices of the Plan, with an eye toward structuring the Plan to best help you meet your objectives. The Committee, working with CAPTRUST, an independent advisor, has taken several steps to meet these requirements, including regularly reviewing the investments offered by the Plan.

As a result of the most recent review, the Committee has decided to make changes to the Plan’s investment menu. These changes include the addition of several funds, removal of several funds and implementing a tiered approach to the menu to make it easier for you to diversify your portfolio and to reduce overall fees.

On behalf of Fordham University, TIAA and Fidelity will begin implementing updates to the Plan’s investment lineup in March 2020 that will be completed on May 15, 2020.

What You Need to Know

Plan Enhancements Begin March 31, 2020

Key Dates Events

March 31 • New investment choices become available.• Investment election period starts.

On or about May 15 Assets in the funds listed in the transfer charts on pages 10-13 will be moved to the replacement investment option. TIAA annuities that will be frozen will have future contributions invested according to the chart on pages 10-11.

A Special Note for Former and Retired Employees with Account Balances in the PlanYou are receiving this guide because you are a participant in the Plan. Even though you are not actively contributing, you should review this information carefully to learn how your account may be affected.

What is Not ChangingThe core features of the Plan that are not changing:

• Contribution rates

• Plan design and rules

• Eligibility and vesting provisions

What is Changing• An investment lineup that is tiered. The Committee,

working with CAPTRUST, carefully selected an array of investment options designed to further enhance your ability to create a diversified retirement portfolio with the assets in your retirement account. The new streamlined investment menu will continue to feature mutual fund and annuity account investment options. As part of this change, however, several options from the current lineup have been replaced with new options.

• Lower investment fees. As part of its ongoing supervision of the Plan, the Committee adopted several lower fee investment options.

For All Plan Participants

Changes to the Plan’s Investment LineupThe Committee is taking this opportunity to change the investment options available under the Plan. The new, carefully selected investments may give you a greater ability to create a diversified retirement portfolio in the Plan that matches your investment goals and preferences. See pages 4-6 for more details about these changes.

Choosing Different InvestmentsBeginning on March 31, 2020, you may change the way future contributions are invested before the new investment menu takes effect. If you do not provide investment instructions during this period, you can always make changes after the new menu is in effect.

Action Steps• Get advice. Has it been a while since you reviewed your

investment mix under the Plan? You’re eligible to receive Plan investment advice at no additional cost to you. It’s all about helping you retire on your terms.

• Check your beneficiary designation. These Plan changes are a good time to review not only your investment elections, but your beneficiary designations as well.

• Attend an informational webinar session. Find out about the Plan changes and steps you may wish to take. See pages 16 and 17 for details.

Overview: New Tiered Investment Options

Investment TiersThe Plan’s new investment options will be tiered, offering a variety of investments from several popular fund families in addition to TIAA and Fidelity. You can create a tailored retirement strategy by investing in options from any of the following tiers.

Tier 1: Target-Date Funds1, 2

Target-date funds provide a diversified investment portfolio within a single fund. The options in this tier are age-based target-date funds. Selecting a target-date fund may be a good choice if you prefer a hands-off approach to managing your retirement savings. The “target date” indicates when you may choose to begin making withdrawals (based on the year you reach age 65). The fund’s investments become more conservative as the target date approaches. After the target date, the fund may be merged into a fund designed for investors already in retirement.

Tier 2: Passively Managed FundsPassively managed funds use index mutual funds, which aim to replicate the performance and risk characteristics of one of several market indices (e.g., S&P 500 Index). These funds provide broad diversification within a single type of asset class at low costs.

Tier 3: Actively Managed FundsActively managed funds consist of actively managed investments, which are managed by a fund manager who buys and sells investments within the portfolio in an attempt to outperform a market benchmark.

Tier 4: TIAA and CREF Annuity AccountsVariable annuities offer potential for growth to help keep pace with rising costs. Their value will rise and fall. While they can provide retirement income guaranteed to last for your lifetime, the actual amount of income will vary.

1 Target-date funds share the risks associated with the types of securities held by each of the underlying funds in which they invest. In addition to the fees and expenses associated with the target-date funds, there is exposure to the fees and expenses associated with the underlying mutual funds.

2 As with all mutual funds, the principal value of a target-date fund isn’t guaranteed at any time, even at the target date. The target date represents an approximate date when investors may choose to begin withdrawing from the fund.

New Investment OptionsThe new lineup enhances your ability to create a diversified retirement plan portfolio.1 To learn more about any of the investment options, including expenses, visit TIAA.org or Fidelity.com and enter the ticker symbol in the site’s search feature. Beginning March 31, 2020, you will also be able to view the updated investment lineup and details at TIAA.org/Fordham, or Fidelity NetBenefits® at netbenefits.com/Fordham.

Investment-specific FeesEach of the Plan’s investment options has a fee for investment management and associated services. Plan participants generally pay for these costs through what is called an expense ratio. Expense ratios are displayed as a percentage of assets. For example, an expense ratio of 0.50% means a plan participant pays $5 annually for every $1,000 in assets. Taking the expense ratio into consideration allows you to compare investment fees.

As part of the Committee’s continued work to seek and implement the most effective and transparent solutions for the Plan, the Committee is currently deliberating a new fee structure later this year that it believes would be more transparent and equitable. The new fee structure will enable you to see (1) the cost of each investment option, as well as (2) fees paid for Plan administration.

Investment products may be subject to market and other risk factors. See the prospectus by visiting TIAA.org or Fidelity.com and entering a ticker symbol in the site’s search feature.1 Diversification is a technique to help reduce risk. It is not guaranteed to protect against loss.2 Target-date funds share the risks associated with the types of securities held by each of the underlying funds in which they invest. In addition to the fees

and expenses associated with the target-date funds, there is exposure to the fees and expenses associated with the underlying mutual funds. As with all mutual funds, the principal value of a target-date fund isn’t guaranteed at any time, even at the target date. The target date represents an approximate date when investors may choose to begin withdrawing from the fund.

3 TIAA Traditional Annuity and TIAA Stable Value are guaranteed insurance contracts and not investments for federal securities law purposes. Any guarantees under annuities issued by Teachers Insurance and Annuity Association of America (TIAA) are subject to its claims-paying ability. Interest credited includes a guaranteed rate plus additional amounts as may be established by the TIAA Board of Trustees. Such additional amounts, when declared, remain in effect for the “declaration year,” which begins each March 1 for accumulating annuities and January 1 for payout annuities. Additional amounts are not guaranteed for periods other than the period for which they were declared.

4 A contractual or voluntary fee waiver may apply. Fee waivers are renewed annually. See fund prospectus for details. In order to provide the performance, stability and liquidity attributes of a stable value option, transfers from stable value options are subject to an industry-standard 90-day “equity wash” rule. The rule prohibits transfers from TIAA Stable Value directly to “competing funds.” Competing funds are plan investment options that exhibit a pattern of performance consistent with stability and include the Money Market Fund and the TIAA Real Estate Account. If you want to transfer amounts from TIAA Stable Value to competing funds, you must first transfer to noncompeting funds where the amount originally transferred must remain for 90 days before you can transfer the amount to one or more competing funds. In addition, to minimize the negative effects of frequent trading, transfers into TIAA Stable Value are restricted for 30 days following a transfer out.
