As you know, the National Geographic continues to believe that it is entitled topublish the Complete National Geographic under 201(c) of the Copyright Act and itsagreements with you. This notwithstanding, we sent you a check in the amount of $2,834on December 11, 2002, which you returned uncashed. That amount was calculated basedupon our expert's calculation of value of the works at issue.

Given that there is currently a judgment on liability, which the Society believesshould be reversed on appeal, we are sending you a check for $13,000 which represents$200 per "work infringed," calculated using 65 works. As I stated in my letter ofDecember 11,2002, we do not 'Concede that the number of "works" is 65, but are basingour calculation on that number since that is what you allege. The Society does not believeit lawfully owes any monies for the publication at issue, much less for 65 works, andintends to appeal the decision to the appropriate forum.

We do recognize, however, that because of the judgment on liability, the partiesare forced to try the damages phase of the case, which will be a significant expense toyou. In an effort to save you the expense of trying the case, the Society is willing to payyou $13,000, which represents what we believe will be your maximum recovery basedupon the evidence at a trial. The payment of this amount does not waive, in any way, theNational Geographic's defenses to the claim or its right to take an appeal. Rather, if youaccept such amount, the parties would enter into a Final Judgment in that amount, fromwhich the Society would, in its sole discretion, take an appeal. This would save you theexpenses associated with trying the damages case and provide you with the maximum

Your February 9th reply to my letter arrived today. I expected to receive copies of my contractsand agreements by now. We are talking about 20-30 documents I believe. I do not feel this is"extremely burdensome," as you suggest. For a large, well organized company I think theseprobably can be secured in less than an hour. In any event, burdensome or not, I would like tohave them.

The point here seems to have been missed. I am not asking for my contracts and agreements justbecause of the two inquiries I made last year about use of my photographs. It is clear to me fromdealing with National Geograpbic as well as with other publications and organizations that thetimes are changing rapidly. When most of my contracts were negotiated there were no videorights. Nor were there CD-ROMs, clip-art files, Photo-CDs, computers, digitized use ofphotographs, electronic libraries, and all the other innovations now in place or soon to come.And throughout most of my career there, NGS was not in the business of selling picture rights.

I have multiple agreements with National Geographic, the magazine and the Society. Thosecontracts and agreements evolved over the years. In its desire to capitalize on the value ofphotographs, the Society now wants to be in the picture business, something that never existedbefore. I feel it is important to clarify what we have negotiated and agreed to and not do thesepiecemeal over the next decade or two. For my heirs, I want to have a clear agreement in placethat will simplify their lives.

The main reason for doing this now is to point out that your Image. Collection/Image Salesdivision is operated by people who cannot possibly have access to all the individual agreementsthat are in place. As you hire newer, younger staff, those people do not and can not know eitherthe photographic traditions in the trade nor what the Society and I agreed to. I would like toresolve this now and avoid disagreements and lawsuits in the future.

My request is simply. I would appreciate it if you would comply promptly.

As Audiovisual Coordinator in charge of clearing photos for use in the NationalGeographic Society Audiovisual Division's programs and products, it is myreponsiblity to inform you of an oversight with regard to the use of one of yourimages. The photograph in question (of a sea fan, RFP67f36), was selected foruse in the enclosed color brochure promoting the 1996 Jason Project, which theNational Geographic Society participates in each year. This picture wasoriginally published in the July 1990 story on Florida's Coral Reefs (p. 130).Unfortunately, the slide of your photograph was sent to the engraver and thebrochure published before I was asked to research appropriate payment for itsuse. Since your contract states that all rights to the published as well asunpublished photos from your assignment reverted to you, we have - albeitunintentionally - violated your copyright. In addition, we cropped and reversedyour photo, the credit line does not refer' to you as the copyright holder, andregrettably a "u'' was substituted for an "e" in your last name at some stage inproduction.

Mr. Greenberg, we realize the importance of copyright, and that we havecommitted a serious violation. At this point, we can only ask for yourunderstanding that this violation was not intentional, which is why we wanted tocontact you as soon as possible after realizing the oversight. The only remedyfor this violation at this time can be monetary. To that end I should inform youthat we are distributing 5,000 copies of the brochure, and that your photoconstitutes less than a quarter page within the brochure. Normally our paymentfor such a use would be $50.00. Under the circumstances, we would like toacknowledge our er-ror- and demonstrate the sincerity of our apology by offeringyou compensation in the amount of $500.00.

I accept your explMnation that the unauthorized usc of mycopyrighted material from Florida's Underwater Wilderness(my copyright VA-208-669) was unintentional. As wediscussed, I agree to accept the fcc of $750.00. Thefollowing conditions must be met as part of this settlement.

1. All photographs of mine (originals and dupes)returned to me to prevent future unauthorizedusc. We both agreed that tpis would be the bestway to avoid problems.

2. The 76 color transparencies retained by the Society(from my April, 1990 story) on a video disk willnot be used in any form by the Society withoutmy permission. This material is covered in aseparate copyright as NGS 5738-045 to 5738-120(my copyright VA-204-406).

Back in June, 1984 I had a working arrangement and formalassigment from Boss Gilka to do a photo essay on Florida'sMarine Wildernesso The arrangement was that the Societywould purchase one-time reproduction rights and all ofthe material would be returned to me after the assignment /publication of the story. The article appeared 'in theWinter 1985/1986 issue of Traveler Magazine.

You can imagine my surprise when I find one of the originalphotographs published in the 1984/85 issue reappearing onpaie 70 of the March / 'April issue of Traveler. Would yoube kind enough to get back to me on how this happened?

I understandthat it is a practice of your news release department to placepieces with the outside media about forthcoming articles thatwill appear in the National Geographic Magazine, I would appreciateit if you would advise this department not to release any of myphotographs to the outside media for this purpose, This is not amatter of money or the fact that I do not want to promote ourfeature will will be coming out in the JUly 1990 issue. My onlyconcern on this matter is the problem of newspapers and magazinesgetting my material from the Geographic and placing these photographsin their picture "morgue" and having unauthorized usc of themlater on. I have had some problems with several newspapers someyears ago and do not want to go through this aggravation again.

This letter, when signed by both parties, will constitute anextension of your agreement as a freelance photographer with the NationalGeographic Society ("NGS") to photograph Pennekamp Reef Park(tJ05738) forNational Geographic Magazine.

1) This assignment will extend for 20 days. Your compensation willbe at the rate of:

(a) $350 per day for days spent shooting or in field research(i.e., research directly germane to producing the coverage); and

(b) one half of the above rate per day for days spent in travel(including arranging or waiting for travel); on standby, in the fieldor elsewhere; or in consulting with NGS editors ("editorial days").

2) Your compensation is subject to the following provisions:

(a) Work beyond the anticipated assignment days mentioned abovewill be compensated at the same daily rates as above. Should itbecome necessary to extend this assignment for additional days, youmust get authorization to do so from the Director of Photography, theAssistant Director of Photography Or the Illustrations Editorassigned to the project.

(b) The total compensation paid to you for this assignment willbe applied against the page rate of $300 a page for the NationalGeographic Magazine, or a minimum of $100 a transparency, whicheveris greater.

3) When working for NGS, you will carefully avoid doing similar workfor publications which NGS would consider to be editorially competitivewith it. You will advise NGS promptly of any possible conflict ofinterest that may develop. You also will take care not to gtant anyprepublication interviews or assist in any way in the preparation of anyprepublication articles or other press coverage in any medium which wouldreveal the subject matter, editorial content or the scheduling of anassignment, article Or story for the National Geographic Society.

4) By this Agreement you warrant to NGS that publication of anyphotographs taken by you on this assignment will not infringe upon anyright of privacy, copyright or any other proprietary right of a thirdparty.

5) All photographs taken by you under this Agreement will beconsidered as specially commissioned for use by NGS and upon creation allrights, including the copyright and world publication rights, to thesephotographs will automatically, by virtue of this Agreement, be deemedtransferred exclusively and indefinitely to NGS, subject to the followingprovisions:

(a) all photographs will be returned to you along with all rightsto said photographs under the following conditions: (i) none may bemade available to anyone for publication until sixty days after NGShas published its selections; (ii) it is understood that anynecessary rights clearance or release for non-NGS publication is yourindependent responsibility; and (iii) NGS may make and retain copiesof some of the photographs ("reference selects") for referencepurposes only in its Illustrations Library;

(b) you grant to NGS without additional charge the right to useyour name, likeness and biographical material in connection with thepublication of any photographs retained by NGS under this Agreement;

(c) NGS may crop your photographs.

6) You undertake all work under this Agreement as an independentcontractor. NGS assumes no responsibility for your health, safety orproperty or that of any person accompanying or assisting you. While onassignment in the field you will be covered by NGS's accident insurancepolicy, which provides a payment of $200,000 to you in the event of totaldisability or to your beneficiary, specified below, in the event of death,and lesser coverage for other injuries. The policy also provides up to$10,000 for excess medical coverage, i.e. for costs beyond those coveredby your own personal accident and health coverages. The above coverage isrestricted to you alone.

7) While you are on NGS assignment, NGS will payor reimburse you forall reasonable expenses and will supply you with film and processing. Atthe close of this assignment you will provide NGS with a diary of youractivities while on assignment, including an accurate and complete recordof the people and places represented in your photographs. A finalaccounting of expenses, supplies, etc. for an assignment will be due toNGS no later than two weeks after the work on that assignment is finished.Failure to reconcile expense/supply accounts with NGS in a timely mannermay impede payment of fees.

8) Your work on this assignment will not be considered complete untilso indicated by the Illustrations Editor. At the end of the assignmentyou will deliver to NGS all photographs you have taken on this assignmentas well .as complete captions for your photographs. You will be availablefor a projection session with the editor to explain your work. If you are

Last July I was down in the Keys, finishing up Florida's MarineWilderness for TRAVELER and I missed seeing you. Perhaps on yournext trip into Miami for kudos or Mayans we will get together.

Because of your faith in me I produced three major assignmentsthe the National Geographic Society. They were PENNEKAMP PARK(Jan.1962), SHARKS (Feb.1968 and BUCK ISLAND (May,197l). Withthis material available to us along with Idaz's art work, wehave become sucessful mini-publishers.

I am concerned that photographs published in 1962, 1968 and 1971will fall into public domain in 1990, 1996 and 1999. In order toprotect my material used in our publications, I need to receivea re-assignment of copyright from the Society. With this document,I or my heirs will be able to re-copyright this photography (usingthe RE form) for an additional 28 years.

This re-assignment would have no effect on the Society's reuseof this material as this provision was covered in the originalcontracts. for each assignment.
