Introduction

What is NAB Transact?

NABTransactisanelectronicpaymentsandreceivableschannel.ItprovidesyouwithacentralisedtechnologyinterfaceforaccessingarangeofNABProducts.YoucanchooseoneormoreNABProductstobeusedwithNABTransact.

YoucanalsouseNABTransactasaninformationmanagementtool.WiththeReportingandTransactionSearchfunctionyoucansearchyourNABTransacttransactioninformationandgeneratereports.

Accessing NAB Transact

InordertoaccessNABTransactyouneedtonominateapersontobeyourNABTransactAdministrator.YourNABTransactAdministratorwillbeissuedwithaNABTransactUserIDandaPINorpassword.

Compromised NAB Transact User IDs, passwords or Personal Identification Numbers (PINs) and unauthorised transactions

IfyoubecomeawarethataPIN,passwordorNABTransactUserIDhasbeencompromisedordivulged,orifyoubelievetherehasbeenunauthorisedaccesstoNABTransact,pleasenotifyNABimmediatelybycalling1300138313.Youmayberequiredtoprovideinformationabouthowtheincidentoccurred.

PART A GENERAL TERMS AND CONDITIONS1. Definitionsandinterpretation

1.1 Definitions

Thefollowingdefinitionsapplythroughoutthetermsandconditionssetoutineachpartofthisdocument,unlessthesametermisdefineddifferentlyinanotherpart:

Authenticationservicemeansadeviceand/ormechanismissuedbyNABdesignedforsecureuseofanyidentificationservicemadeavailablebyNABtoallowaccesstotheNABTransactservice.

Banking Code of Practice orCodemeantheBankingCodeofPractice,butbefore1July2019refertotheCodeofBankingPractice(2013version).

Billing AccountmeansyouraccountfromwhichyouauthoriseNABtodebitanyNABTransactFees.

Claimmeansanyallegation,debt,causeofaction,liability,claim,proceeding,suitordemandofanynaturehowsoeverarisingandwhetherpresentorfuture,fixedorunascertained,actualorcontingentwhetheratlaw,inequity,understatuteorotherwise.

Confidential Informationmeansallinformationandmaterialwedisclosetoyou(whetherorally,inwritingorinanyotherform)thatwedesignateasconfidentialorimparttoyouincircumstancesofconfidence,underorinconnectionwiththeNABTransactAgreement,andincludesanyinformationrelatingtoourbusinesssystems,operations,customers,properties,assetsoraffairsofusorthoseofourrelatedbodiescorporate.Italsoincludesallcopies,notesandrecordsinwhateverformandallrelatedinformationbasedon,orarisingoutof,anydisclosurebyusofsuchinformationandmaterial.

Customer Reference NumbermeansauniquealphanumericidentifierselectedbyyouthatwillenableyoutoidentifyyourcustomerinNABTransactreporting.

Electronic Transactions ActmeanstheElectronicTransactionsAct1999(Cth)andeachanalogousStateandTerritoryenactment.

Intellectual Property Rightsmeansallintellectualpropertyrightsincludingcurrentandfutureregisteredandunregisteredrightsinrespectofcopyright,designs,circuitlayouts,trademarks,tradesecrets,know-how,ConfidentialInformation,patents,inventionanddiscoveriesandallotherintellectualpropertyasdefinedinarticle2oftheconventionestablishingtheWorldIntellectualPropertyOrganisation1967.

Liabilitymeansanyliabilityorobligation(whetheractual,contingentorprospective),includingforanyotherLossirrespectiveofwhentheacts,eventsorthingsgivingrisetotheliabilityoccurred.

Lossmeansalldirectorindirectdamage,loss,cost,Claim,Liabilityorexpense(includinglegalcostsandexpensesofwhatsoevernatureordescription).

NAB ProductmeansanyproductorserviceofferedbyNABthatNABdeterminescanbeaccessedwithNABTransact.

NAB Product TermsmeansthetermsandconditionsofaNABProduct.

NAB Transact Agreementmeans:

(a) yourofferdocumentforNABTransact;

(b) thesetermsandconditions;and

(c) anyUserGuides.

NAB Transact AdministratormeansthepersonthatyounominatetobeyouradministratorforNABTransactandanyotherpersonappointedasaNABTransactAdministratorunderclause4.

NAB Transact Authorised Usermeansapersonwhohasbeenauthorisedunderclause4toaccessoroperatetheNABTransactService,andincludesaNABTransactAdministrator.

NAB Transact FeesmeansthefeesandchargesapplicabletoNABTransactandtheuseofNABTransactbyyouandyourNABTransactAuthorisedUsersassetoutinyourofferdocumentforNABTransactasvariedfromtimetotimepursuanttoclause15ofthesetermsandconditions.

NAB Transact servicemeanstheservicecalled“NABTransact”thatNABmakesavailabletoyouasdescribedinthisdocument.

NAB Transact User IDmeansa“UserIdentificationNumber”issuedtoaNABTransactAuthorisedUserinrespectoftheNABTransactService.

Personal EFT TransactionsmeansanelectronicfundstransfertoorfromaccountsusingtheNABTransactServicewhichisnotabusinessEFTtransaction.

Relevant Lawmeansanyrelevantlaw,regulation,code,ordinance,ruleorotherlegislativeinstrument,oranyguidelineissuedbyanyregulatororstatutoryauthority,oranyrelevantindustrycodes.

Service Chargesmeans,inrelationtoanyservicethatyouusewithNABTransact,includinganyoftheserviceslistedinPartB,thechargespayablebyyoufortheserviceassetoutintherelevantletterofofferinrespectoftheserviceandincludesanyrevisedchargesnotifiedtoyoubyNABunderclause15.

Stored Account Detailsmeans,foreachCustomerReferenceNumber,theBSB,AccountNumberandAccountNameasenteredbyyouintheCustomerManagementfunctionofNABTransact.

Stored Card Detailsmeans,foreachCustomerReferenceNumber,thecardnumberandexpirydateasenteredbyyouintheCustomerManagementfunctionofNABTransact.

SoftwaremeansanysoftwareprovidedtoyoubyusfororinconnectionwithyouruseofNABTransact.

Trade Practices LegislationmeanstheCompetitionandConsumerAct2010(Cth)andtheAustralianSecuritiesandInvestmentsCommissionAct2001(Cth)andequivalentStatelegislation.

Unauthorised transactionmeansanytransactionwheretheNABTransactAuthorisedUserclaimsthattheydidnotengageinorhaveknowledgeoforconsenttothetransactioneventhoughtheNABTransactAuthorisedUser’sNABTransactUserIDand/orpasswordorPINwasusedtogeneratethedisputedtransaction.

User GuidemeansanyUserGuideweprovidetoyouinrelationtotheNABTransactserviceoranyNABProducts.

YoumeansthepersonwhousedtheNABTransactserviceandifthereismorethanoneperson,youmeanseachpersonseparatelyandevery2ormoreofthemjointly.Youincludesyoursuccessorsandassigns,andinrelationtoyourrightstooperatetheNABTransactserviceanyNABTransactAuthorisedUseroranyotherauthorisedofficer,employee,representativeorauthorisedsignatoryonyouraccountsactingwithinhisorherauthority.

1.2 Interpretation

Inthesetermsandconditions,unlessthecontraryintentionappears:

(a) areferenceto:

(i) thesetermsandconditions,anotherinstrumentoranyscheduleorannexureincludesanyvariationorreplacementofanyofthem;and

(ii) astatute,ordinance,codeorotherlawincludesregulationsandotherinstrumentsmadeunderitandanyconsolidations,amendments,re-enactmentsorreplacementsofanyofthem;and

(iii) thesingularincludesthepluralandviceversa;and

(iv) onegenderincludestheother;and

(v) apersonincludesareferencetotheperson’sexecutors,administrators,successorsandpermittedassignsandsubstitutes(includingpersonstakingbynovation);and

(vi) adayistobeinterpretedastheperiodoftimecommencingatmidnightandending24hourslater;and

(vii) anything(includinganyamount)isareferencetothewholeandeachpartofit,andareferencetoagroupofpersonsisreferencetoallofthemcollectivelyandanytwoormoreofthemcollectivelyandtoeachofthemindividually;and

(b) adollarorthesymbol“$”isareferencetoAustraliandollars;and

(c) anagreement,representationorwarrantyinfavouroftwoormorepersonsisforthebenefitofthemjointlyandseverally;and

(d) ifaperiodoftimeisspecifiedanddatesfromagivendayorthedayofanactofevent,itistobecalculatedexclusiveofthatday;and

(e) thewords“including”,“forexample”or“suchas”arenottobeusedas,norinterpretedas,wordsoflimitation.

1.3 Headingsareinsertedforconvenienceonlyanddonotaffecttheinterpretationofthesetermsandconditions

2. ThetermsandconditionsthatapplytoNABTransact

2.1 NABofferstomaketheNABTransactserviceavailabletoyouonthesetermsandconditionsandthefollowingdocuments,whichshouldbereadtogether:

(a) yourofferdocumentforNABTransact;

(b) anyrelevantNABProductTerms,includingthetermssetoutinPartBofthisdocumentinrespectoftheserviceslistedinPartB,whichareinadditiontothesegeneraltermsandconditions;and

(c) anyUserGuides.

2.2 IfthereisanyinconsistencybetweenthedocumentsreferredtoinClause2.1theymustbereadandappliedinthefollowingorderofprecedence:

(a) yourofferdocumentforNABTransact;

(b) relevantNABProductTerms;

(c) thesegeneraltermsandconditions;

(d) anyUserGuides.

2.3 YouwillbetakentohaveacceptedtheNABTransactAgreement:

(a) whenyourNABTransactAdministratorlogsontouseNABTransactforthefirsttimeusingtheirNABTransactUserIDandPINorpassword;or

(b) whentheNABTransactserviceisotherwiseusedbyyouforthefirsttime,suchaswhenthefirsttransactionisprocessedusingtheNABTransactserviceoraNABProductaccessedbyyouthroughNABTransactservice,whicheveroccursfirst.

2.4 Youmustcomply,andyoumustprocurethatyourNABTransactAuthorisedUserscomply,withtheNABTransactAgreementandyoumustpayanyNABTransactFees.

3. Compliancewithrelevantlaws

Youmustcomplywith,andyoumustprocurethatyourNABTransactAuthorisedUserscomplywith,allRelevantLaws.

4. AccessingNABTransact

4.1 WemustissueyourNABTransactAdministratorwithaNABTransactUserIDandPINorpassword.

4.2 TheNABTransactAdministratormay:

(a) setupadditionalNABTransactAdministrators(whointurncandothethingssetoutinthisclause4.2);

(b) setupotherNABTransactAuthorisedUsers;

(c) add,change,suspendanddeleteotherNABTransactAuthorisedUsers;

(d) limitaccesstocertainNABTransactfunctionsorreportsforotherNABTransactAuthorisedUsers;

(e) resetPINSorpasswordsforotherNABTransactAuthorisedUsers;and

(f) carryoutotherfunctionsasspecifiedfromtimetotimeinaccordancewithanyuserguiderelevanttoNABTransact.

4.3 YouareliableforanyuseoftheNABTransactservicebyaNABTransactAuthorisedUserasiftheNABTransactservicehasbeenusedbyyou.YouarealsoresponsibleforallinstructionsgivenusingtheNABTransactservice,whichareauthorisedbytheuseofthePINorpasswordofaNABTransactAuthorisedUser,orundertakenbyanotherpersonwiththeknowledgeorconsentofyouorofaNABTransactAuthorisedUser.

4.4 YoushouldensurethateachofyourNABTransactAuthorisedUsershavebeenprovidedwith,andreadandunderstoodtheNABTransactAgreementbeforeusingtheNABTransactservice.

4.5 WemayrequireyouandanyNABTransactAuthorisedUsertobeidentifiedaccordingtoanyRelevantLaworanyotherrequirementsreasonablyspecifiedbyus.

5. Yourobligations

Youmust:

(a) establishpolicies,procedures,internalmanagementrulesandauditarrangementsfortheuseofNABTransactbyyouandyourNABTransactAuthorisedUsers(whichreflectyourinternalauthorisationrequirements,takeaccountofanypotentialriskoffraudandareconsistentwiththeNABTransactAgreement);

(b) complywith,andensurethatyourNABTransactAuthorisedUserscomplywith,thepoliciesandproceduresreferredtoinparagraph(a);

(c) onlyuseNABTransactforyourownconfidentialinternaluseandpurposesandinparticularyoumustnotgrantanythirdpartyaccesstoNABTransactorauthoritytooperateNABTransactonyourbehalf(exceptforNABTransactAuthorisedUsersandanybureauengagedbyyouthatweapprove)andyoumustnotoperateNABTransactonbehalfoforforthebenefitofanythirdpartyexceptasagreedbyus;

(d) obtain,operateandmaintainallequipmentandotherfacilitiesthatyourequiretobeusedwithNABTransact,andyouacknowledgethatwearenotresponsibleforsuchequipmentandfacilities,exceptwherewearethesupplieroftheequipmentandfacilities;

(e) keep,andensurethateachofyourNABTransactAuthorisedUserskeep,anyNABTransactUserID,PINorpasswordsecure,whichincludesensuringthatNABTransactAuthorisedUsers:

(i) chooseanewpasswordorPINwhenevertheyarerequiredtodosobytheNABTransactAdministrator;

(ii) chooseapasswordorPINthatisnotthesameas,orsimilarto,anyotherpersonalidentificationnumberorpasswordorPINtheyhaveforanyaccounttheyhavewith,orserviceprovidedbyNAB;

(iii) donotdisclosetheirNABTransactUserID,passwordorPINtoanyotherperson;

(iv) donotrecordorstoretheirNABTransactUserID,passwordorPINanywhere;

(v) takereasonablecarewhenaccessingtheservicetoensurethattheirNABTransactUserID,passwordorPINisnotdisclosedtoanyotherperson,inparticularensuringthattheyarenotobservedwhileenteringtheirNABTransactUserID,passwordorPIN;

(vi) donotprovidetheirAuthenticationService(ifany)toanyotherperson;

(vii) donotusetheirAuthenticationService(ifany)otherthaninrespectoftheNABTransactserviceandtheyacknowledgethat,ifaNABTransactAuthorisedUserusestheirAuthenticationServiceforanyotherpurpose,NABmayrevoketheAuthenticationServiceandcanceltheavailabilityoftheNABTransactservicetoyou;

(viii) checkanyreportsgeneratedusingNABTransactcarefullyandpromptlynotifyNABofanyapparentdiscrepancy;

(ix) takeeveryreasonableprecautiontopreventthespreadordiffusionofanySoftwarecontaminationincludingcomputervirusesandtrojans;

(x) takereasonablestepstokeepanySoftwaresecure;and

(xi) takereasonablestepstoensurethesecurity,integrityandproperoperationoftheNABTransactServiceandanyNABProductsaccessedwithNABTransact.

(f) notifyusimmediatelyinthemannerdescribedatthefrontofthesetermsandconditionsifyoubecomeawarethatanyNABTransactUserID,PINorpasswordiscompromisedordivulgedandimmediatelyceasetousetheaffectedNABTransactUserID,PINorpassword;

(g) notifyusimmediatelyif:

(i) aNABTransactAuthorisedUser’scomputerwhichisusedtoaccessandusetheNABTransactserviceislost,stolenorfraudulentlyaccessed;

(ii) youbecomeawareofanyunauthorisedtransactionorerroronanaccountthatappearstobeconnectedwiththeuseoftheNABTransactservice;and

(h) takeresponsibilitytouseothermeansofeffectingtransactionsandgivingandobtaininginformationifforanyreasontheNABTransactserviceisunavailableforuse,ormalfunctioning.

6. ReportingandTransactionSearchfunctions

6.1 YouacknowledgethattheaccuracyofanyinformationaboutaNABProductthataNABTransactAuthorisedUserobtainsthroughtheusingtheReportingandTransactionSearchfunctionswiththeNABTransactservice:

(a) issubjecttoreviewbyNABaspartofitsnormalprocedures,andissubjecttoanychangesthatmayberequiredfollowingsuchareviewbyNAB;

(b) reflectstheentriesthathavebeenpostedinrelationtotherelevantNABProductandthatcanbeaccessedthroughtheNABTransactserviceatthetimetheinformationisobtained,andsomaynotbecompletelyuptodate.

6.2 YoumustcarefullyreviewtheinformationthatyouobtainthroughusingtheReportingandTransactionSearchfunctionswiththeNABTransactserviceandnotifyuspromptlyofanyerrors,inconsistenciesorotherdiscrepanciesthatyoubecomeawareof.

6.3 WithoutlimitinganyothertermoftheNABTransactAgreement,NABdoesnotrepresentorwarrantthattheReporting&TransactionSearchfunctionscanbeusedtosatisfyanyofyourlegal,audit,compliance,riskorotherrequirements.

7. CustomerManagementfunction

7.1 Customer Management tool

TheNABTransactCustomerManagementfunctionallowsyoutostoreyourcustomers’creditcardandbankaccountdetailsinNABTransact’ssecuredatabase.TheCustomerReferenceNumberstoredwithyourcustomers’detailscanthenbeusedinsteadofcardoraccountdetailsforprocessingpaymentsthroughNABTransact.

7.2 Using Customer Management

(a) YoumustensurethatalldetailsenteredintotheCustomerManagementsectionofNABTransactarecorrectanduptodate.

(b) AninstructionfromyoutoustoprocessatransactioninrelationtoaCustomerReferenceNumberconstitutesaninstructiontoustoprocessthattransactioninrelationto:

(i) theStoredCardDetails,inthecaseofcardpayments;and

(ii) theStoredAccountDetails,inthecaseofdirectdebitpayments.

(c) YouindemnifyusagainstanyLossthatwesufferasaresultofanyerrormadebyyouinenteringtheCustomerReferenceNumber,theStoredAccountDetailsortheStoredCardDetailsoranyfailurebyyoutokeepsuchdetailsuptodate

8. NABProductsandtheePaymentsCode

IfyouaccessaNABProductwithNABTransactthatinvolvesPersonalEFTTransactionstheePaymentsCodeprovisionsintherelevantNABProductTermswilloverridethesetermsandconditionstotheextentofanyinconsistency.

9. Useoftheservice

9.1 ANABTransactAuthorisedUsermayusetheNABTransactserviceinaccordancewiththeNABTransactAgreement,unlesstheiruseoftheNABTransactserviceiscancelledorsuspendedundertheNABTransactAgreementorbyyourNABTransactAdministrator.

9.2 AccesstotheNABTransactservice,oraccesstocertainfunctionalitiesoftheNABTransactservice,mayonlybeallowedbyNAB:

(a) iftheproceduresandguidelinesspecifiedbyNABhavebeencompliedwith;and

(b) ifNABhasreceivedanydocumentorinformation,reasonablyrequiredbyNABincludinganydocumentwhichidentifiesaNABTransactAuthorisedUser.

9.3 AccesstotheNABTransactservice:

(a) willbedeniedtoaNABTransactAuthorisedUseriftheyenteranincorrectpasswordorPINon6consecutiveoccasions;or

(b) maybedeniedifanyverbal,written(includingelectronic)instructiongivenbyyouoraNABTransactAuthorisedUserinrelationtotheNABTransactserviceismadeinlanguageNABconsiderstobeinappropriate.

10. Fees

10.1 TheNABTransactFeesarepayablebyyouinaccordancewiththisclause10.

10.2 YouauthoriseNABtodebityourBillingAccountwiththeNABTransactFees.

10.3 IfthereareinsufficientfundsinyourBillingAccount,youauthoriseNABtodebitrelevantNABTransactFeestoyourBillingAccountevenifthatcausestheaccounttobecomeoverdrawnorNABmayrequireyoutopaytheNABTransactFeesinanyothermannerNABreasonablydetermines.

10.4 IfyoucloseyourBillingAccount,NABwillautomaticallyselectanotheraccounttowhichtheNABTransactFeesmaybedebited.IfnoaccountsatisfactorytoNABexists,NABmayimmediatelycanceltheavailabilityoftheNABTransactservicetoyouuntilsuchtimethatyouopenanaccountsatisfactorytoNABorNABmayrequireyoutopaytheNABTransactFeesinanyothermannerNABreasonablydetermines.

10.5 Ifwerequireit,youmustprovideuswithanauthorityandrequestinaform,andsubjecttotermsandconditionswerequire,todirectdebityournominatedaccountatanotherinstitutionwiththeamountsreferredtointhisclause.

11. Intellectualproperty

11.1 YouacknowledgethatNAB,andotherthirdparties,owntheIntellectualPropertyRightsin:

(a) NABTransact;

(b) theNABTransactAgreement;

(c) thedesignandfunctionofanyservicesusedinconnectionwithNABTransact;

(d) theUserGuides;

(e) anyotherelectronicorprinteduser’sguideorotherprintedmaterial(“User’sMaterial”)relatedtotheNABTransactService;and

(f) anytrademarkusedinrelationtoNABTransactandanyservicesprovidedbyNAB.

NothingintheNABTransactAgreementtransfersanyright,titleorinterestinanyofthesethingstoyou,andyoumustnotinfringeourIntellectualPropertyRightsorotherpropertyrightsinthesethings.

11.2 NABwill,atitsexpense,defendyouagainstanyclaimthatNABTransact,theNABTransactAgreementoranyServiceortrademarkinfringesanyIntellectualPropertyRight,providedthatyou:

(a) provideNABwithwrittennoticeassoonasyoubecomeawareofanysuchclaim;

(b) allowNABtocontrolthedefenceandallrelatedsettlementnegotiations;and

(c) youfullyco-operatewithNABinrelationtothedefenceandallrelatedsettlementnegotiations.

12. Exclusionandlimitationofliability

12.1 WetrytomaintainyourNABTransactservice,includingallequipmentandsystems,ingoodworkingorderandwithaslittledowntimeaspossible.However,theremaybetimeswhere,duetotechnologyissuesorscheduledmaintenance,youareunabletoaccessyourNABTransactserviceorexperienceslowertransactionresponsetimesthanusual.IfyouareusingNABTransactforpayments,werecommendyouhaveabackuppaymentmethodinplaceforwhenthisoccurs.

12.2 Youacknowledgethatwearenotliableforanylossofsales,lossofrevenueorlossofprofityouincurasaresultofyourNABTransactservicenotworkingproperly.

12.3 Ifanyequipmentthatwehavesuppliedtoyouisdefective,ourliabilityunderanyapplicableconsumerguaranteesorimpliedwarrantieswillbelimitedtothecostofrepairingorreplacingtheequipment.

12.4 Neitherpartywillbeliabletotheotherpartyforanyconsequentialorindirectlosshowevercaused.

13. Indemnity

13.1 YouagreetoindemnifyusforallLossweincurbecause:

(a) youbreachanobligationthatyouhaveundertheNABTransactAgreement;

(b) ofanywilfuldefault,negligence,fraud,actoromissionbyyouoranyofyourNABTransactAuthorisedUsersoranyofyouragentsorrepresentativesrelatingtotheNABTransactAgreementoranymatterorthingprovidedforbytheNABTransactAgreement;

(c) ofanyinfringementbyyouoryouragentsorrepresentativesofanotherperson’sIntellectualPropertyRights;

excepttotheextentthatwehavecontributedtotheLossthroughourownnegligence,breachormisconduct.

13.2 WeneednotincuranyexpensenormakeanypaymentbeforeenforcingarightofindemnityconferredbytheNABTransactAgreement.

13.3 IfyouhaveanyliabilitytousunderthisclauseoranyotherpartoftheNABTransactAgreement,wemaysetoffthatliabilityagainstanyliabilitywehavetoyou.

14. Serviceprovider

YouacknowledgeandagreethatwemayuseanyserviceprovidertoprovidetheNABTransactservice.

15. Variation

15.1 NABcan,atanytime:

(a) introduceanewNABTransactFeeorServiceCharge;

(b) varytheamountofaNABTransactFeeorServiceCharge,thewayinwhichitiscalculatedorwhenitischarged;

(c) changeanyoftheotherprovisionsofthesetermsandconditionsasaresultofachangetoanylawaffectingthesetermsandconditions;and

15.2 NABwillgiveyounoticeofanyvariationsmadepursuanttothisclauseinthemannersetoutbelow.Ifwebelieveachangeisunfavourabletoyou,weusuallygivethenoticespecifiedbelow,butcangivelessnoticeornonoticeifthisisinaccordancewithlawandindustrycodes.Forexamplethismayhappenif:

(i) itisreasonableforustogivelessnoticetomanageanimmediateandmaterialrisk;or

(ii) thereisaneworvariedgovernmentchargeinconnectionwiththeNABTransactAgreement.Inthiscasewewilltellyouabouttheintroductionorchangereasonablypromptlyafterthegovernmentnotifiesus.Howeverwemaynothavetotellyouaboutthechangeorintroductionifthegovernmentpublicisesit.

Subjecttothemattersstatedabove,NABwillgiveyou:

(a) noticeofnewNABTransactFeesorServiceChargeswillbegiveninwritingorelectronicallyatleast30daysbeforethechangetakeseffect;

(b) noticeofchangestoNABTransactFeesorServiceChargeswillbegivenbymediaadvertisement,inwritingorelectronicallyatleast30daysbeforethechangetakeseffect;and

(c) noticeofchangestointerestrateswillbegivenbymediaadvertisement,inwritingorelectronically,nolaterthanthedayonwhichthechangetakeseffect;and

(d) noticeofanyotherchangestothesetermsandconditionswillbegiveninwritingorelectronicallyatleast30daysbeforethechangetakeseffect.

15.3

(a) Youagreethatnotices,certificates,consents,approvalsandothercommunicationsinconnectionwiththesetermsandconditionsfromNABmaybegiveelectronically:

(i) byelectronicmailtoyournominatedelectronicaddress;or

(ii) bybeingmadeavailableatNAB’swebsiteunlessyourequestotherwise.

Unlessyousorequest,NABisnotrequiredtogiveyoucommunicationsinotherways.

(b) WewillnotifyyouwhencommunicationsaremadeavailableusingtheNABTransactservice.

15.4 YoumaychangeyournominatedelectronicaddressorwithdrawyouragreementtoreceivenoticesbyelectronicmailbygivingNABnotice.

15.5 Forthepurposesofclauses15.2and15.3:

(a) Youmayrequestapapercopyofacommunicationgivenelectronicallyforsevenyearsfromthetimetheinformationisgiven.

(b) Acommunicationisdeemedtobereceivedwhenthecommunicationenterstherecipient’sdesignatedinformationsystemoriscapableofbeingviewedfromarecipient’scomputer,andiseffectivewhenreceivedevenifnopersonisawareofitsreceipt.

(c) ForthepurposesofcommunicationssentbyelectronicmailandtheElectronicTransactionsAct,theserveronwhichthemailboxforthedesignatedaddressresidesistobetakentobetherecipient’sdesignatedinformationsystem.

(d) Acommunicationisdeemedtobesentfromwherethesenderhastheirplaceofbusinessandisdeemedtobereceivedwheretherecipienthastheirplaceofbusiness.Forthepurposesofthisclause:

(i) ifthesenderorrecipienthasmorethanoneplaceofbusiness,theplaceofbusinessisthesender’sorrecipient’sprincipalplaceofbusiness;and

(ii) ifthesenderorrecipientdoesnothaveaplaceofbusiness,theplaceofbusinessisthesender’sorrecipient’susualplace.

16. BankingCodeofPractice

16.1 NABhasadoptedtheBankingCodeofPracticeandrelevantprovisionsoftheCodeapplytoNABTransact,ifyouareanindividualorasmallbusinesscustomerreferredtointheCode.

16.2 YoucanobtainfromNABuponrequest:

(a) informationonNABcurrentinterestratesandstandardNABTransactFeesandcharges,ifany;

(b) generaldescriptiveinformationconcerningNABbankingservicesincluding:

(i) foraccountswithchequeaccess,generaldescriptiveinformationaboutcheques;

(ii) accountopeningprocedures;

(iii) NABobligationsregardingtheconfidentialityofyourinformation;

(iv) complainthandlingprocedures;

(v) bankcheques;

(vi) theadvisabilityofyouinformingNABpromptlywhenyouareinfinancialdifficulty;

(vii) theadvisabilityofyoureadingthetermsandconditionsapplyingtoeachbankingserviceNABprovidestoyou;

(c) generaldescriptiveinformationabout:

(i) theidentificationrequirementsoftheAntiMoneyLaunderingandCounterTerrorismFinancingAct2006(Cth);

(ii) theoptionsavailabletoyouunderthetaxfilenumberlegislation;and

(d) acopyoftheBankingCodeofPractice.

17. Anti-moneylaundering

17.1 Wemaydelay,blockorrefusetomakeanypaymentorprocessanyinstructions,orceasetoprovidetheNABTransactserviceinwholeorinparttoyouifwebelieveonreasonablegroundsthatmakingthepaymentorprocessingthoseinstructionsmaybreachanyRelevantLawinAustraliaoroverseas.

17.2 YoumustprovideuswithallinformationthatwereasonablyrequiretocomplywithanyRelevantLawinAustraliaoroverseas.

17.3 UnlessyouhavedisclosedtousthatyouareactinginthecapacityofatrusteebyenteringintotheNABTransactAgreementoronbehalfofanotherparty,youwarrantthatyouareactingonyourbehalfenteringintheNABTransactAgreement.

17.4 YouconfirmthatthereceiptofmoneybyusinaccordancewithanyinstructionsgivenbyyouwillnotbreachanyRelevantLawinAustraliaoroverseas.

18. Confidentialityandprivacy

18.1 YoumustkeepanyConfidentialInformationconfidential.YoumayonlyusetheConfidentialInformationinrelationtotheNABTransactAgreement.

18.2 YoumaydisclosetheConfidentialInformationtoenableyoutoperformyourobligationsundertheNABTransactAgreementbutonlytoyourpermittedpersonneltotheextentthattheyhaveaneedtoknowthatinformation.

18.3 YoumustnotcopytheConfidentialInformationoranypartofitotherthanasstrictlynecessaryforthepurposesoftheNABTransactAgreementandmust,ifrequiredbyus,markanysuchcopy“Confidential–NAB”.

18.4 Youmustimplementsecuritypracticesagainstanyunauthorisedcopying,use,disclosure(byanymeansorinanyform),access,damageordestructionoftheConfidentialInformation.

18.5 OnterminationoftheNABTransactAgreement,orearlieronreasonablerequestbyus,youmustpromptlyreturntousordestroyanyorallcopiesofConfidentialInformation,inwhichcaseanyrighttouse,copyanddisclosetheConfidentialInformationceases.

18.6 Yourobligationsunderthisclause18continueinrelationtotheConfidentialInformationevenifitisreturnedtousordestroyedortheNABTransactAgreementareterminated.

18.7 Thisclause18doesnotapplytotheextentthatyouarerequiredbylawtodisclosetheConfidentialInformation.IfyouaresoobligedtodiscloseanyConfidentialInformation,youmustbeforedoingsoatourreasonablecost:

(a) notifyusandprovidedetailsoftheproposeddisclosure;and

(b) giveusareasonableopportunitytotakeanystepsweconsidernecessarytoprotecttheconfidentialityofthatConfidentialInformation;and

(c) provideassistancereasonablyrequiredbyustoprotecttheconfidentialityoftheConfidentialInformation;and

(d) notifytherecipientoftheConfidentialInformationthatitisourConfidentialInformation.

18.8 WhenyoucollectinformationaboutanindividualthatwillbedisclosedtousundertheNABTransactAgreementorotherwiseinconnectionwithNABTransact,inadditiontoanyobligationsyoumayhaveconcerningConfidentialInformationundertheNABTransactAgreementorprivacylaw,youmustensurethattheindividualisawareof:

(a) ouridentity,asanorganisationwhichwillcollectthatindividual’spersonalinformationandourcontactdetailsasnotifiedbyustoyoufromtimetotime;

(b) thefactthattheindividualhasarighttorequestaccesstotheirpersonalinformationfromus;

(c) thepurposesforwhichtheindividual’spersonalinformationiscollectedbyus;

(d) theorganisationsortypesoforganisations(ifany)towhichwedisclosepersonalinformationofthekindcollectedabouttheindividual,asnotifiedbyustoyou;

(e) anylawthatrequiresthepersonalinformationtobecollectedbyus;and

(f) themainconsequences(ifany)fortheindividualifallorpartoftheirpersonalinformationisnotprovidedtous,asnotifiedbyustoyou.

18.9 Youacknowledgethatyoudonotrelyonanyinformationorrepresentationsupplybyustoyouasadviceregardingcompliancewithprivacylaws.

18.10 Youmustprocurethatyouremployees,officersandagentscomplywiththisclause18.

19. GST

NotwithstandinganyotherprovisionoftheNABTransactAgreement:

(a) IntheeventthatGSThasapplicationtoanysupplymadeunderorinconnectionwiththeNABTransactAgreementNABmay,inadditiontoanyamountorconsiderationpayableinaccordancewiththeNABTransactAgreement,recoverfromyouanadditionalamountonaccountofGST,suchamounttobecalculatedbymultiplyingtherelevantamountorconsiderationpayablebyyoufortherelevantsupplybytheprevailingGSTrate.

(b) Withoutlimitingthegeneralityoftheforegoing,intheeventthatNABisnotentitledtoaninputtaxcreditinrespectoftheamountofanyGSTchargedtoorrecoveredfromNABbyanyperson,orpayablebyNAB,orinrespectofanyamountwhichisrecoveredfromNABbywayofreimbursementofGSTreferabledirectly(orindirectly)toanysupplymadeunderorinconnectionwiththeNABTransactAgreement,NABshallbeentitledtoincreaseanyamountorconsiderationpayablebyyouonaccountofsuchinputtaxandrecoverfromyoutheamountofanysuchincrease.

(c) AnyadditionalamountonaccountofGST,oronaccountofanamountforwhichNABisnotentitledtoaninputtaxcredit,recoverablefromyoupursuanttothisclauseshallbecalculatedwithoutanydeductionorset-offofanyotheramountandispayablebyyouupondemandbyNABwhethersuchdemandisbymeansofaninvoiceorotherwise.

20. Separateconditions

Alltermsandconditions(includingfeesandcharges)applicabletoyourNABaccountsoranyNABProduct,otherNABproductorNABservicethatyouhave,continuetoapply.

(e) providedelectronically,inaccordancewithclause15.

21.2 Anoticesentbypostistakentobereceivedonthethirddayafterposting.

21.3 Anoticebyfacsimileistakentobereceivedonproductionofatransmissionreportbythemachinefromwhichthefacsimilewassentwhichindicatedthatthewholefacsimilewassent.

22. Changeofnameormerger

YoumustnotifyusinadvanceofanylegalnamechangeormergerinvolvingyouoranyNABTransactAuthorisedUser.

23. Assignment

YoumustnotassignyourrightsundertheNABTransactAgreementwithoutourconsent.

24. AvailabilityofNABTransact

WemaymaketheNABTransactserviceunavailablefromtimetotimeforeitherscheduledmaintenanceoremergencymaintenance(forexample,tocorrecterrorsorconductupgradesorenhancements).

25. Termination

EitherpartymayterminateyouruseoftheNABTransactServiceatanytimebywrittennoticetotheotherparty.SuchterminationwillnotaffectanyobligationsincurredbyyouundertheNABTransactAgreement.

YoumayterminatetheuseoftheNABTransactServicewithimmediateeffect.

WemayterminateyouruseoftheNABTransactServicewithoutcauseon90daysnoticetoyou.However,ifyouhavemateriallybreachedanyofthetermsoftheNABTransactServiceAgreement,wemayterminateyouruseoftheNABTransactServiceon14daysnotice(unlessyoucurethebreachwithinthe14daysanddonotrepeatit),orwithoutnoticeifwereasonablybelievethatyouruseoftheNABTransactServicecausesanimmediaterisktous.

AllmoniesdueandpayablebyyoutoNABundertheNABTransactAgreementwillimmediatelybecomedueandpayableonthedateoftermination.

26. Governinglaw

ThisagreementisgovernedbythelawinforceintheAustralianStateorTerritorywhereyouraddress(detailedontheLetterofOffer)islocated.IfthisaddressisnotlocatedinAustralia,thisagreementisgovernedbythelawofVictoria.AnycourtcasesinvolvingthisagreementcanbeheldinthecourtsofanyStateorTerritoryofAustralia.Youandwesubmittothenon-exclusivejurisdictionofthosecourts.

TenantmeansaCustomerwhoisobligedtomakerentalpaymentstoyouandwhohasbeenissuedwithaNABRentCardbyyou.

Trade Marksmeanseachofthevarioustrademarks(includingbutnotlimitedtoregisteredandunregisteredtrademarksandtradenames)whichareusedonorinrelationtotheServiceorothergoodsandservicesprovidedbyNABfromtimetotime.

URLmeansanaddressthatspecifiesthelocationofafileontheinternet.

28. Supplyofservice

28.1 NABagreestoprovideyouwiththefollowingservicesiftheyarethesubjectofaLetterofOffer:

(a) PaybyPhone;

(b) PaybyWeb;

(c) NABRentCard

(d) PayinPerson;and

(e) AllocatedEFT.

(eacha“Service”).

28.2 ThetermsonwhichaServiceisprovidedaresetoutin:

(a) thisdocumentincluding,forPayinPersonandRentCard,Schedule1,andAllocatedEFT,Schedule2;

(b) theseparatetermsgoverningthepaymentmethodsusedbyyourCustomersinconnectionwiththeServiceincluding:

(i) theMerchantAgreement,ifpaymentsaremadebyaSchemeCardandtheServiceisnotPayinPerson;

(ii) theDebitUserAgreement,ifpaymentsaremadebydirectdebittotheCustomer’saccount;and

(iii) thetermsofyourchargecardagreement,ifpaymentsaremadebychargecard.

28.4 Ongivingreasonablenoticetoyou,NABmayrefusetoactivateaService,de-activateaServiceorsuspendpartorallofaServiceif:

(a) youdonotcomplywithyourobligationsunderanyoftheServiceTerms;or

(b) NABdeterminesthatitisnecessaryto:

(i) monitorandreducetheincidencesoffraud;or

(ii) performsystemandnetworkmaintenance.

29. Yourobligations

29.1 Youmust,inrelationtoaService:

(a) complywiththeServiceTerms;

(b) paytheServiceCharges;

(c) provideNABwithanyassistancereasonablyrequestedtoallowtheServicetobeactivated(includingaccesstoyournetworkorsystemsasrequired);

(d) promoteandsupplytheServiceinaccordancewiththisagreementunderthenamespecifiedbyNAB;

(e) provideinformationrelatingtotheServicereasonablyrequiredbyNABforthepurposesofthisagreement;and

(f) worktogetherwithNABtoestablishprocedurestoreducefraudortheopportunityforfraudinrelationtotheService.

29.2 YoumustpromptlynotifyNABofanychangeinyourdetailsasprovidedintheActivationFormorasotherwiseprovidedtous.

29.3 PriortoreportingaServicefaulttoNAB,youmustensurethatyourownnetworkisfreefromfaults.

30. NAB’sobligations

30.1 NABmust,inrelationtoaService:

(a) settlethevalueofallvalidandacceptabletransactions:

(i) forthePayinPersonService,assoonasreasonablypracticableafterNABhasreceivedsuchvaluefromtherelevantServiceProvider.NABwilleffectsettlementbycreditingthevalueofthosetransactionstoyourSettlementAccountsubjecttotheconditionssetoutinSchedule1;and

(ii) fortheAllocatedEFTService,assetoutinsection2ofSchedule;and

(iii) fortheNABRentCardServiceassoonasreasonablypracticableafterNABhasreceivedsuchvaluefromtheServiceProvider.NABwilleffectsettlementbycreditingthevalueofthosetransactionstoyourSettlementAccountsubjecttotheconditionssetoutinSchedule1;

(iv) forallotherServices,fortransactionsthatareprocessedbyNAB,inaccordancewiththerelevantServiceTerms;

(b) provideyouwithadailyTransactionStatementshowingthetransactionsprocessedbyNABforthedayadvisedastheprocessingdate;and

(c) useallreasonableendeavourstoinformyouofanyscheduledoutages,whichmayaffecttheavailabilityofaService.

30.2 AnyamountsthatNABmustpayyouunderthisagreementmaybesetoffagainstamountspayablebyyoutoNABunderthisagreement.

31. Billing

31.1 NABwilldebitanyamountduebyyoutoNABunderthisagreementasfollows:

(a) ServiceChargeswillbedebitedtoyourBillingAccountwithin3BusinessDaysoftheendofthemonth;

(b) amountstobedebitedunderSchedule1andSchedule2willbedebitedtoyourSettlementAccountorsuchotheraccountasagreedassoonasreasonablypracticable;and

(c) allotheramountsowedunderthisagreementwillbedebitedtoyourBillingAccountorSettlementAccountasapplicablewhendueandpayable.

31.2 Itisyourresponsibilitytoensureyouhavesufficientfundsintherelevantaccounttopayamountsowingunderthisagreement.

31.3 Ifyoudonothavesufficientfundsintherelevantaccountreferredtoinclause31.1:

(a) youauthoriseNABtodebittheamountsowingbyyoutoanotherNABaccount;

(b) ifrequestedbyNAB,youmustprovideNABwithanauthorityandrequestinaform,andsubjecttothetermsandconditionsNABreasonablyrequires,todirectdebityournominatedaccountatanotherinstitutionwiththeseamounts;and

(c) youmustpayallapplicablefeesassociatedwithnothavingsufficientfundsintherelevantaccountandNABhavingtodebitanotheraccount.

31.4 NABwillprovideyouwithaBillingStatementsettingouttheServiceChargesincurredbyyouwithin14daysaftertheendofeachmonth.

32. ThingsyouneedtousetheServices

32.1 WewillprovidethefollowingtoyouforthepurposeofenablingyourcustomerstousetheServices:

(a) ForthePaybyPhoneService,aphonenumberforcustomerstocalltoaccesstheService;

(b) ForthePaybyWebService,aURL;

(c) ForthePayinPersonService,barcodespecificationsforuseonremittanceadvices;

(d) FortheNABRentCardService,plasticcardscontainingbarcodes;and

(e) FortheAllocatedEFTService,partialuseofaNABBSBNumber,a3digitSettlementIDandatooltogenerateAllocatedAccountNumbers,asdescribedinSchedule2.

32.2 Youacknowledgeandagreethatyouacquirenorightsinanyofthethingslistedinclause32.1above.

32.3 Youmustnottransferorseektotransferanyofthethingslistedin32.1aboveoruseanyofthemforapurposeotherthanaccessingtheparticularServiceforwhichtheyweresupplied.

33. Termination

33.1 NABmayterminateorsuspendtheprovisionofanyoralloftheServicesatanytimeif:

(a) Youcommitamaterialbreachofthisagreementwhichisincapableofbeingcuredandhasamaterialimpactonourcreditorsecurityrisk;

(b) youcommitamaterialbreachwhichiscapableofremedy,butyoufailtoremedythebreachwithin14daysofnoticerequiringyoutodoso;

(c) inNAB’sreasonableopinion,providingyouwithaServiceputsNABatimmediaterisk.

NABmaydosobygivingyounoticeinwriting.Thenoticedoesnothavetostateareason.

33.2 YoumayterminateyouruseofaServiceatanytimebygivingNAB30daysnoticeinwriting.

34. Consequencesoftermination

34.1 OnterminationofanyService,youmustimmediately:

(a) stoppromotingthatService;

(b) stopsupplyingthatService;

(c) payNABallamountsowedtoNABinrespectofthatService;

(d) stop,andrequireyourCustomerstostop,using:

(i) anyphonenumberallocatedtoyouforthepurposeofthePaybyPhoneserviceifthePaybyPhoneServiceisterminated;

(ii) anyURLallocatedtoyouforthepurposeofthePaybyWebserviceifthePaybyWebServiceisterminated;

(iii) anyBarcodespecificationsprovidedtoyouforthepurposeofthePayinPersonServiceifthePayinPersonServiceisterminated;and

(iv) anyNABRentCard,iftheNABRentCardServiceisterminated;

(v) theNABTransactBSB,3digitSettlementIDandAllocatedAccountNumberstomakepaymentstoyou,iftheAllocatedEFTServiceisterminated;and

(vi) anyTradeMarkswhichyouhavebeengivenpermissiontouseforthepurposeoftheterminatedService;

(e) unlessotherwiseadvisedbyNAB,returntoNAB:

(i) allNABConfidentialInformationinamaterialformandallcopiesofitthatareinyourpossessionorcontrol;and

(ii) theUserGuidesandallotherdocumentationprovidedtoyouinrelationtotheterminatedServices.

34.2 Terminationofthisagreementoranypartofitwillnotaffecttheaccruedrightsorremediesofeitherparty.

35. Lossandindemnity

35.1 Loss where value not received by NAB

IfyouusePayinPerson,AllocatedEFT,orNABRentCardyouacknowledgethat,subjecttoyourimpliedrightsatlawwhichcannotbeexcluded:

(a) ifaCustomereffectsapaymentbutanequivalentvalueisnotreceivedbyorcreditedtoNAB(includingbecauseanamountcreditedtoNABisreversed),NABisnotliabletoyouforthatvaluenotbeingcreditedtotheSettlementAccountor,ifalreadycredited,beingdebitedtotheSettlementAccount(orsuchotheraccountasagreed)bywayofreversal;and

(b) NABisnotliableforanyLosssufferedasaresultofamissingorerroneouspaymentforwhichavalidreceiptcannotbeproduced.

35.2 Additional indemnity for Allocated EFT Service

Inadditiontotheindemnityinclause13,inrelationtotheAllocatedEFTService,youalsoagreetoindemnifyforallLossweincurbecauseof:

(a) NABreturningorrefusingDirectEntriespayableonanyBankingDaybecause:

(i) NABissoinstructedbyyou;or

(ii) theAllocatedAccountNumberfailsvalidation;or

(iii) theDirectEntrywasadebitdrawing;or

(iv) NABisotherwiseentitledtodosounderthisAgreement;

(b) aCustomerusingtheAllocatedAccountNumbertomakeadepositatabranchordepositbox;or

(c) anyreasonabledelay(includingwithoutlimitationanydelaycausedbycircumstancesbeyondthecontrolofNAB)intheavailabilityofthedailytransactionreport.

SCHEDULE 1 PAY IN PERSON/NAB RENTCARD1. Reasonsfordelayinpayment

1.1 YouacknowledgethatdelaymightoccurinthecreditingofvalidandacceptablePayinPersonorNABRentCardtransactionstotheSettlementAccountunderclause31where:

(a) thereisapublicholidayinSydneyorMelbourneonthedayoronthedayafterapaymentismade;

(b) apaymentisreceivedbyaServiceProviderthatdoesnothaveelectronicfacilities;

(c) apaymentisreceivedoveraweekend;or

(d) aServiceProviderfailstoperformitsobligationsinreceivingpayments.

1.2 WhileitisexpectedthatanydelayinNAB’sperformanceunderthisagreementforareasonsetoutinitem1.1ofthisSchedulewillnotcontinueformorethanoneBusinessDay,youacknowledgethatanysuchdelaymightcontinueforalongerperiod.

1.3 NABwillnotbeinbreachofthisagreementmerelybecauseofadelayofthekindreferredtoinitem1.1ofthisSchedule.

2. DishonourofchequesreceivedbyaServiceProvider

2.1 WhereapaymentismadebythetenderofachequetoaServiceProviderthatisdishonouredwhenpresentedforpaymentbyaServiceProvider’sbankNABwill:

(a) notifyyouofthedishonour,therelevantamountandanyotherrelevantinformationassoonasisreasonablypracticableafterNABisnotifiedofthesedetailsbytheServiceProvider;and

(b) forwardtoyoueachchequethatisdishonouredwhenNABreceivesthechequefromtheServiceProvider.

2.2 WheretheamountofadishonouredchequehasbeencreditedtotheSettlementAccountpursuanttoclause31ofthisagreement,atanytimeafterNABhasreceivednotificationofdishonour,NABmaydebitthatamountbywayofreversaltoyourSettlementAccount(orsuchotheraccountasagreed)inaccordancewithclause31ofthisagreement.

3. Reversedtransactions–cheques

3.1 WhereapaymentismadebythetenderofachequetoaServiceProviderbutitappearsthatthechequewillnotbeabletobepresentedforpaymentbyaServiceProvider’sbankforanyreason(including,forexample,iftheServiceProviderisunabletolocatethecheque)(“LostCheque”),thenNABwillnotifyyouoftherelevantamountandanyotherrelevantinformationassoonasisreasonablypracticableafterNABisnotifiedofthesedetailsbytheServiceProvider.

3.2 Wheretheamountofachequetowhichitem3.1ofthisScheduleapplieshasbeencreditedtotheSettlementAccountpursuanttoclause31ofthisagreement,atanytimeafterNABhasreceivednotificationofaLostCheque,NABmaydebitthatamountbywayofreversaltoyourSettlementAccount(orsuchotheraccountasagreed)inaccordancewithclause31andofthisagreement.

4. PaymentbySchemeCard

ForpaymentsusingaSchemeCard,youmust:

(a) onlyallowyourCustomerstousethePayinPersonifyousuppliedthegoodsand/orservicesthesubjectofyourCustomer’sbill,or,inthecaseofrentalpaymentsmadeusingNABRentcard,youareauthorisedbytheTenant’slandlordtocollectrentalpaymentsmadebythatTenant;

(b) notbillyourCustomersbeforeyouhavesuppliedthemwiththegoodsand/orservicesthesubjectofthebill,unlessyourCustomerhasagreedtoreceivethemlater;

(c) establishafairpolicyfordealingwithrefundsanddisputesandmakethatpolicyavailableforthebenefitofyourCustomers;

(d) ifyouagreetorefundatransactionasaresultofyourCustomerapproachingyoudirect,givetherefundbycreditwherepossibleandnotincashorbycheque;

(e) promptlyassistNABinresolvingCustomerdisputesinvolvingtheuseofaSchemeCardasapaymentmethod.

5. Reversedtransactions–SchemeCards

5.1 YouacknowledgeandagreethatwhenpaymenthasbeenmadeusingaSchemeCardthatNABcanreverse(chargeback)atransactionif:

(a) YourCustomerdisputesliabilityforthetransactionforanyreasonthatisdeterminedbyNABinitsreasonableopiniontobevalid;

(b) thesignatureonthetransactionreceiptisforgedorunauthorised;

(c) thetransactionwasnotauthorisedbyyourCustomerintheircapacityasthecardholder;

(d) anotherpartysuppliedthegoodsand/orservicesthesubjectofyourCustomer’sbill;

(e) yousuppliedthegoodsand/orservicesthesubjectofyourCustomer’sbilltoapersonwhowasnotagenuineCustomerorhaveindicatedyourintentiontodoso;

(f) youdidnotcomplywithanyofyourobligationsinitem4ofthisSchedule.

5.2 Ifitem5.1ofthisScheduleapplies,youacknowledgeandagreethatNABmaydebittheamountofthetransactionbywayofreversaltoyourSettlementAccount(orsuchotheraccountasagreed)inaccordancewithclause31ofthisagreement.

6. NABRentCard

6.1 Your responsibilities

(a) YouareresponsibleforprovidingeachtenantaNABRentCardwithbarcodeforacceptanceofrentalpaymentsattheServiceProvider.

(b) YouareresponsibleforanylosssufferedasaresultofincorrectpaymentdetailsbeingprovidedtoCustomer.

(c) YoumustinformTenantsthattheNABRentCardistobeusedonlytomakepaymentstoyouviatheServiceProviderandisnottobeusedtomakerentalpaymentsoverthecounteratanyNABbranch.

6.2 Customer termination

WhenaTenantceasestobeatenant,youmust:

(a) advisetheTenanttostopusingtheNABRentCardtomakerentalpaymentstoyou;and

(b) collecttheNABRentCardfromthatTenant.

6.3 NAB RentCard production

Atthetimeofimplementation,wewillprovidetoyouthecontactdetailsforplacingNABRentCardorders.Pleaseallowupto15BusinessDaysfromthetimeoforderingfortheproductionanddeliveryoftheNABRentCardstoyou.

SCHEDULE 2 ALLOCATED EFT1. AllocatedEFTservice

1.1 Service Description

TheAllocatedEFTServiceprovidesamechanismforallocatinguniqueaccountnumberstocustomersforthepurposeofmakingpaymentsviadirectcreditorelectronicbanking,withouttherequirementtoestablishormaintainseparatebankaccountsforeachcustomer.AllocatedAccountNumbersarebasedonthefollowingnumberingconventions:

1.2 BSB and Settlement ID

NABwillallocatetoyou:

(a) thepartialuseofaNABBSBnumber;and

YouacknowledgethatyouacquirenorightsinanyBSBnumberorSettlementIDallocatedtoyouandyoumaynottransfer,orseektotransfer,theBSBorSettlementID,oruseeitherforapurposeotherthanusingtheAllocatedEFTServiceunderthisAgreement.

1.3 Allocated Account Numbers

(a) NABwillprovidetoyouatooltogenerateAllocatedAccountNumbers.

(b) YouareresponsibleformaintainingarecordofAllocatedAccountNumbersinuseanddetailsoftowhichcustomerthoseAllocatedAccountNumberscorrespond.

(c) YouacknowledgethatNABhasnorecordofcustomerstowhomAllocatedAccountNumbershavebeenassignedandyouaresolelyresponsibleforensuringthatanycreditsmadetoaAllocatedAccountNumberarereconciledbacktotheappropriateCustomer’sledgerwithyou.

1.4 Your responsibilities

(a) YouareresponsiblefornotifyingeachCustomerofthepaymentdetailstobeusedbythatCustomerwhenmakingdirectcreditorinternetbankingpaymentstoyou.

(b) YouareresponsibleforanylosssufferedasaresultofincorrectpaymentdetailsbeingprovidedtoCustomer.

(c) YoumustinformCustomersthattheAllocatedAccountNumberistobeusedonlytomakepaymentstoyouviaDirectCreditandisnottobeusedtomakedepositsoverthecounteratanyNABbranch.

1.5 Customer termination

Whenacustomerceasestobeacustomer,youmust:

(a) advisetheCustomertostopusingtheAllocatedAccountNumbertomakepaymentstoyou;and

(b) removetheallocatedaccountnumberfromanyfurthercorrespondencewiththatcustomer.

2. Paymentprocessingandreporting

2.1 Payment to Settlement Account

(a) AllDirectCreditsreceivedbyNABinrespectofvalidaccountnumbersbearingtheNABBSBandSettlementIDallocatedtoyouwillbesettledtoyourSettlementAccount,inaccordancewiththetermsofthisdocument.

(b) AnyDirectEntryitemthatisadebitdrawinginrespectofanyaccountbearingtheNABBSBandSettlementIDwillberejected,otherthandebitsforthepurposeofeffectingareturnorrefusalofacredittotheaccount.

2.2 Processing

WhenNABreceivesDirectCreditsthroughthepaymentsystem,theDirectCreditsandtherelevantdetailsaretobeprocessedbyNABtotheSettlementAccountinaccordancewithanyapplicableAPCAregulationsorprocedures(includingBECSrulesandprocedures)andNAB’sstandardbankingpractice.

2.3 Reporting

(a) Asearlyaspracticableoneachbusinessday,NABwillmakeavailabletoyouthroughNABTransactareportlistingalltransactionstotheSettlementIDmadeonthepreviousBusinessDay.

(b) IfthereportrelatingtothepreviousBusinessDayisnotavailablethroughNABTransactby7.00amonthenextBusinessDay,youmustnotifyNABassoonaspracticableandNABmustusereasonableendeavourstomakethereportavailableassoonaspossiblethereafter.

2.4 Unapplied and mistaken payments

Youmust:

(a) promptlynotifyNABifyouareunabletoapplypaymentslistedinatransactionhistoryreporttoaccountsyoumaintainforyourcustomersforanyreason;

(b) uponbeingnotifiedbyNABthatacredititemreceivedbyyouisallegedlyunauthorised(“notice”):

(i) immediatelypreventthewithdrawalorotheruseorapplicationofthefundsheldbyyoupendingtheresolutionofthematterbyNAB;and

(ii) complywithanyreasonablerequestforassistanceinunwindingthetransaction.

YouauthoriseNABtodebittheSettlementAccount(orsuchotheraccountasagreed)foranyamountswhichwerecreditedtotheSettlementAccountasaresultofabankorpayererror.
