Trustee Atkinson presented the minutes from the SURS Board of Trustees meeting of June 5, 2020. Trustee Rock made the following motion:

CHAIRPERSON’S REPORT

Trustee Atkinson opened by thanking the SURS staff for the hard work and strong leadership that has not gone unnoticed by the entire board of trustees during the Covid-19 pandemic. He briefly discussed some good news around the state in terms of the enrollment numbers at the public universities. Unfortunately, the enrollment in community colleges is down, and Trustee Atkinson provided some insight on the negative effects of this. He commended the University of Illinois for their leadership in supporting the state’s efforts during the pandemic, along with managing the exposure of Covid-19. Trustee Atkinson concluded by stating that although there have been many challenges, the Illinois Board of Higher Education will continue to work to create a strategic plan to cover the next five to 10 years and he foresees a more positive outcome moving forward.

EXECUTIVE DIRECTOR’S REPORT

Mr. Noven thanked the board of trustees for recognizing the SURS staff for all their hard work during the pandemic. He mentioned that a date and time will need to be discussed and agreed upon for a virtual staff appreciation event. This event will not only recognize all the employees but also recognize certain individuals who have gone above and beyond this past year. He also mentioned the need to schedule a board retreat, diversity training and trustee orientation. All trustees will be contacted soon for scheduling purposes.

BOARD TRAVEL

Mr. Noven presented the board with travel and conference opportunities stating that due to the recent pandemic, no new items have been added. Mr. Noven encouraged trustees to continue to make suggestions for future educational opportunities including virtual conferences. Trustee Rock made the following motion:

• That the board of trustees travel to attend board and committee meetings, Claims Panel hearings, meetings with SURS staff, and other SURS-related business or functions be

approved for fiscal year 2021 and that all resulting allowable expenses be reimbursed, including online conferences.

Investment Committee: On behalf of the Investment Committee, Trustee Vasquez presented the committee actions. The Investment Committee recommends to the board:

• That based on the recommendation of SURS staff and Callan, the board of trustees approve a commitment of $60 million to Homestead Capital USA Farmland Fund III, subject to successful completion of contract negotiations. Roll call vote:

INSURANCE RFP UPDATE

Ms. Tara Myers provided an update on the Insurance RFP stating that in February 2020, SURS hired consulting firm, Insurance Audit and Inspection Company, to assist with the review of insurance policies and coverages. Currently SURS is working to finalize the timeline and will start the RFP process by the end of the year and issue the RFP in January 2021. The recommendation for the final selection of insurance providers will be presented at the June 2021 meeting, so the new policies can go into effect on July 1, 2021.

FIDUCIARY LIABILITY INSURANCE

Mr. Craig Goesel and Mr. Bruno Amici of Alliant/Mesirow Insurance Services provided a summary of the proposed Fiduciary Insurance Program renewal to SURS. Trustees asked questions regarding the renewal terms and the public pension funds of the current fiduciary insurance policy. Mr. Goesel also shared how diversity and inclusion is one of the organizations critical success factors, following additional questions from the trustees for further details on diversity, specifically. In conclusion, Trustee Flaherty requested that the board would like to see diversity play a strong role in the development and contributions to the SURS account on Alliant’s team. Trustee Flaherty made the following motion:

• To retain the current limit structure at $393,187.00, Option 2 with Alliant/Mesirow Insurance Services.

Mr. Michael Calabrese of Foley and Lardner provided a discussion on six specific priority topics to the board which included delineation of the duties amongst the board, the board chair, committees, the SURS Executive Director and SURS staff; the role and relationships of the general counsel; the role and relationships of the Audit Committee and the internal auditor; the delegation

of investment authority to staff; when and how the board and committees should meet; and defining the subject matter jurisdiction of board committees. TO: Board of Trustees

RE: Board Training Requirements and Travel Approval

DATE: August 26, 2020

In order to assist Trustees in obtaining the 8 hours of annual training required by Public Act 96-0006, staff has developed the attached list of upcoming training opportunities. This list will be updated and provided to the Trustees with the regular meeting materials.

Public Act 96-0006 also requires that all Board travel be approved by a majority of Trustees in order to qualify for reimbursement of expenses in accordance with the Board’s Travel Approval and Expense Reimbursement Policy. Each Trustee is eligible to be reimbursed for two out-of-state trips, each fiscal year, for educational purposes. SURS is a voting member of the Council of Institutional Investors (“CII”). In March of 2013, the SURS travel policy was amended, to provide that attendance at the semi-annual meetings of CII not be included in the two-per-year limit for board member attendance at educational conferences, since such conferences are not educational meetings, rather, are working meetings of an organization of which SURS is a member.

Staff Recommends that the following motions be approved at this time:

• That the Board of Trustees travel to attend conferences or trainings listed on theSeptember 2020 list of Upcoming Training Opportunities be approved and that allresulting allowable expenses consistent with SURS travel policy be reimbursed.

• That the Board of Trustees travel to attend Board and Committee meetings,Claims Panel hearings, meetings with SURS staff, and other SURS-relatedbusiness or functions be approved for Fiscal Year 2021 and that all resultingallowable expenses be reimbursed.

General Pricing Considerations

• Pre-2019, we had witnessed a long period of softening rates and improved pricing across all lines of insurance. During that period of time, insurance carriers had been warning of higher than normal losses across all segments and increasing costs of reinsurance treaties. However, over that time frame, we had not witnessed general increases in rates - unless a client had grown exponentially or sustained a loss.

• The insurance marketplace began hardening at the end of 2018 across all lines of business. With that said, asset managers had been able to avoid these years of rate pressure as their premiums had not been reduced as dramatically as other industry sectors. The market changed to a “sellers market” on 2019.

• Regulatory oversight and enforcement actions continue to be a leading contributor for claims especially from investigations, civil suits, and proceedings by the U.S. Securities and Exchange Commission's Division of Enforcement program. The SEC’s Whistleblower Program received a record-breaking 5,282 reports in 2019, up almost 20% year-over-year.

• Below are some industry quotes pre-COVID-19 pandemic:

• “Average commercial insurance pricing increased apx 6% in the third quarter 2019, the largest increase since the survey began in 2012, and the seventh consecutive quarter of average pricing increases. On average, pricing for property risks increased 8% while financial and professional lines (D&O, Fiduciary Liability, Cyber Liability) rose almost 10% across all segments.” - The Marsh Global Insurance Market Index, November 18, 2019.

• “In the US, current D&O market trends are tightening, with upward pressure on rates and retentions in certain segments. Aon’s Q4 2019 data shows public company D&O renewals are experiencing +26% and +39% rate increases on primary and first excess layers, respectively.” – AON Directors & Officers Report, January 2020.

COVID-19 Pricing Considerations

• With regard to the economic impact of COVID-19, the industry has started to incur claim activity against companies. In many cases, there seem to be extenuating circumstances or industries dramatically effected by the pandemic (hospitality, real estate, retail, oil & gas). With that said, it will not take long for more claims to surface. We have witnessed that the current environment has an adverse effect on underwriting appetite, pricing and coverage structure.

• Insurance carriers have not been willing to provide guidance on pricing until we are within 45 days of the expiration date ofcoverage. However, underwriters price for uncertainty, and this is definitely an uncertain time. Rates for asset managers were approaching 10% increases leading up to the pandemic, and rates are continuing to climb as we witness the economic impact of this event.

• With the advent of COVID-19 and the related economic impact, the market changed dramatically. The insurance marketplace immediately moved to underwrite to this uncertain landscape and manage their portfolio risk. This has made carriers reduce limit profiles, reduce coverage provisions and exert considerable rate pressure on its clients. Below are a few quotes from industry press releases:

• “As the pandemic began, the management liability insurance marketplace had seen primary pricing and tightening of capacity in response to severity and litigation. That tightening appears to have been enhanced over the last 35 to 40 days. Litigation costs have been increasing in the last 13 years. D&O rates have been decreasing. That doesn’t work. There’s some type of interception there that has to be corrected. This is a long-tailed business and as losses continue to be adverse and unfavorableand there’s development there, there’s rate need.” By Erin Ayers, Advisen, May 7, 2020

• “With insurers potentially facing up to $80 billion in losses as a result of pandemic claims, the reality is that the market is “challenging,” … Commercial property, umbrella/excess, and management liability will likely bear the brunt of rate increases … liability risks could see increases anywhere up to 50 percent or higher.” - Advisen Report, May 8, 2020

• Professional liability insurance accounts continue to drive prices higher, with a global average increase of 26 percent, up from18 percent in the fourth quarter of 2019… Nearly 95 percent of US clients are seeing an increase for an overall average price hike of 44 percent. Higher frequency and severity of securities litigation drove the increases, which were accompanied by reduced capacity and tighter terms and conditions.” The Marsh Global Insurance Market Index, May 12, 2020.

• Commercial insurance prices soared in the second quarter of 2020, to mark 11 consecutive quarters of price increases and the largest year-over-year average increase since the 2012. In the U.S., management liability prices led the increases, up an average of 59% year-over-year, with more than 90% of clients seeing a price hike. Note: even as clients took on higher retention and lower limits, prices still tended to increase. .Waiver of RecourseWith the enactment of ERISA in 1974, Trustees of employee benefit plans became personally liable for their acts on behalf of the participants of those plans.Fiduciary Liability Policies became very popular, but ERISA only allowed the Trust Funds themselves to purchase insurance to protect the funds - not therespective trustees. Therefore, a nominal fee was charged directly to the Trustees as a way to circumvent this provision.Although Public Pension Funds are not subject to ERISA law, the various state pension codes often follow in the “spirit of ERISA”. In addition, as the FiduciaryLiability policies were originally drafted to protect ERISA plans, the waiver provision followed across Non-ERISA plans.With that said, we have been successful in petitioning the carriers to waive their recourse to the trustees without having to charge, unless there is arequirement within the respective governing code. As Public Pension Codes typically have no such provision, we no longer need to charge the trustees for thewaiver of recourse. The trustees still retain the same full coverage as provided in the past.

Diversity and Inclusion is one of our organization’s critical success factors. Our firm is focused on awareness, education and training, and mentorship in our efforts to hire, retain, and promote diverse employees. PENSION CODE STANDARDS & FIDUCIARY DUTIESThe fiduciary duties under most State Pension Codes mirror standards similar to those outlined in ERISA. ENFORCING PROVISIONS & LIMITATIONS ON LIABILITYState Pension Codes, and ERISA law, typically provide that participants, beneficiaries, fiduciaries and/or the Attorney General may bring suitsto enforce fiduciary duties and other provisions of the respective Pension Code.These Pension Codes often do not provide limitations, or at least not complete limitations, on liability. State Pension Codes generally permit, but do not guarantee, the indemnification of trustees and employees of the Fund – however, thisindemnification is provided for allegations other than willful misconduct or gross negligence (properly structured insurance programs willnot exclude allegations of willful misconduct or gross negligence).

Attached is the Summary of Administrative Expenses and Capital Expenditures of the State Universities Retirement System financial activity as of the 4th Quarter of Fiscal Year 2020 (July 1, 2019 – June 30, 2020). The total non-capital variance is under budget by 14.7%. Below is the explanation of the significant variances.

Expense Line Item Variance Explanation Salaries & Wages Under by $487,284 Not all positions were filled in the current year.

Budget is based on full staffing. Statistical & Tabulation- Operations/Application

Under by $582,290 There were some projects that either did not come to fruition, got a late start causing the spend carried over into FY21 or the project had substantial savings compared to the budget.

Actuarial Consultant Under by $162,930 The actuaries were not utilized as much as expected for special projects.

Professional & Artistic Services

Under by $372,501 FY20 Budget included $200k for a consultant that was not hired. Instead, the planned work will be done as part of the Voya project. Recruiting firms were also not utilized as much as expected in FY20.

Building and ground maintenance

Under by $332,741 FY20 Budget was high due an over-estimate of the cost related to 1801. This account was also offset by the Rental Income received ($107k) on the 1801 building which was not accounted for in the budgeting process.

Utilities Under by $77,480 FY20 Budget was high and the COVID shut down reduced utilization.

Surety, bond & insurance Over by $58,193 The Board voted to increase the limits for Cyber and Fiduciary insurance coverage.

Conference fees & expenses Under by $52,954 Actual expenses were down primarily due to COVID related restrictions.

Self-Managed Plan Redesign Effective Sept. 1; plan now known as the Retirement Savings Plan (RSP) During the months of July and August an in-depth communication campaign was conducted to educate members about the upcoming changes to the Self-Managed Plan. Copies of all materials sent to members can be found at surs.org/rsp.

In June, two employer seminars were held providing employers an overview of the redesigned plan. From July 8 – July 31, 27 member educational webinars were held with attendance of 2,052. From Aug 1- Aug 31 SURS defined contribution representatives affiliated with Voya conducted 275 individual appointments. Additionally, SURS own counselors conducted 111 SMP member appointments in July and August.

All mappable member assets were moved to Voya Financial and placed in the SURS Lifetime Income Strategy effective August 26, 2020. Assets were only out of the market 3 business days. Members gain access to their accounts at Voya on Sept. 1. At the time of this update, the implementation is in process so further information is not yet available. An update will be provided during the Sept. 10 investment committee meeting.

457(b) Deferred Compensation Plan Employers are now able to submit Employer Participation Agreements to SURS to enroll in the new SURS 457(b) Deferred Compensation Plan (DCP). Participation Agreements must be approved by SURS and then the proper programming will be setup between SURS and each employer. The first deductions for the DCP will begin being submitted to SURS on December 1, 2020. As of Aug. 27, three employers are signed on to start deductions on that date with additional employers expected to be added. All eligible employers must be enrolled by June 30, 2021.

Plan Choice Microsite & Materials In September, a new SURS educational Plan Choice microsite is being launched. The site is designed to help new members as they make the critical decision of which SURS retirement plan to choose. A demo of the site and screenshots will be available for those interested soon. The SURS Plan Choice Guide has also been redesigned.

Defined Benefit Claims Fiscal year-to-date, SURS staff has processed 868 total claims including lump-sum refunds, buyouts, retirements, disabilities, death and survivor benefits. Of the 282 retirements finalized, 37% were highest under Money Purchase, 59% General Formula and 4% other. The average age at retirement is 62 and the average length of service is 20.3 years. The average monthly annuity on the date of retirement is $2,615.

Approximately 11% of the finalized retirement claims included a refund of excess contributions and 22% included a refund of survivor contributions. Since July, the lump-sum payouts for these refunds and portable lump-sum retirements totaled over $12 million.

Approximately 13% of finalized retirement claims generated an employer 6% bill.

Member Satisfaction Fiscal year-to-date, SURS representatives conducted 632 individual counseling appointments, provided an additional 116 written estimates and conducted two educational webinars. In addition, representatives handled 18,500 incoming callers, and responded to approximately 1,200 member emails. SURS Employer Services conducted 4 virtual employer training sessions. The member webinars and individual counseling appointments conducted by Voya are in addition to these numbers. Since March 16th, all member education has been conducted via phone or webinar. Call volumes have been consistently high throughout the beginning of this fiscal year and many staff are in training which could contribute to a slightly lower than usual satisfaction rating. Overall, members remain very satisfied with the services we are providing especially during this uncertain time.

One hundred percent of members receiving counseling and a random sample of five percent of incoming callers received electronic surveys after their interactions with SURS. Our member satisfaction ratings fiscal year-to-date follows. The SURS lobby has remained closed throughout the COVID-19 pandemic, so no reception statistics are shown.

Overview

As of March 31, 2020, the average SMP participant’s account balance was $127,366 based on 22,647 participants, 14,257 active and 8,390 terminated, with participants’ investments totaling $2,884,458,446. 62.3% of participants’ assets were invested with Fidelity and 37.7% with TIAA-CREF. The average participant is invested in 3 funds.

Fiscal Year 2020 Distributions

For the fiscal year, 93 SMP members have retired and annuitized their account balance through Principal. The average age at annuitization is 62.7. The average monthly annuity is $1,110.54. 54 members annuitized their account balances through TIAA. The average age at annuitization was 63. The average monthly benefit was $1,473.30.

For the fiscal year, 237 SMP retirement eligible participants chose to forego an annuity in favor of a lump-sum distribution. 696 non-retirement eligible, terminated members have taken lump-sum distributions.

Education For the fiscal year, SURS has provided individual counseling to 454 SMP members, three Navigating the SMP webinars has been offered with attendance of 305. Plan Election Since January 1, 2011, 12,989 (18.6%) of the 69,820 Tier 2 new hires chose the SMP, 10.16% chose Traditional, 22.21% Portable and 49.02% defaulted to Traditional. 18.3% of all active SURS participants are in the Self-Managed Plan, 23.5% Portable, 15.4% Traditional, 42.8% Traditional by default.
