THE EXECUTIVE COMMITTEE RECOMMENDS THAT 4.020 hectares (9.934 acres), more or less, of vacant land being Part of Lot 19, Concession 3 EHS (CHING) and designated as Part 1 on Reference Plan 43R-35904, Town of Caledon, Regional Municipality of Peel, located to the west of Dixie Road and north of Mayfield Road, be purchased from Mayfield Road Portfolio Inc . (MRPI);

THAT the purchase price be $2.00;

THAT Toronto and Region Conservation Authority (TRCA) receive conveyance of the lands free from encumbrance, subject to existing service easements and subject to TRCA entering into an easement and maintenance agreement for a proposed noise attenuation barrier with Acklands-Grainger Inc. (‘AGI’) on lands shown as Part 1 on Reference Plan 43R-35904;

THAT the firm of Gardiner Roberts LLP, Barristers & Solicitors, be instructed to complete the transactions at the earliest possible date. All reasonable expenses incurred incidental to the closing for land transfer tax, legal costs, and disbursements are to be paid;

CARRIEDBACKGROUNDResolution #A94/10 at Authority Meeting #5/10, held on June 25, 2010, approved the Greenlands Acquisition Project for 2011-2015.

AGI intends to construct a distribution centre and associated improvements, on lands abutting the subject lands to the east. As a condition of the planning permit process, the Town of Caledon required AGI to build a noise attenuation barrier on the subject lands. The noise attenuation barrier is proposed to be a bermed strip of land having an elevation of approximately 2 metres, with plantings adding a further elevation of 2 metres. This barrier will function as a noise barrier allowing for the peaceful enjoyment of the abutting residential property which faces Mayfield Road.

MRPI has agreed to transfer the subject lands to TRCA in advance of applying for a permit for the development of the retained lands abutting the subject property to the north.

Upon TRCA obtaining title to the subject lands, the proposed noise attenuation barrier would be designed and constructed in accordance with terms and conditions satisfactory to TRCA staff.

Negotiations have been conducted with Scott Arbuckle of the IBI Group acting as agent on behalf of both MRPI and AGI.

TRCA staff and solicitors are satisfied with the terms and conditions set out in the easement and maintenance agreement which is in favour of AGI.

Attached is a plan showing the location of the subject lands and the noise attenuation barrier to be constructed.

RATIONALEThe subject property falls within TRCA's approved master plan for acquisition for the Etobicoke Creek watershed as outlined in the approved Greenlands Acquisition Project for 2011-2015. TRCA staff established the limits of the subject lands for conservation purposes (i.e. Part 1 on reference Plan 43R-35904), which includes a provincially significant wetland and a further strip of land acting as a buffer.

TAXES AND MAINTENANCEIn 2008, the Ministry of the Environment identified these lands as being part of the Heart Lake Wetland Complex. Based on TRCA’s preliminary review of the environmental criteria for lands that are eligible to receive a property tax exemption under the provincial Conservation Land Tax Incentive Program and TRCA’s own field data, it would appear that the subject property is eligible for a tax exemption. Furthermore, the addition of the subject parcel of land should not significantly impact TRCA's maintenance costs at this location.

RATIONALEThe subject lands fall within TRCA's approved master plan for acquisition for the Humber River watershed as outlined in the approved Greenlands Acquisition Project for 2011-2015. Through the review of Official Plan Amendment Application OP.06.002, Zoning By-law Amendment Application Z.06.005, and Site Plan Application DA.12.098 for residential redevelopment, TRCA staff established the limits of the open space land (i.e. Parts 1, 2, 4, 8, 10, 11 and 20 on Plan 65R-34523) which is located within the Regulated Area of a tributary of the Humber River valley corridor at this location.

TAXES AND MAINTENANCEBased on TRCA’s preliminary review of the environmental criteria for lands that are eligible to receive a property tax exemption under the provincial Conservation Land Tax Incentive Program and TRCA’s own field data, it would appear that the subject property may be eligible for a tax exemption. RES.#B60/14 - THE REGIONAL MUNICIPALITY OF DURHAMRequest for Permanent Easement for Sanitary SewerWest Shore Area/City of Pickering, Regional Municipality of Durham, CFN 50209. Receipt of a request from the Regional Municipality of Durham to provide a 35 metre extension to a permanent easement for the replacement of a portion of the Breezy Drive sanitary sewer located south of Sunrise Avenue and east of Westshore Boulevard, City of Pickering, Regional Municipality of Durham (Waterfront Pickering/Ajax Sector).

THE EXECUTIVE COMMITTEE RECOMMENDS THAT WHEREAS Toronto and Region Conservation Authority (TRCA) is in receipt of a request from the Regional Municipality of Durham to provide a 35 metre extension to the permanent easement for the replacement of a portion of the Breezy Drive sanitary sewer located to the south of Sunrise Avenue and east of Westshore Boulevard, in the City of Pickering, Regional Municipality of Durham;

AND WHEREAS it is in the best interest of TRCA in furthering its objectives as set out in Section 20 of the Conservation Authorities Act to cooperate with the Regional Municipality of Durham in this instance;

THEREFORE LET IT BE RESOLVED THAT a 35 metre extension of a permanent easement containing a total of 0.003 hectares (0.007 acres), more or less, be granted the Regional Municipality of Durham for the replacement of a portion of the Breezy Drive sanitary sewer, said land being Block J, Registered Plan M-7, City of Pickering, Region of Durham, designated as Part 8, 9, and 10 on Plan 40R-5635;

THAT consideration be the nominal sum of $2.00, in addition to all legal, survey and other costs be paid by the Regional Municipality of Durham;

THAT the Regional Municipality of Durham is to fully indemnify and hold harmless TRCA from any and all claims from injuries, damages or costs of any nature resulting in any way, either directly or indirectly, from the granting of this easement or the carrying out of any construction;

THAT an archaeological investigation be completed, with any mitigative measures being carried out to the satisfaction of TRCA staff, at the expense of the Regional Municipality of Durham;

THAT all lands disturbed by the proposed works be revegetated/stabilized following construction and, where deemed appropriate by TRCA staff, a landscape plan be prepared for TRCA staff review and approval in accordance with existing TRCA landscaping guidelines;

THAT a permit pursuant to Ontario Regulation 166/06, as amended, be obtained prior to commencement of construction;

THAT said easement be subject to approval of the Minister of Natural Resources in accordance with Sections 21(2) of the Conservation Authorities Act, R.S.O. 1990, Chapter C.27, as amended;

AND FURTHER THAT authorized TRCA officials be directed to take the necessary action to finalize the transaction including obtaining needed approvals and signing and execution of documents.

CARRIEDBACKGROUNDThe Regional Municipality of Durham has formally requested a permanent easement for the replacement of the eastern portion of segments of a sanitary sewer in order to reduce the risk of basement flooding in the West Shore service area. The primary source of flooding in this area is excessive stormwater inflow and infiltration of the sanitary collection system.

Improvements to private residences were determined to be one of the more costly options and would take the longest to implement. As a result, the preferred alternative (replacing segments of the sanitary sewer) will manage excess flow and meet the Regional performance objectives. The existing sanitary sewers along Vistula Drive, Essa Crescent, West Shore Boulevard, Vicki Drive, Greycoat Lane, Sanok Drive and Breezy Drive will be replaced with larger diameter sewers to improve the conveyance capacity of the local system in areas where basement flooding regularly occurs. However, only work between Sunrise Avenue and Beachpoint Promenade along the west side of Frenchman's Bay will fall within the TRCA Regulated Area. The existing 400 mm diameter sanitary sewer will be removed and replaced with a new 750 mm diameter sanitary sewer along the same alignment and will connect to an existing network of sewers at Beachpoint Promenade.

The Regional Municipality of Durham currently has a 20 metre wide easement for the existing sanitary sewer on TRCA-owned lands except for the last 35 metres. Durham is requesting a 20 metre wide easement for the remaining 35 metres, although staff has indicated they will try to complete work within 14 metres where possible.

The subject TRCA-owned lands were acquired from the Regional Municipality of Durham on February 16, 1983, under the Pickering/Ajax Lake Ontario Waterfront Acquisition Project.

No in-water work will take place. Work within the wetland area adjacent to Frenchman's Bay will take place in the winter when frozen ground conditions are more favourable for construction. All stockpiles have been removed and future access will be along the existing easement where the current sewer pipe is located.

PlantingsAll plantings disturbed by construction will be stabilized and, where deemed appropriate by TRCA staff, vegetated with native woody and herbaceous plant material in accordance with existing TRCA landscaping guidelines. The landscape plan will form part of the permit pursuant to Ontario Regulation 166/06, as amended.

A plan illustrating the permanent easement location is attached.

THE EXECUTIVE COMMITTEE RECOMMENDS THAT WHEREAS Toronto and Region Conservation Authority (TRCA) is in receipt of a request from the Town of Caledon to convey certain lands for the reconstruction and widening of Kennedy Road to the north of Mayfield Road in the Town of Caledon, Regional Municipality of Peel;

AND WHEREAS it is in the opinion of TRCA that it is in the best interest of TRCA in furthering its objectives, as set out in Section 20 of the Conservation Authorities Act, to cooperate with the Town of Caledon in this instance;

THEREFORE LET IT BE RESOLVED THAT TRCA-owned lands containing 0.0135 hectares (0.0333 acres), more or less, be conveyed to the Town of Caledon for the reconstruction and widening of Kennedy Road, said lands being Part of Lot 19, Concession 1, East of Hurontario Street, Regional Municipality of Peel, designated as Part 1 on Registered Plan 43R-35719;

THAT a temporary grading easement be granted to the Town of Caledon involving a parcel of TRCA-owned lands containing 0.0301 hectares (0.0743 acres), more or less, for the reconstruction and widening of Kennedy Road, said land being Part of Lot 19, Concession 1, East of Hurontario Street, Regional Municipality of Peel, designated as Part 6 on Registered Plan 43R-35719;

THAT consideration be the nominal sum of $2.00, in addition to all legal, survey and other costs to be paid by the Town of Caledon;

THAT an archaeological investigation be completed, with any mitigative measures being carried out to the satisfaction of TRCA staff, at the expense of the Town of Caledon;

THAT all permits pursuant to Ontario Regulation 166/06, as amended, be obtained by the Town of Caledon prior to commencement of any construction;

THAT any TRCA lands disturbed by the proposed works be revegetated / rehabilitated to the satisfaction of TRCA staff;

THAT the Town of Caledon is to fully indemnify and save harmless TRCA from any and all claims for injuries, damages or loss of any nature resulting in any way either directly or indirectly from this sale, temporary easement or the carrying out of construction;

THAT said conveyance be subject to approval of the Minister of Natural Resources in accordance with Section 21(2) of the Conservation Authorities Act, R.S.O. 1990, Chapter C.27, as amended;

AND FURTHER THAT the authorized TRCA officials be directed to take the necessary action to finalize the transaction including obtaining needed approvals and signing and execution of documents.

CARRIEDBACKGROUNDThe subject lands form part of a larger acreage acquired by TRCA from Okson Holdings Inc. on May 29, 1979 under the Etobicoke Creek Flood Plain Component of the Lands Acquisition Project. The Town of Caledon has conveyed lands to TRCA over the years for nominal consideration of $2.00 and has requested that the TRCA-owned lands required for the reconstruction and widening of Kennedy Road be conveyed for the nominal consideration of $2.00.

Kennedy Road will be reconstructed and widened from a two-lane road to a four-lane road. The reconstruction will also include new concrete curbs and gutters, a new storm sewer system throughout the limits of the project, 1.5 m concrete sidewalks on the east side of the road, a 3 m wide asphalt multi-use trail on the west side of the road and street lighting. Furthermore, new fencing will be installed at Highway 410 connecting to existing fencing. To accommodate the four-lane road and the 3.0 metre wide multi-use trail it will be necessary for the Town of Caledon to fill and grade on the adjacent TRCA-owned land. The Town of Caledon is also requesting a temporary grading easement for this work. Any fill deposits on TRCA land will meet Ministry of the Environment standards and will be replanted to the satisfaction of TRCA staff.

A plan illustrating the location of the fee simple conveyance and the temporary grading easement is attached.

PlantingsAll vegetation removed during construction will be replaced with native herbaceous and woody plant material.

FINANCIAL DETAILSThe Town of Caledon has agreed to assume all legal, survey and other costs involved in completing this transaction.

THE EXECUTIVE COMMITTEE RECOMMENDS THAT the Toronto and Region Conservation Authority's (TRCA) Code of Conduct be amended as outlined in Attachment 1, including provisions for perceived conflict of interest, restrictions to rental of TRCA homes and administrative amendments.

CARRIEDBACKGROUNDOn June 10, 2014, City of Toronto Council approved the following:

1. City Council Request the Toronto and Region Conservation Authority (TRCA) to review and update their Conflict of Interest Provisions and address any gaps in their provisions including the inclusion of a perceived conflict of interest in their definition of conflict of interest and provisions respecting special treatment of employees.

2. City Council request the Toronto and Region Conservation Authority to work with the City's Real Estate Services Division to review Toronto and Region Conservation Authority leasing procedures thereby ensuring best practices.

3. City Council request the Toronto and Region Conservation Authority to adopt the operational procedures implemented by the City regarding rental accommodation and City Policies and procedures related thereto.

4. City Council request Toronto and Region Conservation Authority to adopt the City of Toronto Conflict of Interest Policy that would include the avoidance of perceived and or actual conflict of interest.

5. City Council request the City Manager to report back to the Executive Committee should the Toronto and Region Conservation Authority fail to implement the requests in Recommendations 2,3, and 4 above.

TRCA staff has undergone a review of TRCA's Code of Conduct with this request in mind, in consultation with TRCA's legal counsel and City staff, and has recommended amendments as outlined in Attachment 1. Also included are recommended changes as an administrative clean up to reflect current public policy and practices.

RATIONALEStaff is recommending that TRCA's Code of Conduct be amended to reflect the intent of the new City of Toronto Public Service Bylaw containing the Conflict of Interest policies, and current standards in public policy. The recommended changes are bolded in Attachment 1 from excerpts of TRCA's Code of Conduct (the entire Code of Conduct is available to Members upon request).

In addition, currently three homes that are not dam operator homes are rented to TRCA staff. As per the Residential Tenancy Act, staff may remain as a TRCA tenant as long as they are in good standing, as per their lease agreement with TRCA, as the Act prohibits TRCA from evicting these staff members solely as a result of this recommended change in policy.

Attachment 1

1. Any information which is personal information, third party information, confidential information or information that is not available to the public generally must not be used or disclosed, except in accordance with Municipal Freedom of Information and Protection of Privacy Act or required by law. The obligation to maintain confidentiality, except as required or permitted by law or authorized by TRCA, continues after the employee leaves the employment of TRCA.

2. 2.6 Commitment of Proper Use of TRCA Property

a) TRCA employees may not make use or permit the use of any TRCA property including lands, physical assets, facilities, equipment, supplies or other resources for activities not associated with the proper performance of their duties, unless otherwise indicated in Sections 2.6b) and 2.6c) below, or in any other TRCA policy. Any additional exceptions must be approved by Directors Committee.

b) TRCA employees may directly book normally permitted space and activities in a TRCA facility at the approved rate identified in the fee schedule for public facilities and programming, or any other TRCA policy or guideline related to fees.

c) TRCA employees, retirees or Authority Members shall not rent or lease from TRCA any properties or residences for their personal use, the use of their family members, friends or business associates, nor use their influence in affording an advantage or preferential treatment to any of the aforementioned individuals in their use of TRCA property, unless so permitted in 2.6b) above. The exception to this policy is dam operator homes where tenancy in a TRCA property/residence is a condition of employment. In these instances, when the employee leaves his or her position, the tenancy ends.

3. TRCA employees shall not seek or accept any gifts, entertainment, payments, fees, services, valuable privileges or other favors from any person or business organization that influences or could be perceived to influence the performance of the employee’s duties except as provided below-

4. Gifts, favors and entertainment may be given to others at TRCA expense only if they are consistent with accepted business practice, such as providing vendors with a better understanding of TRCA operations and with the approval of their supervisor.

5. 2.8 Commitment to Personal Integrity - Outside Work or Business Activities

Definitions

Outside Work or Business Activities includes investment in or participation with or employment with an external organization to TRCA including but not limited to being an advisor, an employee, or a volunteer.

The Policy

Employees may not engage in outside work or business that compete with services or conflicts with his or her duties with TRCA. Employees may participate in business activities outside of TRCA business hours that do not compete with TRCA activities but all such arrangements need to be disclosed and approved in advance by the employee’s immediate supervisor and cannot benefit from confidential information obtained during his or her employment with TRCA. This is due to the potential for conflict of interest and that could impair or be perceived to impair, the employee’s ability to carry out their duties and responsibilities. If such a conflict exists, the employee may be asked to transfer to a new position or to choose between continued employment at TRCA and the outside activity.

Responsibility to avoid conflicts of interest or the perception of conflicts of interest arising from outside activities is the sole responsibility of the employee and any possible situation should be discussed with the employee’s immediate supervisor. It is expected that the employee will act in the best interest of TRCA at all times.

6. 2.12 The Commitment to Avoiding Conflict of Interest

Definitions

A conflict of interest refers to a situation in which an employee has a private interest that could compete with or that may be perceived to compete with his or her job duties and responsibilities.

A conflict of interest can also be a situation where an employee can use his or her position for private gain or expectation of private gain, non-monetary or otherwise. A conflict may also occur when the private interest benefits an employee’s family, friends or organizations in which the employee or his or her family or friends have a financial interest.

Private or personal interest means a relationship, obligation, duty, responsibility or benefit unique to the employee or a person related to the employee.

An employee is not allowed to use his or her positions to give any one preferential treatment that would advance his or her own interest or that of any party where such advance is contrary to the interests of TRCA or would be otherwise contrary to the expectations set out in these provisions.

In situations where the employees of TRCA are family members of another TRCA employee, there cannot be a direct reporting relationship between the family members, or with their recruitment or appointment to the TRCA position.

7. Harassment may be related to race, ancestry, place of origin, colour, ethnic origin, gender identity and gender expression, receipt of public assistance (in housing only), citizenship, creed, sex (including pregnancy and breast feeding), sexual orientation, age, record of offences (in employment only), marital status (also single status), family status or disability.

The subject TRCA-owned lands are situated within the Regulated Area and Regional Storm flood plain of the Humber River valley corridor at this location.

In accordance with TRCA policy, TRCA Property staff will circulate this request for disposal to TRCA technical staff, City of Vaughan and Regional Municipality of York for review and comment. Staff will report to the Executive Committee on the comments received and make a recommendation to either retain the property or declare it surplus. CARRIEDBACKGROUNDAt Executive Meeting #1/14, held on March 7, 2014 Resolution #B7/14 in regard to IRE-Yonge Developers Inc., 4155 Yonge Street, Proposed Official Plan, Zoning By-law Amendment and Site Plan Control Applications – Ontario Municipal Board Order, City of Toronto, North York Community Council Area presented recommendations in response to an Ontario Municipal Board decision with respect to development within a valley corridor and the natural heritage system. However, the report was referred back to staff for a report to a future Executive Committee meeting.

The purpose of this communication is to report on the outcome of an Ontario Municipal Board hearing regarding the proposed development of 4155 Yonge Street in the City of Toronto.

At Executive Committee Meeting #1/12, held on March 2, 2012, Toronto and Region Conservation Authority (TRCA) Planning and Development staff reported on Official Plan Amendment and Zoning By-law Amendment applications made to the City of Toronto in order to re-develop 4155 Yonge Street with a 12 storey residential condominium to be partially constructed into the valley slope. The report is available at www.trca.on.ca/dotAsset/130590.pdf.

On April 16, 2012, the owner applied for a TRCA permit under Ontario Regulation 166/06 for the same development proposal as was subject to the Official Plan Amendment and Zoning By-law Amendment applications at the City. TRCA staff did not support the proposal as it would have a negative impact on the conservation of land, and it had not yet received Official Plan, Zoning or Site Plan approvals from the municipality.

At Executive Committee Meeting #4/12, held on June 1, 2012, the Committee sat as a Hearing Board to consider the application. The staff report recommending refusal of the application is available at www.trca.on.ca/dotAsset/137343.pdf. At the meeting, the Hearing Board adopted Resolution #B62/12 approving the permit.

The owner appealed the Official Plan Amendment, Zoning By-law Amendment and Site Plan Control applications to the Ontario Municipal Board around the time of the Hearing Board’s approval of the TRCA permit. City of Toronto staff position at the time was unsupportive of the applications for numerous reasons including traditional planning matters such as height and massing, but primarily due to the impacts on the Natural Heritage System which were inconsistent with the Planning Act, Provincial Policy Statement and the City of Toronto Official Plan.

The OMB hearing was held from April 29th to May 6th, 2013. TRCA Planning and Development staff was subpoenaed by the City of Toronto to provide their independent professional evidence against the application. Other evidence was presented in opposition to the proposal by ecologists, a forester and independent professional planners on behalf of the City of Toronto and the Yonge Ridge Homeowners Association. The owner relied heavily on the TRCA Hearing Board’s approval of the permit.

On June 7, 2013, the Ontario Municipal Board issued an Order respecting File No. PL120694 (www.omb.gov.on.ca/e-decisions/pl120694-Jun-07-2013.pdf). The Order states that:

“…the proposed development and amendments do not represent good planning and the Board’s approval of these is not in the public interest.” The proposal “…– to remove natural area first and then seek to restore – runs counter to the themes of protection of the natural heritage system in the City’s and TRCA’s policies and is, therefore, flawed and assigned little weight by the Board for the reasons given. Approval of this proposal would result in a net loss of ecosystem services and the permanent removal of natural feature that cannot be recovered. Accordingly, the appeals are dismissed.”

The hearing officer raised a number of concerns with the applicant’s proposal in reaching his decision, including:

The Natural Heritage Impact Study (NHIS) submitted by the applicant assumed that more 1.than half of the valley slope/natural feature would be removed and developed, and that this would be compensated for by a combination of clearing the remaining slope and planting native species, as well as ‘green’ initiatives on the new building such as greenroofs and permeable paving. The hearing officer found “…that the NHIS does not address sufficiently how the proposed development is consistent with the relevant provincial, municipal and TRCA policies” (OMB File No. PL120694, pg. 19). These policies include the Provincial Policy Statement, the City of Toronto Official Plan and TRCA’s Valley and Stream Corridor Management Program (VSCMP). “In the Board’s determination, this approach is not consistent with the well-stated premise in the official plan’s environmental policies and various TRCA documents…that natural features must be protected and preserved first before one begins to ‘restore’ and ‘enhance’” (pgs. 21-22). The decision states that “…the Applicants’ approach is to develop first and restore second. This is inconsistent with the purpose of the VSCMP as cited and cannot be used as a means to justify the proposed removal of the natural feature” (pg. 35). Throughout the decision, the hearing officer refers to the Natural Heritage System policy direction from the provincial level down being “offended” by the application (pgs. 23, 26, 28, 29 31, 34 and 36).

TRCA staff consider the issue of “cumulative impacts” when reviewing development 2.applications. Cumulative impacts to the Natural Heritage System occur by the consistent “nibbling away” (pg. 20) of the natural features due to successive development within the System. As such, decisions with respect to preventing the loss of the Natural Heritage System need to be consistent. The hearing officer states that the “…Board also finds persuasive the statement of TRCA staff that the proposed development creates a significant loss of trees within the valley and a significant loss of the valley slope landform which cannot be recreated. This alteration to the valley would create a loss to its overall habitat value and would contribute to the cumulative loss of natural cover in Toronto.” (pg. 36).

The proposed development would have extended well into the valley slope as opposed to 3.providing a minimum 10 metre buffer from the bottom of the valley slope. The hearing officer recognized that this buffer is consistent with the City’s Official Plan and “…something that the TRCA calls for on a consistent basis to protect the natural heritage system”. The Board determined that the lack of buffer “…would be detrimental to the natural functions of the natural heritage system” (pg. 16).

The Board considered the fact that the TRCA Hearing Board granted a TRCA permit for the 4.proposed development. The hearing officer concluded that “…the TRCA Review Board clearly failed to accord sufficient weight to the direction and central premise of the City’s official plan policies that natural heritage features should not be removed…” and that it “…also failed to safeguard and uphold the guiding principles of the TRCA’s own policies to protect the valley and stream corridors from development that can cause permanent loss to natural features” (pg. 24).

CONCLUSIONThe OMB hearing officer placed great weight on existing provincial, conservation authority and municipal planning policies when rendering his decision. The decision considered the natural heritage system policies and cumulative impacts to the ecological health of the watersheds when refusing the development application.

Additional Rent: Approximately $13.69 (2014) per square foot annually for operating costs, realty taxes and a management fee. These costs include maintenance, insurance, utilities, taxes, administration and management of the building.

Early Occupancy: TRCA will have the right to occupy the entire building from June 15, 2014. No basic rent or additional rent will be payable on the first floor until July 1, 2016 and no basic rent or additional rent will be payable on the second floor until July 1, 2015.

Option to Extend: TRCA will have a right to extend the lease for an additional five year term subject to negotiating an acceptable rent rate.

Tenant Inducements: 2748355 Canada Inc. had offered $13.00 per square foot for tenant improvements to the building. The cost of the improvements staff is proposing (carpet, painting, ceiling repairs, minor moving of internal walls) is estimated below the $13.00 per square foot offered. In lieu of the tenant inducements, 2748355 Canada Inc. will provide six months of additional free rent. This is equivalent to approximately $15.00 per square foot.

RATIONALEPresently, TRCA's short term office issues primarily relate to the Head Office and the Parc Downsview Park facilities. Head Office is just under 24,000 square feet in size with approximately 175 staff and Parc Downsview Park has 18,119 square feet of office space with approximately 115 staff. Both locations are at or over capacity.

The leasing of 101 Exchange Avenue provides just over 61,000 square feet of office space which is approximately a 31% increase in space and will allow us to deal with current issues with these two facilities such as:

Overcrowding.

Shortage of meeting space. The new location will include space for large group meetings,

medium size meetings and small dedicated "team" meeting spaces. Insufficient storage space.

Insufficient space for design team reviews of complex projects, layout, drawing review and

equipment space for production.Lack of "public service" space for the general public to meet, sit and conduct counter

consultations.

The expiring of the lease for Parc Downsview Park on July 31, 2014 provides an opportunity to consolidate the two facilities at one location and resolve the current office accommodation issues.

FINANCIAL DETAILSThe lease of additional office space will result in additional operating costs. To mitigate the additional costs, staff is proposing the following:

One of the major expenses in the lease of this building is realty taxes, which are

approximately $240,000 per year. Based on preliminary discussions with York Region and City of Vaughan staff, TRCA will be is eligible for a 40% realty tax rebate under the Rebates for Charities provision of the Municipal Act. During the 2015 budget discussions with York Region, staff will investigate options to recover the remaining 60%.Staff has had preliminary discussions with CBRE Limited, the brokerage company that

assisted with the lease of 101 Exchange Avenue regarding the short term lease of 5 Shoreham Drive. The broker has indicated that TRCA should be able to lease the building on a short term basis. Once the schedule for moving staff from Shoreham Drive to 101 Exchange Avenue has been determined, staff will further explore leasing opportunities for 5 Shoreham Drive.

With the options identified above, the additional operating costs can be accommodated within the existing budget parameters of TRCA's municipal partners during the term of the lease.

CARRIEDBACKGROUNDAbsence due to illness and turnover rates statistics are tracked on a yearly basis to look at trends in wellness of the staff and to develop strategies to address issues.

ResultsThe overall average number of absence due to illness days taken by TRCA employees in 2013 was 3.98. This is down from 4.69 days in 2012 and 4.86 days in 2011. TRCA is well below the Public Sector average of 12.4 days and the private sector 8.3 days (Source Statistics Canada 2012).

For employees with high absentee rates (those with more than 10 days absence), the average lost time was 27.7 days primarily due to chronic illnesses and significant injuries. There were 20 people in the high user category. For those with less than 10 days absence, the average was 2.85 days. There were also 132 employees with no absence due to illness in 2013.
