The Canadian Space Agency, an agency of the Government of Canada, duly created under the Canadian Space Agency Act (1990, c. 13), herein acting and represented by Gilles Leclerc;. duly authorized as he so declares. (Hereinafter referred to as "CSA'~)

The Royal Institution for the Advancement of Learning (McGill University), duly created in accordance with its charter. (Hereinafter referred to as the "Proponent")

WHEREAS CSA wishes to encourage the adoption of the CSA Class Grant and Contribution Program to Support Research, Awareness and Learning in Space Science and Technology;

WHEREAS the Proponent has submitted to CSA a Proposal for the funding of a Project called Percolating Reactive Waves in Particulate Suspensions (PERW AVES), which qualifies for support under the Program and forrns part of this Agreement as Annex A; ·

WHEREAS CSA and the Proponent agree that in order for the Proponent to develop ~nd implement the Project as described in Annex A, the Proponent will require financial assistance from CSA; and;

WHEREAS CSA is willing to provide financial assistance toward the Project in the manner and upon the terrns and conditions hereinafter set forth;

THEREFORE, CSA and the Proponent agree as follows:

1. INTERPRETATION

1 .1 In this Agreement:

II Agreement" means this document and the attached Annexes. "In the case of a conflict between this document and the Annexes, the terms of this document shall take precedence;

"Completion Date" means the date the Proponent shall complete the Project as specified in Paragraph 4.2;

"Fiscal Year" means the period beginning on April 1M of any year and'ending on March 31 51 in the next year;

"Intellectual Property" means technical and scientific information and know­how which is or may be protected by way of, but not limited to, patents, industrial designs, rights in integrated circuit topography and trade secrets. It includes all proprietary information including, but not limited to: algorithms; logic flow diagrams; source code; computer programs; system software; application software; documentation; drawings; interface hardware; corrections; manuals; upgrades; know-how, whether or not this proprietary information can be protected under patent, trademarks, copyrights, industriai design, and rights in integrated circuit topography, or trade secrets.

"Project" means the activity described in Annex A and submitted by the Propqnent in the Proposal;

"Pre>ponent'' means the juridical person who submits a proposal;

"Proposal" means a written document including at least a backgrouJ:td, purpose, work description, results expected, and a budget submitted by the Proponent, which may be accepted by CSA for a specific Project; and

Stacking Limit" means the maximum government financial assistance for a project. The approved project will be eligible for total government assistance of up to 1 000/o of total project costs.

1.2 Grammatical variations of the above terms have similar meanings. Words importing the singular number only shall include the plural and vice versa.

2. REPRESENTATIONS AND WARRANTIES

2.1 The Proponent represents and warrants that all factual matters contained in the Proposal and all supporting material submitted are true and accurate, and that all estimates, forecasts and other related matters involving judgement were prepared in good faith and to the best of its ability, skill and judgement.

2.2 The Proponent represents and warrants that he will maintain the conditions used in determining its en~itlement and eligibility to the Grant for the duration of the agreement and to inform CSA in writing of any changes that could impact on its entitlement and eligibility to the Grant.

COMING INTO FORCE ~

This Agreement comes into force when signed by the Parties.

CONDUCT OF PROJECT

The Proponent shall carry out the Project promptly, dilig~ntly and in a profeSsional manner and in accordance with the terms and conditions of this Agreement.

The Proponent shall complete the Project by March 315\ 2015, unless terminated

earlier pursuant to the provisions of this Agreement.

The Proponent shall comply with all applicable federal, provincial and municipal laws in relation to the Project.

The Pr9p6nent shall provide any information requested by CSA to satisfy its obligations under the Can'adian Environmental Assessment Act as a result of the Project. The Proponent shall notify CSA of any changes to the Project that could impact on the potential environmental effects asseSsed for the Project.

Prior to any disbursement resulting from this Agreement, the Proponent must provide proof that he has complied with the provisions of the Act respecting the Ministere du Conseil executifdu Quebec (L.R.Q., c. M-30).

FUNDING

Notwithstanding any other provision of this Agreement, CSA's liability under this Agreement shall not in any circumstances exceed Six Hundred and Seventy Three Thousand and Ninety Nine dollars ($673,099).

5.2 The Proponent can only use the 6rant to pay for items, goods or services used directly for the Project, as detailed in the Annex A, and for which eligibility is defmed in Annex B. ·

6. METHOD-OFPAYMENT

6.1 Upon signature of this document by both parties, CSA agrees to disburse to the Proponent an amount not to exceed the total liability outlined in paragraph 5.1 of the current Agreement, as per the following disbursement schedule:

6.1.1 Fiscal year 2011-2012 of the CSA: One Hundred Fifty One Thousand dollars ($151,000);

6.1.2 Fiscalyear2012-2013 oftheCSA: OneHundredSeventyEight ·· Thousand and Five Hundred and Fifty Eight dollnrs ($178,558);

6.1.3 Fiscal year 2013-2014 oft~e CSA: One Hundred Seventy Two Thousand and Two Hundred and Ten dollars·($172,210);

6.1.4 Fiscal year 2014-2015 of the CSA: One Hundred Seventy One Thousand and Three Hundred and Thirty One dollars ($171,331).

6.2 Before any subsequent disbursements are made in the next fiscal years, the Proponent agrees to provide to CSA, 30 days prior to the disbursement date of each fiscal year, with a declaration confirming their continuous eligibility to the Grant as originally presented in its Proposal.

6.3 The first disbursement will be made following the signature of this agreement. Subsequent yearly disbursements will be made in each fiscal year covered by this agreement. CSA wiJJ disburse as soon as practicable, in accordance with its· standard operating procedures, when CSA is satisfied that all conditions {including reports) have been met by the Proponent and entitling the Proponent to receive the disbursement.

CSA may compile and publish information contained in the documents comprising the Agreement and arising from its performance. CSA may publish the Proponent's name and address, the amount of the Grant, the type of activities funded and the title of the Project.

The Proponent has the right fo publish, in any form, the results of the Project, or any other information prepared or produced as a result of this Grant, and is not required to obtain the consent of CSA to do so.

The Proponent will acknowledge the financial support ofCSA in all public information produced as part of the Project.

The Proponent agrees to provide the internet link of publications related to the project. In addition, it allows CSA to publish this link on its website.

REPORTS

The Proponent agrees to submit the reports on the results of the Project detailing the outcomes/results and performance indicators/measures of the Project under this Agreement on an annual basis or otherwise requested by CSA (CSA's template to be provided), as outlined in the Class Grant Program Overview for the Research Component. This report will also include a summary of the CSA funds utilization and eligibility as defined in Annex B of this agreement.

The Proponent agrees to submit a biannual technical progress report in which advancement of the work, events and issues will be reported on, and scientific results will be provided. The report shall be sufficiently detailed to allow an understanding of the work and should be complemented with pictures, videos and presentation material.

9.3 The Proponent agrees to submit, within sixty (60) days following completion of the Project covered by this Grant. a Project report that describes final research results, CSA funds utilization, and all confirmed sources of funding.

10. INTELLECTUAL PROPERTY

10. I All Intellectual Property that arises in the course of the Project shall vest in the Proponent.

I 0.2 The Proponent hereby grants to CSA a non-exclusive, irrevocable, world-wide, free and royalty-free license in perpetuity to use or sub-license the use of any such Intellectual Property for non-commercial governmental purposes.

l 0.3 The Proponent shall supply to CSA the reports and documents described in Annex A or as otherwise required by CSA under Article .9 (Reports), and the Proponent hereby grants to CSA a non~exclusive, irrevocaqle, world-wide, free and royalty­free license in perpetuity to use and modify such reports and documents for non­commercial governmental purposes.

11. NOTICE

12. AMENDMENT

12.1 No amendment of this Agreement or waiver of any of its tem1s and conditions shall be deemed valid unless effected by a written amendment signed by the ·duly authorized representative of the Parties.

13. ACCOUNTS AND AUDIT

13.1 The Proponent will, at his own expense, preserve all information and documents necessary to establish· its eligibility and entitlement to the Grant, and will make these documents available to CSA forthwith upon request until expiration of a period of six (6) years after the Completion Date of the Project. CSA will have the right to conduct, at its expense, such audits as it may deem necessary to evaluate the Proponent's eligibility and entitlement to the Grant.

13.2 ff, at any time, any discrepancy is identified between the amounts disbursed by CSA and the amounts actually disbursable under this Agreement, the appropriate adjustments shall be promptly made between the Parties. If there has been an overpayment by CSA, the amount of the overpayment shall constitute a debt to CSA.

13.3 Proponent shall !ssue repayment cheques to the Receiver General for Canada and forward them to .CSA. Interest will-be charged on all overdue repayments in accordance with the Interest and Administrative Charges Regulations. These Regulations are available on the Internet at the following address (www.tbs-sct.gc.ca). ·

13.4 The Proponent will, at his own expense, preserve all information and documents necessaty to establish its eligibility and entitlement to the Grant, and will make these documents available to the Auditor General of Canada forthwith upon

request for the purposes of an inquiry under subsection 7.1 (1) of the Auditor General Act until expiration of a period of six (6) years after the Completion Date of the Project.

14. ACCESS

14. I The Proponent shall ensure that CSA has access during normal working hours to any premises or place where the Project is being carried out for the purposes of evaluation of the Proponent's eligibility and entitlement to the Grant or an inquiry under subsection 7. I (1) of the Auditor General Act.

15. COMPENSATION

15. I Upon request, the Proponent agrees to declare to CSA: a) Any amount payable to the Government of Canada in compliance with

Canadian law and Agreement;

b) Any amount owed to the Proponent by the Government of Canada in compliance with Canadian law and Agreement. ·

In addition, the Proponent recognizes that the amount owed to him by the Government of Canada may be offset by amounts payable to the Government of Canada.

16. INDEMNITY

16.1 The Proponent shall indemnify and save harmless GSA and its minister, employees and agents, from any and all claims, demands, losses, costs (including lawyers' fees), damages, actions or proceedings resulting from or related to any ·wilful misconduct or negligent act or omission of the Proponent or its employees and agents in the performance of this Agreement, except to the extent caused by a breach of duty of GSA or its minister, employees-and agents.

I 6.2 The Proponent shall indemnify and save harmless CSA and its minister, employees and agents, from any and all claims, demands, losses, costs (including lawyers' fees), damages, actions or proceedings resulting from or related to any claim, demand or action made by a third party against them or any of them based upon GSA's capacity-as a provider of financial assistance under this Agreement, including, without limitation, any claim in respect of materials or services provided by a third party to the Proponent or to a subcontractor of the Proponent.

16.3 The Proponent shall indemnify and save harmless CSA and its minister, employees and agents, from any and all claims, demands, losses, costs (including lawyers' fees), damages, actions or proceedings resulting from or related to the

Proponent or its employees and agents entering into a loan, capital lease or other long term obligation in relation to the Project.

17. DEFAULT

17.1 CSA may, by giving written notice to the Proponent, tenninale this Agreement in whole or in part, and require the repayment of all or any part of the grant if the Proponent has breached any warranty or obligation under the Agreement or made any misrepresentation in its Proposal for funding.

18. LEGAL RELATIONSHIP

18.1 Nothing contained in this Agreement shall create the relationship of principal and agent, employer and employee, partnership or joint venture between the Parties.

18.2 . The Proponent shall not·make any representation that:

a) the Proponent is an agent ofCSA; or b) could reasonably lead any member of the public to believe that the Proponent

or its contractors are agents of CSA.

19. MEMBERS OF THE HOUSE OF COMMONS AND SENATE

19.1 No Member of the House of Commons and the Senate shall be admitted to any share or part of this Agreement or to any benefit arising therefrom.

20. CONFLICT OF INTEREST

20.1 It is a term of this Agreement that no individual, for whom the post-employment provisions of the Conflict' of Interest and Post-Employment Code for Public Office Holders or the Values and Ethics Code for the Public Service apply, shall derive a direct benefit from this Agreement unless that individual is in compliance with the applicable post-employment provisions.

21. GOVERNING LAW

21 . J This Agreement shall be interpreted in accordance with the applicable federal laws and the laws in force in the Province of Quebec.

22. ASSIGNMENT

22.1 This Agreement shall not be assigned in whole or in part by the Proponent without the prior Written consent of CSA and any assignment made without that consent is void and of no effect.

23. CONFIDENTIALITY

23. I The Proponent and CSA will mutually ensure that infonnation of a confidential nature will be treated as confidential. Any doc'uments that the Proponent provides to CSA and which it considers to be confidential in nature will be marked clearly and appropriately.

23.2 The Proponent and CSA will use all reasonable efforts to protect any confidential infonnation from disclosure to any third party. Such efforts will be, in the case of CSA, governed by CSA 's Access Jo Information and Privacy Acts, and for the Proponent, no less than those used by the Proponent to protect its own confidential information.

24. DISPUTE RESOLUTION

24.1 If a dispute arises relating to the application or interpretation of this Agreement, the parties will attempt to resolve the matter through good faith negotiation and may, if necessary and the parties consent in writing, res61ve the matter through mediation by a mutually acceptable mediator or arbitration in accordance with the Commercial Arbitration Code set out in the schedule to the Commercial Arbitration Act and all regulations made pursuant to the Act.

25. APPROPRIATION

25.1 The disbursement of monies by CSA under this Agreement is subject to there being an appropriation by Parliament for the Fiscal Year in which the payment of monies is to be made.

25.2 Notwithstanding any other provision of this Agreement, CSA may reduce or cancel its financial contribution to the Project upon written notice· to the Proponent in the event that the funding levels for CSA are changed by Parliament during the term of this Agreement. In the event that CSA reduces or cancels its financial contribution, the Parties agree to amend ·the Project and the Eligible Costs of the Project, namely this Agreement, to take into account the reduction or cancellation of CSA' s financial contribution.

Eligible Costs

1. Definitions:

Accommodation: For these types of expenses, reasonable costs will be reimbursed.

Acquisition or rental of equipment: Consists of equipment, including software rented, acquired or constructed 'exclusively for the project. ln order to be eligible, such equipment must be identified in the project cost estimates, and approved by the CSA. All such equipment shall be charged to the project at the net price, including all costs incurred to get the equipment operational after deducting all trade discounts, rebates and similar charges. The PST, HST and GST should be excluded.

Consultant services: The nature of services to be acquired shall be set out in the proposal estimates. The amount eligible for a consultant shall be the actual contract amount. The CSA reserves the right to approve only a portion of the consultant fees submitted .

Data management: Can include, but is not limited to, data archiving.

Licenses and permits fees: Can include, but is not limited to, software licenses.

Marketing and printing services: This includes the development of a marketing plan, the hiring of marketing expertise to implement the plan and related marketing activities such as, but not limited to, labelling, packaging, promotional materials, advertising, product demonstrations and participation at trade shows.

Meal allowances: Unless stated otherwise iri the funding agreement between the CSA and the recipient, Treasury Board rates shall be used in reimbursing expenses such as meeting with the CSA officials and any other project activities (e.g. project planning ·and review meetings between the recipient and its partners).

Overhead (administrative) costs (not to exceed 20% of eligible costs for universiti~s and 15% for other eligible recipients: This represents expenses of doing business that are not

readily identified with a particula~ project or activity, but are necessary for the general operation of the organization and the conduct of activities it perfor-ms. In theory, costs like heat, light, accounting and personnel might be charged directly if little meters could record minutes specifically related to the project. Practical difficulties preclude.such an approach.

Publications and communication services: Jncludes publication fees, report preparations, web qevelopment and animations. .

Salaries and benefits:

a) Salaries include wages for a:lt personnel with direct involvement in the project such as, but not limited to, engineers, scientists, technologists, researchers, project managers, students and administrative assistants. AU eligible personne.l must be employees on the recipient's payroll. Payment in tenns of shares, stock, stock options and the like are not eligible. The amount invoiced shall be actual gross pay for the work perfonned and shall include no markup for profit, selling, administration or financing.

The eligible payroll cost is the gross pay of the employee (normal periodic remuneration b~fore deductions). Nonnal periodic remuneration rates are the. regular pay rates for the period excluding premiums paid for overtime or shift work. The payroll rate does not include any reimbursement or benefit conferred in lieu of salaries or wages. When hourly rates are being charged for salaried personnel, the hourly rates shall be the periodic remuneration (annual, monthly, weekly, etc.) divided by the total paid hours in the period including holidays,

· vacation and paid sickness time.

Labour claims must be supported by suitable records such as time sheets and records, and be held for verification at time of audit. Management personnel are required to maintain appropriate records of time devoted to the project.

b) Benefits are defined as a reasonable prorated share of expenses associated with the direct labour cost such as the employer's portion of Canada Pension Plan, Quebec Pension Plan and Employment Insurance, employee benefits such as health plan and insurance, Worker's Compensation, sick leave and vacation plus any other employer paid payroll related expenses. Those items which have no relationship to the project or which have been charged on an indirect basis are not eligible. The determination of the. fringe benefits amount shall be in accordance with generally accepted cost accounting principles. in general, fringe benefits rate provided in the project estimate shall be computed once during the life of the project and agreed on prior to the signing of the agreement. If retroactive adjustments are made, these must be indicated on claims for progress payments for the CSA 's approval.

Training: Training includes the development of a training plan, the hiring of training expertise to implement the plan and related activities (such as training materials, seminar fees, and wages during the time that employees received off-the-job training).

Travel: Unless stated otherwise in the funding agreement between the CSA and the recipient, Treasury Board rates shall be used in reimbursing expenses. ·

1. Eligible Costs

Eligible costs for grants will be direct expenses associated with the delivery of approved initiatives that are required to achieve the results to which they relate. Costs will include one or a combination of the following:

• salaries and benefits; • consultants services; • material and supplies; • acquisition or rental of equipment; • aircraft and watercraft charter services; · • access fees; • laboratory analyses services; • licenses and pennits fees; • data acquisition; • data management; • launcher services; • cost for carrying out environmental screening and/or impact studies; • participation fees at conferences, committees and events;

· • travel; • ·accommodation and meals allowances; • training; • translation services; • tuition fees; • registration fees; • bursaries; • cost related to obtaining security clearance; • acquisition, development and printing of materials; • marketing and printing services; • publication and communication services; • overhead (administrative) costs (not to exceed 20% of eligible costs for

universities and 15% for other eligible recipients); and • PST, HST and GST net of any rebate to which the recipient is entitled to and

the reimbursement of any taxes for goods and services acquired in a foreign country net ofany rebate or reimbursement received in the foreign country.

Overview lntermetallic gasless reactive systems provide localized intense heat sources, without involving the generation of gaseous species. For this reason, they offer the unique capability to create localized reactive spots, of controllable dimension, which can be imbedded in otherwise non-reactive media, such as inert gases, liquids or solids. Such a heterogeneous matrix can be used to study the flame propagation in the discrete regime and verify predictions made for percolation waves in heterogeneous reactive systems [1].

McGill University Contract

· 1. Subject of the Contract - Applicable Document

1.1. Following the signature of the main contract 9F028-071 l 82-008 "Pioneering of Self-healing of Damage in Composites Caused by Space Debris" between the Canadian Space Agency (hereinafter referred to as the "Agency") and MPB Communications Inc., McGill undertakes by its contribution to the contract to collaborate with MPB in providing technical services, as detailed in Appendix "A" (the "Work") in relation with the documents and schedule listed in the anicle 1.2 below. The Principal Investigator, Dr. A. Higgins of McGill's Department of Mechanical Engineering, shall be responsible for the technical content of th~ Work.

The Work shall be performed in accordance with the specific articles of this (:ontract and with the following docwnents which constitute an integral part hereof and are listed in order of precedence in case of conflict:

General Conditions -Research & Development 2040 dated 2008-05-12; The present Contract;

1.3 The Work to be covered in this Contract involves completion and acceptance of one (1) Go I No-Go Milestone (i.e: Milestone 2 - Instrument Concept - Preliminary E~perimental Healing and Fiber Sensing - scheduled for July 31, 2010- see Appendix '•N'). The tasks leading to Milestone 3 are to be performed by McGill only after receiving a written authorization from MPB, such written authorization to be received by McGill . within fifteen (15) days of submission by McGill of Milestone 2

2. Price- Payment Terms

2.1 The price for the Work is · amount is inclusive of all applicable university charges in relation to the No increase in the total liability of MPB or in the price of the Work resulting from any design . changes, modifications or interpretations of the specifications, will be authorized or paid to McGill unless such design change's, modifications or interpretations shall have been approved by MPB prior to their incorporation in the Work.

2.2 Method of Payment- Milestones. Milestone payment invoices shall be made in accordance with the Schedule of Milestones attached as Appendix ''B" and shall be completed in fuU and submitted to:

2.3 The claim must show the following: (a) Amount currently claimed;

Each claim for Milestone Payment shall be accompanied by a Milestone Report.

2.4 MPB shall remit payment to McGill within tl1irty (30) days after acceptance of the claim by the Agency. Cheques shall be made payable to McGill University and forwarded to:

3. Replacement of Specified Personnel

3.1. When specific persons have been named in the Contract as the persons who must perform the Work, the Contractor shall provide the services of the persons so named unless the Contractor is unable to do so for reasons beyond its control. All members of the McGill team will perform their functions to the best of their ability and devote the time and attention required to carry out the Work.

3.2 If at any time the Contractor is unable to provide the services of any specific person named in the Contract, it shall provide a replacement person with similar qualifications and experience. The Contractor shall, within 7 calendar days, give notice to MPB:

(a) the reason for the removal of the named person from the Work;

(b) the name, qualifications and experience of the proposed replacement

4 .. Ownership and Disposition of Intellectual Property

4.1 Intellectual Property (hereinafter "IP") includes, but is not limited to, technical infonnation, know-how, copyrights, models, drawings, specifications, prototypes, inventions and software conceive, discovered and reduced to practice in the conduct of the Work w1der this Contract.

4.2 The title to any lP already vested in a Party or developed by a Party outside the scope of the Project ("Background IP") shall not be affected by this Contract. Any Background IP used in perfonnance of this Contract shall be identified in writing by an authorized representative of the developing Party and shall remain the property of same.

4.3 IP conceived, discovered and reduced to practice by McGill, or its employees, agents or students will be owried by McGill ("McGill Sole IP"). IP conceived, discovered and reduced to practice by MPB, or its employees, or agents, will be owned by MPB ("MPB Sole IP"). lP conceived, discovered and reduced to practice by at least one employee, agent, or student of each of McGill and MPB will be owned jointly by McGill and MPB ("Joint IP"). lnventorship will be determined according to the principles of Canadian patent law.

4.4 MPB hereby grants to McGill a non-exclusive royalty-free license to use the MPB Sole IP for internal teaching and research purposes. McGill hereby grants to MPB a royalty-free worldwide, non-exclusive license to McGill Sole IP for MPB's internal non-commercial uses only. ·

4.5 McGill hereby grants to MPB for a period of ·three months after the termination of the present Contract a right of first refusal to negotiate a non-exclusive royalty bearing license to use, sell and modify any McGill Sole IP with the right to sublicense at a royalty. to oe negotiated before the end of the three month period.

4.6 For lP that is jointly owned. by McGill and MPB each of the Parties shall be entitled to use the IP for internal purposes without consultation with the other Party. If the IP is to be exploited conunerci'ally, then by virtue of the joint ownership defined herein, the Parties shall enter into good faith negotiations in order to agree on the proportions in which the benefits · should accrue to the Parties. The Parties shall execute all conveyances or other docu·ments required to benefit from the rights granted herein and shall afford each other all reasonable assistance in the preparation and prosecution of any applications for the protection of such joint IP in any' jurisdiction. , ·

4.7 Notw~thstanding the provisions of this article 4. McGill hereby grants to MPB all rights that permit compliance with articles 2040-28, 2040-29. 2040-30, 2040-33 and 2040-34 of the Standard Acquisitions Clauses and Conditions General Conditions~Research & Development 2040 dated 2008-05-12. McGill makes no express warranties and disclaims any implied warranties as to any matter relating to this Contract1 including without limitation

the performance or results of the Work; the availability of legal protection for any results, inventions, copyrightable works, deliverable or any other work product pursuant to this Contract. -There are no express or implied warranties of merchantability or fitness for a particular purpose for any of the results of the Work, or that the use of the results of the Work will not infringe any patent rights or other proprietary rights of a third party. MPB hereby grants to McGill a non-exclusive royalty-free license to use the IP for internal teaching and research purposes.

5. Confidentiality

Any information of a confidential nature furnished tmder this Contract (such as trade secrets and technical know-how, or information with an obligation concerning its confidentiality requested by either Party) will be protected at the level of security requested by the Party furnishing such information. Such information should be clearly marked as .. Confidential" or "Not for Publication" at the time of disclosure. The confidential nature of verbal disclosures shall be identified as such at the time of disclosw-e and confirmed in writing within 10 days of the disclosure.

The obligation to keep confidential shall however not apply to information which:

a) is already known to the Party to which it is disclosed; b) becomes part of the public domain without breach of this agreement; c) is obtained from third Parties who have no obligations to keep confidential to the

- contracting Parties.

The obligation· of confidentiality shall expire five (5) years after the termination of this Contract.

If individuals, participating in the Work, need to know trade ,secrets or confidential information,-specifically designated, such individuals agree to refrain from disclosing said trade secrets or confidential information both during the tenn of the Contract and thereafter, unless otherwise authorized for 'CI.isclosure by the owner of such secrets or information.

6. Publication

As it is part of both Parties' function to disseminate infonnation for the purposes of public benefit and research, no restrictions shall be placed ·on publications resulting from the Work, except that both Parties agree not to include confidential or proprietary information without prior approval.

For paper publications: Any individual who plans to write a paper on works and results obtained in performance of the Work shall invite the other Parties to participate in such publication. This invitation shall be presented, in writing, at least fifteen (15) days prior tq submitting abstracts, papers or conference proceedings for publication. However, if no interest is_ shown from the recipient(s) of such an invitation-to-patticipate within the fifteen (15) day notice period, then the individual shall be free to publish without the involvement or mention of the uninterested Patty.

Notwithstanding the foregoing, acknowledgments to .the main Patties, (i.e. CSA, MPB and McGill) shall be included in any publication arising from this Contract. -

For Student Thesis/Dissettation: Any student who participates in the Work has the right to write and publish his or her own thesis/dissertation based on Work performed during the course of this Contract provided that the Patties who participated in the Contract are properly acknowledged in the acknowledgements section of the thesis/dissertation. Notwithstanding any other provisions of this or any other agreement, the student shall retain copyright ownership of such thesis/dissertation.

7. Liability and Indemnity

Unless otherwise stipulated, MPB shall indemnify McGill against all cost, suits, or claims resulting from the use by MPB or its customers or licensees of any deliverable or IP developed by McGill tmder this Contract. McGill shall indemnify MPB against' all costs, suits or claims on account of injuries (including death) to persons participating in. the Work or damage' to McGill property during the pe1formance of the Work.

8. Termination

8.1 Either Party may terminate this Contract thirty (30) days after written notice of default is given to the defaulting Party and if the defaulting Party do~ not · take immediate action to correct such default within such period. Defa1,tlt from the part of MPB includes an overdue payment for any reason whatsoever. Default on ~e_part of McGill shall include the death or departure of the Principal Investigator.

8.2 MPB may terminate this Contract as a result of a No Go decision by CSA at Milestone 2. If MPB chooses to terminate the Contract, it shall provide written notice of termination within fifteen (15) days of McGill's submission of Milestone 2.

8.3 MPB shall pay for all expenses up to termination and for reasonable commitments made by McGill related to the Work, prior to the date of notice of default or termination, for. which McGill is financially responsible.

9. Survival of Articles

Articles 4 (Ownership and Disposition of Intellectual Property), 5 (Confidentiality), 6 (Publication), and 7 (Liability and Indemnity), shall survive the termination of this Contract for any reason in addition to those articles surviving by operation of Law.

10. Miscellaneous

10.1 This Contract shall not be modifj.ed or supplemented except by way of a written amendment signed by duly authorized representatives of both Parties. ·

10.2 The Contractor shall not have the right to assign or transfer any of its rights and obligations under this Contract to any third party without prior written approval of MPB, which approval shall not be unreasonably withheld. However MPB shall be entitled to freely assign part or all of its rights and obligations under this Contract to any third party by way of assignment to any successor corporation .or an assignment due to change in corporate name, merger or consolidation with another corporation.

10.3 This Contract is drawn up in English at the request of both Patties. Les pmties aux presente ont expressement convenu que ce contrat soit redige e.o anglais.

10.4 The Contract shall have an effective date of October 01, 2009 and shall terminate on June 01,2011.

10.5 The attached appendices and preamble shall form an integral part of this Contract.

11. Applicable laws

The Contract shall be interpreted and governed, and the relations between the Parties, determined by the laws in force in the province of Quebec
