The ARCUS®digma system is based on a 3D ultrasonic measurement. ARCUSdigmameasures the patients’ individual lower jaw movements and provides the dentist withrelevant information for diagnosis and therapy purposes.

§ 1 GeneralThe following Conditions apply to all com-mercial transactions made by KaVo DentalGmbH (in the following: KaVo) with busi-nesses, commercial enterprises and publiccorporations or institutions. They are notapplicable to consumers as defined in ECGuideline 1999/44/EC of May 25th, 1999.

No terms and conditions other than theConditions contained herein shall be bin-ding upon KaVo unless accepted in writingby KaVo’s Manager. All terms and conditi-ons contained in any prior oral or writtencommunication, including, without limita-tion, the Buyer’s purchase order, which aredifferent from or in addition to the termsand conditions herein, are hereby rejectedand shall not be binding on KaVo.

No contract shall become binding untilKaVo accepts the Buyer’s order by a writtenAcknowledgment of Acceptance.

KaVo’s employees or agents are not autho-rized to make any oral representationswhich go beyond the written agreement.

§ 2 Products2.1 KaVo reserves the right to make tech-nical alterations, in particular improve-ments, to its Products without priornotification as far as they do not affect thetechnical function – hence deviations fromthe specifications contained in catalogues,advertising material etc. are possible.

2.2 KaVo reserves the right at all times tocease manufacture of products or to makesubstitution as a result of new constructio-nal methods.

2.3 The minimum order value is Euro 100,-(gross product value). There will be a mini-mum value surcharge for orders underEuro 100,- (gross product value). The mi-nimum value surcharge is calculated as thedifference between the Euro 100,- and thegross product value.

§ 3 Delivery3.1 Unless otherwise agreed in writing,Delivery is made ex-factory Warthausen(EXW Incoterms 2000). Delivery of theProducts shall occur when they are madeavailable to the Buyer or its carrier at Ka-Vo’s warehouse or when KaVo notifies theBuyer that the Products are available forpick-up. Delivery to any other place is atthe Buyer’s risk and cost.

3.2 The time of Delivery given by KaVo isgiven as accurately as possible but is notguaranteed. Unless KaVo has expressivelypromised a specific Delivery date by a se-parate declaration in writing, KaVo shall notbe liable for any damage, loss or expensearising out of any delay in Delivery of theProducts or failure to give notice of delay.In the event that Delivery is overdue formore than six weeks because of KaVo’sfault, the Buyer’s sole remedy is – unless incase of injury of life, body or health or adeliberate act or gross negligence – to can-cel its order by written notice.

3.3 Acts of god, non-delivery from outsidesuppliers, governmental action, strikes,business disturbances, or any similar hin-drances will reduce our delivery commit-ment; and KaVo is entitled to withdraw inwhole or in part from the order.

3.4 Genuine defective items will be repla-ced or repaired, as KaVo considers appro-priate. In the event this re-performanceshould fail, the Buyer is – according to thelegal provisions – entitled to cancel thecontract or to claim for an adequate pricedecrease.

§ 4 Prices, Payment4.1 All prices are to be understood ex-fac-tory Warthausen, excluding packing,freight, value added tax (or similar) andcustoms duties, however, normal cardbo-ard packaging is included.

4.2 The Price of the Product shall be theprice quoted by KaVo and confirmed in theAcknowledgment of Acceptance.

4.3 KaVo reserves the right to increasethe Price of the Products to reflect any in-crease in the cost due to any change in de-livery dates, quantities or specifications forthe Products which is requested by theBuyer.

4.4 If through no fault of KaVo the Deli-very date is more than two month laterthan the date of the Acknowledgment ofAcceptance, KaVo can claim the price listedin the price list valid at the date of delivery.

4.5 Prices quoted do not include VAT orimport duties payable by KaVo on the im-port into the Buyer’s country, and will becharged in addition at the rate ruling at thedate of Delivery.

4.6 Unless otherwise agreed upon in theAcknowledgment of Acceptance, accountsare net and payable within 30 days of theinvoice date.

4.7 Where both parties agree that Deli-very is by installments, KaVo may issue se-parate invoices for each installment, eachinvoice being payable separately in accor-dance with no. 4.6 above.

4.8 Without limitation to any other rightor remedy available to KaVo, KaVo shall beentitled in the event of any breach of no.4.6 above and without any liability what-soever to the Buyer, to stop or cancel Deli-very of any goods sold or agreed to be soldto the Buyer.

4.9 If the buyer falls in arrears with pay-ment, KaVo is entitled to claim interest onthe overdue amount in accordance withsec. 288 of the German Civil Code (= 8%p.a. above the basic interest rate of the Eu-ropean Central Bank).

§ 5 Deficiencies and Warranty5.1 When goods are dispatched at the riskof KaVo, any transit damage should be no-tified to the carrier immediately on receipt.In such case, KaVo will compensate for alldamage acknowledged by the insurancecompany.

5.2 Possible shortages will be compensa-ted for by further delivery or the issuing ofa credit note.

5.3 Warranty claims will be consideredonly if such claims are reported in writing,as follows:- Discernible defects - without delay, at thelatest one week, after delivery.- Indiscernible defects - one week after dis-covery.

5.4 Genuine defective items will be repla-ced or repaired, as KaVo considers appro-priate. In the event this re-performanceshould fail, the Buyer is - according to thelegal provisions - entitled to cancel the con-tract or to claim for an adequate price de-crease.

5.5 The warranty does not apply to partsworn as result of normal wear and tear, norto damage caused by overloading or mi-suse.

5.6 The buyer‘s rights to warranty lapseone year after the date of delivery.

§ 6 Property, Transfer of Title6.1 Notwithstanding Delivery of the Pro-ducts and the passing of risk of damage orloss in the Products, the property in theProducts shall remain solely and absolutelyin KaVo as legal and equita ble owner. Ifthe law of the country in which the pro-ducts are shipped does not allow a full re-servation of ownership in the deliveredproducts, the Buyer is obliged to provide apurchase price security interest or anyother appropriate security to KaVo.

KaVo retains ownership in the Products orthe corresponding security until the Buyerhas paid in full of the price of the Productsand all other products sold or agreed to besold by KaVo to the Buyer for which pay-ment is then due.



6.2 KaVo shall be entitled at any time du-ring which it retains ownership or a securityin the Products to require the Buyer to de-liver up the Products to KaVo and, if theBuyer fails to do so forthwith, to enter uponany premises of the Buyer or any thirdparty where the Products are situated andrepossess the Products in accordance withthe provisions of the applicable local law.

6.3 Under the above presuppositions, thebuyer is entitled to re-sell existing goods inthe course of his normal business activities.However, the Buyer assigns to KaVo allclaims and rights he gets by such transac-tion against the Buyer’s customer.

6.4 Should payment fall overdue, thebuyer is obliged to inform its customersabout the assignment of all rights andclaims to KaVo and to place at KaVo’s dis-posal all necessary documents to their as-sertion.

§ 7. Governing Law, Jurisdiction7.1 These Conditions and all contractsmade hereunder are subject to GermanLaw. Place of performance is Biberach/Rißfor both parties.

7.2 If any provision of these Conditions isheld by a competent authority to be invalidor unenforceable in whole or in part, thevalidity of the other provisions of theseConditions and the remainder of the provi-sions in question shall not be affected the-reby.

7.3 Any dispute, controversy or claim ari-sing out of or relating to these Conditionsor contracts to which these provisionsapply, are subject jurisdiction of the Ger-man Courts. Place of Litigation is Ravens-burg, Germany. KaVo however reserves theright to bring a complaint against the Buyerbefore a court having jurisdiction in thearea of the Buyer’s residence.
