P R E A M B L E

The formation of an Association for practicalpurposes and for good ends, usages and, indeed, itsfuture welfare, requires that its object should be wellunderstood and faithfully set forth.

In convention assembled at Detroit, Michigan, on the27th day of August, 1892, delegates from Local Unionsat Tonawanda, Buffalo, Cleveland, Toledo, Sandusky,Detroit, Saginaw, deemed it an act of duty which theyowed to themselves and their posterity to associatethemselves together for an Association of effort and moreextended action in behalf of their own rights andinterests.

We recognize that ability makes the man, and notwealth or social distinction. We recognize no nationalityor creed, and for the good of our Association we pledgeourselves to carry out the principles of correctassociation.

CONSTITUTION

•ARTICLE I

NAME

The name of this Union shall be the INTERNATIONALLONGSHOREMEN’S ASSOCIATION, herein referred to asthe “I.L.A.” or “the International”.*

ARTICLE IIDURATION

The International Longshoremen’s Association shall notbe dissolved so long as it is composed of at least five (5) localunions. This Article shall not be subject to amendment.

ARTICLE IIIJURISDICTION

The jurisdiction of the I.L.A. shall include the workherein enumerated in the United States and itspossessions, in Canada, in Central and South Americaand in the Commonwealth of Puerto Rico and all otherterritories and countries within the Caribbean oradjacent to any of the foregoing. It shall include all workdone directly and indirectly in connection with loadingand unloading operations of all floating structures insuch territory, including the trades and occupationsdirectly and indirectly associated with such operations,whether they be conducted on docks, piers, marinewarehouses, on board vessels, or elsewhere. The I.L.A.shall have jurisdiction of all workers employed in trades

or industries now within the jurisdiction of the I.L.A.,and such as may be from time to time organized or addedthereto by the Executive Council of the I.L.A. or by itsConvention.

ARTICLE IVOBJECTS AND PURPOSES

The objects and purposes of the I.L.A. shall includethe following: to promote the best interests of itsmembers and their families; to organize the unorganizedworkers and to unite within the I.L.A. all workers withinits jurisdiction; to bargain collectively on behalf of allthe workers within its jurisdiction; and to negotiate,make and administer collective bargaining agreements;to improve the wages and hours of work and to increasethe job security and better the work and living conditionsof all the workers employed within its jurisdiction; tosecure and promote laws for the benefit of all workerswithin its jurisdiction and labor generally; to engage inpolitical education and to foster civic interest among itsmembers and labor generally; to engage in educationalactivities and to further educational opportunities of itsmembers and their families; to promote health, welfare,pension, recreational and civic programs in the interestsof its members and their families and the workers withinits jurisdiction; to establish, maintain and operateclinics, hospitals, labor union halls and labor temples;to unite with other labor unions and other labor bodies;to assist charitable, religious and educational bodies andinstitutions; to instill the spirit of patriotism anddevotion to country among its members and theirfamilies and within the labor movement; to carry outand enforce the provisions of its Constitution; to publishnewspapers, periodicals and other literature to aid inthe carrying out of the foregoing objects and purposes;and do all things necessary and proper, permitted by law,to carry out the foregoing objects and purposes.

ARTICLE VORGANIZATION AND POWERS

Section 1. This International shall be composedof workers eligible for membership in the I.L.A., and maybe divided into local unions and district organizations,as hereinafter provided.

Section 2. The International shall have supremelegislative, executive and judicial authority over allmembers and subordinate bodies, and shall be theultimate tribunal to which all matters affecting thewelfare of the membership and the subordinate bodiesshall be referred for adjustment and determination.

Section 3. All executive, legislative and judiciarypowers of the I.L.A. shall be vested in its Convention.When the Convention is not in session, they shall bevested in the Executive Council; when the ExecutiveCouncil is not in session, they shall be vested in theInternational Executive Officers.

ARTICLE VICONVENTION

Section 1. The regular Convention of the I.L.A.shall be held every four (4) years in the month of July atsuch place and commencing on such date as shall bedesignated by the Executive Council.

Section 2. A Special Convention may be calledby a majority vote of the Executive Council. It may adoptsuch motion by mail. Such Special Convention shall becalled on written notice which shall set forth the mattersto be acted on at such Special Convention and be mailedto the principal office of each local union affiliated withthe I.L.A. at least thirty (30) days prior thereto.

Section 3. Each local union affiliated with theI.L.A. shall be entitled to at least one vote regardless ofits membership up to a membership of 100 and to an

additional vote for each additional 100 members or anyfraction thereof.

Each member of the Executive Council and eachprincipal executive officer of each District who has notbeen elected as a Convention delegate by a local unionshall be an ex officio delegate to the Convention, but suchex officio delegate shall not be entitled to participate orvote in the nomination and election of Internationalofficers.

Section 4. Effective August 1, 2011, each localunion shall determine its voting strength based onwhether the local union pays per capita dues or duesbased on 9/10 of 1% of each member’s straight-timehourly rate for each hour paid. If the local union paysper capita International dues, the local union is entitledto 1/2 a vote for every 100 members. If the local unionpays dues based on 9/10 of 1% of each member’s straight-time hourly rate for each hour paid, then the local unionis entitled to one (1) vote for every 100 members. Forthe purpose of determining the representation of eachlocal union entitled to representation at a Convention,the number of its members shall be deemed to be theaverage number on whom it paid per capita tax/dues tothe I.L.A. during the 48 month period ending sixty daysimmediately preceding such Convention; provided that,in the case of a local union which has not been charteredthroughout such 48 month period, the number of itsmembers shall be deemed to be the average number onwhom it paid per capita tax/dues to the I.L.A. for theperiod from the date of receipt by such local of its charterto the first day of the month preceding that in whichsuch Convention is convened. In the case of a local unionpaying its per capita tax/dues by means of the check-off,the local’s membership during any given period shall bedetermined by the number of paid up members of thelocal. The representation of the InternationalOrganization of Masters, Mates and Pilots and the

United Marine Division shall be determined on the basisprovided in this Section, but for each such organizationas a whole without regard to the number of members inany particular subdivision or affi l iate of suchorganization, as though each such organization were asingle local union.

Section 5. Each delegate to a Regular or SpecialConvention must be elected as such delegate by a secretballot election in his local union at a regular or specialmeeting. Reasonable notice of the nomination of delegatesshall be given to members of the local unions. Written noticeof the election must be given to each member of the localunion at least fifteen (15) days prior to such election bymailing such notice to each member at his last known homeaddress. A delegate must bear credentials signed by thePresident and Secretary of his local union and bearing theseal thereof. A member of two or more local unions canrepresent only one such local union as a delegate. Eachdelegate shall be entitled to a vote, but a local union mayelect a greater or lesser number of delegates than it isentitled to, in which even the total vote of the local union, inaccordance with the entire voting strength of the local union,shall be divided pro rata among its delegates. If the by-lawsof the local union so permit, a delegate may represent alocal union of which he is not a member provided he isotherwise eligible to serve as a Convention Delegate and hehas been duly elected as delegate by such local union inaccordance with this Article. A local union, by expressprovision in its by-laws, may provide that specific officersshall have among their duties the representation of suchlocal union at the Convention as delegates, and such officersmay then serve as delegates if elected in accordance withthe Constitution and with the applicable provision of theLabor-Management Reporting and Disclosure Act of 1959.The International Organization of Masters, Mates and Pilotsand the United Marine Division shall be represented at theConvention by delegates selected in accordance with theirown Constitutions and with the applicable provisions of law.

Section 6. A member who is ineligible to be anofficer of a local union cannot be a delegate to theConvention.

Section 7. No local union shall be entitled torepresentation at a Convention unless all its per capitatax/dues, assessments and delinquent indebtedness tothe I.L.A. and to its District, uniformly imposed, are paidone month prior to the Convention. The accounts of theI.L.A. will be closed one month prior to the Convention.

No resolution shall be submitted to the Conventionthat has not been mailed or delivered to theInternational’s Executive Offices at least thirty (30) daysprior to the Convention, except for resolutions referredby District Conventions held within one month prior tothe I.L.A. Convention, and except further that theConvention shall have power unanimously to accept anyresolution offered at any time prior to its conclusion.

Section 8. The International President will call theConvention to order upon its opening and preside over it.During the Convention, he shall have the power to designatean International officer as a presiding officer pro tempore.He shall be an ex officio member of all ConventionCommittees.

Section 9. No person shall be eligible to serve asa delegate at the Convention unless:

(a) He has been a member in good standing of theI.L.A. for at least one year immediately preceding thedate of the Convention; or, in the case of a delegaterepresenting a local union organized or affiliated withthe I.L.A., less than one year prior to the date of theConvention, a member in good standing of such localunion since the date or organization or affiliation; or

(b) For at least one year preceding the date of theConvention he has been employed by the I.L.A. or any of itssubdivisions.

ARTICLE VIIEXECUTIVE COUNCIL

Section 1. The Executive Council shall becomposed of the International President, the PresidentEmeritus, if any, the International Secretary-Treasurer,the International Executive Vice-President, theInternational General Vice-President, the InternationalGeneral Organizer, the International Assistant GeneralOrganizer and the twenty-five (25) International Vice-Presidents.

Section 2. The Executive Council shall meet atleast twice a year. The International President shall havepower between meetings to submit matters by mail,telephone, or electronic means for a vote of the ExecutiveCouncil and/or call a special meeting thereof wheneverhe deems it necessary.

Section 3. The President shall cast his vote on aproposition before the Executive Council only in theevent of a tie vote. Vacancies occurring in the ExecutiveCouncil through death, or otherwise, shall be filled bythe membership thereof.

Section 4. A majority of the members of theExecutive Council shall constitute a quorum for thetransaction of business at any meeting, and all decisionsof the Executive Council shall be by the concurring voteof a majority of the members present. The ExecutiveCouncil may take action without meeting, by the writtenor verbal approval of a majority of its members, afternotice to all its members of the question to be decided.

Section 5. The Executive Council shall havepower to authorize by resolution the expenditure of thefunds or the use of the property of the I.L.A. for theeffectuation of any of the objects of the I.L.A. It shallhave all powers appropriate to effectuate the powersgranted to it by this Constitution.

Section 6. The holding of the annual meetingsof the Executive Council may be waived by the consentof a majority of its members, made in writing.

Section 7. The Executive Council shall beempowered to establish or participate in retirement,pension and/or insurance plans covering employees ofthe International.

ARTICLE VIIIINTERNATIONAL OFFICERS

Section 1. The officers of the I.L.A. shall be: aPresident, the President Emeritus, if any, a Secretary-Treasurer, an Executive Vice-President, a General Vice-President, a General Organizer, an Assistant GeneralOrganizer, and twenty-five (25) Vice-Presidents. ThePresident, the Executive Vice-President, the GeneralVice-President, the General Organizer, the Secretary-Treasurer and the Assistant General Organizer shall beknown as the International Executive Officers. The six(6) ILA Executive Officers may not also receive a salaryby virtue of holding office in any ILA subordinate body.They may, however, continue to hold and run for unionoffice in an ILA subordinate body. So long as any memberof the ILA who is elected to office as an ILA ExecutiveOfficer at the 2011 ILA Convention and who at the dateof the 2011 ILA Convention also holds elective office ina ILA subordinate body shall be permitted to serve outthe remainder of his term of office in that ILAsubordinate body and shall be permitted also to receivea salary from that ILA subordinate body for theremainder of his term of office in that subordinate body,notwithstanding the first sentence of this section.However, any salary that an ILA Executive Officerreceives from a subordinate body under this exceptionmust be reduced so that the total compensation paid tothat officer after August 1, 2011 does not exceed the total

compensation authorized for that officer as of Thursday,July 28, 2011. This provision does not apply to ILA VicePresidents.

The annual salaries of the International officers shallbe as follows as of August 1, 2011:

President $464,508.00Secretary-Treasurer 379,416.00Executive Vice-President 379,416.00General Vice-President 379,416.00General Organizer 309,324.00Assistant General Organizer 293,856.00Vice-Presidents 134,076.00

The Executive Council may, by majority vote,increase these salaries. No International officer mayparticipate in the consideration of or vote upon theincreases in his own salary. The International executiveofficers shall vote on salary increases for Vice-Presidentsand Vice-Presidents shall vote on salary increases forInternational executive officers.

Each officer shall also receive, either by fixed expenseallowance, reimbursed expenses, or a combinationthereof, the expenses incurred in the performance of hisduties. The International President may also authorizethat International officers or representatives be providedwith automobiles. Such Officers or representatives shallbe permitted to use the automobiles for private purposeswhen the automobiles are not required for union businessas partial compensation for the discharge of their duties.The Secretary-Treasurer shall have the authority topurchase, sell, exchange or lease such automobiles orarrange for financing for same.

Section 2. The International officers shall beelected at Conventions and shall serve until theirsuccessors are elected and have qualified.

Section 3. The term of office for all officers shallbe four (4) years.

Section 4. Nominations shall be made for oneoffice at a time. If only one candidate is nominated foran office, the voting may be by acclamation or by motionauthorizing the casting of the unanimous vote of thedelegates present. If more than one candidate isnominated for an office, then the voting shall take placeby a roll call before nominations for any other office aremade.

Section 5. The International President, thePresident Emeritus, if any, the International Secretary-Treasurer, the International Executive Vice-President,the International General Vice-President, the GeneralOrganizer, the Assistant General Organizer, and thetwenty-five (25) Vice-Presidents shall assume the dutiesof their respective offices by August 1, if elected at aregular convention or otherwise within thirty (30) daysafter election.

Section 6. The twenty-five (25) vice-presidentsshall be allocated as follows:

(a) The Atlantic Coast District shall be entitled tothirteen (13) Vice-Presidents, at least one (1) of whommust be a resident of Canada or Newfoundland and four(4) of whom must be from the Great Lakes area.

(b) The South Atlantic and Gulf Coast Districtshall be entitled to nine (9) Vice-Presidents;

(c) Puerto Rico shall be entitled to one (1) Vice-President;

(d) The International Organization of Masters,Mates and Pilots shall be entitled to one (1) Vice-President; and

(e) The United Marine Division shall be entitledto one (1) Vice-President.

Section 7. In the event that the InternationalPresident shall die, be removed from office or resign fromoffice within one year of the date of the next regularlyscheduled ILA Convention, the Executive Vice President

shall succeed to the office of International President forthe unexpired time.

In the event of a vacancy in the office of InternationalPresident at any other time during his term of office,the Secretary-Treasurer shall inform the members of theExecutive Council that a vacancy in the office ofInternational President exists, and shall convene ameeting of the Executive Council for the purpose ofdealing with the vacancy until he can convene a SpecialConvention. During this time, the Executive VicePresident shall assume office and serve as ActingPresident until the Special Convention is held. At theSpecial Convention any member in good standing iseligible to run for the office of International Presidentfor the balance of the unexpired term. The Secretary-Treasurer is authorized to set and fix all dates dealingwith and relative to the holding of such Convention andthe city in which the Convention shall be held, provided,however, that the Convention must be held within three(3) months from the date of the vacancy of the office ofInternational President. The provisions of Article VI ofthe ILA Constitution dealing with Convention mattersshall apply to Special Conventions insofar as they areapplicable. In the event that any other Internationalofficer shall die, be removed, or resign before thetermination of his term of office, as provided forhereinabove, the Executive Council shall meet andchoose a successor to serve out the balance of the termsof such vacant office. Successor Vice-Presidents shall bechosen pursuant to the allocations provided forhereinabove. The Executive Vice-President, whenserving as Acting President, shall have all the powers,duties, and functions of International President; and allthe successor International officers when chosen to servethe balance of an unexpired term shall have all thepowers, duties and functions of the respective offices forwhich they are chosen.

Section 8. The Convention shall have the powerto elect as President Emeritus any former InternationalPresident of the I.L.A. who has served as such for onefull term or longer. The compensation of the PresidentEmeritus, if any, shall be equal to 50% of the salary ofthe President. He shall be a member of the ExecutiveCouncil, a delegate representing the I.L.A. at theConvention of the AFL-CIO and of the Canadian LabourCongress and shall have such other duties as shall beassigned to him by the Executive Council.

ARTICLE IXPOWERS AND DUTIES OF INTERNATIONAL OFFICERS

Section 1. The International President shall bethe principal executive officer of the I.L.A. He shallpreside at Conventions and at meetings of the ExecutiveCouncil. He shall convene meetings of the ExecutiveCouncil or submit matters for its decision by mail,telephone or electronically as provided herein; he shallhave the power to attend meetings of local unions,district councils and districts. The InternationalPresident may employ and discharge suchrepresentatives (who shall be members in good standingof the I.L.A.), administrative, technical or otheremployees as may be required. He shall fix the salariesand approve expense allowances of all persons employedby him; he shall appoint all committees not otherwiseprovided for by this Constitution; he shall designate theduties and direct the performances thereof of Districtofficers, representatives and Vice-Presidents. All billscovering expenses incurred must be approved by himbefore payment. He shall have power to examine, inspect,or audit personally, or by his designee or designees, allthe books, records, papers, and accounts of any localunion, district council, or district organization of theI.L.A., whenever he may deem it necessary he maycompel the production of such books, records, papers,

and accounts at the International’s offices, or such otherplace as he may designate, by service of a writtendemand therefore by mail, and they shall remain in hispossession or in the possession of his designee ordesignees, until the examination and inspection iscomplete. He shall, upon the direction or consent of theExecutive Council, acting by a majority vote, in session,or through mail, telephone or electronically, call a SpecialConvention of the I.L.A. He shall sign all papers anddocuments which require the signature of the President.He shall make a written report of his official acts duringhis term of office to the Convention. He shall have suchother and further powers in addition to those hereinenumerated, and shall perform such other and furtherduties as are usual to his office, and as are performedby the President in accordance with the usages of theI.L.A.

Section 2. The International Executive Vice-President shall aid and assist the InternationalPresident in the carrying out of his duties and functions,and shall act on behalf of the President whenever theInternational President shall be i l l , absent,incapacitated, or unable to serve. The InternationalPresident in his discretion may delegate such of hisduties and functions as he determines to theInternational Executive Vice-President, and upon suchdelegation the International Executive Vice-Presidentshall have and may exercise such powers of theInternational President as are necessary to the properperformance of such delegated duties and functions.Whenever the International Executive Vice-Presidentshall become Acting President or shall act on behalf ofthe President, he shall have all the duties and functionsof the International President and he shall be vestedwith and may exercise all the powers of such office.

Section 3. The International General VicePresident shall aid and assist the InternationalPresident in carrying out his duties and functions and

shall report directly to the International President. TheInternational President in his discretion may delegatesuch of his duties and functions as he determines to theInternational General Vice President in order torepresent the I.L.A. in any district and upon suchdelegation the International General Vice President shallhave and may exercise such powers of the InternationalPresident as are necessary to the proper performance ofsuch delegated duties and functions. Whenever theInternational General Vice President shall act on behalfof the President, he shall have all the duties andfunctions of the International President and he shall bevested with and may exercise all the powers of suchoffice. The International General Vice President shallassist the International President during Conventions,Executive Council meetings, Wage Scale Committeemeetings and otherwise in the discharge of his dutiesand functions.

Section 4. The Vice-Presidents, the GeneralOrganizer and the Assistant General Organizer shall,at the request of the International President, aid andassist him during the session of the Convention and insuch other manner and form as the InternationalPresident may from time to time request or direct, andshall generally represent the interest of the I.L.A. intheir areas. The Vice-Presidents shall also have theauthority to attend the meetings of all local unions,district councils, port councils, and dock and marinecouncils in their respective areas. They shall renderperiodic reports of their activities to the Internationaloffice.

Section 5. The International Secretary-Treasurershall act as Secretary of Conventions and all meetings ofthe Executive Council and shall keep a record of theirproceedings. He shall have custody of the seal of theI.L.A. and all of its books, records and papers. He shallhave the power to sign and affix the seal to all officialdocuments. He shall present to the Convention a

complete statement showing the financial and generalcondition of the I.L.A. and of the workers. He shallconduct all correspondence, keep a record of the numbersand locations of all locals and keep the accounts betweenthe I.L.A. and the locals thereof. He shall have chargeof all funds of the I.L.A. He shall print and furnish, ifdemanded and paid for by locals ordering the same, allbooks, cards and blank forms necessary to transact thebusinesses of the I.L.A. in English or foreign languages.He shall issue semi-annual reports showing receipts andexpenditures and an itemized account of all billsrendered to all locals in good standing. He shall collectfrom the locals and from all other available sources allinformation showing the condition of the workers. Heshall act as legislative agent of the I.L.A. if directed bythe President. He shall instruct local unions, districtcouncils and districts as to the manner in which theyshall keep accounts of their financial transactions andmay require them to submit to him periodic reportscontaining such information and in such forms as he mayprescribe. When requested by the President he shall actas Auditor to audit the books and records of any local orany of the subdivisions of the I.L.A. and shall performsuch duties in connection therewith as the President maydirect. He shall have such further powers in addition tothose herein enumerated as are usual to his office. Heshall have power to employ and discharge suchemployees as may be required to assist him in his work.

The International Secretary-Treasurer shall preservefor at least one (1) year the credentials of the delegatesto a Convention of the I.L.A. and all minutes and otherrecords of the Convention pertaining to the election ofofficers. He shall retain all other books and records ofthe I.L.A. in his custody, including vouchers, work sheets,receipts and applicable resolutions for a period of notless then five (5) years and ninety (90) days after theclose of each fiscal year of the I.L.A. in which such booksand records were made. Whenever the International

Secretary-Treasurer provides an official form for anymatter transacted, pursuant to this Constitution andregulations adopted thereunder; such form must beobtained from the International office and must be usedby the membership, locals, district council and districtorganizations.

Section 6. The International President and theInternational Secretary-Treasurer shall each furnishpromptly after election a bond to the I.L.A. and depositthe same with the I.L.A., in such amount and in suchform as may be required by law. The face amount of suchbond shall be adjusted after the close of each fiscal yearto reflect the changed financial condition of the I.L.A.The premium of such bond shall be paid by the I.L.A.and the bonds shall be approved by the ExecutiveCouncil.

Section 7. The International Secretary-Treasurershall issue no voucher or pay any money out of theTreasury account without the approval of theInternational President. All checks issued by theInternational Secretary-Treasurer, with the exception ofthose issued against the checking account, must becountersigned by the International President. The booksand accounts kept by the Secretary-Treasurer shall beaudited by a certified public accountant semi-annually.Such auditor shall be appointed by the ExecutiveCouncil.

Section 8. The International Secretary-Treasurershall print a directory yearly as soon as may bepracticable after the first of the year.

Section 9. No checking account shall be openedon behalf of the I.L.A. except pursuant to a resolutionduly adopted by the Executive Council. Checks on theaccount of the I.L.A. may be signed by either thePresident or the Secretary-Treasurer. No promissorynotes or negotiable instruments shall be signed, madeor issued on behalf of the International except for bona

fide obligations of the International and then only uponthe signatures of both the President and the Secretary-Treasurer. Any note or series of notes totaling more than$25,000.00 must be approved by the Executive Councilbefore being made.

ARTICLE XDISTRICTS

Section 1. The I.L.A. shall be divided into two(2) districts geographically apportioned as follows:

(a) The Atlantic Coast District which shallembrace every port north of Cape Hatteras including allCanadian ports along the Atlantic seacoast, and all theports of Puerto Rico and all ports on the Great Lakesand tributary waters.

(b) The South Atlantic and Gulf Coast District,which shall embrace every port south of Cape Hatterasalong the Atlantic, Gulf and Caribbean Sea.

Section 2. Each District must be chartered bythe International and must adopt a Constitution for itsown government but in no event shall it be inconsistentwith the Constitution of the I.L.A. and the I.L.A.’s rulesand regulations pursuant thereto and with law. Anyconstitution or by-laws or amendments thereto adoptedby a District shall be of no effect without the prior writtenapproval of the International President.

Section 3. Each District shall deal with mattersand conditions in general affecting the locals and itsmembers included in the territory of the District, and itshall have the power and duty to do all things necessaryand desirable to carry out the objects and purposes of theI.L.A. within its territory. All decisions of the districtorganizations may be reviewed by the Executive Counciland upon such review may be modified, repealed or affirmedprovided, however, that failure of the Executive Council toreview or to take action upon any decision shall not be

construed to be an affirmation or ratification of such decision.Section 4. Each District may elect such officers

as its constitution and by-laws provide.Section 5. Every local union must affiliate itself

with the district organization in which it is located andshall be subject to its jurisdiction.

Section 6. The powers of the District shall bevested in a Convention, and, when the Convention is notin session, in such representative governing body as theDistrict Constitution shall establish. The Conventionshall be composed of delegates selected in accordancewith law by the local unions within the district; and eachsuch local union shall be entitled to at least one delegateregardless of its membership up to a membership of onehundred (100) and to an additional delegate for eachadditional one hundred (100) members or any fractionthereof.

Section 7. A copy of each report or return filedby a district organization with any governmental agencyshall be filed contemporaneously by such districtorganization with the International Secretary-Treasurer.

ARTICLE XILOCAL DISTRICT COUNCILS

Section 1. (a) Wherever two or more locals existin any one port or locality adjacent thereto they shallform a District Council for the purpose of dealing withlocal matters affecting such local unions.

(b) The Local District Council shall be governedby the majority vote of the locals belonging to the DistrictCouncil with each local being entitled to only one voteregardless of the size of its membership.

Section 2. Whenever a District Council is formedin any port or locality all existing locals of the I.L.A.and all locals thereafter organized must affiliate with

said District Council and are subject to its jurisdiction.Failure to make such affiliation shall be punishable,upon the instance of the International President, by afine of $10.00 upon failure to act within thirty (30) daysafter the first notice has been given; by a fine of $25.00for failure to act within thirty (30) days after secondnotice has been given and by revocation of Charter forfailure to act after third notice has been given. Suchnotice shall be given by the International Secretary-Treasurer who will furnish each District Council with alist of all locals in good standing in their locality eachquarter.

Section 3. No more than one District Councilmay be formed in any one port or locality adjacent theretowithout the consent of two-thirds (2/3) of the aggregatemembership of all the locals in said Port or adjacentlocality.

Section 4. Any ruling made or decision renderedby a District Council affecting the rights of any local ormembers thereof may be reviewed by the ExecutiveBoard of the District and thereafter by the ExecutiveCouncil of the I.L.A. and upon such review such decisionor ruling may be modified, repealed or affirmed, providedhowever that failure of either the Executive Board ofthe District or the Executive Council to review or takeaction upon any decision by a District Council shall notbe construed to be an affirmation or ratification of suchdecision.

Section 5. A member of the I.L.A. shall be entitledto apply for work under the jurisdiction of any other localthan the one of which he is a member without taking awithdrawal card from the local wherein he holdsmembership. Whenever a member of one local comes underthe jurisdiction of another local he may be required to payto such local the same dues as are paid by members thereof.

Section 6. Each District Council must bechartered by the International and must adopt a

constitution or by-laws for its own government, but inno event shall it be inconsistent with the Constitutionof the I.L.A., and rules and regulations pursuant theretothe Constitution and By-Laws of the applicable Districtorganization, and the law. Any constitution or by-lawsor amendments thereto adopted by a District Councilshall be of no effect without the prior written approvalof the International President.

Section 7. The Convention by majority vote, orthe Executive Council by two-thirds vote, shall beempowered to establish Councils to coordinate theactivities of local unions in the same craft or branch ofthe industry with such powers and functions as theConvention or Executive Council shall prescribe.

Section 8. No District Council shall affiliate withany organization having the power to order it to takeaction not in accord with this Constitution.

Section 9. A copy of each report or return filedby a District Council with any governmental agency shallbe filed contemporaneously by the District Council withthe International Secretary-Treasurer and with theDistrict Secretary-Treasurer.

ARTICLE XIILOCAL UNIONS

Section 1. Every local union must hold a charterfrom the I.L.A. and shall be designated by a numberassigned by the International Secretary-Treasurer.

Section 2. Applications for charters shall bemade to the International Secretary-Treasurer, uponsuch forms and containing such information as theInternational officers shall prescribe. Such applicationsmust specify the class of work to be performed by saidlocal and must be signed by at least ten (10) workers ofgood moral character in a locality where a sufficient

number of persons to maintain a local union areemployed. Applications must be accompanied by acharter fee of $100.00 and one month’s per capita tax/dues for each worker.

Before the issuance of a charter, any adjoining localunion or local unions, the local District Council or theappropriate District may file an objection or protest withthe International Secretary-Treasurer. The ExecutiveCouncil shall immediately investigate such objection orprotest and shall issue a decision on the protest orobjection. Such decision shall not be subject to the appealprovisions of Article XIX of this Constitution.

Section 3. No new charter shall be issued in alocality where a charter covering the same class of workhas been annulled or revoked within one year of suchannulment or revocation without the consent of amajority of the Executive Council.

Section 4. Except as provided in Article XVIII,Section 2 and Article XXI of this Constitution, no localunion shall withdraw or be dissolved so long as at leastten (10) members in good standing object to itsdissolution at a meeting called to consider the question.However, the Executive Officers, with the approval ofthe District involved, shall have power to revoke thecharter of any local union which is inactive or notfunctioning as a bona fide trade union. The ExecutiveOfficers shall have authority to merge or consolidate twoor more locals on such terms and conditions as it deemsnecessary or appropriate when such action is deemed tobe in the best interest of the International and itsmembers.

Section 5. Each local union must adopt by-lawsfor its government which shall not be inconsistent withthe provisions of this Constitution or the Constitutionof its District, and with the law; and such by-laws andany amendments thereto shall not be effective until theyhave been submitted to the International President and

approved by him. In the event of a conflict between theby-laws of a local union and the provisions of thisConstitution (or of the Constitution or by-laws of theDistrict, duly approved as provided for in Article X,Section 2), then such local by-laws shall be null and voidto the extent only of such conflict with the foregoingdocuments or the applicable law. Every subdivision ofthe International shall file with the office of theInternational its constitution and by-laws and suchamendments and changes as they may from time to timemake.

Section 6. The officers and representatives of anewly chartered local union who handle funds orproperty of the local shall be bonded, such bond not tobe less than $1,000.00 for each such officer orrepresentative in such form as may be required by law.

Section 7. No local union shall affiliate with anyorganization having the power to order it to take actionnot in accord with this Constitution.

ARTICLE XIIIGOVERNMENT OF LOCAL UNIONS

Section 1. (a) Each local union shall elect bysecret ballot among its members in good standing, aPresident, a Vice-President, a Recording Secretary, aFinancial Secretary or Treasurer, an AuditingCommittee, and Executive Board, and such other officersand committees as it may deem proper for the conductof its affairs. Unless otherwise provided by the by-laws,a local union’s Executive Board shall consist of thePresident, Vice-President, Recording Secretary,Financial Secretary or Treasurer and five (5) otherExecutive Board members; and a local union’s AuditingCommittee shall consist of three (3) members. Suchofficers shall be elected for two (2) year terms. A localunion may in its own by-laws provide for term of office

of no less than two (2) years and no greater than three(3) years. Any officer may be elected to succeed himselfin office upon the expiration of his term.

(b) Elections shall be held at a stated time of theyear, as fixed by the local union for the term of office.Nominations shall be made at a regular or specialmeeting held on written notice at least fifteen (15) daysprior to the election. The written notice of nominationsshall contain the date, time and place for nominationsand the offices to be filled. Written notice of the electioncontaining the date, time and place of the election mustbe given to each member at least fifteen (15) days priorto such election by mailing such notice to each memberat his last known home address. Written notice of bothnominations and election may be combined in one noticeprovided such combined notice shall conform to theforegoing provisions for separate notices. Each memberin good standing shall have the right to vote in theelection. For voting purposes, any member who isdelinquent in paying his dues may pay his dues owed onthe election day, and that member shall subsequentlybe permitted to vote in that day’s election.

(c) Each bona fide candidate for office has a right,once within 30 days prior to any election in which he isa candidate, to inspect a list containing the names andlast known addresses of all members of the labororganization. This right of inspection does not includethe right to copy the list.

(d) Each candidate is permitted to have anobserver at each polling area and at each ballot countingstation. An observer must be a member in good standingof the I.L.A. and does not have the right to count theballots. The candidate has the responsibility to makeprovisions for the payment of his election observer.

(e) Each local union shall comply with allreasonable requests of any candidate to distribute hiscampaign literature. All expenses of such distribution

are to be borne directly by the candidate. Each candidatemust tender in advance the estimated costs ofdistributing his literature.

(f) The results of the election for each of thepositions in the local union shall be published separatelyand the Recording Secretary shall preserve for one (1)year the ballots and all other records pertaining to theelection. Each local union shall forward the names andaddresses of its officers to the International Secretary-Treasurer and to the District Secretary-Treasurer assoon as such officers are elected.

Section 2. Salaries of local union officers shallbe fixed by the membership.

Section 3. Subject to such other reasonableeligibility requirements as a local union may impose, noperson shall be eligible for office in any local union or asa delegate to the District Council or to the governingbody of a district unless he has been:

(a) a member in good standing of such local unionfor at least one (1) year preceding the date of hisnomination, and

(b) working, or seeking work, at the trade or craftcovered by such local unions for at least one (1) yearpreceding the date of his nomination or employed by theI.L.A. or any of its subdivisions for such year; exceptthat the local union by its by-laws may provide for longerperiods of such eligibilities, which longer periods maybe up to, but no more than three (3) years, provided,however, that a member of a local union which has beenchartered by or affiliated with the I.L.A. for less thanone (1) year shall be eligible for office if he has been amember in good standing of, and working or seekingwork at the trade or craft covered by, such local unionfrom the date of its charter or affiliation.

Section 4. No member who is an officer, director,partner, or principal in, or is employed in a supervisory

job by, a business organization with which the I.L.A., orany of its subdivisions, bargains or seeks to bargaincollectively, can at the same time hold any office or be acandidate for any office in a local union of the I.L.A.

Section 5. Any I.L.A. member who has beenconvicted or pleaded guilty to criminal charges involvingthe sale of, importation of, or trafficking in narcotic drugsshall be ineligible to hold elective office in the I.L.A. fora period of thirteen (13) years after such conviction orafter the end of imprisonment, whichever is later.

Section 6. Notwithstanding anything hereinabovecontained, or contained in any constitution or by-lawsof a local union, the same individual may hold more thanone office in a local union except that the offices ofPresident and Treasurer (or Financial Secretary in lieuof Treasurer) shall not be held by the same individual.

A member may hold office in more than one localunion. Any member who holds office in a local union andwho receives a full-time salary as an officer of that localunion may not also receive any salary as an officer ofanother local union.

Section 7. Unless otherwise provided by the by-laws, the President shall preside at all meetings of thelocal union, and the Executive Board thereof and shallcountersign all checks when signed by the FinancialSecretary or Treasurer. He shall enforce the provisionsof this Constitution and the by-laws of the local union.He shall appoint and be an ex-officio member of allcommittees not otherwise provided for and have suchother powers as are usual to his office.

Section 8. Unless otherwise provided by the by-laws, the Vice-President shall assist the President in theperformance of his duties, shall act for the President inhis absence, and in the event of a vacancy, shall succeedto the office of President for the unexpired term.

Section 9. Unless otherwise provided by the by-laws the Recording Secretary shall keep correct minutesof all meetings of the local union, have charge of its sealwhich he shall attach to all documents requiringauthentication, and have such further powers as areusual to his office.

Section 10. The Financial Secretary or Treasurershall receive all money paid to the local union and shalldeposit it in the local union’s name in such bank or banksor shall invest it in such government securities as theExecutive Board may direct. Unless otherwise providedby the by-laws, he shall sign all checks drawn upon thelocal union. He shall keep true and accurate accounts ofall his transactions as Financial Secretary or Treasurerand shall make reports thereon to the Executive Boardand the local union, and shall have such further powersas are usual to his office. The Financial Secretary orTreasurer of the local union, or such other officers asthe by-laws may designate, shall keep a record of thenames and addresses of all members of the local union.The books and accounts of the local union shall beaudited at least annually by a certified public accountantappointed by the Executive Board of the local union,except where the income of the local union is less than$10,000.00 annually, and in such case the audit shall beby the local’s Auditing Committee; and the books andrecords of the local union shall be retained as requiredby law.

Section 11. The Auditing Committee shall meetat least semi-annually and shall make sure the local hasa current bond to protect against loss by reason of fraudor dishonesty as required by federal law and that thereporting requirements of federal law are complied within a timely manner. The Auditing Committee shall reviewthe accounting practices of the local and report itsfindings to the membership. Any uncorrected deficienciesshall be reported to the local Executive Board and therespective District.

Section 12. Before entering upon his duties, theFinancial Secretary or Treasurer and every other localunion officer, representative, or employee who handlesor holds funds or property of the local union shall executea bond to provide protection against loss by reason ofacts of fraud or dishonesty on his part directly or throughconnivance with others in an amount and in a form asrequired by law and shall advise the InternationalSecretary-Treasurer of the amount of such bond, theidentity of the bonding company and the number or otheridentification of the bond. The International Secretary-Treasurer may require the local union to secure suchother forms of insurance as may be necessary tosafeguard its funds and property. The premiums on allbonds and insurance shall be paid by the local union.Upon a failure of a local union to execute and file such abond or other insurance, if required to do so, theInternational Secretary-Treasurer may obtain such bondor other insurance and charge the cost thereof to thelocal union. Such charge shall be deemed in the natureof an assessment against the local union.

Section 13. (a) The Executive Board shall be thehighest governing authority within the local unionbetween its meetings and shall exercise generalsupervision over its property and affairs. It shall havesuch further powers as are necessary or appropriate toeffectuate the powers granted to it by this Constitutionand by the by-laws of the local union.

(b) Unless otherwise provided in the by-laws, amajority of the members of the Executive Board shallconstitute a quorum for the transaction of business, anddecisions of the Executive Board shall be by theconcurring vote of a majority of all its members present.

(c) The Executive Board may not delegate itsgeneral executive, legislative and judicial powers overthe property and affairs of the local union to any othercommittee, board, group or person; provided, however,

that this shall not prevent the delegation ofadministrative and ministerial functions to dulyauthorized committees established pursuant to the by-laws of the local union.

Section 14. All payments and expenditures ofeach local union shall be made by check uponauthorization by resolution of the local Executive Board.The financial books and records of each local union shallbe maintained in accordance with the requirementsprescribed by the I.L.A.

Section 15. Membership meetings of local unionsshall be held at stated regular intervals upon due noticethereof to the members. Minutes shall be kept ofmembership meetings.

An affiliated local union shall not adopt by-laws ortake any action which impair its ability to meet itsfinancial obligations to the International union and itssubordinate bodies or interfere with the discharge of itsobligations to its members in the negotiation andadministration of collective bargaining agreements andin conducting the affairs of the local union as a solventorganization.

In order to conduct official business at meetingsrequired by this Section, the local union must havesufficient members and/or officers in attendance tosatisfy the quorum requirement in the local union by-laws; provided, however, that a quorum shall not benecessary for a local union to conduct a meeting for thepurpose of accepting nominations for officers.

Section 16. A copy of each report or return filedby a local union, with any governmental agency shall befiled contemporaneously by such local union, with theInternational Secretary-Treasurer and with the DistrictSecretary-Treasurer.

ARTICLE XIVMEMBERSHIP

Section 1. Member in good standing when usedin this Constitution includes any person who has fulfilledthe requirements for membership in such organization,and who neither has voluntarily withdrawn frommembership nor has been expelled or suspended frommembership in accordance with the provisions of thisConstitution and the applicable local by-laws.

Section 2. Except as hereinafter provided, anyworker who is employed or seeks employment in a trade,industry or occupation within the jurisdiction of theI.L.A. shall be eligible to apply for membership and shallbe admitted to membership without regard to race, age,sex, citizenship, or ethnic origin thirty (30) days afterapplication unless just cause can be shown for rejectionof the application. Locals are permitted to establishadditional requirements for membership so long as theserequests comply with applicable law.

Section 3. No local union shall knowingly admitto membership candidates for membership rejected forjust cause by a sister local or expelled members of a sisterlocal where such expulsion has been approved by theapplicable District Council or, where there is no DistrictCouncil, by the majority of the I.L.A. locals of suchlocality or port. If it is found upon a trial, in accordancewith the provisions of this Constitution dealing withdiscipline, that a member has been admitted tomembership in violation of this section, then the localunion shall immediately expel such member, and upona refusal to do so the local union shall be subject todiscipline.

Section 4. Any person who is a member of anorganization, labor or otherwise, whose objective,principles and teachings are opposed to those of theI.L.A. or an organization whose philosophy, principles,teachings or purposes are subversive to the form and

principles of government of the country wherein the localis located to which application for membership is madeshall not be eligible for membership in the I.L.A. Anymember of the I.L.A. cooperating with or joining suchorganization shall be subject to discipline as hereinafterprovided. A local union knowingly continuing inmembership a person who violates this section may haveits Charter revoked as hereinafter provided.

Section 5. Any member who is thirty (30) daysor more in arrears in the payment of dues shall beautomatically, and without notice, suspended from allrights and privileges of membership. Any member whois eighty (80) days or more in arrears in the payment ofdues shall be given written notice that failure to paywithin ten (10) days shall mean automatic expulsion;and upon his failure to pay within such ten (10) days, heshall be automatically, and without further notice,expelled and dropped from the local.

The non-payment of assessments as and when dueshall be a ground for disciplinary action under ArticleXVIII hereof. Nothing herein shall be construed to limitthe right of the I.L.A. or any of its subdivisions to enforcethe provisions of any collective bargaining agreementrelating to the non-payment of dues or to takedisciplinary action for such non-payment under ArticleXVIII hereof.

Section 6. Any member who has been suspendedor expelled for the non-payment of dues or assessmentsmay be reinstated only upon the payment of all moneydue at the time of his suspension or expulsion, togetherwith his initiation fee if expelled and such additionalindebtedness for dues and assessments as accrued duringthe period of his expulsion unless otherwise ordered byhis local union, with the approval of the InternationalSecretary-Treasurer. Nothing herein shall be construedto compel a local to reinstate or readmit an expelledmember.

Section 7. Where members of locals of the I.L.A.who are members of two or more locals, in one of whichthey have been suspended for non-payment of dues, fines,etc., and yet are member of other locals of the I.L.A., thelocal in which they still retain their membership shalltake action to compel said members to pay up their duesin the locals in which they are delinquent; and then ifthe said members desire to no longer work under thelocals in which they are delinquent, to take honorablewithdrawal cards.

Section 8. A local union may issue a withdrawalcard on request of a member upon such terms andconditions as it may prescribe.

ARTICLE XVTRANSFER OF MEMBERSHIP

Section 1. Any member in good standing maytransfer his membership from one local union to anotherprovided he is working at the trade covered by the local,and is eligible for membership in and complies with theprovisions respecting transfers of the local union towhich he seeks to be transferred.

Section 2. The International Secretary-Treasureris to have on hand official transfer cards and supplylocals with same upon request in accordance with theofficial price list.

Section 3. No local union shall accept intomembership a member or members transferring fromanother local union except on presentation of an officialI.L.A. transfer card. Any member of the I.L.A. makingapplication for admission into a sister local must show apaid-up card from his local, together with a statementthat there are no charges pending against him.

Section 4. No local union shall refuse a memberin good standing a transfer unless there is good andsufficient reason for so doing. Upon the request of the

International President or International Secretary-Treasurer, a local union refusing a transfer shall berequired to furnish in writing the reasons for its actions.After review of the facts and reasons, the InternationalExecutive Officers shall have the authority to grant ordeny such transfer. The action of the InternationalExecutive Officers shall be subject to the appealprovisions of Article XIX of this Constitution.

Section 5. No local union shall charge aninitiation fee to any member in good standingtransferring into the local union.

ARTICLE XVIDUES, REVENUES AND FUNDS

Section 1. (a) Each local union shall fix the duesand initiation fees of its members which, however, shallnot be inconsistent with any rules promulgated by aDistrict Council or District organization with which suchlocal is affiliated, provided, however, that such initiationfee shall not be less than fifty ($50.00) dollars.

(b) A local union may prescribe in its by-laws alower scale of dues (but not less than two dollars andfifty cents ($2.50) per quarter) for retired or permanentlydisabled members having minimum specified period ofmembership in such local union. Such retired or disabledmembers paying a lower scale of dues shall not beentitled to participate in any contract ratification votesor other election of delegates to any International orDistrict Convention, and shall not be counted inmeasuring a local’s Convention strength, but, if the localby-laws so provide, such members may enjoy all the otherprivileges of membership.

(c) The requirements for the payment of initiationfees shall not apply to newly organized locals for a periodof sixty (60) days after their organization. On anapplication by a local union, the International Executive

Officers shall have power to permit, in writing, partialor full waiver of the initiation fee in the case of newlyorganized shops or establishments.

Section 2. (a) Whenever a local union representsmembers covered by a collective bargaining agreementproviding for the check-off of per capita tax/dues owingto the International by means of such check-off (ordirectly by the member in the event he fails to sign acheck-off authorization), and the same shall be equal to9/10 of 1% of the member’s straight time hourly rate foreach hour paid for, and same shall be paid to theInternational with a minimum monthly per capita tax/dues from each local union of two dollars and fifty cents($2.50) per member per month payable quarterly withfifty (50¢) cents of this amount being paid to theappropriate district. No such local union, or memberthereof, shall have the option to pay any other ordifferent sum as per capita tax/dues. All International,district and local union officers shall pay 9/10 of 1% oftheir gross wages to the International.

The minimum monthly per capita tax/dues (10members) from each local union shall be twenty-five($25.00) dollars per month payable quarterly. Each localunion shall be directly responsible for the payment ofper capita tax/dues.

The International shall remit 32.5% of all moniescollected under this Section 2(a) and (d) of this article tothe appropriate districts.

(b) Whenever a local union represents memberscovered by a collective bargaining agreement which doesnot provide for the check-off of per capita tax/dues, thenthe per capita tax/dues for each member shall be paid tothe local union which shall forward same on a quarterlybasis to the International Secretary-Treasurer. The percapita tax/dues shall be equal to 9/10 of 1% of themember’s straight time hourly rate for each hour paid.

The minimum monthly per capita tax/dues shall betwo dollars and fifty cents ($2.50) per member and theminimum monthly per capita tax/dues (10 members)from each local union shall be twenty-five ($25.00)dollars per month payable quarterly. Each local unionshall be directly responsible for the payment of per capitatax/dues.

(c) Upon written application by any local union theExecutive Council shall have the power to grant arevision of the above figures.

(d) As part of per capita tax/dues, the Internationalshall be paid 10% of any negotiated royalty moneydistributed to its members. Payment shall be due whensuch money is distributed to the membership. In anyinstance when contract or legal restrictions preventcollection of such per capita tax/dues through check-off,the member’s local union shall be obligated to collectthe sum due from him and promptly transmit it to theInternational.

(e) Nothing herein contained shall prevent theInternational, the district or the local unions frommaking and enforcing a collective bargaining agreementproviding for check-off of a union service charge by non-members working under such collective bargainingagreement.

Section 3. In addition to the per capita tax/duesprovided for in Section 2 hereof, the I.L.A. shall derivethe following revenues:

Section 4. (a) Assessments on the membershipof the I.L.A. may be levied by majority vote of themembers of the Executive Council, present and voting,whenever the Executive Council deems such assessmentnecessary for the welfare of the I.L.A., provided, however,that such action on the part of the Executive Councilshall be effective only until the next Regular Conventionof the I.L.A. Assessments on the membership of the I.L.A.may also be levied by a majority vote of the delegatesvoting at a Regular Convention of the I.L.A. or at aSpecial Convention of the I.L.A. called in accordance withprovisions of Article VI, Section 2, of this Constitution.

(b) No local union shall levy an assessment uponits members except by majority vote by secret ballot ofthe members in good standing voting at a general orspecial membership meeting, after reasonable notice ofthe intention to vote upon such question, or by majorityvote of the members in good standing voting in amembership referendum conducted by secret ballot.Local unions shall be notified by the InternationalSecretary-Treasurer of the amount of such assessmentsand the same shall be forwarded to the InternationalSecretary-Treasurer within thirty (30) days after suchnotification. Each district shall have the power to levyan assessment upon those members of the I.L.A. withinsuch district, provided that the Constitution and by-lawsof such district empowers the district to levy suchassessments and provided further that such assessmentsare levied in accordance with such District’s Constitutionand by-laws.

Section 5. No local union shall be entitled to theremittance of the I.L.A. per capita tax/dues except whenthe Treasury of such local requesting such remittancehas been depleted by reason of a strike conducted by it,which strike has been officially sanctioned by theInternational President and then only upon approval ofthe Executive Council.

Section 6. Money received by the I.L.A. inpayment of assessments or per capita tax/dues, shall becredited first to the payment of any assessment then dueand unpaid, and the balance to the payment of per capitatax/dues.

Section 7. A local in arrears in the payment ofper capita tax/dues to the I.L.A. for a period of six (6)months or more, shall become automatically suspendedfrom the I.L.A., and its charter shall be automaticallyrevoked and cancelled when in arrears for one (1) yearor more.

A local that has been suspended from the I.L.A. forfailure to meet its financial obligations, such as paymentof per capita tax/dues, assessments and otherindebtedness, cannot reaffiliate, except by payment ofits full indebtedness to the I.L.A., together with a regularcharter fee, and then only after the InternationalPresident has approved such reaffiliation.

No local union shall be entitled to representation orother rights and benefits in the I.L.A. during the periodof its suspension.

Section 8. All initiation fees, dues, assessments,and other money paid to a local union, are the propertyof the I.L.A. and are received by the local union for thebenefit of the I.L.A., and all books, records, funds,property and assets, in the possession of and subject tothe control of any local union, is and shall be and remainthe property of the I.L.A., held and retained by such localunion for the I.L.A. with full power to use them for itsown benefit and for the benefit of its members, inaccordance with the provisions of its charter and by-lawsand of this Constitution so long as this local unionremains affiliated with and part of the I.L.A. In the eventthat the membership of any local union falls below ten(10) or that a local union is expelled, dissolved,reorganized, consolidated, secedes, or withdraws fromthe I.L.A., all the books, records, funds, property and

assets of such local union shall revert to the I.L.A. andshall be delivered to the International Secretary-Treasurer forthwith, to be held by him until finaldisposition of same by the Executive Council .Notwithstanding the provisions of this Section, theInternational Executive Officers, with the approval ofthe Executive Council shall have the power to make anyspecial arrangements with any other established labororganization desiring to affiliate with the I.L.A. withrespect to the property and assets of such labororganization upon dissolution, withdrawal, reorganization,consolidation, secession, or expulsion.

Section 9. Upon the demand therefor by theInternational President, or the International Secretary-Treasurer, or the Executive Council, the officers of thelocal union, district council, or district organization shallproduce at a place designated by him or them, all thebooks, records, and papers of such local union, districtcouncil, or district organization before the InternationalPresident, International Secretary-Treasurer or theExecutive Council as the case may be, or such person ashe or they may designate, for their examination andaudit, with the right to copy. Should a local union, districtcouncil or district organization, or the officers thereof,fail to comply with this provision or any provision of thisConstitution, or regulation issued pursuant thereto, withrespect to the maintenance of books of account, and theperiodic auditing of same, the International President,in addition to all other rights and remedies under thisConstitution, shall have the power to bring about fullcompliance with such provisions or regulations, andcharge the cost of same to said local union, districtcouncil or district organization, which charge shall beconsidered as an assessment under this Constitution andan obligation of said local union, district council ordistrict organization. Such costs and expenses shall alsobe the individual obligation of the non-complying officersof such local union, district council or district

organization. The payment of such costs and expensesby such non-complying officers shall be imposed on themupon a finding of guilt in accordance with the provisionsof this Constitution dealing with discipline and the trialbody shall have power to impose such other and furtherdiscipline as it may deem proper. In addition to any otherprovision made in this Constitution, the InternationalPresident shall have full authority to examine and auditthe books of any local union either directly or throughany member of the Executive Council or any other persondesignated by him. A local union failing to deliver itsbooks to any person designated by the InternationalPresident, and bearing credentials from him shall beautomatically suspended until further action is takento discipline said local as herein provided. At any suchexamination the local, upon request, may have itsrepresentative present. A local union, district council,or district organization, or any of its officers in possessionof or in control of its books, records, papers, or accounts,failing to deliver the books, records, papers, or accountsof such subordinate body to, or refusing to allow anexamination, inspection, or audit by the InternationalPresident, or his designee or designees who bearcredentials from him, may be suspended by theInternational President, and an administrator of theaffairs, properties and assets of such subordinate bodywith full power to act may be appointed by theInternational President in addition to any other andfurther action which may be taken to discipline said localunion, district council, or district organization, or anyof its officers, as herein provided.

ARTICLE XVIIFINANCIAL AUDIT

Section 1. The Secretary-Treasurer of each ofthe districts shall be the members of the Committee onInternational Audit. Such Committee shall meet in the

Convention city four (4) days prior to the opening of theConvention with the International Secretary-Treasurer,who shall present to it all necessary accounts, bills andpapers. Such Committee shall audit the accounts of thelast five (5) months prior to the opening of theConvention, and shall submit a complete report of allreceipts and expenditures for said period, and shallsubmit a complete report of all receipts and expendituresto the Convention. The I.L.A. shall pay the salaries ofthe Auditing Committee while engaged in such work.

Section 2. The Executive Council shall appointor engage a Certified Public Accountant to audit thebooks of the International Secretary-Treasurer semi-annually between Conventions, except that in additionthereto, financial transactions for the last five (5) monthsprior to the Convention shall be audited as providedherein. The books of the Secretary-Treasurer shall beclosed one (1) month prior to the convening of theConvention.

ARTICLE XVIIIDISCIPLINE

Section 1. (a) The term “discipline” when usedin this Section shall include, without limitation, a fine,removal from office or job, disqualification to run foroffice, or suspension or expulsion from membership, orsuspension or cancellation of Charter.

(b) Any member, officer, or representative of theI.L.A. or any of its subdivisions, shall be subject todiscipline who is found guilty, after notice of andopportunity for hearing upon charges, as provided for inthis Article, of violating any provision of thisConstitution, or a decision of the Executive Council orof his local union, district council , or districtorganization, or of dishonesty, misconduct, or conductdetrimental to the welfare of the I.L.A.

(c) Subject to the provisions of paragraph (f) theExecutive Board of a local union shall have power todiscipline a member or officer of such local union whomit finds guilty of any conduct specified in paragraph (b).

(d) A district council or district organization, or (ifits by-laws so provide) the Executive Board of such bodyshall have power to discipline any member, officer, orpaid representative of a local union affiliated with it, aswell as any officer or paid representative of or delegateto such district council or district organization whom itfinds guilty of any conduct specified in paragraph (b).Decisions of such bodies shall be made by a majority ofthe delegates present and voting on the question at ameeting thereof.

(e) The Executive Council shall have power todiscipline any member, officer or paid representative ofa local union, any officer or paid representative of ordelegate to a district council or district organization, anyInternational officer or paid national representativewhom it finds guilty of any conduct specified inparagraph (b).

(f) The Recording Secretary of a local union shallpromptly transmit to the district council or districtorganization with which it is affiliated a copy of anycharges filed with him against a district council ordistrict organization, officer, delegate or paidrepresentative, and shall promptly transmit to theInternational Secretary-Treasurer a copy of the chargesfiled with him against an International Officer, paidnational representative or member. The district councilor district organization, its Executive Board, or theExecutive Council, as the case may be, shall have theright, by notice in writing to the Secretary, to assumejurisdiction of any charges and, in that event, no actionupon such charges shall thereafter be taken by the localunion with which they were filed, but all furtherproceedings shall be taken by such district council or

district organization, its Executive Board or theExecutive Council, as the case may be, in the samemanner as though the charges had originally been filedwith it.

Section 2. The Executive Council shall havepower, after notice of and opportunity for hearing uponcharges, to suspend, expel, dissolve, merge, consolidateor otherwise discipline any local union or district councilwhich it finds guilty of violating any provisions of thisConstitution or decision of the Executive Council madepursuant thereto.

Section 3. Proceedings under this Article may beinitiated by any member of the I.L.A. by filing writtencharges, within ninety (90) days after the event givingrise to the charges, specifying the acts or conduct withwhich the accused is charged, with the RecordingSecretary of the appropriate local union or districtcouncil or district organization, or with the InternationalSecretary-Treasurer, as the case may be. The Secretarywith whom such charges are filed shall promptlytransmit a copy thereof to the accused at his last knownaddress, together with written notice of the time andplace of the hearing thereon, which shall be held notless than five (5) days after the date of the notice. In thecase of charges seeking removal of an officer, theSecretary shall also notify all members of the entity ofwhich the party charged is an officer.

Section 4. Hearings on charges shall be heldwithin sixty (60) days from date of receipt of the chargesby the Executive Board of the local union, by the districtcouncil, by the district organization or its Executive Board,or by the Executive Council, as the case may be, or by acommittee appointed by such Board or Council, to hearand report the evidence to it, provided that all decisionsshall be made by such Board or Council. The accused shallbe afforded a full and fair hearing and shall have the rightto appear at such hearing, produce and cross-examine

witnesses, file statements, and be represented by anymember of the I.L.A. in good standing designated by himfor that purpose. The accused shall be entitled to recordelectronically his hearing at his own expense. Decisionsshall be rendered after the close of the hearing and shallbe in writing. A copy thereof shall be served by the Secretaryof the body involved upon the accused and the accuser. Inany case where the accused or the accuser is a member ofthe local Executive Board, the district council, the districtorganization or its Executive Board, or the ExecutiveCouncil, whichever such body may be hearing the case,the accused or the accuser shall not sit on such Board orCouncil and the remaining members of such Board orCouncil shall have power to act.

Section 5. Hearing may be held on any chargenotwithstanding the failure of the accused, after beinggiven notice pursuant to the provisions of this Article,to appear thereat.

Section 6. Appeals from decisions renderedpursuant to the provisions of this Article may be takenin the manner provided herein by the accused or by theperson filing the charge.

Section 7. A member who has been expelled fromthe I.L.A. pursuant to the provisions of this article maybe reinstated to membership by the body which expelledhim. The Executive Council may condition thereinstatement of an expelled member by such limitationsor conditions as it may prescribe.

ARTICLE XIXAPPEALS

Section 1. Appeals may be taken from anydecision made under Article XVIII and from any action,failure to act or decision in the exercise of the originalor appellate jurisdiction provided for in this Constitution:

(a) Of an officer of a local union, to the ExecutiveBoard of such local union;

(b) Of the Executive Board of a local union, to amembership meeting of such local union, whose decisionshall be made by a majority of those present and votingon the question;

(c) Of a membership meeting of a local union, tothe district council (if any) with which it is affiliated, or(if not affiliated with a district council) to the districtorganization;

(d) Of any district council, officer or DistrictCouncil Executive Board, to the district organization,whose decision under this clause and under clause (c)shall be made by a majority of the delegates present andvoting on the question of a meeting thereof;

(e) Of any district organization or InternationalOfficer, or the International Executive Officers, to theExecutive Council;

(f) Of the Executive Council to the Convention.Section 2. An appellate body specified in Section

1 of this Article may hear and determine an appeal filedwith it notwithstanding the fact that such appeal hasnot first been submitted to or decided by a subordinateappellate body pursuant to the provisions of Section 1 ofthis Article, in which event the subordinate appellatebody shall not act upon the appeal; provided that noappeal shall be taken to the convention unless it hasfirst been submitted for decision to the ExecutiveCouncil.

Section 3. All appeals shall be in writing, shallcontain a brief statement of the facts and the groundsfor the appeal and shall be filed with the secretary ofthe body to which they are addressed within thirty days,or such longer period as such body may permit, afterthe rendition of the decision from which the appeal istaken. The secretary with whom the appeal is filed shall

promptly transmit copies thereof, together with a noticeof the date of hearing thereon, which shall be held notless than five (5) days from the date of the notice, to theparties to the appeal. The provisions of Section 4 and 5of Article XVIII (except the right of the accused toproduce and cross examine witnesses) providing for theprocedure on hearing on charges shall apply to hearingson appeals taken under this Article.

Section 4. An appeal taken under this Articleshall not operate to stay the action or decision appealedfrom unless the body to which the appeal is taken shallso order.

Section 5. No member or local union shallinstitute any civil action, suit, or proceeding in any courtagainst the I.L.A., any of its local unions, or districtcouncil or district organization, or any officer or memberof the I.L.A. or of any of its local unions or district councilor district organization on account of any controversyfor which a remedy by trial or appeal is provided for inthis Constitution, unless and until he has first exhaustedall such remedies of trial and appeal. The prohibitioncontained herein shall not extend beyond four (4) monthsfrom the date that a member or local union initiates acontroversy by filing with the proper individual.

Section 6. Whenever a decision is initially made,other than by the Executive Council or the Convention,an appellant, seeking to exhaust his remedies inaccordance with the provisions of Section 5 of this Article,shall, notwithstanding the pendency of any intermediateappeals, file an appeal with the Executive Council withinninety (90) days after having been served with a copy ofthe decision appealed from. If no Regular or SpecialConvention of the I.L.A. is held before the expiration offour (4) months of the date of the decision appealed from,the decision of the Executive Council on appeal shall befinal and binding. If a Regular or Special Convention ofthe I.L.A. is held before the expiration of four (4) months

of the date of the decision appealed from, then the finalappeal must be taken to such Regular or Special Conventionand its decision shall be final and binding, provided however,that in all such cases appeals must first be taken to themembership of a local union and then to the ExecutiveCouncil. If such convention is held so close to the date of thedecision appealed from as to preclude intermediate appealssuch appeal must be taken to the Executive Council andfinally to the Convention.

ARTICLE XXPROTEST OF ELECTION OF OFFICERS

Section 1. The procedure to protest the electionof local officers shall be as follows:

(a) Any member of the local wishing to object tothe election of any local officer may file a protest to theelection. The protest must be filed within ten (10) daysafter the conclusion of the election and must be filed withthe Secretary-Treasurer of the local. The protest mustbe in writing and specify the reasons for the protest.

(b) The Executive Board of the local shall hear theprotest, giving all parties the opportunity to be heardand present evidence, and the Executive Board shallmake the determination.

(c) The party against whom the protest is resolvedshall have the right to appeal to the Executive Board ofthe District. A written notice of appeal must be filedwithin ten (10) days after the notice of the decision ofthe local’s Executive Board. The appeal must be filedwith the Secretary-Treasurer of the District. The losingparty at the district level shall have a further right toappeal to the International Executive Council. He mustfile a written appeal with the International Secretary-Treasurer within ten (10) days of notice of the decisionof the Executive Board of the District. The decision ofthe Executive Council shall be final and binding.

The decision of theExecutive Council shall be final and binding.

Section 3. The procedure to protest the electionof International Officers shall be as follows:

(a) Any member shall have the right to protest theelection of any International Officer. The protest shallbe to the International Executive Council and must befiled within ten (10) days after the conclusion of theelection of officers with the International Secretary-Treasurer who held office at the time of the election. Theprotest must be in writing and state the reasons for theprotest.

(b) All parties involved shall have the opportunityto be heard and present evidence. The Executive Councilmay appoint a subcommittee to hear, take evidence andreport, but the decision must be rendered by theExecutive Council. The decision of the Executive Councilshall be final and binding.

(b) The Executive Board of the local shall hear theprotest, giving all parties the opportunity to be heardand present evidence, and the Executive Board shallmake the determination.

(c) The party against whom the protest is resolvedshall have the right to appeal to the CredentialsCommittee which shall convene at the Convention. Thedecision of the Credentials Committee shall be final andbinding.

Section 5. Regarding the protest of elections, amember, delegate or local may pursue civil remedies ifan intraunion final decision is not rendered within three(3) months of the filing of the protest.

ARTICLE XXITRUSTEESHIPS

Section 1. Trusteeships over local unions,district councils, or district organizations shall beestablished and administered in accordance with thisArticle and for one or more of the following purposes: (1)to correct corruption, (2) to correct financial malpractice,(3) to assure the performance of collective bargainingagreements, (4) to assure the performance of the dutiesof a collective bargaining representative, (5) to restoredemocratic procedures, or (6) otherwise to carry out theobjects and purposes of the I.L.A.

Section 2. Whenever in the judgment of theInternational President it shall be necessary to act toeffectuate one or more of the purposes set forth in Section1 of this Article, then the International President, with orwithout a hearing but after an investigation, shall havethe power, with the approval of the Executive Council, tosuspend the officers of a local union, district council ordistrict organization and to appoint a trustee or trusteesto take charge and control of the books, records, property,assets, funds and affairs of such subordinate body. In eachcase where a trustee is appointed under this Section,charges, as provided for in Article XVIII of this Constitutionagainst the local union, district council or districtorganization, and/or its officers, shall be made and filedwith the International Secretary-Treasurer within fifteen(15) days after this Section is invoked and shall be heardand determined by the Executive Council, or the ExecutiveCouncil may appoint a committee to hear and report to itbut in such event the Executive Council alone shall havethe power to make a final decision. Such decision of theExecutive Council may be the exoneration of the officersand/or body on charges, or, on a finding of guilt, theExecutive Council shall have power among other things tocontinue the trusteeship for a specified time, order newelections, consolidate two or more local unions, and toreorganize, dissolve, or amend the charter or jurisdictionof any local union, district council or district organization.The Executive Council shall render its decision withreasonable dispatch.

Section 3. Whenever charges which allege aviolation by a local union, district council or districtorganization, and/or its officers, within the meaning ofSection 1 of this Article, have been filed with theExecutive Council , or whenever it has assumedjurisdiction over such charges filed with a local union,district council, or district organization, the ExecutiveCouncil shall have the following powers, which it mayexercise prior to a hearing or decision on such charges:

(a) Summarily to suspend from office the accusedofficer or officers;

(b) To appoint a temporary officer or temporaryofficers who shall have all the powers of the officer orofficers so suspended, and who shall serve pending thedecision of the Executive Council upon the chargesagainst the accused, and if the Executive Council findsthe accused guilty for such period as it may prescribe inits decision;

(c) To appoint a trustee or trustees, who shall servepending the decision of the Executive Council upon thecharges against the accused, and, if the ExecutiveCouncil finds the accused guilty, for such periods as itmay prescribe in its decision. In the event that theExecutive Council exercises any of the powers providedfor in this Section, it shall have all the powers and dutieswith respect to hearing and determining charges as isgranted to it under Section 2 of this Article.

Section 4. All trustees shall be appointed inwriting setting forth their powers and duties. The trusteeshall promptly assume his duties as such trustee. Theofficers under charges or investigation, as the case maybe, shall cooperate fully with the trustee in the dischargeof his duties. The trustee shall act under the supervisionof and shall report to the International President. Atrustee, however, appointed, may be replaced by theInternational President. The trustee shall take all stepsnecessary and proper to carry out the purposes of thetrusteeship. He shall continue to act as such trustee untilthe trusteeship shall be terminated by the provisions ofthe decision of the Executive Council on the chargesbefore it.

Section 5. During the trusteeship of a localunion, if delegates are to be chosen for a Convention,they shall be elected by secret ballot and all members ingood standing of the local union shall be eligible to votein such election.

Section 6. Funds and assets of a local union,district council, or district organization shall not betransferred to the I.L.A., except that the trustee shallbe authorized and empowered to pay the regular percapita tax/dues and assessments to the I.L.A. and to theappropriate district and district council, as the case maybe, and except further, that the funds and assets of alocal union, district council or district organization maybe distributed as may be directed by the ExecutiveCouncil if it shall order a merger, consolidation, orreorganization of the subordinate body undertrusteeship. In case a local union is ordered dissolved orexpelled, or its charter revoked, the funds, property, andassets of such local union shall revert to the I.L.A. inaccordance with Article XVI, Section 9.

ARTICLE XXIISTRIKES AND STRIKE BENEFITS

Section 1. No strike shall be ordered, except bythe International President. In addition thereto,whenever conditions arise wherein it becomes necessaryfor the protection of the rights of the members of a localunion or unions to call a strike, such local union or localunions shall refer the question to all directly affectedlocals for consideration, and if a majority of themembership of the directly affected locals vote in favorof a strike, the calling of such a strike shall be requestedof the International President. No local shall go out onstrike without first obtaining the consent thereto of theInternational President. Upon such consent, theInternational President shall be empowered to order thesaid locals to quit work.

Section 2. A local union entering upon asympathy strike without the consent of the InternationalPresident, shall be deemed to be conducting anunauthorized strike, and shall not be supported therein

by the I.L.A. Refusal of the International President toconsent to a sympathy strike is subject to an appeal tothe Executive Council.

Section 3. In the event of a dispute between alocal union or unions with an employer or employers withrespect to wages, hours of labor or any other conditionof employment, an honorable effort at an amicableadjustment shall be made. If such adjustment cannot beobtained and an authorized strike is called or a lockoutensues, the Executive Council may upon properapplication of such local or locals bearing the seal of sameappropriate such amount of money out of the generalfunds of this association as in their judgment may benecessary to assist the members of such local or localsduring the duration of such a strike or lock-out. All fundsappropriated by the Executive Council for such purposesshall be forwarded to the bonded offices of such local orlocals, who shall distribute such funds among themembers of same in accordance with their needs. TheInternational Secretary-Treasurer may demand anaccounting of the expenditure of such funds.

Section 4. If the general funds of the I.L.A. areinsufficient to render the necessary assistance to strikingmembers or to members who have been locked out, theExecutive Council is empowered to authorize theInternational Secretary-Treasurer to issue an appeal forfinancial aid, or may levy an assessment on the entiremembership of the I.L.A. in accordance with theprovisions of Article XVI, Section 5 of this Constitutionfor the purpose of rendering the necessary assistance tostriking members or to the members who have beenlocked out. No financial assistance shall be granted tomembers of a local which has gone out on strike withoutthe approval or consent of the International President.

Section 5. No local union shall be entitled tobenefits under this Article, unless its charter has beenin existence for three (3) months and all per capita tax/

dues of such local have been paid to the International.No local union in arrears for per capita tax/dues shallbe entitled to such benefits until three months haveelapsed after the payment of such arrears.

ARTICLE XXIIIWORKING CONDITIONS AND AGREEMENTS

Section 1. No collective bargaining agreementshall be entered into by a local union with an employerwhich is in conflict with the provisions of thisConstitution.

Section 2. (a) Any agreement governing aparticular line of the industry or craft on a port-wide or area-wide basis, and covering more than one local union, mustreceive the prior written approval of the InternationalExecutive Officers before being executed andconsummated by the I.L.A. subdivisions involved.

(b) The International President, in person orthrough a representative duly designated by him, may,if in all the circumstances he deems it necessary andproper, attend and participate in collective bargainingnegotiations of any local union or unions.

Section 3. Every local union, district council,and district entering into a collective bargainingagreement shall immediately upon the making thereoffile a copy of such collective bargaining agreement withthe office of the International. The officers of the localor locals, the district council, or the district, as the casemay be, involved in the negotiation and making of thecollective bargaining agreements, shall be obliged to seeto it that this provision is carried out promptly.

Section 4. A local union may fix its own wagescale, unless such scale adversely affects other locals orbranches in the trade. Where there is more than one localof the same craft in the same port or vicinity, such local

shall cooperate in the establishment of a uniform wagescale and working conditions. In the event of a disputebetween such locals, the same shall be referred to theInternational Executive Officers, and their decision, withthe approval of the Executive Council in such dispute,must be accepted by the members of the locals directlyaffected before it goes into effect.

Section 5. If an agreement is made by a localunion representing any particular line of the industrycovering more than one port in a locality or in a singleport where there is more than one local engaged in suchwork, and if circumstances require it, an Internationalofficer or a representative shall meet with the ConferenceCommittee with a view of seeing to it that no provisionof such an agreement is in conflict with the interests ofsister locals.

Section 6. No local union or unions may enterinto an agreement affecting the interests of sister localswithout giving due notice of such proposed agreementto said locals, and permitting such locals to raiseobjection thereto.

Section 7. Wage Scale Committees of Districts orDistrict Councils, shall have the power to negotiate andenter into agreement with employers covering the localsor comprising the port or district, on whose behalf suchWage Scale Committee act; except that such locals ashave heretofore customarily negotiated and entered intotheir own agreements with employers, covering themembers of their locals, may continue to do so. Suchagreements shall be subject to the approval of the local,or locals covered by the agreement, at meetings calledin the usual and customary manner of calling specialmeetings dealing with the business of the union, uponthe usual and customary business of the union, upon theusual and customary notice. If more than one local iscovered by such agreement then the aggregate vote castby the membership of all the locals shall determine

whether such agreement has been approved or disapprovedby the membership, except that the International ExecutiveOfficers, upon the recommendation of the Wage ScaleCommittee, shall have power to call for a contractratification vote on such notice as they may determineand through means reasonably calculated to reach themembers affected by such agreement.

A union member shall only be eligible to cast a ballotin any contract ratification vote if that member’s craftis covered by the collective bargaining agreement beingratified.

Section 8. Local unions failing or refusing tofulfill the terms and conditions of an agreement properlyentered into shall be subject to discipline as hereindefined.

Section 9. All local unions shall do everythingin their power to have the collective bargainingagreements with employers contain a provision to theeffect that members thereof shall be justified in refusingto work on jobs or ships on which a legal strike has beenrecognized and approved by the International President.

Section 10. (a) During the term of a collectivebargaining agreement covering more than one localunion, the International Vice-Presidents of the Districtsinvolved, with the written approval of the InternationalExecutive Officers, shall have power to make suchmodifications of a collective bargaining agreement asmay, in their judgment, be called for by the thenprevailing conditions.

(b) During the term of a collective bargainingagreement covering one local union only, the ExecutiveBoard of the local, with the written approval of theInternational Executive Officers, shall have power tomake such modifications of a collective bargainingagreement as may, in their judgment, be called for bythe then prevailing conditions.

(c) During the term of a collective bargainingagreement covering one or more local unions, theInternational President shall have the power to makesuch modifications of a collective bargaining agreementas may, in his judgment, be called for by the thenprevailing conditions.

Section 11. No member of a local union shall bepermitted to enter into any private agreement with hisemployer without the consent of his local union, or anylocal union affected thereby.

Section 12. No local shall permit any member toreceive pay from any company unless he performsservices for said pay, except as may be provided bycollective bargaining agreement.

Section 13. Any member who broaches cargo orappropriates anything of value from on board a vesselor dock shall, when proven guilty to the satisfaction ofhis local, be expelled therefrom.

Section 14. Members of the union shall refrainfrom working on ships diverted from a port where a labordispute exists between the I.L.A. and any of itssubdivisions in connection with such ship, providing suchdispute has been approved as provided herein.

Section 15. Any member or officer of a local unionof the I.L.A. who participates in, or, if an officer,intentionally condones within the local union subject tohis jurisdiction, any kickbacks of wages shall be subjectto discipline.

Section 16. No local of the I.L.A. shall, directlyor indirectly, work any cargo or commodity for a ratewhich is lower than that fixed by any other local of theI.L.A. in such port for the same work. A violation of thissection shall be sufficient grounds for subjecting suchlocal to discipline.

Section 17. No local union or any officer or agentthereof shall have power to make any contract binding

upon or incur any liability on behalf of the I.L.A. withoutthe written authority of the Executive Council. The I.L.A.shall not be liable under any contract, or for any acts orconduct of a local union or a district council or a districtorganization, or their officers or agents unless suchcontracts, acts, or conduct, have been duly authorized bythe I.L.A. No officer, representative, or organizer of a localunion or any subdivision of the I.L.A. shall be, or be deemedto be, an agent of the I.L.A. and to the extent that their actsor conduct are acts of agency under the law of agency, theyshall be agents only of such local union or such subdivision.Nothing in this section shall be construed to mean thatofficers, representatives and organizers of a local union maynot also hold office in a district council, a districtorganization, or the International.

ARTICLE XXIVORGANIZERS

Section 1. The International President mayappoint special organizers as he deems necessary orproper for the welfare of the I.L.A. Such organizers shallhold their positions at the will of the InternationalPresident.

Section 2. The compensation for SpecialOrganizers shall be fixed by the International President.The compensation for the General Organizer shall befixed in accordance with the provisions of Article VIII,Section 1 of this Constitution.

Section 3. Bills for reimbursed expenses byorganizers shall be dated and itemized with respect tothe expenses incurred.

Section 4. No officer or organizer of the I.L.A.,while employed by the I.L.A. as a full-time employee,shall hold any salaried position with any employer oflabor with which the I.L.A. or any of its subdivisionsbargains, or seeks to bargain, collectively

ARTICLE XXVAUXILIARIES

Section 1. The I.L.A., acting through its officers,may issue charters to Auxiliaries. Members of suchAuxiliaries shall have no voice or vote in the affairs ofthe I.L.A. Such charters shall be issued under terms andconditions specified by the I.L.A. acting through itsofficers. In passing on applications for charters forAuxiliaries, the I.L.A. officers shall consult the districtor the locals where such Auxiliaries are sought to beestablished.

ARTICLE XXVIREPRESENTATION TO CONVENTION OF A.F.L.-C.I.O.

AND CANADIAN LABOUR CONGRESS

Section 1. The I.L.A. shall select delegates torepresent it at the Convention of the A.F.L.-C.I.O. andthe Canadian Labour Congress. For each delegate soselected there shall be an alternate selected to act inthe event the delegate is unable to serve.

Section 2. The International President, thePresident Emeritus, if any, and Secretary-Treasurershall, by virtue of their offices, be delegates to all suchConventions. The President or the I.L.A. Convention maydesignate any other delegates or alternates to suchConventions.

ARTICLE XXVIIILLEGAL USE OF NAME

Section 1. No member or group of members mayuse the name “International Longshoremen’sAssociation” or its abbreviation, “I.L.A.,” or its emblemor trademark, or a name, abbreviation, emblem ortrademark calculated to simulate the name,

abbreviation, emblem or trademark of the I.L.A. for thepurpose of endorsing or supporting a cause, candidate,person, product, organization or business entity withoutthe express written consent of the Executive Council.

Nothing in this section shall be construed to prohibita member or officer from using the I.L.A. name merelyto identify himself as an I.L.A. member or officer, or toprohibit a member or officer from referencing the I.L.A.name incidental to a discussion concerning theorganization.

Section 2. Any violation of the provision of thisArticle shall subject the offender to discipline as hereindefined.

ARTICLE XXVIIII.L.A. MARINE DIVISION

The I.L.A. Marine Division shall consist of theInternational Organization of Masters, Mates and Pilots,its affiliates, if any; the United Marine Division, its localunions and other subdivisions; United States MerchantMarine Officers for Great Lakes & River DistrictMasters, Mates & Pilots; and such local unions and otherlabor organizations as shall be chartered by the I.L.A.as part of the I.L.A. Marine Division.

The organizations within the I.L.A. Marine Divisionshall have their own officers and self-government andshall be entitled to have their own sub-divisions. TheI.L.A. Marine Division may have its own officers andself-government. Notwithstanding anything containedin Article XXX, Section 1, the Executive Council of theI.L.A. shall have power to adopt further amendments tothis Constitution, defining the relationship of the I.L.A.Marine Division and its constituent organizations to theI.L.A. consistent with the agreements of affiliationbetween the I.L.A. and such organizations.

ARTICLE XXIXCOMMITTEE ON POLITICAL EDUCATION

Section 1. This Committee shall be known as theInternational Longshoremen’s Association, AFL-CIO,Committee on Political Education (I.L.A.-COPE). Thepurposes and objects of this Committee shall be to receiveand solicit from union members and their familiescontributions of money or other things of value for usein the direct and indirect support of political education,of general education, and of candidates for political andparty office, legislative, executive and judicial.

Section 2. The Committee must adopt by-lawsfor its government which shall not be inconsistent withthe provisions of federal law; and such by-laws shall notbe effective until they have been submitted to theCommittee and approved by them. In the event of aconflict between the by-laws of the Committee and theprovisions of federal law, those sections of the by-lawsthat conflict shall be null and void.

Section 3. The members of the Committee shallconsist of the President, Executive Vice-President,General Vice-President, Secretary-Treasurer, GeneralOrganizer and Assistant General Organizer of theInternational Longshoremen’s Association, AFL-CIO.

Section 4. The officers of the Committee shallconsist of a Chairman and a Treasurer who shall be thePresident and the Secretary-Treasurer, respectively, ofthe International Longshoremen’s Association, AFL-CIO.The Treasurer shall also, among his other duties, beresponsible for the day-to-day administration of allcontributions.

Section 5. No salary shall be paid to any memberof the Committee, except that each member may bereimbursed for expenses or time lost incurred in theperformance of the duties for the Committee.

Section 6. The Committee shall hold such

meetings at such times and places as the Chairman maydesignate upon due notice thereof to the members.

Section 7. All actions of the Committee shall beby majority vote of the members attending the meetingat which a quorum shall be present. A quorum shall bethree (3) members. A two-thirds majority shall berequired to designate additional members of theCommittee or to terminate the activities of theCommittee and dispose of its assets.

Section 8. Except as otherwise directed by theCommittee, the Chairman shall have sole discretion tomake any and all decisions concerning the operations ofthe Committee without the necessity of setting forth anyreason for such action.

Section 9. No expenditure shall be made for oron behalf of the Committee without the authorization ofits Treasurer or an agent authorized orally or in writingby the Treasurer. The Treasurer or his authorized agentshall fulfill all recordkeeping duties.

Section 10. The Committee shall designate one ormore state banks, federally chartered depositoryinstitutions, or depository institutions the depositoraccounts of which are insured by the Federal DepositInsurance Corporation, Federal Savings and LoanInsurance Corporation, or the National Credit UnionAdministration, as its campaign depository ordepositories. The Committee shall maintain at least onechecking account or transaction account at one of itsdepositories.

Section 11. All receipts by the Committee shallbe deposited in accounts. The Treasurer of the Committeeshall be responsible for making such deposits.

Section 12. The Committee shall maintain a pettycash fund for disbursements not in excess of one hundred($100.00) dollars to any person in connection with asingle purchase or transaction.

Section 13. All disbursements by the Committeeexcept for disbursements from the petty cash fund shallbe made by check or similar draft drawn on accountsestablished at the Committee campaign depository.

Section 14. The Treasurer of the Committee shallfile reports of receipts and disbursements in accordancewith the provisions of the federal law.

Section 15. In accordance with federal law, theCommittee is authorized to solicit and receive theircontributions from union members and their familiesprovided that all accounts with respect to funds receivedfrom any members shall be segregated from all of thefunds of the Committee and the contributions andexpenditures of such segregated money shall bemaintained in a separately designated account.

Section 16. In connection with the solicitation ofcontributions from union members and the expendituresof such money, the Committee may adopt such rules andregulations as may be appropriate.

Section 17. The Committee is established andadministered at its headquarters in the township ofNorth Bergen, state of NewJersey.

Section 18. The by-laws of the Committee may beamended at any time by a majority vote of the membersof the Committee present at any meeting.

Section 19. The Committee may be terminated bya vote of two-thirds of its members present at anymeeting of the Committee. In the event of suchtermination, the Committee shall dispose of the assetsin accordance with applicable law and with the objectsand purposes of the Committee.

ARTICLE XXXAMENDMENTS

Section 1. This Constitution may be altered,revised or amended only at a Regular Convention or ata Special Convention called for such purpose.

Section 2. When there is a difference of opinionin any local union as to the meaning and intent of anysection of this Constitution, the question shall bereferred to the International President, and his decisionshall be binding, unless reversed by the ExecutiveCouncil or by the Convention.

Section 3. In the event that any provision of thisConstitution is in the opinion of legal counsel to theInternational in violation of, or insufficient under anyapplicable law, then the Executive Council by a two-thirds vote of its members may adopt any amendmentnecessary to comply with such law.

ARTICLE XXXICODE OF ETHICS

PREAMBLEWHEREAS, fair and ethical practices are

fundamental to the proper functioning of theInternational Longshoremen’s Association, AFL-CIO(hereinafter referred to as “I.L.A.”), and that appropriateoperation can only be achieved and sustained of allofficers, employees, and agents of the I.L.A., its Districts,its constituent locals and other entities observe thehighest standards of ethical conduct, and

WHEREAS, by the imposition of certaintrusteeships, internal union discipline, and othertechniques, the I.L.A. President and the I.L.A. ExecutiveOfficers are committed to eliminating corruptinginfluences from the I.L.A., its Districts, its constituent

locals and other entities within the union, and

WHEREAS, for the benefit of the I.L.A., its Districts,its locals, other entities, and members, a Code of Ethicsincluding a system of investigatory and disciplinaryprocedures designed to rid the union of corruptinginfluences and guide the future conduct of the union isdeemed beneficial, the I.L.A. Executive Officers herebyadopt the following Code of Ethics.

CODE OF ETHICSThe Code is a set of fundamental values to guide the

officers, representatives, and rank-and-file members intheir day-to-day decision-making and conduct. It isintended to express the I.L.A.’s fundamental values andguiding principles. The Code supplements the obligationsalready imposed on the I.L.A., its Districts, andconstituent locals, officers, and rank-and-file membersby the I.L.A. Constitution, federal and state law, andapplicable regulations.

The Code and its enforcement provisions shall applyprospectively to guide the future conduct of the I.L.A.,Districts, and locals, and officers, and members, andunion trustees and any political action committee.

The Code is meant to complement the I.L.A.Constitution, local by-laws, and other required rules ofconduct, not to substitute for them. The Code cannot anddoes not supersede governing laws, including the LaborManagement Reporting and Disclosure Act (“LMRDA”)and the laws of Canada.

I. Democratic Practices1. The ILA's traditions, its Constitution and

federal law protect the democratic rights of I.L.A.members to participate fully, without fear, abuse, orintimidation, in all union affairs. To that end, the

following principles shall be respected.2. Each member in good standing shall be entitled

to full participation in union self-government. Eachmember in good standing shall enjoy full freedom ofspeech and the right to participate in the democraticdecisions of the I.L.A. and his local union. Subject toreasonable rules, regulations, and qualifications, eacheligible member shall have the right to run for office, tonominate through duly established constitutionalprocedures, and to vote in free, fair and honest elections.In a democratic union, as in a democratic society, everymember has certain rights, but he also must acceptcertain corresponding obligations. Each member shallhave the right to freely criticize the policies andpersonalities of union officials; however, this does notinclude the right to undermine the I.L.A., its Districtsor its constituent local unions as institutions; or to carryon activities with complete disregard for the rights ofother members and the interests of the I.L.A. or its locals;or to subvert union goals in collective bargaining or toadvocate or engage in dual unionism.

3. Local union membership meetings shall be heldregularly, with proper notice of time and place and shallbe conducted in an atmosphere of fairness anddemocracy, and in accordance with Articles XII and XIIIof the I.L.A. Constitution.

4. All I.L.A. and local union rules and laws mustbe fairly and uniformly applied, and disciplinaryprocedures shall be fair and afford due process to eachmember as required by the LMRDA, the I.L.A.Constitution and this Code of Ethics.

5. The I.L.A. and local unions shall ensure thattheir operations are conducted in a democratic and fairmanner. Regularly scheduled local union elections shallbe conducted by secret ballot. Corruption, discriminationor anti-democratic practices shall not be tolerated.

II. Fiduciary Duties1. The officers of the I.L.A. and its local unions

have a duty to exercise their authority solely on behalfof and for the benefit of the union and its members. Theseofficers must set aside their personal interests and actin the best interests of the union and its members.

2. Officers shall avoid conflicts of interest betweenthe needs of the union and their own personal interests.

3. Officers should report any real or potentialconflicts of interest to the Executive Council of the I.L.A.or the Executive Board of the local union as applicable.

4. The fiduciary duty to act on behalf of the unionlies at the heart of ethical practices required by the I.L.A.This is a high calling and one that is seen in action everyday, as those working for the union put in countless hoursand tireless effort to improve the union, assist itsmembers and advance the cause of workers everywhere.The fiduciary duty owed to the union has manycomponents as set forth in more detail below.

III. Financial Practices1. Union funds are held in trust for the benefit of

the membership. The membership is entitled toassurance that their funds are not dissipated and arespent for proper purposes. The membership is alsoentitled to be reasonably informed as to how union fundsare invested or used.

2. The union should not permit any of its fundsto be invested or expended in a manner which results inthe personal profit or advantage of any officer orrepresentative of the union.

3. Neither the I.L.A., Districts nor any local unionshall make loans to its officers, representatives,employees, members, or members of their families, forthe purpose of financing the private business of suchpersons.

4. Officers and representatives are prohibitedfrom accepting money or other things of value from anyemployer or any agent of an employer in violation ofapplicable law.

5. The solicitation or receipt of a bribe, kickbackor tip in connection with union business or a unionbenefit plan is prohibited.

IV. Union Benefit Plans1. No official, representative or employee of the

I.L.A., a District or a local union, or any union trusteeof a benefit fund, shall receive fees or salaries of anykind from a fund established for the provision of health,welfare or retirement benefits, except for reasonablereimbursement of expenses provided for in a collectivebargaining agreement or trust agreement covering I.L.A.represented employees and expressly approved by theappropriate Board of Trustees, or, in the case of anemployee of the Fund, where it has been authorized;except that any person who already receives full-timepay from the I.L.A., or an I.L.A. affiliate shall not receivecompensation from any I.L.A. or I.L.A. local affiliate planexcept for reimbursement of expenses properly andactually incurred.

2. Persons who serve as fiduciaries of a benefitplan covering members or employees of the union shallfaithfully serve the best interests of the beneficiaries ofthe plan in accordance with the requirements ofapplicable law.

3. Persons who serve as fiduciaries of a benefitplan covering members or employees of the union shallexercise their duties with respect to the plan with thecare, skill , prudence and diligence under thecircumstances that a prudent person familiar with suchmatters would use acting under similar circumstances.

4. Neither persons who serve as fiduciaries norany member of the fiduciary's family shall profit

personally from his or her position in the plan, otherthan through benefits payable under the generallyapplicable rules of the plan or reasonable compensationpayable by the plan for services rendered by the plan,which services are necessary for the establishment oroperation of the plan.

V. Business and Financial Activitiesof Union Officials

1. No officer or representative of the I.L.A., theDistricts or local unions shall have a personal financialinterest which conflicts with his union duties.

2. Except through stock purchase plans, profit-sharing or retirement plans, no officer or representativeshall have any substantial interest in a business withwhich the I.L.A. bargains collectively, as provided byapplicable law.

3. No officer or representative shall accept bribes,kickbacks, under-the-table payments, tips, gifts,entertainment or any personal payment of any kind,other than regular pay and benefits for work performedas an employee, from an employer with which the unionbargains collectively or from a business or professionalenterprise with which the union does business.

4. Federal law requires the retention of certainrecords for specific minimum periods of time. Officers ofthe union should familiarize themselves and comply withall applicable law regarding retention of records.

5. Destruction of union records, except inaccordance with established law and union procedures,is prohibited.

6. Vendors should be selected solely on the basisof cost, quality, timeliness, location, convenience, andwhether the vendor is unionized. Knowingly payingexcessive amounts for goods or services is a breach offiduciary duty. In selecting a vendor, comparison

shopping may be necessary; cost is not the sole criterion.It is not necessary always to select the least expensiveprovider of goods or services if other factors such asexperience and dependability of the vendor and/orquality of the product outweigh cost.

7. The principal or a designated officer of eachlocal union is responsible for documenting the reasonsfor selecting vendors.

VI. Prohibited Conduct1. No officer or representative, and no union

trustee of any benefit fund, shall engage in “prohibitedconduct.” The following conduct is prohibited:

(a) committing any act of racketeering, as definedin 18 U.S.C. Section 1961(1) (a complete list of thesecrimes is set forth in Appendix A, which is appended tothis Code);

(b) knowingly associating with any member orassociate of an organized crime family or syndicate (adefinition of “knowingly associating” and the exceptionsto that definition are described in Appendix B);

(c) knowingly allowing any organized crimemember or associate to influence the affairs of the union;

(d) knowingly associating with individuals barredfrom union activity, as set forth in Appendix B;

(e) soliciting or accepting payments for jobs orother employment preferences from any member,employee, or prospective employee or member; and

(f) interfering in any way with the operation ofthis Code of Ethics or with the persons responsible forits administration.

2. No officer, representative or employee shallknowingly aid, abet or assist any “barred person,” as thatterm is defined in Appendix B in participating in theaffairs of the I.L.A., a District, the local unions or any

trust or benefit funds. The Ethical Practices Counselshall prepare a list of barred persons which shall beperiodically updated. Each local shall maintain andmake available the list.

VII. Compliance and Enforcement System1. To ensure compliance with the Code of Ethics,

the I.L.A. will provide education and training on acontinuing basis for all officers, representatives, andmembers. Officers will receive further educationregarding these matters through the I.L.A.’s GeneralCounsel's office and/or attendance at establishedprograms geared to union officials.

2. The I.L.A. hereby creates the permanentposition of Ethical Practices Counsel for purposes ofdealing with organized crime influences, corruption, andenforcing the provisions of Part VI of this Code. TheI.L.A. President, with the approval of the ExecutiveOfficers, shall appoint an Ethical Practices Counsel froma list of recommended candidates submitted to thePresident. The Ethical Practices Counsel shall have anunimpeachable reputation for integrity, have lawenforcement experience including experience inconducting investigations and preparing investigativereports, be an attorney, and be familiar with thestructure and purposes of labor unions. As a conditionof the appointment, the Ethical Practices Counsel shallresign any employment or membership he may have withany I.L.A. affiliate and shall sign an agreement not toseek or accept any office or other employment with anyI.L.A. affiliate or with a company that employs I.L.A.members for two (2) years from the termination of hisposition as Ethical Practices Counsel. The EthicalPractices Counsel shall be retained for three (3) yearterms and can be reappointed. He shall not be removedexcept for good cause as found by the I.L.A. President,and concurred in by the I.L.A. Executive Council. TheEthical Practices Counsel shall receive compensation in

an amount set by the I.L.A. Executive Council.3. The Ethical Practices Counsel shall investigate

allegations of organized crime influence, corruption, orengaging in prohibited conduct under Part VI. TheEthical Practices Counsel shall be sensitive to the dangerof unresolved allegations during political campaignsbecause of the irreparable harm that can be caused to aperson wrongly accused of a violation. The EthicalPractices Counsel 's role does not include theinvestigation of routine complaints or grievances bymembers, or of alleged violations of the I.L.A.Constitution, unless the matter also involves anallegation of organized crime influence, corruption orprohibited conduct under Part VI above. To avoid thepossibility of interference with other investigations and/or to avoid a duplication of efforts, the Ethical PracticesCounsel shall have the discretion to defer to lawenforcement agencies or other agencies or individualscharged with the obligation of investigating organizedcrime influence, corruption or conduct otherwiseprohibited by the union under Part VI above. Should asituation so merit, and in the Ethical Practices Counsel'ssole discretion, the Ethical Practices Counsel may refera matter to any appropriate law enforcement agency forfurther investigation, and, if appropriate, may do sowithout notice to the I.L.A.

4. The I.L.A. hereby further creates the permanentposition of Independent Appellate Officer for purposesof hearing any appeals from decisions of the I.L.A.Executive Council on disciplinary matters brought beforethe Executive Council by the Ethical Practices Counsel.The Independent Appellate Officer shall be a formerjudge, or otherwise highly qualified individual, shallhave an unimpeachable reputation for integrity, andshall be familiar with the structure and purposes of laborunions. As a condition of the appointment, theIndependent Appellate Officer shall resign any

employment or membership he may have with any I.L.A.affiliate and shall sign an agreement not to seek or acceptany office or other employment with any I.L.A. affiliateor with a company that employs I.L.A. members for two(2) years from the termination of his position asIndependent Appellate Officer. The IndependentAppellate Officer shall be retained for the same periodas the Ethical Practices Counsel, and can be reappointed.He shall not be removed except for good cause as foundby the I.L.A. President, and concurred in by the I.L.A.Executive Council. The Independent Appellate Officershall receive compensation in an amount set by the I.L.A.Executive Council.

5. The Independent Appellate Officer shall hearappeals on disciplinary matters brought before the I.L.A.Executive Council by the I.L.A. Ethical PracticesCounsel. The procedure for any appeal to theIndependent Appellate Officer from a decision of theI.L.A. Executive Council is set forth in Appendix C. TheIndependent Appellate Officer shall conduct a de novo reviewof the record evidence submitted to the I.L.A. ExecutiveCouncil by the Ethical Practices Counsel and by the partycharged. In his discretion, the Independent Appellate Officermay receive and consider evidence that was not submittedto the I.L.A. Executive Council. Any additional evidence shallbe received by the Independent Appellate Officer under oath.The Independent Appellate Officer may require any officer,agent, representative or member of the I.L.A. to produceany book, paper, document, record, or other tangible object,for use in any appeal.

6. An appeal shall not have the effect of stayingthe final decision of the I.L.A. Executive Council.However, the Independent Appellate Officer may, on themotion of any party, stay any decision pending theoutcome of the appeal. The decision of the IndependentAppellate Officer shall be the final decision of the I.L.A.and shall be binding on the parties.

7. The I.L.A. shall purchase a policy of insuranceand/or bonds, in an appropriate amount, to protect thepersons holding the positions of Ethical PracticesCounsel and Independent Appellate Officer, and anypersons hired by or acting on his behalf, from personalliability for any of their actions under this Code. If suchinsurance is not available, or if the I.L.A. ExecutiveCouncil so elects, to the extent permissible by law, theI.L.A. may indemnify the Ethical Practices Counsel andIndependent Appellate Officer, and any persons hiredby or acting on their behalf, from personal liability (andcosts incurred to defend against any claim of liability)for any of their actions under this Code.

8. The Ethical Practices Counsel shall have theauthority and duty to investigate and file charges againstany officer, representative or member of the I.L.A.

9. If the investigation by the Ethical PracticesCounsel indicates that a charge or charges should be filed,the Ethical Practices Counsel shall prepare a complete reportof the investigation supporting the charge or charges. Anycharges filed by the Ethical Practices Counsel must be filedwithin a reasonable time after completion of the EthicalPractices Counsel's report of his investigation, and,except for good cause shown, this time period should notexceed three months following completion of the requiredreport. The Ethical Practices Counsel shall then file thecharge with the I.L.A. Executive Council in accordancewith Article XVIII of the I.L.A. Constitution. Theprocedures for those hearings and for any subsequentappeal to the Independent Appellate Officer are set forthin Appendix C.

10. In all proceedings before the Ethical PracticesCounsel or Independent Appellate Officer, a member isentitled to be represented by legal counsel or by a memberin good standing of the I.L.A. Failure to cooperate timelywith the Ethical Practices Counsel or the IndependentAppellate Officer by refusing to respond to a request to

answer questions or provide documents, or by knowinglyproviding false or fraudulent answers or documents, is aviolation of this Code. Assertion of the Fifth Amendmentprivilege against self-incrimination shall constitute a failureto cooperate.

11. The I.L.A. General Counsel, in conjunction withthe Ethical Practices Counsel, shall study the operationsof the union and recommend changes to the ExecutiveCouncil to improve those operations in order to preventand eliminate corruption and racketeering activity. Theoperations that the I.L.A. General Counsel's Office andI.L.A. Ethical Practices Counsel shall study include, butare not limited to, the following:

(a) the procedures used by the union to investigateand discipline misconduct by the officers, representatives,and members;

(b) the procedures used to fill vacancies in unionpositions;

(c) the procedures used to select service providers;(d) the employment procedures;(e) the practices relating to the imposition of

trusteeships and other sanctions against subordinateorganizations; and

(f) the administration of the Code and the needfor modification, if any.

12. Within twelve months from the appointmentof the Ethical Practices Counsel, the I.L.A. GeneralCounsel and the Ethical Practices Counsel will submita report, making recommendations to the I.L.A.Executive Council based upon their study.

13. The I.L.A. will provide the Ethical PracticesCounsel and Independent Appellate Officer withsufficient resources to fulfill their mandate. The EthicalPractices Counsel and Independent Appellate Officershall have complete and unfettered access to, and the

right to make copies of all books, records, accounts,correspondence, files, and other documents of anyindividual or entity.

14. The Ethical Practices Counsel and IndependentAppellate Officer shall have the right to take and requirethe sworn statement, or sworn oral deposition, or sworntestimony of any officer, representative, or member ofthe Union. If any person refuses to testify or to provideevidence before the Ethical Practices Counsel or theIndependent Appellate Officer, including a refusal on thebasis of the privilege against self-incrimination,discipline may be imposed on such person for that reasonalone.

15. The names of any persons to be employed by theI.L.A., a District, or any local union, must be submitted tothe Ethical Practices Counsel for review, except for positionsexempted by the Ethical Practices Counsel. If the EthicalPractices Counsel concludes that the appointment isinconsistent with the objectives and purposes of the Codeof Ethics, he may disapprove the appointment.

VIII. Duty to Report Felony Arrests, Indictmentor Criminal Charges, and Suspension ofCriminally Charged Officers

1. Any officer of the I.L.A., a District, or localunion, and all members serving as trustees of anyemployee benefit plan, fund, or trust must notify theEthical Practices Counsel in writing within five (5) dayswhenever they learn that any officer, representative,employee, or labor trustee of the I.L.A., a District or localunion has been arrested, indicted, or otherwisecriminally charged with any felony or with violation ofany law relating to the affairs of a labor organization oremployee benefit plan.

2. Upon receipt of notice that any officer,representative, or labor trustee of the I.L.A., District orlocal union has been criminally charged with any felony

violation of a federal or state law, or for any violation ofa federal or state law relating to the conduct of the affairsof a labor organization or employee benefit plan, theI.L.A. President shall place the accused individual on atemporary leave of absence with pay. The EthicalPractices Counsel shall then promptly institute aninvestigation regarding the allegations, and within 30days provide a written report of his investigation to theI.L.A. Executive Council and the General Counsel'sOffice. After considering the Ethical Practices Counsel’sinvestigative report and after conferring with GeneralCounsel, the I.L.A. Executive Council shall determine:

(a) whether the offense for which the accusedindividual was charged constitutes “prohibited conduct”under Part VI above; and

(b) the appropriate discipline that should beimposed on the accused individual, if any, includingwhether and for how long to continue the suspensionand whether the suspension should be with or withoutpay; and

(c) whether the charge requires that any localunion impacted by the alleged criminal activity needs tobe placed under trusteeship by the I.L.A.

3. The information gathered by the EthicalPractices Counsel shall be confidential until charges arebrought.

4. The provisions of this Section are intended tobe in addition to, and not in lieu of, any other rules thatmay be imposed by federal or state law, or by regulatorybodies like the Waterfront Commission.

IX. Hotline1. A toll-free telephone number will be created to

serve as a Hotline for members to report any incidentsor allegations of organized crime influence, corruptionand/or prohibited conduct under Part VI above. The

number for the hotline is 1-800-367-9011.2. The Hotline will allow members to provide

information to the Ethical Practices Counsel whilemaintaining their anonymity. The I.L.A. waives its rightto obtain information learned in confidence by theEthical Practices Counsel.

3. The Hotline is not intended to be used forroutine complaints about employers, union officers, orI.L.A. policy unless the matter involves an allegation oforganized crime influence, corruption or prohibitedconduct under Part VI above.

X. Hiring Hall Guidelines1. Many local unions operate referral lists. An

employer contacts the local union office to state that itneeds workers, and the office then refers workers to theemployer. Such referral systems should be operated withscrupulous fairness for all members as the memberslivelihood is at stake. There should be no discriminationin making a referral.

2. A local union operating a referral system shallbase referrals only on objective standards. Workassignments must be based only on these standards andthe standards shall not be applied in an arbitrary ordiscriminatory fashion.

3. The procedure by which the referral list isoperated must be in writing and available upon requestto any member. The procedure must include a systemfor contemporaneously recording how each referral isplaced. The record-keeping provisions of the referralsystem must be adequate to make it possible to checkwhether the system has been operating fairly andimpartially.

4. Any officer, representative or member of theI.L.A., a District or local union who offers, solicits oraccepts money or anything of value in return for a job

assignment or membership in the union will be subjectto discipline.

XI. Duty to Read and Apply This Code of Ethics1. It is the duty and obligation of every officer,

representative, and member to read, and follow this Codeof Ethics. Each officer, representative, and member shallverify to the Ethical Practices Counsel that he has readand understands the Code of Ethics.

Appendix A

“Racketeering activity” means (A) any act or threatinvolving murder, kidnapping, gambling, arson, robbery,bribery, extortion, dealing in obscene matter, or dealingin a controlled substance or listed chemical (as definedin §102 of the Controlled Substances Act), which ischargeable under State law and punishable byimprisonment for more than one year; (B) any act whichis indictable under any of the following provisions of title18, United States Code: Section 201 (relating to bribery),section 224 (relating to sports bribery), sections 471, 472,and 473 (relating to counterfeiting), section 659 (relatingto theft from interstate shipment) if the act indictableunder section 659 is felonious, section 664 (relating toembezzlement from pension and welfare funds), sections891-894 (relating to extortionate credit transactions),section 1028 (relating to fraud and related activity inconnection with identification documents), section 1029(relating to fraud and related activity in connection withaccess devices), section 1084 (relating to thetransmission of gambling information), section 1341(relating to mail fraud), section 1343 (relating to wirefraud), section 1344 (relating to financial institutionfraud), section 1425 (relating to the procurement ofcitizenship or nationalization unlawfully), section 1426(relating to the reproduction of naturalization orcitizenship papers), section 1427 (relating to the sale of

Appendix BA “barred person” is (1)any member or associate of

any La Cosa Nostra crime family or any other organizedcriminal group, i.e., a racketeer, or (2)any person whohas been prohibited from participating in union affairs.An officer, representative, employee or member of the

I.L.A., a District or a local union is prohibited fromknowingly aiding, abetting or assisting a barred personfrom participating in union affairs. An officer,representative, employee or member is also prohibitedfrom knowingly associating with a barred person.

A person “knowingly associates” with a barred personif the person makes a calculated choice to associate withthe barred person despite knowing of that person’s statusas a barred person. A person can knowingly associatewith a barred person only if that person knows that theindividual is a barred person. Knowledge need not beabsolute certainty. Public media sources may be anadequate source of knowledge that an individual is abarred person. Members in doubt regarding whether anindividual is a barred person should make a confidentialinquiry of the Ethical Practices Counsel’s Office via thetoll-free hotline described in ArticleIX of the Code ofEthics.

The prohibition is against associating with barredpersons, not the purpose or end result of the association.No criminal or improper purpose for the contact isrequired. The prohibition is aimed at the perception ofothers that barred persons have influence over unionaffairs. For example, childhood friendships that extendinto adulthood are prohibited even if they are limited tosocializing at parties, weddings, and funerals, etc., if thecontacts with the barred person are ongoing anddeliberate.

The contact with the barred person must be aconscious, calculated choice. It must be more than afleeting or casual encounter, such as an unplanned,isolated instance of being at the same social event. Onthe other hand, a prohibited association may be just oneplanned contact with a barred person, such as a prisonvisit or a dinner meeting.

Knowingly permitting barred persons access to aunion hall or a union event is prohibited. Seeking or

utilizing the assistance of a barred person to obtain unionmembership or to obtain employment with the union isalso prohibited, as is hiring, admitting to the union, orassigning union work to an individual at the request orsuggestion of, or to curry favor with, a barred person.

Likewise, knowingly conducting non-union businesswith a barred person, even if the business is lawful, isprohibited. For example, installing a new floor andcabinets for barred persons or preparing their incometax returns is prohibited, as is using barred persons toperform non-union business.

There are only two exceptions to the prohibitionagainst knowing association with barred persons:(1)necessary , legitimate union business and (2)purelysocial relations with immediate family members. Thefirst exception would apply if a barred person owned,represented, or was employed by a company whoseemployees were represented by the union. Contacts thatoccur only as the necessary result of the ordinary, lawfulconduct of union business are permissible, but suchcontacts should extend no further than necessary. Thebusiness contact should not extend to a social contactbecause of the possible perception of others that thebarred person has impermissible influence. A membermust refuse a social invitation from a barred person evenif the member conducts union-related business with thebarred person. Moreover, a member who has contactswith a barred person as permitted by this exception isencouraged to confidentially inform the Ethical PracticesCounsel’s Office about the contact. Even though thecontact is permitted, the contact poses dangers to theunion and the member; if the Ethical Practices Counselis alerted to the contact, Counsel can provide a measureof protection.

The prohibition against “knowingly associating” witha barred person does not include (a)a union officer ,representative, employee or member meeting or

communicating with a barred person who is an employerto discuss the negotiation, execution or management ofa collective bargaining agreement, or a labor dispute,when the union officer, representative, employee ormember represents, or seeks to represent, or would admitto membership the employees of that employer; (b)aunion officer, representative, employee or membermeeting or communicating with a barred person who isa representative or member of a labor organization todiscuss Union matters; (c)a union officer , representative,employee or member meeting or communicating with arelative by blood or marriage solely for social purposes.

The second exception, for contacts for purely socialrelations with a relative by blood or marriage, is verylimited. Maintaining a relationship with a barred personwho is a relative is permissible if it is limited to lawful,social interactions. As used in this Code, the term“relative” shall mean a lineal descendent, stepchild,ancestor, sibling, spouse, or child of a lineal descendent,stepchild, ancestor or sibling.

Appendix CRULES OF PROCEDURE FOR HEARINGS

INVOLVING INVESTIGATIONS AND DISCIPLINARYMATTERS ON CHARGES BROUGHT BY THE ILAETHICAL PRACTICES COUNSEL

A. GENERAL1. Pursuant to the ILA Code of Ethics adopted in

January, 2004, the following rules of procedure arehereby adopted, to take effect on January 1, 2006. Theserules shall apply to:

a. All proceedings based on charges filed by theEthical Practices Counsel on or after January 1, 2006under Article VII of the ILA Code of Ethics;

b. All proceedings based on investigationsundertaken by the Ethical Practices Counsel underArticle VIII of the ILA Code of Ethics; and

c. All appeals to the Independent AppellateOfficer from final decisions of the Executive Council inproceedings brought under subparagraphs a and b,above.

2. For each proceeding commenced by the EthicalPractices Counsel under Article VII or Article VIII ofthe ILA Code of Ethics, the Secretary-Treasurer of theILA shall establish a formal docket to be kept at a securelocation within the headquarters of the ILA. The docketshall contain all charges, notices, pleadings, and otherpapers filed with the ILA Executive Council, the EthicalPractices Counsel, or the Independent Appellate Officerin the proceeding. A separate docket shall be maintainedfor each matter, with a separate number. The details ofthe numbering system will be formulated at a futuredate.

3. The Secretary-Treasurer shall maintain aseparate document-summary sheet for each mattersimilar to those maintained by Federal Courts. Thesummary sheet shall indicate the matter number, thetitle of the matter, the date each document is filed andentered on the docket, with a brief description of thedocument. The documents filed in the docket shallconstitute the original record of the proceeding.

B. DISCIPLINARY CHARGES BROUGHT BYTHE ETHICAL PRACTICES COUNSEL UNDERARTICLE VII OF THE ILA CODE OF ETHICS.

1. All charges by the Ethical Practices Counselshall be in writing, and shall be filed with the ExecutiveCouncil by delivery to the office of the ILA’s Secretary-Treasurer at 17 Battery Place, 9th Floor, New York, NewYork 10004. A copy must be served on the charged party.The ILA’s Secretary-Treasurer must hold the charges andall other pleadings and filed documents confidential andpermit no one, except the parties, their authorizedrepresentatives, the ILA General Counsel, and themembers of the Executive Council, to examine them

during the pre-hearing and hearing stages of theproceedings.

2. Article XVIII, Section 3 of the ILA Constitutionand Paragraph 29 USC, Section 411(a)(5) requires fairnotice of charges in sufficient time to enable the memberto defend himself. The charges should be specific enoughto inform the member of the offense(s) with which hehas been charged, but need not be as specific as acriminal indictment. The standards of particularity ofTitle 29 USC, Section 411(a)(5), as construed by thecourts, shall be followed.

3. Within 15 business days of the filing andservice of charges, the Ethical Practices Counsel shallidentify to the member served with the charges, thedocuments which the Ethical Practices Counsel intendsto offer into evidence at the hearing. Upon request ofthe member, or his authorized representative, the EthicalPractices Counsel shall make the documents availableto the member, or his representative, by providing copies,or in the event the documents are too voluminous, theEthical Practices Counsel shall make the documentsavailable for inspection by the member or hisrepresentative. In the event the Ethical PracticesCounsel determines that additional documents may beoffered in evidence, the Ethical Practices Counsel shallpromptly notify the opposing party or his representativeof their identity to permit examination and inspection.

4. No later than seven business days before thedate scheduled for the hearing, the Ethical PracticesCounsel shall provide the member or his authorizedrepresentative with a list of the names of the witnessesthat the Ethical Practices Counsel intends to call at thehearing. In the event that additional witnesses areneeded or become available, the Ethical PracticesCounsel shall promptly notify the charged party or hisrepresentative of their identities.

5. The hearing shall be conducted by the

Executive Council, or by a committee appointed by theExecutive Council, and shall be conducted in accordancewith Article XVIII, Section 4 of the ILA Constitution.

6. The member charged is entitled to be representedat all stages of the proceedings by another ILA member ingood standing or by counsel, at his own expense. Oncecounsel or an authorized representative has appeared onbehalf of a charged member, all subsequent papers shall beserved on the counsel or representative.

7. The hearing shall be conducted in a courtroom-like manner, although strict evidentiary rules need notbe applied. As is the custom and practice in laborarbitrations, hearsay may be admitted provided thereis a demonstration of reliability. Documents admittedin evidence shall be suitably marked and made part ofthe record. All witnesses shall be sworn, and testimonyshall be transcribed by an accredited court reporter.

8. The hearing shall be conducted at a locationdesignated by the ILA Executive Council or by thecommittee established to hear the charges. An attemptshall be made to hold the hearing at a location convenientto all parties. Attendance at the hearing shall be limitedto the parties and their attorneys or representatives.

9. The ILA Executive Council shall render adecision in writing, serve it on the parties, and promptlytransmit it to the Secretary-Treasurer for entry on thedocket, together with all papers and documentspresented at the hearing.

C. INVESTIGATIONS BY THE ETHICALPRACTICES COUNSEL UNDER ARTICLE VIII OFTHE ILA CODE OF ETHICS

1. Upon receipt of notice that the ILA Presidenthas placed an officer, representative, employee, or labortrustee of the ILA, District, or local union on a temporaryleave of absence with pay, because the individual hasbeen criminally charged as described in Article VII,

section 2 of the ILA Code of Ethics, the Ethical PracticesCounsel shall promptly institute an investigationregarding the allegations by filing with the SecretaryTreasurer a Notice of the investigation and serving acopy of the Notice on the accused party.

2. The Ethical Practices Counsel shall conduct theinvestigation in whatever manner, in his discretion,seems appropriate to the circumstances.

3. At the conclusion of the investigation, theEthical Practices Counsel shall provide a written reportand recommendation to the ILA Executive Council, withcopies to the ILA General Counsel’s Office and to theaccused party.

4. The final decision of the ILA Executive Councilshall be in writing, filed with the Secretary-Treasurer,and served on the Ethical Practices Counsel and theaccused party.

D. APPEALS TO THE INDEPENDENTAPPELLATE OFFICER

1. An appeal to the Independent Appellate Officermay be taken by either the Ethical Practices Counsel orthe charged party, or both, from the final, writtendecision of the ILA Executive Council.

2. A party seeking to appeal must, within 30 daysof receiving the final decision by the ILA ExecutiveCouncil, file a Notice of Appeal with the Secretary-Treasurer, send a copy to the Independent AppellateOfficer, and serve the other party with a copy.

3. The Notice of Appeal shall indicate the nameand docket number of the proceeding, the party or partiestaking the appeal, the date of the final decision by theILA Executive Council that is being appealed, and thenames of counsel or authorized representatives for eachparty.

4. The party charged may be represented bycounsel, or by an ILA member in good standing.

5. The parties shall have at least thirty days toprepare for the appellate hearing.

6. The Independent Appellate Officer, in hisdiscretion and after consultation with the parties, shalladopt whatever procedures for briefing and for thehearing as are appropriate to the case.

7. The Independent Appellate Officer shallconduct a de novo review of the record evidencesubmitted to the ILA Executive Council by the EthicalPractices Counsel and by the charged party. Theappellant shall provide a copy of that evidence to theIndependent Appellate Officer.

8. In his discretion, the Independent AppellateOfficer may receive and consider evidence that was notsubmitted to the ILA Executive Council. Any additionalevidence shall be received by the Independent AppellateOfficer under oath.

9. The Independent Appellate Officer may requireany officer, agent, representative, member, or employeeof, or entity within, the ILA to produce any book, paper,document, record, or other tangible object, for use in anyappeal.

10. In order to maintain confidentiality, all paperson an appeal before the Independent Appellate Officershall be filed only with the Secretary-Treasurer, theIndependent Appellate Officer, and the parties or theircounsel or authorized representative.

11. Any hearing on the appeal shall be conductedat a location selected by the Independent AppellateOfficer with an effort to make the place convenient toall parties.

12. An appeal shall not have the effect of stayingthe final decision of the ILA Executive Council; however,the Independent Appellate Officer may, on motion of anyparty, stay any decision pending the outcome of theappeal.

13. The decision of the Independent AppellateOfficer shall be the final decision of the ILA and shall bebinding on the parties. After issuing the final writtendecision on appeal and serving copies on the parties ortheir counsel or authorized representatives, theIndependent Appellate Officer shall transmit thedecision, along with the original record and anyadditional papers filed on the appeal, to the Secretary-Treasurer for entry on the docket.

RULES OF ORDER

•Section 1. On motion the regular order of

business may be suspended by a two-thirds vote of themeeting at any time to dispose of any urgent business.

Section 2. All resolutions and resignations shallbe submitted in writing, if so requested by the Secretary.

Section 3. Any conversation by whispering, orotherwise, which is calculated to disturb a member whilespeaking or hinder the transaction of business, shall bedeemed a violation of order.

Section 4. All questions of a parliamentarynature not provided for in these rules shall be decidedby Roberts’ Rules of Order.

Section 5. A motion to be entertained by thepresiding officer must be seconded, and the mover aswell as the seconder must rise, and be recognized by theChair; it shall be reduced to writing at the request ofthe Secretary.

Section 6. In presenting a motion, a briefstatement of its object may be made; but no discussionof its merits shall be admitted until the question is statedby the Chair.

Section 7. Any member having made a motioncan withdraw it by consent of his seconder, but a motiononce debated cannot be withdrawn except by unanimousconsent.

Section 8. A motion to amend an amendmentshall be in order, but no motion to amend an amendmentto an amendment shall be permitted.

Section 9. Any member may call for the divisionof a question where the sense will admit thereof.

Section 10. A motion shall not be subject to debateuntil it has been stated from the Chair.

Section 11. When a member wishes the floor, heshall rise and respectfully address the Chair, and ifrecognized by the Chair, he shall be entitled to the floor.

Section 12. If two or more members rise to speakat the same time, the Chair shall decide which is entitledto the floor.

Section 13. Each member, when speaking, shallconfine himself to the question under debate and avoidall personal and indecorous language.

Section 14. No member shall interrupt anotherwhile speaking, except to a point of order, and he shalldefinitely state the point, and the Chair shall decide thesame without debate.

Section 15. If a member while speaking be calledto order, he shall take his seat until the point of order isdecided, when, if decided in order, he may proceed.

Section 16. If any member shall feel himselfaggrieved by a decision of the Chair, he may appeal tothe local union from the decision.

Section 17. When an appeal is made from thedecision of the Chair, said appeal shall be stated by theChairman to the meeting in these words: “Shall thedecision of the Chair be sustained as the decision of themeeting?” The member will then have the right to statethe grounds of his appeal, and the chair will give thereason for his decision; thereupon the local union willproceed to vote on the appeal without further debate.

Section 18. No member shall speak more thanonce on the same subject until all members desiring thefloor shall have spoken, nor more than twice withoutconsent, nor for more than five (5) minutes.

Section 19. The presiding officer shall not speakon any subject except points of order and appeals fromthe decision of the Chair; he shall have a vote on thequestion before the meeting only in the event of a tievote.

Section 20. When a question is before themeeting, no motion shall be in order except:

1. To adjourn.2. To lay on the table.3. For the previous question.4. To postpone to a given time.5. To refer or to recommit.6. To amend.And these several motions have precedence in order

herein arranged.Section 21. The following are not debatable:1. To adjourn.2. To lay on the table.3. To read a document or paper.Section 22. When the previous question is moved

and seconded, it shall be put in this form: “Shall the mainquestion now be put?” If this is carried, all furthermotions, amendments and debate shall be excluded andthe question put without delay.

Section 23. If a motion has been amended thequestion on the amendment shall be put first; if morethan one amendment has been offered, the question shallbe put as follows:

1. Amendment to the amendment.2. Amendment.3. Original proposition.Section 24. When a question is postponed

indefinitely it shall not come up again except byunanimous consent.

Section 25. A motion to adjourn shall always bein order, except:

1. When a motion is before the house.

desire to make a report.Section 26. Before putting a question to vote the

presiding officer shall ask: “Is the local ready for thequestion?” Then it shall be open for debate. If no memberrises to speak, the presiding officer shall then put thequestion, and after the vote is taken he shall immediatelyannounce the result.

Section 27. When the presiding officer hascommenced taking vote, no further debate or remarksshall be allowed, unless a mistake has been made, inwhich case the mistake shall be rectified, and thepresiding officer shall recommence taking the vote.

Section 28. Before the presiding officer declaresthe vote on a question, any member may ask for adivision of the house, when the Chair is duty bound tocomply with the request, and a standing vote shall betaken.

Section 29. Every member present shall vote onall questions before the local union, unless personallyinterested or excused by the local union.

Section 30. When a question has been decided, itcan be reconsidered only at the same meeting or on thenext regular night.

Section 31. A motion to reconsider must be madeand seconded by two members who voted with themajority.

Section 32. Roll call shall be granted upon therequest of fifteen (15) members.
