Consultancy Agreement No. PD/CA/ 244 (“Agreement”)
Notice of Invitation for Expression of Interest (EOI)
Interested consultants are invited to express interest in undertaking the above consultancy.
The scope of this Agreement, which is to be awarded tentatively in December 2017, is
indicated in the attached Draft Project Brief (which is subject to change) together with the
plans in Annex I.
If you are interested in this Agreement, please complete and return the Acknowledgement
Slip at Annex III to the Corporation by 12:00 noon on 3 October 2017.
You are also required to submit the EOI proposal before noon on 10 October 2017 by
submitting three (3) sets of submission documents and one (1) set of electronic copy in
CD-ROM in a sealed envelope.
Late submission will NOT be considered.
The envelope shall be marked on the face with the Subject of the Submission, Agreement
No., Consultancy Title and Name of Consultant, and addressed to the Chief Project
Development Officer, according to the template as shown in Annex IV. The envelope shall
be placed in the Tender Submission Box located in the Reception Counter on 8th Floor of
Bio-Informatics Centre, 2 Science Park West Avenue, Hong Kong Science Park, Shatin,
Hong Kong for the attention of Chief Project Development Officer. Please refer to Annex
V for the location of the Tender Submission Box.
In the event a tropical cyclone warning signal No. 8 or above is hoisted or a black rainstorm
warning signal is issued between 9:00 am and 12:00 noon on the submission closing date,
the submission closing time will be postponed to 12:00 noon on the next working day.
The submission documents shall contain the following information in a maximum of ten
(10) single-sided A4 pages with a minimum font size of 12 font. You shall note that the
Proforma with the following sections as enclosed in Annex II should be strictly followed
for this EOI selection:
1) Appreciation of the key requirements and constraints/risk;
2) Approach and strategy in master planning to meet the requirements of the assignment
and innovative idea to develop the master planning design for this Project ;
3) Relevant experience of the MPDCT (either the Architectural Consultant or his/her
Master Planning Design Specialist) either in Hong Kong or elsewhere;

4) Knowledge, experience and capability of core personnel of the MPDCT (including
the Architectural Consultant and Master Planning Design Specialist) together with
their curriculum vitae. The curriculum vitae shall form an attachment to the EOI
proposal; and
5) Proposed organization of the MPDCT (including the Architectural Consultant, Master
Planning Design Specialist and other sub-consultants for this Project) together with an
organization chart in separate sheet. The organization chart shall form an attachment
to the EOI proposal.
Please note that no attachments, except those elements specifically requested herein as
forming attachments should be included in your submission. Late submissions or
submissions that do not conform to the requirements in respect of the number of
pages, the page size, the font size or the attachments as specified in this letter will not
be considered.
Unless specified in this letter, you are not required to submit drawings together with the
EOI proposal. No credit will be given to consultants in the selection of the EOI proposals
for drawings not specified in this letter.
Based on the response received, maximum eight (8) suitable consultants will be short-listed
to tender for the Master Planning Study. Please further note that in the event you are
short-listed and invited to tender for the Services, you may be required to undertake the
preparation of both Technical and Fee Proposals with drawings and other media for
presentation as required in the Corporation's subsequent Request for Proposal. The fee to be
quoted in the Fee Proposal, if invited to submit, and all payment in relation to the Services
shall be made in Hong Kong Dollars.
Upon submission of the EOI proposals, MPDCT may be invited to attend an interview to
present the initial approach of the planning, design and project delivery.
You are also required to declare on compliance with the ethical commitments requirements
by completing and returning the Declaration Form in Annex VI as an attachment to your
EOI proposal.
If appointed, you will act as the Master Planning and Design Consultant Team (MPDCT)
under this Agreement, responsible for all aspect of research, design, liaison, consultation,
co-ordination, analysis, presentation and preparation of reports and activities as described
in the Final Project Brief to be issued to the short-listed consultants in tendering stage.
The appointed MPDCT will be required to team up with the sub-consultants as listed in the
list of consultants in Annex VII, as minimum. Sub-consultants in other disciplines, if
required, shall suit the project requirements of the Project as described in Annex I herein.
The MPDCT is not allowed to change his/her sub-consultants (i.e. Master Planning Design
Specialist, Traffic Consultant and Environmental Consultant) in the subsequent technical
proposal submission without reasonable justification.

You are drawn to the attention that the same core personnel proposed in your EOI proposal
must be nominated in your Technical and Fee Proposals in the tendering stage if you are
short-listed to tender for this Consultancy. You may change the core personnel(s) with
alternative(s) with equivalent and/or higher qualification and experience. However, the
same will be subject to further review and assessment and you may be required to revert
back to the original proposed core personnel(s) submitted in your EOI proposal.
The EOI proposal shall be submitted together with a statement of ISO 9000 Certification in
accordance with the requirements at Annex VIII and a Declaration of your Staffing
Proposal in accordance with the guidelines at Annex IX.
Please also take note of the following conditions in respect of linkage of consultants before
making your submission:
(a) No Consultants are permitted to submit more than one bid for the same agreement.
For the avoidance of doubt, Consultants who submit a bid in their own name and a
bid in the name of an un-incorporated joint venture/partnership (with the Consultants
concerned as a participant/partner) will be considered as having submitted two bids.
(b) Consultants (these must be consulting firms to be eligible for being considered for
this consultant selection exercise) having linkages to each other, e.g. subsidiaries,
parent or sister companies, are not allowed to bid on the same agreement. Only one
firm among such consultants, as the case may be, should be allowed to submit the
EOI proposal. You are thus required to declare any linkage with other consultants.
The existence of a holding-subsidiary relationship shall be determined in accordance
with the provisions in Sections 13 to 15 of the Companies Ordinance (Cap 622).
“Sister companies” shall mean all companies which are subsidiaries of or otherwise
belonging to the same holding company. Consultants having linkages should sort out
among themselves before submitting any EOI proposal.
(c) For the purpose of this “no linkage” requirement, an academic institution and any
separate entities/companies formed by the same academic institution or any of its
current staff, or any two of such entities/companies (whether formed by the same staff
or not), shall be regarded as “linked”. An academic institution, and all such
entities/companies formed by it or any or its current staff (whether by the same staff
or not), shall be allowed to submit only one EOI proposal. You are also required to
declare any such linkage with other consultants on the referred lists, if applicable. An
entity/company is regarded as formed by the academic institution or its staff if the
latter is a partner/shareholder or a director of the former, whether or not the latter is a
founding partner/subscriber when the entity/company was formed.
(d) Failure to observe this requirement shall render all related EOI submission null and
void and any such submission shall not be considered.
(e) For the avoidance of doubt, the “no linkage” rule does not apply to “linked”
consulting firms (including academic institutions) who bid as sub-consultants only for
an agreement.

Please also note that documents of unsuccessful consulting firms will be destroyed three
months after the date the Agreement has been awarded and signed.
The Corporation does not intend to create any legal or contractual relationship with you, or
any other consultants invited to express interest, in this selection exercise. The Corporation
reserves the right to cancel this selection exercise for any reason, in which case you will
accordingly be notified. The Corporation will not be responsible for the reimbursement of
any cost incurred by you for the preparation of the submission, including the expenses
incurred from attending interview in the EOI stage. Without prejudice to the aforesaid, the
information provided by the Corporation in this selection exercise shall not be taken as final
and is subject to change in the Final Project Brief to be issued to the short-listed
consultants.
You must ensure that you and your sub-consultants are eligible under the listing status of the
AACSB for the discipline(s) which are applicable at the time of submission. Failure to
comply with this requirement will lead to disqualification of your submission. If the EOI
proposal is being submitted by a joint venture, the listed consultants in the joint venture
should confirm that the non-listed consultant is technically capable for that part of the
consultancy services it undertakes.
Consultants shall declare their resident status or the sole proprietor’s resident status in their
consultancy proposals.
Should the interested consultants have any queries, the queries shall be in writing with cover
letter and submitted via email [email protected]. Response to the queries will be made
and post to https://www.hkstp.org/hkstp_web/Files/Tender/2017/CA244-response.pdf. Only
queries regarding this “Invitation for Expression of Interest” raised before 12:00 noon on 4
October 2017 shall be entertained and responded.

Invitation for Expression of Interest (EOI)
The Draft Project Brief
1. INTRODUCTION
1.1 Hong Kong Science and Technology Parks Corporation (HKSTPC) is a statutory body set up by
the HKSAR Government (HKSARG) in 2001. It facilitates science and technology companies to
nurture ideas, innovate and grow, supported by our R&D facilities, infrastructure, services and
programmes across five key technology clusters.
1.2 Technology businesses benefit from our specialized R&D services in Hong Kong Science Park;
design enterprises can find design-related innovation at InnoCentre; a range of skill-intensive
businesses are served by our three industrial estates at Tai Po, Tseung Kwan O and Yuen Long.
1.3 On 3 January 2017, the HKSARG and the Shenzhen Municipal Government (SZMG) signed a
Memorandum of Understanding (2017 MOU) on the development of a Hong Kong-Shenzhen
Innovation and Technology Park (IT Park) in the Lok Ma Chau Loop (the Loop) in Hong Kong.
Under the principles of "one country, two systems" and "co-development and mutual benefit", the
development will establish a key base for co-operation in scientific research and provide the
related higher education and other complementary facilities.
1.4 The HKSTPC will set up a subsidiary company responsible for building the superstructure of the
Park and its operation. Civil Engineering and Development Department (CEDD) of the
Government will be the works agent responsible for the provision of the necessary infrastructure
to support the development.
1.5 The Corporation is desirous of inviting consultancy firms with relevant large-scale master
planning design experience to submit EOI proposals for the Master Planning Study (“MPS”) for
the Loop development.
2. DESCRIPTION OF THE PROJECT
2.1 The Subject Site
2.1.1 The Subject Site is located at the northern fringe of New Territories of Hong Kong. It is bounded
by the bank of Shenzhen River in the northwest, fish ponds of Hoo Hok Wai in the northeast, Lok
Ma Chau and Tai Law Hau in the south, the Lok Ma Chau Control Point and Lok Ma Chau Spur
Line Control Point in the southwest, as well as the Mai Po Nature Reserve in the further
southwest. Please refer to Location Plan and Site Plan in Figures 1 and 2.
2.2 Town Planning
2.2.1 The Subject Site, having a total site area of about 87 hectares, falls within the Draft Lok Ma Chau
Loop Outline Zoning Plan (OZP) No. S/LMCL/1. The site covers a substantial part of the OZP

area except the meander section of the Old Shenzhen River currently under a “Conservation Area”
(CA) zoning. Please refer to the Outline Zoning Plan in Figure 3
2.2.2 Within the subject site, a substantial part(s) is zoned for “Other Specified Uses (Research and
Development, Education and Cultural and Creative Industries)”. The remaining areas are zoned
for “Commercial” (C), “Government, Institution or Community” (G/IC), “Open Space” (O),
“Other Specified Uses (Sewage Treatment Plant)” and “Other Specified Uses (Ecological Area)”
and “Road”.
2.2.3 According to the OZP, the IT Park will provide a maximum total gross floor area (GFA) of 1.2
million sqm for flexible allocation for high-tech research & development (R&D), higher
education and cultural & creative industries (C&C) uses.
2.3 Environmental Impact Assessment
2.3.1 The development of the Loop is a Schedule 3 Designated Project (DP) under the EIA Ordinance,
including some Schedule 2 DPs where Environmental Permits (EPs) are required prior to the
commencement of construction and operation of those DPs.
2.3.2 The EIA Report completed under the Planning & Engineering (P&E) Study was approved with
conditions by Director of Environmental Protection (DEP) under EIA Ordinance on 25 October
2013 and the EP to construct and operate the DPs was granted by DEP on 22 November 2013.
The Consultants shall follow all the relevant clauses of the EP and the approval conditions to
fulfill the objectives of this Assignment. The approved EIA report is available at EPD’s website.
2.4 Master Planning Study
2.4.1 The HKSTPC, on behalf of the subsidiary company, intends to engage a Master Planning and
Design Consultant Team (MPDCT) to conduct a Master Planning Study with an aim to
demonstrating the appropriate land uses, urban built form, place making themes and development
parameters on the Subject Site, taking into account the constraints of the statutory town plan and
the EIA approval(s) already granted, for the Corporation’s consideration.
2.5 Planning Objectives
2.5.1 The aims of the Master Plan would be to inspire creative, industry-collaborative expressions in
cutting edge research and in all aspects of modern urban life.
2.5.2 The development should be a technological hub for research and development, a place of high
quality inspired by the culture and tradition of collaborative innovation, a campus unique in its
diverse programme and campus experience.

2.5.3 It is expected that the Loop development will be
(i) a catalyst which embrace emerging ideas about planning and design that foster
innovation;
(ii) a campus for the future, a smart environment that maximizes energy conservation and
minimize its carbon footprint, while creativity utilizing technology and resources to
connect people and ideas;
(iii) a strong rationale and strategy created, balancing active and inviting places for
collaboration with quiet and secure places for research and discovery;
(iv) a distinctive public space that draws people into it with a vibrant and memorable image;
and
(v) extremely flexible to accommodate unknown development needs in the future.
3.0 SCOPE OF SERVICES
3.1 The MPDCT shall be a multi-disciplinary Consultant Team led by an Architectural Consultant
(AC) in the approved list under AACSB Band 1 Architectural Consultant. The MPDCT shall
include but not limited to the following professionals and/or sub-consultants:
(a) a Master Planning Design Specialist with large-scale master planning experience;
(b) a Traffic Consultant; and
(c) an Environmental Consultant.
3.2 The MPDCT shall be responsible for all aspects of research, design, liaison, consultation, co-
ordination, presentation and preparation of reports.
3.3 The MPDCT shall undertake all necessary meetings, liaison and coordination at all levels with
the Corporation, consultants, all relevant Government departments, District Councils, utility
companies and other parties as and when directed by the Corporation.

Requirements of ISO 9001:2008 Certificate to be Submitted
(1) The consultant shall submit, together with its proposal, a copy of its ISO 9001:2008
certificate acceptable to the Employer showing the scope of certification and a
statement either:
(A) confirming that no area/aspect in the consultancy agreement which its quality
system specifically excludes; or
(B) disclosing the areas/aspects in the consultancy agreement which its quality
system specifically excludes.
(2) Subject to the following paragraphs, submissions from consultants who have not
obtained ISO 9001:2008 certification on or before the date of this invitation may not be
considered.
(3) If the consultant, due to circumstances beyond its control, has not obtained ISO
9001:2008 certification but a full review of the Quality Manual of its Hong Kong office
has been carried out in Hong Kong by a certification body acceptable to the Employer
and such Quality Manual has been confirmed by the certification body as being in
conformity with the requirements of ISO 9001:2008 standard on or before the date of
this invitation, the submission by the consultant will still be considered provided that
the consultant shall undertake in writing if it is awarded the consultancy agreement, to
book within three months of the award of the consultancy agreement, the date of audit
for the ISO 9001:2008 certification with the certification body; with detailed
documented quality system procedures ready at the time of booking. The booking of
the audit shall be a condition precedent to the consultant's entitlement to any payment
or any further payment of fees under the consultancy agreement.
(4) If the consultant whose scope of certification excludes site activities service which is
required to be provided by the consultant under the consultancy agreement, its
submission will be considered to be non-conforming in respect of the certification
requirements. If the consultant can prove to the satisfaction of the Employer that such
exclusion is due to circumstances beyond its control, the proposal may still be
considered to be conforming in respect of the certification requirements provided that
the consultant shall undertake in writing that if the consultant is awarded the
consultancy agreement, it shall apply within three months of the award of the
consultancy agreement to the certification body for revision of its current scope to
cover site activities service; with detailed documented quality system procedures ready
at the time of applying for revision. The submission of an application for revision of
the scope of its ISO 9001:2008 certification to cover site activities service shall be a

condition precedent to the consultant's entitlement to any payment or any further
payment of fees under the consultancy agreement.
(5) If the consultant is a joint venture, the consultant shall submit, together with its
statement declaring that it shall implement the quality system of one of its participants
or shareholders, and specifying which one. The reference to ISO 9001:2008 certificate,
ISO 9001:2008 certification and Quality Manual referred to in (1) to (4) above shall
refer to that of the specified participant or shareholder. The consultant shall also submit
a copy of the written notification to the certification body of the specified participant or
shareholder that the joint venture shall implement the quality system by the specified
participant or shareholder and the written agreement of all participants, or as the case
may be, shareholders of the joint venture that the activities of the joint venture shall be
subject to the surveillance of the certification body.

Guidelines for the Preparation of Staffing Proposal
Consultants shall complete the standard form attached to this Annex for compliance with the
following requirements:
(a) Curriculum vitae of the proposed personnel shall be submitted with the EOI proposal
irrespective of whether the proposed staff have been submitted to AACSB. Those proposed
staff without curriculum vitae submitted would normally be disregarded in the assessment of
EOI proposals.
(b) Consultants shall declare the employment status of their proposed fulltime and non-fulltime
core personnel / and those of their sub-consultants. For non-fulltime personnel, consultants
shall provide an undertaking signed by the non-fulltime core personnel confirming the
percentage of time of their involvement if the Consultancy is awarded to the consultant
concerned. Non-fulltime core personnel shall include, but not be limited to:-
(1) freelance staff who serve other firms as independent consultants,
(2) fulltime staff who occasionally serve other firms as part-time staff, and
(3) staff who would be hired if the consultant was awarded the consultancy agreement.
(c) Consultants shall declare the current work commitment of their proposed core personnel / and
the core personnel proposed by their sub-consultants in ongoing consultancy agreements.
(d) Consultants shall indicate the specific calendar weeks/months during which their named core
personnel will NOT be available for the Consultancy.
(e) For the purpose of preparing staffing proposal, “core personnel” shall mean those consultant’s
staff such as project managers, partners in charge, project directors or specialists.
