PACKAGES WITH OVERNIGHT STAY

Fall under the spell of the many facets of Heidelberg – get to know the cultural, romantic, cu-

linary, sporting or scientific side of the town. The Neckar, which winds picturesquely through

the green valley, and the romantic Castle Ruins, which tower over the roofs of the scenic Old

Town, attract several million visitors to the town every year. The Castle was home to Electors

on the Palatinate for almost five centuries. Heidelberg is linked as inextricably to the Castle as

it is to the over 600-year old University. The history of the town is omnipresent.

In our new “Accommodation + Packages” brochure, we have compiled a selection of the best

short breaks – visit the popular Castle festival, immerse yourself in the magical Castle Illumi-

nation nights or discover Heidelberg and its outlying areas by bike. Treat your taste buds while

Save at the weekend with a stay at a first class hotel – at our first class weekend rate (see note in the “first class WE” price ta-bles). This rate covers arrival on Friday at the earliest and departure on Monday at the latest; public holidays are treated as weekends.

getting to know the traditional bars in a foray through the alleyways of the Old Town – and,

You will receive a HeidelbergCARD with each trip – this allows you to travel on all public trans-

port for free. The Castle ticket and a ride on the funicular are also included (return ride up to

Molkenkur station, including a stop at the Castle). This gives you free admission to the Cas-

tle courtyard, as well as a visit to the Great Wine Barrel and the German Pharmacy Museum.

What is more, you are entitled to a number of discounts for tours, museums, leisure activities,

restaurants and shops during your stay.

Please note that, according to legal regu-lations, after the conclusion of contracts regarding domestic tourism services, par-ticularly in the case of contracts for ac-commodations, guided tours and cultural events, there is no statutory right of with-drawal, except that there could be a can-cellation - which generally involves a fee - in line with the agreed terms and condi-tions or of the statutory provisions.

To commemorate the destruction of the Castle by the French, Ben-gali lights blaze three times every summer on the walls of the ruins in a picturesque and eerie man-ner. The illumination of the beau-tiful facade of the Castle is com-plemented by festive fireworks which bathe the whole of the Old Town an impressive brilliance. You can gain a particularly extraordi-nary view of the spectacle from the water. After a ride in the Neckar Valley (approx. 1.5 hours) the boats with the best view of the fireworks dock in front of the Alte Brücke (Old Bridge).

3. The University in the Old TownIt is the oldest University in Germany: the Ru-perto Carola, founded in 1386 by Rupert I, Elector Palatine. The walking tour leads to the University Library, which houses the world-fa-mous Medieval song collection “Codex Ma-nesse” and to the opposing Peterskirche (St. Peter’s Church), the oldest church in the Old Town. TRAVEL CONDITIONS OF THE HEIDELBERG MAR-KETING GMBH FOR GROUP PACKAGE VACATIONS

Dear Guest,We kindly ask you to carefully read the following travel conditions for package tours. The following travel con-ditions, to the extent that they are effectively included, form part of the travel contract concluded between you – hereinafter referred to as the “Traveler” – and Heidel-berg Marketing GmbH – hereinafter referred to with the abbreviation “HDM” – as the tour operator. These travel conditions apply exclusively to HDM’s package tours. They do not apply for package tours for groups of 15 persons or more, nor to the brokerage of third-party services, in particular accommodation services.

1. CONCLUSION OF CONTRACT1.1 The Traveler offers to conclude a binding travel con-tract with HDM by making a booking (travel reserva-tion), which can be done orally, by telephone, in writing, by fax or by e-mail. This offer is based on the travel de-scription, these travel conditions and all supplementary information provided in the booking document (catalog, accommodation directory, Internet) to the extent that the Traveler is in possession of them.1.2 The travel contract is concluded when the Traveler receives HDM’s booking confirmation, which does not need to be made in any particular form. Upon making or immediately after concluding the contract, the Trav-eler shall be sent a written copy of the booking con-firmation. A written copy of the booking confirmation may be omitted if the reservation of the Traveler takes place less than seven working days prior to departure.1.3 If the booking confirmation by HDM differs in con-tent from the Traveler’s booking, this shall constitute a new offer by HDM by which the latter is bound for ten days starting from receipt of the booking confirmation. Based on this new offer, the contract shall be concluded by the Traveler declaring his/her acceptance by making an explicit declaration, a down payment or remaining payment. The same applies if HDM presents a written all-inclusive offer to the Traveler.1.4 The Traveler making the booking is liable for the contractual obligations of passengers for whom he/she is making the booking, as well as for himself/herself, in-sofar that he/she has assumed this obligation by means of an express, separate declaration.1.5 The HDM points out that pursuant to the statu-tory provisions (§312e para. 2 sentence 1 no. 9 of the German Civil Code - BGB) for contracts for travel ser-vices in accordance with §651a of the German Civil Code (package travel contracts) that were concluded by way of long-distance transaction (letters, catalogs, tele-phone calls, fax, emails, text messages as well as broad-casting and telemedia), no right of withdrawal exists but merely the statutory rights governing withdrawal and cancellation, in particular the right of withdrawal pur-suant to § 651i of the German Civil Code (see also para. 4 of these Travel Conditions). The right of withdrawal exists, however, when the contract for travel services in accordance with § 651a has been concluded away from business premises, unless the oral agreements on which the contract is based were conducted based on a previous order of the consumer; in the latter case, the right of withdrawal does also not exist.

2. SERVICES, TRAVEL AGENT2.1 The services owed by HDM result exclusively from the contents of reservation confirmation in conjunction with the underlying travel proposal of each package tour as well as in accordance with all notes and expla-nations included in the reservation documents.2.2 Travel agents and service providers, in particular ac-commodation providers, are not authorized on behalf of HDM to give assurances or make agreements that exceed the advertised travel proposition or the book-

ing confirmation, or that conflict with or alter the con-firmed content of the travel contract.

3. PAYMENT3.1 With the contract conclusion (receipt of the booking confirmation) and after submission of a secured pay-ment certificate in accordance with § 651k of the Ger-man Civil Code (BGB), the entire travel price must be paid to HDM at the latest four weeks prior to the day of departure, insofar that no other agreement has been made in the booking confirmation/invoice. For book-ings made less than four weeks prior to departure, the entire trip price must be paid immediately.3.2 If HDM is willing and able to provide the contrac-tual services, and if the Traveler does not pay the trav-el price in full or to the agreed due dates, without any contractual or statutory right of retention of the Trav-eler existing, HDM is entitled to withdraw the contract after making a legal demand with a fixing of a time limit and to charge the Traveler for any cancellations costs in accordance with Section 4 of these travel conditions.

4. CANCELLATION BY TRAVELER, REBOOKING4.1 The Traveler can cancel the trip at any time up to the departure of the trip. To avoid any misunderstand-ings, we recommend making the cancellation in writing. Date of receipt of the notice of withdrawal is the date upon which it is received by HDM.4.2 In case the Traveler cancels, HDM is entitled to the following compensation for the travel arrangements al-ready made and for expenses, whereby normal savings in expenses and the possible other use of the travel services must be taken into account:a) from 27 to 21 days prior to departure - 20 % of the

price,b) from 20 to 12 days prior to departure - 40 % of the

price,c) from 11 to 3 days prior to departure - 60 % of the

price,d) from 3 days prior to departure and for no-shows -

90 % of the price.4.3 The conclusion of trip cancellation insurance is strongly recommended.4.4 The Traveler is free to prove to HDM that no costs or substantially lower costs were incurred than the fixed travel packages set forth. In this case, the Traveler is only obliged to pay the lower costs.4.5 HDM reserves the right, by way of deviation from the above packages, to claim higher, specific damages to the extent that HDM can prove that it incurred much higher expenses than their specific package. If HDM asserts such a claim, HDM is obligated to concretely list and document the demanded compensation, taking into account any saved expenses and any alternative usage of the travel services.4.6 The aforementioned provisions do not affect the Traveler’s statutory right to provide a substitute par-ticipate in accordance with § 651b of the German Civil Code (BGB).4.7 If, after the contract is concluded, the Traveler re-quests changes to be made to the travel date, accom-modation, the type of board or any other benefits (re-bookings), HDM may charge a rebooking fee of € 15 up until 28 days prior to departure without any legal claim of the Traveler existing for a rebooking to be made and only if this is at all possible. Subsequent changes are only possible by canceling the travel contract and re-booking according to the aforementioned conditions of cancellation. This shall not apply to rebooking requests that cause only minor additional costs. A reduction in the number of booked travel participants is considered partial withdrawal, for which no. 4.1 to 4.5 shall apply accordingly. 5. TRAVELER OBLIGATIONS (DEFICIENCES, CAN-CELLATION, LIMITATION PERIOD)

5.1 The Traveler is obliged to immediately report any deficiencies to HDM and demand redress. Claims of the Traveler only remain valid, if the failure to notify a deficiency does not result from any responsibility of the Traveler. Notifying the service provider of any de-ficiencies, in particular the accommodation provider only, does not suffice.5.2 If a trip is significantly impaired as a result of a travel deficiency or if a trip is not reasonable for the Traveler because of a fault that is obvious to HDM, the Travel-er can terminate the travel contract according to legal requirements (§ 651e of the German Civil Code). The termination is valid only if HDM or their representatives fail to correct the default within a reasonable period of time determined by the Traveler. A deadline for re-medial action need not be defined if remedial action is impossible or denied by HDM or their representatives or if immediate cancellation of contract is justified by special interest of the Traveler.5.3 The Traveler’s claims for non-contractual provision of travel services must be made towards HDM to the address provided below within one month after the contractually intended return date. If the last day of this deadline falls on a Sunday, on a generally recog-nized holiday or Saturday, the next business day is to be regarded as the last day. It is not possible to make time-limited assertions to the service providers, in par-ticular to the provider of the accommodation. An en-forcement in writing is highly recommended.

6. LIABILITY6.1 The contractual liability of HDM for damages not resulting from injury to life, limb or health is limited to three times the travel price, if the damage to the Trav-eler was neither intentional nor caused due to gross negligence, or HDM is solely responsible for damage to the Traveler due to the fault of a service provider.6.2 HDM is not liable for information and disruptions to services in connection with servicesa) that are not contractually agreed main services and

that are not part of the HDM package tour and that are expressly identified as a third-party service in the travel description or booking confirmation in such a manner that they are readily apparent to the Trav-eler, or

b) which are provided as third-party services during the stay (e.g., sports events, visits to the theater, exhibi-tions, excursions).

7. UNCLAIMED SERVICESIf the Traveler does not use individual travel services as a result of premature return, due to illness or due to other compelling reasons, for reasons beyond that of the Heidelberg Marketing GmbH, the Traveler has no claim to a pro-rata reimbursement. Insofar that small sums are not involved, HDM will however seek reim-bursement from the service provider and then pay back the relevant amounts to the Traveler as soon as and to the extent that HDM has actually been reimbursed by the individual service providers.

8. STATUE OF LIMITATIONS8.1 Claims of the Traveler in accordance with §§ 651 c to 651 f of the German Civil Code (BGB), which are based on an intentional or grossly negligent breach of duty by HDM or our statutory agent or a vicarious agent of HDM, shall expire after two years. This also applies to claims made for compensation for other damages that are based on an intentional or grossly negligent breach of duty by HDM or our statutory agent or a vicarious agent of HDM.8.2 All remaining claims pursuant to §§ 651c to f of the German Civil Code (BGB) shall expire after one year.8.3 The statute of limitations according to no. 8.1 and 8.2 begins with the day on which the trip should end according to the contractual obligations. If the last day

of this deadline falls on a Sunday, on a generally recog-nized holiday or Saturday, the next business day is to be regarded as the last day.8.4 If negotiations between the Traveler and HDM are pending on asserted claims or circumstances constitut-ing a claim, the period of limitation is suspended until the Traveler or HDM refuses to continue the negotia-tions. The period of limitation enters into force at the earliest three months after the end of the suspension of the limitation period.

9. CHOICE OF LAWAND AGREEMENT ON JURISDICTION9.1 For Travelers that are not nationals of a Member State of the European Union or Swiss citizens, the ex-clusive application of German law is agreed upon for the entire legal and contractual relationship between the Traveler and HDM. These Travelers may only sue HDM at its principle place of business.9.2 In case of lawsuits made by HDM against the Travel-er or contractual partner of the travel agreement, which are merchants, juristic persons under public or private law or persons that have their domicile or habitual place of residence abroad or for which the domicile or habitu-al place of residence is unknown at the time of the filing of a suit, HDM’s principle place of business is agreed upon as the jurisdictional venue.

GUEST ACCOMMODATION TERMS AND CONDI-TIONS AND TERMS OF AND CONDITIONS OF BRO-KERAGE OF HEIDELBERG MARKETING GMBH

Dear Guest,Heidelberg Marketing GmbH, hereinafter “HDM”, ar-ranges accommodation in lodging establishments and with private renters, hereinafter abbreviated with “Host”, in Heidelberg and the surrounding area accord-ing to the current offering. Insofar as they are bindingly agreed, the following terms and conditions constitute an integral part of the conclusion of a guest accommo-dation agreement arising between the Guest and the Host in the case of a booking, and govern in addition the statutory provisions of the contractual relationship between the Guest and Host and the brokerage role of HDM. For this reason, please read these conditions carefully.

1. ROLE OF HDMIn the absence of any other explicit agreements, HDM’s sole role is that of a brokerage agent. It is not liable for the information provided by the Host as well as ser-vices and disruptions to services regarding the services to be provided by the Host. Any liability of the HDM from the brokerage agreement shall remain unaffected.

2. CONCLUSION OF CONTRACT2.1 The following applies for all bookings:a) The Host’s offer and the Guest’s booking are based

on the description of the accommodation and all sup-plementary information provided in the booking basis (e.g., description of location, classification explanation) to the extent that the Guest is in possession of them.

b) HDM points out that pursuant with statutory pro-visions (§ 312e para. 2 sentence 1 no. 9 of the Ger-man Civil Code) for accommodation contracts that are concluded by way of long-distance transaction (letters, catalogs, telephone calls, emails, text mes-sages as well as broadcasting and telemedia), no right of withdrawal exists but merely the statutory provi-sions governing the non-utilization of rental services (§ 537 of the German Civil Code) (See also no. 6 of guest accommodation conditions). The right of with-drawal exists, however, when the contract for guest accommodation has been concluded away from busi-ness premises, unless the oral agreements on which the contract is based were conducted based on a previous order of the consumer; in the latter case, the right of withdrawal also does not exist.

c) Information provided in hotel guides and similar lists that has not been published by HDM or the Host shall not be binding on the Host and his/her obli-gation to render services, if an explicit agreement with the Guest was not made on the content of the obligation to render services of the Host.

d) In the event that the booking confirmation varies in content with the reservation, this shall be deemed to be a new offer made on the part of Host. The contract shall come into existence on the basis of this new offer if the Guest declares acceptance by explicit declaration, a down payment, a remaining payment or by using the accommodations.

e) HDM points out that pursuant with statutory pro-visions (§ 312e para. 2 sentence 1 no. 9 of the Ger-man Civil Code) for guest accommodation contracts (contracts for accommodation with and without ad-ditional services), even if these are concluded by way of long-distance transaction (by phone, online, fax or email), no right of withdrawal exists but merely the statutory provisions of the lease law apply (§ 537 of the German Civil Code) (See also no. 6 of guest ac-commodation conditions).

2.2 The following applies for making the booking, whether it is orally, by telephone, in writing, by email or by fax:a) By making a booking, the Guest offers to conclude

a guest accommodation contract with the Host.b) This contract shall come into existence upon the

Guest receiving the booking confirmation, with the effect that verbal and telephone confirmations are also legally binding for the Guest. As a general rule, the Host or HDM will additionally send a writ-ten copy of the booking confirmation to the Guest. Bookings made by the Guest by telephone or ver-bally shall lead to an appropriate binding verbal or telephone confirmation but also to a binding conclu-sion of a contract should the Guest not receive the corresponding written copy of the booking confir-mation.

2.3 By way of derogation from no. 2.2, the following applies for bookings made online:a) The procedure for online bookings is explained to

the Guest on the respective online portal: In order to correct, delete or reset the information he/she pro-vided in the entire online booking form, the Guest is provided the possibility of correction, with an ex-planation on how to use this option also being pro-vided. The contractual languages provided in order to execute the online booking are provided.

b) In the case that Host has saved the contract or it is saved in an online booking system, the Guest shall be informed about this contract being saved and about the possibility to retrieve this contract at a later point in time.

c) By clicking the “Buy now” button, the Guest offers to conclude a binding guest accommodation contract with the Host. The Guest shall immediately be giv-en electronic confirmation of the receipt of his/her booking.

d) The delivery of the contractual offer by clicking the “Buy now” button does not justify the Guest’s enti-tlement to the conclusion of a guest accommodation

contract in accordance with his/her booking infor-mation. It is up to the Host to freely decide whether or not to accept the contract offer of the Guest.

e) This contract shall come into existence upon the Guest receiving booking confirmation from the Host or HDM, which is acting on its behalf as an interme-diary.

2.4 If the booking confirmation is generated immediate-ly in a screen display after the Guest makes the reser-vation by clicking the “Buy now” button (booking in real time), the guest accommodation contract shall be con-cluded upon the booking confirmation being received and displayed to the Guest on the screen, without in-terim notification about the booking having to occur. In this case, the customer is offered the option to save and print the booking confirmation. The legally binding nature of the guest accommodation contract, however, does not depend on the Guest having these opportu-nities to print or save this confirmation. As a rule, the Host or HDM will additionally deliver a copy the book-ing confirmation to the Guest via e-mail, e-mail attach-ment, in the mail or by fax. The delivery of an additional booking confirmation, however, does not constitute a prerequisite for the legally binding nature of the guest accommodation contract.

3. RESERVATIONS3.1 Non-binding reservations, which allow a cancella-tion free of charge, are possible only with a correspond-ing explicit agreement with HDM or the Host.3.2 If no such reservation was expressly agreed, the booking shall in general lead to legally binding contract between the Host and the Guest/Client in accordance with no. 2 (Conclusion of contract) of these terms and conditions.3.3 If a non-binding reservation has been agreed upon with private guests, the Guest must inform HDM at the agreed upon point in time if the reservation should be treated as a binding booking. If this does not happen, the reservation shall expire without any further duty of information from HDM or the Host. If the notification is made in a timely manner, the booking shall be made binding, independent of a booking confirmation from HDM or the Host still having to occur.

4. PRICES AND SERVICES, PRICE INCREASES4.1 The prices provided in the brochure are not final and include VAT and all additional costs, insofar that no further information on the additional costs is provid-ed. Tourist tax or charges for consumption-dependent services (e.g., electricity, gas, water, firewood) as well as for optional and additional services must be listed and charged separately.4.2 The services owed by the Host result exclusively from the contents of the booking confirmation in con-junction with the valid brochure or accommodation de-scription as well as from the supplementary agreements made between the Guest/Client. The Guest/Client is advised to make supplementary agreements in writing.4.3 After conclusion of the contract and if the peri-od between the conclusion of the contract and the agreed beginning of occupancy amount to more than four months, the Host can increase the price by up to 5 % for the following objective reasons that he/she could have not foreseen upon concluding the contract: Tax increases, changes in exchange rates on foreign curren-cy agreement, increase of material costs or personnel costs, increase in the cost of retirement benefits.4.4 Furthermore, the Host can change the prices if the customer requests subsequent changes in the number of booked rooms, the services provided by the Host or in the term of stay, and the Host agrees.4.5 For changes (changes to date of departure and ar-rival, length of stay, type of board, additionally booked services and other supplementary services), for which there is no legal entitlement of implementation, the Host can request a rebooking fee of € 15 per change. This however does not apply to minor changes.

5. PAYMENT5.1 The payment due date depends on agreements made with the Guest or Client and noted in the book-ing confirmation. Unless a special agreement has been made, the entire accommodation price including any amounts for additional costs and benefits are due at the end of the stay and must be paid to the Host.5.2 Payments in foreign currencies and by crossed check are not possible. Payment by credit card is only possible if this has been agreed or if it is generally ad-vertised by the Host. Payments by bank transfer are not possible at the end of stay.5.3 If an agreement has been made with the Guest or Client to pay after issuing an invoice, the entire invoice amount, unless otherwise specified, must be paid ten days after the date of the invoice.5.4 The Guest and Client shall be in default without warning if invoiced amounts due for payment are not settled within 30 days after receipt of the invoice. The Host can demand interest amounting to 8 % above the base interest rate in the case of companies and 5 % in the case of consumers. The right to lodge a claim re-garding further damages remains reserved.

6. TRAVEL CANCELLATION AND FAILURE TO TRAVELUnless otherwise agreed and noted in the booking con-firmation, the following applies for travel cancellation and the failure to travel:6.1 For bookings of up to three rooms, free cancellation is possible two days prior to arrival.6.2 For bookings of more than three rooms, free indi-vidual or collective cancellation is possible only seven days prior to arrival.6.3 In case of somebody failing to travel or in the case that free cancellation is no longer possible, the follow-ing rules apply:a) In the event of cancellation, the Host shall continue

to have a claim to payment of the agreed price for staying in the accommodations including the share of board and remuneration for added services.

b) In the scope of his/her normal business operations without any obligation, the Host shall try to make special efforts and take the specific nature of the booked accommodation (e.g., non-smoking room, family room) into consideration to find another use for the accommodation.

c) The Host is entitled to offset any other occupancy, and if this not possible, any expenses saved.

d) According to the amounts recognized in legal judg-ments for the assessment of expenses saved, the Guest or the Client has to pay the place of accom-modation the following amounts, in each case based upon the complete price of the accommodation ser-vices (including all extras):

• for holiday apartments/accommodation without board - 90 %,

• for overnight stay/breakfast - 80 %,• for half board - 70 %,• for full board - 60 %.e) The Guest or Client is expressly reserved the option

to furnish proof to the Host that his/her saved ex-penses are substantially higher than the aforemen-tioned allowed deductions or that another use of the accommodation services or other services took place. In the event that this can be proved, the Guest or Client shall only be obliged to pay the correspond-ingly lower sum.

6.4 The conclusion of trip cancellation insurance is strongly recommended.6.5 For administrative reasons, the declaration of can-cellation is to be sent to HDM (not to the accommo-dation provider) and should be completed in a written form in the interest of the Guest.

7. ARRIVAL AND DEPARTURE7.1 The guest must arrive at the agreed point in time, no later than 6 p.m. in the absence of any special agree-ment.

7.2 The following applies for later arrivals:a) The Guest is obliged to notify the Host no later than

the agreed day of arrival if they shall arrive late or the booked accommodation for multi-day stays shall first occur on a following day.

b) If notification is not provided on time, the Host shall be entitled to otherwise occupy the accommoda-tions. The provisions in no. 6.3 shall apply to the period of non-occupancy.

c) If the Guest notifies of a later time of arrival, he/she shall pay the agreed remuneration, less any expens-es saved by the Host in accordance with no. 6.3 for the time in which non-occupancy occurred, unless the Host is contractually or legally liable for late oc-cupancy taking place.

7.3 The Guest is to vacate the accommodation at the agreed upon time without any special agreement hav-ing to be made, at the latest by 12 noon on the day of the departure. If the accommodations are not vacated on time, the Host can demand appropriate additional remuneration. The Host’s right to claim further dam-ages remains reserved.

8. CLIENT OBLIGATIONS, CANCELLATION BY HOST8.1 To the extent that no such agreement has been made, the accommodation may only be used by the Guest for whom it was booked. The use of the accom-modation for other purposes, in particular subletting, in the case of commercial customers in particular for the transfer of accommodation quotas, is prohibited.8.2 The Guest shall explicitly treat accommodations and their furnishings including any available furnishings of the hotel itself (e.g., swimming pool or sauna) as intend-ed in accordance with the rules of use and altogether they should be treated carefully.8.3 The Guest is obliged to immediately report any de-ficiencies and problems to HDM and demand redress. Notification of any deficiencies, which are made only to HDM, is not sufficient. Failure to culpably give notice of any deficiencies may result in claims by the Guest being canceled in part of wholly.8.4 Only in the case of substantial defects or problems may the guest cancel the contract. In the context of the notification of defects, the Host has to be allotted an adequate period of notice for remedial action unless remedial action is impossible to carry out or refused by the Host, or the immediate termination of the con-tract is objectively justified by a special interest of the Guest and recognized by the Host, or it is objectively unreasonable for the Guest to continue his/her stay.8.5 Bringing and boarding pets in the accommodation is only allowed in this case if an explicit agreement in this regard has been made, and if the Host’s advertisement offers this option. In the context of such agreements, the Guest is required to provide truthful information about the nature and size of the pet. Non-compliance with these rules can entitle the Host to extraordinarily terminate the guest accommodation contract.8.6 The Host can cancel the guest accommodation con-tract irrespective of any deadline, if in disregard of a warning issued by Host, the Guest continues to dis-turb the operations of the Host, other guests or the execution of the stay or if he/she behaves to such a considerable degree against the terms of the contract that immediate cancellation is justified. Should the Host terminate the contract, the aforementioned provisions concerning the obligation to pay in the event of guest cancellation shall apply for any payment claims of the Host.

9. LIMITATION OF LIABILITY9.1 The contractual liability of the Host arising from the guest accommodation contract in accordance with § 536a of the German Civil Code (BGB) for damages not resulting from injury to life, limb or health shall be ex-cluded, insofar that they were neither intentional nor caused due to gross negligence of the Host or a statu-tory agent or vicarious agent of the Host.

9.2 The Host’s liability of accommodation for property brought by guests to the premises in accordance with §§ 701 et seq. of the German Civil Code shall remained untouched by this rule.9.3 The Host is not liable for defaults connected to services that are exclusively mediated and recognized as external services for the Guest/Client (e.g., sports events, visits to the theater, exhibitions, etc.). The same shall also extend to services rendered by a third par-ty that were mediated together with booking the ac-commodations, if they are explicitly labeled as services rendered by a third party in the description or booking confirmation.

10. STATUE OF LIMITATIONS10.1 Contractual claims of the Guest/Client against the Host or HDM arising from injury to life, limb or health including contractual claims for compensation for pain and suffering, which were caused due to their negligent breach of duty or by a premeditated or grossly negli-gent contractual infringement on the part of their le-gal representatives or vicarious agents, are subject to a limitation period of three years. This also applies to claims for compensation for other damages that arise from a deliberate or grossly negligent breach of duty on the part of the Host or HDM or one of its legal rep-resentatives or vicarious agents.10.2 All other contractual claims expire in one year.10.3 In accordance with the aforementioned conditions, the period of limitation shall begin at the end of the year during which the claim arose and in which the Guest/Client became cognizant of the circumstances giving rise to the claim and about the Host or HDM being the defaulter or in which this should have taken place with-out culpable negligence.10.4 If negotiations between the Guest and the Host or HDM are pending on asserted claims or circumstances constituting a claim, the period of limitation is suspend-ed until the Guest or the Host or HDM refuses to con-tinue the negotiations. The period of limitation enters into force at the earliest three months after the end of the suspension of the limitation period.

11. CHOICE OF LAW AND PLACE OF JURISDICTION11.1 The contractual relationship between the Guest or Client and the Host or the Heidelberg Marketing GmbH shall be governed exclusively by German law. The same applies to other legal relationships.11.2 The Guest or Client can sue the Host or HDM only at its principle place of business.11.3 In case of lawsuits against the Guest or Client made by the Host or HDM, the Guest’s principle place of residence is decisive. In case of lawsuits made against Guests or Clients, which are merchants, juristic per-sons under public or private law or persons that have their domicile or habitual place of residence abroad or for which the domicile or habitual place of residence is unknown at the time of the filing of a suit, the Host’s principle place of business is agreed upon as the juris-dictional venue.11.4 The aforementioned provisions shall not apply if and to the extent that provisions of the European Union or other international provisions that are applicable but not subject to the contract are applicable.
