Policy Regarding Minimum Advertised Pricing (MAP)Heart and Soul Fashion LLC actively supports the advertising and promotion of its products by its dealers and distributors through materials provided by Heart and Soul Fashion at no or nominal cost. Heart and Soul Fashion has built a strong reputation and following among consumers. Heart and Soul Fashion has determined that it shall not support through advertising or promotional materials, cooperative advertising or otherwise, advertisements or promotional materials that have the effect of diminishing or detracting from the perceived value of Heart and Soul Fashion products.

Effective as of January 1, 2011, Heart and Soul Fashion and Dancewear has established a minimum advertised price (“MAP”) of 20% discount off of calculated retail pricing based on 100% markup of wholesale price sheet in catalog pricing guide (see guideline 1 for calculation). This applies to all genuine Heart and Soul Fashion and Dancewear products. The policy applies to U.S., Europe and Canadian dealers and distributors. This (“MAP”) discount policy will expire (“VOID”) on all products not published in current volume catalogs.

The MAP Policy shall work under the following guidelines:

1. The MAP for all Genuine Heart and Soul Fashion products shall be 20% off retail pricing. Calculation for each Genuine Heart and Soul Fashion product will be based on the wholesale price sheet for dealers and distributors as (“100%” markup”) (“Double”) (“Keystoned”) on wholesale pricing. Example - $10.00 wholesale product will be $20.00 retail. This markup of 100% will be viewed and implemented as standard retail pricing for all Heart and Soul Fashion product. MAP pricing is established by Heart and Soul Fashion for all Genuine Heart and Soul Fashion products and may be adjusted by Heart and Soul Fashion at its sole discretion.

2. The MAP policy applies to all advertisements of Genuine Heart and Soul Fashion products in any and all media, including, without limitation, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, internet or similar electronic media, television, radio and public signage. The MAP policy is not applicable to any in-store advertisement that is not distributed to any customer.

3. The inclusion in advertising of free or discounted products (whether made by Heart and Soul Fashion or another manufacturer) with a product covered by the MAP policy would be contrary to the policy if it has the effect of discounting the advertised price of the covered product below the MAP.

4. MAP applies only to advertised prices and does not apply to the price at which the products are actually sold or offered for sale to an individual consumer within the dealer’s retail location or over the telephone. Heart and Soul Fashion dealers and distributors remain free to sell these products at any prices they elect.

5. MAP does not establish maximum advertised prices. All dealers and distributors may offer Heart and Soul Fashion products at any price in excess of the MAP established for each product.

6. Heart and Soul Fashion’s MAP policy does not in any way limit the ability of any dealer to advertise that “they have the lowest prices” or, they “will meet or beat any competitors prices”, that consumers should “call for price” or phrases of similar import as long as the price advertised or listed for the products is not less than MAP.

7. From time to time Heart and Soul Fashion may discontinue products or engage in promotions with respect to certain products. In such events, Heart and Soul Fashion reserves the right to modify or suspend the MAP with respect to the affected products by notifying all dealers of such change. Heart and Soul Fashion further reserves the right to adjust the MAP with respect to all or certain products at its sole discretion upon 7 days advance written notice to the dealers and distributors, provided that such changes shall apply equally to all Heart and Soul Fashion dealers and distributors.

8. Intentional and/or repeated failure to abide by this policy will result in termination of dealership or distributorship. Heart and Soul Fashion does not intend to do business with dealers or distributors who degrade the image of Heart and Soul Fashion and its products. Heart and Soul Fashion will not provide prior notice or issue warning before taking any action under this policy.

9. The terms of this MAP policy are confidential and should not be disclosed to other parties. The MAP policy has been established by Heart and Soul Fashion to help ensure the legacy of Heart and Soul Fashion as a top producer of high quality dance and active wear and to protect the reputation of its name and products. The MAP policy is also designed to ensure dealers and distributors have the incentive to invest resources into services for Heart and Soul Fashion customers.

TERMS AND CONDITIONS:Wholesale customers MUST have an ST-105 Resale Tax-Exempt Form on file before we can ship your order. All first orders are Credit Card or COD. If you wish to be granted net terms, you must fill out and submit our credit application found on our website www.heartandsoulapparel.com. Net terms are available to all customers who meet our credit requirements. Customer will be contacted via phone or email when they are granted terms. We accept VISA, MASTERCARD and AMERICAN EXPRESS by phone or online at www.heartandsoulapparel.com. Company checks are also accepted. A $35.00 return check fee will apply for any returned checks due to non-sufficient funds. Past due invoices will incur a 1.5% monthly finance charge. Accounts with delinquent invoices will not be shipped orders until balance is paid in full.SHIPPING: All orders will ship within 5-10 business days of order date. All orders are shipped FEDEX Ground. If expedited shipping is needed, it must be documented on the order form or verified over fax or phone. Shipping charges will apply to all orders. Refused or Unclaimed COD shipments will be subject to freight charges, penalties, and restocking fees of 20%.EXCHANGE / RETURNS: All exchange and/or return claims must be made within 10 days upon receipt of goods. To receive a return authorization number, fill out Return Claim Form online at www.heartandsoulapparel.com and fax to 888-235-8265. All returns and/or exchanges must be sent back with a return authorization number, without a return authorization number the items will be refused. No altered merchandise will be accepted (i.e. printed, washed, dyed, tried-on, altered hangtags, etc.) Customer is responsible for shipping cost on returned garments. All returns are subject to a 20% restocking fee. Sample orders are not refundable.WASHING & CARE: We recommend that all garments not containing lace be washed inside out on gentle cycle, cold water, and hang dry. All garments with lace should be washed by hand and laid flat to dry. This practice will better ensure the longevity of your embellished garment. No returns authorized for improper washing or care practices.
