INDONESIA has and continues to attract investments in the natural resources and energy-related sectors, particularly in oil and gas and mining.

OUR in-depth expertise in these sectors provides invaluable support and comfort to clients in contentious and non-contentious matters, be it negotiation over a joint venture, a loan facility agreement, an offtake agreement or any other material agreement in such sectors. We often advise clients across all phases of the investments, the exploratory phase, the negotiation and tender phase, and the actual acquisition. We prepare the relevant documentation, where needed and more importantly, we guide the client throughout the process.

WE have advised Fortune 500 companies, international coal miners and leading petrochemical companies on their corporate transactions in Indonesia, including restructuring of existing investments and agreements. Our lawyers have been sought to advise and help structure a framework against which the relevant transaction or agreement makes legal and commercial sense.

WE also advise on international arbitration matters and have worked together with various international firms. We are familiar with disputes that are resolved through the Indonesian National Arbitration Board (BANI), the Singapore International Arbitration Centre (SIAC), as well as the International Centre for Settlement of Investment Disputes (ICSID).

Represented a private petrochemical company in a major debt restructuring program as part of suspension of payment settlement through Euro bond issuance, debt to equity conversion and cash settlement.

Represented the largest oil and gas State Owned Enterprise in acquisition of participating interests.

Represented one of the largest international mining and metals companies in Europe specializing in ferro nickel exploration, mining and manufacture in their corporate transactions with Indonesian counterparts, including loan documents and security.

Representing a Luxemburg based global group of companies in their secured facility agreement with a mine owner in Indonesia.

Represented an Indonesian mining company seller in a sale and purchase of coal with a buyer listed on the New York Stock Exchange.

Assisted an offshore private bank in a major dispute involving an oil and gas investment in the Middle East, with a claim amount exceeding US$ 50 million. The counterparties were prominent Indonesian families and companies and the settlement of dispute was the Singapore International Arbitration Centre (SIAC).

Assisted a multinational company in a coal-mine dispute in relation to a breach of contractual obligation at the SIAC where one of the key issues was the application of agent and principal under Indonesian law.

Represented a European mining company in a pre-dispute settlement with seller over a shipment of cargo where the issue of payment arose as a result of discrepancy of report analysis.

B A C K G R O U N D Anastasia Susan Paat is a partner at GSC. Prior to returning to Indonesia, Susan practiced in one of the leading law firms in Singapore, Rajah & Tann LLP, under the Commercial Litigation Department as well as Indonesia Practice of the firm for many years.

Susan is well versed in cross border transactions anddisputes in the sectors of mining, oil and gas, and general corporate. Representative clients in these areas include State Owned Enterprises, multinational corporations, banks, individuals and families where he expertise involved legal advisory, contract drafting and negotiation. She has advised her clients on joint venture and shareholders agreements, structuring and completing merger and acquisition of shares, assets and businesses, drafting commercial contracts as well as on regulatory and compliance issues. Susan has recently been involved in one of the landmark restructuring cases in Indonesia involving a State Owned Enterprise and a government body.

In disputes, Susan has been involved in various commer-cial litigation cases as well as arbitrations under the Singapore International Arbitration Centre (SIAC) on matters involving Indonesian law. Her involvement in cross border disputes largely relates to the energy sector.

During her practice in Singapore, Susan was a guest speaker at numerous events focusing on Indonesian business law and investment. She worked closely with the Indonesian embassy to Singapore on many related initiatives. She has continued to speak on international arbitration in the energy sector upon returning to Indonesia. Susan is also the author of various papers on Indonesian law.
