1. CSR in the Companies Act

v  The CSR provisions of the new Indian Companies Act (2013) is applicable to companies with an annual turnover of 1,000 crore INR and more (125 Mn Eur), or a net worth of 500 crore INR and more (63 Mn Eur), or a net profit of five crore INR and more (625 k Eur).

v  A company gets exemption from these obligations if it does not fulfill these criteria for 3 consecutive years.

v  Starting FY 2014-15, the Act makes it mandatory for companies (including subsidiaries of foreign entities and project offices) to:

§  Spend at least 2% of the previous 3 years average Net Profit (before tax, excluding profit arising from overseas subsidiaries) on CSR operations

§  Set up a CSR committee with at least 3 members. Listed companies have to include one independent member.

§  Create, if required, a dedicated trust, society or company to undertake CSR activities

§  Draft a yearly CSR report and publicise their actions on their website.

v  The Act recommends that operations be geographically focused on the region in which the company operates.

3. Why audit and monitor ? There are an estimated 3.3 million NGOs in India. The sheer number and variations in approaches, professionalism and honesty complicates the selection process. Moreover, the increase in funding that the new Companies Act will bring is likely to trigger a wave of opportunistic initiatives.

v  Before financing a non-profit or non-governmental organisation (NGO) in India it is important to understand : §  the focus of their work §  their reputation and image - and most importantly §  how the organisation actually functions

v  This reduces chances of funding a project which : §  never reaches its goals, §  where money may be inappropriately used, §  or where, in a worst case scenario, the organisation may actually be involved

in disreputable behaviour. After identifying the organisation, monitoring and reporting mechanisms should be set in place in order to make sure initial commitments are kept. Experience shows that a careful monitoring goes a long way in preventing implementation issues.

Teena Amrit Gill is a development consultant with an academic background in Development Studies and Gender and Development from the Universities of Sussex and East Anglia in the UK, and the Delhi School of Economics. She has worked as a consultant on a number of CSR projects in India, including those with the Avantha Group and the Tata groups - through the Sir Dorabji Tata Trust & Allied Trusts. Her work involves an understanding of : - Corporates engagement with the development sector -  An in-depth understanding of the working and viability of development organisations/ NGOs and their “goals, vision, mission” through evaluation and (impact) monitoring, and peer assessment -  The processes required to partner corporates with NGOs, ensuring that both parties needs are addressed and incorporated - Keeping regular two-way dialogue and communication alive - Addressing sustainability and self-sufficiency, and empowering NGOs and grassroots organisations -  Communicating corporate engagement with the NGOs they partner with – through impact assessment reports and/or audio-visual projects (including films) As a monitoring and evaluation consultant

Teena A. Gill – 1/2

Teena Amrit Gill is also a documentary filmmaker. She has worked on a wide range of films on educational, health, gender, development and environmental issues. Some of these films were produced for Oxfam GB, HelpAge International and Young Asia TV, and have been shown in festivals across the world. She has produced and directed a number of CSR films, the most recent of which (2014) was on an ART (anti-retroviral treatment) center and outreach programme run by the Avantha Foundation with NACO (GOI) in Chandrapur district, Maharashtra. This centre is now being used as a model PPP project, for Indian corporates to fund across the country. She has over 20 films to her credit. Geographical Coverage India, Nepal, Burma, Thailand, Malaysia, Lao PDR, Cambodia, the UK and the Republic of Ireland.
