부패방지법 준수규정
I. OBJECTIVE
목적
It is the intent of Samsung Heavy Industries Co. Ltd (“SHI”) to ensure the compliance
with applicable laws and regulations, including all applicable anti-corruption laws, such
as the Anti-Corruption Act of Korea, the OECD Convention, the FCPA(Foreign Corrupt
Practice Act) and the UK bribery Act and other potentially applicable anti-corruption
laws (collectively referred to as “Applicable Anti-Corruption Laws”). These Anti-
Corruption Laws impose severe penalties, including potential criminal sanctions, on any
party who violates them.
이 규정은 삼성중공업 주식회사(이하 “삼성중공업”)가 ‘국제상거래에 있어서
외국공무원에 대한 뇌물방지법’, ‘부정청탁 및 금품등 수수의 금지에 관한 법률'
등 국내부패방지 관련 법령, OECD 부패방지 협약, 미국 FCPA(외국공무원에 대한
부패방지법), 영국 뇌물방지법, 기타 부패방지 관련 법령 등의 법과 규정(이하
“부패방지법령”)을 준수할 수 있도록 함을 목적으로 한다
II. SCOPE AND APPLICATION
적용 범위
This Policy is applicable to directors, officers, employees (“representatives”) of SHI and
agents as well as any person or entity engaged by SHI, including but not limited to
vendors and subcontractors (i) providing services directly to SHI or (ii) assisting SHI in
work (iii) taking an action that could reasonably be considered to be for the direct benefit
of SHI (collectively referred to as “SHI Representatives”).
이 규정은 회사의 임직원, 대리인, 협력회사 등 (1) 삼성중공업에 직접 서비스를
제공하거나 (2) 삼성중공업의 업무를 보조하거나 (3) 삼성중공업의 직접적인 이익을
위한 업무를 수행하는 모든 개인과 단체에 적용된다(이하 “삼성중공업 임직원
등”)
To this end, SHI Representatives must read, understand and agree to be bound by the
terms of this Policy. The Policy should be retained in a place that allows it to be
conveniently used for reference.
이를 위하여 삼성중공업 임직원 등은 이 규정을 이해하고 준수하여야 한다. 이
규정은 사용이 편리한 곳에 비치되어야 한다
This Policy extends to all of the business transactions of SHI, including those entered
into with new or existing third-parties such as commercial agents, business partners etc.
이 규정은 에이전트(대리인), 비즈니스 파트너 등의 제 3 자와의 거래를 포함하여
삼성중공업의 모든 거래에 적용된다.
Particular attention to the Policy should be paid by those individuals who interact,
directly and/or indirectly, with government officials (including employees of state-owned
enterprises) as well as those who have responsibility for obtaining or retaining contracts
and/or with execution responsibilities related to areas such as customs, duties and
permitting.
No exception shall be allowed under this Policy unless the conduct is (a) determined to
be legal under local Applicable Anti-corruption Laws, and (b) approved in advance in
writing by Compliance Team.
계약의 허가 또는 유지에 대한 책임자와 관세, 세무, 허가 분야 책임자 및
공직자(국영기업 종사자 포함)와 직·간접적으로 접촉하는 자는 이 규정에 각별한
주의가 필요하다. 이 규정의 예외는 (a)현지법에서 허용하거나 (b)사전에
준법지원팀의 서면허가를 받은 경우에만 허용된다
III. COMPLIANCE OVERSIGHT
준법 통제
A. Compliance Team
준법지원팀
As part of the implementation of the Policy, Compliance Team is to oversee the
compliance of SHI with Applicable Anti-Corruption Laws in connection with all SHI’s
activities and to help the SHI Representatives adhere to this Policy and Applicable Anti-
Corruption Laws.
준법지원팀은 삼성중공업의 입찰과 사업수행을 위한 모든 업무와 관련된
부패방지법령 준수를 감독하고, 삼성중공업 임직원 등이 이 규정과 부패방지법령을
준수할 수 있도록 지원한다
Questions regarding the Policy or particular transactions or circumstances should be
directed to SHI compliance officer (“Compliance Team”) immediately, so that they can
evaluate such information and seek additional assistance or guidance.
이 규정 또는 특정 거래나 상황 등에 대한 의문사항이 있는 경우 준법지원팀에 즉시
문의하여야 하고, 준법지원팀은 적절한 업무지원 및 조언을 제공한다.
B. Compliance Program
준법프로그램
SHI is implementing a compliance program “SHI Compliance program”) to comply with the laws
applicable to every business SHI engages in, and in the event that the relevant anti-corruption
and/or discplinary action is not included in this Policy, the applicable procedures shall be
determined in accordance with SHI Compliance program
삼성중공업은 삼성중공업이 수행하는 사업과 관련된 제반 법령 준수를 위하여
준법프로그램을 운영하고 있으며, 이 규정 및 부패방지법령 준수의 모니터링 및
위반시 제재 등 이 규정에 기재되지 않은 사항 및 절차는 준법프로그램을 준용한다.
IV. PROHIBITED PAYMENTS
뇌물 지급 금지
A. Overview
개요
Applicable Anti-Corruption Laws and this Policy prohibit the offer, promise,
authorization, or giving of anything of value to a government official or Client
representative in order to secure improper influence over official actions. These
prohibitions are very broad, and cover: (1) cash payments; (2) non-cash “payments,”
benefits, and favors; and (3) in certain circumstances, otherwise legitimate business
expenditures such as gifts, entertainment, and hospitality. Applicable Anti-Corruption
Laws prohibit these payments whether they are made directly or indirectly through third
parties, such as consultants , agents or subcontractors. It is also important to recognize
that liability is not triggered solely by the payment of a bribe but can be provoked merely
when a bribe is offered or promised.
This Policy also prohibit SHI Representatives from requesting, agreeing to accept, or
accepting cash or anything of value to provide an improper advantage to any person.
While some anti-corruption laws do not specifically address the bribery of private entities,
others prohibit all forms of commercial bribery. Therefore, this Policy should be
understood to prohibit private as well as public bribery.
이 규정은 삼성중공업 임직원 등이 부적절한 집무집행을 유도하기 위하여 공직자
또는 고객사 임직원에게 유·무형의 이익을 지급하거나 지급할 것을 제안 또는
약속하는 것을 금지한다. 또한, 이 규정은 어떤 사람에게 부적절한 이익을 제공하기
위하여 유·무형의 이익을 요구하거나 수령하거나 수령을 약속 받는 것을 금지한다.
‘유·무형의 이익’은 현금 또는 유가물, 재산상의 이익, 기타 여하한의 가치가
있는 모든 것을 의미한다.
‘지급’은 임직원이 직접 지급하는 것 뿐 아니라 컨설턴트, 에이전트(대리인),
하도급업체와 같은 제 3자를 통해 지급하는 것을 포함한다.
B. Prohibited Conduct
세부 금지 행위
For the purposes of this Policy, there are three categories of prohibited conduct: (1)
improper payments, offers or promises to government officials; (2) improper payments,
offers or promises to private business parties; and (3) receipt of improper payments by
SHI Representatives. For ease of understanding, the terms that are in italics are explained
further within the relevant section.
이 규정에서는 뇌물 지급 금지 행위는 세가지 카테고리로 구분한다: (1) 공직자에게
뇌물 지급; (2)고객사 임직원에게 뇌물 지급; (3) 삼성중공업 임직원 등의 뇌물

1. Improper Payments to Government Officials
공직자에게 뇌물 지급
SHI Representatives are prohibited from paying, offering or promising cash or anything
of value to a government official under circumstances where the payment, offer or
promise is meant to (a) improperly influence the government official in connection with
the performance of his duties, (b) induce that government official to use his influence
over others, or (c) otherwise secure an improper advantage.
삼성중공업 임직원 등은 (a)공직자의 부적절한 공무집행을 유도하기 위하여,
(b)공직자가 제 3 자에게게 부적절한 직무집행을 유도하기 위하여, (c)그 밖의
부적절한 이익을 확보하기 위하여 그 공직자에게 현금 또는 기타 유·무형의 이익을
지급하거나 지급할 것을 제안 또는 약속하지 못한다.
• Payment, offer or promise:
지급하거나, 지급할 것을 제안 또는 약속: It is important to remember that not only can payment of a benefit to a government
official be illegal but that simply promising or offering a benefit can also be illegal.
This is the case even where the promised or offered benefit is never paid.
공직자에게 부적절하게 이익을 지급하는 것뿐 아니라 단순히 약속하거나
제안하는 것도 불법이며 이것은 실제로 지급이 이행되지 않은 경우에도
동일하다.
• Anything of Value:
유·무형의 이익 The term “anything of value” is very broad and extends well beyond cash to any item
that has value such as gifts, entertainment, medical expenses, travel expenses,
investment opportunities, employment opportunities (for government officials or
their friends or relatives) and educational expenses. While giving these things is not
necessarily illegal, providing any of these items to government officials must be done
with great caution and only after consultation and approval pursuant to the provisions
described in section V.
“유·무형의 이익”은 현금뿐 아니라 선물, 향응, 치료, 여행, 투자기회,
채용(공직자 또는 그 친구, 친척을 위한 채용), 교육 등과 같은 여하한의
가치가 있는 어떤 것을 의미한다. 이러한 것들을 지급하는 것이 반드시 불법을
의미하는 것은 아니나 공직자에게 제공해야 할 필요가 있는 경우 매우 주의해야
하며, Section V 에서 기술된 규정에 따라 협의와 승인을 득한 후 제공되어야
한다.
• Government Officials:
공직자
The term government official is to be broadly considered and includes not only the
government official (including but not limited to the listed below) but can also
include their immediate family and friends:
공직자는 공직자(아래에 열거된 공직자 참고. 단, 이에 한정되지 않는다.) 뿐
아니라 그 직계 가족과 친구들을 포함한다.
- officials and representatives of national or local foreign governments,
국가 또는 지방 정부 공무원
- candidates for a government office,

- members of political parties,

- employees of international organizations (such as the International
Monetary Fund, the World Bank etc),
공적 국제 기구의 임직원(예: IMF)
- officials of government-owned corporations, including all employees of
national oil companies,
국영기업체의 임직원
- an executive or employee of any enterprise over which a foreign
government holds over 50 percent of its subscribed capital or exercises
substantial controlling power over its overall management including the
decision of major business and the appointment or dismissal of its
executives. This sub-paragraph shall not be applicable to an executive or
employee of those enterprises operating on a competitive basis equivalent
to entities of ordinary private economy, without preferential subsidies or
other privileges
정부가 납입자본금의 50퍼센트를 초과하여 출자하였거나 중요 사업의
결정 및 임원의 임면(任免) 등 운영 전반에 관하여 실질적인
지배력을 행사하고 있는 기업체의 임직원. 다만, 정부로부터 차별적
보조금이나 그 밖의 특혜를 받지 아니하고 일반 기업과 동등한
경쟁관계에서 사업을 하는 기업체의 경우는 제외한다
- consultants insofar as they hold government positions, and

- employees of Non-Governmental Organizations .
비정부기구(NGO)의 직원
Even if the payment does not go directly to a government official, SHI
Representatives may not make a payment to a private party when they know, should
know, believe, or are aware that the private party intends to turn over all or a portion
of that payment to a government official.
If SHI Representatives have any doubts as to whether a person is a government
official, they will have to contact Compliance Team for guidance. SHI
Representatives should not proceed with a transaction until they have obtained
clarity on this matter.
삼성중공업 임직원 등이 직접 공직자에게 지급하지 않았다 하더라도 제 3 자에게
지급되는 금액의 전부 또는 일부가 공직자에게 전해질 것을 알거나, 알 수
있거나, 인지한 경우 제 3자에게 지급하여서는 아니된다.
삼성중공업 임직원 등은 어떤 사람이 공직자에 해당하는 지에 관해서 의문이
있는 경우 준법지원팀에게 문의를 해야 하며, 명확하게 결론이 나기 전까지
거래를 추진하여서는 아니된다.
• Secure an Improper Advantage:
부적절한 이익
SHI Representatives may not make or offer payments where it would allow them to
gain a business advantage through the payment. For example, SHI Representatives
may not make or offer a payment to a customs official in order to induce the official
to lower the required tariff on an undue manner. The prohibition thereby prohibits
payments made or offered in order to influence the award, terms or conduct of
business include but not limited to:

지급하거나 지급할 것을 제안하여서는 아니된다. 부적절한 이익은 아래의
내용을 포함하며, 이에 한정되지 않는다.
- the award of a contract;

- the granting of a license or permit;
라이센스 또는 허가의 승인
- the terms of customs or importation (including duties, licenses, and
permits);
관세나 수입 조건(세금, 라이센스, 허가 등을 포함한다)
- the amount of taxes or fines;
세금이나 벌금 부과액
- cancellation of a government contract;
정부 계약의 취소
- obtaining confidential information about bids, business opportunities or
the activities of competitors’ business opportunities; or
입찰, 영업기회 또는 경쟁사의 영업 활동에 대한 기밀 정보 확보
- government disputes or commercial litigation in foreign courts

2. Improper Payments, Offers or Promises to Private Parties
고객사 임직원에게 뇌물 지급
Certain Applicable Anti-Corruption Laws and this Policy prohibit private, as well as
public, bribery. Therefore, SHI Representatives are prohibited from paying, offering or
promising cash or anything of value to any individuals where the payment, offer or
promise is meant to (a) improperly influence the person in connection with the
performance of their duties; (b) induce the person to use their influence over others; or (c)
otherwise secure an improper advantage. The definitions set forth above for payment,
offer or promise, anything of value, and secure an improper advantage apply equally to
this prohibition.
이 규정은 공적 뇌물 뿐 아니라 사기업 업무 담당자에 대한 뇌물 지급도 금지한다.
따라서, 삼성중공업 임직원 등은 (a)고객사 임직원의 부적절한 집무집행을 유도하기
위하여, (b)고객사 임직원이 제 3 자에게 부적절한 직무집행을 유도하기 위하여,
(c)그 밖의 부적절한 이익을 확보하기 위하여 그 고객사의 임직원에게 유·무형의
이익을 제공하거나 제공할 것을 제안 또는 약속하지 못한다.
‘지급하거나 지급할 것을 제안 또는 약속’, ‘유·무형의 이익, ‘부적절한
이익’의 정의는 상기에서와 동일하다.
3. Improper Receipt of Payments, Offers or Promises of Payments
삼성중공업 임직원 등의 뇌물 수수
Certain Applicable Anti-Corruption Laws and this Policy also prohibit SHI
Representatives from requesting, agreeing to accept, or accepting cash or anything of
value in order to perform (or fail to perform) a function, responsibility or activity
improperly, or to provide an improper advantage to any person. The definitions for
anything of value and an improper advantage apply equally to this prohibition.
이 규정은 삼성중공업 임직원 등이 어떤 사람에게 부적절한 이익을 제공하기
위하여 유·무형의 이익을 요구하거나 수령하거나 수령을 약속 받는 것을 금지한다
‘지급하거나 지급할 것을 제안 또는 약속’, ‘유·무형의 이익’, ‘부적절한
이익’의 정의는 상기에서와 동일하다.
V. Gifts & Hospitality
선물과 접대
A. Basic Standard
기본 원칙
This Policy is intended to ensure that otherwise legitimate, Gifts & Hospitality (G&H)
are not used for improper purposes, or what may be considered improper purposes, by
SHI Representatives.
이 규정은 삼성중공업 임직원 등이 법령에서 허용하는 범위를 벗어난 부적절한 목적
또는 부적절한 목적으로 간주될 수 있는 선물과 접대를 제공하는 것을 금지한다
B. General Prohibitions
일반적 금지
Gifts and hospitality are prohibited under this Policy if they:
이 규정은 다음과 같은 선물과 접대 제공은 금지한다
• are prohibited by law (including local law);
법령(현지 법령 포함)에 의해 금지된 선물과 접대 제공
• are excessive in value;
과도하게 고가의 선물과 접대 제공
• are intended to improperly influence;
부적절한 집무집행을 유도할 목적의 선물과 접대 제공
• are too frequently offered or requested for the same individual;
동일한 개인에게 반복적으로 선물과 접대 제공
• could create or appear to create a conflict of interest;
이해충돌을 발생시키거나 발생시킬 수 있는 선물과 접대 제공
• are provided for spouses, husband or partner or other immediate family members
(of a government official); or
공직자의 배우자, 파트너, 또는 직계가족에게 제공하는 선물과 접대 제공
• would be embarrassing if disclosed to the public.
공개될 경우 난처할 수 있는 선물과 접대 제공
Some gifts and hospitality are by their nature prohibited under this Policy:
이 규정에서 절대적으로 금지하는 선물과 접대의 종류
• cash or other monetary payments
현금 또는 기타 현금성 선물과 접대
• personal services

• loans

• gifts and invitations that are so expensive that they create the appearance of
impropriety

• gifts or invitations at periods when important commercial decisions are made
중요한 결정을 해야 하는 시기에 선물 제공 또는 초대
C. Permissible Gifts & Hospitality
허용 가능한 선물과 접대
Only reasonable, customary and culturally appropriate gifts & hospitality may be offered
by SHI Representatives. The following gifts and hospitality are generally acceptable:
선물과 접대는 합리적이고 관습적으로 허용되는 범위 내에서만 제공 가능하다.
일반적으로 허용 가능한 선물과 접대는 아래와 같다
• gifts in the form of unsolicited promotional materials of a genuine advertising
nature such as calendars or diaries, provided their price is nominal
일반적 가격의 캘린더, 다이어리와 같은 판촉용 선물
• gifts of a purely ceremonial nature (medals, etc.) provided their price is reasonable
합리적인 가격의 행사용 성격의 선물(예: 메달 등)
• hospitality limited to meals, entertainment, and local travel costs (subject to the
general prohibitions in this section)
식사, 향응, 현지 교통비(단, 고객에게 제품이나 서비스를 선보이기 위하여
합리적인 수준내에서 제공하는 등 이 규정이 허용하는 범위내에서 제공 가능)
• gift hampers and other customary offerings
경조금품 등 현지의 관습적 선물
• flowers (provided their price is reasonable)
꽃(합리적인 가격의 꽃에 한함)
In all cases, gifts and hospitality must be directly connected to a legitimate business
related purpose, reasonable in value, given in good faith, permitted under local law and
regulation, and permitted within the policies of the recipient’s employer. Extra caution
must be exercised when providing gifts & hospitality to government officials or Client
representatives.
모든 경우에 있어서, 선물과 접대는 계약의 체결 또는 그 이행과 직접적인 관련이
있어야 하며, 합리적인 비용내에서 선의에 의해 제공하여야 하며, 현지 법과 규정 및
제공받는 임직원의 회사규정에서 허용하는 경우에 제공 가능하다. 특히, 공직자 또는
고객에게 선물과 접대를 제공할 때는 추가적인 주의가 요구된다.
D. Approval
승인
All SHI representatives shall comply with the execution and approval procedures
established within the company with regards to any gift-or-hospitality-related
matters.
삼성중공업 임직원 등은 모든 선물 및 접대와 관련하여 회사내 정해진 집행 및
승인절차에 따라야 한다.
E. Record Keeping
기록의 유지
All gifts & hospitality offered and received must be accurately and duly supported by
invoices and receipts, and must be accurately recorded in the books and records.
Receipts and supporting documentation for all expenditures should include the following
information: (1) the date of the expense, (2) the amount of the expense, (3) the name and
address of the service provider, (4) the business purpose of the expense, and (5) the
names, company affiliations and titles of recipients or attendees.
모든 선물과 접대의 제공과 수령은 금액과 시간이 정확하게 기록되어야 하고 청구서와
영수증에 의해 증빙되어야 하고 장부, 기록 및 회계서류에 정확하게 기록되어야 한다.
모든 경비에 대한 영수증과 증빙서류는 다음 정보를 포함하여야 한다;(1) 지출 일시
(2) 지출 비용 (3) 서비스 제공자(거래처)의 상호와 주소 (4) 지출 목적(5) 접대받은
자 또는 참석자의 이름, 소속회사, 직급(또는 직책)
Moreover, SHI Representatives shall maintain a registry of gifts and hospitality provided
to government officials or Client representatives. All permissible gifts and hospitality
shall be recorded in the registry, along with the amount, recipient, and purpose of the gift
or entertainment. The registry is subject to periodic review by the Compliance Team.
또한, 삼성중공업 임직원 등은 공직자와 고객 임직원에 제공된 선물과 접대의
기록대장을 유지·보존하여야 한다. 선물과 접대 기록대장은 선물 또는 접대의 금액,
수령자, 목적에 따라 기록대장에 작성되어야 한다. 준법지원팀은 정기적으로
기록대장을 점검하여야 한다.
VI. Travel
여행(출장)
A. General Prohibitions
일반적 금지
SHI Representatives may receive requests or be required pursuant to contractual terms to
host government officials or Client representatives for training, either at facilities of SHI,
or at training opportunities sponsored by third parties. Similarly, SHI Representatives
may also be requested to host government officials or Client representatives at technical
or operational, or project meetings. SHI Representative must obtain pre-approval of
Compliance Team prior to hosting or providing travel for a government official or Client
representative under any circumstances. Compliance Team will not approve any travel
that is provided to a government official or Client representative in order to obtain an
improper advantage. Any such travel violates this Policy is strictly prohibited. It is never
permissible to provide excessive or lavish travel to a government official or Client
representative for the purpose of improperly influencing an official action. It is also
never permitted to provide per diem payments in connection with travel. All meals
provided during travel should be reasonable in manner and amount and should be paid for
directly to the provider of the meals.
삼성중공업 임직원 등은 계약 조항에 따라 공직자 또는 고객 임직원이 삼성중공업내
일정 시설에서 실시하거나 또는 제 3 자가 주관하는 교육·훈련에 참가할 수 있도록
해야 하거나 요구 받을 수 있을 것이다. 이와 마찬가지로, 삼성중공업 임직원 등은
공직자 또는 고객에게 기술, 운전 또는 프로젝트 관련 회의 주최를 요구 받을 수
있을 것이다. 이런 경우 삼성중공업 임직원 등은 여행을 제공하기 전에
준법지원팀의 사전 승인을 득하여야 한다. 준법지원팀은 (1)공직자 또는 고객
임직원으로부터 부적절한 이익을 확보하기 위하여 여행을 제공하거나 (2)이 규정에
위배되는 여행을 제공하거나 (3)공직자 또는 고객 임직원에게 부적절한 집무집행을
유도하기 위하여 과도하거나 호화 여행을 제공하는 것을 승인할 수 없다. 또한,
여행과 관련하여 일당을 제공하는 것은 절대 허용되지 않는다. 여행 기간 동안
제공되는 모든 식사는 그 형식과 비용면에서 합리적이어야 하고 그 식사 제공자에게
직접 지불되어야 한다.
B. Advice or Approval
조언과 승인
No travel shall be provided for a government official or Client representative without the
pre-approval of Compliance Team. Compliance Team will approve travel expenditures
only if they are (1) directly related to a business-related purpose, (2) reasonable in value,
(3) given in good faith, and (4) permitted under local laws and customs. Travel expenses
will not be approved if they are requested too frequently for the same individual, or if
they go beyond what is necessary for a business purpose. It is not necessary for
Compliance Team to approve instances of local travel (e.g., taxi rides), so long as such
expenditures do not become excessive. To the extent possible, all expenses should be
paid directly to the vendor of the services.
준법지원팀의 사전 승인없이 공직자 또는 고객사 임직에게 여행을 제공할 수 없다.
준법지원팀은 여행경비가 (1)업무목적에 직접적으로 관련이 있는 경우, (2)합리적인
비용내에서 선의의 목적으로 제공된 경우, (3)현지 법과 관습이 허용하는 경우에만
승인할 수 있다. 동일한 개인에게 반복적으로 여행을 제공하거나 업무목적에 벗어난
여행의 제공은 승인할 수 없다. 금액이 과도하지 않은 한 현지교통비(예: 택시비)는
준법지원팀의 승인을 받지 않을 수 있다. 모든 발생 경비는 반드시 서비스를 제공한
거래처(예를 들면, 호텔 및 항공사)에게 직접 지급하여야 한다
SHI Representatives should seek advice from Compliance Team regarding any doubts
about whether a particular travel expense is appropriate under this policy.

C. Record Keeping
기록의 유지
In all cases where travel is approved, it must be supported by receipts and accurately
reported in the books. Receipts and supporting documentation for all expenditures
should include the following information: (1) the date of the expense; (2) the amount of
the expense; (3) the name and address of the services provider; (4) the business purpose
of the expense; (5) the names, company affiliations and titles of the recipients or
attendees.
In addition, a registry reflecting all travel provided to government officials or Client
representatives must be maintained. This registry should include the amount of the travel
expense, recipient, and purpose of the expense. The registry is subject to periodic review
by Compliance Team.
모든 여행의 제공 내역은 장부에 정확하게 기록되어야 하고 영수증에 의해
증빙되어야 한다. 모든 경비지출에 대한 영수증과 증빙서류는 다음 정보를
포함하여야 한다; (1)지출 일시 (2)지출 금액 (3)서비스 제공자(거래처)의 이름과

VII. Payments to Social Programs
소셜프로그램에 대한 지원
SHI Representatives may not use contributions to social programs as an attempt to
influence a government official, or as an attempt to return any promised or actual
favorable treatment by any government official.
Prior to making any payment or commitment in relation to social programs, SHI
Representatives must obtain the approval of Compliance Team and follow the guidance
of Compliance Team in order to ensure that proper due diligence and assessment is
carried out. All documentation relating to the contribution to social programs must be
retained so that the payment or expense is accurately described and recorded.
삼성중공업 임직원 등이 공직자의 부적절한 집무집행 유도 또는 공직자에 의해 호의적
처분 또는 처분에 대한 약속을 받기 위한 의도로 소셜프로그램에 대한 헌금 또는
지원을 하는 것은 허용되지 않는다. 삼성중공업 임직원 등이 소셜프로그램에 관련된
금품 지급 또는 지원활동을 하는 경우 사전에 준법지원팀의 승인을 받아야 한다.
소셜프로그램에 대한 헌금과 지원에 관련된 모든 문서는 지출과 비용이 정확하게
기술되고 기록되어져야 한다.
VIII. POLITICAL AND CHARITABLE Donations

A. Political Contributions

SHI will not make any financial contributions to political candidates, elected
representatives or political parties.
삼성중공업은 공직 입후보자, 국회의원 또는 정당에 기부를 할 수 없다
B. Charitable Contributions
자선 헌금
SHI Representatives may not use charitable donations as an attempt to influence a
government official, or as an attempt to return any promised or actual favorable treatment
by any government official. SHI believes in contributing to the communities in which it
does business and permits reasonable donations to charities; but, SHI needs to be certain
that donations to charities are consistent with Applicable Anti-Corruption Laws. SHI
must also confirm that the charity does not act as a conduit to fund illegal activities in
violation of the laws of the countries in which SHI does business.
All charitable donations must be pre-approved by Compliance Team. All documentation
relating to the donation must be retained so that the payment or expense is accurately
described and recorded .
삼성중공업 임직원이 공직자의 부적절한 집무집행 유도 또는 공직자에 의해 호의적
처분 또는 처분에 대한 약속을 받기 위한 의도로 자선 기부를 하는 것은 허용되지
않으며 부패방지법령에 부합하는 합리적이고 선의의 자선 기부는 허용된다. 모든 자선
기부는 준법지원팀의 사전 승인을 받아야만 하며, 준법지원팀은 자선 기부가
불법행위의 수단으로써 사용될 가능성이 없는지 확인하여야 한다. 자선기부와 관련된
모든 문서는 지출과 비용은 정확하게 기술되고 기록되어져야 한다.
IX. FACILITATION PAYMENTS
급행료
Facilitation payments are small, sometimes customary, payments made to a low-level
government official to expedite or secure the performance of a routine governmental
action. SHI Representatives are not permitted to make facilitation payments for any
reason.
급행료는 일상적인 정부 행위의 수행을 촉진시키거나 원활하게 하기 위한 목적으로
하급 공직자에게 지급되는 소액의 금액 의미한다. 일부 국가에서 관습적으로 급행료를
지급하는 경우가 있음에도 불구하고, 삼성중공업 임직원 등은 어떠한 이유로도
급행료를 지급하는 것이 허용되지 않는다.
X. BOOKS AND RECORDS
장부와 기록 관리
All related books, records and accounts must be kept with reasonable detail and accuracy
to fairly reflect the transactions. SHI Representatives must follow applicable standards,
principles, laws and practices for accounting and financial reporting. No false or
artificial entries are to be made in the books and records nor any undisclosed or
unrecorded fund or asset is to be established or maintained for any purpose. Finally,
personal funds must not be used to accomplish what is otherwise prohibited by this
Policy.
삼성중공업 임직원 등은 각종 거래를 반영하여 상세하고 정확하게 장부, 기록,
회계서류를 기록하고 관리하여야 한다. 삼성중공업 임직원 등은 관련 법, 기준에 따라
회계와 재무보고서를 작성해야 하며, 어떠한 목적으로도 사실이 아니거나 위조된
내용을 기록하거나 기록되어야 할 내용을 누락할 수 없다.
XI. DUE DILIGENCE FOR THIRD-PARTIES
제 3자에 대한 준법실사
The execution of SHI Projects will necessarily involve the retention of potentially
numerous of third-parties, including subcontractors, vendors, and potentially commercial
agents.삼성중공업의 프로젝트를 수행하기 위해서는 하도급업체, 납품업체,
에이전트(대리인) 등 수많은 제 3자의 참여가 필요하다.
Because SHI can be potentially liable for the actions of third parties acting on its behalf,
SHI representatives must exercise caution when retaining or working with third parties.
The level of due diligence performed on each third-party will be determined based on the
risk-based analysis described generally below.
제 3 자가 삼성중공업으로부터 위탁받은 업무를 수행하는 것에 대하여 삼성중공업이
법적 책임을 부담해야 할 수 있으므로, 삼성중공업 임직원 등은 제 3 자와 업무를 할
경우 부패방지법령 및 이 규정을 위반하지 않도록 충분한 주의를 주어야 한다. 제 3자
준법실사의 수준은 아래에서 기술되는 위험도 분석을 기초로 결정한다.
A. Commercial Agents
에이전트(대리인)
Third party companies or individuals that are engaged to help SHI (i) obtain business; (ii)
solicit sales; (iii) interact with government officials or Client representatives; or (iv)
perform similar business development or consulting activities (collectively, “Agents”)
can present heightened risk to SHI under Applicable Anti-Corruption Laws. If the
retention of Agents is envisioned , this Policy requires SHI Representatives to conduct
thorough due diligence under the supervision of Compliance Team before any such
Agent is retained. This full due diligence process will include: (1) the collection of
relevant information from the Agent through a form (“Questionnaire”) to be developed
by Compliance Team; (2) background research on the Agent; (3) interviews with the
relevant SHI representatives and Agent representatives; (4) a Red Flag analysis; (5)
appropriate anti-corruption certifications by the Agent (attached as Appendix 2); and (6)
ongoing monitoring of the Agent’s activities and performance.
삼성중공업으로부터 (1)수주;(2)영업활동;(3)공직자 또는 고객사 임직원과의
접촉;(4)사업개발 또는 컨설팅 등의 업무를 위탁(위임?) 받은 제 3 자 회사 또는
개인(이하 “에이전트(대리인)”)는 부패방지법령과 관련된 삼성중공업의 리스크를
증가시킬수 있다. 만약, 삼성중공업 임직원 등은 에이전트(대리인)를 사용할 계획이
있는 경우, 에이전트(대리인) 사용 전 준법지원팀의 자문 하에 준법실사를 하여야
한다. 준법실사 절차는 (1)준법 설문지를 사용하여 관련 자료 수집;
(2)“에이전트(대리인)”의 배경 조사; (3) 관련 삼성중공업 및 에이전트(대리인) 간
인터뷰; (4)레드플레그 분석; (5)에이전트(대리인)가 부패방지서약(첨부 1);
(6)에이전트(대리인)의 업무수행 및 활동에 대한 지속적 모니터링 등을 포함한다.
As part of the Red Flag analysis, the Compliance Team should review the Red Flag
checklist (attached as Appendix 2). The existence of one or more Red Flags does not
necessarily preclude the retention of the Agent, but additional diligence will be required
to resolve all Red Flags prior to the Agent’s engagement. Examples of Red Flags include:

몇 개의 레드플레그 존재 만으로 그 에이전트(대리인)의 사용을 못하는 것은 아니나
에이전트와 계약전 추가적인 준법실사를 실시하여 모든 레드플레그를 해소하여야 한다.
다음 항목들은 레드플레그에 해당된다:
• The Agent does not fully and truthfully disclose all of the information requested by
SHI
에이전트(대리인)가 확인을 요청받은 사항에 대하여 불완전 또는 부정확한
정보를 제공하는 경우
• The Agent refuses to sign representations or warranties that he has not violated and
will not violate Applicable-Anti-Corruption Laws
에이전트(대리인)가 부패방지법령을 위반하지 않았고 부패방지 법령 및 이
규정의 준수할 것이라는 서약서에 서명을 거부하는 경우
• The Agent requests that his identity not be disclosed
에이전트(대리인)가 공개되지 않을 것을 요구하는 경우
• The Agent resides outside the country in which the services are rendered
에이전트(대리인)가 그 서비스가 행해지는 나라밖에 주재하는 경우
• The Agent (or its principals or employees) is a current or former government
official or an immediate family member of the government official
에이전트(대리인) 또는 그 임직원 현재 또는 과거에 공직자이거나 공직자의
직계가족인 경우
• The Agent was recommended by a government official
에이전트(대리인)가 공직자에 의해 추천된 경우
• The Agent request excessive commissions

• The Agent request a complicated way of paying such as payment to offshore bank
account

The due diligence process will be led by relevant SHI representatives with oversight. If
any SHI Representative becomes aware that an Agent such as those described above is
acting on behalf of SHI, he or she should immediately report this fact to the Compliance
Team.
준법실사는 해당 업무 관련 부서에서 주관한다. 만약, 삼성중공업 임직원 등이
에이전트(대리인)가 레드플레그에 해당하는 행위를 하는 것을 알게 되는 경우 즉시
준법지원팀에 그 사실을 보고해야 한다.
B. Subcontractors and Vendors
일반 협력회사
For any subcontractor or vendor hired in the normal course of operations, this Policy
requires SHI Representatives to conduct due diligence under the oversight of Compliance
Team, including the collection of relevant information from the business partner through
a Questionnaire(attached as Appendix 3)
정상적인 절차에 의해 계약이 체결되는 일반 협력회사에 대해서, 본 규정은
준법설문지(첨부 3)를 사용하여 협력회사로부터 관련 자료 수집하는 것을 포함한
준법실사를 요구한다.
Based on the results of the Questionnaire, other steps may be required. To the extent any
vendor or subcontractor presents a greater risk, additional due diligence will be carried
out, possibly including background research on the subcontractor or vendor and/or
interviews with relevant representatives and/or subcontractor or vendor.
준법설문의 결과에 따라 추가적인 단계가 요구되어질 수 있다. 협력회사의 위험
정도에 따라 추가적인 준법실사가 수행될 수 있으며, 추가 준법실사는 협력사의
배경조사, 관련 임직원 및/또는 협력사와의 인터뷰 등이 포함될 수 있다
C. Subcontractors and Vendors on Specific Project
특정 프로젝트 수행 협력회사
For the projects which require any specific anti-corruption compliance program or
policies to be carried out, the procedures and level of due diligence applicable to the
subcontractors and/or vendors in relation to such projects shall be determined by the
policies approved within the frame of the relevant project.
별도의 부패방지 정책을 요구하는 특정 프로젝트에 대해서, 협력회사에 적용할
준법실사의 절차 및 수준은 관련 프로젝트에서 승인된 규정 및 절차를 따른다.
XII. REPORTING MECHANISM
보고 체계
SHI Representatives shall report any compliance alerts and any violations of this Policy
or any Applicable Anti-Corruption Laws immediately to Compliance Team. In addition,
SHI Representatives should report any requests from government officials for a corrupt
payment to Compliance Team .
삼성중공업 임직원 등은 이 규정 또는 부패방지규정의 위반 또는 위반가능성을
발견한 경우 즉시 준법지원팀에 보고하여야 한다. 또한, 공직자로부터 뇌물 제공을
요구받은 모든 임직원은 준법지원팀에 즉시 보고하여야 한다.

Certification of Anti-corruption Compliance
부패방지 서약
The undersigned hereby represents, warrants and certifies to Samsung Heavy
Industries Co. Ltd(“SHI”) as follows:
서명인은 삼성중공업 주식회사(이하 “삼성중공업”)에 아래사항을 법적으로
대표하고 보장 및 보증한다.
1. Business Partner has received a copy of, and been informed about, the Anti-
Corruption Compliance Policy and Procedure of SHI. Business Partner is
familiar with and understands the Anti-Corruption Act of Korea, the OECD
Convention, the FCPA(Foreign Corrupt Practice Act), the UK bribery Act, and
other similar anti-corruption laws.
(당사는) 삼성중공업의 부패방지법 준수규정에 대해 알고 있고 관련 자료를
받았으며, ‘국제상거래에 있어서 외국공무원에 대한 뇌물방지법’,
‘부정청탁 및 금품등 수수의 금지에 관한 법률’등 국내 부패방지법령, OECD
부패방지협약, 미국 FCPA, 영국 뇌물방지법, 기타 유사한 부패방지법령(이하
“부패방지법령”)에 대하여 이해하고 알고 있다.
2. While providing services for SHI formed, Business Partner agrees to abide by all
applicable anti-corruption laws and regulation and all other applicable laws
dealing with bribery, extortion and kickbacks. Specifically, Business Partner has
not and will not offer, promise, arrange for or pay, either directly or indirectly,
anything of value to a government official (including employees of any state-
owned or controlled enterprise, which include all employees of any national oil
company , political party or a candidate for political office for the purpose of
inducing the government official to perform or fail to perform his official duties
to assist Business Partner or SHI) in obtaining business, retaining business or
securing any improper advantage.
당사는 삼성중공업에 서비스를 제공하는 동안 뇌물, 재물 강요, 리베이트
등에 관련된 모든 부패방지 법령 및 규정의 준수에 동의한다. 특히, 당사는
공무원, 국영기업체 직원, 정당, 공직후보자를 포함하는 어떠한
공직자에게도 당사 또는 삼성중공업이 사업을 획득하거나 유지 또는 부적절한
이익 확보를 목적으로 직∙간접적으로 유·무형의 이익을 제공하거나 제공할
것을 제안 또는 약속 하지 않는다.
3. Except as previously disclosed, neither Business Partner nor any of Business
Partner’s directors, officers or employees is a government official and no
government official has or will have direct or indirect controlling interest in
Business Partner.
삼성중공업에 사전 통보한 경우를 제외하고 당사 뿐만 아니라 당사의 임원,
간부, 직원들 모두 정부 공무원이 아니며, 정부 공무원이 당사의 이해관계에
직∙간접적으로 관여하거나 관여하지 않을 것이다.
4. Business Partner declares that it is not under current criminal investigation and
has not been subject to any civil or criminal enforcement actions, at home or
abroad, for improper conduct relating to bribery, corruption, or violation of laws
governing business.
당사는 현재 범죄 조사를 받지 않고 있으며 국내∙외에서 뇌물, 부패, 또는
비즈니스 법률 위반으로 민·형사상으로 범죄 조사의 대상이 된 적이 없음을
확인한다.
5. Business Partner agrees that if at any time the representations, warranties and
certifications herein are no longer accurate and complete, Business Partner will
immediately notify the SHI and provide a supplementary report detailing such
change.
당사는 언제라도 여기에서 언급한 진술, 보장 및 보증 내용이 변경되는 경우
즉시 삼성중공업에 고지하며 그 변경내용에 대한 상세한 추가 자료를
제공하는 것에 동의한다.

Business Partner may act corruptly. Although not necessarily a bar to working with a
