JOINT-VENTURE AGREEMENT
Whereas it has been felt necessary and expedient to constitute a viable JOINT-VENTURE for the provision
of carrying out the Consultancy Services for Performance Audit/Study for the Projects/Programs under
Ministry of Water Resources, Government of the People's Republic of Bangladesh.
Now therefore, the three (3) firms named below, have agreed, under the terms and conditions mentioned
hereunder, to form a JOINT VENTURE. Its office shall be at DPC Group, House # 25 (Flat C-1), Road # 47,

TERMS AND CONDITIONS:
It is mutually agreed that the terms and conditions for determining further actions of the JOINT VENTURE
shall be as under:
1. That the above named group of three (3) firms shall form into a single entity for aforementioned job as
assigned by MOFDM, GoB where DPC Group shall act as the LEAD firm in the JOINT-VENTURE.
The JOINT-VENTURE among the three (3) firms hereof shall be for the job of execution as required by the
work, in the event the JOINT-VENTURE is awarded with the contract for rendering such services.

Mr. Mashiur Rahman, Managing Director, will represent DPC GROUP while Mohammad Naser, ChiefExecutive Officer will represent AHMAD & AKHTAR Chartered Accountants, and IRGDSL represented by

Mr. Sukharanjan Suter, Chairman. The persons representing the group of three (3) firms shall form an
Executive Committee of the JOINT- VENTURE for over all operation of the JOINT- VENTURE through the
lead firm DPC. The MD of DPC Group shall act as the Chairman of Board of Director of the Executive
Committee and shall be responsible for over all management and execution of the job assign to the
JOINT VENTURE.
3. This job will be done in the name of the JOINT- VENTURE where DPC Group will perform and execute allcontracts and agreements as required from time to time for and on behalf of the JOINT- VENTURE as
per decision of the Executive Committee. In any case the responsibilities of other constituent groups of
firms shall not decrease or diminish in any manner whatsoever.
4. That the group of three (3) firms in the JOINT-VENTURE hereby agrees to complete all the formalitiesand share responsibilities and invest/profit/loss jointly and equally for this project unless anything
mentioned otherwise in this agreements.
5. All professionals, sub professionals and support staff of the JOINT-VENTURE shall be deemed to be thestaff of the JOINT-VENTURE for all purposes.DPC Group will resposible for all logistic support.
6. Matters not covered under the above clauses may be incorporated under this agreement, if so deemedso necessary, by mutual consent of the group in writing.
The parties hereto set our hands on this day of 19th
January, TWO THOUSAND TWELVE OF THE CHRISTIAN
