Part I Instructions to Bidders
1 As per RFQP document, the bid security amount is 2 crores for cluster no. 6, 7, 8
& 9. The bid security amount for cluster no. 1 was mere 10 lakh. For previous
clusters no. 2, 3, 4 & 5, where the cost of project was approximately same, the bid
security was 1 crore. So it is requested that the bid security amount should be
minimized.
No change is envisaged.
2 If only the opening of technical submission is scheduled on 21 Feb 2011, then
there is no point of submission of price proposal on the same day. It is requested
that the price proposal should be submitted on the day when the opening of price
proposal is scheduled.
No change is envisaged this is a single stage
bidding process with two envelope.
3 In a Type-3 entity, is it acceptable if tender document is purchased by one of the
shareholders and not in the name of SPC to be formed? Since our company
formation is under process and might take a month‟s time.
We already have an idle 2 year old private limited firm without any ongoing
business. Since forming a new SPC under companies act for type-3 would take a
month‟s time, can we amend Memorandum of the company we own to suit the
purpose of special purpose company of this bid? This company shall be
exclusively for this concession only which would be mentioned in its
Memorandum.

4 Earlier ceiling on maximum number of clusters for one company was 5. But now
DTC: Private ratio has been reversed i.e. 40:60 respectively. Either number of
buses per cluster should be reduced or number of cluster to one company should be
reduced.

financial statements. Financial Capability of the Bidder's parent company or
its subsidiary or any associate company will be considered for computation of
the Financial Capability of the Bidder where the Bidder holds at-least 51% of
the common equity of subsidiary company as on December 31, 2010 or Parent
Company (i.e. the Parent Company should hold at-least 51% of the common
equity of the Bidder as on December 31, 2010).”
Type 1 bidder is a company incorporated under Indian Companies Act 1956 and
does not have the financial capability required under the RFQP for submitting a
bid under Alternative -2. The bidder intends to qualify under Alternative 2 using
the financial capability based on the financial statements of its Global Parent
company (Global parent company meets the financial qualification criteria), the
Global parent “indirectly” holds at-least 51% of the common equity of the bidder.
To give an example:-
Bidder is, say Company A incorporated in India.
Company B is a company incorporated outside India and holds at least
51% of the common equity in Company A and hence is the “direct” parent
company of Company A.
Company C is a company incorporated outside India and holds at-least
51% of the common equity of Company B and hence is the “direct” parent
company of Company B but “indirect” parent company of Company A.
Company D is the Global Parent company incorporated outside India and holds at-
least 51% of the common equity of Company C and hence is the “direct” parent of
Company C but “indirect” parent company of Company A & Company B.
Based on above information will the bidder i.e. Company A, qualify to bid under
Alternative 2 based on the financial statements of its Global Parent Company i.e.
Company D?

more than cluster / project, single bid security shall be submitted for an amount of
Rs. 2 crores only.
In this case, if they become the lowest bidder in any of the four clusters in the
order of opening of financial bids, they will accept that cluster and withdraw the
price bid for the unopened cluster.
We also request DIMTS to make similar conditions for type 1 bidder also, if any
participants want to bid in more than 1 cluster but at the same time interested to get
only 1 cluster (which they should declare in affidavit at the time of submission of
proposal). In such a case if they clusters in the order of opening of financial bids,
they will accept that cluster and withdraw the price bid for the unopened clusters.
7 RFQ document clause 5.12.1, GNCTD shall issue a Letter of Acceptance to the
successful bidder, within in three days from the date of issue of LOA, the
successful bidder shall accept the LOA and submit to transport department,
GNCTD the acknowledge letter. We request DIMTS to amend it as, acceptance within three days from the date of
receipt of LOA.

8 RFQ document clause 5.12.2, The successful bidder shall execute the concession
agreement within 1 week of issue of LOA or such time as indicated by transport
department, GNCTD.
We request DIMTS to amend the time for signing of agreement to within 45 days
from the acceptance of LOA, since incorporation of new SPC will take at aleast 35
days time.

Part II Draft Concession Agreement

Before introduction of Automatic Fare Collection system, please confirm that the
IM or nominated service provider shall provide the concessionaire with all on bus
ticketing equipment/consumables/e packs and related depot based reconciliation
equipment at their cost (zero cost to concessionaire).

Please outline the qualification standards of the DQM contractor and
individual assessors.

bay fire suppression system required?
Schedule 2 stipulates minimum specifications
criteria with requirement as per Central Motor
Vehicle Rules, 1988.
7 Schedule 2, Para 3.1 of Specifications for A/C and non A/C City bus, engine
location front, are rear engined vehicles permitted? Rear engine will be considered as higher
specification and hence will be permitted.
8 Schedule 2, Para 3.4 of Specifications for Non A/C City Bus, temperature at
steering should not be more than 4 degrees beyond ambient temperature during
peak summers, please clarify this statement
During peak summer season in Delhi, the
temperature in driver area should be bearable for
bus driver.
9 Schedule 2, Para 3.11 of Specifications for Non A/C City Bus, Maximum speed of
bus 40 kmph, does this applies to A/C buses as well? Yes
10 Schedule 2, Para 5.1 of Specifications for Non A/C City Bus, gear box with
manual transmission, is auto transmission acceptable? Automatic transmission will be considered higher
specification, hence will be permitted.

No special permission for seat is required for bus
conductor. For other requirements, refer Chapter
III of MV Act, 1988 with Delhi Motor Vehicle

14 Regarding the specification for A/C city bus, are A/C buses to be low floor/entry?
Same as non AC bus for floor height & number
of steps.
15 Where will the maintenance facilities be located?
It will be in the depots to be provided by DOT.
16 What size/capacity are the maintenance facilities based upon?

17 Does each cluster of buses have to be maintained in separate maintenance
facilities? Would depend upon depots as provided by DoT.
18 What plant & equipment are provided within the maintenance facilities?

19 Do all Maintenance/stabling facilities have CNG Fueling stations on site?

20 What is the average fueling rate of CNG stations?

22 Bus peak requirements have been reduced in quite a few routes. If we use the
original peak/frequency report as a guide then some service will be running at 19-
23kph during peak. Will the UTT be adjusted to reduce peak speed to manageable
levels?
Will the performance standard monitors (OTP, lost Km‟s, missed trips) still apply
if it is shown DOT requirements (peak running speed 19-23kph) are unrealistic?
The time table has been prepared avg. kmph of
15-18 kmph. The operation of route will be
monitored through on board GPS and will be fine
tuned if found necessary.
23 What is the specification if any for wheel chair access on stage carriage, there is no
provision for this within the bus specification document. Wheel chair friendly buses are provided by DTC
on the same routes.
24 We request you to please allow fabrication of body of buses through accredited
vendors, as the vehicle manufacturers have hiked the prices of built up buses by Refer provisions under clause 2.2, 2.5 and 2.7

about 6 to 7 lakhs. We wish to serve the commuters of Delhi through the cluster
scheme of GNCTD in a sincere and dedicated manner and the undue hike in prices
of buses would only increase. The operation cost of vehicles and we fed that is a
national loss too. We also assure that we will get the body built on the chassis and
get type approved of ARAI as per rules. This may kindly be permitted.

25 Whether the bid winner can go for arrangement / development of its own bus depot

26 If the depot is provided by the government then what will be the approximate area

depending upon availability of land, depot(s)

27 Schedule 3, Page 18, Annexure A
Minimum qualification of drivers is 10+2. Such clauses would further lead to
difficulty in development of drivers. It should be as per specification laid down by
Motor Vehicle Act.
The minimum academic qualification of drivers
shall be 10+2 in terms of Delhi High Court‟s
direction.
Those who have existing valid PSV badge shall
be allowed to operate buses in the Cluster.
28 Accordingly to Pg 26 clause f(i) & (ii), you would charge Rs. 60,000 per bus p.a
for depot rent and Rs. 1,20,000 per bus p.a for passenger facility charge increased
@ 10% p.a. our rate for such statutory expenses will not increase because it is
mentioned in Capital Cost for depot rent and passenger facility shall be Rs. 6 per
km i.e Rs. 35500 per bus per month. These charges should be reduced.
i). We already have heavy burden for MCD parking charges, fitness fees,
speed governor AMC etc. Operation of public transport is subsidized all
over the world. You charge onetime tax cars and for buses you levy heavy
quarterly / annual taxes. You are already earning advertisement revenue
from bus shelters, then why are you charging Rs. 10,000 per bus per month
for passenger facility infrastructure?
ii). Draft Concession Agreement, Article 5, Clause 5.1 (f) I & II, Bus depot,
upon Concessionaire making a payment of Rs. 60,000/ per year increased
at the rate of each year per stage carriage and passenger facility charges
upon Concessionaire making a payment of Rs. 10,000/- per stage carriage

iii). These charges look exorbitantly high when calculate per bus? Please clear
the meaning of per stage carriage, whether it is per bus or what? Also
please made clear that what all services will be provided by the department
under those charges.
iv). Similarly we cannot calculate ISBT fee charges in absence of detailed
Unified time table. Statutory expenses like depot rent, ISBT fee,
passenger facility charges etc should be exclusive of rates quoted by us
and reimbursed on actual (submission of actual bills upon payment) as
followed by MNC‟s / BPO‟s currently.
The detailed route is available for such planning
in Part III of the RFQP Document.
29 Fitness of a Euro-4 takes at least 10 days. The fitness authorities are already
running much over their capacities. Although we will keep 10% extra buses to
compensate the same, but on producing relevant documents penalty for non-plying
should not be levied. Also, for smooth functioning of this project, exclusive
fitness authority should be there for buses.
The compliance of emission standards as per
Euro-IV/ Bharat Stage-IV shall be tested on
prototype bus by Vehicle Manufacturer and
provided to the Bidder.
No change is envisaged. However, DoT is
committed to provide good services to its clients
i.e. permit holders.
30 To refuel 400 buses in 3-4 hours (night), we need minimum 15 CNG dispensers
per cluster. For smooth functioning of this project, committed CNG station should
be a must obligation of DOT.

31 Can you reduce working hours from 16-12? This would reduce cost considerably
apart from dependence on two drivers per day. No change is envisaged.
32 Also please clarify whether one depot per cluster would be given? Because if
three/ four smaller depots are given to complete the requirement, our cost of
manpower and depot maintenance would increase sharply.
Two to three depots may be provided considering
that each Cluster has large number of buses.
33 Page 24, Clause 4.6, unutilized capital cost would be compensated after end of
each year. It should be paid monthly because our repayments to lenders would be
monthly (EMI‟s).

34 Presently ACP‟s are impounding buses for 25-30 days for violations like over
speed, lane changing, over taking etc. You surely understand that despite of our
best efforts these violations will take place but much less than the current
frequency. In case the bus is not available, it should come under non-deductible
category. We already bear three penalties from traffic police.( 2 fines &
impounding)
No change is envisaged. Refer Clause 1.2.18 of
Schedule 3 of draft Concession Agreement.
35 Draft Concession Agreement Schedule 2, clause 2.2 and 2.5, in general design
features. To ensure compliance type approval certificate for complete bus as per
specification laid herein from approved test agency under CMVR will be
necessary.
Presently the CMVR requirements do not cover those of AIS052 as its
implementation date is yet to be notified, hence the type approval certificate will
cover the CMVR requirements only either on the complete bus or the drive away
chassis.
It is suggested to modify the above as below:
To ensure compliance, type approval certificate of the complete bus or the drive
away chassis and a compliance report of meeting the requirements of AIS052 and
this tender from any of the approved testing agencies notified under CMVR will be
necessary.

36 Draft Concession Agreement, Article 9, Performance Security of Rs. 5 crores
Performance Security of Rs.5 Crores is exorbitantly high for such kind of project,
in which successful bidder have to invest from their own. This will unnecessarily
increase the project cost. We request DIMTS to reduce it to Rs. 2.5 Crores for the
first 18 months and subsequently Rs. 1.5 Crores; for the purpose of security &
ensure the performance of the contractor.

Cluster Design Data
1 The provision for „Idle run‟ is less than 10%. Will the concessionaire be
reimbursed for extra costs associated with „idle run‟ if it shown to have increased
once the depot location has been finalized?
Idle Run (dead kilometerage) as provided in the
Part III of the RFQP Document is indicative
only, depending upon the location of Depot(s)
this could change. Idle Run is part of the
Quantity of Service Kilometers per year to be
operated by the Concessionaire. Payment shall be
made in terms of the Service Kilometers operated
by the Concessionaire.
