Cyber: Prevent, Detect and Respond

Carl Caddy / Chief Operating Officer, Cyber Intelligence [email protected]

Adam Way / Consultant, Cyber Intelligence [email protected]

“ I joined Deloitte in January 2018, as the Chief Operating Officer for cyber defence. Previously, I had spent 20 years working for the Government as a technical director for deployed engineering access and strategy in some high profile and sensitive areas. Before getting my degree in electronic engineering at Bristol University, I had spent eight years working in the British Army specialising in telecommunications.”

“ While I was working for a large IT company, providing support for Government contracts, I started to develop a real interest in cyber-security. After that, I gained a lot of experience as an Information Security Analyst for a major retailer. I joined in 2020, where my training made me the fully-fledged cyber-specialist I am today. I have enjoyed putting my retail experience into practice, as well as providing technology and cyber-security solutions for our clients.”

“ I founded ClearViewIP in 2007, after finding a gap in the professional services market and effective management and monetisation of intellectual assets. Over the past twelve years, we have grown the business from a small four-person team, into the 20-strong IP Advisory practice we have today. In 2019 we joined Deloitte, becoming Deloitte’s dedicated IP Advisory practice. Before starting ClearViewIP, I held several International R&D and business leadership positions in Data Storage and Networking industries. As VP of Engineering for Xyratex’s Network Storage Systems Division, I was responsible for all aspects of development for their Expansion Storage product line, delivering and supporting products for more than 50 of the world’s leading computer storage providers, while achieving revenues of over $500M.”

“ I am passionate about advising my clients on IP matters in a range of high-tech fields including mobile apps, audio/video streaming, telecoms, consumer electronics, mHealth/telehealth and medical devices. I also undertake a number of other consulting roles including developing patent mining strategies for acquisition, identifying licensing opportunities, IP due diligence, and IP valuation.”

Telco Advisory: What does 5G mean for Telcos?

03

Times are rapidly changing in the Telecom market. Our dedicated networks advisory team are here to help Mobile Network Operators (MNOs) make sense of these changes to gain strategic advantage. The new 5G technological capabilities will redefine business models and generate entirely new revenue streams for MNOs. At the same time, 5G will support in overcoming deep-rooted current challenges of declining yield curve and offer potential to transform network cost structures. We are here to tackle this change. Like previously experienced in the IT world, an open, cloud based network significantly increases competitiveness of MNOs, and will foster innovation. A cloud based network enables the software-defined infrastructure (with the use of Commercial Off-The-Shelf (COTS) servers or white-boxes) to deploy network functionalities, thus:

Reduce Total Cost Ownership (TCO) – more balanced control between Capital Expenditures (CAPEX) and Operating Expenses (OPEX) investments, as cloud based functions can be deployed dynamically according to needs.

Improve Time-to-Market – Reduced cost of deploying a new SW version or feature, allowing MNOs to test and innovate at a lower risk. DevOps, continuous integration and development become a reality.

Optimise operational efficiency – Automating the provisioning and full lifecycle management (scaling, healing, and upgrades) of the services, will allow the spectrum to be used more efficiently; capacity can be managed on demand providing the necessary agility and cost savings needed for new services.

Enable ’Plug and play’ – Removing proprietary solutions and single-vendor constraints will allow new market entrants – typically best in class – to provide revolutionary solutions to specific areas of the network. The success of this environment will depend on vendor collaboration and a strong ecosystem.

I am passionate about transforming existing IT environments into more agile, cost effective and business-focused capabilities. I advise my telecoms and enterprise clients on the use of Software Defined Networking and the modernisation of fixed and mobile underlays that support it.”

“ I lead our Telco connectivity offering and our industry alliance with Telecom Infra Project (TIP) and Next Generation Mobile Network (NGMN). I have worked extensively with Telco companies on addressing the challenges arising out of network transition to an all-digital world; over 14 years of experience in delivering large scale network transformation programmes within mobile networks.”

M&A: Delivering value throughout the journey

04

Recently, there has been a lot of M&A activity in the Tech and Telco industries, from VC investment in start-ups to billion-dollar mergers.

These industries demonstrate high levels of resilience, recurring or contracted revenue and cash generation that make them attractive targets for strategic and financial investors alike. As well as conventional M&A, our teams can support clients in refinancings and IPOs, and can advise on restructuring from insolvency proceedings through to divestment options, CVAs, and fast track M&A processes to maximise value and minimise losses.

We provide M&A support end-to-end with the view of making transactions as efficient as possible, including:

Developing a strategy and target list – identifying acquisition targets in existing/new/adjacent sectors or services and negotiating and agreeing on terms with vendors.

Optimising business performance – helping set the target operating model, optimise working capital, streamline costs and mitigate value leakage through perceived tech debt.

Preparing for transactions – compiling business plans, supporting any change in management reporting on the right KPIs for the investor. Leveraging technology to collate, review and redact documentation ready for upload to a data room.

Tax and incentivisation planning – working alongside our tax colleagues, supporting all aspects of a proposed transaction – including tax risks, management incentivisation, equity participation and shareholder planning.

Executing transactions – efficiently implementing changes by deploying the scale and capability of Deloitte, enabling management teams to focus on their business.

“ I lead our UK Financial Advisory TMT team and Deloitte’s Technology Fast 50 programme. My team supports Technology clients on M&A, IPOs, refinancings and restructurings, valuations, forensic investigations and more. We help clients execute transactions internationally, and work with a wide range of clients, from VC startups and Private Equity investors / their portfolio companies to global technology groups. As part of our work we are able to leverage the full breadth of Deloitte’s capability to help our clients in their decision making. I also lead our Technology Fast 50 programme in the UK, which runs annually and identifies the 50 fastest growing UK technology companies. Through the programme, we get the opportunity to engage with founders and companies at the leading edge in their fields, many of whom go on to become `Unicorns’ in the years that follow.”

“ We recognise that successful tech and telecoms businesses are the results of a significant investment of time and resources, both emotional and financial. I work with clients to explore how entrepreneurs, owner-managers and corporates can recognise and make the most of this investment. Being part of The Tech Foundry team, I also facilitate and support discussions around M&A and allow business owners and leaders to share their views and experiences in a safe, collaborative environment.”

Tax: Responding to a radically changing ecosystem

“ I am the Global International Tax Leader for Deloitte and the fact that I hold this role and work from Reading is no accident! For over 20 years, I have enjoyed advising the world’s largest technology businesses on their international tax affairs – many of these businesses are in the Thames Valley. My work takes me all over the world, but Reading is my home and where I celebrate the successes of my team.”

“ I have focused on the Tech and Telco sector over the last ten years. The most frequent areas that I tend to support my clients with include, transformational events, such as Initial Public Offerings (NASDAQ, FTSE, and other international exchanges), transaction preparation and readiness, due diligence, acquisition and post-acquisition structuring and business integration. This also includes assisting groups through rapid organisation and regulatory change, so they can identify and navigate potential pitfalls while aligning their tax strategies to their business models.”

“ I was born and brought up in Delhi, India. I came to the UK in 2010 and I started working as the most junior member of the team for one of our major telco clients. Today, I lead the account, which involves spending two days a week onsite – which I love doing. I manage the preparation and submission of all of their VAT returns in Latin America. In addition to this, whenever the client needs VAT advice globally, I make sure they receive all the help that they need.”

Legal: Technology driven solutions

06

Technology is transforming the nature of legal work. There is a constant drive for organisations and their in-house legal teams to do ‘more for less’ and clients face the dual complexities of a heightened regulatory environment and an increasingly globalised business landscape.

We advise and implement technology in both a law firm and corporate legal department contexts. We help clients use it to develop new legal solutions, deliver legal services via new tech-enabled offerings, as well as using technology to optimise their operations with our newly expanded Legal Advisory, Legal Management Consulting and Legal Managed Services teams.

We are part of the Deloitte Legal and Conception X Industry Challenges team that empowers students from leading PhD programmes to explore and create tech solutions to the unknown legal problems of tomorrow.

06 | Legal: Technology driven solutions

“ I joined the team in Reading in February 2019, as one of the first members of the newly formed Deloitte Legal UK team. I liked the idea of doing things differently and being part of a legal team where technology played an integral part of our offering, whatever the stage in an organisation journey. Before this, I worked in the corporate practice of an international law firm and as in-house business counsel for an FTSE 100 company. I enjoy working collaboratively, assessing client requirements and proposing solutions to project teams in a straightforward, commercial manner, working closely with our IP, Tax and M&A colleagues to deliver true end-to-end solutions to our clients.”

“ I was appointed CTO last year. With tech, at the heart of the strategy of Deloitte Legal, I am responsible for technologically enabling and optimising their legal service delivery. I am also the tech-lead for their legal operations consulting team. Previously, I led legal operations and a process optimisation consulting team at a major international law firm; where I advised clients across multiple sectors with their legal tech strategies, process optimisation, solution design, product selection and implementation. I was also the head of strategic technology at the same law firm and was responsible for implementing technologies, including artificial intelligence, automation, workflow and data analytics.”

Corporate Assurance: Simplifying transactions, accounting operations and complex accounting

08

The Tech and Telco sector is a fast-paced industry, where we can help our clients create disruptive products, raise funds on the capital markets – particularly in the US – as well as trade sales and other life cycle events.

Through the Foundry, we can implement a multi-disciplinary service model for companies, whatever their stage of growth.

Tech businesses, particularly new and fast growing organisations, face constant and complex challenges with comparatively small finance teams, whose focus is very often on the commercial aspects of their business.

Corporate Assurance services can be of real benefit to finance leaders in these organisations: providing specialists teams with deep expertise in complex accounting, embedding and improving financial reporting controls, data analytics and M&A transactions.

“ I specialise in Accounting Advisory work and spend about half my time working on transactional projects such as corporate M&A, restructuring and refinancing, and the other half of my time, assisting finance teams in navigating complex accounting situations. My M&A work involves understanding and benchmarking the accounting policies of target businesses; in the technology sector, accounting policies in areas such as revenue and R&D can be highly judgemental and can differ significantly depending on the applied accounting framework.”

“ I have extensive experience and enjoy working alongside global organisations in the Tech and Telco sector, primarily those subject to SEC/PCAOB regulations. My audit clients include DXC Technology, Nokia, & Spirent plc. I also lead the Accounting Advisory group in the Tech Foundry and support non-audit clients implement and improve processes and controls as part of Deloitte’s Transaction and Controls team. My advisory clients include both listed and fast growing private Technology companies. For non-audit clients, I work with technology companies to provide solutions for complex accounting and reporting services under IFRS, US GAAP and UK GAAP. My particular areas of focus are the accounting for Revenue and Intangibles.”

08 | Corporate Assurance: Simplifying transactions, accounting operations and complex accounting

“ I have worked with clients throughout the Thames Valley and London over the last 13 years, in both an audit and advisory capacity. This includes assisting clients with complex projects including, acquisitions, disposals, demergers, IPO, and debt rises. I enjoy investing time working with management to support the delivery of these projects. I have helped my clients prepare for transactions by supporting management with the preparation of information or in a reporting accountant role. I have also assisted companies in their run-up to and through to IPO, helping them assess their readiness and timelines to ensure a successful IPO.”

09 | Audit: Delivering unique insights from a robust audit

“ I have been working with the Foundry since its inception. In Tech Audit, we already have an exciting portfolio, spanning fast growing Biotech start-ups to global, worldleading Tech giants with genuine international reach. My background was in research in the Physical sciences, obtaining a PhD before joining Deloitte, so I am delighted to have brought the cutting-edge, hi-tech world back into my professional focus. I count myself lucky to be working with leaders in the Tech and Biotech industry, such as Microsoft, GoDaddy, Datatec, and Oxford Nanopore Technologies. In terms of audit delivery, the Foundry gives us a unique platform, bringing together specialist expertise to perform our work to the highest quality standards.”

“ I have worked for 13 years with Tech and Telco groups and companies, with significant experience in Africa, including Liquid Telecoms, Helios Towers PLC and Datatec, to name a few. I focus on supporting growing businesses and have extensive experience working with established companies in the process of undertaking a capital market transaction, either equity or debt raise. Over the years, I have delivered advisory projects such as exit readiness, bond issues, financial data due diligence, IPOs and completion accounts. I have also completed several client secondments, working on group restructuring and reporting ahead of an IPO and therefore truly understand what it is like to be in my client’s shoes.”

“ As leader of our UK TMT Audit and Assurance practice and member of the UK TMT Executive, the Deloitte Tech Foundry has been an exciting opportunity for me to collaborate even more closely with my clients and bring our deep TMT industry expertise and experience from across the firm. About us

Our broader purposeWhilst we are here to support the Tech and Telco community, we recognise that our business has an important role in the communities in which we live and work and it is essential we make a broader, positive impact on society. Here are some examples of how we achieve this.

Over last year, our Reading office created over 100 new jobs for graduates and school-leavers that truly reflect equality and diversity among those we hire.We are proud to support the Reading Refugee Support Group – a fantastic charity that has supported refugees that settle in Reading for 25 years. We raise funds and support RRSG who visited the Tech Foundry to tell our entire Reading office about their work. At the opening of the Tech Foundry in 2019, Margot James MP, Minister for Digital and the Creative Industries, stopped by to officially open the centre. Margot James MP was joined at the centre by students from John Majejski Academy, who spent the afternoon learning about career opportunities at the firm before taking part in a Q&A session with the Minister.

We also support the John Madejski Academy by donating laptops, running mentoring sessions for students, contributing funding for the Reading Rockets basketball team. The Tech Foundry’s been involved with 3D printing technologies and the ‘Helping Hands’ project, which used 3D printers to build a prosthetic hand. The team behind the Helping Hands project were one of the winners of the firm’s impact awards, they set out about trying to design a prosthetic that children were proud to wear.

Jenny, one of the young people who have benefited from the project, visited the Tech Foundry with her mother Helen when it opened for a sneak peek at what else technologies can do.
