I. INTRODUCTION A. INVITATION The County of Santa Clara (“County”) is seeking information from qualified firms / consultants / organizations to provide boat tours of the Don Edwards San Francisco Bay National Wildlife Refuge departing from Alviso Marina County Park. The County is interested in both educational tours for school groups and commercial boat tours for pleasure, interpretation, transportation, sport, or education available to the general public on either a scheduled or chartered basis. The mission of Santa Clara County Parks is to provide, protect and preserve regional parklands for the enjoyment, education and inspiration of this and future generations. This RFI may or may not result in the issuance of a formal RFP for services. The information obtained in the RFI will be used to determine the feasibility and options available to the County to determine a scope of work for a formal RFP. The County may elect to issue a formal RFP based on the information received from a single Responder, a combination of information received from multiple Responders, or it may not elect to issue a formal RFP at this time. Based on the information received, the County may elect to proceed with a Sole/Single Source recommendation to the Board of Supervisors if it is clear that only one Responder is capable of providing the services described herein. B. BACKGROUND About Alviso First known to the Ohlone Indians, the lands of the Alviso Marina County Park reflect the area’s historic past. In 1838, under Mexican rule the Rancho Rincon de los Esteros was granted to Ygnacio Alviso. He provided a dock that became the gateway for boats trading hides, tallow, hay, grain, produce, lumber, and quicksilver from the New Almaden Mines. Later in 1849 the area was surveyed and the Port of Alviso soon exhibited a brisk commerce including travelers principally bound for San Francisco and Sacramento. The decline of the port began in 1864 with the completion of the San Francisco & San Jose Railroad that bypassed Alviso. In 1871 the narrow gauge South Pacific Coast Railroad reached Alviso but did not lead to the area’s recovery as hydraulic mining conducted in the Sierra foothills resulted in siltation infill of the lower San Francisco Bay. In 1890 flooding of the town doomed a sales promotion of residential lots. Thomas Foon Chew created the Bayside Canning Company in 1906, then the third largest in the world. The cannery closed in 1936 and infill of the port by silt increased as cannery and agricultural users continued to draw upon the Valley’s aquifer, causing a decrease in the area’s elevation. About Alviso Marina County Park Santa Clara County Parks and Recreation Department and the Santa Clara Valley Water District dedicated the Alviso Marina County Park on September 24, 2005. Alviso Marina County Park is a 18.9 acre bayside park. It is the gateway to the Don Edwards San Francisco Bay National Wildlife Refuge where Coyote Creek meets the open waters of the San Francisco Bay. Though small in size, the park offers a great deal of activities within its boundaries and on into the Wildlife Refuge. The pathways and boardwalks of the County Park and trails around the ponds in the adjacent Wildlife Refuge, and the regional trails which include the San Francisco Bay Trail and San Francisco Bay Area Water Trail, offer fantastic views of the mountains surrounding the bay, and of the wildlife that call

these ponds home. Guests have the opportunity to learn about the history of Alviso, environmental stewardship and tidal habitats. The park also provides amazing birdwatching and photographic opportunities. About Don Edwards San Francisco Bay National Wildlife Refuge
Don Edwards San Francisco Bay National Wildlife Refuge, is the first urban National Wildlife Refuge established in the United States and is dedicated to preserving and enhancing wildlife habitat, protecting migratory birds, protecting threatened and endangered species, and providing opportunities for wildlife-oriented recreation and nature study for the surrounding communities.
As of 2004, the Refuge spans 30,000 acres of open bay, salt pond, salt marsh, mudflat, upland and vernal pool habitats located in the southern San Francisco Bay. Located along the Pacific Flyway, the Refuge hosts over 280 species of birds each year. Millions of shorebirds and waterfowl stop to refuel at the Refuge during the spring and fall migration. In addition to its seasonal visitors, the Refuge provides critical habitat to resident species like the endangered California Clapper Rail and Salt Marsh Harvest Mouse.
The Don Edwards San Francisco Bay National Wildlife Refuge is part of a complex made up of six other wildlife refuges in the San Francisco Bay Area. Founded in 1974 and administered by the U.S. Fish and Wildlife Service, it was renamed Don Edwards San Francisco Bay National Wildlife Refuge in 1995 in recognition of Congressman Don Edwards' efforts to protect sensitive wetlands in south San Francisco Bay. C. SANTA CLARA COUNTY AT A GLANCE Santa Clara County is located at the southern end of the San Francisco Bay and is the home of “Silicon Valley”. The County’s population of approximately 1.8 million is the sixth largest in California, and the largest of the nine Bay Area counties. There are 15 cities in the county including: Campbell, Cupertino, Gilroy, Los Altos, Los Altos Hills, Los Gatos, Milpitas, Monte Sereno, Morgan Hill, Mountain View, Palo Alto, San Jose, Santa Clara, Saratoga and Sunnyvale, as well as special districts. A significant portion of the County’s 1,315 square miles is unincorporated ranch and farmland. Ninety percent of the population lives in cities. There are over 100 languages and dialects spoken within the County. There are three primary industries that are dominant in Silicon Valley: Technology, Life Sciences, and Financial and Professional Services and several secondary industries including General Manufacturing, Telecommunications, Utilities, Education, and Healthcare. The County of Santa Clara also is a major employer, with more than 16,000 employees. The combined annual operating budget is more than $4 billion. II. PROJECT DESCRIPTION A. PROJECT BACKGROUND The County of Santa Clara Parks and Recreation Department (Parks Department) is inviting Respondents to submit information related to this RFI for Concessionaire and/or Partner-based usage of Alviso Marina to conduct commercial and educational boat tours. There are two unique areas of interest to the County and Respondents may provide information on one or both areas described in this RFI. The Parks Department’s primary goal in issuing the RFI is to gain information on solutions to increase the use of Alviso Marina and Alviso Marina County Park to enhance the visitor’s park experience

through services offered. There is equal interest in providing educational and commercial services. B. EDUCATIONAL TOURS Goal The Parks Department has partnered with the Santa Clara County Sheriff’s Office to develop a pilot program to use Alviso Marina County Park as an outdoor classroom to teach school-age children about saltmarsh habitats, local history, water resources, climate change issues and actions, and how to be good stewards of parks and natural resources. This program is still in its pilot stage and the County is interested in partnering with interested parties to continue and grow this program on an ongoing basis. Audience The primary educational content has been developed for 5th grade students since this age group has already studied habitats and some ecology and environmental issues, which makes climate change topics relevant. Although geared toward this age group, other grades will not be denied access to tours. Thematic programs, curriculum and activities are correlated with California Content Standards for Public Schools, State Curriculum Guidelines for Environmental Education and/or Next Generation Science Standards. The secondary audience is the general public of various ages, backgrounds, and abilities who are interest in exploring and learning about the habitat and ecology of the southern San Francisco Bay and the history of the Alviso area. Execution The pilot program for school-age tours is scheduled to begin April 2016 in partnership with the Santa Clara County Sheriff’s Office. Educational tours for school-age children are subject to tidal restrictions and limited hours available for field trip activities by schools. The Parks Department has identified approximately two dates per month that meet these parameters. During school breaks, including summer, available hours may be expanded. C. COMMERCIAL TOURS Goal The goal is to determine whether there would be organizations or individuals interested in providing commercial boat tours of the Don Edwards San Francisco Bay National Wildlife Refuge or southern San Francisco Bay, departing from Alviso Marina County Park. The RFI seeks information on potential educational tours for school groups and commercial boat tours for pleasure, interpretation, transportation, sport, or education available to the general public on either a scheduled or chartered basis. Non-exclusive examples of tours may include: wildlife viewing, pleasure boating, sightseeing, educational tours, sunrise/sunset/moonlight tours, hunting, recreational fishing, commercial fishing, boating instruction, and ferry connections to San Francisco Bay ports.

Audience The Parks Department has an interest in any proposals that meet the interest of the general public of all age ranges, backgrounds and abilities. Execution The Parks Department has not yet created a program or partnership but is interested in receiving information on potential commercial uses.

Potential Responders are strongly encouraged to submit written questions to the RFI Point of Contact in advance of the walk-through. Additional written questions may be submitted at the walk-through. All written questions timely received prior to the walk-through will be addressed orally at the walk-through; however, oral responses are not binding until addressed in addendum of the RFI on: www.bidsync.com.
3. DEADLINE TO SUBMIT WRITTEN QUESTIONS Potential Responders may submit written questions to this RFI until the April 22, 2016 as indicated in paragraph A of Section III. Written questions may be submitted through www.bidsync.com or via email to the Procurement Lead for this RFI.
The Point of Contact will not respond to questions submitted in any other manner or format.
4. RESPONSE TO WRITTEN QUESTIONS/RFI ADDENDUM Written responses to written questions regarding the substance of the RFI will be listed on an addendum to the RFI and posted on the bid management site: www.bidsync.com. Additional written questions must be received by the Procurement Lead no later than two (2) days after the addendum is posted. The County will respond in the same manner. Thereafter, the County does not guarantee that it will respond to questions submitted before the RFI closing date and time.
Any material changes to the RFI will be issued as an addendum, and posted on www.bidsync.com. The County reserves the right to post additional addenda until the RFI closing date and time.

4. A description of the equipment to be used to perform the service, including
specifications, space and storage needs. Include a statement as to why this equipment best meets the needs of the program.

Attachment A CONDITIONS GOVERNING THE PROCUREMENT
This Attachment contains the conditions governing the Request for Information Process. Responders are required to adhere to these conditions.
1. INCURRING COST
This RFI does not commit the County to award, nor does it commit the County to pay any cost incurred in the submission of the proposal, or in making necessary studies or designs for the preparation thereof, nor procure or contract for services or supplies. Further, no reimbursable cost may be incurred in anticipation of a contract award.
2. CLAIMS AGAINST THE COUNTY OF SANTA CLARA
Neither your organization nor any of your representatives shall have any claims whatsoever against the County or any of its respective officials, agents, or employees arising out of or relating to this RFI or these RFI procedures, except as set forth in the terms of a definitive agreement between the County and your organization.
3. CALIFORNIA PUBLIC RECORDS ACT (CPRA)
All proposals become the property of the County, which is a public agency subject to the disclosure requirements of the California Public Records Act (“CPRA”). If Responder proprietary information is contained in documents submitted to County, and Responder claims that such information falls within one or more CPRA exemptions, Responder must clearly mark such information “CONFIDENTIAL AND PROPRIETARY,” and identify the specific lines containing the information. In the event of a request for such information, the County will make best efforts to provide notice to Responder prior to such disclosure. If Responder contends that any documents are exempt from the CPRA and wishes to prevent disclosure, it is required to obtain a protective order, injunctive relief or other appropriate remedy from a court of law in Santa Clara County before the County’s

deadline for responding to the CPRA request. If Responder fails to obtain such remedy within County’s deadline for responding to the CPRA request, County may disclose the requested information.
Responder further agrees that it shall defend, indemnify and hold County harmless against any claim, action or litigation (including but not limited to all judgments, costs, fees, and attorney’s fees) that may result from denial by County of a CPRA request for information arising from any representation, or any action (or inaction), by the Responder.
4. CONFIDENTIALITY
All data and information obtained from the County of Santa Clara by the Responders and its agents in this RFI process, including reports, recommendations, specifications and data, shall be treated by the Responder and its agents as confidential. The Responders and its agents shall not disclose or communicate this information to a third party or use it in advertising, publicity, propaganda, or in another job or jobs, unless written consent is obtained from the County. Generally, each proposal and all documentation, including financial information, submitted by a Responder to the County is confidential until a contract is awarded, when such documents become public record under state and local law, unless exempted under CPRA.
5. ELECTRONIC MAIL ADDRESS
Most of the communication regarding this procurement will be conducted by electronic mail (e-mail). Potential Responders agree to provide the Procurement Lead with a valid e- mail address to receive this correspondence.
6. USE OF ELECTRONIC VERSIONS OF THE RFI
This RFI is being made available by electronic means. If accepted by such means, the Responder acknowledges and accepts full responsibility to insure that no changes are made to the RFI. In the event of conflict between a version of the RFI in the Responder’s possession and the version maintained by the Issuing Department, the version maintained by the Issuing Department must govern.
7. ASSIGNMENT OF CLAYTON ACT, CARTWRIGHT ACT CLAIMS
In submitting a response to a solicitation issued by the County, the responding person and/or entity offers and agrees that if the response is accepted, it will assign to the County all rights, title, and interest in and to all causes of action it may have under Section 4 of the Clayton Act (15 U.S.C. Sec. 15) or under the Cartwright Act (Chapter 2 (commencing with Section 16700) of Part 2 of Division 7 of the Business and Professions Code), arising from purchases of goods, materials, or services by the responding person and/or entity for sale to the County pursuant to the solicitation document. Such assignment shall be made and become effective at the time the County tenders final payment to the responding person and/or entity.

8. COUNTY RIGHTS
The County reserves the right to do any of the following at any time:
a. Reject any or all responses without indicating any reason for such rejection;
b. Waive or correct any minor or inadvertent defect, irregularity or technical error in a response or the RFI process, or as part of any subsequent contract negotiation;
c. Request that Responders supplement or modify all or certain aspects of their proposals or other documents or materials submitted;
d. Terminate the RFI, and at its option, issue a new RFI;
e. Procure any equipment or services specified in this RFI by other means;
f. Extend a deadline specified in this RFI, including deadlines for accepting responses;
g. Disqualify any Responder on the basis of a real or apparent conflict of interest, or evidence of collusion that is disclosed by the proposal or other data available to the County;
h. Eliminate, reject or disqualify a Response of any Responder who is not a responsible Responder or fails to submit a responsive offer as determined solely by the County.
Explore the South San Francisco Bay salt marsh trails and waterways to learn about wetland habitats, local history, endangered species, climate change and more.
Take a one hour boat tour through the Alviso Slough and a one hour guided walk around salt ponds and marshes to view wildlife and explore habitats and history.
Curriculum and activities are geared towards 5th grade classes and correlated to Next Generation Science Standards. Safaris are offered weekday mornings twice a month by reservation April-September 2016.
Fees: $80 per school group -36 max including teachers & chaperones $40 for Title 1 schools $10 per person for non school groups

Station Types: The NOAA Tide Predictions application provides predictions from 2 distinct
categories of stations at over 3000 locations:
Harmonic - The predicted height values for Harmonic stations are conducted by combining the
harmonic constituents into a single tide curve.
Subordinate - The high and low height values for Subordinate stations are obtained by means and
differences, and ratios applied to the full harmonic constant predictions at a specific Harmonic
station (a Reference station).
Disclaimer: The official Tide prediction tables are published annually on October 1, for the following
calendar year. Tide predictions generated prior to the publishing date of the official tables are
subject to change. The predictions from the web based NOAA Tidal Predictions are based upon the
