Company Description

Geographic ReachMore than 85% of Assurant's sales are in the US, but the company also operates in Canada and Mexico, as well asin Puerto Rico and about a dozen Latin American, European, and Asian countries. International sales are focusedon extended service contracts and credit insurance (debt protection coverage for unemployment, death, or otherevents) through partnering retail and institutional distributors. The company also offers funeral policies (used tofund funeral expenses) in Canada.Sales and MarketingInsurance products and services are distributed through independent brokers, agents, employee benefitspecialists, financial institution representatives, and third-party marketing organizations, as well as retail outletsincluding mortgage loan offices, funeral homes, and retailers.Financial PerformanceAssurant reported a 3% increase in revenues to $8.5 billion in 2012 attributed to higher premium earnings, investment income and gains, and other considerations. The Assurant Solutions segment reported a 6% increasein revenues due to auto and retail service contract growth and international customer expansion, while theAssurant Specialty Property segment increased 8% on homeowners' insurance, renters' insurance, and residentbond sales growth. Increased sales within those segments were offset by declining revenues in the AssurantHealth and Assurant Employee Benefits segments. The 2012 results reflect a recovery over declining sales in 2011and 2010.Assurant's net income fell by 10% to $484 million in 2012, however, due to the release of an $80 million capitalloss valuation allowance related to deferred tax assets. Net income had risen substantially in 2011 due to reducedimpairment charges, following sagging profits between 2008 and 2010 (caused by a variety of factors including adecline in the credit insurance market and the settlement of an SEC investigation).StrategyTo expand its business, Assurant introduces new product offerings, such as lines of lender-placed property policieslaunched in 2012.The new product lines and related ratings services are being introduced in phases by AssurantSpecialty Property to meet customer needs in a market recovering from the recent US housing crisis. Also in 2012,the company introduced new property/casualty coverage designed for clients in the growing field of solar energydevelopment. With a wary eye on pending US health care reform, the company has begun to streamline its group and individualhealth insurance operations in the hopes that it can cash in on any industry opportunities that might arise. Itstarted offering more low-cost insurance products, such as high-deductable, low-premium health plans with limitedbenefits, to meet current market needs. The company also expands by pursuing a conservative acquisition strategy, investing in small purchases thatneatly complement its existing offerings. In addition, Assurant partners with other companies to expand its reach. For example, in 2012 Assurant Solutions partnered with Best Buy's wholly owned affiliate Jiangsu Five Star, aleading electronics retailer in China, to provide extended protection products and services for electronics andappliances at more than 200 stores in China. In addition, Assurant Solutions has formed agreements toprovide warranty services for companies such as GE and Whirlpool.Mergers and AcquisitionsIn 2011 the Specialty Property division acquired SureDeposit, which provides security deposit alternatives forrental property owners across the US, for some $45 million. The purchase expanded the unit's service offerings forthe multifamily housing market. The company built up the domestic warranty operations of Assurant Solutions through historical acquisitions. Forinstance, the division added a niche provider of handset repair and protection insurance services for wirelesscompanies in 2008; it also purchased a provider of appliance and electronics warranties that year.Company BackgroundAssurant traces its roots to the LaCrosse Mutual Aid Association, which was founded in 1892 to provide disabilityinsurance in Wisconsin. The company, formerly known as Fortis, Inc., was spun off by the Fortis group (now known as Ageas) in 2004 andbecame publicly traded. The Fortis group owned 36% of Assurant until 2005, when it further reduced its stake toabout 16% through a secondary public offering; the group gradually sold off the rest of its shares in the followingyears. In 2010 the company resolved a nearly three-year-long SEC investigation into the company's finances. Theinvestigation was part of a more widespread SEC investigation into the use by several companies (includingAssurant) of finite reinsurance contracts, which if manipulated can fraudulently lead investors intomisunderstanding a company's bottom line. Assurant was never charged with fraud; but the company paid $3.5million to settle non-fraud-related violations and settle the investigation, without admitting or denying wrongdoing.
