If you wish to establish a company through our Company Formation Portal select Services and click on the Online Company Formation.

Then click on “Create account”

Next, you should fill out your personal details.


When this is done, you have entered our 1Office company formation portal. To proceed with the company formation just click on the “Register company”.

The first step you need to do is to add the rest of your personal details


Most of the fields are self-explanatory, but some helpful tips:

1. While adding the country code to phone number please note that you will not need to add the “+” 2. Personal ID code means the ID code from your E-Residency or Estonian ID card. 3. The Address/City/County/Postal code/Country fields need to be filled with information about where you live. 4. Residency means the country where you are the resident (mostly the country you are from) and NOT E-

Residency.

When the personal information is filled out, click on “Update” Now everything is ready for you to establish your company.

First step is to choose a company name. Enter the company name and select “verify”. You will be notified if your chosen company name is still available. You will also be notified if similar names or trademarks have been registered. In this case please choose another name and click on “Search again”.


If the company name is available, then you will able to proceed with the application to the company formation. Next step is to choose the activity of the company. To do this you can choose the activity from this link here, which will direct you to Commercial Registry's website.

When you first enter you will see that it is in Estonian. You can change it to English from here.


In the “Activity code or text” field add the activity of the company. For example, you can add: “Technology” Then select “Search” to see the results.

From the list below, you find the correct activity for your company. For example: “Information and communication” You always need to choose the bottom level activity. This will normally be 5 digits.


Now go back to the Company Formation Portal and enter the code .

You can also copy the text and add this to the Company Formation Portal.


Example:

You will now need to enter the share capital for your company. The minimum share capital in Estonia is 2500 Euro.

Now add your company phone number. This can either be your personal phone number or the number you have for your company. (For this you cannot use 1Office number). Then add the email address you wish to use for your company.

Next, you need to fill out “Company related persons” section. If it is your own information just click on “Fill with my profile data” and you don't need to fill these fields manually again.

1. If the company board if NOT physically located in Estonia, then please select “Not in Estonia”.

2. An Estonia company must have an Estonian Legal address.

3. Appointing an authorized contact person is mandatory for all Estonian companies with management located outside of Estonia. For more information please contact [email protected]

Ps: As of 2018 the address of the legal contact person must be the legal address of the company.


If the company board is physically located in Estonia, then please select “in Estonia”. Then proceed with adding the company legal address if you wish to use the 1Office legal address service.


Now enter the information of the Board member or board members. If, the board member is the same as the founder please select the FILL WITH MY PROFILE DATA and it will automatically fill.

When you have more than 1 board member you can click on “ADD PERSON”. Add the information of the second board member (In this case all board members must have an e-residency card).


When this is all filled in and checked that all the information is correct then you can save the application.

As you can see on top of the screen it will give you information that the information is correct or will advise you that some corrects will need to be done.


After you have done that you can start digital signing of your application.

If you only have 1 board member and 1 founder of the company, click on the “Proceed” button for single digital signing. If you have multiple board members, then you will need to download the file and upload the digitally signed documents when you have all the signatures.


For digital signing, you can select Proceed. From here you can either sign with an e-residency card or by Mobile-ID.

If you select by ID-Card, then you don't need to fill out any information but select “Sign the Document”

A pop will appear and just select OK (no need to fill the blanks). Please be patient - it might take a minute for the digital signature program “Digidoc” to start working.


Now you must enter the pin code you received with your e-residency card. Add your Pin2 code

When you get to this screen it means that everything is ready with your digital signing and if you wish to proceed then you will need to select “Execute digitally signed application”

This will now take you through to the payment section where you can pay by Credit card or by Paypal.
