Dear Participants,

BSHC, in its capacity of contracting authority, is sending to your kind attention a Protocol ofthe Commission from tenders opening session, held on 23th July 2014 and for ascertainedinaccuracy of filed tender documents with regard to the selection criteria.

1. UNITEAM S.p.A - Italy have to present, translated into Bulgarian languagel, the followingdocuments:

1.1. Declaration underArt. 56 para 1, item 12 of the Bulgarian LPP for acceptance of theterms and conditions of the draft contract.

1.2. List of Documents, signed by the Participant.

1.3. Technical offer, signed by the Participant

As attachment to the Bulgarian translation of the technical offer (as per the model documentfor participation), UNITEAM S.p.A is required to provide the detail technical description,translated into Bulgarian, containing the CNC milling machine technical parameters only andwithout any other conditions for delivery of the CNC milling machine in subject.This means thatthe last four (4) sheets from the detailtechnical description, titled'CONDITIONS OF SUPPLYAND DELIVERY TERMS" and'GENERAL CONDITIONS OF SALE' have to be brought out ofthe technical specification and eliminated from the technical offer,

2. ESD Bulgaria Ltd - Sofia is required to provide Declaration, where to set out whether ESDBulgaria Ltd. takes part in the public procurement procedure on behalf of itself or on behalf. of the Producer, namely SAHOS a. s. - Czech Republic.

lf the declaratlon is for participation on behalf of the Producer, the following documentationis required to be presented additionally:

2.1. Notarized power of attorney by SAHOS a.s. - Czech Republic, giving power to theESD Bulgaria Ltd. to sign documents for participation of SAHOS a.s. - Czech Republicin the subject open procedure for award of public procurement contract.

2.2. Document for registration in an official translation, together with Declaration under Art.47 , Para 1, Para 2, item 1 and Para 5 of the Bulgarian LPP of the Producer (SAHOSa.s. - Czech Republic), as well as properly filled out declarations in accordance withthe model documents, namely: Declaration under Art. 51, para 1, item 1; Declarationunder Art. 50, para 1, item 3, Declaration under Art. 56, para 1, item 12 from theBulgarian LPP.

Participants are required to present the additionally requested documents in five (5) days,counted from the date of receipt of present letter with attached Protocol of the Commissionthereto.

PROTOCOLfrom tenders opening session

Today, 23.07.2014, Varna, the Commission, appointed with Order Ne 166 123.07.2014, with thefollowing structure:

brought together with the aim of opening the tender envelopes, being filed in connection with theinitiated Open procedure with subject:

"Delivery of one (1) new 5 - axis CNC milling machine for ship models production at theBulgarian Ship Hydrodynamics Centre (BSHC) at lnstitute of Metal Science, Equipment andTechnologies "Acad. A. Balevski" - BAS", lD 0897-2014-0001 Register of the PublicProcurement Agency, and in accordance with the List of Participants, as follows hereinafter:

1. UNITEAM S.p A , Italy, Offer with serial No 640 I 22.07.2014 (13.50 h.)

2. ESD Bulgaria Ltd - Sofia, offer with serial No 6421 22.07.2014 (14.50 h.)

The opening session commenced at 13.30 h., at the conference hall - office 201, situated withinBSHC administrative building, in the presence of the following tenderers' representatives:

1. Mr. Silvano Maddalon, as authorized representative of UNITEAM S.p.A. - ltaly by letter ofattorney, sent by fax of 23 July 2014.

2. Mr. Kiril Vencislavov Cochev, as authorized representative of ESD Bulgaria Ltd - Sofia,by letter of attorney with ref. No 2947117.07 -2014.

After the List of Participants have been completed and obtained by the Commission, theCommission members signed Declaration in connection with Art. 35, para 1 of the Bulgarian Lawfor the Public Procurement (sometimes referred to the abbreviation LPP).

The Chairman of the Commission introduced to the attendees the set of rules and procedure fortenders opening, which had been filed in sealed opaque envelopes and opened following the orderof their filing, in order to ascertain the presence of their content and three separate sealedenvelopes with the appropriate notices.

Each filed tenderer's otfer contains three (3) envelopes No 1, No 2 and No 3 with the respectivelabels. ''

The sealed Envetope No 3, containing the price offer, was signed on behalf of the Commission, aswell as by a participating representative (competitor), as follows: '

1. Envelope No 3 with the price offer of the Participant UNITEAM S.p.A. - ltaly was signed onbehalf of Mr. Kiril Ventsislavov Cochev in his capacity of authorized representative of ESDBulgaria Ltd - Sofia.

' 2. Envelope No 3 with the price offer of the Participant ESD Bulgaria Ltd - Sofia was signedon behalf of Mr. Silvano Maddalon in his capacity of authorized representative of UNITEAMS.p A. - ltaly.

The Commission opened Envelope No 2 and three (3) members of the Commission signed eachpage of the documents and the information concerning the technical offer, included therein. Thesedocuments were signed by each counter participating representative (competitor), as well, asfollows:

1. Documents in Envelope No 2 with technical offer of the Participant UNITEAM S.p.A.- ltalywere signed on behalf of Mr. Kiril Ventsislavov Cochev, in his capacity of authorizedrepresentative of ESD Bulgaria Ltd - Sofia.

2. Documents in Envelope No 2 with technical offer of the Participant ESD Bulgaria Ltd -Sofia were signed on behalf of Mr. Silvano Maddalon, in his capacity of authorizedrepresentative of UNITEAM S.p A. - ltaly.

Upon opening of Envelope No I for both of the Participants UNITEAM S.p.A. and ESD BulgariaLtd, the Commission declared the documents included therein, as well as verify the compliancewith the "List of Documents", enclosed to the both Participants' proposals.

It was ascertained by the Commission that the proposals of both Participants contain thedocuments, described into the signed by themselves List of Documents.

With this the public part of the Commission's session was considered concluded.

During the inspection of the content of the opened envelopes, the following was ascertained by theCommission:

1. UNITEAM S.p.A. - ltaly has not submitted translation into Bulgarian language of thefollowing documents:

1.1. Declaration under Art. 56 para 1, item 12 of the Bulgarian LPP for acceptance of the termsand conditions of the draft contract.

1.2. List of Documents, signed by the Participant.

1.3. Technical offer.

The technical offer, filled out as per the model document and signed by the Participant, togetherwith the detail technical description of the CNC milling machine, attached thereto, denoteinconsistent information about the validity term of the tender and for delivery time.

BSHC shall send notification to UNITEAM S.p.A. with request the Participant to provide additionallythe three (3) documents, as noted hereinbefore, translated into Bulgarian language. As attachmentto the Bulgarian translation of the technical offer (as per the model document for participation),UNITEAM S p A is required to provide the detail technical description, translated into Bulgarian,containing the CNC milling machine technical parameters only and without any other conditions fordelivery of the CNC milling machine in subject. This means that the last four (4) sheets from thedetail technical description, titled "CONDITIONS OF SUPPLY AND DELIVERY TERMS" and"GENERAL CONDITIONS OF SALE' have to be brought out of the technical specification andeliminated from the technical offer.

lf the Participant does not observe the requirements of the contracting authority and do not submitneeded documents, the Participant is subject to elimination from tender' assessment.

2.1. presented declarations, containing contrary information, underArt.50, para 1, item 3 andArt. 51, para 1, item 1 of the Bulgarian LPP, together with documents for contracts, identicalor similar to the subject of the present public procurement, fulfilled by the Producer: SAHOSa.s. - Czech Republic.

2.2. presented an Authorization letter of the Producer, attached to the tender documentation,which grant the right to ESD Bulgaria Ltd to take part in the public procurement, but withoutauthorization giving the power of signing the respective documents for participation onbehalf of SAHOS a.s. - Czech Republic.

BSHC shall give the right to ESD Bulgaria Ltd., by sending notification, to declare whether theParticipant takes part in the public procurement on behalf of itself or on behalf of the ProducerSAHOS a.s. - Czech Republic. ln case ESD Bulgaria Ltd participate on behalf of itself, ESDBulgaria Ltd would not meet the minimal requirements for selection, noted in the PublicProcurement Notice and will be subject to elimination from tenders' assessment.

ln the event that ESD Bulgaria Ltd take part on behalf of the Producer, the Participant has toprovide the following additionally:

- Notarized power of attorney by SAHOS a.s. - Czech Republic, giving power to the ESDBulgaria Ltd. to sign documents for participation of SAHOS a.s. - Czech Republic in thepresent open procedure for award of public procurement contract.

- Document for registration in an official translation, together with Declaration under Nl. 47,Para 1, Para 2, item 1 and Para 5 of the Bulgarian LPP of the Producer (SAHOS a.s. -Czech Republic), as well as properly filled out declarations in accordance with the modeldocuments, namely: Declaration under Art. 50, para 1, item 3; Declaration under Art. 51,para1, item 1, Declaration underArt.56, para 1, item l2fromthe Bulgarian LPP.

The aforementioned notifications addressed to the Participants in the open procedure for award ofpublic procurement contract shall be dispatched through registered letter with return receipt, alongwith attached Protocol of the Commission and invitation of the contracting authority to present theadditionally required documents in five (5) days term, in compliance with Art. 68, para 8 ofBulgarian LPP.

After the response of the Participants being received, on the basis of the additionally furnisheddocumentation, the Commission will express its standpoint for the conformity with the selectioncriteria, set by the contracting authority, in accordance with Art. 68. Para 10 of the Bulgarian LPP.

The present PROTOCOL is drawn up and signed on behalf of the Commission in four (4) identicalcopies:
