Opt out clause
Opt –Out
The Licensee may terminate this Agreement at any time if sufficient funds are not provided or allotted in the library budget by the appropriate body in Licensee's institution for the Licensed Material. The Vice Chancellor of Licensee's institution shall provide a written statement to the Publisher in which the Vice Chancellor confirms the significantly decreased budget allocation to the library. Such notification from the Vice Chancellor shall be received by IEEE at least thirty (30) days prior to a renewal date.
If one of the Member Institutions terminates their participation, then upon yearly renewal the terms, including but not limited to Simultaneous Users and Access Fee of this Multi-Year Commitment will be renegotiated based upon participating Member Institutions. Member Institutions shall not be entitled to a refund of any fees.
The licensee will pay an exit fee of 5%
2011 Timescales

December 1st – Consortium Access begins
November 30th – All licences are returned with counter signature to universities
November 15th – All payments to be received by COL
November 1st – Universities return signed licences to COL
October 15th – Universities receive invoice for subscription
September 30th – last date for submission of signed commitment form to COL
May to September – COL answers questions from universities
May – all those who have registered interest receive written offer from COL, including licence and terms of sale
May – Universities who could not attend road shows visited by COL
April – Road shows Publicising consortium
If the consortium is formed by 30th September new IEL subscribers will get free access until 30th November
