SPEAKER AGREEMENT

This Speaker Agreement is entered into by and between ______ (hereinafter referred to as “Promoter”) and ______________ (hereinafter referred to as “Speaker”).

In consideration of the promises and covenants contained herein, and intending to be legally bound hereby, the parties agree as follows:

1. EVENT. Promoter will sponsor and the Speaker agrees to speak and sell products and/or courses at the following speaking engagement, which is hereinafter referred to as “Event”:

2. MEETING ROOM AND SETUP. Promoter will provide the following:

Any other equipment will be furnished and funded by Speaker. No other equipment, furnishing, sets, etc., will be permitted without Promoter’s prior written approval and Speaker’s agreement to pay any related venue charges.

3. AVAILABILITY OF SPEAKER PRODUCT. The speaker will provide his/her own products and/or courses to sell at the Event and will make every attempt to have sufficient inventory available at the Event to fill any orders taken at the Event. The Speaker will be responsible for any hotel storage and/or delivery charges for Speaker’s product to and from the Event.

Any inventory not provided the day of the event would be sent via UPS or FEDEX IMMEDIATELY – within two business days following the Event – by the speaker. Shipping costs for those items would be paid entirely by the Speaker. Under no circumstances will Purchasers be charged for shipping of products.

4. PRODUCT/SERVICES/COURSES FOR SALE AT THE EVENT. The Speaker will sell and mention only the following products, services, and/or workshop mutually agreed upon between the parties:

Speaker agrees to limit sales solicitations to only those items listed above. Promoter reserves the right to stop the Speaker in progress if anything other than the agreed upon products, services, or workshops are offered for sale.

5. COLLECTION AND PROCESSING OF PAYMENTS. Speaker will process all sales during the event and handle all Speakers’ products/courses once they are turned over to a representative of promoter’s organization, prior to dividing payment of proceeds.

6. ATTENDEE NAMES AND ADDRESSES. Speaker will be entitled to the names and addresses of all persons who purchase any of the Speaker’s products, services, and/or courses. Speaker will NOT be entitled to the name or address of any other person, and will not make any attempt to collect or solicit names and addresses of other attendees.



7. TRAVEL EXPENSES. It is agreed that the Speaker will arrange his/her own travel and lodging at his/her own expense.

8. GUARANTEES AND REFUNDS. Speaker and Promoter will provide a money back guarantee for 30 days after the Event for any product/service/workshop sold. After the 30-day period has expired, Promoter is NOT responsible for any speaker guarantees. If the speaker offers or honors a refund after the 30-day period has expired, Promoter will NOT be responsible for any portion of said refund.

9. Promoter guarantees over ____ people at event, if attendance falls below ___, Speaker has right to cancel without any penalties.

10. DIVISION AND PAYMENT OF PROCEEDS. Speaker agrees to waive all keynote and performance fees. The proceeds from Speaker sales will be split % to Speaker and ___% to Promoter. “Proceeds” do not include sales subject to collections problems (e.g., bounced checks, credit card challenges.).

11. SETTLEMENTS. Settlements of all monies due to the Promoter as follows: The gross revenue from the sales of Speaker’s products/services/courses and all mail or phone orders within 30 days shall be paid to promoter.

16. FORCE MAJEURE. Failure to perform any term or condition of this Agreement as a result of conditions such as, but not limited to acts of God, terrorism, disasters, or similar occurrences beyond the party’s control shall not be deemed a breach of this Agreement.
