Welcome to CannaCon 2017 in Santa Rosa! We are very excited to partner with your business as we move to the Sonoma Country Event Center at the Fairgrounds located in Santa Rosa, CA April 20th - 22nd, 2017! On behalf of everyone at CannaCon and our general services contractor, Rossi Expositions, I would like to express our appreciation for your participation. We are looking forward to another busy, energetic, and informative event at our new location this Spring.

This Exhibitor Manual has been carefully planned and organized to help you prepare for a successful show! You will be receiving an Exhibitor Services Kit from Rossi Expositions under separate heading or attached to this document, which will provide you with information on shipping and other exhibit -related products and services.

The CannaCon team, including Rossie Expositions, are available to help you with your exhibiting experience. If you have any questions or concerns, please feel free to contact your CannaCon representative directly.

Aisle Space

Exhibitors shall not solicit business in the aisle or engage in any activity that leads to congestion in the aisles.

Americans with Disabilities Act Exhibitor shall ensure that their exhibit will be accessible to the full extent required by law.

Banners Exhibitors and Sponsors with contracted banner display must provide their own banners which must be shipped to arrive no later than Wednesday, April 14th. Banners should be shipped to Sonoma Fair Grounds and be clearly labeled as an Exhibitor Banner or Sponsor Banner:

Booth Staffing Exhibits must be manned during official show hours. Booth representatives shall wear show

identification badges furnished by CannaCon. No other identification will be considered valid.

Booth Cleaning CannaCon will provide aisle cleaning and general exhibit hall clean up before show opening each day.

Decible Guidelines Sound presentations will be permitted if tuned to conversational levels and if not objectionable to neighboring exhibitors. Sound must not carry beyond the display area. Noise from exhibitor demonstrations or presentations should not interfere or disturb surrounding exhibitors and their patrons or cause aisles to become blocked.

Demonstrations/Booth Entertainment As a matter of safety and courtesy, exhibitors should conduct presentations and demonstrations to ensure all personnel and attendees remain within the limits of the contracted exhibit space and do not overflow into aisles or neighboring exhibit spaces. CannaCon does not allow live music to be played on the show floor.

Dismantling/Load Out All displays must remain intact until the official close of the show. No exhibitor may begin dismantling, packing or moving-out prior to the close of show at 5:00 PM on Saturday. Exhibits must be removed from Exhibit Hall by 10:00 PM on the last day of the show, April 22nd. Objects that have been left behind in the exhibit space will be removed by Rossi Expositions at the expense of the exhibitor.

Exhibit Hall Access (For Exhibitors on Show Days) Exhibitors will be allowed access one (1) hour before the show opens and must exit the show promptly at show closing. The security schedule will be set with this in mind so please be aware that you will not be allowed in the hall at any other times. Please make sure you don't leave any personal items you might need overnight.

Exhibit Booth Payment CannaCon will permit no exhibit installation unless all fees are paid in full.

Exhibitor Credentials Exhibitors will retrieve their Exhibitor Badges from the CannaCon registration desk upon check-in on Wednesday , April 19th. Credentials and additional badges can be purchased at the registration desk.

Exhibitor Service Desk The Exhibitor Service Desk will be located in the entry foyer and will be open during official show hours.

Exposed Walls All exposed parts of constructed displays must be finished to present an attractive appearance when viewed from aisles or other adjoining booths. Exposed back and sidewalls may not display copy, logos, or advertising.

Fire and Safety Regulations Exhibitors are expected to comply with all city regulations in effect at the Sonoma Fairgrounds. All material used in the construction of an exhibit/display must be non-combustible and flameproof. Exhibit booths shall not interfere with access to emergency exits or restrict visibility of emergency exit signs. Exhibits and displays may not obstruct any aisles or public space. The Fire Marshal has final say on any jurisdiction disputes.Floor Covering/Carpet You may order custom carpet for your booth through Rossi Expositions. GratuitiesThe solicitation of gratuities by service personnel for services rendered is against CannaCon policy. Persons soliciting gratuities should be reported to Show Management immediately. Exhibitors should note that advance gratuities given to service personnel (with or without their solicitation) will not expedite the service the exhibitor will receive. Hanging Signs No signs or advertising devices shall be displayed outside exhibit space. Nothing shall be posted, tacked or otherwise attached to columns, walls, floors or other parts of the building or furniture. Hosted Events by Suppliers/Hotel Meetings/Hospitality Functions As a courtesy to all conference participants, CannaCon requires that companies planning to host hospitality events schedule them so as not to conflict with scheduled CannaCon activities such as seminars, receptions, exhibit hours, award ceremonies, group meals, or other conference functions. Installation Installation of displays must be completed no later than 10:00 PM Wednesday, April 19th,unless otherwise discussed with Show Management. If installation has not been completed at thatpoint, Show Management reserves the right to have the display installation completed at the expense ofthe exhibitor, re-sell or to assign the booth to another exhibitor.

Insurance & Liability Exhibitors shall, at their sole cost and expense, procure and maintain throughout the term of their contract for exhibit space, comprehensive general liability insurance against claims for bodily injury and property damage occurring in/ upon or resulting from the premises leased. Please see Page 14 for more detail on the insurance requirements.

Literature/Product/Sample Distribution Exhibitors must confine their exhibit activities to the space for which they have contracted.

Load-In Load-in is scheduled for Wednesday, April 19th between 8:00 AM to 10:00 PM. Exhibitors with special load-in requirements contact Dave Mesford at [email protected].

Marketing Resources CannaCon is committed to helping you have a successful experience. As a CannaCon exhibitor, we will make resources available to you in the Exhibitor Resources section of www.CannaCon.org. Visit this section for ways

to promote your participation and presence at CannaCon! Easy steps include posting a CannaCon banner on your web page, reference the show and your booth number in each sales representatives outgoing email signature, and sending email campaigns to your customer base. Our Account Executives will work with you to create a marketing program that is uniquely yours. Take advantage of our sponsorship and event marketing opportunities and set yourself apart from your competition!

P.A. Announcements Show Management will restrict announcements to general show and public safety information only.

Parking Parking fees for the Sonoma County Fair, Harvest Fair, and the other year-round events range from $8-$10 (depending on the event and the lot), unless otherwise noted. Exhibitors will receive one parking pass in their registration packet to be used in parking lot D.

Photography/Videotaping Photographing and videotaping within the Exhibit Hall is restricted to photographers and video crews engaged by exhibits and registered with CannaCon to photograph or videotape their specific exhibit. Sales Display Goods on exhibition may not be removed during the exhibition except by special permission of

CannaCon.

Security CannaCon will provide 24-hour security service from installation to dismantle. However, exhibitors are responsible for the security of their displays, personal items and personnel at all times. No responsibility is assumed by Show management or any of its contractors for merchandise lost or damaged.

Smoking Policy We will abide by the city and sate laws and ordinances in regards to smoking. There will be a designated smoking area outside of the buildings away from the show complying with these laws.

Storage Storage of any kind behind exhibit booths will not be permitted. Please contact Rossi Expositions for accessible storage capabilities and rates.

Sub-Leasing Exhibitor cannot assign this agreement, in whole or in part, without the prior written approval of CannaCon. In the event of the merger or two Exhibitors, CannaCon will use reasonable efforts to consolidate the spaces contracted by the Exhibitors. However, if that is not possible, the surviving Exhibitor will be liable for the exhibit space at the locations originally contracted by the merged Exhibitors.

Use of CannaCon Logo Exhibitors may not alter the CannaCon logo. Exhibitors may use the show logo to promote their participation in the show. The show logo can be downloaded from the official show website at www.cannacon.org. It is recommended that you get prior approval from management prior to printing any marketing materials for use for the show.

Vehicles on the Exhibit Floor CannaCon requires prior notification of booths that will contain vehicles. Please contact Linh Dang at [email protected] if you are planning to display any vehicles in your booth to coordinate.

Violation of Show Regulations If an exhibitor is in violation of one or more of the rules listed above, the exhibitor may be asked to leave the show, removing his exhibit at his own expense and will jeopardize his right to exhibit in future CannaCon shows. Any and all matters or questions not specifically covered by the show rules and regulations shall be subject solely to the decision of Show Management. These rules and regulations may be amended at any time and all amendments made shall be binding on exhibitors equally with the foregoing rules and regulations.

a. CannaCon® herein referred to as Management and You and your company herein referred to asSponsor/Exhibitor:

b. Exhibitor is required to obtain all required license(s), permit(s), and to collect and report all sales taxgenerated at the show as required by local, state, and/or federal governmental agencies.

c. Exhibitor must abide by the published schedule of show hours, move-in and move-out times and maynot terminate his/her exhibit early.

d. Exhibitor must occupy his/her booth prior to the opening of the show, otherwise Management mayre-locate or cancel Exhibitor's booth without further notice and with no refund or exchange.

e. Management assumes no responsibility and liability for any merchandise or exhibit left in exhibit hall.

f. Beyond the move-out time, an overtime charge of $200 per hour will apply. It is Exhibitor's solerespon-sibility to leave the rented space in its original condition, otherwise Management will charge atrash re-moval/damage/repair fee of at least $200. Exhibitor must have liability insurance and beresponsible for his/her own action and/or liability inside his/her booth resulting from the operation ofhis/her exhibit.

g. Exhibitor must abide by all City, County, and State laws regulating marijuana.

h. Management prohibits any and all illegal actions and activities.

i. Exhibitor agrees to hold Management harmless from any and all liability including but not limited toany bodily injury, illegal activity, property damage and all other liabilities arising from the operation ofthe exhibit or products sold during the show.

j. Management will not be responsible for any loss of property due to theft, fire, accident, or othercauses.

k. Exhibit space will be temporarily assigned until Management has received full payment.

l. It is understood that any projection/quotation on attendance is based on previous shows or likeshows from other venues.

m. Management offers no guarantee on attendance or Exhibitor's performance.

n. No subletting of booth space is permitted without Management 's consent otherwise Exhibitor's rightto exhibit will be forfeited without refund.

o. No taping, nailing, or painting is allowed on walls or pillars.

p. Management reserves the right to change exhibit hall , alter floor plan, and to re-assign exhibit spaceif deemed necessary for the commonwealth of the show.

q. If Exhibitor accepts a re-assigned space for any reason, the fulfillment of this contract is deemed com-pleted with no other recourse possible.

r. Management has the right to rent space to firms, companies, individuals and organizations engagedin similar or competitive business to Exhibitor.

s. Management will not offer exclusive rights to any Exhibitor.

t. Management reserves the right to refuse business to anyone or organization.

u. No selling of any marijuana products, leaves, or plants.

v. Any smoking of any marijuana products at the show facility must be in the authorized 215 section.

w. No one under 21 allowed.

x. Due to the nature of trade show business, Exhibitor assumes full obligation of this contract including the full balance due once contract is signed.

y. Cancellation and refund requests must be in writing to our Management’s office.A. Cancellations more than 90 days prior to the event will be subject to 5% penalty.B. Cancellations between 60-90 days prior to the event will be subject to 25% penalty.C. Cancellations between 30-59 days prior to the event will be subject to 50% penalty.D. There are no refunds for any cancellation less than 30 days prior to the event.Return of funds from Management may take up to 45 days from the date of cancellation.

GENERAL PROVISIONS:

Best Efforts: Both Parties agree use their best efforts in the execution and performance of this Agreement.

No Consequential Damages: Neither party will be liable to the other for any incidental, consequential, or in-direct damages or for any loss of profit, revenue, data, business or use whether a claim is made in contract or tort, whether or not the possibility of such damages has been disclosed or reasonably foreseeable.

Limitation of Liability: The parties’ liability in respect of any services or any other items furnished under this agreement shall not exceed the cash compensation paid by the Sponsor/Exhibitor to Management under this agreement.

Relationship of the Parties: Nothing contained herein shall imply any partnership, joint venture or agency re-lationship between the Parties and neither Party shall have the power to obligate or bind the other in any manner whatsoever, except to the extent herein provided.

Notices: All notices, requests, demands, payments and other communications which are required or may be given under this Agreement shall be in writing and shall be deemed to have been duly given if delivered per-sonally, telecopied or sent by nationally recognized overnight carrier, or mailed by certified mail, postage prepaid, return receipt requested.

Entire Agreement: This Agreement (i) and Invoice (if any) constitutes the binding agreement between the Parties; (ii) represents the entire agreement between the Parties and supersedes all prior agreements re-lating to the subject matter contained herein and (iii) may not be modified or amended except in writing signed by the Parties.

Applicable Law\Venue: This agreement will be interpreted, construed and enforced in all respects in accord-ance with the laws of the State of Washington, USA. Further, each Party hereby irrevocably consents to the jurisdiction of such courts with venue laid in Snohomish County, State of Washington.

Tax Registration Sonoma County Event Center

at the Fairgrounds April 20th - 22nd, 2017 Santa Rosa, CA

California Business Licensing Requirements:The Board of Equalization (BOE) wants to make doing business in California as easy as possible. You can register for a seller's permit or use tax account using our online registration or in person at one of our field offices. The BOE also administers several special tax and fee programs in addition to the state's sales and use taxes.

You must obtain a seller's permit if you:*Are engaged in business in California*Intend to sell or lease tangible personal property that would ordinarily be subject to sales tax if sold at retail *(this includes wholesalers,manufactures and retailers.)

*Will make sales for a temporary period, normally lasting no longer than 90 days at one or more locations (for example, fireworks booth,Christmas tree lots, garage sale)

You must obtain a use tax account if you meet all of the following conditions:

*Receive at least $100,000 in gross receipts from business operations per calendar year. Note: Gross receipts are the total of all receipts fromboth in-state and out-of-state business operations

*Are not required to hold a seller's permit or certificate of registration for use tax (under section 6226 of the Revenue and Taxation Code)*Are not a holder of a use tax direct payment permit as described in section 7051.3 of the Revenue and Taxation Code*Are not otherwise registered with the BOE to report use tax

The requirement to obtain a seller's permit or a use tax account applies to: individuals; partnerships; corporations; organizations; husband/wife co-ownership; LLP's; LLC's. Temporary Licensing Requirements

Obtaining a temporary seller’s permit is easy and free. Visit our Registration – Main Menu and follow the steps to register a business activity with the BOE.

Temporary permits are issued to individuals with no permanent place of business, and cover a selling period of 90 days or less at one location. The registration process is the same whether you are registering for a temporary seller’s permit or a seller’s permit for a permanent business location. However, there are some things to keep in mind when registering for a temporary seller’s permit.

You may obtain a temporary seller’s permit up to 9 months prior to your business start dateYou need to provide a valid start and end date for each temporary sales locationYou may register for multiple locations on a temporary seller’s permit as long as they operate within the same 90 day periodYou may not add a new sales location to an existing temporary seller’s permitOnce you finish registering, you may print a temporary seller’s permit for each location.

Are You a Temporary Seller?

Generally, if you make three or more sales of items subject to California sales and use tax in a 12-month period, you are required to register for a California seller’s permit and pay tax on your taxable sales.

However, if you will be selling items at a location for less than 90 days, you are considered a temporary seller, and are required to hold a temporary seller’s permit. You will need to register each temporary sales location. On the other hand, if you already hold a seller’s permit for a permanent place of business but also make sales at a temporary location, you will not need to register for a separate temporary seller’s permit. Instead, you must register for a sub-permit for each of your temporary locations.

The following is a list of the most common types of sellers who may need a temporary seller’s permit when operating less than 90 days.

Conventions/Trade Shows: If you participate in California conventions and trade shows and make sales or take orders for sales at or during the conventions or trade shows, you will generally be required to hold either an ongoing or temporary seller’s permit.

For in-state retailers, you must obtain an ongoing seller’s permit if you are engaged in the business of selling tangible personal property. Out-of-state retailers that exceed specific sales thresholds are required to obtain an ongoing seller’s permit. Retailers not exceeding these thresholds are only required to obtain a temporary seller’s permit.

California Insurance Requirements:

1. General Liability Insurance a. Commercial General Liability Insurance on a standard occurrence form, no less broad

than Insurance Services Office (ISO) form CG 00 01.b. Minimum Limits: $1,000,000 per Occurrence; $2,000,000 General Aggregate and

Products/Completed Operations Aggregate. The required limits may be provided by a combination of General Liability Insurance and Commercial Excess or Commercial Umbrella Liability Insurance. If Licensee maintains higher limits than the specified minimum limits, FAIR requires and shall be entitled to coverage for the higher limits maintained by Licensee.

c. Any deductible or self-insured retention shall be shown on the Certificate of Insurance.If the deductible or self-insured retention exceeds $25,000 it must be approved in advance by FAIR. Consultant is responsible for any deductible or self-insured retention and shall fund it upon FAIR’s written request, regardless of whether Consultant has a claim against the insurance or is named as a party in any action involving the FAIR.

d. Insurance shall be on a standard Occurrence form. Claims-Made or modified, limited

or restricted occurrence forms are not acceptable without prior written consent from FAIR.

e. The Sonoma County Fair and Exposition Inc., Harvest Fair Association of Sonoma

County, the County of Sonoma, their officers, agents and employees shall be endorsed as additional insureds for liability arising out Licensee's ongoing operations (ISO endorsement CG 20 26 or equivalent).

f. The insurance provided to the additional insureds shall be primary to, and non-contributory with,any insurance or self-insurance program maintained by them.

g. If the event or activity involves animals, the policy shall cover injury resulting from both airborneand contact transmission of E. coli bacteria.

h. The policy shall cover inter-insured suits between the additional insureds and the Licensee, and shallinclude a “separation of insureds” or “severability” clause which treats each insured separately.

i. Required Evidence of Insurance:

1. Copy of the additional insured endorsement or policy language granting additionalinsured status;

2. (If animals are involved) Evidence that there is coverage for airborne and contacttransmitted E. coli bacteria; and

i. Vehicles pulling trailers longer than 10 feet: $1,000,000 per accident.ii.All other vehicles: $300,000 per accident.

b. Required Evidence of Insurance: Certificate of Insurance or copy of Automobile Policy

Declarations Page.

3. Standards for Insurance CompaniesInsurers, other than the California State Compensation Insurance Fund, shall have an A.M. Best'srating of at least A:VII.

4. Documentationa. The Certificate of Insurance must include the following reference: : “Name of and

Date(s) of event”.b. When requested by FAIR, Licensee shall require its subcontractors, vendors,

exhibitors and other agents to submit Evidence of Insurance to FAIR.c. All required Evidence of Insurance shall be submitted prior to the execution of

this Agreement. Licensee agrees to maintain current Evidence of Insurance onfile with FAIR for the required period of insurance.

d. Upon FAIR's written request, Licensee agrees to provide certified copies of therequired insurance policies within thirty (30) days.

e. License shall provide immediate written notice if: (1) any of the requiredinsurance policies are terminated; (2) the limits of any of the required policies arereduced; or (3) the deductible or self-insured retention is increased.

f. Required Evidence of Insurance shall be submitted for any renewal orreplacement of a policy that already exists, at least ten (10) days beforeexpiration or other termination of the existing policy.

5. Failure to comply will result in immediate removal of the show event if documents notreceived by the dates previous mentioned on - April 5th for us to review and confirm that youhave adequate coverage, you will be removed from the show as an Exhibitor per our terms andagreementin insurance requirements.

Sonoma County Airport has flights from Los Angeles, Orange County, Portland, San Diego, and Seattle on Alaska; from Las Vegas on Allegiant; from Phoenix-Sky Harbor on American Airlines (Sky West, starting February 2017); or via a transfer from another Alaska, Horizon, or American Airlines flight. Ground Transportation Sonoma County Airport Express (707-837-8700, www.airportexpressinc.com) from the San Francisco and Oakland airports. There are four stops in Sonoma County: Charles M. Schulz – Sonoma County Airport (STS), Santa Rosa Fairgrounds, Doubletree Hotel in Rohnert Park and Petaluma Fairgrounds.

The Golden Gate Transit (415-923-2000; www.goldengate.org) operates buses 72, 74, 76, and 101 from San Francisco to Petaluma and Santa Rosa. Catch the bus at the San Francisco Bus Facility at 3rd and Perry streets. Check the website for specific routes as some routes operate only during commute hours and others change times because of holidays and weekends.

Ferry from the San Francisco Ferry Building to Larkspur Ferry (goldengateferry.org/schedules/Larkspur.php). From there, catch Golden Gate Transit to Sonoma County.

Greyhound (800-231-2222; www.greyhound.com) operates from San Francisco to Santa Rosa. There are transfers for local buses.

Sonoma County Transit bus (707-576-7433, 800-345-7433; www.sctransit.com) from Santa Rosa to Petaluma, Sonoma, and western Sonoma County, including the Russian River Valley towns.

Amtrak (800-872-7245; www.amtrak.com) trains travel to Martinez, with connecting buses to Santa Rosa and Healdsburg.

Local Transportation Santa Rosa is also served by Uber and Lyft for alternative and economical transportation in and around downtown Santa Rosa.
