> DEAR SHAREHOLDERS!

For a number of years SOGAZ Insurance Group has been demonstrating steady development, consistently expanding presence in key industries of the Russian economy. As of today, the Group’s total assets exceed 100 bln roubles; the scale of business places SOGAZ among the top three largest Russian insurers. In 2011 many leading Russian com-panies and corporations chose SOGAZ as their insurer, associating the com-pany with reliability and dynamic progress. The same choice was again made by Gazprom, and we believe that our decision is definitely the right one.

At the same time, I am positive that SOGAZ still has an immense de-velopment potential that should be realized through further business diversi-fication and competitive capability enhancement, while preserving the high efficiency of insurance activities. These are the tasks that SOGAZ Insurance Group Development Strategy for 2013-2016 will build on.

I am pleased to note that work along this line started last year: SOGAZ team was augmented with professionals boasting impeccable reputation in the insurance market; the Company’s organizational structure is being im-proved, the business process system is being streamlined, new technologies are being introduced. In the near future the Group intends to entrench its position in small and medium business insurance, foster partner channels to sell insurance products, expand the comprehensive insurance program for corporate client employees.

I am sure that all these and other measures taken by the SOGAZ man-agement and supported by shareholders will contribute to the further growth of the Company’s value and to the strengthening of its leading positions in the Russian insurance market.

> DEAR SHAREHOLDERS, CLIENTS, PARTNERS AND EMPLOYEES OF SOGAZ INSURANCE GROUP!

Over the past year SOGAZ Insurance Group has proved its status as the most profitable and efficient insurance company in Rus-sia. According to international accounting standards, the Group’s premium written has grown by 18% and made over 60 bln roubles, while net profit has increased by 19%, reaching 6.9 bln roubles. SOGAZ occupies the first place in Russia in terms of equity, which has risen by 20% over the year and made 34.3 bln roubles. Particular attention to capitalization, adequacy of insurance reserves and reliable risk reinsurance were appreciated by the expert community: in 2011, Standard&Poor’s, one of the most respectable international rating agencies, for the first time increased SOGAZ’s rating to investment grade.

SOGAZ Insurance Group is an all-purpose nation-wide insurer. The Group’s regional network includes over 600 divisions and sales offices from Kaliningrad to Khabarovsk. It is no coincidence that more and more large companies and corporations trust us for insurance coverage. In 2011 SOGAZ Group added to its client base Saipem, an Italian engineering com-pany, Irkut Corporation, Bashneft, and a number of IES- Holding companies. Important victories were won in insurance tenders of RusHydro, Rostelecom, Nornickel; a major insurance contract for USD 30 bln was renewed with Evraz. SOGAZ continued active participation in the insurance of major investment projects such as Nord Stream, Jubga – Lazorevskoye – Sochi gas pipeline, under-water tunnels across the Nevelsky Strait and the Baidaratskaya Bay, and construction at the Kirinskoye gas condensate field.

Owing to the professionalism and strict compliance with obligations, the Group’s reputation as an exceptionally reliable partner is constantly gain-ing strength: over 500,000 Russians chose OJSC SOGAZ as their insurer in 2011. Remarkable success was achieved by our subsidiaries, too: IC SOGAZ-LIFE demonstrated almost double growth in gross written premium, and SOGAZ-MED, one of the largest health insurers in the country, started operations in the Moscow insurance market.

Enormous work was carried out to adjust the losses incurred in 2011 and earlier. SOGAZ paid all claims in respect of the Novokuibyshevsk Refin-ery, which exceeded 900 mln roubles. The losses caused by the notorious “ice rain” of 2010 were adjusted. Claims were paid to the passengers of the Tu-154 plane belonging to Kogalymavia that had burned in Surgut; first claims were paid to the heirs of the Yaroslavl Locomotive hockey players who had been killed in a tragic accident last September; thousands of other insured events were settled.

As in the past, we continue to carry out the social policy aimed at sup-porting socially vulnerable children, the healthcare system, as well as profes-sional and amateur sports. In 2011, SOGAZ for the first time became the General Partner of the Russian National Football Team as well as the official partner of the Football Championship of Russia. I am positive that these and other projects will contribute to new victories of Russian athletes, popularizing and improving the prestige of the national sports all around.

We achieved a lot in the past year and we can be proud of the results. I am grateful to the Company’s shareholders for their unfaltering support and to our clients and partners for their open-mindedness and readiness for mutually beneficial cooperation. I would like to express appreciation to all SOGAZ em-ployees for their energy, professionalism and passion in work. These qualities make us believe that our Company can face any challenge.

> RUSSIAN INSURANCE MARKET: 2011 RESULTS

According to the Federal Financial Markets Service, the total premium written (exclusive of reinsurance) reached 1,271 bln roubles in 2011, thus exceeding the 2010 proceeds by 21.7% (the increase in 2010 was 6.8%). Aggregate claims paid reached 890.4 bln roubles, which is 15.5% higher than the year earlier.

Premium increase occurred across all types of insurance. The growth of the insurance market has been primarily due to state and private investment programs, growth of industrial production, increase in the budget for employee social insurance packages. Significant influence was also caused by the devel-opment of retail motor insurance and joint programs with banks: according to the Central Bank of Russia, 2011 alone the loans issued to individuals rose by 38%.

The market structure did not change significantly in 2011. The main growth drivers were (figures in parentheses represent the market share exclu-sive of compulsory health insurance):

- motor hull insurance for individuals and legal entities (24.8%) – increase by 19.7 bln roubles and 5.8 bln roubles respectively;

- legal entity property insurance (14.5%) – increase by 15.7 bln rou-bles;

- legal entity voluntary health insurance (12.9%) – increase by 11.5 bln roubles;

- individual CMTPL (12.8%) – increase by 10.4 bln roubles;- life and accident insurance for individuals and legal entities (12.6%) –

increase by 16.1 bln roubles and 8.3 bln roubles;- agricultural risk insurance (2.4%) – increase by 6.5 bln roubles, or

+66.2%.

The year 2011 was notable for an upsurge in life insurance premium writ-ten. The largest increase was associated with risk insurance, which has been actively developing due to the increasing number of mortgages (almost double

compared with 2010) and consumer (30% growth) loans issued. The significant increase in voluntary health insurance, which accounts for the bulk of premiums in the voluntary personal insurance market, is connected with the growing prices for medical services and gradual recovery of personal insurance budgets of employ-ees of large companies. The growth in consumer lending and increase in insur-ance budgets of legal entities also contributed to the increase in personal accident and health insurance premium.

The main growth drivers in property insurance were personal and corporate property insurance, motor insurance and agricultural insurance. Premium growth in legal entity insurance was a result of the overall recovery of the Russian econ-omy and, specifically, the growth in industrial production and investment in fixed capital. The increase in motor insurance premium was caused by the realization of deferred demand in the general public for cars and the development of partner sales in cooperation with banks and car dealerships. The increase in new car sales was about 40%. In 2011, for the first time since compulsory motor third party liability insurance had been introduced in Russia, the rate of growth in premium in this activity was several times greater than the rate of growth in claims paid. High figures in the agricultural insurance market in the past year resulted from alloca-tion by the government of over 5 bln roubles on crop insurance. However, Federal Law No. 260-FZ dated July 2011 “On State Support in Agricultural Insurance” set forth a new framework for carrying out activities in the market, which presently impedes evaluation of its further development.

The insurance market continued to concentrate in 2011. Stricter require-ments to insurers’ financial stability, including an increase of the minimum author-ized capital, led to forced mergers and acquisitions, especially at the regional level. The biggest number of mergers and acquisitions occurred in compulsory health insurance. A number of bankruptcies in the market was a consequence of errors in business management, actions of supervisory authorities or failed sales deals. The year was also notable for mergers associated with business develop-ment of insurance sector leaders. The share of 10 leading insurance groups in premium written crossed the 60% threshold (exclusive of compulsory health insur-ance) as early as in 2010, and in 2011 it exceeded 61%. Over the year the number of insurance companies reduced from 618 to 572.

> GROUP OPERATION RESULTS

In 2011 SOGAZ Insurance Group demonstrated a positive trend in insurance premium. The Group’s share in the insurance market grew by more than one-fourth in the past 5 years and in 2011 exceeded 9.3%, including compul-sory health insurance (118.4 bln roubles). Throughout many years SOGAZ has ranked among the top three largest insurers in Russia and is the absolute leader in personal insurance. As before, SOGAZ has demonstrated the best profits in the insurance market.

In the reporting year, the Group took the second place in the market in terms of premium written and became the leader in voluntary (classic) insurance. Significant success was achieved by SOGAZ in life insurance, where the Group’s market share doubled, reaching 9.0% (3.1 bln roubles).

The Group’s share of claims paid on all types of insurance except com-pulsory health insurance made 9%. The total volume of claims exceeded 27 bln roubles; in addition, over 1 bln roubles was paid out under reinsurance contracts.

At the end of the year the Group led the market in the following segments:

- personal insurance;

- retirement insurance;

- voluntary health insurance;

- corporate and individual property insurance;

- civil liability insurance of hazardous production facility operators.

The Group ranks among the top three insurers in property insurance (in-cluding liability and financial risk insurance), cargo insurance, non-motor liability insurance.

Property insurance for key corporate clients

At the end of 2011, SOGAZ Insurance Group conquered the corporate property insurance market. The trust of the Company’s strategic clients remains the key factor of success: for many years SOGAZ has been providing insurance coverage for fixed assets of Gazprom Group and Rosatom companies, Rosneft Oil, Severstal, power grid and generating companies.

SOGAZ once again confirmed that it is prepared to provide insurance coverage of major risks of the country’s backbone enterprises that lay down the strictest requirements to an insurer’s financial capabilities. One of the year’s remarkable results was winning an open tender for insuring the property inter-ests of OJSC Gazprom subsidiaries for the period of 2012-2016. According to the terms of the contract, SOGAZ is to provide coverage for the production en-terprises’ property: line facilities, technical equipment and fittings of gas, oil and product pipelines; machines and mechanisms against breakage; risk of produc-tion interruption loss; risk of well control loss.

In the past year SOGAZ insured property risks of over 20 companies of SIBUR Group, 4 power companies of Gazprom Group, including WGC-2 and Mosenergo. Tenders were won to insure IDGS Holding subsidiaries for 3 years. Continued coverage was provided for Rosenergoatom’s large-scale program to commission five new energy units. The Company insured complicated capital construction projects, such as Jubga – Lazorevskoye – Sochi gas pipeline, underwater tunnels across the Nevelsky Strait and the Baidaratskaya Bay, and the construction at the Kirinskoye gas condensate field.

During the year contracts were renewed and tenders were won, following which comprehensive property insurance is continued for the Sakhalin-1 pro-ject, fixed assets of Evraz Holding in Russia and Ukraine, fixed assets (includ-ing foreign) of OJSC Gazprom Neft, property insurance of TVEL Corpo-ration, ARMZ uranium holding company, etc.

By winning the tenders the Group obtained new clients in property insur-ance, such as Novatek, Rushydro, Orenburg TGC, WGC-3, VSMPO-AVISMA Corporation, a number of IES-Holding companies. The Group also won a ten-der to insure the group of buildings of OJSC ROSNANO. In 2011 Bashneft, one of the country’s largest oil companies, insured its assets with SOGAZ. A one-of-a-kind insurance contract was signed with Industrial Association Sevmash with participation of OJSC Rosoboronexport and OJSC United Shipbuilding Corporation. During the year, the Group insured major risks of Yekaterinburg Koltsovo Airport, LLC Primorsk Oil Terminal and a number of other enterprises.

The key event in terms of strategic partnership development was the renewal of cooperation with Rosneft for the insurance of assets and risk of pro-duction interruption loss.

Construction and installation risk insurance

According to Expert RA rating agency, SOGAZ Insurance Group is the leader in construction and installation risk insurance.

In 2011 SOGAZ asserted its position in the construction and installation risk insurance market by signing over 4,000 insurance contracts, including li-ability insurance during construction work. The biggest contracts were entered into as part of national and global projects of Gazprom, Rosneft and a number of the Group’s other strategic clients.

Coverage was provided against construction and installation risks and liability of contractors engaged in the project to expand the Caspian Pipeline Consortium, including the risks of Italian-based company Saipem connected with subsurface operations.

SOGAZ continued robust work to insure projects within Gazprom’s in-vestment program: construction and installation risks were insured in the opera-tions on the Kirinskoye gas condensate and Bovanenkovskoye fields, on the Sakhalin-Khabarovsk-Vladivostok, Bovanenkovo-Ukhta, Pochinki-Gryazovets gas pipelines, as well as the North European gas pipeline.

Insurance coverage was also provided against construction and installation risks under investment programs of RZD, power grid and generating companies.

SC ROSATOM

><were invested in the construction of the nuclear waste dry storage facility at the integrated mining and chemical plant in Zheleznogorsk, Krasnoyarsk Territory. The facility was put into operation in late 2011. The new storage facility ensures safe storage and transportation of nuclear waste for the next 50 years.

One of the noticeable events of the year was the conclusion of two con-struction and installation risk insurance contracts with CJSC ROSENGINEER-ING, which participates in the construction of Sochi Olympic facilities, with the overall liability limit of over 35 bln roubles.

In 2011 SOGAZ insured construction and installation risks for the con-struction of the Molodogvardeyskaya traffic intersection – one of the largest road construction projects in Moscow. Moreover, SOGAZ provided insurance coverage for several toll road construction projects implemented by State Com-pany Russian Highways.

An important achievement of the year was the commencement of full-scale cooperation with Spetstroy of Russia, owing to which SOGAZ expanded its participation in the insurance of major infrastructure projects. In the second half of the year the first nine defense and industrial facilities were insured during their construction and reconstruction.

Significant construction and installation risk insurance projects also in-cluded the insurance of works at the Tuapse Refinery, contracts with OJSC Cherepovetsky Azot and LLC Montazhstroy in Novy Urengoy. Risks were in-sured in the construction and reconstruction of hotels, residential houses, social and sports facilities in Tarko-Sale, Tobolsk, Megion, Sakhalin and a number of other regions. Matters of specific interest include construction and installation risk insurance in the construction of historical and cultural projects, for example, the Monument Temple in the Katyn memorial.

Small and medium business property insurance

Development of small and medium business property insur-ance was one of the main objectives of the regional divisions of SOGAZ Insurance Group’s in 2011.

SOGAZ portfolio was not only supplemented with industrial, warehous-ing and office premises, but also with printing shops and poultry factories, min-eral water bottlers and pasta producers, milk factories, bus stations, sports in-frastructure facilities. In the past year, many contracts were signed with trading companies for the insurance of movable property in stock and in circulation: from cars and engine oils to home appliances and foodstuffs.

Hazardous production facility owner liability insurance

At the end of 2011 SOGAZ remained the unchallenged leader in hazardous production facility insurance and occupied about 28% of the market, leaving competitors way behind. The Group’s yearly insurance premium from this activity amounted to over 450 mln roubles.

After the enactment of the law “On Compulsory Civil Liability Insurance of Owners of Hazardous Facilities Against Damage Resulting from Accidents at Hazardous Facilities” on 1 January 2012, all hazardous production facil-ity owners have been obliged to procure hazardous production facility insur-ance policies. There are currently over 300,000 hazardous facilities operating in Russia. In 2011 SOGAZ carried out serious preparatory work, which enabled hazardous production facility owners to ensure timely and full compliance with the requirements of the law. The Group’s clients whose operations have been regulated by the hazardous production facilities law since 2012 include gas, oil, power, production, transport and other businesses.

Cooperation with nuclear industry enterprises has been one of the key areas of SOGAZ’s business for many years. An important project of the year was providing third party liability insurance for Rosatom’s core companies op-erating nuclear facilities within the framework of the Russian Nuclear Insurance Pool subject to the terms of the Vienna Convention on Civil Liability for Nuclear Damage.

D&O Insurance

SOGAZ became one of the first insurers in the Russian mar-ket to offer its clients directors and officers liability insurance, which is widespread in the West. In the past two years Russia has also been expe-riencing a steady growth in the D&O segment, connected with the post-crisis recovery of the economy, increasing activity of major public companies, IPOs and placement of securities in the international stock market.

Gazprom and Rosneft have been the biggest clients of SOGAZ in D&O insurance since 2007. In 2011 contracts were awarded to provide D&O insur-ance to SIBUR, Rostelecom, OGK-2, FGC UES, Severstal.

Other liability insurance (except transport insurance)

Insurance of third party liability associated with business ac-tivities is commonly used in property insurance contracts. SOGAZ insures the liability of businesses and organizations in various industries: plants, man-agement companies, airports, hospitals, city administrations and services, and many more.

Thus, in 2011, SOGAZ provided OJSC Power Machines with civil liability insurance coverage against damage to life, health and property of third parties and the environment caused by production activities, installation supervision, adjustment and alignment, long-term equipment maintenance services, as well as by defects in products or works. Civil liability insurance contracts were signed with Rosatom against damage resulting from a radiation accident during transportation of radioactive materials.

The clients most actively procuring liability coverage were members of self-regulated construction organizations, which is required by the conditions for joining a self-regulated organization: the amount of obligatory member contribution to the compensation fund is significantly reduced if the con-struction company enters into a liability insurance contract. In 2011, SOGAZ insured over 6,000 construction companies against damage to life, health and property of third parties and the environment resulting from defects in construction work. Policyholders include Boguchanskaya HPP, Donaerodor-stroy, Altaigazprom, Moscow Regional Construction Trust No. 11, Uralgaz-stroy Concern, United Coal Company Yuzhkuzbassugol, SUEK-Kuzbass, and others.

> SPECIAL RISK INSURANCE

Ground transport insurance

At the end of the year the Group’s premium in ground trans-port insurance amounted to 3.8 bln roubles.

The aggregate premium in CMTPL exceeded 1.1 bln roubles. An im-portant contribution to the Company’s financial result was the activities of the branches, which won 362 tenders to award CMTPL contracts. The Tomsk Branch of OJSC SOGAZ was particularly successful, winning a whole number of tenders announced by state and municipal entities in the Tomsk Region and the Republic of Sakha (Yakutia).

SOGAZ policy in respect of motor hull insurance has been traditionally associated with moderate expansion and tight control of loss ratio, due to which the majority of such contracts is signed with corporate clients: Gazprom Group, RZD, nuclear industry enterprises. of the Group analysis of market growth rates, the group’s motor hull strategy was adjusted, and SOGAZ started preparing to expand its activities in the motor insurance segment.

Special vehicle insurance is a highly important business stability and security factor for SOGAZ Group’s clients. SOGAZ provides special vehicle coverage under direct or leasing contracts with enterprises and contractors im-plementing projects of Gazprom, Rosatom, RZD, as well as construction com-panies, airport services, agricultural producers.

Railway transport insurance accounted for 111 mln roubles in premium written in 2011. One of the year’s achievements was winning a tender to insure over 124,000 train cars belonging to OJSC Second Freight Company. A suc-cessfully developing area was leased property insurance: 150 train cars in Mos-cow (LLC FinTransGroup) and 130 train cars in Pskov (OJSC Pskovvtormet) were insured.

Aviation risk insurance

SOGAZ remains one of the largest insurers of aviation and space risks in Russia. At the end of 2011, the Group’s premium in aviation insurance exceeded 720 mln roubles. Contracts with major regular clients are in place: Gazprom Avia and Severstal air enterprises, as well as regional air fleet owners: Nizhnevartovskavia, Aviashelf, Vologda Aviation Enterprise, Komiavi-atrans, and others. SOGAZ is currently the insurer of about 200 planes and 300 helicopters.

In the past year SOGAZ continued its efforts to create a comprehen-sive insurance coverage system for the risks of United Aircraft Corporation. An important achievement was the commencement of cooperation with Irkut Sci-entific Production Corporation: SOGAZ acted as the co-insurer of production test flights of Yak-130 and Su-30 MKI planes.

Space risk insurance

In 2011 SOGAZ extended cooperation with the Federal Space Agency and its subordinate enterprises. A serious achievement in space risk insurance was SOGAZ’s participation in the Sea Launch project as an in-surer. The project had been previously insured only in the London market.

In the past year SOGAZ insured the launch and initial period of operation on the Earth orbit of the Luch-5A space satellite that was successfully placed into the target orbit and taken on control on 12 December 2011. A Proton-M rocket with a Breeze-M upper stage and a spacecraft was launched from Bai-konur on 11 December. The satellite was covered against total and constructive loss for a total amount of 2.1 bln roubles.

Sea risk insurance

In 2011 the Group’s premium in property and liability in-surance of water transport owners totaled some 330 mln roubles. SOGAZ continues the poli-cy of portfolio optimization and efficient entrance to regional markets. In the past year cooperation continued with the majority of regular clients, including Gazflot and Sovkomflot, and a number of contracts were signed with regional companies: dredging operator Belyana in Astrakhan region, owners of water transport and fishing vessels LLC AVL and LLC Vostok-Import in Primorsky Territory, and others.

Cargo insurance

The Group’s total premium in cargo insurance of legal entities and individuals amounted to 1.6 bln roubles at the end of 2011. Gazprom companies remain the largest policyholders in this area, but the share of other policyholders in the portfolio continues to grow in accordance with SOGAZ’s development strategy.

One of significant projects in the past year was a cargo insurance con-tract concluded with Sukhoi Civil Aircraft. SOGAZ insured deliveries of compo-nents required for production of regional liner Sukhoi Superjet 100.

> PERSONAL INSURANCE

At the end of 2011 SOGAZ Insurance Group retained abso-lute leadership in personal insurance (except life insurance). The Group’s share in the Russian Market was 13.4%; personal insurance premium exceed-ed 19 bln roubles.

The most important achievement of the year was a tender won to sign personal insurance contracts with OJSC Gazprom, its branches and subsidi-aries for 5 years. In addition, over 50 personal insurance contracts were con-cluded with major corporate clients in the reporting year.

Personal accident and health insurance

SOGAZ currently serves 900,000 people under personal ac-cident and health insurance contracts. The most significant event of 2011 in this area was winning a tender to insure over 66,000 employees of the Central Bank of Russia. Also, for the first time contracts were signed to insure the staff of Mosenergosbyt, Angarsk Electrolytic Chemical Company, Nizhnevartovs-kavia, Afipsky Refinery, and a number of other enterprises that insured with SOGAZ 20,000 employees against accidents.

As part of sports projects, SOGAZ provides coverage to players and ref-erees of various teams. 1,262 players of the Continental Hockey League and Youth Hockey League were insured in 2011 for the total amount of 2.689 bln roubles and 88 referees for the amount of 110 mln roubles. Insurance cov-er-age against accidents and diseases is also provided to the players of Saint Pe-tersburg football club Zenit and Perm Amkara, playing in the Premier League, and Voronezh Fakel, representing the first division.

Voluntary health insurance

The Group’s share in the VHI market in 2011 reached 18.6%. The total number of insured persons amounted to about 1.6 mln.

A large tender was won in 2011 to sign a two-year voluntary health insur-ance contract with OJSC Sberbank of Russia. Contracts were also con-cluded with OJSC Rosneft, OJSC Rostelecom, MMC Norilsk Nickel.

The Group’s new clients for voluntary health insurance include Irkut Sci-entific Production Corporation, State ATM Corporation, State Unitary Enter-prise Saint Petersburg Water Canal, Federal State Unitary Enterprise Moscow Channel, Kirov Tire Plant, Uralkhimmash, Machine-Building Plant ZiO Podolsk, Saint Petersburg Sales Company, a whole number of companies from oil and gas, nuclear, power and machine-building industries.

Compulsory health insurance

At the end of 2011 the aggregate number of persons covered with CHI by SOGAZ Insurance Group exceeded 14 million persons, and the share of Group in CHI market exceeded 10%. The insurance premium in the dedicated health insurance company SOGAZ-MED totaled 55.7 billion roubles, which exceeds the result of the previous year by 25.7%. Since 2005 SOGAZ-MED has ranked among the top three leaders in CHI market. By the end of SOGAZ-MED representative offices operated in 38 regions of Russia.

The CHI market and activity of health insurance companies were seri-ously affected by Federal Law No. 326-FZ “On Compulsory Medical Insurance in the Russian Federation” which was enacted on 1 January 2011. The new law provides for the right of individuals to independently choose health insurance organizations, medical institutions and doctors. The law also enables a com-petitive environment in the CHI market.

Due to the changes in the legal framework the priority of SOGAZ-MED activity in 2011 was the development of new CHI technologies as well as re-alization of advantages for insured persons provided for by the law. Due to the new law SOGAZ-MED gained access to the Moscow insurance market which will allow the Company to realize its potential and experience in a strategic ter-ritory as early as in 2011.

In the new conditions SOGAZ-MED is intended to keep the leading po-sition in the CHI market, increase the number of insured persons in regions, proceed with diversifying and optimizing its insurance portfolio, improve control with regard to the scope, time and conditions of medical care as well as the ef-fectiveness of insured persons’ rights protection.

An important component of SOGAZ-MED’s work in 2011 was the im-provement of insured persons’ rights protection. The company’s specialists paid special attention to complaints and requests from customers. The number of complaints filed to the Company, related to the exercise of lawful rights to receive free, affordable and quality medical care amounted to 2,548 in 2011, which is 1.2 times more than in the previous year. Out of the total number of registered applications 77% were considered valid. The percentage of valid complaints increased by 30% as compared to 2010. According to the Compa-ny, the growth of the number of applications is primarily related to the increase of consumers’ legal knowledge, and the substantial increase of the number of valid complaints to the energetic educational work carried out by OJSC IC SOGAZ-MED in the previous year: in the reporting period about 300 publica-tions were issued in the print media, about 800 advertising spots on TV and radio and about 500,000 information booklets were distributed to insured per-sons. institutions and more than 350 conferences were held by the Company’s specialists for employees of various firms in order to explain the rights and op-tions of the insured persons within the framework of the new law on CHI.

In order to improve the quality of service, a twenty-four-hour call center with a toll-free federal number was established in SOGAZ-MED, as well as the website www.sogaz-med.ru with an online service for applications, feedback, suggestions and questions.

As one of the established leaders in the market, SOGAZ-MED continues vigorous activity in CHI system development. In 2011 the Company took part in the work of the Interregional Union of Medical Insurers, National Union of Insur-ers, Federal CHI Fund, Russian Ministry of Health and Social Develop-ment, State Duma of the Russian Federation and a number of other govern-ment au-thorities regarding the improvement of the CHI regulatory and legal framework.

Life insurance

Live and health insurance in the Group is provided by the dedicated company SOGAZ-Life. Since 2007, it has been the only Russian life insurance company to annually confirm the highest “A++” rating by Expert RA rating agency (“Extremely high credibility”, forecast – “Stable”).

At the end of 2011 the Group’s insurance premium with respect to life and health insurance amounted to 3.4 billion roubles, which is one and a half times more than in 2010. SOGAZ-LIFE won 9% of the voluntary life insurance market. In the reporting period the company showed the best growth rates of life insurance premium among dedicated market segment leaders: +166% of total voluntary personal insurance, +186% of life insurance, and premium related to pension insurance risks increased more than fourfold. The claims paid totaled 1.3 billion in the previous year.

At the end of the year the company ranked the first in the pension insur-ance market. In 2011 over a quarter of premium written in the voluntary pension insurance segment was collected by LLC IC SOGAZ-LIFE.

Traditionally, SOGAZ-LIFE is the leader in the corporate life insurance market, cooperating with companies in the fuel and energy, machine-build-ing, electric power, chemical, pharmaceutical industry, etc. The key clients of the company are Gazprom Group enterprises, regional gas companies, OC Rosneft, FC Zenit, Federal State Unitary Enterprise Armavir Biological Factory and a number of others. At the end of the year 41% of the total insur-ance premium in the Russian corporate life insurance segment was written by LLC IC SOGAZ-LIFE.

In 2011 the company was engaged in developing the segment of com-pulsory life insurance for government officials, servicemen and equivalent per-sons. SOGAZ-LIFE provided insurance coverage for government officials of the Russian Investigation Committee, Moscow City Duma, regional and city departments of internal affairs of the Russian Federation, etc.

A big stress was put on life and health insurance of bank loan borrow-ers – in 2011 the company’s insurance premium grew by 143 percent. A sub-stantial part of premium fell on life and health insurance programs in consumer lending. The company implemented a group life and health insurance plan for consumer loan borrowers and developed an additional employment risk reduc-tion program.

In 2011 SOGAZ-LIFE got a chance to work in the market of life and health insurance of patients, participating in a clinical study of pharmaceuticals. Respective regulations were worked out and the company started work with medical institutions holding research licenses.

Taking into account the prospects and potential of the mar-ket, SOGAZ considers it necessary to pursue moderate portfolio diversi-fication and build up a share of individual clients along with the necessary control over the technical result and loss ratio. During 2011 the company focused its efforts on improving customer services and development of proper-ty, life and health insurance programs. Rates were corrected and more flexible insur-ance conditions were offered.

The volume of written insurance premium with respect to private clients in the reporting period amounted to 3.3 billion roubles (with a growth rate of 108%). The premium grew primarily due to motor hull premium growth. The increase of motor hull premium as compared to 2010 amounted to 200 million roubles (18%). Motor hull share in individuals insurance portfolio raised from 35% to 39%.

Direct sales in the branches of the company are traditionally considered the main sales channel of the Group which is due to the company’s focus on work in the segment of corporate clients. Entering contracts through office sales channel allows to carry out quality underwriting analysis and maintain low loss ratio. At the present moment the share of this channel in the total sales of the Group amounts to 80%. In 2011 in order to implement development strategy in individuals insurance a task of sales channels diversification was set within retail and partner frameworks of insurance.

In the part of retail insurance the main efforts of the company in 2011 were focused on development and enhancement of Comprehensive insurance program for employees of corporate clients. At the end of the year within the territory of largest enterprises there were 800 mobile and stationary points of sale of SOGAZ insurance products for employees and their family members. Points of sale function in branches of Gazprom Group, Rostelecom, Rosneft, Rosatom, Novatek, SIBUR Holding, Russian Railways, Transaero, etc. The share of premium under the program amounted to 28% or 927 million roubles in absolute terms.

In 2011 SOGAZ actively increased partner sales through banks, car deal-erships and leasing companies. At the end of the year the Group cooperated with more than 300 banks, 100 leasing companies, 200 car dealerships, agen-cy for housing mortgage lending and its regional operators. SOGAZ cemented relations with its key partners in banking sector: Gazprombank, Sobinbank, Bank “ROSSIYA”. In the previous year the company obtained accreditation with Vnesheconombank, Uralsib, Raiffeisenbank, Novikombank, Rosenergobank, Otkritie bank, Bank Saint Petersburg, REB Leasing, Sollers-Finance, Absolut Leasing, etc. In the part of mortgage insurance cooperation agreement was concluded with the largest player in mortgage market – VTB 24 bank.

At the end of the year the volume of insurance premium with regard to clients of banks, car dealerships and leasing companies reached 2.6 billion roubles. The premium in banking risk insurance amounted to 0.9 billion roubles. The increase of proceeds of regional network amounted to 17% as compared to 2010, and 25% with respect to mortgage insurance.

> INWARDS REINSURANCE

In 2011 the volume of premium written with respect to in-wards reinsurance amounted to 2.49 billion roubles, which exceeds the result of the previous year by 30%. The share of premium in the Russian market amounted to 41%. In the part of inwards reinsurance SOGAZ devel-oped cooperation with the largest insurers of the country: OJSIC Ingosstrakh, OJSC AlfaStrakhovanie, OJSC Rosgosstrakh, CJSC IC TRANSNEFT, OJSC IC ROSNO (Allianz). Every year SOGAZ expands operations in international markets in the most prospective regions and cements relations with the world largest reinsurance companies and brokers. In 2011 the share of foreign risks in inwards reinsurance portfolio of the Group raised from 41% to 59%, at that the increase amounted to 64%.

SOGAZ was accredited as a foreign reinsurance company in Venezuela, Ecuador, India and Azerbaijan. In 2011 the company increased participation in reinsurance of risks of Venezuela national oil and gas corporation Petroleo de Venezuela S.A. (PDVSA) as well as in reinsurance contracts of PDV Insurance Company Ltd. (PDVIC).

In 2011 SOGAZ provided insurance and reinsurance coverage of foreign assets to the following key corporate clients: Gazprom Neft – NIS (Republic of Serbia), Gazprom Algerie S.P.A. (People’s Democratic Republic of Algeria) and EuRoPol GAZ S.A. (Republic of Poland). Large preparatory work to organize risk reinsurance of Joint Operating Company Vietgazprom was performed as related to risks of drilling operations offshore of Socialist Republic of Vietnam, risks of OJSC Gazprom Neft in projects of Badra field development in the Re-public of Iraq, exploration and development of Catoche-1 field offshore of the Republic of Cuba as well as a number of other prospective international pro-jects. The number of large reinsurance contracts was entered into with Hanno-ver Re, Sirius and GIC companies, and aggregate premium written under such contracts amounted to 11% of the total reinsurance portfolio.

Based on estimate of regional reinsurance markets potential growth and plans of Russian corporations related to realization of large energy projects SOGAZ progressively expands its presence as a reinsurer in CIS countries, South-East Asia, India, Latin America, Africa, Middle East.

> OUTWARDS REINSURANCE

In 2011 upon renewal of obligatory reinsurance contracts a number of important provisions was changed, price terms were improved and coverage was extended:

1. Under sea and cargo risk reinsurance contract the limits on obligatory programs were increased up to 50 million US dollars;

2. Under aviation hull the limits were increased up to 20 million euros;

3. There were included war risks related to aviation hull with a limit of 25 million US dollars.

Starting from January 1, 2012 a unique energy capacity was placed, which along with drilling risks, offshore projects on the operational stage (drill-ing fleet, platforms, pipelines) and offshore construction includes “Surface con-struction and installation risk” with limit of 30 million US dollars for drilling risks and 25 million US dollars for other sections.

The dedicated energy capacity UpstreamFacility was resumed with the limit of 1 billion US dollars, where new section “Surface construction and instal-lation risk” was included, which enables to add oil and gas, production and other construction facilities. Through use of this capacity the share of OJSC SOGAZ was increased in such projects as Sakhalin-2, Blue Stream and some others.

For risks exceeding the limit in Sea Obligatory Contract an additional program for 200 million US dollars was acquired in London market in excess of 50 million US dollars with fixed minimum premium rates based on declara-tions. The limit of reinsurance capacity placed in London market for terrorist and sabotage risk was increased up to 100 million US dollars.

One of the most important projects of the year was placement in interna-tional reinsurance market of unique project for construction of sea vessel with insurance with coverage of 1.7 billion US dollars.

Due to optimization of optional placements and use of obligatory pro-grams and capacities the company saved more than 900 million roubles, which exceeds the result of 2010 by 35%. The amount of claims paid under outwards reinsurance contracts received from reinsurers exceeded 1 billion roubles, which exceeds the result of 2010 by 43%.

> PROPERTY INSURANCE LOSS ADJUSTMENT

In 2011, SOGAZ fully complied with all the loss adjustment obligations assumed under effective property insurance contracts. A total of 53,400 claims were paid for the amount of about 8.2 bln roubles. Increase in claims paid as against 2010 was 17%.

In the reporting period, a number of large losses were adjusted, which happened as a result of man-made disasters and natural calamities (hurri-canes, forest fires, “ice rain”).

Regarding construction and installation risk, 9 insured events that arose in construction of pipelines were settled. The total claims paid made 400 mln roubles. Regarding insurance of wells during drilling operations , 44 losses were adjusted for the amount of 186 mln roubles.

Over 4,000 claims were paid out in 2011 in the amount of over 1.4 bln roubles to insured power grid enterprises, including the loss from the “ice rain” with the overall claims of over 700 mln roubles. In gas production and transportation sectors 183 claims were paid out in 2011 (a total of 2.09 bln roubles).

Under sea vessel and aircraft insurance contracts in 2011 SOGAZ paid 59 claims for the total amount of 390 mln roubles. Under railway infrastructure insurance contracts 52 losses were adjusted, with the amount of claims paid totaling 210.1 mln roubles.

Besides direct insurance, OJSC SOGAZ paid 270 claims under inwards reinsurance contracts for the total amount of 851.8 mln roubles, which is higher

than the figures of the previous year by 35% in number and by 75% in amount (199 losses were adjusted in 2010 for the amount of 488.5 mln roubles).

In 2011 SOGAZ, as before, paid great attention to improving the quality of services to individuals: client service centers were opened in 10 branches. In 2011, a process that had started earlier continued, consisting in transition to non-cash payment of claims to individuals using a single operational center in the Headquarters of the Company: 17 branches of the Company already worked through it by April 2012. Serious preparatory work was carried out to centralize subrogation activities under motor insurance contracts on the basis of Directorate for Loss Adjustment of the Headquarters in order to cut costs and unify handling of subrogation claims. As of April 2012, 43 OJSC SOGAZ branches were engaged in the centralization of subrogation activities under motor insurance contracts. 49,000 losses were adjusted under motor insurance contracts in 2011, with claims totaling 1.8 bln roubles.

> PERSONAL INSURANCE LOSS ADJUSTMENT AND PROGRAMS SUPPORT

SOGAZ provides its clients with medical and preventive help in the whole territory of the Russian Federation and abroad. In 2011 the total number of effective contracts with medical institutions was 4444, of which 1528 contracts with polyclinics, 1178 with day-and-night clinics, 1286 with special-ized dentistries, 422 with sanatory and resort institutions, and 30 with phar-macies. SOGAZ has 419 contracts with medical institutions in Moscow and Moscow Region, 3965 contracts in 78 regions of the Russian Federation and 60 contracts with foreign medical institutions.

SOGAZ is constantly working on improving the quality of insurance and medical services. An important part of this work is the compulsory medical and economic expert review of all invoices for health services as to conform-ance with contractual obligations. SOGAZ has on its staff 100 doctors with expertise in main medical specialties, including dentistry, cardiology, neurol-ogy, obstetrics and gynecology, general therapy, surgery, pediatrics. Work of expert doctors with the management of medical institutions is aimed not only at revealing violations in the provision of medical aid, but at their rectification and prevention in future. Timely identification of violations allows significantly reducing the risk of getting substandard medical aid and protecting the rights

of those insured. Field expert reviews of medical aid quality in 2011 were con-ducted in 858 medical institutions. Major medical institutions have their service quality reviewed monthly.

An effective tool to improve service quality is assessment of client satis-faction level with the medical aid rendered.

In 2011 SOAGAZ implemented an insured person survey mechanism us-ing questionnaires at the corporate website www.sogaz.ru. A feedback system was developed and implemented in order to obtain primary information from consumers of health services. Everyday monitoring of the electronic system for processing applications, complaints and testimonials helps to control the activities of medical institutions and consider the opinions of Company clients.

In order to arrange for medical aid and prompt consultation to voluntary health insurance policy holders SOGAZ has in place a round-the-clock support desk. Support to insured persons is provided by specialists with higher medi-cal education. The medical aid organization uses state-of-the-art filing systems and has a multi-channel telephone with an intellectual incoming call distribution system, owing to which clients’ time is saved and service efficiency improved.

In 2011 SOGAZ settled some 4,600 applications of persons seeking medical aid under personal accident and health insurance contracts for the total amount of 331 mln roubles. Large claims were paid out in connection with an accident at Surgut GRES-1, as a result of which 12 employees got injuries of various severity, a fire at a TU-154 plane belonging to Kogalymavia, a Yak-42 plane crash in Tunosha airport of Yaroslavl Region, which cut off the lives of 25 Yaroslavl Locomotiv hockey players.

Under insurance contracts covering expenses of citizens leaving their per-manent residence SOGAZ in conjunction with a service company arranged for provision of emergency medical aid, medical transportation services, includ-ing with the use of ambulance aircrafts in highly severe cases, to insured per-sons in more than 60 countries of the world. 2,28 insured events were settled, including claims under insurance against impossibility to go on trip.

The system of compulsory and voluntary health insurance implies liability of the insurer for the quality and scope of services re-ceived by a patient holding the insurance policy. However, the low quality of medical aid and undeveloped infrastructure still remain the basic problems of the Russian healthcare, and it will take long years to solve them.

SOGAZ is the leader of the Russian voluntary health insurance market, and in order to ensure business stability we develop our activities in various key directions: cooperation with the most reliable healthcare institutions, creation of own medical infrastructure, development of customer service.

The development of medical infrastructure within the scope of insurance business provides an opportunity to the Group to improve service efficiency under voluntary health insurance programs, ensure absolute control over treat-ment quality, volumes of health services rendered and timelines for providing aid. SOGAZ is working on a general development concept for its own medical infrastructure through pilot projects to create multi-field healthcare institutions and professional medical centers. Currently, health services within the Group are provided using the facilities of the specialized company Gazprommedser-vice and two clinics in Saint Petersburg.

Since 2003 service medical company Gazprommedservice has been providing health services, arranging for health-improving recreation and con-ducting organizational and methodical work. As part of health services the Company takes part in infrastructure development projects, including in relation to emergency aid, office and occupational healthcare.

At the premises of Medical Sanitary Unit No. 1 AMO ZIL Gazprommed-service has organized an ambulance substation that provides aid to adults and children, carries out medical transportation, attendance and hospitalization, takes duty at various mass events. Everyday line duties are carried by eight medical teams with various specialization: general therapy, pediatrics, intensive therapy team.

Within the scope of office healthcare project Gazprommedservice im-plements an investment program to create medical aid posts and compact medical centers in large multi-purpose business centers of Moscow. Currently, aid posts are working at office centers of OJSC SOGAZ and Gazprom Ener-godom, where therapists are practicing, pre-trip and post-trip medical ex-ami-nation of production employees and drivers are conducted, analyses are taken and temporary disability checks are carried out. Gazprom Energodom aid post also offers services of a dentist, cosmetician and massage expert. In the past year Gazprommedservice commenced creation of compact medical centers in business centers MonArch and Svyatogor in Moscow, where a broad range of services will be provided in the following areas: general therapy, dentistry, ul-trasound examination, ECG, gynecology, urology, ENT, procedure room, psy-chiatry, narcology, cosmetology, massage, driver medical examination, tempo-rary disability check.

In occupational healthcare Gazprommedservice implements joint pro-jects with major industrial enterprises under comprehensive occupational and preventive healthcare medical service contracts. In 2011, 16 aid posts were organized at the premises of Mosenergo production branches, work was car-ried out to create an aid post at Sheremetyevo Airport and an aid post at Yuzh-no-Tambeyskoye gas condensate field (Yamal LNG), a comprehensive project was launched to organize a whole network of posts to carry out pre-trip and post-trip driver medical examinations, mandatory preliminary and regular medi-cal examinations of MOESK production staff in Moscow and Moscow Region.

A priority task of Gazprommedservice in the midterm is implementation of a large-scale investment project to create SOGAZ Center for Occupational and Preventive Healthcare in Moscow consisting of Center for Occupational Healthcare, Training Center for medical staff training and retraining, and Center for Scientific Research.

In 2010 multi-field SOGAZ International Medical Center started operating within the Insurance Group in Saint Petersburg, which is equipped with the most up-to-date hardware and provides over 4,000 health services in 70 licensed areas. In 2011 the clinic obtained a quality management system certificate in conformity with ISO 9001:2008. SOGAZ International Medical Center combines a polyclinic, a day-and-night clinic, a diagnostic center, a clinical laboratory and round-the-clock emergency aid. The main areas of the center’s activities are emergency aid, emer-gency and routine surgery, day-and-night clinic unit , traumatology and orthopedics, radio diagnostics and clinical diagnostic laboratory, dentistry, sports and restorative medicine. At the end of 2011 the number of primary patients of SOGAZ International Medical Center was over 11,000 people. According to the strategy adopted, the clinic goes beyond working with persons insured under vol-untary health insurance programs and actively works in the open market, enter-ing into contracts for health services with private individuals and corporate clients, which accounted for 48% of the total revenues from services in 2011.

In order to broaden the range of health services provided SOGAZ PROF- MEDITSINA clinic was opened in Saint Petersburg in 2011. Ambulatory prac-tice in the clinic is carried out by all main specialists: general therapist, sur-geon, urologist, gynecologist, ophthalmologist, neurologist, ENT specialist, psychiatrist and narcologist. Patients are offered all types of laboratory studies, ultrasound and functional diagnostics. The main task of the clinic is to carry out health survey of corporate clients’ employees, mandatory preliminary and regular medical examinations, immunoprevention and pre-trip examinations of drivers. SOGAZ PROFMEDITSINA also has all what it takes to provide qualified health services at the premises of the client, when all patients may undergo all the necessary surveys without being interrupted in their work.

SOGAZ Group’s business is based on cooperation with major corporate clients, which include leaders of extractive industries involved in development of oil and gas fields in remote and difficult-to-access territories of the Far North, Eastern Siberia and continental shelf. One of the most serious problems in these regions remains the lack of or weakly developed medical infrastructure. At the same time, according to expert estimates, in the nearest future up to 100 specialists will be involved prospecting and development of continental shelf deposits, a significant part of which will consist of members of rotational teams. Extreme working conditions, including at offshore production platforms and vessels, increased risk of occupational diseases and traumatism, remoteness of working sites call for special requirements to employee healthcare system. In 2011, relying on its own experience of working with oil and gas enterprises in the Far North as well as using international and national industry standards of medical care, SOGAZ in conjunction with Shtokman Development AG, Ros-neft Oil Company, Sakhalin Energy and YAMAL LNG developed concepts of special occupational healthcare programs. These include a whole set of neces-sary medical actions and an infrastructure development plan for preservation of health and professional longevity of employees. The core of the concept is Occupational Healthcare Centers of universal format, ready to render primary high-tech medical aid in the nearest settlement. Owing to such Centers, em-ployees will get access modern prompt medical aid and employer will be able to monitor health condition through health surveys, medical examinations before and after the shift, etc. Occupational healthcare system at remote onshore or offshore sites implies creation on the platform or onboard the vessel of a medi-cal unit with a set of diagnostic equipment and medicines, recreational area, access to telemedicine system, and provides for possibility to carry out emer-gency evacuation in case of a severe disease or injury of an employee.

Step-by-step implementation of these programs will allow bringing the medical care provided to oil and gas companies’ employees as well as resi-dents of nearby districts adjacent to fields to a new quality level. Interest in tak-ing part in the projects is already declared by some investors.

A developed branch network gives a serious advantage to the In-surance Group when building stable and competitive business at federal scale. The main objective of the Company is to ensure presence in regions where strategic corporate clients of the Group operate and where there is a potential to strengthen positions through development of sales channels and attraction of new target segments .

By the beginning of 2012 OJSC SOGAZ regional network counted 65 branches and 83 offices in all regions of the country. 14 new branches were created in 2011. Currently, SOGAZ Insurance Group operates about 600 divi-sions and sales offices.

When developing the branch network, special attention is paid to deter-mining the most expedient forms of presence in regions of concern, creating an effective organization structure and ensuring uniform service standards. Since 2008 the Company has in place a three-level management system that distrib-utes powers between the Headquarters, territorial directorates and branches. Directorates are created on geographical principle and carry out immediate control over the work of Company divisions within federal districts. They face the tasks of sales development and territorial coverage expansion, business process streamlining and administration of subordinate branches. The system of directorates allowed increasing the quality of work of branches and creating conditions for further efficient growth of the network. In order to optimize the financial model for network management accounting and financial functions of branches were centralized in the Headquarters on the basis of a single opera-tional center in 2011.

Development of SOGAZ Common Insurance Centers project was contin-ued in 2011. Today, these centers unite 220 divisions and 51 branch and pro-vide an opportunity to the clients to get insurance and services under insurance contracts of all the Companies of the Group at one place.

SOGAZ Group Development Strategy implies participation in the insurance of largest transnational projects and independent work in the insurance market.

Throughout many years SOGAZ has been the insurer of largest field development and energy carrier transportation projects: Blue Stream, Nord Stream, Sakhalin-1 and Sakhalin-2. In 2011 strategically important arrange-ments were realized regarding the transfer to SOGAZ for insurance of 100% risks under the Blue Stream projects, in which the Company has been partici-pating for over 10 years at different stages of construction and operation of the gas pipeline. Within the scope of the Nord Stream project in 2011 SOGAZ insured construction and installation risks and hazardous production facili-ties and the pipeline at the phase of operation. In development of oil and gas fields within the Sakhalin-2 SOGAZ insured ground and sea assets as well as construction and installation risks. Moreover, it was agreed to include OJSC SOGAZ own reinsurance capacity in the reinsurance program for the offshore assets of Sakhalin Energy.

The key achievement of the year for strengthening SOGAZ positions as an insurer of important infrastructure facilities in power industry was approval of the Group as the insurer of the Shtokman project and conclusion of first con-tracts within the project.

One of priority directions of Group’s activities remains development of international business and creation of conditions for efficient work with Russian companies carrying out transnational business. In the past year SOGAZ started operations in Europe by involving in the implementation of its strategic goals a German company SOVAG and own insurance company SOGAZ a.d.o. Novi Sad in the Republic of Serbia.

SOVAG Insurance Company was founded in 1927, and today the com-pany has offices in Hamburg, Cologne, Berlin, London and Vienna. SOVAG is licensed to carry out most types of insurance and conduct reinsurance activi-ties, and the core activity of the company is insurance of risks of industrial and

trading companies. At the end of 2010 SOGAZ acquired 45.9% shares in the German insurer in order to ensure optimum conditions for support and servic-ing of international projects of Russian clients of the Group abroad, including the participants of the Nord Stream project. As part of these work cargo insur-ance contracts were concluded in 2011 with SIBUR International and Gazprom Global LNG. At the beginning of 2012 SOGAZ obtained control over the com-pany through buying out 5% shares from a Luxemburg investment fund Volga Resources, thus increasing its interest to 50.9%.

Official start of own insurance company in Serbia was the completion of a long preparatory period and became a yearly result of strategic importance for SOGAZ. The founders of SOGAZ Novi Sad were SOGAZ (51% capital) and the leader Serbian gas industry, state enterprise JP Srbijagas (49% capital). Authorized capital of SOGAZ Novi Sad amounts to 6 mln euro. A decision to enter the Serbian insurance market was made in 2010, in December 2011 the new company obtained a license of the National Bank of Serbia, and in the be-ginning of 2012 it commenced operations. The share of SOGAZ Novi Sad in the Serbian insurance market (except for life insurance) on the first level is planned to reach 3%. During this period the main clients of SOGAZ will be Serbian enterprises with Russian capital interests, such as Oil Industry of Serbia, Yu-goros-Gas, Banatski Dvor underground storage facility, as well as companies implementing a strategically important project South Stream. SOGAZ Novi Sad will be able to fully realize the experience and capabilities of the head company in insurance of risks of fuel and energy enterprises operating in the territory of Serbia, such as Gazprom, Gazprom Neft, Zarubezhneft and others. The main emphasis will be placed on insurance of production facilities, oil tanks, storage facilities, other buildings and structures as well as transport, special vehicles, cargoes and civil liability. Further development strategy of the Company implies a step-by-step diversification of the portfolio and entrance into mass segments of the insurance market.

BH-EFFECT

><Cherepovets Steel Works has started production of BH- effect (BakeHardening effect) zinc-coated rolled steel for the automobile industry. The steel is easy to forge and parts made of it become harder in the process of thermal drying of coating. This process enables better protection of external car panels and meets the requirements of international car-makers.

In the course of management of its investment portfolio SOGAZ pursues a moderate conservative strategy. The principal require-ments to investment assets, in the order of their priority, are reliability, liquidity and profitability.

The purpose of the risk management system is to protect the company’s interests through ensuring a proper level of reliability and keeping the accepted aggregated risk at the level meeting the requirements of statutory acts of state regulatory agencies and own strategic missions. The strategy of investment risk management is based on the principle of operation without loss and is directed to ensuring an optimum balance between profitability and the level of accepted risks. The top priority is to ensure maximum preservation of assets and capital based on risk minimization.

In 2011, when forming the investment portfolio, priority was placed on fixed income instruments, deposits opened with major banks and bonds of highly reliable issuers.

Despite the high volatility on the stock market and significant interest rate fluctuations in 2011, the company managed to reach budget targets in invest-ment activity. In 2011 financial investments of OJSC SOGAZ increased by 11 billion roubles and exceeded 63 billion roubles. Based on accounting figures, the investment income totaled 2,635 million roubles. The yield of the current investment portfolio totaled 6% per annum.

OJSC SOGAZ manages its investment portfolio in accordance with the Rules of insurance reserves allocation approved by Order No 100h of the RF Ministry of Finance dated August 8, 2005 and the Requirements for the compo-sition and structure of assets accepted to cover insurer’s own funds approved by Order No. 149N of the RF Ministry of Finance dated December 16, 2005.

Qualification and loyalty of employees at all levels of respon-sibility — from top managers to line managers and specialists — play the key role in the company’s successful development. Therefore the main objectives in personnel management are keeping the best employees, attract-ing new competent professionals and development of personnel pool through creation of an efficient system of career development and good motivations.

By the end of 2011 the total number of employees of SOGAZ Insurance Group was 5,580 people. OJSC SOGAZ headcount was 3,715 people, includ-ing 809 people in the Head Office and 2,906 people in company’s branches. 1,865 people work in Insurance Group subsidiaries.

The core of SOGAZ personnel is made up by specialists oriented to ac-tive work and development of their professional competences. Almost 40% of company’s employees are under 30 years old, 30% of employees are from 30 to 40 years old, 17% of employees are from 40 to 50 years old. Women total about 70% of OJSC SOGAZ employees. About one third of all employees have been working for the company for over five years and plan to develop their careers in it.

In 2011 the priority directions in the Group HR policy were personified assessment and quality development of personnel. Comprehensive evaluation was made to assess knowledge and skills, management competences and business qualities of employees. 1,119 people were evaluated during the year, including 115 people in the Head Office and over a thousand people in the branches. Comprehensive assessment of activity of 43 deputy directors of the branches was made as a part of the evaluation. The evaluation included dis-tance testing in professional competence and individual interviews. The evalu-ation covered the ability to analyze problems and take decisions, the level of responsibility and the ability to cooperate with colleagues. Based on evaluation results, the OJSC SOGAZ Center for personnel evaluation and development has launched programs for development of management competences of man-agers for 2012.

Last year programs for training and professional development were paid much attention to. 2,570 employees were trained in various areas. About 80% trainees were branch employees who were trained using modern communica-tion forms and methods, including distance training and webinars.

In 2011 SOGAZ activated its work for hiring best graduates of Russian universities and institutes. 124 students had traineeship in the Head Office and regional departments. It in 2.5 times exceeds the number of trainees in 2010.

In order to promote employee’s loyalty in 2011 the social package was updated, the incentives system was improved, more flexible work-rest sched-ules were introduced. Over the last years the company has held the Best in Profession competition, which makes it possible to appreciate achievement and reward the most efficient specialists in the Head Office and Branches.

The Group’s scope of activity suggests creation and constant devel-opment of efficient communication between employees. For this purpose, the multi-page SOGAZ-News corporate edition was issued; a corporate Internet portal has started functioning, uniting all topical and useful information related to the Company’s activity and staff work.

><of the Kalinin Nuclear Power Plant was put into operation in November 2011. The 1,000 MW equipment for the turbine plant was manufactured by Power Machines. In December, the capacity increased by up to 50% to start pilot operation.

In 2011 the main efforts in the sphere of information tech-nologies were made towards creation of technical infrastructure in the OJSC SOGAZ Head Office new building, expansion of the functions of the corporate information system and creation of the corporate Internet portal (Intranet).

The Data Processing Center was put in operation in the company’s Head Office to ensure the uninterrupted operation of the corporate services, i.e. ac-counting system, electronic document management system, CRM, mail, tel-ephones, Internet, etc. In order to control the Data Processing Center an auto-mated dispatching video surveillance and control system was created for 24/7 monitoring of engineering systems.

In 2011 all OJSC SOGAZ branches were connected to the corporate business analysis system Oracle BI, which provides analytical information for all units and significantly improves their efficiency. The issues of process auto-mation for business and management accounting, follow-up of insurance and reinsurance contracts, loss adjustment and centralization of financial functions were settled in the course of development of the operating information systems. Beta testing was conducted for tool of underwriting of quotes by corporate and retail sales in the CRM-system. The functions of the electronic document man-agement were significantly expanded, that, in particular, resulted in reducing the number of hard copies.

Development of internal communications and need in creation of a con-venient and replete information field for all company’s employees resulted in creation of a corporate Internet-portal, which started functioning in 2011. The portal systematizes useful and actual information, features a newsline, search engines, has regulatory documents and special and service materials neces-sary for work. The portal has become an effective tool for optimization of busi-ness processes and information exchange inside the company; it has united employees of the Head Office and regional branches.

Every year SOGAZ takes part in charity projects for support of social-ly vulnerable and talented children, improvement of material bases of daycare services, development of the healthcare system and co-financing of complex treatments. Over many years the sports of records has been the main direction in SOGAZ sponsorship projects.

> CHILDREN CARE

Creation of comfortable living conditions and conditions for learning and development in educational and specialized institutions re-mains an important social task for the Group. In 2011 significant funds have been allocated for repair works and purchasing of a jungle gym for Lycee No. 1 in Salavat, repair of nursery school No. 82 in Sterlitamak, reconstruction of nursery school in Limansky district of the Astrakhan region, equipping game rooms of the Volokolamsk social-rehabilitation center for the minors. A special sensor room, one of the first in the region was equipped in the Lesozavod-skoy children’s home in the Primorie Territory. Besides, the doctor’s office was equipped, educational games and sports equipment was purchased. In 2011 the Insurance Group participated in construction in Pavolovo and Lukoyanov of the Nizhny Novgorod region of two sport and recreation centers with multi-functional gyms, hockey pitches and pools where local children teams train.

Last year the Group branches financed purchasing of books, stationery and educational programs for children with disabilities and special correction centers in Khabarovsk, Tomsk, Nefteyugansk and Saint Petersburg.

Over many years SOGAZ has supported charitable foundation Illustrated Books for Blind Children. Last year the Group allocated funds for publication of special books for blind and deaf children from children’s home in Sergiev Posad of the Moscow region.

Traditionally the Insurance Group supports talented children helping them to organize the Child’s Voice, a contest of essays, pictures and photos, in which thousands of children from Russia and CIS countries take part.

Since 2008 SOGAZ has been implementing a program of health-improv-ing rest for children from children’s homes, disadvantaged and troubled fami-lies. Over the last four years over 250 schoolchildren from 8 to 14 years old from the Sakhalin, Tomsk, Yaroslavl, Moscow, Vologda, Volgograd Regions, the Primorie and Krasnodar Territories have participated in the program. In 2011 it was decided to expand the charitable programs and arrange trips for talented children and families of military people killed on duty. Members of cho-reographic team Double Ton from the Moscow Region made an exciting jour-ney to Gelendzhik. 25 families from different regions, including mothers with children, the youngest being a little over one year, went for treatment to the best rest homes of the Altay Territory, Sochi and Karlovy Vary.

> HEALTH CARE

SOGAZ is an active participant in the compulsory and vol-untary health insurance market and it acknowledges importance of the healthcare infrastructure development in regions and rendering targeted assistance to children in need of complex treatment.

In 2011 the company continued co-financing of the target program De-velopment of healthcare and improvement of public medical aid organization in Limansky district of the Astrakhan Region; money was transferred for capital re-pairs of the midwife station in Protochnoye settlement as a part of this program.

Funds were donated for repair works at Maternity Hospital No. 4 and City Clinical Hospital No. 31 of Moscow, reconstruction of the Children’s City Hospital in Salavat, equipping the Republican Children’s Hospital in Elista, Re-publican Clinical Hospital named after Kuvatov in Ufa, Specialized Clinical Chil-dren’s Infectious Diseases Hospital in Krasnodar.

A modern dialysis center equipped with twelve hemodialyzers, which al-lows rendering daily vital medical assistance to about one hundred patients, was built on the bases of the medical unit of the Irkutsk Aviation Production Association with active participation of SOGAZ Insurance Group.

Supporting low-income families with children that need expensive opera-tions, SOGAZ tries to help parents raise money for treatment and rehabilitation. Last year target financial assistance was rendered in Tyumen, Saint Petersburg and Yaroslavl.

> SPORTS

For many years SOGAZ Insurance Group has been support-ing professional and amateur sports, taking part in national projects and rendering assistance to regional teams. SOGAZ’s strategy is connected with partnership in amateur sports, with football and hockey occupying a unique position among them.

Starting with the first season of 2008/2009, the Group has been a perma-nent partner and insurer of the Continental Hockey League providing insurance for life and health of team players and referees and liability of organizers of mass events. Assisting in junior sports development, the Group for the second time supported the Tournament of CHL Junior Hockey Teams Gazprom Neft Cup, which was held in April 2011 in Omsk.

Expanding the range of national sports projects relevant for the com-pany, since 2010 SOGAZ Insurance Group has been the general partner of the Russian National Football Team. In 2011 the Group was the title sponsor of the Russian Football Championship.

For the past 5 years SOGAZ has been cooperating with the best Russian football teams – Zenit (Saint Petersburg). SOGAZ provides insurance cover-age for players, trainers, club personnel and arranges medical assistance at all home and away Zenit matches.

In 2011 the Group broadened its cooperation with Russian sports and became an official partner for the Russian Ski Mountaineering and Snowboard-ing Federation, and an official insurer of the Russian women’s national basket-ball team.

As in the previous years, the company continued successful cooperation with Spartak basketball club (Saint Petersburg), Fakel Gazproma ping-pong club (Orenburg), Gazprom Yugra mini football club, providing financial support and insurance coverage for them.

ZENIT

RUSSIAN CHAMPION

><In the 2011/2012 season Zenit (Saint Petersburg) won the Russian Football SOGAZ Championship. Having won 24 matches out of 44, Zenit was 13 points ahead of its immediate followers and for the second time was recognized the best football club of the country.
