A. The buyer must clearly understand that MSTC/DVC do not guarantee the correctness or accuracy of any description printed, read out or verbally declared. The customer must satisfy themselves on all aspects pertaining to the nature, quantity, quality, other technical specifications, taxes-duties and legalities prior to bidding in the e-auction. No complaint, whatsoever, would be entertained after the submission of the bid.B. IF THE SUCCESSFUL BIDDER/PURCHASER WHO IS AWARDED THE CONTRACT FAILS TO MAKE THE FULL PAYMENT OR FAILS TO LIFT THE MATERIALS IN FULL WITHIN THE STIPULATED PERIOD, THEN DVC RESERVES THE RIGHT TO FORECLOSE/CANCEL THE CONTRACT, AND IN SUCH AN EVENT, THE ENTIRE AMOUNT AVAILABLE WITH DVC/MSTC (FOR THE UNLIFTED QUANTITY) UNDER ANY ACCOUNT HEAD AND THE SECURITY DEPOSIT, SHALL BE FORFEITED.I. Bidder should quote the rates of the plants, auxiliaries and complete work of levelling of the site up to ground level/base level, as one lot on AS IS WHERE IS BASIS and NO COMPLAINT BASIS. J. Materials/Items which are excluded from sale, i.e., do not fall under the purview of this sale are as per clause No. 21.0. SPECIAL TERMS AND CONDITIONS1.0The entire offer shall be valid for a period of 90 days from the date of closing of e-auction. Bidding shall be for the entire/complete lot against this e-auction. Bids for part of lot will not be accepted by the portal. 2.0PRE-BID EARNEST MONEY DEPOSIT/EARNEST MONEY DEPOSIT (EMD):Pre-bid EMD of Rs. 05 CRORE (RUPEES FIVE CRORES) is to be deposited with MSTC in the form of DD/PO in favour of MSTC LIMITED payable at New Delhior through RTGS in MSTC Bank Account (as per MSTC Bank Details mentioned in Clause 7.1 of the Special Terms and Conditions, i.e., ACCOUNT NO. : 019081400000064, Bank Name - Yes Bank, RTGS/NEFT/IFSC CODE: YESB0000190, MICR CODE : 700532004) latest bydt. 13.07.2015. ONLY THOSE PARTIES WHO HAVE DEPOSITED PRE-BID EMD SHALL BE ALLOWED TO PARTICIPATE IN THE E-AUCTION. This Pre-Bid EMD of Rs. 05(Five) Crores of successful bidder will be converted into Security Deposit and shall be refunded to the successful bidder only on completion of the contract, i.e., issuance of No Objection Certificate by DVC, CTPS.3.0 SECURITY DEPOSIT : The pre-bid EMD of the successful bidder will be automatically converted into Security Deposit on issuance of Sale Order/Acceptance Letter by MSTC. The above security deposit will be returned by MSTC only on successful completion of the job (contract) in all respects including dismantling of foundations to ground level/ base structure level and only after issuance of NOC (No Objection Certificate) by CTPS, DVC, Chandrapura. No interest whatsoever will be paid on the said security deposit. 4.0 INSPECTION : The materials offered for sale must be inspected prior to due date of e-auction. For inspection & other related matters, bidders may contact Shri B.N.Saha, Chief Engineer & HOP CTPS, DVC Chandrapura on Landline No. 06549242272 & Mobile No. 09431126744, Fax No. 06549242272 or Shri Sumesh Kumar, ACOS DVC Chandrapura Thermal Power Corporation (CTPS) on Landline No. 06549242272 and Mobile No. 09470510908. The bidders should thoroughly satisfy themselves about the nature, specifications, physical conditions, quantity, quality, place of existence of the materials and working conditions at site. MSTC/DVC provides no guarantee or warranty as to the condition of the material / its quality / its fitness for any specific purpose or use. It should be clearly understood that no claim / complaint about the quality, specifications, quantity, conditions or fitness for use shall be entertained by MSTC/ DVC once a bid has been registered into the e-auction floor of MSTC.NOTE : Interested bidders are advised to get in touch over the phone with the above officer of DVC and fix the date of inspection of the Power Plant, so that they are not put to any inconvenience during this period.5.0. CAVEAT EMPTOR:5.1. The quantity, quality, measurement and condition of the materials indicated are all approximate. Participation and bidding by anyone in this sale shall be treated as conclusive evidence of the fact that the party has inspected the materials offered for sale and satisfied himself in all respect regarding quantity, quality, measurement, weight and condition of materials, taxes and duties, local working condition and other extraneous factors and principle of Caveat Emptor (let the buyer beware) will apply.5.2. It shall be implied and taken for granted that the party has carefully gone through and understood the terms and conditions of e-Auction including the amendments if any, prevailing at the time of bid. No complaints or objections shall be entertained by DVC/MSTC and/or the Authorities after the bid is opened/accepted.5.3 DVC / MSTC does not give any warrantee or guarantee for the quality, chemical composition of each individual items in the lot or about the end use or fitness for a particular purpose.6.0 SALE ORDER : It will be at the sole discretion of DVC to accept or cancel the sale without assigning any reason. The contract shall be treated as having been entered into as soon as a Letter of Acceptance / Sale Order is issued to the successful bidder by MSTC on behalf of DVC. The contract shall be deemed to be completed as soon as the entire area is cleared by the buyer of the entire materials allotted or on completion of the period of contract, whichever is earlier. 7.0PAYMENTS : 7.1 The cost of material, along with all applicable taxes and duties shall be paid by the buyer in four equal instalments in the form of DD/ Pay order of any nationalized/scheduled bank as per the following details:a) 3% of each instalment material value + Service Tax on it only in favour of MSTC Limited payable at New Delhi

b) Balance of each instalment material value plus applicable taxes on the instalment value in favour of Sr. Addl. Chief Accounts Officer, DVC, Maithon Or through NEFT/RTGS as per the following Bank details:

7.2 First instalment shall be deposited within 15 days from the date of issuance of Letter of Acceptance / Sale Order (including date of issue) by MSTC. It would however be obligatory on the part of the Purchaser to deposit the 2nd, 3rd and 4th instalments within a period of 40, 180 and 360 days respectively from the date of issue of Letter of Acceptance / Sale Order (including date of issue) by MSTC. Alternately, the entire amount may be deposited in single instalment within 7 days from the date of issue of letter of acceptance. It would also be obligatory on the part of the Purchaser to deposit the instalment(s) as per schedule without any notice / reminder from DVC/ MSTC. After making the payment for the first instalment, the buyer will be allowed to dismantle the first segment only. The purchaser shall be allowed to start dismantling of the first segment on depositing of the first instalment, dismantle and lift the material of the first segment after deposition of 2nd instalment and so on, as per the table below. NB :-If the Purchaser deposits the entire amount in a single instalment along with all taxes, he will be allowed to dismantle & lift the material of the first segment first, then of second segment and finally of the entire material. In such a case, prior approval for sequence of dismantling shall be obtained by the purchaser from the C.E. & HOP, CTPS, Chandrapura.7.3 The present applicable VAT (Sales Tax) is 14.0 %. However, any taxes/duties applicable on the transaction at the time of delivery of the goods will be borne by the purchaser at actual. 7.4 The purchaser may clearly note that all the taxes, duties, levies, etc., if any is levied/imposed by any Statutory Authority till the final conclusion of the contractual period/ contract shall be borne by him/them including the interstate transactions and DVC shall not be responsible to pay the same, if any, since the sale is on AS IS WHERE IS BASIS AND NO COMPLAINT BASIS EX WORKS OWNER.7.5 LATE PAYMENT PENALTY : Incase of default in payment within the stipulated time, Late Payment Penalty @ 1% per week or part thereof for the full instalment material value shall be charged upto two (2) weeks. Acceptance of late payment beyond two weeks and thereafter shall be at the sole discretion of DVC. However, DVC/MSTC reserves the right not to accept the payment with or without the additional charges after the expiry of the above mentioned free time limit or even within or after the aforesaid additional period of 14 (fourteen) days and in such an event the contract shall be automatically terminated and in such an event the entire amount available with DVC/MSTC (for the unlifted materials) under any account head and the Security Deposit, shall be forfeited.8.0 DELIVERY:-8.1 The delivery period for the listed items of the plant including dismantling, cutting, bringing down to ground level and taking out from DVC, Chadrapurapremises is 18 months from the date of first delivery advice (including the date of issue) by DVC. 8.2 The delivery of the material will be item-wise in FOUR SEGMENTS (against payment in 4 instalments as mentioned in clauses 7.1 and 7.2). 8.3 Vehicles deputed for disposal of the material(s) should report for loading in early hours in such a manner that requisite time is available for loading and vehicles are released before closing of the working hours i.e. at 17:30 Hrs. 8.4 The successful Buyer shall dismantle and lift the listed material mentioned in the specified lot allotted to them by employing their own labour and at their own cost. The material in all the segments shall be lifted from the area within the prescribed period of 18 months allowed from the date of first delivery advice (including the date of issue) by DVC.8.5 The material will have to be removed on AS IS WHERE IS & CLEAN SWEEP BASIS and at the buyers own cost and expenses. No processing, whatsoever, other than dismantling, required for convenient transportation, will be permitted by DVC. The buyer shall not be provided with any work force or equipments. The buyer would have to arrange for all the equipments as may be needed for dismantling and transportation including Dozer, Scrapper, Cranes, Gas, etc. However, Power, Water or other facilities available with DVC may be considered to be made available to the purchaser on chargeable basis, as per DVCs rules, the details of which the bidder/buyer may see and satisfy himself from the Site Incharge. While removing materials of one segment, the other segments materials should not be disturbed /damaged.9.0 REMOVAL OF PLANT MACHINERY/ EQUIPMENTS9.1 Successful Bidder / Buyer will submit a plan for dismantling / demolishing, transportation of dismantled materials / accessories, equipments from the site prior to actual start of the work for obtaining approval of DVC. The material stored/dismantled first should be removed first. The time schedule and sequence of the dismantling & removal of material shall be prepared by the Buyer as per the dismantling & lifting schedule table under clause 7.2 & as per the segments indicated under clause 7.0 and its prior approval shall be obtained from the C.E. & HOP CTPS, Chandrapura. The approved dismantling & lifting schedule shall be strictly adhered to. The buyer should note that they shall be allowed to lift the materials only after consultation /permission with the concerned sectional head.

9.2 In case of any default in lifting the materials by the buyer within the specified time limit of 18 months, the outstanding materials would be allowed to be lifted within 05 weeks from the permitted date subject to payment of ground rent @ 1% per week or part thereofofthe entire value of the last instalment. It will be the sole discretion of DVC to allow or not to allow the buyer to lift the material with or without the ground rent after expiry of the full contractual free delivery period or even within the aforesaid additional period of 05 weeks. However DVCreserves the right not to accept the ground rent payment after the expiry of the above mentioned free time limitor even within or after the aforesaid additional period of 05 weeks and in such an event the contract shall be automatically terminated and in such an event the entire amount available with DVC/MSTC (for the unlifted materials) under any account head and the Security Deposit, shall be forfeited. 9.3 During dismantling /demolition precautionary measures are to be taken to avoid any type of damage to systems linked with the running Units nos. 1, 2 & 3 and any environmental pollution. If any damage occurres, then successful bidder is required to be taken immediate remedial action at their own risk and cost. 9.4 Dismantling and transportation of the goods shall be the responsibility of the buyer at his costs and risks. It shall be obligatory for them to take safety precautions as per applicable laws/rules.9.5 Chimneys are to be demolished up to ground level by erecting scaffolding etc. Explosives are not allowed to be used. 9.6 DVC or its authorized representatives shall have the right to stop dismantling and loading of the material if they feel that the buyer or his representatives are not following the instructions given to them or the job is not being carried out in accordance with the provisions of terms & conditions of Contract and buyer will be solely responsible for the same.9.7Dismantling/removal of materials on Pick & Choose basis shall not be allowed.9.8 Removal and transportation of materials shall be done only during general shift hours of DVC. No materials will be allowed to go out after 5.30 P.M. on week days. Similarly, no materials will be allowed to go out on Sundays and holidays. Suitable security arrangements should be made by the buyer to look after the sold goods, his tools & tackles and other materials/stores, for which private security guards may be engaged by the buyer, round the clock, with prior intimation in this regard.

9.9 The buyer shall not be allowed to store the material on the road sides which may cause hindrance in movement on the road or cause inconveniences to public.9.10 The buyer shall not be entitled to resale any of the material equipment/items sold to him by DVC while these goods are still lying within the premises of DVC. No delivery of material would be affected by DVC to any persons other than the buyer or his authorized representative.9.11 The buyer shall comply with all statutory provisions as applicable.9.12 The buyer has to dismantle and remove the plants and equipments, wherever the equipments / machineries which are subject of sale.9.13 Dismantling of plant, removal and sweeping of debris/waste arising out of dismantling shall be carried out simultaneously.9.14 The buyer should arrange to dump the debris / waste material to an authorized dumping place at his costs and risk.9.15 If at any time after sale order /delivery order is issued, DVC wants to retain any item/items for their own use, the buyer will have to release such items which shall be compensated with equivalent materials by

DVC as per DVC Engineer's assessment and the same will be binding on the buyer.9.16 Stacking and removal of dismantled material should be in a manner so as not to disturb the normal working.9.16 For dismantling blasting will not be allowed. however vendor can use

pneumatic hammers for breaking the hard foundation of turbine, chimney, cooling tower, boiler etc.

9.18 Electric Hazards : The Buyer shall take all adequate measure to prevent any worker coming into physical contact with any electrical equipment, machines, online/live electrical circuits which may cause electric hazards during the work.

10ENGAGEMENT OF LABOUR :10.1 The recruitment of labour should be in accordance with the labour laws of Central Government/State Government.10.2 The Buyer will be required to declare the names of their authorized representative, supervisors and work force and ensure availability of register at site bearing their names, photos, designations, rate of pay, permanent and local addresses, phone nos. etc with their authorized site In-charge.10.3 The entry of the employees of the Buyer shall be regulated through the valid gate passes issued by the Security Officer of DVC on the recommendation of the Engineer In-charge at site. All rules enforced from time to time in this respect shall have to be followed by the buyer.10.4 The payment of wages to the labour/staff of the Buyer will be the sole responsibility of the buyer. However, it will be obligatory on the part of the Buyer to ensure presence of the representative of the DVC on the day of wages payment. In case of any dispute regarding payment ensuing in creating disturbances, DVC will have the right to intervene on the issue and go through the wage/ pay register of the Contractor, if necessary, to decide the conflict/issue and such decision shall be binding on the buyer.10.5 The Buyer shall have to follow all other statutory obligations from time to time as per labour laws enforceable in the State of Jharkhand.10.6The buyer shall not deploy labour less than 18 years of age for any of the above work at CTPS, DVC, Chandrapura. 11.0 MINIMUM WAGES : The buyer shall pay not less than minimum wages to the labour engaged by him on the work. Minimum wages means the wages prescribed by the State or Labour Department of the District or place in which work is done.12.0 INDEMNITY TO DAMAGES AND INSURANCE 12.1 The Buyer shall indemnify DVC/MSTC for all acts / commissions or omissions of its Engineers/officials, their agents or employees from and against all losses and all claims, demands, payments, suits, actions, recoveries and judgments of every nature and description brought or recovered from DVC/MSTC during execution of the work. An indemnity bond to this effect will be submitted by the contractor to the Site in-charge. 12.2 The Buyer shall also indemnify DVC/MSTC against payment under the workmans compensation act, which DVC/MSTC may suffer, sustain or be in any way subjected to be reason for injuries to the Buyers or the Owners employees, or other person or damage to the property of any person or corporation arising out of or resulting from the performance of the work of this contract. 12.3 Workmens compensation policy shall contain waiver of the insurers right under the workmens compensation law to recover from the owner compensations and other expenses paid for any injury to or death of any employee of the purchaser who is performing be covered by the contract.12.4 The Buyer shall pay all costs and maintain throughout the period of the contract, public liability and property damage liability insurance with the following coverage:-(i) Public liability limits for bodily injury or death not less than Rs.1,00,000/- per person and Rs. 2,00,000/- for each accident.(ii) Property liability limit for each accident not less than Rs.one lac.12.5 The owner shall have the right at any time to require public liability insurance and property damage liability greater than those specified in sub-sections (12.4) above. In any such event, the additional premiums payable solely as the result of such increase in insurance shall be added to the contract sum.12.6 In addition, the Buyer is fully responsible for all the equipment and material for damage or loss from any cause during transition and/or while in custody of Buyer at his works site until his complete work is formally accepted by DVC.13.0 PROVIDENT FUND / ESI REGISTRATION :-The successful bidder will be required to furnish the provident fund code number in respect of provident fund contribution by the firm against the wages to their employees deputed for work and should also be registered under ESI as per statuary Act / Rules. The successful bidder has to submit copy of Challan for depositing contribution to these agencies along with his bill to Engineer in-charge, if applicable, every month. 14.0 SAFETY :14.1 No work of dismantling will be allowed unless a valid safety permit to work for the particular job/section is issued by the authorized representative of DVC and duly countersigned by the representative of the Buyers Safety Officer. The Buyers Supervisor in whose name the permit to work is issued shall be responsible to supervise the job in person, ensure its smooth performance and his presence at site during the work shall be deemed compulsory. The permits to work are to be renewed daily before starting the job for which safety permit to work has been issued. The safety permit to work has to be returned to the authorized representative of DVC every day.14.2 The Buyer shall be responsible to follow safety instructions as per the safety permit issued to him and other safety regulations of DVC/State Govt. and will ensure that no accident or damage to either man or machine inside the CTPS, DVC, Chandrapura premises takes place. Any loss/ accident on this score will be dealt in accordance with the Factory rules and Buyer shall be liable for the same.14.3 Any loss/damage caused to the property of the DVC has to be made good by the Buyer as per the assessment of the Committee constituted by the DVC management whose decision shall be final and binding on the buyer.14.4 Gas cutting work to be carried out by the Buyer in the course of dismantling work etc. will be allowed only under the supervision of the Buyers supervisory personnel who will ensure that all safety precautions have been taken including; those for prevention of fire in and around the area.15.0 LABOUR/ HEALTH/ SAFETY CONDITIONS :PROVISIONS OF WORKMEN COMPENSATION ACT :-15.1. In every case in which, by virtue of the provision of Sec. 12, Sub-Sec.(i) of the Workmen Compensation Act,1923 or any other law for the time being in force, if DVC is obliged to pay compensation to a workman employed by the Buyer in execution of the works, DVC is entitled to recover from the buyer the amount of the Compensation so paid, and without prejudice to the rights of DVC, Under Section -12, Sub-section (2) of the said Act or any other law for the time being in force, except on written request of the Buyer and upon his giving to DVC full security for all costs for which DVC might become liable in consequence of the contesting such claim. 15.2 In addition to the above, in the event of death of the Buyers employee while on duty, an immediate ex-gratia payment of Rs. 10,000/- (Rupees Ten Thousand Only) should be paid by the Buyer to the dependants of the employee. In case the Buyer fails to pay such amount, as mentioned above, the DVC management may pay the amount to the deceased employees dependent and recover the amount from the buyer.15.3 It shall be the responsibility of the buyer to fulfill all statutory obligations in respect of labor laws and therefore, shall keep DVC indemnified for all the consequences in case of any default of any kind in this regard. 16.0 STATUTORY REQUIREMENT: The bidder shall abide by all Acts notified by the Govt. of India, Govt. of Jharkhand from time to time to the extent they are applicable during the execution of the contract. Further, the bidder should comply with all statutory requirement/ clearances in respect of laws, regulations and procedures governing this contract. 17.0SERVICES TO BE RENDERED BY DVC WITHIN THE PREMISES: Electricity up to a specified point at Buyers site office (on chargeable basis), if required and requested for, may be provided on chargeable basis at the sole discretion of DVC. Any extension of the electric line from the specified point has to be done by the Buyer with the approval of DVC, under the supervision of a competent person having Supervisory Competence certificate. N.B. All arrangements of dismantling, removal, loading and transportation of the sold material have to be made by the buyer himself. DVC do not take any responsibility for providing capacity oxygen/DA cylinders or any other consumables to the Buyer for dismantling job.18.0 JURISDICTION: The Contract shall in all respect be construed and operated as an Indian Contract and in accordance with the Indian laws in force and is subject to the

exclusive jurisdiction of court in the city of Kolkata only and no other

Court, when resolution/settlement through mutual discussion and arbitration fails.

19.0 ARBITRATION : Any dispute(s) or difference(s) arising out of or in connection with the contract shall, to the extent possible, be settled amicably between the owner and supplier. In the event of any dispute or difference whatsoever arising under the contract or in connection therewith including any question relating to existence, meaning and interpretation of the contract or any alleged breach there of,the same shall be referred to the Member secretary, CEOof Damodar Valley Corporation,Kolkata-s4 or to a person nominated by him for arbitration.The Arbitration shall be conducted in accordance with the provisions of arbitration and the conciliation law 1996 or latest and the decision/judgment of Arbitrator/Arbitrators shall be final and binding on both the parties.However, in case the contractor is a Central Public Sector Enterprise/Govt. Department,the dispute arising between the 'Owner' and the 'Contractor' shall be settled through permanent Arbitration Machinery (PAM) of the Department of Public Enterprise, Govt. of India as per prevailing rules.

20.0 CONTACT DURING EXECUTION OF WORK : Throughout the contract period, buyer shall keep his mobile phone (which buyer has intimated at the time of start of work) in active/operative condition. Further, mobile phone contact number of the site supervisor may also be intimated at the time of start of work and his mobile may also be kept in active/operative condition throughout the contract period.
