NOTICE is hereby given that the First Extra-Ordinary General Meeting
(“EGM/Meeting”) of the Financial Year 2018-19 of the Shareholders
(“Members”) of Fulford (India) Limited (“the Company”) will be held on
Monday, February 18, 2019 at 11.00 a.m. (IST) at IMC Chamber of
Commerce and Industry, IMC Building, IMC Marg, Churchgate, Mumbai
– 400021, Maharashtra to transact the special business, as set out in
the Notice of EGM.
The Notice of the Meeting along with explanatory statement and remote
e-voting details have been sent electronically via emails to those Members
of the Company who have registered their email address with the
Company/their Depository Participants and physical copies have been
sent to registered address via permitted mode to all other Members. The
dispatch of notice of the Meeting has been completed on January 21,
2019.
FURTHER NOTICE is hereby given pursuant to Section 108 of the
Companies Act, 2013 read with Rule 20 of the Companies (Management
and Administration) Rules, 2014, as amended from time to time, that
the Company is providing the facility to the Members to cast their votes
electronically through remote e-voting platform provided by Central
Depository Services (India) Limited (“CDSL”) from a place other than
the venue of the Meeting.
The remote e-voting shall commence on Friday, February 15, 2019
from 9.00 a.m. (IST) and conclude on Sunday, February 17, 2019 at
5.00 p.m. (IST) (both days inclusive). The remote e-voting will be blocked
by CDSL at 5.00 p.m. (IST) on February 17, 2019 and shall not be
allowed beyond that.
A person, whose name appears in the Register of Members/ Beneficial
Owner as on the cut-off date i.e. February 11, 2019 (“Record Date”),
only shall be entitled to avail the facility of remote e-voting as well as
voting at the Meeting. Any person who becomes Member of the Company
after the dispatch of the notice of Meeting and holding shares as on the
Record Date i.e. February 11, 2019, may obtain the User ID and
