Each year, the seniors housing and care industry has a set of challenges and opportunities.
2013 is no different. There are opportunities like serving the coming Silent Generation and the
Boomers that follow, being a solutions provider in the rapidly changing healthcare delivery
system, leveraging the benefits from the application of new technology and developing
new business and care models. There are ongoing challenges such as delivering value to a
changing customer base, likely changes to existing entitlement programs, documenting and
demonstrating quality, pressures on federal, state and seniors’ budgets. And the list goes on.
The 2013 NIC Regional Conference “Innovative Thinking: Driving Success and Attracting
Capital” addresses head-on what’s facing the industry in 2013 and beyond. The conference
programming is focused on topics of interest for skilled nursing and seniors housing operators
and capital providers.
If you are an operator and want to grow, or better understand future options, this is a must-
attend conference. Our keynote speakers and moderators are thought-leaders who will provide
insights, from economic and policy developments to technological innovation, employee
retention and culture building. Learn the best strategies to attract capital for growth. Network
with peers and leverage the opportunity to make deals with investors and capital providers. Our
skilled nursing track offers CEU credits.
Plan on joining us in San Diego this March for a capital focused event. We hope to see you there.

Lay of the Land from Washington InsidersNIC brings Washington to you! Forty-five days into the next Obama Administration and the new Congress, what will we have
learned about the direction on key policy issues affecting seniors housing and skilled nursing? Brian Fortune, President & Chief
Political Strategist, Farragut Square Group and sought after expert on healthcare policy, moderates a panel discussion with
industry executives and lobbyists, representing both seniors housing and skilled nursing. How will the new Administration
and Congress tackle the fiscal crisis they now face? Will Medicare bear the brunt of funding cuts? What will be the impacts and
the opportunities from the unprecedented expansion of Medicaid under the Affordable Care Act? What will be the timeframe
and the execution strategy for health insurance mandates and state health insurance exchanges? During a moderated Q&A
session, you can ask the important questions that will help you plan strategically.

The Future of Medicaid: Program Prospects and Provider PositioningThe future of Medicaid in meeting escalating demands for chronic long-term care services is enveloped in a dramatically
shifting landscape of healthcare reform and fiscal challenges. What are the payment prospects for serving this distinct and
growing population? How threatened are providers who remain dependent on this payer source? Do exhibiting trends and
future prospects present an opportunity for providers or grounds for an exit strategy?

Leading Through Innovation: Staying Competitive in a Rapidly-Changing MarketOne of the hallmarks of strong leadership is innovative thinking. Innovative leaders focus on the few key ideas that make
a demonstrable difference in the way a company is run and in the quality-of-care provided to customers. This session is a
moderated conversation among five innovative leaders representing companies at all levels of the seniors housing industry—
from small to mid-sized regional providers to a larger national operator—about how they have used innovative thinking to
achieve success at their companies. Real world examples include the use of technology to streamline and improve operations,
building a strong company culture, building a company from the ground up, and turning around underperforming properties.
Discussion will include using leadership to drive change and how innovative solutions can overcome limited resources on the
path to greater success. Session attendees are encouraged to submit questions to the moderator prior to the session.

Current Debt Structures for Agency Financing: What Debt Option is Best for Your Asset? This is not the HUD you remember! Come learn about HUD's new regulatory changes and how they may impact the way you
do business. Using case studies of recent transactions, panelists will give succinct overviews of the agency programs. When is
HUD, Freddie or Fannie the right debt option? What does it take to qualify and how should you prepare? Learn how to properly
structure bridge financing when the end goal is long-term agency debt. What are the things to look for and the common
pitfalls to avoid?

What Operators are Saying About Post-Acute Care Partnerships in an ACO WorldWhat steps can SNF operators take to prepare themselves for an ACO-driven world? A critical component is developing
relationships with hospitals, health systems, managed care and physician groups to smooth transitions, navigate re-
hospitalizations, track clinical outcomes and measure quality-of-care even when resources are limited. A panel of skilled nursing
operators will discuss how healthcare reform has affected the post-acute continuum, how they learned to steer through the
challenges, what they are seeing in the marketplace today and what they envision for the marketplace of tomorrow.

What is the True Cost of Turnover? With labor costs the most significant expense for seniors housing and care communities, employers who create a culture that
fosters employee growth and a feeling of purpose have better overall results. Organizational retention is key to success.
Robert Richman is a culture architect who helps businesses create environments where people love to work. He will address
the importance of building an environment where residents and staff feel empowered—a key for quality seniors housing
and care operations where customer-focused service and resident-directed care give residents the opportunity to direct their
lives and their care. The “Baby Boomers” will be more demanding than the customers of yesterday or today and Robert
demonstrates that, with innovative thinking, you can strengthen employee retention, enhance revenue and give residents a
better quality of life.
Robert Richman is a culture architect and author of The Culture Blueprint. Previously he launched
and built Zappos Insights, the Zappos Family company dedicated to helping businesses with their
cultures. As an intrapreneur within Zappos.com, Robert built the business model from a proof of
concept web site, to a thriving multi-million dollar business helping over 1000 people every month.
Business leaders, managers and entrepreneurs now take the Zappos Insights training to discover how
a workplace can help people grow, inspire amazing service, and ultimately drive revenue. Previous
to joining Zappos, Robert developed digital marketing strategies for brands including Tony Robbins,
Sony, Billboard, and best-selling business authors. Robert co-founded the Affinity Lab, a collaborative
workspace for entrepreneurs that continues to graduate over 150 businesses in Washington, DC. He
is also a Georgetown-trained leadership coach, delivers keynote speeches on company culture, and
advises leaders how to create self-sustaining cultures in their own organizations.

ACOs Part II: Building Partnerships with Managed Care and Health Systemsthat Stand the Tests of Time and TechnologyIf you want to play in today’s world of post-acute care, tracking clinical outcomes and reducing readmission rates is key
to becoming a preferred partner. James Gomez, president of the California Association of Health Facilities, will moderate
a discussion with industry experts focused on how tracking clinical outcomes and sharing data can help build strong
partnerships with managed care and health systems. The panel will feature a managed care executive, a SNF post-acute
provider currently using IT software to track and share outcomes as well as a software provider that focuses on outcomes
and reducing readmissions.
Wednesday Afternoon Breakout Sessions2:00 pm — 3:30 pm
Tapping into Private Equity Private equity is an attractive source of capital for seniors housing operators but the structures are sometimes complex.
This panel features executives from private equity groups focused on small to mid-sized regional operators. This session
will discuss the appetite of PE for transitional properties, stable acquisitions, work-outs and repositioning as well as the
considerations to be made before entering into a transaction. The panelists will discuss how the REITs’ recent $20 billion dollar
buying spree has impacted the PE market and further refined their strike zone. Each panelist will speak to their firm’s recent
successes and what they see in their pipelines. Questions will be addressed such as at what stage in the life cycle should
operators get PE firms involved and how operators should initiate outreach. With an understanding of current trends, you’ll be
ready to take advantage of the new wave of interest.

Seniors Housing and Care 2.0—as Imagined by Today’s and Tomorrow’s Industry Leaders Seniors housing and care has been largely defined by four core property types. Enter the choice-conscious Baby Boomers.
Their arrival as consumers—as well as the ongoing evolution of healthcare and wellness related technology—has created
a pivot period for our industry. This demographic tailwind just getting underway is attracting an unprecedented amount of
innovation-in-progress and, yes, developing business models that may have the effect of disrupting the existing paradigm of
IL, AL, SNF and CCRC. How will seniors housing and care 2.0 be defined during the Boomer era? In this session you will learn
what the growth drivers will be. NIC’s Future Leaders Council will share provocative interviews with today’s industry leaders
about what’s next—as well as offering their own perspectives.

Repositioning Your Aging Property Serving the aging population doesn’t mean you should do so with dated properties. With the average age of skilled nursing
facilities now 35 years, this means many facilities (and possibly even programming) are out of date. Add the impacts
healthcare reform will have on the way you deliver care, and you know it’s time to think about repositioning your assets. This
session will use real world examples to help operators learn how best to reposition a property from both a physical plant
and a programmatic standpoint. The session will also include a financial analysis of the costs and benefits associated with
different repositioning strategies.
Valuations: What Buyers are Paying for SNF Properties andSeniors Housing Communities in Today’s Market Hear three active buyers describe through the use of case studies what they are paying for skilled nursing facilities and
assisted living communities in today’s market. They will discuss valuing both newer SNF and AL communities and older
facilities in need of repositioning. Pose your own questions during the moderated Q&A and hear their perspective on market
factors so you can understand what your property is worth.

Innovative thinking is not just having a thousand ideas—it’s being able to focus in on a few things that you think will make a demonstrable difference in the quality of what you provide the consumer, and therefore in the company’s performance for shareholders and investors.

The National and Regional Economy in 2013: Factors Influencing Seniors Housing Demand The demand for seniors housing is influenced by a number of factors, including the health of the residential housing market
and the status of the labor market. Gary Zimmerman, senior economist at the Federal Reserve Bank of San Francisco, will
discuss the larger economic context that affects the seniors housing industry. He will provide a perspective on economic
trends; both national and in the western U.S., with a particular focus on job growth and the housing market.
Gary Zimmerman joined the Federal Reserve Bank of San Francisco in 1973. As an economist, his
research, analysis, and outreach activities support both the Economic Research and Public Information
Departments. From 1996 to 1999, Gary served as the FDIC’s San Francisco Regional Economist. Gary’s
research has focused on economic and banking topics in the Twelfth District. He has written articles
on the regional economy, the high-tech sector in the West, and the cyclical behavior of industries
like high-tech, aerospace, and construction. Other published research has covered community bank
performance, banking industry competition, and foreign banking activities in California. Many of his
research papers are published in the Bank’s Economic Letter and Economic Review and are available on
the Bank’s website (http://www.frbsf.org). Gary earned his B.A. and M.A. in Economics from Cal-State
East Bay (Hayward). He also has been a guest professor at the Wirtschaftsuniversität Wien (Economics
University of Vienna) in Austria. Prior to that, he lectured on banking and financial institutions at the
Graduate School of Business at Cal-State University, Hayward.

Building Your Benchmarks for Seniors Housing DevelopmentHow do you demonstrate value to investors? There is a great deal of data out there about the seniors housing industry, but it’s
tough to figure out what numbers apply to your project. This session, using real world case studies, will identify industry data
points, macro-economic trends, supply and demand factors, penetration rates, capital investment – and how they can help
you get the financing you need. Learn what construction lending is available in seniors housing, what deals are getting done
and how, who is lending on what terms, and what capital providers need from you. And, for those ready to pursue investors,
understand the analytical tools that can help you and what to look for in a good market data feasibility study.
SH
The Transformation of the IL Model: Temporary Shift or Permanent,Market-Driven Reality? The recession and the emerging desire of residents to “age in place” are transforming independent living and other types of
care. Rising acuity levels are creating pressures for increased service delivery and staffing but residents and their families are
extremely cost-conscious. Learn how forward-thinking owners and operators have positioned themselves to address these
challenges. Three operators and a lender will reflect on what IL housing was historically, what it currently is, and what the
“future” IL model may be. There will be moderated Q&A discussing details such as services in IL, pricing, staffing, turnover rates
and how they have changed and will change in the future.
SH
Ground Up Construction Financing for Skilled NursingCredit is easier to access when you can prove that you have stabilized income. It is no different in the world of skilled nursing
finance. If you are a small to mid-size skilled nursing operator looking for ground-up construction financing but don’t have
the advantage of showing stabilized income for an existing skilled nursing property, this session is all about what you need to
know. What will capital providers be looking for? What is the best type of financing for you? Through case studies, this session
will explore options for construction financing from a variety of perspectives, including those of a conventional lender,
mezzanine lender, REIT, and an operator.
SNF
Managing Dual Eligibles While Integrating Care Skilled nursing providers are feeling enormous pressure to lower costs while improving outcomes for post-acute and LTC
residents. The potential benefits of aligning Medicaid and Medicare are prompting CMS to drive initiatives to integrate
care. This is your chance to hear four key state executives whose states are enrolled in the 2013 Pilot CMS Program—State
Demonstrations to Integrate Care for Dual Eligible Individuals—discuss what their states are proposing to do and what the
outcomes will mean for skilled nursing operators.
Speakers:
• James Gomez, President, California Association of Health Facilities
• Jim Carlson, President, Oregon Health Care Association
• Richard Herrick, President, New York State Health Facilities Association
• Peter Van Runkle, Executive Director, Ohio Health Care Association
SNF
Health Care Reform Round Two: The Affordable Care Act Senator Tom Daschle is one of the key architects of the Affordable Care Act, a longtime advocate for healthcare reform and an
active member of the Bipartisan Policy Center. Senator Daschle will provide a look at where healthcare reform is today and
how the implementation of the legislation signed into law in 2010 may play out in terms of new regulations, pilot programs
and health insurance exchanges. He will address questions of what he feels is working and not working, which policies have
already gained momentum in the marketplace, and which provisions policymakers may try to adjust in the coming months.
Learn what changes have the potential to affect the way you do business.
Thursday Luncheon With Keynote Speaker Senator Tom Daschle12:00 pm — 1:45 pm

Born in Aberdeen, South Dakota, Tom Daschle graduated from South Dakota State University in 1969.
Upon graduation, he entered the United States Air Force where he served as an intelligence officer in
the Strategic Air Command until mid-1972. Following completion of his military service, Senator Daschle
served on the staff of Senator James Abourezk. In 1978, he was elected to the US House of Representatives
where he served for eight years. In 1986, he was elected to the US Senate and eight years later became
its Democratic Leader. Senator Daschle is one of the longest serving Senate Democratic Leaders in history
and the only one to serve twice as both Majority and Minority Leader. During his tenure, Senator Daschle
navigated the Senate through some of its most historic economic and national security challenges. In
2003, he chronicled some of these experiences in his book, Like No Other Time: The 107th Congress and
the Two Years That Changed America Forever. Today, Senator Daschle is a senior policy advisor to the law
firm of DLA Piper where he provides clients with strategic advice on public policy issues such as climate
change, energy, health care, trade, financial services and telecommunications. Since leaving the Senate,
he has distinguished his expertise in health care through the publication of Critical: What We Can Do About
the Health-Care Crisis. His most recent book, Getting it Done: How Obama and Congress Finally Broke the
Stalemate to Make Way for Health Care Reform, was published in October, 2010.

Growth and Exit Strategies for Skilled Nursing OperatorsAs a skilled nursing operator, what do you do when you think you need to grow but don’t know where to get the capital? Do
you know when it is time to exit the sector? This session will examine growth by acquisition and exit strategies in the skilled
nursing sector from both the operator and the capital provider perspective. Panelists will present case studies; 1) why one
long-established operator exited the industry by selling his portfolio, 2) how an emerging regional operator is pursuing
acquisitions and working with a lender to finance these deals, and 3) what obstacles and tactics a new operator to the sector
faced financing his first and second deals.
Thursday Afternoon Breakout Sessions2:00 pm — 3:30 pm
Roadmap to Memory Care Development Success As the demand for memory care services continues to grow, so do the opportunities to build and to overbuild. This session will
highlight essential aspects of the decision-making process when considering building a stand-alone memory care property or
an addition to an existing AL property. Speakers will explain why the numbers are critical when determining when and where
to build and why performing your due diligence and analyzing the data will help you avoid developing in an overbuilt market.
Learn how integrating key design elements and value-add engineering can create a therapeutic environment—while overlooked
elements can lead to licensing pitfalls. Also, hear how to make underwriting and financing these communities easier.
Accessing the Capital: Acquisition and Refinancing in Seniors Housing Financing is a necessary component of success for all types of seniors housing operators. In this session, moderated by
a seasoned financing professional, three owner/operators will discuss specific examples of successful deals involving
acquisition financing and a refinancing. The case studies, focusing especially on senior and/or subordinate debt financing, will
offer practical advice and relevant insight into how operators can close their next deal and work better with equity and debt
providers. Expect an informative as well as interactive discussion.
