Ozark Gateway Association of REALTORS® - Directors Minutes 9:30 am; Thursday, November 17th, 2016 Present: Spencer Aggus, Seth Dermott, John Yaple, Jennifer Reaves, Ron Franklin, Danny Ross, Chris Nickle, Brandi

Haddock, Dave McGarrah, Forrest Stodghill, and Allen Hall Staff Present: Kim Cox Roll call was taken by sign in. Meeting was called to order by Spencer Aggus, President. Prayer was spoken by Dave McGarrah. Motion was made to approve Agenda as emailed. Jennifer Reaves, Officer/Treasurer 1. Received financials for October 2016 as emailed. Motion made and approved to accept financials for October 2016 and YTD. 2. Reviewed Edward Jones portfolio. No recommendations or motions made. 3. Motion made accept the proposed budget for 2017 as presented. Allen Hall, MLS Chair 1. Motion made to post the following message: Agents; Please be aware, you CANNOT advertise listings without a seller signed listing contract. 2. Kim showed the board that the “OGAR Bulletin Board” has just been added. A “how-to” will be sent to members to show how to set up. Spencer Aggus, President’s Report 1. Leadership Luncheon & Orientation will be January 5th from 11-1 at Mytho’s. Kim Cox, AE’s Report 1. Concerns about listings being input and then cancelled, instead of being properly closed. Research with NAR being done. 2. Safety issue; Vagrants found at a listing in Neosho; Listing withdrawn from MLS for safety. Seth Dermott, President-Elect’s Report 1. Strategic Planning – Completed for the year. 2. Program & Events – Reviewed minutes, no motions made. 3. Governing Docs – Several motions are being made in the following actions; a. Motion made that OGAR will continue to pay the $1195 tuition into the MR Leadership Academy for members that get accepted, and adding into Policy: if a member does NOT graduate, they will be required to pay the board back the full reimbursement of $1195; As for NAR Leadership Academy; the tuition of $1000 will be paid (within 30 days) for each accepted member and the same ruling will apply, if the member does NOT graduate, they will be expected to pay

the board back the full reimbursement of $1000 (within 30 days of graduation date). b. Motion to update the following current Policy under Article XII – MEETINGS, Section 2. The BOD shall designate a regular time and place of meetings. Absence from any three regular meetings without an excuse deemed valid by the BOD shall be construed as a resignation. A quorum for the transaction of business shall be majority of the BOD, except as may otherwise be required by state law. CHANGING THE RULE TO READ: The BOD/AE/COMMITTEE CHAIR shall designate a regular time and place of meetings for each committee as needed. A quorum for the transaction of business shall be majority of the committee, except as may otherwise be required by state law. Absence from any three regular meetings shall be cause to be reviewed, on a case by case basis per committee, for a possible recommendation to the Board of Directors of whether that member shall remain on said committee; The BOD is also

considered a committee. c. Motion made to update the existing scholarship application to include “trade schools” behind the word “college” on the “How to Apply” line. The committee recommended that the BOD pay out the $1500 in scholarships for this semester for 5 applicants at $300 per student; The BOD agreed that the dollar amounts must remain either $250 for part-time student or $500 for full-time students. A motion was made to pay a full-time scholarship of $500 to each of the approved students for a total of $2500 for this semester; the committee will be notified that they need to make sure and follow only the set amounts on the

approved applications. 4. Membership & Community Services – See attached minutes. A motion was made and seconded to approve the conditional memberships as listed below: New Agents/Appraisers/Offices:
