A. INVITATION TO PRE-QUALIFY

1. INTRODUCTION

1.1 The Kuwait Oil Company (K.S.C.) (the Company) is a State-owned company, engaged in exploration, development and production of crude oil and natural gas resources from Kuwait's oil fields and export through marine terminals.

1.2 The Company requires the services of Mud Logging Contractor(s) capable of providing mud logging services for onshore/offshore drilling and completion of wells (Services), in extreme climatic conditions, and have the capability, personnel, materials, equipment and technology to provide:

Mud Logging services for wells up to depth + 13,000 ft. Deviated, Horizontal and Multilateral wells using water base and oil base mud and with H2S environment.

Experienced and qualified Mud Loggers and Applied Drilling Technologist (ADT Engineer).

Spares, consumables and maintenance personnel required to run logging units on 24 Hour basis.

Mud Logging Data Transmission System as Optional Service. Advanced Gas System with C1 to C8 measurement in not more than 60 sec time. Other associated services relevant to Mud Logging job.

1.3 Accordingly, the Company is seeking to pre-qualify companies with proven capabilities and experience in the above stated Services and now invites interested Applicants to submit full details of their experience in accordance with the attached questionnaire and the Pre-qualification documents.

1.4 The result of this pre-qualification exercise will be the development of lists of companies to whom Invitation to Tender for the Services may be issued.

1.5 Please note that this is not an Invitation to Tender and quotation are not required at this stage.

2. PURPOSE OF THE DOCUMENTS

2.1 All Applicants will be required to submit a detailed and comprehensive pre-qualification submission (“the Submission”), for review by the Company. This Submission shall be prepared in accordance with the guidelines and instructions set out in this pre-qualification document and shall set forth in a clear and precise manner their competence and suitability for carrying out the Services.

2. PURPOSE OF THE DOCUMENTS (CONT’D)

2.2 Pre-qualification of Applicants for future participation in the Company’s Tender for similar Services shall be made solely on the basis of the information supplied in the Applicant’s submissions. All Applicants are advised that the Company, at its own option, may choose to visit the Applicant’s premises. The Applicants shall allow/give such access the Company to satisfy itself comprehensively about the Applicant’s submission, or any part thereof.

3. GUIDELINES FOR PRE-QUALIFICATION

The Company is under no obligation to pre-qualify any Applicant or to give reasons for acceptance or rejection of any Applicant. Applicants shall have to demonstrate their competence in the attached questionnaire including but not limited to the following:

3.1 The Applicant has minimum 10 years’ experience out of which 5 years should be overseas in providing ‘Mud Logging Services’ for drilling and completion of Straight/High Angle/HPHT wells stated in 1.2 above. If the Applicant is a group formed by recent merger of two or more companies, then the experience of the oldest merged unit can be considered provided the ‘oldest’ company was active in similar ‘Mud Logging Services’.

3.2 The Applicant has a current workload which shows that the Applicant is now active in the stated Services and that this workload is consistent with its current resources, manpower and financial standing, and that additional work of the magnitude being considered by the Company would not stretch the Applicant's capabilities.

3.3 The Applicant is adequately staffed with skilled and experienced personnel and has other resources sufficient to meet the operational requirement. Key operational personnel mainly the Operation Managers and Area Engineers should have minimum relevant 10 5 years’ experience out of which 2 years should be on international basis.

3.4 The Applicant will need to demonstrate that it has ability to provide additional personnel and resources to boost the Applicant's capability, if necessary, in the event of award of work by the Company.

3.5 The Applicant’s personnel to be engaged on the site shall be physically fit for work exposure in extreme weather conditions of Kuwait.

4. INSTRUCTIONS TO APPLICANTS

4.1 The Applicant must complete all parts of the questionnaire and provide the information required in English. Failure to comply shall result in the rejection of application.

4.2 Answers to questions and information supplied must be accurate and unambiguous. Additional pages should be inserted in the event additional space is needed for replying to the questions. Any additional information that the Applicant wishes to offer should be clearly separated from specific responses within the single bound document to be submitted. Please do not include company reports or other handouts of an advertising nature unless they contain relevant and specific information requested in the questionnaire.

4.3 The form and layout of the questionnaire must be adhered to by the Applicant and should all be contained in one single bound volume.

4.4 Responses in the application indicating “TO BE SUBMITTED LATER” or similar statements are not acceptable and shall result in rejection of the application to pre-qualify.

4.5 The Applicant's submittal must be in duplicate, one (1) set in Hard copy and one (1) set in CD copy. The submittal must be marked as follows:-

4.6 The questionnaire is divided into seven (7) sections as follows:-

Section 1 - Mandatory Questions

In order to be pre-qualified by the Company, the Applicant must satisfy certain essential requirements, regarding its organization, financial / technical standings, and its international work experience. Therefore, the Applicant’s Submission may be rejected if:

a) Answer to any of the ten (1) questions of Section 1 is negative;b) Relevant supporting information for the above are not provided;c) Any question of the Section is kept un-answered.

Section 2 - Applicant previous experience.

Section 3 - Applicant's current workload.

Section 4 - Applicant's resources.

Section 5 - Applicant’s HSEMS

Section 6 - Applicant’s financial status.

Section 7 - Applicant's Company’s organization and structure.

In addition to the above, the Applicant is required to provide a letter of submittal in the format specified in pages 8 to 9 of 35 under the Applicant’s authorized signature and on Applicant’s letterhead.

4.7 Only established companies which are single corporate bodies can be pre-qualified.

4.8 The Applicant must apply on its own behalf only. Information provided in the questionnaire must be true and correct for the Applicant itself. Information which incorporates data regarding parent, associate, or subsidiary companies, or subcontractors, or companies to whom the Applicant was subcontracted, must be clearly identified as pertaining to such companies.

4.9 If the company applying is a wholly owned, subsidiary company or part of a group of companies, then the application must be from the company (Applicant) which shall actually perform any work awarded. To clarify further, if the Group's head office is in United States of America and the work would be controlled and performed by its subsidiary (the Applicant) located at London, England, then the application should be in the name of and using information about the company based at London and all documents submitted shall be from and associated with the latter. Information pertaining to Group’s Head Office, USA shall be discarded for the purpose of pre-qualification evaluation.

4.10 No more than one application shall be considered from any group of companies.

4.11 Pre-qualification shall be granted for the Applicant's company only and shall not include pre-qualification of any parent or sister or subsidiary companies or their agents.

4.12 By submittal of an application, the Applicant permits the Company to:-

a) Take any steps which the Company considers necessary to audit or verify the information contained in the application, and;

b) Subject to prior notification, visit the Applicant's offices and facilities wherever they may be located.

4.13 Applications from Companies with Service Agreements with other ‘Mud Logging Services’ companies but no experience of their own shall be rejected.

5. CONDITIONS FOR AWARD OF WORK

5.1 Invitation to Tender issued by the Company are in accordance with the State of Kuwait's law number 37 regarding Public Tenders or any subsequent amendments thereof. This law requires that any tender submitted which is not strictly in accordance with the terms and conditions contained in the Invitation to Tender shall be disqualified. Applicants are therefore advised that only companies who can accept the Company's contractual terms, in full, should apply for pre-qualification. The most important terms are: -

5. CONDITIONS FOR AWARD OF WORK (CONT’D)

5.2 Kuwait law governs the contracts signed with Kuwait Oil Company. Where any contract provides for arbitration, the pertaining clause shall provide for such arbitration in accordance with internationally accepted practices within the Oil and Gas industry.

6. GENERAL

6.1 Subject to 4.12 above, the Company will treat all replies in the strictest confidentiality.

6.2 The Company will retain all documents submitted by the Applicant for its records.

6.3 Contractors currently engaged in ‘Mud Logging Services’ for drilling activities with the Company need not apply for Pre-qualification. They will be considered as pre-qualified for the subject services.

1. 1.2 All Financial Statements, Independent Auditor’s Report and Notes to the Accounts shall be in English or Arabic Language.

1.4 All financial information requirements should be provided also in electronic format (PDF files only) along with the original submittal.
