Conflicts of Interest – Non-ICOC Members of the Scientific and Medical 2 Research Funding Working Group (the “Grants Working Group”). 3 (a) Prohibition: Except as provided otherwise in this regulation, a non-ICOC Grants 4 Working Group member may not participate in a decision of the working group in which the 5 individual has a conflict of interest. A conflict of interest exists when a non-ICOC Grants 6 Working Group member has a real or apparent interest in the outcome of an application such that 7 the member is in a position to gain financially, professionally or personally from either a positive 8 or negative evaluation of the grant proposal. 9 (b) “Financial: Conflict of Interest - Defined: A non-ICOC member has a financial 10 conflict of interest if: 11 (1) The member or a member of his or her Immediate Family is an employee of either 12 the applicant organization, a Subcontractor, or a Partner, or has received, or has been promised, 13 income or anything else of value, of $5,000 or more, or gifts worth $500 or more, in the past year 14 from the applicant institution, a Subcontractor, a Partner, or a person listed in the application as 15 Key Personnel. 16 (2) The member or a member of his or her Immediate Family is under active 17 consideration for employment at the applicant organization, a Subcontractor, or a Partner. 18 (3) A member or a member of his or her spouse Immediate Family stands to receive a 19 financial benefit of any amount from the application under review. 20 (4) A member or a member of his or her Immediate Family has a financial interest in the 21 organization, a Subcontractor, or a Partner of $5,000 or more. Amend 17 Cal. Code of Regs. section 100003 to read: 1

§ 100003. Conflicts of Interest – Non-ICOC Members of the Scientific and Medical 2

Research Funding Working Group (the “Grants Working Group”). 3

(a) Prohibition: Except as provided otherwise in this regulation, a non-ICOC Grants 4

Working Group member may not participate in a decision of the working group in which the 5

individual has a conflict of interest. A conflict of interest exists when a non-ICOC Grants 6

Working Group member has a real or apparent interest in the outcome of an application such that 7

the member is in a position to gain financially, professionally or personally from either a positive 8

or negative evaluation of the grant proposal. 9

(b) “Financial: Conflict of Interest - Defined: A non-ICOC member has a financial 10

conflict of interest if: 11

(1) The member or a member of his or her Immediate Family is an employee of either 12

the applicant organization, a Subcontractor, or a Partner, or has received, or has been promised, 13

income or anything else of value, of $5,000 or more, or gifts worth $500 or more, in the past year 14

from the applicant institution, a Subcontractor, a Partner, or a person listed in the application as 15

Key Personnel. 16

(2) The member or a member of his or her Immediate Family is under active 17

consideration for employment at the applicant organization, a Subcontractor, or a Partner. 18

(3) A member or a member of his or her spouse Immediate Family stands to receive a 19

financial benefit of any amount from the application under review. 20

(4) A member or a member of his or her Immediate Family has a financial interest in the 21

organization, a Subcontractor, or a Partner of $5,000 or more. A “financial interest” includes 22

current stock holdings, equity interest, intellectual property or real property interest, but does not 1

include an interest held through a diversified mutual fund. 2

(c) “Professional” Conflict of Interest - Defined: A non-ICOC member has a professional 3

conflict of interest if: 4

(1) A person listed in the application as Key Personnel has been a Research Collaborator, 5

a former trainee, or mentor of the member within the last three years. 6

(2) The member and a person listed in the application as Key Personnel are currently 7

engaged in, or are planning to be engaged in, a Research Collaboration. 8

(3) The member is also a member of the Clinical Advisory Panel advising the project that 9

is the subject of an application. 10

(d) “Personal” Conflict of Interest - Defined: A non-ICOC member has a personal 11

conflict of interest if: 12

(1) An Immediate Family member or close personal friend is a person listed in the 13

application as Key Personnel. 14

(2) The member and a person listed in the application as Key Personnel have been on 15

opposing sides in a lawsuit, arbitration or mediation. 16

(e) Disclosure: A non-ICOC working group member shall disclose confidentially and 17

under penalty of perjury the following financial interests: 18

(1) Income of $5,000 or more, or gifts worth $500 or more, received by the 19

member of a member of his or her Immediate Family from a California-based academic or non- 20

profit research organization in the past year. 21

(2) Income of $5,000 or more received by the member or a member of his or her 22

Immediate Family from a publicly-held biotechnology or pharmaceutical. 23

(3) An investment worth $5,000 or more held by the member or a member of his 2

or her Immediate Family in a publicly-held biotechnology or pharmaceutical company, not 3

including an investment held through a diversified mutual fund. 4

(4) Income received by the member or a member of his or Immediate Family from 5

a privately held biotechnology company. 6

(5) An interest worth $2,000 or more held by the member or a member of his or her 7

Immediate Family in real property in California. 8

(f) Disqualification: A non-ICOC member is required to report to the CIRM staff any 9

conflict of interest of which he or she is aware, including, but not limited to, those described in 10

subdivisions (b) through (d) of this regulation, and any application as to which the Member 11

believes his or her objectivity could be compromised. A non-ICOC member of the Grants 12

Working Group who has a conflict of interest, as described in subdivisions (b) through (d) of this 13

regulation, or who believes that his or her objectivity could be compromised with respect to an 14

application may not review or vote on the application and must leave the room when that 15

application is discussed. In exceptional cases, the President of the CIRM may decide that the 16

need for special expertise of the reviewer outweighs any possible bias posed by a real or apparent 17

conflict of interest. Under these circumstances, the CIRM staff shall publicly disclose the 18

working group member’s interest before the meeting and the working group member shall be 19

permitted to participate in the discussion but will not be permitted to vote on the application or 20

participate in the scientific scoring. 21

(g) All non-ICOC members must indicate any possible conflicts of interest that they have 22

in advance of a review and must certify that they did not participate in the discussion or review 23

of any application for which they have a conflict of interest, or indicate permission to participate 1

was granted by the President pursuant to subdivision (e) of this regulation. 2

(h) Record-Keeping: All financial disclosure documents shall be kept confidential by the 3

CIRM staff and preserved for purposes of review by the State Auditor or another independent 4

auditor and any other audit as required by law. Records of the working group indicating those 5

members who participated in or voted on particular recommendations shall be maintained by the 6

CIRM staff. If the CIRM or an auditor discovers a violation of these conflict of interest 7

provisions, a report will be made to the Legislature along with a review of corrective actions 8

taken by the CIRM to prevent future occurrences. 9

(i) For purposes of this section, the following terms have the following meanings: 10

(1) “Immediate Family” member means a non-ICOC member’s spouse, domestic 11

partner, and dependent children. 12

(2) “Key Personnel” means (i) the principal investigator or program director; or 13

(ii) any other person, including an independent consultant or an employee of a Subcontractor or 14

Partner, who is expected to contribute to the scientific development or execution of the project in 15

a substantive, measurable way and who is expected to: (a) receive or has been promised income, 16

or anything else of value, of $10,000 or more per year through the proposed project or (b) 17

contribute one percent (1%) or more effort to the proposed project. “Key Personnel” does not 18

include a person who is expected to be involved in the proposed project but who does not satisfy 19

paragraphs (i) or (ii). 20

(3) “Partner” means an organization that, in exchange for the right to the 22

opportunity for a future financial return, has agreed to provide matching funds for the proposed 23

project or entered into an agreement with the applicant organization relating to the 1

commercialization of the proposed project. Partner does not include an organization that, like 2

the National Institutes of Health, provides research funding to a proposed project but that does 3

not have the right to a future financial return. 4

(4) “Research Collaborator” or “Research Collaboration” means participation as 5

Key Personnel on the same research project or effort to advance or publish research results or the 6

commercial development of a product. The terms do not include passive associations such as 7

belonging to the same scientific society or contributing to the same review article or textbook. 8

(5) “Subcontractor” means an organization (other than the applicant organization) 9

that is expected to: (a) contribute to the scientific development or execution of the project in a 10

substantive, measurable way and (b) receive $50,000 $25,000 or more through the proposed 11

project. “Subcontractor” does not include suppliers of widely available goods. 12
