Company OverviewCompany Overview Wyndham Capital, LLC was formed in 1979 to render consulting and
intermediation services to businesses on a global basis. We have closed over 425 lower middle market transactions within the
last 36 years, and our track record is based on integrity, confidentiality, extensive contacts, financial expertise, hard work, creativity and innovation.
We assist sellers who wish to maximize their post-sale proceeds. We also conduct searches for acquisition candidates who meet the growth criteria and secure their interest in an association with our clients. Ultimately, we assist the buyer and the seller in negotiations and the closing of the transaction.

Acquisition Candidate SearchAcquisition Candidate Search We are retained by strategic acquirers who are interested in
integrating (horizontally or vertically) the newly acquired firm into their present operations. Our clients will acquire companies for the following reasons: 1) Increase market share. 2) Diversify into closely related products and markets. 3) Vertically integrate a supplier of critical components. 4) Increase manufacturing capacity.

Company DivesturesCompany DivesturesWyndham is retained by company owners to help them realize the highest possible sales price for their businesses within a pre- determined time frame. Wyndham specializes in the sale of privately-held companies and divisions of larger organizations. Wyndham visits the company site(s) and accumulates all available
information concerning the business. After the financial data has been reviewed, the value of the business is
established based on several methods of evaluation. Company information is condensed into an Executive Summary and
Confidential Investment Memorandum (CIM). Wyndham researches and then recommends the most likely
prospective acquirers. The list is reviewed and approved by the client.
Company Sales Continued:Company Sales Continued: An Executive Summary (highlighting the key attributes of the
business without disclosing the company name or location) is distributed to the potential acquirers.
The acquirers sign a “blind” (company name omitted) confidentiality agreement to obtain the CIM.
CIMs are sent out via email or express mail. All prospective acquirers receive the information simultaneously, which creates a competitive environment.
Indications of Interest (IOIs) are received on the business, and final prospects are selected for consideration.
Management Presentation/Plant Visitation dates are scheduled to allow the prospective acquirers access to the facility, with a minimum amount of disruption to the client’s business.
Company Sales Cont:Company Sales Cont: An offer deadline date is set. Letters of Intent (LOIs) are received. A winning bid is selected. Due diligence commences, inspections are completed and financing is arranged. Closing documents are drafted by the attorneys representing both sides of the transaction. The closing occurs.

Mark R. Sage, Managing Director Mr. Sage has a broad background in private equity capital investments and
acquisitions. He founded Wyndham Capital, LLC in 1979. Mr. Sage evaluated, structured and executed over 220 transactions on behalf of the firm and other partners. He has served on the board of directors of manufacturing, service and distribution companies. Mr. Sage graduated from Indiana University with a BS Degree in Business.
Mick D. Clarke, Managing Director Mr. Clarke has over 30 years of experience as a turn-around professional. He has
worked in several industries including metalworking, electronics, plastics, food and medical products. Mr. Clarke is highly qualified in manufacturing and operations management. He has had P&L responsibility for companies with annual turnover exceeding USD $750 million per year. Mr. Clarke serves on several company boards and manages Wyndham Capital, LTD. He has a Masters in Business Administration from London Business School.

James H. Bursey - Director Prior to joining Wyndham Capital, Mr. Bursey was a Principal in the Oxford Investment Group, responsible for the acquisition and integration of over $600 million in European holdings. He has held numerous COO and General Management positions in automotive parts, steel, machinery and paper product companies. Mr. Bursey has a degree in Economic History from the University of Toronto, and an MBA from Schulich School for Business at York University, in Multinational Management and Strategic Planning. Mr. Bursey is fluent in Spanish, French, German and Italian.
Gary L. Ramsey, Director Prior to his affiliation with Wyndham Capital, Mr. Ramey was President of a leading Engineered Metals Company and has over 30 years experience the in growth and revitalization of stagnant and struggling companies. He has considerable experience in the automotive, steel, foundry, glass, refractory and powder metal industries. Mr. Ramsey has a BS in Ceramic Engineering from Iowa State University and an MBA from the University of Kansas.

Charles Y. Lee - DirectorMr. Lee has 25 years experience in M&A consulting and has participated in transactions involving restructuring both Chinese and foreign investment enterprises in the domestic and overseas markets; represented both domestic and overseas companies in connection with their merger and acquisition activities in China. The transactions he participated in were in various industries including manufacturing, distribution, telecom, media and banking. Mr. Lee obtained his Bachelor of Arts Degree at Peking University and Masters Degree in Political Economy at MIT.
