ALTERNATIVE MEDICINE MARYLAND- JUNE 9 HEARING

Mr. hlamm has more than 40 years of experience in law enforcement and publicsafety. He began his career as a patrol officer in Baltimore City and rose throughthe ranks from patrol officer to Sergeant, Detective, SWAT Tactical Sergeant,Lieutenant, Commander, Deputy Police Commissioner for Baltimore City andPolice Commissioner for Baltimore City.

COPPIN STATE UNIVERSITY- Mr. Hamm currently serves as the Director ofPublic Safety at Coppin State University where he is responsible for the safetyand security of this urban university in West Baltimore situated on 52 acrescampus with 4100 students and employees. During his time there since 2008,Mr. Hamm has been credited for increasing campus security infrastructure suchas implementing 5 times more security cameras and almost doubling the amountuniformed officers on campus. Mr. Hamm has formed an MOU with BaltimoreCity Police Department (BCPD) to police streets within the university communityproviding concurrent jurisdiction and improved community safety. Mr. Hamm hasalso bolstered communications across the security ecosystem, establishing radiointeroperability with university police and emergency public works converting toE911, a universal dual location system that alerts BCPD and Coppin StateUniversity allowing location accuracy on the campus. Additionally, he designedand developed, and maintains the emergency management Continuity ofOperations (COOP) program that preserves, maintains, and reconstitutes theuniversity's ability to function effectively in real or potential events. He developedEmergency Response Plan, which identifies natural and manmade emergenciesdetailing response procedures, which protect life and property. He developed andimplemented professional development plan that elevates Coppin'sprofessionalism in law enforcement, security operations, and community safety.

BALTIMORE CITY POLICE COMMISSIONER- Leonard Hamm was the PoliceCommissioner of the Baltimore City Police Department from 2004 until 2007 afterserving as Deputy Commissioner of Operations Bureau in Baltimore. Serving asleader of the 13th largest police agency in the country, Mr. Hamm successfullyoversaw 3200 police officers, 500 civilians and an annual budget of $291 million.During his tenure, he worked alongside Northrop Grumman to build a platformwhich allows thousands of separated databases to communicate with each otherallowing agencies to seamlessly conduct criminal investigations. Mr. Hammrecognized his city's need for a fresh approach to remedy crime and developedcommunity safe zones. These safe zones provided a holistic approach crime asthe symptom of four community issues: education, housing economic and health.

We have spoken several times in the past about the medical cannabis dispensary the company I represent isauthorized to locate in the 32nd District.

I represent Alternative Medicine Maryland. ("AMM") is a contract purchaser of 12-14 Grain Highway S. ("Property";The purchase of the Property is contingent on AMM obtaining zoning approval for a special exception and a variarAMM was granted a medical cannabis dispensary license in December of 2015. Under Maryland law, two

dispensaries are allowed in each Senatorial district. The Property is located in the 32nd Legislative District in GlenBurnie.

AMM's zoning hearing was scheduled for April 14 but was postponed by the County due to Covid-19. The hearingdate will depend on when the state of emergency ends.

I was scheduled to speak to your board the end of March, but due to the state of emergency, the meeting wascanceled.

Main Principal andj^eader- Dr. Gregory F. Daniel is the main principal. Dr. Daniel has extensive medical and busirexperience as an emergency medicine physician with an MBA degree, Dr. Gregory Daniel is a successful physicieand entrepreneur.

Dr. Daniel founded The Exigence Group, an organization that grew to comprise over 50 business entities includincemergency medicine practices, hospitalist programs, urgent care centers, primary care and specialty practices anireal estate development enterprises. He served as CEO until May 2012 when The Exigence Group joinedTeamHealth.

Dr. Daniel is also CEO of Nidus Development, a commercial real estate investment and development firm. In addilto serving patients and his profession, Dr. Daniel served his country as a flight surgeon in the U. S. Air ForceReserves, retiring at the rank of Major.

Dr. Daniel understands the importance of a medical clinic, having created and managed urgent care centers. He vtreat the Dispensary as a medical clinic and care for the many patients AMM expects to serve.

Security- Our director of security is Leonard Hamm, a former Police Commissioner in Baltimore City and currentlychief of security at Coppin State University. He was also a Deputy Police Commissioner in Baltimore and chief ofsecurity at Morgan State University. Commissioner Hamm has designed security systems, overseen the monitorinsystems and managed security personnel.

I represent Alternative Medicine Maryland (AMM). This document responds to your letter toDr. Gregory Daniel, dated April 17, 2018. The letter requests that AMM provide a "detailedoverview of efforts to date to become operational.

AMM was awarded a Stage One Preapproval for a Medical Cannabis Dispensary License("Preapproved Dispensary") to be located in the 32nd Senatorial District ("32nd District").

This writing is indicated as responsive to the Commission's request for Progress Conference.AMM s failure to secure a dispensary location directly results from County Executive SteveSchuh's prohibitive policy on medical cannabis and the County Council's enactment of two lawsand the introduction of pending legislation.

AMM has worked tirelessly in its attempt to locate a dispensary location in Anne ArundelCounty (the County). To better comprehend the difficulties and frustrations experienced byAMM, it is important to understand the timeline of events by Steve Schuh, the Department ofPlanning and Zoning, and the Anne Arundel County Council.

This document and accompanying exhibits detail the zoning process and AMM's efforts topurchase property for a Dispensary in the 32nd Legislative District.

1A). 1021 DORSEY ROAD- LOCATION SUBMITTED WITH APPLICATION- NOVEMBER 6, 2015Prior to and coincident with the application, AMM entered into a contract to purchase 1021Dorsey Road, which is located in the 32nd District. AMM paid a non-refundable deposit on theproperty prior to filing the Dispensary application.

AMM's decision to commit to a location in the 32nd District in Anne Arundel County waspreceded by weeks of preparation for the Dispensary application, negotiations for theexecution of the purchase agreement with the owner of 1021 Dorsey Road, all of whichoccurred long before Steve Schuh or any other county official uttered a word about zoningrestrictions for medical cannabis dispensaries.

Upon receiving an unanticipated large number of applications for Dispensaries, the then-Commission announced that the awards for Preapproved Dispensaries would be delayedindefinitely. Consequently, the seller of 1021 Dorsey Road rescinded the contract and placedthe property back on the market. More than 12 months later, after having been awarded aPreapproved Dispensary in December 2016, AMM attempted to purchase 1021 Dorsey Road.By then, the property had been sold to a trucking/trailer company and was no longer available.

As the above Timeline indicates, Steve Schuh introduced legislation which passed in December2016, long after AMM planned on and committed to locating in Anne Arundel County.

IB. FIRST BILL- December 21, 2015. Bill 96-15 provided restrictions for Dispensaries thatwere located "north of Maryland Route 50 AND east of the South River" (emphasis added).Technically, no- actually, the only area that is both north of 50 and east of the South River is theChesapeake Bay. For the purpose of this document, this statute is known as the "defectivelyconjunctive dispensary law. " The bill was poorly worded, and by legal interpretation, should nothave applied to AMM. (see Exhibit 1).

Bill 96-15 prohibited Dispensaries within 1,000 feet of: a dwelling, residentially zoned property,the lot line of a public or private school, the lot line of real property owned by the Board ofEducation, or within one mile of another Dispensary. The bill also required Dispensaries be onan arterial road. If a Dispensary were located within the proscribed area, it would have to applyfor a variance and be approved by the hearing officer.

Notwithstanding the literal wording of the law, the Anne Arundel Department of Planning andZoning ("P and Z") advised dispensary applicants that it would interpret the law its own way.According to Planning and Zoning, the Council meant to say "or," and that's the way they wouldinterpret it.

Officials from P and Z made it clear that decisions by the Administrative Hearing Officer wouldinterpret the law, not by the letter, but by the wishes of Steve Schuh. Even though the law didnot apply to AMM since AMM was not both north of Route 50 and east of the South River,zoning officials made it clear that the County would interpret it their own way and deny AMM alicense. That meant that if AMM applied for a variance and argued the law did not apply AMM,maybe it would prevail and maybe it wouldn't. If the hearing officer denied the variance, theappeal process could take an extra 6 to 8 months for a final decision.

AMM had no way of knowing that it would be so difficult to find a property that was not within1, 000 feet of the statutory properties.

The risk of challenging the County was significant. From negotiations with a seller of property toa hearing and then a decision from an appeal, the entire process would take no less than ninemonths. Given three weeks to negotiate a sale and hammer out an agreement, eight weeks fora zoning decision, four months waiting for a Board of Zoning Appeals hearing and maybeanother eight to 10 weeks for a decision from the Board of Zoning Appeals, the process couldtake more than nine months.

The law's poor wording and the County's obstinate and arbitrary illegal interpretation of it ledto the introduction of second bill that was introduced in March 2017.

AMM was blindsided by the County's actions and had no way of knowing there would be anyrestrictions on dispensaries. The enactment of the first bill by the County occurred after AMM'sdispensary was approved by the Commission.

1C) SECOND BILL- April 17, 2017. Bill 21-17 changed the application of the law to "north ofUS Route 500R_premises located north of the northeast shore of the South River" (emphasisadded).

The distance restrictions in Bill 21-17 were identical to the restrictions in the first bill. The onlyaction taken by the Council was to correct the conjunctive application of the restrictions todisjunctive. It really didn't change anything except to legitimize the illegal interpretation byzoning officials.

Prior to a discussion of the third bill, it is important to understand the geography of the 32nddistrict and the effect the County zoning law had on AMM's efforts to obtain approval of avariance.

SECTION 2. SENATORIAL DISTRICT 32- The law in the County did not avail the entire 32ndDistrict for location of a Dispensary. Of course, residential areas were not eligible. But not allcommercial areas were either.

Dispensaries are prohibited, with or without a variance, in C-l classified districts. Under Countylaw, the C-l district is "generally intended for neighborhood convenience commercialuses/development where individual uses do not exceed 25, 000 square feet in area (or forOffices, a maximum of 50, 000 sq. ft. ). " Anne Arundel Code 18- 4-106. C-l districts usually areinhabited by convenience stores, pharmacies, medical clinics, etc. C-l zones are the mostsuitable districts for a medical cannabis dispensary. Yet, in Anne Arundel County, dispensariesare prohibited in C-l zones.

There are basically six major commercial roadways in the 32nd District:1. Ritchie Highway;2. Telegraph Road;3. Grain Highway;4. Dorsey Road;5. Nursery Road; and6. Baltimore Annapolis Boulevard.

Each of the aforementioned six roads have homes directly behind both sides of the street.Many of these streets have homes adjacent to and in the center of the streets that are zonedfor commercial use. There are no locations on these roads that are not within 1,000 feet of thestatutory properties or land.

Odenton- The Odenton Town Center is wholly located in the 32nd District. It makes up a goodportion of the 32nd District, maybe as much as 15% of the total area in the 32n6 district.

The Odenton Town Center is undergoing redevelopment. Many old buildings are beingrenovated. It is a perfect setting for a dispensary.

The Anne Arundel County Council inadvertently failed to amend the town's master plan in thedispensary legislation. The council members with whom I spoke were completely unaware ofthe omission. County planning and zoning officials had no idea why either.

To summarize the situation in the 32 District, as a result of the Odenton Town Center omissionand the C-l exclusion, before AMM even began to search for a location, the commercial zonesin the 32nd District available for a Dispensary were nearly cut in half.

SECTION 3. ANNE ARUNDEL DISPENSARIES. There are 11 Stage-One preapproveddispensaries approved in AnneArundel County. Of the 11, five have been granted approval, twodenied, and two withdrawn. Four variances have been granted.

SECTION 4. ZONING DECISIONS- There have been eight zoning decisions in Anne ArundelCounty. Of the eight, six applied for variances. Two did not require variances, two applicationswere withdrawn, two denied. Of the six applications that required variances, four were granted,two were denied. AMM was one of the decisions in which a variance was denied.

The first two applicants were granted Special Exceptions and did not require a variance.

4A) Of the nine pre-approved dispensaries that require variances, five still have not receivedzoning approval.

FIRST DECISION- April 21, 2017. The West Street dispensary (zoning case ... 030-S) filed itsapplication under the Defectively Conjunctive Dispensary Law. " The West Street location wasnot BOTH north of Route 50 AND east of the South River (emphasis added). Therefore, the lawdid not apply to this applicant, and a variance was not required. They were granted a specialexception.

SECOND DECISION- July 3, 2017. The Edgewater Dispensary (zoning case ... 092-S) was neithernorth of Route 50 nor east of the South River and was not required to obtain a variance. TheEdgewater Dispensary was granted a special exception.

THIRD DECISION- September 14, 2017. This is an interesting application (zoning case ... 0165- V).GPD, LLC is located in the 32nd District. To their credit, GPD found a location that was not withinthe prohibited areas. However, the dispensary is not on an arterial road and needed a variance,which was granted.

Ironically, the principal of GPD owns an ideal location for a Dispensary in the 32nd District. Thatproperty has been for sale for some time. In fact, AMM contacted GPD to purchase theproperty only to learn that the owner was pre-approved for a dispensary. GPD could not buildtheir dispensary on their own property because it was in a C-l zone where dispensaries areprohibited.

GPD was granted a variance on a non-arterial road.

FOURTH DECISION- October 30, 2017. MGMT was granted a variance despite being within the1, 000 feet proscribed area (zoning case ... 0221- V). MGMT was granted a variance because theclosest dwelling, 660 feet away, was not visible from the dispensary and was on a heavilytravelled road across from a median strip.

FIFTH DECISION- February 8, 2016. Kind Therapeutics was granted a variance (zoning case...0328- V). The proposed location is 820 feet from the closest dwelling.

SIXTH DECISION- February 13, 2018. Durjay, LLC was granted a variance from the arterial roadrequirement. It was not within the 1,000 feet prohibition.

SEVENTH DECISION- February 14, 2018. AMM was denied a variance (zoning case 339-V).Despite the fact that no one opposed the variance other than the father of the tenant barowner we would displace. AMM was going to convert a saloon that opened until 2 am into amedical cannabis dispensary.

EIGHTH DECISION- April 6, 2018. DECIDED BY THE NEW HEARING OFFICER- Maryland PhysicianPartners was denied a variance (zoning case ... 016- V) even though the location was not within1, 000 feet of the statutory properties.

The former hearing officer approved an earlier decision for an arterial road variance. This newlyinstalled officer denied this request for an arterial road variance even though it was in anindustrial park nowhere near a home or school.

4B) CHANGE IN HEARING OFFICERS- On April 18, 2018, the Capital Gazette reportedthat Doug Hollman, the Administrative Hearing Officer who decided all zoning decisions andserved under three different county executives was fired "for granting zoning variances tomedical marijuana dispensaries seeking a location in the county. " He served from 2008 until hewas fired by Steve Schuh. See EXHIBIT 8.

The April 18 article went on to state, "Hollmann said Schuh was trying to influence his decisionsthrough meetings and emails. " Curiously, AMM's request for a variance was denied at preciselythe same timeframe these "meetings and emails" between Steve Schuh and Doug Hollmanwere taking place. As stated earlier, no neighbors appeared at the hearing in opposition to thevariance. In fact, Mr. Hollman asked only friendly questions and made positive comments to usat the hearing.

An April 25, 2018 article in the Capital Gazette reported that Steve Schuh wrote in a January 27,2018 email, "We have a meeting scheduled with the administrative hearings officer to discusshis variance decisions with respect to dispensaries," Schuh was writing to AnnapolisAlderwoman Rhoda Pindell Charles, who opposes medical cannabis dispensaries, about hisupcoming meeting with Doug Hollman. "We will keep you in the loop/' Schuh said in the email.(See EXHIBIT 9).

The April 25 article further reported that Hollmann drafted an eight-page letter - markedconfidential and dated Jan. 18 - detailing facts about decided and pending dispensary cases.

Curiously, AMM's request for a variance was denied at exactly the same timeframe these"meetings and emails" and a "confidential memo" between Steve Schuh and Doug Hollmanwere taking place. AMM's variance was denied roughly two weeks from the January 27 email.AMM's variance application was under consideration by Hollman at the time he drafted theconfidential memo to Schuh.

AMM raises the aforementioned articles and communications between Schuh and Hollman,and the Council's actions because they demonstrate not only the toxic environment in whichAMM found itself but also the strong appearance of conflict and undue influence by SteveSchuh.

Hollman denied the variance in AMM's application, which was quite shocking considering noneighbors appeared at the hearing in opposition.

Steve Schuh installed Jonathan Hodgson, his handpicked county attorney, to replace Hollman.

4C) Jonathan Hodgson's First Decision- Mr. Hodgson has presided over one case sincehe was named the new administrative Hearing Officer for the County. Maryland PhysicianPartners sought a variance to locate IN AN INDUSTRIAL AREA (emphasis added). The locationwas not on an arterial road. Hence, a variance was required. The request was denied despitethe fact that the proposed location was outside the 1,000-foot prohibited area and that GPD,LLC and Durjay, LLC had been granted variances for not being on arterial roads.

SECTION 5. THIRD BILL- On the same day Schuh announced the departure of Hollman heintroduced Bill No. 24-18. The bill prohibits the granting of variances for dispensaries. In otherwords, no matter the reason, the zoning officer is prohibited from granting a variance to anyapplicant who seeks to locate a medical cannabis dispensary in the County with its pre-approved license from the Commission. The bill is pending in the County Council.

So, unless you can find a property that is on an arterial road, at least one mile from anotherdispensary, and not within 1, 000 feet of a dwelling, school, residentially zoned property, orboard of education property, you are out of luck.

SECTION 6. PLANNING AND ZONING MAP- At the request of one of the Councilmembers, the Anne Arundel County Department of Planning and Zoning constructed a mapthat detailed the locations in the County that were not within 1,000 feet of a school, dwelling,residentially zoned property, or board of education property. The circles on the map designatethe location of dispensaries that have received zoning approval. Another dispensary isprohibited from being within the circle. (See EXHIBITS 10 AND 11)

Exhibit 10 is a map of the 32nd District. The Department of Planning and Zoning designated inpurple the areas that are not an arterial road, within one mile of another dispensary, and notwithin 1,000 feet of a school, dwelling, residentially zoned property, or board of educationproperty. Exhibit 11 designates by number (there are 7) the areas AMM can locate a dispensarywithout running afoul of the County's zoning law.

According to the County's own map, the following areas are:AREA #1- on top of Laurel Race Track;

AREA #2- in a heavily wooded area and fields;AREA #3- on top of light rail lines;AREA #4- warehouses and large parking lotsAREA #5- heavily wooded area sandwiched between two very large parking lots;AREA #6- BWI Airport storage and trucking facilities; andAREA #7- BWI Airport storage and trucking facilities.

The areas designated in purple in Exhibit 10 and designated by area in Exhibit 11 are privatetrucking and large warehouse and storage facilities, on top of the light rail tine, airport-relatedfacilities, heavily wooded areas without public access, and one area in the middle of athoroughbred race track.

So, unless we locate in the middle of Laurel Race Track, relocate the light rail line, move intoairport-related facilities, or pave roads to heavily wooded areas, AMM will not find a location inthe 32nd District. The above comment is not intended to be comical, it simply indicates howabsurd and irrational the process has been and continues to be in Anne Arundel County.

The sum total of land available for a dispensary in the entirety of the 32'"' District is less than ahalf square mile split into seven small slices.

SECTION 7. EFFORTS BY AMM TO BECOME OPERABLEAMM's painstaking efforts to find a suitable location in the 32nd district have been extremelyfrustrating.

AMM has not found a single location that is not within 1,000 feet of the statutory areas. Aquick, even cursory, review of the maps provided in this document convincingly demonstratesthere are no properties available for AMM to locate a Dispensary. The maps in Exhibit 10 and11 confirm AMM's position.

The areas designated in purple in Exhibit 10 and designated by numbered areas in Exhibit 11are areas that are private trucking and large warehouse and storage facilities, airport-relatedfacilities, heavily wooded areas without public access, or on a race track.

AMM filed its application on November 30, 2017 for a special exception and a variance for theproperty located at 1205 Grain Highway N in Glen Burnie. (See Exhibit 4). The zoning hearingwas held on January 18, 2018. The variance was denied in an Order issued on February 14,2018.

7A) PROPERTY SEARCH- AMM'S efforts to find a suitable location that would satisfy theCounty's zoning statute were indefatigable. AMM identified upwards of 60 properties. Over aneleven-month period, from the date AMM was awarded a pre-approved Stage-One dispensaryuntil November 30, 2017 when it applied for a variance, it conducted a serious review of thefollowing properties, working with an experienced real estate broker.

The addresses of the properties listed below were under a more serious review, many of whichresulted in an offer to purchase through a letter of intent or purchase agreement.. Dorsey Road-o 1781, 110, 1435, 1049, 1021, 1025, 1055, 2301. Grain Highway-o 306, 1412, 1101, 814, 1003, 7998, 310,. Nursery Roado 806, 1037, 1045, 1109. LV6 and A Boulevard

AMM discussed countless listings other than the above with our broker Fletcher Bauman ofChampion Realty. The above addresses are the locations we chose to vet in a more seriousmanner with the expectation of an offer to purchase. See EXHIBITS 3, EXHIBITS 12 through 19,and Exhibits 23 through 25.

Each time AMM proposed a letter of intent or offer to purchase, it contacted the Departmentof Planning and Zoning for input. On every occasion, for every property, irrespective of thecharacteristic of the property or distance from a home or the number of homes within 1,000feet, AMM was advised by the Department of Planning and Zoning that the County wouldoppose the variance request.

Since February 14, 2018, the date the variance was denied, AMM has persisted in its search fora suitable property.

7B) 1205 GRAIN HIGHWAYThe zoning process in Maryland counties is lengthy and time consuming. Anne Arundel Countyis no exception. AMM identified 1205 Grain Highway in early October 2017 as likely forobtaining approval for a variance. Although there were homes within 1,000 feet, the locationwas on an arterial road and not within a mile. Also, AMM would argue mitigating factors tosecure the variance even though homes were within 1,000 feet.

AMM relied on the MGMT decision that was issued on October 30, 2017. It was the firstdecision in which a variance was granted for a location that was within 1, 000 feet of severalhomes. AMM's arguments paralleled the arguments made by the applicants in the MGMT case.

The homes in the MGMT were "not visible" from the Dispensary. In AMM's case, one home wasin a commercial district, and the others, although visible, were either across a stream and a

bridge with no pedestrian access or up the street without sidewalks that would have enabledresidents to walk directly to AMM's Dispensary. MGMT's Dispensary was across a highway fromhomes. So was AMM's.

AMM argued the importance of delivering medical cannabis to patients in the County. It wouldpoint out statewide support for medical cannabis and the fact that only two Anne ArundelCounty legislators voted against the bill (one Senator and one Delegate). Also weighing inAMM's favor was the fact that the Administrative Hearing Officer had already granted variancesfor locations that were within 1,000 feet of homes. AMM was converting a building that was interrible condition. It was also a saloon that was open from 11 am to 2 am.

There were three separate categories of homes that were within 1, 000 feet. The closest homewas sandwiched between several businesses and was zoned for commercial use. AMM's

counsel personally spoke to the Ms. Clara Garland, the property owner about the AMM'sintentions to locate medical cannabis dispensary across the street. She stated she would notoppose zoning approval, and in fact did not appear at the hearing.

The second cluster of homes were on the opposite side from 1205 Grain Highway. The homeswere also on a commercial strip. There was no pedestrian walkway in front of their homes.Those homeowners would have to cross a busy highway with no sidewalk to get to theproposed Dispensary.

The third cluster of homes were not visible to 1205 Grain Highway, were on the other side ofSawmill Creek and a bridge without a sidewalk or walk lane.

AMM signed a purchase agreement for 1205 Grain Highway on November 15, 2017 and appliedfor a zoning variance on November 30, 2017. The hearing was held on January 18, 2018. Thevariance was denied on February 14, 2018 despite no opposition from neighbors.

The zoning process began when AMM identified the property in early October 2017. Theprocess ended on February 14, 2017. Five months were wasted on a property that clearlyshould have been granted a variance.

7C) 306 GRAIN HIGHWAYAMM located an ideal three-story building at 306 Grain Highway. The building was directly infront of a residential neighborhood. There was an elementary school within 1,000 feet, but itwas not visible to 306 Grain Highway and was on different street more than 3 blocks away,roughly 600 feet away. AMM's counsel met Kelly Dehn, the owner of the home directly behindthe building.

The morning after meeting Ms. Dehn, she sent an email dated October 19, 2017, to John Pica,describing her "excitement" about the Dispensary moving into her neighborhood. Ms. Dehnfurther stated, "you should be aware that I am positive the outcome should you purchase theproperty off Grain Highway for your Dispensary, will be beneficial to all generations of humans

within my community. " In addition, she stated, "I might add that my 80 year-old neighbor insistto be involved and would like to invite members from Maryland Chamber of Commerce whomshe is close with which is also a supporting reference when used in terms of AlternativeMedicine. Personally, I will be able to gather and reach out to several members of ourcommunity that I believe will back what you are planning. " See Exhibit 26.

In the same email chain (EXHIBIT 26), as a follow-up email dated October 20, 2017, Ms. Dehnagreed to walk the neighborhood and introduce AMM's counsel to the neighbors. Ms. Dehnalso agreed to hold a meeting with all the neighbors. Ms. Dehn arranged a meeting with theaccountant whose office is next door to 306 Grain Highway. The head of the accounting firmwho also owned the building agreed to support the location with a letter for the application.

Ms. Dehn informed John Pica that she would testify in favor of the Grain Highway location atthe zoning hearing. She also arranged a meeting between John Pica and officials from the GlenBurnie Chamber of Commerce. Mr. Pica met with officials from the Chamber who agreed not tooppose the project. The Glen Burnie Improvement Association stated it would not opposeAMM if the neighbors did not have a problem with the Dispensary.

John Pica visited the elementary school and discussed the Dispensary with the assistantprincipal. The assistant principal stated she did not have a problem with and suggested Mr. Picashould call the head of the PTA. Several calls to the PTA president were not returned.

Based on strong community support, AMM submitted a letter of intent to purchase 306 GrainHighway on October 8, 2017. Dr. Greg Daniel, Greg Daniel, Jr., John Pica, and the two brokersinvolved with the transaction walked through the building and began to conceptually plan anddesign the Dispensary at 306 Grain Highway.

The Department of Planning and Zoning advised that they would oppose the variance. Butbased on community support, AMM believed it could overcome the opposition.

John Pica began drafting the application for a variance. See EXHIBIT 21. Immediately prior tofiling the application for a variance, John Pica received a phone call from the County's attorneyfor the Board of Education. Mr. Pica was informed the Anne ArundelCounty Board of Educationwould appear at the hearing and oppose AMM's request for a variance. Based on the SchoolBoard's opposition, the Department of Planning's opposition, and Steve Schuh's persistentopposition, AMM withdrew its plans for 306 Grain Highway.

7D) 7520 WB & A BOULEVARDAMM became interested in land that was for sale at 7520 WB & A Boulevard in May 2017.APurchase Agreement was submitted on June 7, 2017 (EXHIBIT 20). AMM planned to construct a4,000 square foot structure on the property. Bay Engineering was engaged to advise and serveas engineer for the project. AMM submitted an application for a variance on July 5, 2017(EXHIBIT 22). The hearing was scheduled for September 21, 2017.

The property at 7520 WB & A Boulevard was close in proximity to a wetlands buffer and astream. AMM later learned from Bay Engineering that it was on an archeological site and wouldrequire an archeological dig. Dr. Greg Daniel was informed by Bay Engineering that it wouldtake at least two years to complete the entire planning, zoning, permitting, and constructionprocess. Due to the length of the length of time before the Dispensary could open and AMM'seagerness to operate the Dispensary, AMM withdrew the variance application on September20, 2017 (EXHIBIT 27)

7E) THE EFFECT DEMONSTRATED BY THE COUNTY MAPAMM understood the challenges of locating a dispensary after failing to find a property thatwould satisfy the zoning requirements in Anne Arundel County. But it never realized howhopeless it would be until AMM saw the map released by the County in April 2018.

The map makes certain there is no property available that is not within a mile of anotherdispensary, 1,000 feet of a dwelling, school, residentially zoned property, or board of educationproperty.

SECTION 8. FINAL ACTION BY ANNE ARUNDEL COUNTY COUNCIL: BILL 24-18On April 6, 2018, an article appeared in the Capital Gazette that stated Schuh is planning to"form a task force to review county laws governing zoning restrictions of dispensaries." Thearticle further stated that Schuh admitted that "the law may need adjusting to make it possiblefor clinics to open without seeking a variance." Precisely the opposite happened. EXHIBIT 28.

On May 7, several days ago, the County Council amended Bill 24-18. There is no task force inthe amendments. There is no effort to "review county laws governing zoning restrictions ofdispensaries" in the amendment. Nor will it be "possible for clinics (dispensaries) to openwithout seeking a variance, " as stated by Steve Schuh. Quite the contrary. Schuh is making itimpossible. Variances, under the amended bill, are prohibited specifically in the statute. Theonly change was to allow a Dispensary in an industrial park on a non-arterial road, provided it isnot within 1, 000 feet of the statutory buildings, homes, or land. EXHIBIT 29.

The final vote on Bill is on May 21, 2018 (see page 1 of Exhibit 29). The bill is co-sponsored byevery member of the Council and is spearheaded by Steve Schuh. It will pass without issue orquestion. Now would be the appropriate opportunity to view Exhibits 10 and 11 in the contextof the amended bill. Steve Schuh and the Anne Arundel County Council have effectively bannedthe remaining Medical Cannabis Dispensaries that have not applied for zoning. Certainly, areview of the map clearly indicates AMM will not be able to locate a Dispensary in District 32.

Instead of fixing the problem in Anne Arundel County, Steve Schuh and the Council made thingsfar worse for AMM. It is now impossible for AMM to operate a Dispensary in Anne ArundelCounty.

SECTION 9. CONCLUSIONIn less than eighteen months, there have been the ban announced ban by Steve Schuh, threebills, two laws enacted, one awaiting a vote, a Hearing Officer fired, a new Officer, a promisedtask force that didn't occur, and a zoning decision that denied a variance in an industrial park.

If the enactment of Bill 24-18 is superimposed over the map in Exhibit 11, the only conclusionto draw is that AMM will not find a location in District 32.

SECTION 8. FINAL ACTION BY ANNE ARUNDEL COUNTY COUNCIL: BILL 24-18AMM respectfully requests that the Commission grant AMM permission to relocate its Stage-One Preapproved Dispensary License to another county. AMM prefers to locate in eitherBaltimore County or Baltimore City.

The arguments and facts stated in pages 1 through 13 of this document and accompanyingexhibits are incorporated herein as part of AMM's request for relocation.

AMM stands prepared to operate a state-of-the-art Dispensary that focuses on the appropriatedelivery of medical cannabis, health, education, and wellness. The Dispensary will providecounseling, education regarding the application of organic formulations to medical conditionsand maintenance of a healthy lifestyle. AMM anticipates a facility of approximately 6, 000square feet.

Dr. Gregory Daniel- Business and Medical ExperienceDr. Daniel was an emergency medicine physician for many years. After earning a masters'degree in business administration, he concentrated on the commercial delivery of health care.Dr. Daniel founded the Exigence Group, a conglomerate of Emergency Medicine, Urgent Care,Occupational and Hospitalist Medicine services. This Organization oversaw the care of morethan 700, 000 patients annually and was purchased by a publicly traded health care entity in2012.

Dr. Daniel will apply his medical, business, and professional expertise to Maryland's medicalcannabis program. He and his team are looking forward to discussing relocation of theDispensary License to another county.

Alternative Medicine Maryland (AMM) requests an extension beyond March 1, 2020. AMM wasissued a Stage-One Pre-Approval for a Medical Cannabis dispensary ("Dispensary") to operate inthe 32nd District in Anne Arundel County. The circumstances regarding AMM's inability to locatea Dispensary and become operable are due to an unforeseen hardship created bycircumstances completely outside of AMM's control.

AMM is responding to an email from Craig Williams on January 29, 2020 and an email fromMitchel Parke on the same day. A Bulletin was attached to the email from Craig Williams statingthe deadline for request of an extension. The request is due on February 3, 2020.

AMM respectfully requests and extension beyond March 1, 2020 for the below mentionedreasons.

Please see the Commission Progress Conference Document (Progress Document- Exhibit 1). Thedocument, submitted in response to an April 17, 2018 letter from the Commission, details thereasons AMM was not able to become operational. Specifically, due to the restrictive zoninglaws in Anne Arundel County AA Co), AMM was not able able to become operable at the timeAMM submitted the Progress Document.

Anne Arundel County's zoning law is particularly harsh on AMM because the 32nd District is inthe most densely populated area. A full explanation of the undue hardship occasioned uponAMM is fully detailed in the Progress Document.

The density of population is an important fact. As pointed out clearly in the Progress Document(Exhibit 1), it was impossible to find a location that would avoid the claws of the zoning statute.For some odd and inexplicable reason, the Schuh administration legislation only applied to theareas north of Route 50. All Dispensaries south of Route 50 were not subject to the necessity ofobtaining a variance. Making matters worse, the council did not amend the Odenton TownPlan, and therefore, AMM could not locate in Odenton. Fort Meade, a very large part of thedistrict, is a military complex. And until May 27, 2019, Dispensaries were not allowed in areaszoned C-l. These three factors ruled out at least one-third of the land available for a Dispensaryin the 32nd district.

DECEMBER 21, 2015 TO NOVEMBER 2018Beginning in the fall of 2018 and stretching to May 2019, the Anne Arundel County Councilenacted 4 laws that prohibited AMM from locating a property that would satisfy

The County Council passed four different bills that made it impossible for AMM to purchase aproperty that would satisfy AA Go's zoning statute. The actions by then-County Executive SteveSchuh and the County Council are spelled out in the Progress Document (attached as Exhibit 1).

The reasons stated in the Progress Document provided clear and convincing evidence that waspersuasive enough for the Commission to grant AMM deserved its initial extension.

AMM DENIED A VARIANCE FOR 1205 GRAIN HIGHWAY

The zoning process in Maryland counties is lengthy and time consuming. Anne Arundel Countyis no exception. AMM identified 1205 Grain Highway in early October 2017 as likely forobtaining approval for a variance. Although there were homes within 1,000 feet, the locationwas on an arterial road and not within a mile. Also, AMM would argue mitigating factors tosecure the variance even though homes were within 1,000 feet.

AMM relied on the MGMT decision that was issued on October 30, 2017. It was the firstdecision in which a variance was granted for a location that was within 1,000 feet of severalhomes. AMM's arguments paralleled the arguments made by the applicants in the MGMT case.

The homes in the M6MT were "not visible" from the Dispensary. In AMM's case, one home wasin a commercial district, and the others, although visible, were either across a stream and abridge with no pedestrian access or up the street without sidewalks that would have enabledresidents to walk directly to AMM's Dispensary. MGMT's Dispensary was across a highway fromhomes. So was AMM's.

AMM argued the importance of delivering medical cannabis to patients in the County. AMMnoted statewide support for medical cannabis and the fact that only two Anne Arundel Countylegislators voted against the bill (one Senator and one Delegate). Also weighing in AMM's favorwas the fact that the Administrative Hearing Officer had already granted variances for locationsthat were within 1,000 feet of homes. AMM was converting a building that was in terriblecondition. It was also a saloon that was open from 11 am to 2 am.

There were three separate categories of homes that were within 1,000 feet. The closest homewas sandwiched between several businesses and was zoned for commercial use. AMM's

counsel personally spoke to the Ms. Clara Garland, the property owner about the AMM'sintentions to locate medical cannabis dispensary across the street. She stated she would notoppose zoning approval, and in fact did not appear at the hearing.

ELECTION FOR COUNTY EXECUTIVE OF ANNE ARUNDEL COUNTY- NOVEMBER 18, 2018

In November 2018, Stewart Pittman defeated Steve Schuh for County Executive. A new CountyCouncil was also elected. The Council also had six new members in addition to the one

incumbent who was re-elected. The political appetite for Medical Cannabis Dispensariesimproved greatly.

COUNCIL BILL 7-19 EFFECTIVE DATE MAY 27, 2019On February 4, 2019, newly elected Councilwoman Allison Pickard introduced Council Bill 7-19(attached). The legislation loosened the zoning restrictions, allowed applicants for dispensariesto apply for a variance and allowed dispensaries to be located in C-3 zoning areas. The billcontained restrictions, but there was hope, particularly since the new County Executiverepeatedly stated in his campaign that he believed the medical cannabis zoning law in AA Co.was too restrictive

We were informed in early February 2019 that Pickard's bill would pass and be signed byCounty Executive Stewart Pittman.

Upon being informed a new zoning law would soon become effective, AMM wasted no timeand immediately began looking for a property in the 32nd to locate its dispensary, even beforethe law would become effective.

Bill 7-19 passed the County Council on April 12, 2019. The new law became effective on May27, 2019 (see Exhibit 2.)

ATTEMPTS BY AMM TO PURCHASE A PROPERTY1. On February 14, 2019 AMM submitted a letter of intent to real estate agents Eric

Noonan to purchase 504 South Camp Meade Road. The offer was $850, 000 (see Exhibit3). The Camp Meade property was held in trust after the death of the owner. Threechildren of the deceased owner inherited the property. The sale required unanimousapproval by all three children. The family members could not agree, and as negotiationsdragged on, it became apparent that the heirs would not agree on a price. Severaltimes, they changed course and wanted to lease the property. AMM decided to pursueanother property.

2. On April 16, 2019, AMM submitted a letter of intent to real estate agent Alex Hwang topurchase 200 North Grain Highway (see Exhibit 4). The offer was $800,000.

The property was a former restaurant that fell into foreclosure. At the time AMM's

letter of intent was sent to the agent, the property was owned by a bank in the State ofWashington. After multiple conversations and consumption of time negotiating with thebank, AMM decided to pursue a different property. The bank wanted to sell theproperty "as is" and would not agree that the sale be contingent on zoning approval. Itwould be foolish for AMM to agree to buy a vacant restaurant without a zoningcontingency.

3. On July 27, 2019, AMM submitted a letter of intent to Sawney Commercial, LLC topurchase 420 South Grain Highway (see Exhibit 5). The offer was for $940,000. He agentwas less than forthcoming in disclosing tenancies at the property. Each tenant had long-term leases. AMM correctly determined the property unsuitable.

4. On September 26, 2019, AMM submitted a letter of intent to real estate Steve Chapmanto purchase 7348 Ritchie Highway (see Exhibit 6). The offer was for $610, 000 (Six-Hundred Thousand). Negotiations were serious and AMM agreed to purchase theproperty for $675,000 (Six-Hundred Seventy-Five Thousand). AMM submitted aPurchase Agreement for $675,000.

AMM and the owners of 7348 continued negotiations for more than a month and metseveral times. The sellers operated a diner next door to the property and wanted apermanent easement on the property for parking for their restaurant patrons. AMMwas not able to convince the sellers that AMM needed the parking spaces for itspatients. The sellers would not budge, and only a fool would have agreed to such aneasement. Without parking for AMM, could not obtain zoning approval, nor wouldpatients have a place to park. AMM decided in late December that it was impossible todeal with the owners of 7348. AMM decided to continue its search for a suitable

property.

5. 12-14 GRAIN HIGHWAY SOUTH. On December 16, 2020, AMM heard from a real estateagent that an attorney on Grain Highway might be interested in selling her property. OnDecember 16, 2019, John Pica sent Crystal Barnett an email expressing interest in herproperty (Exhibit 7- email chain).

Several conversations between the owner and AMM ensued, and the owner decidedshe wanted to lease the property with an option for AMM to purchase. John Pica sentan email to Ms. Barnett on December 28, 2019 that contained the terms agreed upon inconversations (see Exhibit 8- also see Substitute Exhibit 14 with correction). The ownerof 12-14 Grain Highway South and AMM agreed upon a price and terms. We reached anagreement on the price and terms of a twelve-month lease with the right to purchasethe property after twelve months.

On January 28, 2020, AMM received an email from the owner of 12-14 Grain HighwaySouth (see Exhibit 9). The email contained the Agreement (see Exhibit 10).

AMM has had several conversations with the owner of 12-14 Grain Highway South andwill be sending back to her a mark-up of the Agreement with our suggested changes. OnShe has verbally agreed with those changes. AMM is confident it can close thistransaction.

SEVEN MONTH TIME FRAME IN ANNE ARUNDEL COUNTY- MAY 27, 2019 TO PRESENTThe Commission granted Stage-One Pre-Approvals for Dispensaries in December 2016. Acrossthe state, in every county except Anne Arundel County, Dispensaries outside AA Co. have hadclose to three years to find a location to operate as a Dispensary.

AMM has only had 7 months (since the effective date of the new law) to find a property. In that7p-month period, AMM has reviewed every available retail commercial property in the 32ndDistrict.

CURRENT RETAIL COMMERCIAL PROPERTIES FOR SALE IN THE 32ND DISTRICTCurrently, there are only 6 retail commercial properties for sale in the 32nd District (Exhibit 11).This is the typical number of available properties in AMM's district. Here are the properties forsale today in the 32nd district:

1. 504 S. Camp Meade- sent letter of intent- Exhibit 3;2. 6918 Ritchie Highway- industrial park- not suitable for a dispensary3. 7410 Ritchie Highway- 50,000 square foot building- not suitable4. 814 Grain Highway- reviewed this property 3/8/2018- still for sale, not suitable (Exhibit

12)5. 402 Grain Highway- reviewed this property 3/18/2018- still for sale, not suitable (Exhibit

12)6. 706 Grain Highway- reviewed this property 3/18/2018- still for sale, not suitable (Exhibit

12).7. 10545 Guilford Road- 900 square foot cube space in an industrial park, not suitable.

Excluding numbers 2, 3, and 7 above, due to either size or industrial location, the other retailproperties have been on the market for several years. They are not suitable for a MedicalCannabis Dispensary.

AMM has consistently, and daily for that matter, researched the market for close to four yearsfor the purpose of locating an appropriate property. The number of available listings in the 32nddistrict has consistently been a short list.

From December 15, 2015 to May 27, 2019, because it was illegal to have a Dispensary in C-ldesignated areas, the failure of the Council to include Odenton in the zoning bill, density ofdwellings in proximity to retail commercial properties in the 32nd district, and the mostrestrictive zoning statute in Maryland, AMM could not find a location for its Dispensary.

The Schuh administration practically banned Medical Cannabis Dispensaries with theintroduction of Bill 24-18. The bill prohibited the granting of variances for dispensaries. In otherwords, no matter the reason, the zoning officer was prohibited from granting a variance to anyapplicant who sought to locate a medical cannabis dispensary in the County. The ban onvariances was the law in Anne Arundel County until May 27, 2019.

LETTERS OF INTENT AND PURCHASE AGREEMENTS SUBMITTED BY AMMIn addition to the properties listed in Exhibit 13, AMM has vetted through agents and brokersmore than 100 over the course of 4 years.

AMM has submitted either Letters of Intent or Purchase Agreements on the properties inExhibit 13. The list of properties does not include the dozens of properties negotiated withagents that did not result in the submission of either a Letter of Intent or Purchase Agreement.

CONCLUSIONBased on the aforementioned information, documents, and exhibits, AMM deserves an

extension. AMM has done everything possible to locate a Dispensary in the 32nd district. Theprohibitively restrictive zoning statute in Anne Arundel County that stifled AMM's attemptsuntil May 27, 2019, AMM's relentless efforts to find a location, and the fact that AMMaggressively pursued every possible appropriate property for sale is ample evidence that AMMshould be granted an extension.

In less than 7 months, AMM submitted letters of intent or purchase agreements, held countlessmeetings with real estate agents and owners of properties, and engaged in lengthy negotiationson 5 properties. AMM has proven it is serious about opening the Dispensary it earned though avery competitive and expensive application process.

AMM is confident it will be successful in negotiations for 12-14 Grain Highway South.
