The tender document can be obtained from the Office of the Director, Zoram Energy Development

Agency (ZEDA) during office hours on any working day up to 30th May, 2014 by paying the cost of tender document through Bank draft in favour of Director, ZEDA, payable at Aizawl. The tender documents can also be downloaded from ZEDA website i.e., www.zeda.mizoram.gov.in and the cost of tender documents can be deposited through Bank draft in favour of Director, ZEDA at the time of submitting the tenders.

The tender should be submitted in two separate sealed envelopes i.e., Part – I (TECHNICAL / COMMERCIAL BID) with EMD as mentioned above and Part – II (PRICE BID). Tenders shall be opened on 30th May, 2014 at 2:00 PM in the Office of the Director, ZEDA.

The Price Bid of only those bidders who qualify in Technical/Commercial Bid will be opened. The price bid will be opened thereafter on a suitable date which shall be announced on the date of the opening of the tenders. The Director, ZEDA reserves the right to reject any or all the tenders without assigning any reason thereof.

SECTION - I GENERAL TERM & CONDITIONS

PREFIX TO THE TERMS AND CONDITIONS OF CONTRACT

In the contract the following expression shall, unless the context otherwise requires have the meanings thereby respectively assigned to them.

1. The “Government” shall mean the Government of Mizoram or the Government of India, as may be the case.

2. “ZEDA” means Zoram Energy Development Agency.

3. “Contract”: Contract mean the document forming the tender, acceptance thereof and the formal agreement executed between the ZEDA and the Contractor, together with documents referred to therein otherwise it shall mean the Notice Inviting Tender, information and instructions to bidder. Tender (including the warranty “schedule of quantities and prices” and other schedule attached thereto) General conditions of contract, special conditions, if any, specifications, designs, drawings and letter of award thereof.

4. “Contract Price”: Means the price payable to the Contractor under the contract for full and proper performance of its contractual obligations.

5. The “Contractor” shall mean the person or corporation or firm who’s tender for the work has been accepted and his /its executors, administrations, or permitted assigns.

6. “Works”: Means the materials to be supplied and the work to be executed as defined and set out in the specifications and includes all extra work, additions, deletions, substitutions and variations ordered by the Engineer-in–charge in accordance with the provisions of the contract.

7. “Engineer-in-Charge”: Means the Engineering Officer appointed by ZEDA to sign or cause to sign, the contract agreement on behalf of the ZEDA and the Engineering officer appointed by the ZEDA or its duly authorized representative to direct supervise and be in-charge of the works for the purpose of the contract.

8. “The Consultant” shall mean the firm or person as may be duly appointed by the ZEDA to act as Consulting Engineer for the purpose of work covered in the contract.

9. “Specifications”: Means collectively all the terms and stipulations contained in this document including the conditions of contract, technical provisions and attachments thereto and list of corrections and amendments.

10 “Site”: Means the land on, under in or through which the works are to be executed or carried out and such lands as may be agreed upon between the ZEDA and the contractor as being reasonable and necessary for the carrying out of the works.

11. “Tests on Completion” shall mean all such tests as are prescribed by the specification to be made by the contractor to the satisfaction of the ZEDA before the plant and equipment are taken over by the ZEDA/Users and this also includes those tests not specifically mentioned in the specification but required

under various BIS codes and relevant Electricity Acts and Rules as amended up to date.

12. “Commissioning” shall mean the satisfactory, continuous and uninterrupted operation of the equipment/work as specified after all necessary initial tests, checks and adjustments required at site for a period of at least 30 days to the satisfaction of the Engineer-in-Charge.

13. “Approval” shall mean the written approval of the Engineer-in-Charge and of the statutory authorities, wherever such authorities are specified by any codes or otherwise.

14. “Drawings”: Means collectively all the accompanying general drawings as well as all detailed drawings, which may be used from time to time.

15. “Tender Drawings”: Refers to the drawings made part of the tender documents.

16. “Detailed Drawings”: To be furnished by the contractor for execution of the work and they will form part of the contract.

17. “Labourer”: Means all categories of labour engaged by the contractor, his sub-contractors and his piece workers for work in connection with the execution of the worked covered by the specifications. All these labourers will be deemed to be employed primarily by the contractor.

18. “Fiscal year”: Means year beginning on the first day of April and ending on 31st March in the succeeding year.

19. “Day’: Means a calendar day beginning and ending midnight.

20. “Month or Calendar month”: Means not only the period from the first of a particular month, but also any period between a date in a particular month, and the date previous to the corresponding date in subsequent month unless specifically stated otherwise.

21. “Week”: Means seven consecutive calendar days.

22. “ZEDA Stores”: Means the stores owned by the Zoram Energy Development Agency.

23. “Security Deposit”: Means all deposits whether in Government Securities, Fixed deposit receipts or Bank Guarantee from a Nationalized Bank of India, amounts deducted from interim payments or in any other form pledged to Zoram Energy Development Agency for due performance of the contract and shall be adjusted in case of compensations, or penalties and which may stand either in part or whole as the situation demands.

24. “Urgent Works”: Means any urgent measures, which in opinion of the Engineer – in-Charge, become necessary at the time of execution and/or during the progress of work to obviate any risk of damage to the structure, or required to accelerate the progress of work or which become necessary for security or for any other/reason the Engineer-in –Charge may deem expedient.

25. “Project” refers to Installation and Commissioning of an aggregate capacity of 43 kWp Wind-Solar Hybrid Systems

26. “Manufacturer”: Refers to the party proposing to Design and Construct as specified complete or in part.

27. “Plant, Equipment, Stores”: Means and include plant and materials to be provided under the contract.

28. “Delivery of Plant/Equipment” shall be deemed to take place on delivery of the plant/equipment in accordance with the terms of the contract complete in all respect after approval by the Director, Zoram Energy Development Agency on report of Engineer-in-Charge.

29. “Letter of Intent”: Means the letter from the Director, Zoram Energy Development Agency, conveying his acceptance of the tender subject to such reservations as may have been stated therein.

30. “Sub-Contractors”: refers to a party or parties having direct contract with the contractor and to whom any part of the contract has been sublet by the contractor with the consent in writing of the Engineer-in-charge.

31. “Tonne M.T”:- Where used in these specifications shall mean metric tonne of 1000 Kg.

The terms and expressions not herein defined shall have the same meaning as assigned to them in the Indian Sale of Goods Act, 1977 or any such Act as the case may be.

SECTION - II GENERAL INFORMATION TO THE TENDERER

1. Tenders shall be submitted on original Tender document issued by this office.

Conditional tenders and tender not accompanied by EMD shall not be accepted. 2. Those manufacturers who have downloaded the tender document from website

shall have to deposit the price of tender document i.e. Rs. 500/- along with EMD in the form of Demand Draft only in favour ot Director, ZEDA payable at Aizawl.

3. Rates quoted should be FOR site inclusive of all taxes, including VAT, duties & octroi etc. Rate shall be valid upto three months from the date of opening of tender.

4. Supply, installation and commissioning should be completed within 6 months of the placement of the order.

5. Training for O & M activities will be undertaken simultaneously with beginning of installation and commissioning and will be completed within 7 days. It will be ensured by the manufacturer that at least two local persons are adequately trained for all O & M activities else the manufacturer will have to deploy his person on his rolls to undertake these activities.

6. Bidder shall establish an arrangement to provide after sales service

7. Manufacturer will bill the system directly in the name of ZEDA. No C-form will be issued by ZEDA in connection with the material supplied to them.

8. The payment terms shall be as under :

a) 90% payment will be made after completion of the project subject to fund availability from MNRE and the State/Beneficiary

b) 5% on Completion of training of O & M activities and providing two copies of

manual of each of the equipment (One copy to beneficiary and one copy to ZEDA)

c) 5% after trouble free working of the system for five years from the date of

installation and commissioning of the same *. • This amount (5%) will be released @ 1% yearly on the basis of the

satisfactory performance report from the beneficiary/ZEDA. (Bidders may please appreciate that all the performance guarantee amount is being released in a period of 5 years. This is in spite the fact that SPV panels and system is having a warranty of ten years. Bidder should therefore

honour the full warranty as per the terms of order lest it may lead to reporting of the matter to all concerned and / or blacklisting.)

9. EMD shall be released within a month of the completion of the contract period;

EMD of the unsuccessful bidders shall be released immediately after the finalization of the tenders and issue of order to successful bidder.

10. Tender bids will be submitted in two parts, technical bid and financial bid. The Demand draft of EMD shall be placed in the technical bid cover.

11. Financial bid of only those bidders who qualify the technical bid will be opened.

12. Tenders shall be opened in the presence of the bidders who wish to be present at the time of opening of the tenders.

13. Total cost of the system will be decided on the basis of the cost of the system plus civil works, transportation, imparting training etc.

14. Unless given specific instructions, SPV panels, Wind Aero generator along with balance of the system is liable for inspection at manufacturing end by the designated one or two officers assigned for the purpose at the contractor’s own cost, before dispatch. Testing charges if any charged by the approved testing centre/Lab for the checking of performance will be borne by the firm.

15. The bidder may visit the site and collect all necessary information as may be required by him before submission of the tender.

SECTION - III SPECIAL TERMS AND CONDITIONS

1. A warranty for a minimum period of five years from the date of commissioning of

the Wind SPV hybrid system will be provided by the respective manufacturer to the user/SNAs against any manufacturing defect and deficiencies in the design, engineering and materials of the components used in the system including batteries.

2. Solar SPV modules used in the hybrid system will need to have a warrantee for a

period of at least 10 years from the date of supply.

3. Failure to complete work order in time shall attract penalty @ 2% of the delayed goods for every week of delay or part thereof to a maximum of 10%. However, under force majeure conditions extension may be granted by competent authority at their sole discretion on consideration of the whole circumstances.

4. The offers shall be accompanied with a set of complete technical literature, operation and maintenance manual on the product offered in English language.

5. The offers shall be accompanied with latest test certificates from approved testing centres of the MNRE, Govt. of India. Test reports of earlier years shall not be entertained. Offer received without test certificates shall not be accepted.

6. Only the MNRE empanelled models of the Aero-generators & SPV modules conforming to the relevant IEC Standards for Wind-Solar Hybrid power projects are eligible to quote.

7. For speedy execution, the work can be placed on more than one party on lowest approved rates by the Director.

8. Quality of the product would be the essence of the contract. Director’s effort is to provide the best quality and an efficient product to the beneficiary. Director is therefore not obliged to accept the lowest tender only.

9. Material shall be strictly as per the specifications of the “Tender document”. If there is any left out specification or there is proposal for any better specification by the supplier, the same shall be considered by the Director, ZEDA. A written consent from his office needs to be obtained by the manufacturer before affecting the supply.

10. All disputes relating to this work shall be subject to the jurisdiction of MIZORAM or sub-ordinate courts at AIZAWL only.

11. Director, ZEDA reserves the right to accept or reject any or all the tenders without assigning any reason in the interest of the Agency.

SECTION - IV DOCUMENTS TO BE ENCLOSED WITH THE OFFER

Part – I & Part – II of the tender should comprise the following documents :- Part – I: Technical bid The technical bid Part – I of tender shall be offered and furnished complete in al respect in Annexure – IX along with following documents: a) Forwarding letter in Proforma – I and form – F1 b) Photocopy of partnership deed in case of partnership firm c) Power of attorney for authorized signatory in case of companies d) Details of past experience against supply made to different state nodal agencies,

if any. e) Photocopies of certificate of satisfactory performance of system supplied to state

nodal agencies / Govt. departments along with copy of purchase order f) Empanelment with MNRE, GOI, New Delhi g) Earnest money deposit h) Drawings with specification of the product quoted for i) Write up on after sales service arrangement j) Document cost of Rs. 500/- if copy of DNIT downloaded from website:

www.zeda.mizoram.gov.in. The supplier should enclose the bar chart showing the time of every operation from the date of order up to the date of training and handing over the project to trained personnel under the supervision of ZEDA.

Part – II – Financial bid a) Rate quoted should be FOR to the site with five year warranty period and it

should be inclusive of all parts packing, transportation, Loading – unloading, all taxes and duties VAT.

b) Separate break up should be given for cost of wind Solar Hybrid System, Mounting arrangement, charge controller, power conditioning unit, battery banks and all other accessories. All these items will be added up together and will form basic price of the system.

c) Separate rates should be given for installation, mentioning specifications and drawing of pole and civil work required for foundation etc.

d) The bidders should provide complete technical specifications of Wind – Solar Hybrid system and its sub – system such as electronics, batteries etc.

e) Price shall remain firm and fixed. Price variation clause is not acceptable. f) Prices should be written in both the figures and words. In case of any variation,

the price written in words shall be considered for Tender evaluation.

• The strength of the material of the container shall be such that it can handle the

internal pressure of the cell in extreme working conditions. The cell/mono-block shall not show any deformity, cracking or bulge on the side under all working conditions.

• The battery shall be provided with a pressure regulation valve, which shall be self-re-sealable and flame retardant. The valve unit shall be such that it cannot be opened without a proper tool.

• The cell covers shall be made of suitable plastic material compatible with the container material and permanently sealed with the container. It shall be capable to withstand internal pressure without bulging or cracking. It shall also be fire retardant.

• The batteries shall use 2V cells and battery capacity is to be designed at C10 rate with end cell cut off voltage of 1.80V/cell.

• Charging instructions shall be provided along with the batteries.

• Suitable carrying handle shall be provided.

• Offered batteries shall comply to the following : 10% of DOD : 7200 cycles 50% of DOD : 3000 cycles 80% of DOD : 1200 cycles

• The self – discharge of batteries shall be less than 3 % per month at 27 deg.C and les than 6% per month at 30 deg. C

• The charge efficiency shall be more than 90% up to 70% state of charge.

7. Mounting structure, Lattice Tower, Cables and other balance of system :

Tower design will be for self supporting Lattice type tower of 20m height, having galvanized or MS Angle Powder Coated. The responsibility of design & foundation at site ensuring safety under all exigencies will rest on the supplier of Aero-generator. Wire from Generator to Controller should be through galvanized pipe of suitable size. The system will be properly earthed.

8. The Tower for the wind aero-generator shall be of MS angle / pipes galvanized or

with anti corrosive coating. The height of tower shall be minimum 20 Metres above to ground levels Solar photovoltaic structure should be at such a height that the user cleans the panels easily. The details and drawing should be submitted along with tender document.

9. The cables shall be of appropriate size and passed through proper conduits using material of ISI Mark. The system shall be installed properly having aesthetically good looks. All the ISI codes for the electrical cabling should be followed.

10. The necessary arrangements for automatic change over switches should also be accommodated in the system design.

11. Load Controller with automatic change over should be properly designed.

12. Apart from all above technical specification, the bidder shall have to follow and adhere to norms and specification laid down for MNRE, GOI

Wire from Generator to Controller should be through galvanized pipe of suitable size. The system will be properly earthed.

8. The Tower for the wind aero-generator shall be of MS angle / pipes galvanized or

with anti corrosive coating. The height of tower shall be minimum 20 Metres above to ground levels Solar photovoltaic structure should be at such a height that the user cleans the panels easily. The details and drawing should be submitted along with tender document.

9. The cables shall be of appropriate size and passed through proper conduits using material of ISI Mark. The system shall be installed properly having aesthetically good looks. All the ISI codes for the electrical cabling should be followed.

7. Mounting structure, Lattice Tower, Cables and other balance of system :

Tower design will be for self supporting Lattice type tower of 20m height, having galvanized or MS Angle Powder Coated. The responsibility of design & foundation at site ensuring safety under all exigencies will rest on the supplier of Aero-generator. Wire from Generator to Controller should be through galvanized pipe of suitable size. The system will be properly earthed.

8. The Tower for the wind aero-generator shall be of MS angle / pipes galvanized or

with anti corrosive coating. The height of tower shall be minimum 20 Metres above to ground levels Solar photovoltaic structure should be at such a height that the user cleans the panels easily. The details and drawing should be submitted along with tender document.

9. The cables shall be of appropriate size and passed through proper conduits using material of ISI Mark. The system shall be installed properly having aesthetically good looks. All the ISI codes for the electrical cabling should be followed.

10. The necessary arrangements for automatic change over switches should also be accommodated in the system design.
