    FOREWORD

    THE WESTERNERS,Los Angeles Corral, is or-

    ganized as a non-profit organization with the

    avowed purpose of enabling men with common

    interests to meet with reasonable frequency

    and exchange information and knowledge rela-

    tive to the cultural and historic background of

    what is commonly termed the West.

    Certain basic and fundamental principles of

    this purpose commit the Corral to record in

    permanent form historical material which mem-

    bers have been able to assemble by diligent

    research, thus recording items of Western His-

    tory that might not otherwise be preserved.

    To this purpose, as members of The West-

    erners, Los Angeles Corral, we dedicate our-

    selves, and for guidance we adopt these Rules

    of the Range.

    RANGE RULES

    (BY-LAWS)

    THE WESTERNERS

    LOS ANGELES CORRAL

    (with amendments through 1975)

    ARTICLEIMEMBERSHIP

    SECTION1. Membership in this corporation shallconsist of Active Members, Non-Resident Active Mem-bers, Associate Members, Honorary Members and

    Corresponding Members. Membership is not transfer-able.

    SECTION2. ACTIVE MEMBERS shall be limitedto not more than seventy-five men who are sincerelyinterested in effecting and accomplishing the specificand primary purpose of this corporation as set forthin the Articles of Incorporation. The Active member-ship roll shall be filled only from the Associate mem-bership and in the following manner.

    An Associate Member may be sponsored and pro-posed for Active Member by two Active Members. The

    sponsoring Active Members shall present the Asso-

    ciate Member's name to the Membership Committeewith a proposal form setting forth the Associate Mem-ber's attendance record, the participation of the Asso-ciate Member in the activities of the Corral and theother information required by the proposal form. TheMembership Committee shall, after investigation, makeits recommendation to the Trail Bosses, who shall thenvote to accept or reject the proposal. Acceptance of theproposal shall require six out of seven affirmative votes

    of the Trail Bosses. The proposing Active Membersmust never disclose to the Associate Member, nor tothe membership in open meeting or otherwise, that theAssociate Member is being proposed as a prospectiveActive Member, as this might well lead to later em-barrassment.

    The rights, privileges and obligations of Active Mem-bers are:

    (a) To pay on or before the first day of March suchannual dues as are determined by the Trail Bosses.

    (b) It is hoped and expected that an Active Mem-ber will attend as many meetings as it is possible.

    (c) To cast one vote at all meetings.( d) It is self evident that the vitality and strength

    and accomplishments of any organization is dependenton the support it receives from its membership. This isespecially true of a small membership. It is, therefore,expected that each Active Member will participate inthe Corral's activities according to his abilities or talents

    in order to further the welfare of the organization in

    general.( e) To contribute time, effort and material to thepreparation and distribution of the publications of theCorral and to purchase one or more Brand Books asthey are published.

    () Upon acceptance, an applicant for Active mem-bership must, as a condition of acceptance, pay oneyear's dues.

    (g) A record shall be kept by the Registrar or his

    assistant of the meeting attendance and the participa-tion of the Active Members by submission of papersfor the Corral's publications, talks and/or exhibits atthe monthly Round-ups, wrangling at Round-ups andall other contributions to the Corral's well-being.

    (h) Continuation of Active membership shall beheld at the pleasure of the Trail Bosses.

    SECTION3. NON-RESIDENT ACTIVE MEM-BERS. An Active Member, on petition to and approval

    by the Trail Bosses, may be placed on Non-ResidentActive status when there appears to the satisfaction ofthe Trail Bosses that his place of residence preventshis regular attendance at meetings of the Corral.

    NON-RESIDENTActive Members shall be entitled toall the privileges and be bound by all the obligations ofan Active Member except that of regular attendance atmeetings of the Corral.

    When an Active Member is approved for Non-Resi-

    dent Active status by the Trail Bosses, a vacancy shallbe deemed created in the Active Membership roll whichmay be filled in the manner provided in Section 2 ofthis Article I for election to Active membership.

    SECTION4. ASSOCIATE MEMBERS. A Corres-ponding Member who wishes to participate actively andregularly in the Corral's activities may be sponsoredand proposed for Associate Membership by two ActiveMembers. The sponsoring Active Members shall pre-sent the Corresponding Member's name to the Member-ship Committee with a complete proposal form. The

    Membership Committee shall, after investigation, makeits recommendation to the Trail Bosses, who shall thenvote to accept or reject the proposal. Election shallrequire six out of seven affirmative votes of the TrailBosses.

    (a) The Registrar shall send invitations for meetingattendance to all Associate Members.

    (b) A record shall be kept by the Registrar or hisassistant of the meeting attendance and the participa-tion of the Associate Member by submission of papers

    for the Corral's publications, talks and/or exhibits atthe monthly Round-ups, wrangling at Round-ups, andall other contributions to the Corral's well-being.

    (c) The dues of the Associate Member shall betwice that of Corresponding Membership, and shall bepaid annually on or before the first day of March.

    (d) Associate Members shall have no voting powerin the Corral.

    ( e) It is expected that each Associate Member will

    participate in the Corral's activities according to hisabilities or talents in order to further the welfare of theorganization in general.

    (f) The Trail Bosses may change Associate to Ac-tive membership in the manner prescribed in Section 2of this Article.

    (g) Continuation of Associate membership shall beheld at the pleasure of the Trail Bosses.

    (h) Associate Members shall be on the mailing list

    to receive The Branding Iron; shall be required to pur-chase Brand Books on the same basis as Active Mem-bers, and to purchase Publication Fund Certificates.

    (i) Whenever and wherever in this Article I thewords "proposal form" are used, the same shall referto and include a proposal form which shall have beenapproved by the Trail Bosses.

    SECTION5. HONORARY MEMBERSHIP may beconferred upon any man who has substantially contri-

    buted to the perpetuation of the spirit and culture ofthe Old West and/or the creation or preservation ofWestern Americana. Honorary Members shall be pro-posed by two or more Active Members, such proposalto be in writing addressed to the Sheriff. Election pro-cedure shall be the same as that for Active Members.

    The rights, privileges and obligations of HonoraryMembers shall be as follows:

    (a) To pay no dues.(b) To attend and participate in meetings of the

    Corral.

    (c) To participate in the Corral's activities and tocontribute to the publications of the Corral accordingto their abilities.

    (d) Honorary Members shall have no voting power.

    SECTION6. A CORRESPONDING MEMBER maybe any person or institution requesting such member-

    ship by letter or in person, and qualifies upon paymentof one year's dues in advance. All applications for Cor-responding Membership shall be referred to the Regis-trar of Marks and Brands.

    The rights, privileges and obligations of a Corres-ponding Member shall be as follows:

    (a) To pay annual Corresponding Member dues onor before the first day of March, as provided by theTrail Bosses.

    (b) To contribute to The Branding Iron and the Brand Book, according to his abilities, and to assist, if

    requested, in the production of these publications. Cor-

    responding Members may purchase the Brand Book onthe same terms as an Active Member.(c) To have no voting power.(d) A Corresponding Member may attend the

    monthly meetings only as a guest of an Active Mem-ber; or if he lives at a great distance (at least 150 miles)from Los Angeles and is a visitor in the Los Angelesarea he may attend without invitation. Also, the TrailBosses, through the Sheriff, may direct the Registrar to

    send invitations for meeting attendance to a specifiedand limited number of the Corresponding Members.

    (e) To be on the mailing list to receive The Brand-ing Iron.

    ARTICLEII

    MEETINGS AND QUORUMSECTION1. Regular meetings of the Corral shall be

    held monthly at such times and places as are determinedby the Trail Bosses.

    SECTION2. Special meetings of the active member-ship may be called by the Sheriff or Registrar of Marksand Brands or by ten per cent of the Active Members,upon giving seven (7) days written notice to the Active

    Members.SECTION3. The December meeting shall be the an-

    nual meeting for the election of officers and Trail Bosses

    for the ensuing year.SECTION4. The September meeting shall be known

    as the Annual Rendezvous.

    SECTION5. Except at the Annual Rendezvous, com-mercial or pecuniary transactions, including, but with-out limiting the generality of the foregoing language,the sale or offering for sale or negotiating for the saleof any article of merchandise, artifact, work of art, or

    similar objects, and philanthropic fund raising effortsor activities, are prohibited at all regular or specialmeetings of the Corral.

    SECTION6. One-half of the active membership shallconstitute a quorum for the transaction of business atany meeting.

    ARTICLEIIIBOARD OF DIRECTORS - TRAIL BOSSES

    SECTION1. The powers of the corporation, except asotherwise provided by the Articles of Incorporation andRange Rules, shall be exercised by, its property con-trolled and affairs conducted by, a board of seven (7)members consisting of the following officers: Sheriff,Deputy Sheriff, Registrar of Marks and Brands, Keeperof the Chips, Roundup Foreman, the junior past Sheriffand either of the two past Sheriffs next preceding inoffice the junior past Sheriff, which board shall be re-

    ferred to, for the purpose of these Range Rules, as theTrail Bosses.

    SECTION2. At least two (2) regular meetings of theTrail Bosses shall be called each year at such time and

    place and upon such notice as shall from time to timebe determined by the Trail Bosses.

    SECTION3. Special meetings of the Trail Bosses maybe called at any time by the Sheriff on three (3) days'notice to each Trail Boss; or upon the written requestof any three (3) members of the Trail Bosses, theRegistrar of Marks and Brands shall call a specialmeeting in the same manner.

    SECTION4. Should a vacancy occur in the Trail Bossboard, for any reason whatsoever, the remaining TrailBosses may fill the vacancy by a majority vote.

    ARTICLEIVOFFICERS

    SECTION 1. The elected officers shall be: Sheriff,Deputy Sheriff, Registrar of Marks and Brands, Keeper

    of the Chips, and Roundup Foreman, who shall holdoffice for one (1) year and until their successors areelected and shall qualify.

    SECTION2. The appointed officers of this associationshall include: Assistant Registrar of Marks and Brands,Assistant Roundup Foreman, Representative, threeWranglers, Daguerreotype Wrangler, Librarian, Mem-bership Committee Chairman, and such other officers asthe Trail Bosses may from time to time create, and shall

    be appointed by the Sheriff, subject to the approval of,and shall hold office at the will of said Trail Bosses.

    SECTION3. Should a vacancy occur among the offi-

    cers, the Trail Bosses may fill the vacancy by a majorityvote.

    ARTICLEVDUTIES OF THE OFFICERS

    SECTION1. The Sheriff shall ride herd on the Corral.He shall preside at all meetings of the Membership andthe Trail Bosses. He shall appoint committee chairmen,subject to the approval of the Trail Bosses. He shall

    have general and active management of the business ofthe Corral, and shall present at the annual meeting areport of the work of the Corral during the precedingyear. He shall see that all orders and resolutions of theTrail Bosses are carried into effect, subject, however, tothe rights of the Trail Bosses to delegate to others, asfar as it may desire, any specific powers.

    SECTION 2. The Deputy Sheriff shall assume theduties of the Sheriff in the event of his absence or in-

    ability to serve. He shall be chairman of the ProgramCommittee.

    SECTION3. The Registrar of Marks and Brands shallkeep the membership roll, collect dues and perform allother duties usually attached to the office of Secretary-Treasurer. In the absence of the Sheriff and DeputySheriff he shall perform the duties of the Sheriff. Heshall be the custodian of the Corral's funds (other thanthe Publication Fund), which shall be paid out only

    upon the signatures of any two of the following: Sher-iff, Deputy Sheriff, and Registrar.

    SECTION4. The Keeper of the Chips shall promote,maintain and manage the Publication Fund for the Brand Book, the funds of which shall be paid out onlyupon the signatures of any two of the following: Sheriff,Deputy Sheriff and Keeper of the Chips. He shall keepproper accounts and prepare such statements as are re-quired by the Trail Bosses.

    SECTION5. The Roundup Foreman shall be the edi-

    tor of The Branding Iron.SECTION6. The Assistant Registrar of Marks andBrands shall share the worries of the Registrar.

    SECTION7. The Assistant Roundup Foreman shallhelp the Roundup Foreman in getting suitable materialfor publication.

    SECTION8. The Representative shall act as liaisonwith other organizations with purposes similar to thisorganization.

    SECTION9. The three Wranglers shall be members ofthe Sheriff's posse.

    SECTION10. The Daguerreotype Wrangler may shootmembers and guests at his discretion.

    SECTION11. The Librarian shall be custodian of theundistributed stock of The Branding Iron and Keep-sakes.

    SECTION12. The Membership Committee Chairmanshall be a former Sheriff of the Corral.

    DUES AND ASSESSMENTSSECTION1. The annual dues to be paid by the Active

    and Corresponding Members shall be payable on orbefore the first day of March, and shall be in suchamount or amounts as the Trail Bosses may annuallydetermine.

    SECTION2. Members whose dues are unpaid onMarch 1st shall be notified by the Registrar of Marksand Brands that if payment is not received within thirty(30) days they may be dropped from the membershiproster, at the discretion of the Trail Bosses.

    SECTION3. No member shall be liable for any gen-eral assessment, unless such assessment shall have beenapproved by the Trail Bosses, and then only upon sub-sequent approval by two-thirds of the members presentin a regular or special meeting. Notice shall be given notless than ten (10) days in advance of any meeting at

    which an assessment is to be proposed.

    ARTICLEVIIRESIGNATIONS AND EXPULSIONS

    SECTION1. Any member of the Corral in good stand-ing who desires to resign or withdraw may do so bygiving notice in writing to the Registrar of Marks andBrands.

    SECTION2. Any member of the Corral may be ex-

    pelled for conduct unbecoming a Westerner, by a ma- jority vote of the Trail Bosses.SECTION3. By withdrawal, resignation, or upon ex-

    pulsion, however, a member surrenders all rights orclaims to the funds and other property or prerogativesof the Corral, except as provided in Article IX.

    ARTICLEVIIIPUBLICATIONS

    SECTION1. Publications of the Corral shall be:(a) The Brand Book, issued periodically, containing

    material of cultural and historical value presented inan authoritative and artistic manner.

    (b) The Branding Iron, of more frequent appear-ance, containing Corral news, reviews and short articles.

    ( c) Historical Keepsakes of significance.

    SECTION2. The Branding Iron and Keepsakes shallbe distributed to all members of the Corral.

    ARTICLEIXPUBLICATION FUND CERTIFICATES

    SECTION1. The Westerners Publication Fund Certi-ficates shall be issued in order to insure a perpetualpublication fund for the Brand Book. These certificates

    shall be in the denomination of $25.00, shall bear nointerest, and shall be offered to all classes of member-ship. New Active Members, in lieu of an initiation fee,

    shall obligate themselves to purchase at least one cer-

    tificate. It is the intention of the Corral to redeem thesecertificates, either in whole or in part, as the size of thePublication Fund warrants; and any partial redemptionwill first apply to those who have purchased more thanone certificate.

    ARTICLEXCOMMITTEES

    SECTION1. The Sheriff, subject to the approval ofthe Trail Bosses, shall appoint a Nominating Commit-tee, a Membership Committee and such other commit-tees as may be desirable.

    SECTION2. Self-perpetuating Brand Book Commit-tee:

    (a) Shall comprise Corral Members with talent andexperience in the editing, production, and distribution

    of Corral Brand Books.(b) The 1968 Brand Book Committee shall be

    the basic committee and such other members may be

    added at any time as the committee may elect. The pre-esiding Sheriff shall be a member of the Brand BookCommittee.

    (c) Committee Chairman for each book shall beselected by a vote of the committee.

    (d) Committee membership: No time limit toserve - self-imposed retirement.

    ( e) The committee shall choose each Brand BookEditor from the Corral membership, either within oroutside of the committee. The Editor shall choose hisstaff and they shall be designated as the Brand BookPublication Staff and shall assume the responsibility forthe complete production of the Brand Book in the es-tablished tradition of the Los Angeles Westerners.

    () The Brand Book Publication staff shall produceeach Brand Book based on a budget approved by theBrand Book Committee and the Keeper of the Chips.

    ARTICLEXINOMINATIONS

    SECTION1. The Nominating Committee shall meetprior to the November meeting of the Corral, and shallnominate not less than one person for each elective of-fice. Said nominations shall be read at the Novembermeeting, at which time additional nominations may bemade from the floor.

    ARTICLEXII

    AMENDMENTS TO RANGE RULESSECTION1. Amendments to these Range Rules may

    be made by the Active Members, who shall cast theirvotes by mail; and a majority of the votes shall be nec-essary to adopt any amendment.

    ARTICLEXIIIDISSOLUTION

    SECTION1. In the event of the dissolution of thiscorporation, all its net assets shall be delivered to andbecome the property of the Southwest Museum in Los

    Angeles.

    THE WESTERNERSLOS ANGELES CORRAL

    (A Non-profit Corporation)

    FIRST: The name of this corporation is THE WEST-ERNERs, LOS ANGELES CORRAL.

    SECOND:The specific and primary purpose for whichthis corporation is formed is to enable men with thecommon interest to exchange information and knowl-edge relative to the cultural and historical backgroundof what is commonly termed the West, and to record in

    permanent form historical material which the membershave and will assemble by diligent research, thus pre-serving items of Western Americana.

    THIRD: The general purposes for which this corpora-tion is formed are:

    (a) Incidental to the above-mentioned specific andprimary purpose, to acquire by gift, devise, bequest,lease, exchange, purchase, or other lawful means, andto convey, sell, exchange, mortgage, construct, operate

    and generally deal in any real estate, improved or un-improved, and in any and all other property of every

    kind and description, real, personal and mixed, andwheresoever situated;

    (b) To have and to exercise all powers conferred by

    the laws of California upon corporations formed underthe laws of California pursuant to which this corpora-tion is formed as such laws are now in effect or may atany time hereafter be amended.

    FOURTH: This corporation is organized pursuant toPart 1 of Division 2 of Title 1 of the Corporations Codeof the State of California.

    FIFTH: The county in the State of California wherethe principal office for the transaction of the business ofthis corporation is located is Los Angeles County.

    SIXTH:The number of directors of this corporationshall be seven. The names and addresses of the personswho are appointed to act as the first directors are:

    and net income of this corporation are irrevocably dedi-cated to literary or educational purposes, and no part

    of the profits or net income of this corporation shallever inure to the benefit of any director, officer or man-ager thereof or to the benefit of any private shareholderor individual. Upon liquidation, dissolution or windingup of this corporation, or upon abandonment, the assetsof this corporation remaining after payment of or pro-vision for all debts and liabilities of this corporationshall be donated to the Southwest Museum, Inc., a Cali-fornia non-profit corporation, located at Los Angeles,

    California, or if that organization is not then in exist-ence, to a fund, foundation or corporation organizedand operated exclusively for educational or literary pur-poses and no part of the net earnings of which inuresto the benefit of any shareholder or individual.

    EIGHTH: The name of the existing unincorporatedassociation which is being incorporated herein is knownand designated as "The Westerners, Los Angeles Cor-

    ral." Glen Dawson, whose title in the unincorporatedassociation is that of "Sheriff" is the presiding officerthereof, and Charles N. Rudkin, whose title in said un-incorporated association is that of "Registrar of Marks

    ations Code of the State of California, these articles ofincorporation this 11 th day of August, 1959.
