These terms and conditions are an integral part of all offers and contracts regarding deliveries (hereinafter also referred to as "contracts"), also in ongoing and future business relationships between medi (hereinafter also referred to as "we" or "us") and entrepreneurs in terms of § 14 of the German Civil Code (BGB), legal entities under public law or a special public fund (hereinafter also referred to as "customer“). They apply exclusively.If circumstances are not expressly regulated, statutory law will apply. Any agreements deviating from our terms and conditions or from statute, in particular contradictory terms and conditions, will not apply unless confirmed by us in writing. We hereby object to any deviating terms and conditions that may be included in confirmation letters. The information included in the specific product descriptions, in particular concerning the durability of our products, also applies to all deliveries.
1. Offer and Conclusion of ContractContracts will not be deemed to have been concluded unless the jobs, orders or changes have been accepted by us in writing, the acceptance declarations received have been confirmed in writing, or the goods ordered by the customer have been delivered.
2. PricesAll prices are net prices stated in euros. Our prices do not include statutory VAT; VAT will be charged at the statutory rate applicable on the date in which the invoice is issued and will be shown separately on the invoice.Unless agreed otherwise, our prices are "ex works" excluding shipment, transport insurance and packaging.Any special packaging or shipping options requested by the customer will be charged separately.In this respect, our bonus and discount list applies.If costs increase in the period from conclusion to execution of the contract, we will be entitled to adjust the price accordingly; this applies to all deliveries made within the framework of permanent contractual arrange-ments.
3. Terms of PaymentUnless stipulated otherwise in the order confirmation or expressly agreed upon otherwise with the customer, the purchase price must be paid in full (without deduction) in compliance with the following provisions:Our invoices are payable within 30 calendar days after the invoice date to our company’s designated account. If a SEPA Business-to-Business Direct Debit Mandate is issued, we will grant a discount of 3%; if payment is effected within 15 calendar days after the invoice date, we will grant a discount of 2%.
4. Set-off and RetentionThe customer may not exercise any rights of set-off or retention, unless its counterclaims have been ruled final and absolute in a court of law or are undisputed.
5. DeliveriesOur delivery dates are always non-binding, unless they are expressly designated as binding. The customer will bear the shipping costs.In this respect, our list of shipping costs apply.However, provided we have not acted with intent or gross negligence and if no injury to body, limb or life exists, the claim to compensation due to delay in delivery will be limited to a maximum of 5% of the net invoice amount of the respective delivery. This has no effect on the customer’s right to rescind the contract and/or to demand compensation for non-fulfilment in accordance with 9 once a reasonable subsequent deadline has expired.
6. Receipt/AcceptanceIf the customer refuses to take delivery of the goods or refuses to accept the delivery without justification and we then claim damages as provided by statute, we will be entitled to claim 10% of the agreed price without providing evidence of a loss or claim compensation for the loss actually incurred. Our further statutory rights will remain unaffected.

Retention of TitleWe reserve title in the goods delivered by us (reserved goods) until all claims to which we are entitled based on the contracts and the business relations-hip with the customer, now and in the future, irrespective of the legal grounds, and which arise at the time of conclusion of the contract or which already existed at the time of conclusion of the contract have been settled in full.The customer is obligated to inform us without delay and in writing of any third-party access (e.g., pledges) to our reserved goods or the claims we are entitled to and of other impairments, and to make our position as owners clear to such third persons or bailiffs.The Customer is further obligated to provide us upon request with all information and documents necessary to protect our rights. If costs are incurred by us due to third-party access, the customer will be obligatedto reimburse us for these costs and all costs incurred by us due to any legal action, unless we are reimbursed by the third party.Any processing of or modification to the reserved goods by the customer will always be carried out for us. If the reserved goods are combined or mixed with other items which do not belong to the customer, we will acquire co-ownership in the new item in the ratio of the value of the reserved goods (final invoice amount including VAT) to the other items processed at the time of such combining or mixing.Processing will not be remunerated. The customer’s right in the goods remains unaffected.The customer has the right to resell the reserved goods in the context of its ordinary course of business. If the reserved goods are resold, the customer hereby assigns to us as a security the claims against the purchaser arising herefrom; if the seller has co-ownership in the reserved goods, the assignment refers to the relevant proportionate co-ownership share. The same applies to other claims that replace the reserved goods or arise otherwise with regard to the reserved goods.We hereby authorize the customer to collect the claims assigned to us as a security in its own name. The customer is authorized to disclose that the claims are assigned to us for our account and to demand that the purchaser pay directly to us. This will not affect our right to collect the claims ourselves. We will not collect the claims ourselves and will not revoke the customer’s authorization to collect the claims as long as the customer duly meets its payment obligations and does not fall into default with payment. For legitimate reason, the customer is obligated to notify us without delay of the name and address of its purchasers and the amount of the claims assigned, to provide us with any documents required to prove the claim and to notify the relevant purchaser of the assignment. Upon request, the Customer must issue a document regarding the assignment.After the occurrence of insolvency or overindebtedness, the customer is obligated to select the reserved goods and the claims assigned to us and to present to us an exact list stating the claims and the creditors’ addresses.
8. WarrantyUnless otherwise agreed, the contractually owed quality/properties of the goods will be set out exclusively in the agreed product specifications, in particular in the product descriptions. This applies particularly to the durability of the goods.Based on the agreed quality/properties, our goods are designed only for one-time use or first-time use by the customer and are not suited for use after they have been reprocessed. We are not liable for goods reused or processed by our customers.The notification of defects in terms of § 377 of the German Commercial Code (HGB) must be submitted without delay, but no later than within seven calendar days following the delivery or dispatch. The customer must notify us in writing and without delay of any defects which were not recognizable in the context of its due incoming goods inspection, at the latest within three working days after discovery of the defects. Otherwise the delivered goods will be deemed to have been accepted unless the defect was maliciously concealed by us.Irrespective of this, a sufficiently detailed defect description and a copy of the delivery note or invoice must be enclosed with the notification.

If in the exceptional case shipment by medi GmbH & Co. KG has been agreed upon and the delivery is incomplete or if there is obvious external transport damage, the Customer must notify the transport company upon receipt of the goods. Transport damage which is not detectable from the outside must be reported to the transport company in text form (e.g., by fax, letter or email) within seven calendar days after delivery. We must be informed of this notification in written form.In the event of material defects we are entitled to subsequent remedy within a reasonable period set by the customer. We may choose the type of subsequent remedy. The customer is entitled to rescind the contract or to reduce the purchase price if the subsequent remedy fails, the customer cannot be reasonably expected to accept it, or if we refuse to or do not provide subsequent remedy within a reasonable period set by the customer.
Rescission of the contract is not permitted in the event of defects which are only minor.The customer is entitled to damages only as provided for in mandatory statutory provisions and the provision set out in the following 9.The limitation period for claims belonging to material and legal defects will expire at the end of 12 months following the delivery of the goods to the customer.This does not apply (i) to any claims included in 9 and (ii) in cases of recourse pursuant to § 478, § 479 of the German Civil Code (BGB); the statutory limitation periods apply to the cases specified in (i) to (ii).
9. Exclusion of LiabilityWe will have unlimited liability for culpable injury to life, limb and health caused by us, our legal representatives or our vicarious agents.We will be liable for intent and gross negligence on our part and for intent and gross negligence on the part of our legal representatives and vicarious agents. If we, our legal representatives or vicarious agents have not acted with intent and there is no damage to life, limb or health, our liability will be limited to foreseeable damage typical of this type of contract.We will also be liable if we, our legal representatives or vicarious agents culpably breach duties which must be fulfilled before the contracts can be executed in the first place and on whose fulfilment the customer ordinarily relies and is entitled to rely. If we, our legal representatives and vicarious agents have not acted with intent or gross negligence and there is no damage to life, limb or health, liability will, however, be limited to foreseeable damage typical of this type of contract.We are also liable for malicious failure to disclose a defect or where, as an exception and contrary to 10, a guarantee has been assumed. In the latter case, the extent of liability is based on the wording of the guarantee. We will also be liable in instances of mandatory statutory liability, for example under the German Product Liability Act (Produkthaftungsgesetz).With regard to the rest, liability is excluded irrespective of the legal ground, unless set out otherwise in these terms and conditions.
10. No GuaranteeWe do not assume a guarantee for the quality/properties or durability of the goods.
11. Return of the Goods and RepairsReturning goods outside of the warranty period is permissible only if this has been expressly agreed upon in advance. Goods may be returned only in returns for a credit note taking into account adjustments for the age and the condition of the goods at the time they are returned and a reduction of 10% of the agreed price of the goods for processing.The costs incurred due to returning the goods will be borne by the customer. The return of tailor-made products and special products is excluded in any case. Outside of the warranty period, we grant the possibility to repair medi products at our discretion on a goodwill basis. As a rule, only cleaned and washed products will be accepted in this regard. If medi is required to clean the goods, we reserve the right to demand a reasonable lump-sum payment.

12. ResaleIn order to maintain the integrity and value of our goods, commercial customers may not auction and/or sell our products on auction platforms or on other sales platforms online or attempt to do so. For each breach of this clause, liquidated damages in the amount of €15,000 will be due.
13. Jurisdiction, Place of PerformanceThe exclusive place of jurisdiction for all disputes arising from or in connection with these terms and conditions and the contracts will be the place of our registered office, Bayreuth. However, we are also entitled to file action at the place of the customer’s registered office. The place of performance for all obligations arising from this business relationship will be Bayreuth; Medicusstraße 1. The law of the Federal Republic of Germany excluding the reference provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG) will apply.
