As per the brief meetings and instructions given following is the scope of work defined for U and I Brand Solutions.

Also it will try to manage requirements in a turn around time of 4 to 8 Hrs.

Ad Releases U and I Brand Solutions shall determine the media vehicles necessary for the marketing of the brand.

Thus U and I Brand Solutions shall take care for releases into following medias: • Print Media• Magazines• Broadsheets• TV Media•Sponsorships• Air Time Management• Radio

Content Writing

U and I Content Creation team shall work to develop the content necessary for :• Media Releases• Advertorials• Press Conferences• News Releases• Social Media Promotions• Others if necessary.

Commercial Proposal and Terms of Business:

• Contract: The contract will be for the period 4 months.

• Retainer Fee: U and I Brand Solution will charge a retainer fee of Rs 50,000/month (Rupees Fifty Thousand Only per month). This is inclusive of Account Administration Expenses incurred during the day-to-day servicing of the business and includes expenses like Telephone costs (except ISD), local conveyance, courier charges, photocopy charges.

• Other Expenses: The retainer fee referred above does not include expenses towards events, travel, hospitality,accommodation and subsistence when travelling on the Client‘s business, translations (“Third Party Expenses”). Unless otherwise specifically agreed, the invoices of third party service providers/ suppliers would be paid directly by the Client . • Payment terms: The payment to be made bimonthly advance from the start of the campaign.

• Service Tax: Service Tax as applicable will be charged separately

Other Terms:

• Non-Solicitation: Each party undertakes that during the term of this engagement and for a period of one year following its termination or expiration, it shall not, without the previous written consent of the other party, employ or contract the services of any person who was employed by the other party at any time during a period of 12 months preceding the date on which the offer for employment is made by such party.

• Governing Law and Jurisdiction: The Agreement will be governed by and interpreted in accordance with the laws of the Republic of India, with the parties submitting to the exclusive jurisdiction of the Courts at Surat.
