MATTERS OF NOTE

1 SECURITY

Security improvements are progressing well although at a pace frustrating to all involvedDan is engaging with security auditors to get a proposals with costings finalised accordingto guidance provided by Trustees and the Security Committee The Trustees await thecostings

11 REQUEST FOR COST PROPOSALS

A request for proposal was issued by the Trustees and according the thefollowing high level outline

Trustees request KGEMS to compile a detailed and well considered costed securityproposal which meets the following requirements

1 The cost proposal contains layered sitemaps separating and indicatingsecurity features at their respective locations in the following categories

a Physical Barriers (Electric Fence Turnstiles Gates amp Booms)b Biometricsc Handheld Devicesd Video Surveillancee Control Room Network amp Softwaref Guarding

2 The cost proposal separates costs of each layer intoa Initial Capital Investmentb Monthly Subscription CostFeesc Maintenance Costsd Annual Licensing Fees

3 The cost proposal also summarises the costs of all layers combined into a onepage summary

4 The proposal will meet current security best practice requirements5 A 10 year projected replacement cost schedule (fencing lasts 7 years)6 A SOP that covers each layer of security features and which addresses all

concerns expressed by the security committee and as detailed in theNovember Trustee Update to Owners and includes the features of visitor pre-announcement and comprehensive contractor access control

7 The proposal will stipulate which costs go towards capital expenditure andwhich to monthly levies

8 The deadline for this proposal to be 1 February 2019

The proposal will serve as blueprint for all future security improvements andupgrades and should be kept up to date and accessible to all Trustees and the

12 STATUS ON PROPOSALS

Dan has provided feedback on progress

I have just concluded a meeting with Michael Martch (Commercial Business DevelopmentConsultant) from Fidelity ADT He has taken our audit report a copy of points raised byMaritza and the proposed Control Room plan Unfortunately he will not be able to delivertheir proposal to us before the next Trustee Meeting due to time constraints however I amvery interested to see what they come up with because he certainly appears to be on topof the latest trends

Trustees have requested Dan to procure at least 2 more costings based on theprocurement policy of at least 3 quotes on cost items of R50000 and above

13 GATE1 CONTRACTORS GATE amp SECURITY CENTRE

A temporary security hut has been positioned at the envisioned contractors gate outsideGate-1 to begin the process of alleviating traffic flow while security specifications andcostings are being resolved A built Security Centre is envisaged outside Gate-1 at thecontractors gate close to the main entrance to the Estate It provides for a Security officeControl Room and space to accommodate a Security Manager with possible adminassistant and filing This space will be divided up with drywall at a later stage and thecontrol room will be fitted out once expert opinion has been received on the equipment andbest practice layout The building will have a 45 degree roof and match the design featuresof the Gatehouse building

3 CHANGES TO THE CONSTITUTION

Certain changes to the constitution have been proposed by the Developer to incorporaterights of the non-residential and sectional title erven As directed by Home-owners at theSGM the matter has been referred back to the Trustees for review and the Trustees areassessing the implications and have sought legal advice Progress is being made towardssome workable variations and negotiations remain ongoing and Owners will be informedwhen finalised

4 ROADS TRANSFER Previous newsletters can be consulted for the history on this matter

There remains a divide between Member and Developer Trustees on the best way forwardon the matters of defects on the roads and storm water system Legal counsel of the HOAremain of the view that an interdict must be obtained to prevent transfer of the roads untilrepairs have been effected or until an alternative dispute resolution mechanism brings thedefects on the roads to amicable resolve

The Developer has agreed on a 30 days notice period from date of decision of theDevelopers legal team before proceeding with transfer procedures of the roads or anyother legal action

The Member Trustees await the response of the Developers counsel and remain open toalternative measures of dispute resolution

Informal discussions remain ongoing to secure a sustainable future for the golf courseOwners will be informed when material progress is made In the meantime the status quoremains The Golf Course Future Committee will be meeting in due course and will issue aseparate update to Owners on this matter

6 ESTATE MANAGEMENT MATTERS

61 MANAGEMENT COMPANY AGREEMENT

It has been decided at the January Trustee meeting that a new entity will be registered toconstitute the Kingswood Golf Estate Management Company (KGEMC) and that the HOAwill hold 49 shares in this company The shareholding agreement will stipulate thetransition plan towards full ownership of the KGEMC by the HOA as the developmentperiod draws to a close This is good progress towards achieving full transparency on theEstate Management Services company and towards eventual independence from theDeveloper as the Development period draws to a close

62 KINGSWOOD CEO

Due to the increase in the size of the Kingswood Community and greater demand forbetter security and service delivery Trustees have decided that Kingswood requires acompetent CEO to drive high level strategy and monitor implementation and complianceThe CEO will be employed by the newly founded Kingswood Golf Estate ManagementCompany and will report to the Board of Trustees

Below is a copy of the advert released on 28 January and we have already received 50+applications Shortlisting will be concluded in the coming 2 weeks upon which interviewswill proceed

Kingswood Golf Estate is seeking a proactive and strategic thinking CEO to build asafe and welcoming community for the benefit of its residents The successfulcandidate will demonstrate a strong interpersonal proficiency to enable respectfuland efficient communication with all stakeholders involved in the welfare of theEstate and the surrounding community The CEO will at all times protect the interestsof Kingswood residents and advance the value offering of the Estate

Applicants must be in possession of a Bachelorrsquos degree in Commerce Finance orsimilar or have an equivalent combination of education training and experience Atleast 3 years related experience at a senior management level inclusive of financialmanagement infrastructure management (strong technical aptitude and knowledge)strategic planning and operations project management is essential strong writtenand verbal communications skills along with proficiency in MS Office and the COREproperty management system

The position requires in-depth knowledge of all HOA developer and contractorbusiness processes procedures and standards Companies Act Estate rulesMemorandum of Incorporation infrastructure design maintenance and development

63 FORMALISATIONS OF AGREEMENTS GOVERNING DOCUMENTATION amp FEESTRUCTURES

A number of different documents policies and procedures have been identified for reviewand reconfirmation including the Building Control and Architectural Center agreement toensure that funds are being properly allocated and applied for purpose Reviews remainongoing and will be concluded by the newly appointed CEO

7 COMMITTEES

Trustees were in agreement that in line with principles of good governance the Trusteesneed to ensure inclusiveness and transparency Specific Trustees will be tasked to takeleadership of these committees and engage with them for inputs and advisory It remainsthe prerogative of the Trustee to consider these inputs for merit and inclusion

The committees have now been formally constituted in following areas

Concern was expressed that there is no proper detailed documentation on the buildingcontrol fee paid to KGEMS and it was requested that a better detailed document on this bedrafted for review by the Trustees Trustees await a detailed cost breakdown andagreements for the Building Control amp Architectural Centre fees

9 EMERGENCY RISK MANAGEMENT

An emergency action plan is under review and will be communicated early in the new yearThe document is pending finalisation

The Developer has stopped paying levies on unsold registered stands and may possiblybe legally challenging his requirement to do so trustees however await clarity hereon TheHOA will issue a writing the Developer to obtain his response hereon Debtors otherwiseare being managed well Thank you Lize and team for your good work in this regard

13 GEORGE DRAFT SPATIAL DEVELOPMENT FRAMEWORK

The Trustees thank Stephanus de Kock for expressing his concerns at the January Trusteemeeting and it was reiterated that comments regarding the Spatial development frameworkwas a matter for professional and technical comment and not political lobbying or

petitioning We welcome all Home Owners to inform the Trustees when they becomeaware of opportunities for comment for Town Development Plans in the areas surroundingKingswood and we will formally arrange such technical comment via qualified townplanners to ensure compliance with good standards The rule of thumb is good teamworkand early engagement to allow for timeous and productive responses

14 WASTE DUMPING

Dumping of waste of any nature on any area of the Estate is strictly prohibited and heftyfines will be issued for those that transgress Please notify the HOA office immediatelyshould you witness anything of the sort

IN CLOSING

Kingswood is facing five major challenges

1 Security needs to be continuously upgraded to an acceptable standard2 Estate Communication and the management of estate information needs streamlining3 Matters related to the transfer of defective roads and storm water system needs resolve4 A sustainable solution to the future of the golf course needs to be attained5 Estate Management resources needs to be reviewed to expedite resolution of the aboveas well as enforcement of estate rules policies and procedures

Trustees are working hard towards addressing shortcomings on the matters above and tosee Kingswood Golf Estate thriving into the future We thank residents for their patience inthe process of achieving the above and extend a special thanks to all involved in thecommittees extending their support and inputs freely

Dan has provided feedback on progress

I have just concluded a meeting with Michael Martch (Commercial Business DevelopmentConsultant) from Fidelity ADT He has taken our audit report a copy of points raised byMaritza and the proposed Control Room plan Unfortunately he will not be able to delivertheir proposal to us before the next Trustee Meeting due to time constraints however I amvery interested to see what they come up with because he certainly appears to be on topof the latest trends

Trustees have requested Dan to procure at least 2 more costings based on theprocurement policy of at least 3 quotes on cost items of R50000 and above

13 GATE1 CONTRACTORS GATE amp SECURITY CENTRE

A temporary security hut has been positioned at the envisioned contractors gate outsideGate-1 to begin the process of alleviating traffic flow while security specifications andcostings are being resolved A built Security Centre is envisaged outside Gate-1 at thecontractors gate close to the main entrance to the Estate It provides for a Security officeControl Room and space to accommodate a Security Manager with possible adminassistant and filing This space will be divided up with drywall at a later stage and thecontrol room will be fitted out once expert opinion has been received on the equipment andbest practice layout The building will have a 45 degree roof and match the design featuresof the Gatehouse building

3 CHANGES TO THE CONSTITUTION

Certain changes to the constitution have been proposed by the Developer to incorporaterights of the non-residential and sectional title erven As directed by Home-owners at theSGM the matter has been referred back to the Trustees for review and the Trustees areassessing the implications and have sought legal advice Progress is being made towardssome workable variations and negotiations remain ongoing and Owners will be informedwhen finalised

4 ROADS TRANSFER Previous newsletters can be consulted for the history on this matter

There remains a divide between Member and Developer Trustees on the best way forwardon the matters of defects on the roads and storm water system Legal counsel of the HOAremain of the view that an interdict must be obtained to prevent transfer of the roads untilrepairs have been effected or until an alternative dispute resolution mechanism brings thedefects on the roads to amicable resolve

The Developer has agreed on a 30 days notice period from date of decision of theDevelopers legal team before proceeding with transfer procedures of the roads or anyother legal action

The Member Trustees await the response of the Developers counsel and remain open toalternative measures of dispute resolution

61 MANAGEMENT COMPANY AGREEMENT

It has been decided at the January Trustee meeting that a new entity will be registered toconstitute the Kingswood Golf Estate Management Company (KGEMC) and that the HOAwill hold 49 shares in this company The shareholding agreement will stipulate thetransition plan towards full ownership of the KGEMC by the HOA as the developmentperiod draws to a close This is good progress towards achieving full transparency on theEstate Management Services company and towards eventual independence from theDeveloper as the Development period draws to a close

Due to the increase in the size of the Kingswood Community and greater demand forbetter security and service delivery Trustees have decided that Kingswood requires acompetent CEO to drive high level strategy and monitor implementation and complianceThe CEO will be employed by the newly founded Kingswood Golf Estate ManagementCompany and will report to the Board of Trustees

63 FORMALISATIONS OF AGREEMENTS GOVERNING DOCUMENTATION amp FEESTRUCTURES

A number of different documents policies and procedures have been identified for reviewand reconfirmation including the Building Control and Architectural Center agreement toensure that funds are being properly allocated and applied for purpose Reviews remainongoing and will be concluded by the newly appointed CEO

7 COMMITTEES

Trustees were in agreement that in line with principles of good governance the Trusteesneed to ensure inclusiveness and transparency Specific Trustees will be tasked to takeleadership of these committees and engage with them for inputs and advisory It remainsthe prerogative of the Trustee to consider these inputs for merit and inclusion

The committees have now been formally constituted in following areas

Concern was expressed that there is no proper detailed documentation on the buildingcontrol fee paid to KGEMS and it was requested that a better detailed document on this bedrafted for review by the Trustees Trustees await a detailed cost breakdown andagreements for the Building Control amp Architectural Centre fees

14 WASTE DUMPING

Dumping of waste of any nature on any area of the Estate is strictly prohibited and heftyfines will be issued for those that transgress Please notify the HOA office immediatelyshould you witness anything of the sort

IN CLOSING

Kingswood is facing five major challenges

1 Security needs to be continuously upgraded to an acceptable standard2 Estate Communication and the management of estate information needs streamlining3 Matters related to the transfer of defective roads and storm water system needs resolve4 A sustainable solution to the future of the golf course needs to be attained5 Estate Management resources needs to be reviewed to expedite resolution of the aboveas well as enforcement of estate rules policies and procedures

Trustees are working hard towards addressing shortcomings on the matters above and tosee Kingswood Golf Estate thriving into the future We thank residents for their patience inthe process of achieving the above and extend a special thanks to all involved in thecommittees extending their support and inputs freely

3 CHANGES TO THE CONSTITUTION

Certain changes to the constitution have been proposed by the Developer to incorporaterights of the non-residential and sectional title erven As directed by Home-owners at theSGM the matter has been referred back to the Trustees for review and the Trustees areassessing the implications and have sought legal advice Progress is being made towardssome workable variations and negotiations remain ongoing and Owners will be informedwhen finalised

4 ROADS TRANSFER Previous newsletters can be consulted for the history on this matter

There remains a divide between Member and Developer Trustees on the best way forwardon the matters of defects on the roads and storm water system Legal counsel of the HOAremain of the view that an interdict must be obtained to prevent transfer of the roads untilrepairs have been effected or until an alternative dispute resolution mechanism brings thedefects on the roads to amicable resolve

The Developer has agreed on a 30 days notice period from date of decision of theDevelopers legal team before proceeding with transfer procedures of the roads or anyother legal action

The Member Trustees await the response of the Developers counsel and remain open toalternative measures of dispute resolution

6 ESTATE MANAGEMENT MATTERS

61 MANAGEMENT COMPANY AGREEMENT

It has been decided at the January Trustee meeting that a new entity will be registered toconstitute the Kingswood Golf Estate Management Company (KGEMC) and that the HOAwill hold 49 shares in this company The shareholding agreement will stipulate thetransition plan towards full ownership of the KGEMC by the HOA as the developmentperiod draws to a close This is good progress towards achieving full transparency on theEstate Management Services company and towards eventual independence from theDeveloper as the Development period draws to a close

62 KINGSWOOD CEO

Due to the increase in the size of the Kingswood Community and greater demand forbetter security and service delivery Trustees have decided that Kingswood requires acompetent CEO to drive high level strategy and monitor implementation and complianceThe CEO will be employed by the newly founded Kingswood Golf Estate ManagementCompany and will report to the Board of Trustees

Below is a copy of the advert released on 28 January and we have already received 50+applications Shortlisting will be concluded in the coming 2 weeks upon which interviewswill proceed

Kingswood Golf Estate is seeking a proactive and strategic thinking CEO to build asafe and welcoming community for the benefit of its residents The successfulcandidate will demonstrate a strong interpersonal proficiency to enable respectfuland efficient communication with all stakeholders involved in the welfare of theEstate and the surrounding community The CEO will at all times protect the interestsof Kingswood residents and advance the value offering of the Estate

Applicants must be in possession of a Bachelorrsquos degree in Commerce Finance orsimilar or have an equivalent combination of education training and experience Atleast 3 years related experience at a senior management level inclusive of financialmanagement infrastructure management (strong technical aptitude and knowledge)strategic planning and operations project management is essential strong writtenand verbal communications skills along with proficiency in MS Office and the COREproperty management system

14 WASTE DUMPING

Dumping of waste of any nature on any area of the Estate is strictly prohibited and heftyfines will be issued for those that transgress Please notify the HOA office immediatelyshould you witness anything of the sort

IN CLOSING

Kingswood is facing five major challenges

1 Security needs to be continuously upgraded to an acceptable standard2 Estate Communication and the management of estate information needs streamlining3 Matters related to the transfer of defective roads and storm water system needs resolve4 A sustainable solution to the future of the golf course needs to be attained5 Estate Management resources needs to be reviewed to expedite resolution of the aboveas well as enforcement of estate rules policies and procedures

Trustees are working hard towards addressing shortcomings on the matters above and tosee Kingswood Golf Estate thriving into the future We thank residents for their patience inthe process of achieving the above and extend a special thanks to all involved in thecommittees extending their support and inputs freely

The CEO will ensure that KGE HOA standards are consistently met and implementthe decisions of the Board in running the day-to-day operations of the KingswoodHomeownerrsquos Association

63 FORMALISATIONS OF AGREEMENTS GOVERNING DOCUMENTATION amp FEESTRUCTURES

A number of different documents policies and procedures have been identified for reviewand reconfirmation including the Building Control and Architectural Center agreement toensure that funds are being properly allocated and applied for purpose Reviews remainongoing and will be concluded by the newly appointed CEO

7 COMMITTEES

Trustees were in agreement that in line with principles of good governance the Trusteesneed to ensure inclusiveness and transparency Specific Trustees will be tasked to takeleadership of these committees and engage with them for inputs and advisory It remainsthe prerogative of the Trustee to consider these inputs for merit and inclusion

The committees have now been formally constituted in following areas

Concern was expressed that there is no proper detailed documentation on the buildingcontrol fee paid to KGEMS and it was requested that a better detailed document on this bedrafted for review by the Trustees Trustees await a detailed cost breakdown andagreements for the Building Control amp Architectural Centre fees

The Trustees thank Stephanus de Kock for expressing his concerns at the January Trusteemeeting and it was reiterated that comments regarding the Spatial development frameworkwas a matter for professional and technical comment and not political lobbying or
