Message from theChief Executive Officer

The wise leadership of Abu Dhabi founded The Masdar Initiative to continue and evolve Abu Dhabi’s five decades of leadership as a global energy provider. We have developed considerable expertise over that period and have inherited a strong tradition of environmental stewardship as well as a commitment to sustainability.

The world today faces two major challenges: climate change and the need to meet the ever-growing demand for energy. Leadership in both areas is needed. At Masdar we believe we can deliver practical leadership by showing what can be done and how to do it. It is an ambitious goal, but one that we are confident we can deliver.

Our initiatives include: substantial investment in innovative and renewable energy technologies; the fostering of talent, expertise and knowledge sharing in renewable energy disciplines; the construction of local and regional alternative power production facilities that complement and balance fossil fuel production; the reduction of carbon emissions through active participation in carbon markets; and the creation of a model carbon-neutral, zero-waste city that demonstrates the practical viability and appeal of living in an alternative energy environment.

The development of renewable energy sources is a global responsibility with benefits for all. We recognize that to achieve our goals, we need to collaborate with a broad range of partners who share our vision and commitment to a cleaner future. We are investing considerable resources to create a groundbreaking global network that fosters creativity and encourages innovation.

The construction of Masdar City, powered entirely by renewable energy, is already underway. The Masdar Institute is commencing work, our investment funds are already fuelling future energy inventions and innovations, and we are working with long-established industries to reduce carbon emissions.

This is just the beginning of a long story. Our aspirations are broad and our ambitions global. It is going to take time for Abu Dhabi to become a truly global centre of sustainability, but we are committed to making that happen.

We invite you to join us on this journey.

Abu Dhabi is evolving its global energy leadership

through The Masdar Initiative - demonstrating a long-term commitment

to renewable energy for a sustainable future

Message from the Chairman

A new era is upon us, challenging us to venture beyond the achievements of the past and meet the needs of the future

The Masdar Initiative, established by His Highness General Sheikh Mohamed bin Zayed Al Nahyan, the Crown Prince of Abu Dhabi and Deputy Supreme Commander of the UAE Armed Forces, is a key foundation of the Emirate’s vision for a dynamic open economy and a critical driver of the long term economic diversification strategy for Abu Dhabi.

Masdar, which means “the source” in Arabic, complements the vision of the late Sheikh Zayed Bin Sultan Al Nahyan, the founding father and former President of the UAE, who pioneered environmental conservation in the country. Masdar aims to become a source of energy, knowledge and innovation in order to maintain Abu Dhabi’s position as a global energy leader. It is committed to the optimum use of natural and human resources so that Abu Dhabi can develop into a global centre of excellence for renewable energy research, development and innovation.

Masdar is currently building a carbon-neutral, zero-waste city, investing in a range of new energy technologies, establishing a post-graduate research institute and advocating a low carbon economy. All of these activities, and a range of other initiatives, seek to lay the groundwork for vital and sustainable new industries.

The long-term goal is to create a broad array of innovative industries that will generate a steady flow of new ideas, technologies and leaders. Firmly networked into the global economy, these industries will transform Abu Dhabi’s economic role and will contribute to the development of national and regional economies. When that is accomplished, Abu Dhabi will then have completed its transition from a 20th Century, carbon-based economy into a 21st Century sustainable economy. It will also be setting the pace as a global leader in the energy industry, in technology and in sustainability.

Introduction

In April 2006, Abu Dhabi, the capital of the United Arab Emirates, launched The Masdar Initiative (Masdar) – a multi-faceted initiative advancing the development, commercialization and deployment of renewable and alternative energy technologies and solutions.

Abu Dhabi is leveraging its substantial resources and experience in global energy markets towards technologies of the future. One key objective of Masdar is to position Abu Dhabi as a world-class research and development hub for future energy technologies, effectively balancing its strong position in an evolving world energy market.

A related objective is to drive the commercialisation and adoption of these and other technologies in sustainable energy, carbon management and water conservation. In doing so, Masdar will play a decisive role

in Abu Dhabi’s transition from technology consumer to technology producer.

The goal is the establishment of an entirely new economic sector within Abu Dhabi, which will assist economic diversification and the development of a knowledge-based industry, while enhancing Abu Dhabi’s existing record of environmental stewardship and its contribution to the global community. Masdar is driven by the Abu Dhabi Future Energy Company (ADFEC), a wholly owned company of the government of Abu Dhabi through the Mubadala Development Company.

Masdar is a comprehensive investment in future energy solutions and clean technology – from design to research laboratory to mass deployment. Masdar focuses across the complete value chain of technology.

Activities

Utilities and Asset Management uses various investment models to build a portfolio of renewable energy operating assets and make strategic investments in companies with promising technology and IP.

One of its first investment vehicles was the Masdar Clean Tech Fund, a US$250 million venture capital fund launched in partnership with Credit Suisse, Consensus Business Group and Siemens in November 2006. The Masdar Clean Tech Fund deployed its capital in 2007 and 2008 taking strategic equity stakes in companies such as Segway, Halosource, Sulfurcell, SIC Processing, EnerTech Environmental Duratherm and

Nanogram. Masdar Clean Tech Fund plays an active role in its investment companies, often taking board-level positions. Masdar has invested in these companies because it believes that their technology solutions will make a significant impact on the industry.

The Utilities team is positioned as a renewable energy power project developer, in bridging the gap between the equipment manufacturers that lack project development capital and local utilities that need the renewable energy economics, knowledge and know-how. The team is committed to making direct investments in projects in all areas of renewable energy and sustainability. The unit is currently focused on

Concentrated Solar Power (CSP), Photovoltaic (PV), Wind and Waste-to-Energy.

The unit’s strategy is to develop renewable energy projects with in-country partners. Torresol Energy, a joint venture between Masdar and Spanish engineering group Sener, already has three solar power plants in Spain with an approximate combined value of €800 million. One of the projects will be a CSP Central Tower Receiver System, the first-ever commercial deployment of this technology.

13

Independently of Torresol Energy, Masdar is developing CSP plants in Abu Dhabi, and the unit’s flagship project, SHAMS 1 (“sun” in Arabic), is a 100 MW CSP plant in Madinat Zayed, Abu Dhabi, using parabolic trough technology. The project will be the first of many CSP plants in Abu Dhabi that will feed green power into the Abu Dhabi grid. Masdar is also planning a range of wind and waste-to-energy projects in Abu Dhabi.

An integrated hydrogen power generation project gives Abu Dhabi the opportunity

to become a world leader in clean-power generation and carbon sequestration through the construction and operation of a 500 MW hydrogen-fired power plant. Utilizing advanced technology that makes hydrogen power commercially viable today through spillover advantages for the existing oil and gas industries, this project has the potential to stimulate the development of other hydrogen-related fields, such as clean transport and fuel cells. This project is being delivered in partnership with Hydrogen Energy, a joint venture with Rio Tinto and BP.

An integrated hydrogen power generation project gives Abu Dhabi the opportunity to become a world leader in clean-power generation and carbon sequestration

Masdar invested €120 million in WinWinD, a manufacturer active in the design, development and assembly of technologically advanced one and three MW wind turbines. This investment signals Masdar’s strategy to lead in all forms of renewable energy and allows it to move rapidly into the worldwide wind market, enabling a diverse renewable energy asset portfolio. With a string of projects already under development, buying into a turbine manufacturer underpins our strategy of investing in all aspects of the renewable energy value chain.

Masdar entered into the London Array offshore wind farm project through joint venture agreement with E.ON, which currently owns half of the landmark project. DONG Energy owns the other half. The wind farm will be located in one of the three strategic areas the UK government has identified for offshore wind farm development. When fully operational, it would make a substantial contribution to the UK Government’s renewable energy target of providing 10 percent of the UK’s electricity from renewable sources by 2010.

Introduction

Masdar’s Carbon Management Unit (CMU) offers comprehensive solutions to enable significant and ongoing reductions in carbon emissions.

With a diversified portfolio of projects, CMU is currently engaged in two main activities: carbon reduction and monetization and carbon capture and storage (CCS).

Working under the provisions of the United Nations’ led Clean Development Mechanism (CDM) framework of the Kyoto Protocol, CMU creates value by monetizing greenhouse gas emission reductions.

It also develops sustainable technologies, including large-scale projects that generate sizeable carbon emission reductions, with a particular focus on CCS.

Working with a broad range of stakeholders and partners, Masdar is strategically positioning itself to play a long-term role in the fast evolving global carbon market.

sound technology assessment and manage individual projects through to completion.

Our CDM activities play a major role in making Masdar a catalyst for sustainable growth and a significant player in the global effort to reduce man-made emissions of Greenhouse gases.

Carbon Capture and Storage Masdar is creating one of the world’s most ambitious large-scale CCS projects in Abu Dhabi.

Designed to significantly reduce Abu Dhabi’s carbon emissions by 2020, the project consists of a network of carbon capture plants at emissions sites, pipelines to carry the carbon dioxide to onshore oil-fields and an injection system to pump the carbon underground in order to enhance oil recovery.

The first phase of the project will link four large emitters in Abu Dhabi, including power plants, an aluminum smelter and a steel mill to the oil fields.

Masdar is advancing new effective carbon capture technologies for this project that will set the trend for global technological progress in this industry.

Championed by Masdar and with the full commitment of the Abu Dhabi Government, the CCS project will form the backbone of a new, low carbon economy in Abu Dhabi.

CARBON MANAGEMENT

Carbon Reduction and Monetization under the CDM

Under the CDM, industries in developing countries can earn emissions reduction credits, which they sell on the carbon market. Industries in developed countries buy the credits to meet their emissions reduction obligations. This provides an incentive for asset owners to develop projects and technologies that reduce emissions.

Masdar spearheads the development of such projects, identifying opportunities, working with government and regulatory agencies and guiding the project through to completion. CMU’s focus is on oil and gas, power and renewable energy. The unit

is developing a portfolio of CDM projects covering a wide range of technologies, from energy efficiency to CO2 recovery and clean power.

Our highly-experienced team provides an end-to-end solution. This includes: project identification and management, feasibility studies, CDM analysis, documentation and registration, technology sourcing and carbon financing.

Masdar also provides dedicated project managers and engineers, all with strong energy industry backgrounds. They provide
