Staples Business Account Terms and Conditions

General: The words ‘we’ and ‘us’ refer to Staples UK Retail Limited. The word ‘You’ refers to the Account Holder specified in this Agreement. The word ‘Card’ refers to the Staples Business Account Card(s) which is/are issued pursuant to these conditions. ‘Account User’ means any person issued with a Card by us. This Agreement will take effect on the date of its signature by us. An account will be opened in your name, and we will issue you with a Card for each employee, partner or director nominated by you and accepted by us. In accordance with these conditions, you can allow the Account User(s) to use the Card issued to them for payment for goods and services supplied by Staples (and other such retailers as we may specify from time to time) up to the specified credit limit set by us. Once the company has allowed the opening of a Card in an employee’s etc name, it shall be responsible for payment of all goods on that card, even when such purchase may be in excess of the account or, where applicable, an individual Account User’s credit limit as approved by the Account Holder. The Card can be used at any Staples UK Retail Limited (Staples) store, via the Staples Catalogue and through the website located at staples.co.uk, only for purchases for professional use or for business purposes of the Account Holder. No liability is accepted by us if a) you, or an Account User, are unable to use the Card, or b) we are unable (directly or indirectly) to comply with our obligations under this Agreement due to any cause beyond our reasonable control, including but not limited to industrial action, data processing or transmission link failure. All Cards issued shall remain the property of Staples UK Retail Limited at all times, and you must ensure the return to us of all Cards issued, immediately upon request. All Cards must be signed by your nominated Account Users immediately on receipt. If a Card is lost, stolen or misused, you must i) notify us immediately, and ii) indemnify us in respect of any loss or liability we incur arising out of any such loss, damage or misuse of the Card, either by an Account User or arising as a consequence of any such act by him/her. We reserve the right to vary all or any of the terms and conditions of this Agreement, including the credit limit, by giving seven (7) days’ written notice to you. Any waiver or indulgence granted by us shall not affect our rights. We may transfer our rights and/or obligations under this Agreement. The Agreement shall be personal to you and you will not permit any person other than the Account User to use the Card issued to him/her by us. These terms and conditions do not affect the general sales conditions of Staples UK Retail Limited which shall prevail in case of discrepancy. We occasionally record or monitor some of our telephone calls in order to ensure that what is being said is correct. When such telephone conversations are recorded, we undertake not to make the recordings available to anybody outside the organisation, nor will the recordings be used for any other purpose (unless legally necessary). All recordings are stored securely, and will be erased when their purpose is served.

Repayments: We will send you monthly statements listing the purchases made during the preceding month. We must receive payment by the end of each month for transactions made during the previous month plus the amount of any other charges shown on your statement. If payment of all due amounts on the account is not made in full by the date specified on the statement, we reserve the right to introduce a penalty of 1% per month or part thereof. This will commence on the day following the payment date if your account balance is not paid in full. We reserve the right to charge interest on late payments, inclusive of any penalties incurred. We also reserve the right to debit your account with the costs for any formal communication issued by us, or on our behalf, in recovering any overdue amounts. Payment should be made to us or to such other person who will receive payments on our behalf as we may notify you from time to time. Provided you repay any outstanding balance and return all Cards issued, you may close your account at any time. We may close your account and require you to pay any amounts due on it at any time by giving you written notice. We may also suspend or restrict the right of all or any Account Users to use their Card and reserve the option to cancel all or any of the Cards at any time. Full settlement of the total outstanding balance will become immediately due and payable on demand if a) you become bankrupt or die, b) being a limited company, you have a petition for the making of an administration order, or for the compulsory or voluntary liquidation presented, or a receiver is appointed over all of your assets, c) you cease to trade or threaten to cease to trade, or d) you fail to observe or perform any of the terms and conditions of this Agreement.

Staples Rewards: Earning Rewards: Staples Rewards® can only be earned on purchases made in Staples UK retail stores, online at staples.co.uk or by telephone on 0333 300 1334. To earn Rewards® customers must present their Staples Rewards® card at the time of purchase in store, enter their Rewards® number online when they shop online or quote their Rewards® number when placing an order by phone. Staples reserve the right to retain or invalidate Rewards® that have been issued in error. Rewards® cards obtained in store must be registered by an associate in store, or online at www.staples.co.uk/activate, or by calling 0333 300 0077. Rewards® are mailed and cannot be issued unless full registration, including a valid postal and email address is received. To view our Privacy Policy please go to www.staples.co.uk/privacypolicy.Only the following items qualify for earning Rewards®: Ink & Toner, Box & Ream Paper, Copy & Print services (excluding DHL), unless otherwise stated. Premier members can also earn Rewards on Food & Drink and Janitorial & Cleaning products. Products may be excluded from earning Rewards® at Staples’ discretion. All purchases will be governed by our general terms and conditions of sale. Purchases are tallied over a three month calendar quarter, beginning with January-March. Rewards® are then issued based on the qualifying spend during that period. Rewards® are calculated by multiplying the qualifying purchases by 10%. To be sent a minimum £5 Rewards® voucher, customers must spend at least £50 on the qualifying categories of Ink & Toner, Box & Ream Paper or Copy & Print in a calendar quarter and have fully registered their Rewards® cards in store, at www.staples.co.uk/activate or by calling 0333 300 0077.Spending Rewards: Staples Rewards® can only be redeemed at Staples UK retail stores. For a full list of Staples stores please visit www.staples.co.uk/storelocator. Rewards® vouchers are issued up to 8 weeks after the close of the calendar quarter in the form of a Rewards® voucher which can be used towards the purchase of products at Staples UK stores. Neither purchases nor Rewards are carried forward to the subsequent quarter. Rewards® cannot be redeemed on the following items: laptops, PCs, tablets, smart phones, any Apple products, Google Nexus, televisions, mobile phone vouchers, contract broadband, warranties, gift vouchers, postage stamps or DHL parcel services, unless otherwise stated. If you return a product for refund we will deduct the number of Rewards® earned from your Rewards® account. Rewards® cards cannot be used in conjunction with any other Staples discount scheme. Staples reserves the right to change the terms of the programme, cancel the programme (whereby all outstanding Rewards are forfeited) or remove individuals from the programme at any time without prior notice. Customers spending a total of £1,000 or more in a calendar year will be upgraded to Staples Rewards Premier in the following calendar quarter. Staples cards are issued by and remain the property of Staples UK Retail Limited and shall be returned to Staples immediately upon first request.

Use of Your Information: From time to time, the personal information that you will provide to us, or that will be generated under this Agreement, will be collected and processed by us as database owners for the purposes of credit checking, direct marketing and product purchase history by ourselves and by other Staples UK group companies. Pursuant to the applicable data protection legislation, you will be entitled to object at any time against the use of your personal data for direct marketing purposes, by calling customer services on 0333 300 1334. From time to time, and for the purposes listed here above, we may need to make your records available to our advisors, such as lawyers, accountants, regulatory authorities or other governmental administrations. As we operate internationally, we may also need to make your records available to companies within our group and/or branches which may be located outside the European Union for the purposes listed here above. In order to provide proper protection for your personal information which may be processed in the United States, Staples, Inc. has certified that personally identifiable information is transferred to the United States in compliance with the ‘Safe Harbor’ framework negotiated between the European Union and the United States pursuant to the EU’s Directive on Data Protection. In all cases, you will be entitled to access personal data held about you and to have inaccurate data corrected or removed. To that effect, you may write to apply for access to data or correction/removal of data to Account Services, Staples Business Account, Staples UK Ltd, Hampden Court, Kingsmead Business Park, Frederick Place, High Wycombe, Bucks, HP11 1JU. Further information about privacy protection with respect to personal data processing is available from the Office of the Data Protection Registrar. You consent to the transfer of data we hold about you to other affiliates of Staples in the UK and Europe. If the amounts to be paid or the payment dates change, Staples UK Retail Limited will notify you ten (10) working days in advance of your account being debited or as otherwise agreed. If an error is made by Staples UK Retail Limited or your Bank or Building Society, you are guaranteed a full and immediate refund from your branch of the amount paid. You can cancel a direct debit at any time by writing to your Bank or Building Society. Please also send a copy of the letter to us.
