September 9, 2016 version). Considering that the EB-5 program is facing sunset in October 2016, you

may be anxious to know the details of the proposed bill. Our office has summarized and translated the

key points of the proposed bill for your reference. Kindly see below key points of proposed bill of

September 11, 2016. Please note this is only a proposed bill and is not law yet. It does appear that a

SEC. 2. NEW EB-5 GENERAL PROVISIONS

Source of Funds

o Source of Funds for both of capital contribution and administrative costs and fees: All

alien investors shall demonstrate that the funds used for the capital contribution to the

new commercial enterprise and the funds used to pay administrative costs and fees

associated with the investment were obtained from a lawful source and through lawful

means. The required information includes foreign business registration records & tax

returns filed within 7 years, evidence related to monetary judgements against the alien

investor, and the identity of all persons who transfer into the United State on behalf the

alien investor.

o Gift Restriction: Gift can only come from alien investor’s spouse, parent, son, or

daughter (but not children as defined in section 101(b)(1)), sibling, or grandparent

o Loan Restriction: The loan needs to be secured by assets owned by the alien investor,

and issued by a banking or lending institution that is properly chartered or licensed.

资金来源

o 有关于认缴资本和行政管理费用:所有外国投资者应当证实用于投资在一个新商

Threats to the National Interest

o If a Regional Center, New Commercial Enterprise, or Job Creating Entity has its

designation or participation in the program terminated, or reasons relating to public

safety or national security, any person associated with such regional center, new

commercial enterprise, or job-creating entity, including the alien investor, shall be

permanently barred from future participation in the program if such person was a

knowing participant in the conduct that led to such termination.

o The amendment shall be effective no later than 90 days after such date of enactment.

I-526 petition filed from June 1, 2015 to the date of the enactment if associated

with an exemplar filed before June 1, 2015 or approved before enactment;

I-829 petition with the I-526 petition filed prior to June 1, 2015, or approved

before the date of enactment.

生效日期

SEC. 3. REAUTHORIZATION AND REFORM OF THE REGIONAL CENTER PROGRAM

Reauthorization of Regional Center Program: Until September 30, 2021.

Indirect Job Creation: Indirect jobs could only constitute no more than 90% of the job

o The new requirements may include jobs estimated to be created under a methodology

whereby jobs are attributable to prospective tenants occupying commercial real estate

created or improved by capital investments, but only if the number of such jobs

estimated to be created has been determined by an economically and statistically valid

methodology and such jobs are not existing jobs that have been merely relocated.

o Investor’s capital contribution may not be utilized to purchase publicly available bonds.

o The length of multiple full-time construction activity jobs that last less than 24 months

may be aggregated. A construction job may be considered a job that is created directly.

Amendment: Each Regional Center is required to give advance notice and obtain approval of

significant proposed changes to its organizational structure, ownership, or administration,

including the sale of such center, within 5 business days of each change.

Application for Approval of an Investment in a New Commercial Enterprise – Exemplar

Application

Site Visit: The secretary of Homeland security shall perform site visits to regional centers

and at least one site visit to each NCE and JCE which includes a review for evidence of direct

job creation.

实地考察:国土安全部须前往区域中心进行实地考察,并对新商业企业和就业岗位创造

Regional Center Annual Statements: Regional Centers must file annual statements to the

Director of United States Citizenship and Immigration Services.

Bona Fides of Persons Involved with Regional Center Program: No person shall be

permitted in an RC, NCE, or JCE if they: (1) have committed certain crimes or securities

violations; (2) have engaged in money laundering, terrorist, human trafficking, or similar

activities; or (3) been disciplined by a state bar association or the Justice Department.

20 or fewer alien investors its new commercial enterprises during the immediately

preceding fiscal year.

o Petition Fee: Beginning on October 1, 2016, a fee of $2,000 will be collected for each

I-526 petition.

EB-5诚信专用款:

o 年费:自 2017 年 1 月 1 日起,每个区域中心每年需缴纳 25,000 美金年费。如果

Direct and Third Party Promoters:

o Direct and third party promoters of a regional center, any new commercial enterprise,

an affiliated job-creating entity, or issuer of securities affiliated with the regional center

must register with USCIS.

o Each I-526 petitioner shall sign a disclosure that reflects all fees, ongoing interest, and

other compensation paid to any person in connection with the investment.

直属及第三方推广方:

o 任一区域中心、任一新商业企业、相关联的就业创造企业或隶属于区域中心的证

券发行方等直属及第三方推广参与方必须向美国移民局注册备案。

Treatment of Good Faith Investors following Program Noncompliance

o An investor of a terminated regional center, new commercial enterprise, or job creating

enterprise whose conditional status shall remain valid or shall continue to be

reauthorized to stay in United States unless the investor engaged in misconduct related

to the termination.

o The affected petition or the petitioner’s conditional permanent resident status shall be

terminated 180 days after the above termination unless there is investment in a new EB-

5 project. Investors who make a second investment can file I-829 petition two years

later after the date of the subsequent investment.

o In Case of Enforcement Action: If the secretary of Homeland Security, the Attorney

General, or the Securities and Exchange Commission files a criminal or civil action in

any US district court that contains allegations that a Regional Center, NCE, JCE, or any

person involved in such entities has committed fraud which affects the Investor’s

investment capital to an NCE OR if the any state authority or agency files a civil or

criminal action in State Court then:

1. If there is a related petition for classification OR a petition for removal of conditions:

a. The secretary may suspend such petitions UNLESS the district court orders

the Secretary to take action

b. If a United States District Court is taking action they may enter an order extending

any deadlines to prevent age-out of any derivative beneficiaries

2. The investor may:

a. Petition to amend the underlying petition for classification or amend the

petition for removal conditions without the facts of the civil or criminal

action being deemed a material change AND

b. Retain the immigrant visa priority date related to the original petition

3. Any funds that were obtained or recovered by an Investor, either directly or

indirectly, from claims against third parties OR any additional investment capital

provided by the Investor after the civil or criminal case is filed, may be deemed a

part of the Investor’s investment capital for the purposes of making a capital

contribution to a NCE IF that investment otherwise complies with all other

requirements

4. Exception: If the Secretary of Homeland Security has reason to believe that Investor

was a knowing participant in the conduct that led to the termination of a Regional

Center, NCE, or JCE OR was a knowing participant in the alleged conduct that led

to a civil or criminal action then:

a. The investor is not allowed any benefit mentioned above,

b. The secretary will notify the investor of that belief, AND

c. The secretary will deny the pending application OR initiate proceedings to

revoke approval of the Investor’s application as well as any benefit granted

under this section granted to a spouse or child

5. 对投资违规项目的诚信投资人的处理:

o 被终止的区域中心、新商业企业、就业创造企业的投资人的有条件绿卡继续有效

或可被继续批准停留在美国,除非该投资人参与了与该终止相关的不当活动或行

为。

久绿卡的申请;

a. 投资人不被允许享有任何上述权益;

b. 国土安全部长将会通知此被怀疑的投资者, 并且

6. Account Transparency Requirement: a new commercial enterprise shall deposit

and maintain the capital investment of each alien investor in a separate account.

SEC.4. OTHER EB-5 VISA REFORMS

8. Targeted Employment Areas

a. Visa set-asides and area designation:

1) 2,000 visas in each fiscal year shall be reserved for immigrants who invest in rural

areas.

2) 2,000 visas in each fiscal year shall be reserved for immigrants who invest in priority

urban investment areas.

3) Unused visas at the end of each fiscal year shall remain available within the same

category for subsequent fiscal years.

4) The Homeland Security secretary shall determine eligibility for designation of a TEA

and shall not be bound by the determination of any governmental or nongovernmental

entity.

b. Designation of infrastructure project, manufacturing project, and TEA:

1) The designation of an infrastructure project or manufacturing project shall be made at

the time of the investment.

2) The designation of a TEA may be made at the time of the investment or when the

application is filed.

3) The designation of a TEA shall be valid for a two year period.

4) A designation of infrastructure project, manufacturing project, and TEA, shall be

issued no later than 60 days after a request by an applicant.

5) A TEA may be renewed for an additional two year period if the area continues to

meet the definition of TEA.

6) The Homeland Security secretary shall establish a fee for the adjudication of such a

designation.

目标就业区域

签证预留以及区域认定

9. Adjustment of minimum investment amount

1. The minimum investment amount in an infrastructure project, a manufacturing project, or

TEA, shall be $800,000.

2. Minimum investment amount shall be $1,200,000 for any project not qualified as an

infrastructure project, a manufacturing project, or TEA.

3. Minimum investment amount is to automatically increase every five years starting on

January 1, 2022 by the cumulative percentage change in the Consumer Price index for the

previous five years, rounded to the nearest $10,000.

12. Definitions

1. Affiliated job-creating entity - Any job creating entity that is directly or indirectly

the alien investor at fair value market measured in USD.

3. Full time employment -35 hour per week for at least 24 months.

4. Infrastructure project- A capital investment project in a filed or approved business plan,

which is administered by a governmental entity, such as a Federal, State, or local agency or

authority.

5. JCE- A lawful business in the United States which is responsible for creating jobs to

satisfy the requirement EB- 5 requirement.

6. Manufacturing Project - A business to improve, construct, or operate a plant, factory, or

mill in the United States.

7. NCE – Any for-profit organization formed in the United States conducting lawful

business.

8. PRIORITY URBAN INVESTMENT AREA- A geographic area in which (I) there is an

unemployment rate that is at least 150 percent of the national average unemployment rate;

(II) there is a poverty rate that is at least 30 percent; or (III) the median family income is no

more than 60 percent of the greater of either the statewide median family income or the

metropolitan statistical area median family income.

9. Rural Area – An area that (I) Is outside of the outer boundary of any city or town having

a population of 20,000 or more; and (II) is outside of a metropolitan statistical area, within

an outlying county of a metropolitan statistical area, or within any census tract that is greater

than 100 square miles in area and has a population density of fewer than 100 people per

square mile.

10. TEA – A TEA includes any of the following: (I) PRIORITY URBAN INVESTMENT

AREA, (II) Rural Area, (III) any area within the geographic boundaries of any military

installation that was closed,or (IV) an area not located within a metropolitan statistical area;

and has a poverty rate that is at least 20 percent or a median family income that is not more

than 80 percent of the statewide median family income.

13. Age Determination For Children of Alien Investors

1. Age termination for children of alien investors: An unmarried child who has been admitted

as a conditional permanent resident (CPR) and as a dependent of the principal investor’s EB-5

petition, remains protected by CSPA (Child Status Protection Act) after turning 21 years old

even if the principal investor’s conditional CPR status has been terminated as long as the

principal petitioner files a subsequent EB-5 petition within one year upon termination of his/her

CPR status.

2. Concurrent filings of EB-5 petitions and adjustment of status applications are available if

EB-5 investors are eligible for adjustment.

3. Effective Date: the amendments shall be effective upon the date of enactment of this Act

with the following exceptions:

a. An EB-5 petition that was filed prior to June 1, 2015;

b. An EB-5 petition that was filed between June 1, 2015 and the date of the enactment of

this Act if such beneficiary is investing in the same commercial enterprise concerning the

same economic activity contained in an exemplar filed before June 1, 2015 or if that

exemplar was approved before the date of enactment;

c. An I-829 was filed and the underlying I-526 petition was filed prior to June 1, 2015 or

approved before the date of the enactment of this Act.

d. Investors are given till October 1, 2017 if they apply to amend their petition to show

that their investment location qualifies as TEA under the new law. In which case,their

original priority date of I-526 filling will remain the same. Investors must also show that

the minimum investment amount made by the investors will not be affected by the new

law.

14. 外国投资人子女的年龄计算

1. 外国投资人子女年龄计算:若主申请人在有条件永久居民身份终止后的一年内又重

新递交一个 EB-5 申请,作为附属申请人且已获得有条件永久居民身份的未婚子女,

b.在 2015 年 6 月 1 日之后与法案生效之前递交的 EB-5 申请,其所投资的项目在

SEC. 5. CONDITIONAL PERMANENT RESIDENT STATUS FOR ALIEN INVESTORS,

SPOUSES AND CHILDREN

Instead of the Attorney General the Secretary of Homeland Security shall conduct site visits to the

NCE and JCE where any of the investors have invested capital in.

The Secretary can provide 1-year extension to the investor’s conditional green card status during their

I-829 case pending period.

The Secretary can waive the need for an I-829 interview (exception apply.)

The investor can submit an I-829 petition at the time of obtaining conditional residency if the

employment has been created 24 months before the investor’s admission.

The aforementioned amendments shall be effective on the date of the enactment of this Act.

Exceptions to the effective date:

1. The amendment regarding site visit shall be effective no later than 2 years after the date of

the enactment of this Act.

2.Any I-829 petition filed pursuant to section 204(a)(1)(H) that was approved before the date of

the enactment of this Act shall not be subject to the amendments.

15. Filing Order and Eligibility

Investors can file an I-526 they are under the age of 18. According to the 203(b)(5)(H), An alien

petitioner may only file a petition with the secretary after the Regional Center has filed an application

for an approval of an investment under section 203(b)(5)(2).

Investors must be eligible for EB-5 status at the time of filing. If a materially different set of facts

occur, the investor must file a new petition.

SEC.7. TIMELY PROCESSING

19. Adjustment in EB-5 fees: New fees shall be set for EB-5 applications. This is done

for the purpose of ensure that the average processing times are as follows:

a. Regional center applications: 120days

b. I-526 petitoner: 150 days

c. I-829 petitioner: 180days.

20. Premium processing: A premium processing fee can be charged for I-924

(Regional Center application), I-526 (for conditional status), I-829 applications (for

removal of conditional status)

21. EB-5 费用调整: EB-5 申请费将被调整。目标平均审理时间:区域中心申请:

120 天;I-526 申请:150 天;I-829 申请:180 天。

22. 加急处理:I-924 (区域中心申请), I-526 (临时绿卡申请), I-829 (取消临时绿卡
